In the event of a Malaysian Dispute, you agree that (i) the arbitration will be held in Kuala Lumpur, Malaysia, in the offices of the Company’s outside counsel or at such other place as the Company may decide; (ii) this agreement shall be governed by and construed, with respect to its validity and performance of obligations thereunder, in accordance with the laws of Malaysia; and (iii) the arbitration will be conducted in accordance with the Arbitration Act and the Rules for Arbitration of the Kuala Lumpur Regional Centre for Arbitration In the event of an International Dispute, you agree that (i) the arbitration will be held in Salt Lake City, Utah, in the offices of the Company’s outside counsel; (ii) this agreement shall be governed by and construed, with respect to its validity and performance of obligations thereunder, in accordance with the laws of the State of Utah; and (iii) the arbitration will be conducted in accordance with the Utah Uniform Arbitration Act.
