What is the main purpose to form a Wyoming LLC?
A limited liability company may have any lawful purpose, may be organized under Title 17,
Chapter 29, Wyoming Statutes for any lawful purpose, except for the purpose of acting as a
financial institution as described by W.S. 13-1-101(a)(ix) or acting as an insurer as defined.
What is the principal office of the LLC?
The "Principal office" means the principal executive office of a limited liability company,
whether or not the office is located in the state of Wyoming;
Who is the Organizer of the LLC?
The " Organizer " means a person that acts under W.S. 17-29-201 to form a limited liability
company; can be the Registered Agent in behalf of the client.
How long does it take to incorporate/acquire a Wyoming LLC?
To incorporate: 4 to 7 business days.
To acquire: 1 to 2 days (depending on our Shelf Stock)
Can the LLC of Wyoming have a perpetual duration?
Yes, a Wyoming limited liability company has perpetual duration.
What is the standard authorised capital for a Wyoming LLC?
No need to register a minimum or maximum capital contribution.
No restriction on capital contributions.
Can beneficial owners remain anonymous?
YES, The Manager and Member are not subject to disclosure; therefore, they are not public
records.
Are corporate seals mandatory in Wyoming?
NO, it is optional.
Can foreign companies re-domicile to Wyoming?
YES, any organization organized for any purpose except acting as an insurer as defined or
acting as a financial institution under the laws of any foreign jurisdiction may, if the foreign
jurisdiction will acknowledge that the organization's domicile has terminated in the foreign
jurisdiction, apply to the secretary of state for registration under this act. The secretary of state
may issue a certificate of registration upon receipt of an application supported by articles of
continuance as provided by this act together with the statements, information and documents. The
certificate of registration may then be issued continuing the organization in Wyoming as if it had
been organized as a limited liability company in this state. The certificate of registration may be
subject to any limitations and conditions as may appear proper to the secretary of state.
When are the annual fees due; and what are the annual fees?
On the first day of the month of organization of every year, the limited liability company or
foreign limited liability company shall pay to the secretary of state (in addition to all other
statutory taxes and fees) a license fee based upon the sum of its capital, property and assets
reported, of fifty dollars ($50.00) or two-tenths of one mill on the dollar ($.0002), whichever is
greater.
When the LLC is in Inactive status?
If an LLC fails to file de Annual Report within 60 days of its due date, the organization will be in
Inactive status. If the organization is on file as Inactive status with the Secretary of State for two
years or more, then the organization will be archived, at which point the organization will no
longer legally exist.
Once an organization is archived, it is not possible to reactivate the organization
What are the penalty /reinstatement fees?
The fee is $50 plus the annual fee.
When do we issue annual invoices to clients?
Six months in advance of the due date (Mossfon policy)
Are mixed boards of directors allowed?
The Limited Liability Company can be formed by one or more persons - and can be formed with
two or more members.
What documents are required from the client to complete the due diligence process?
Same as other jurisdictions (Mossfon Policy)
What are the name restrictions for Wyoming LLCs?
Words as Bank, Credit Union, or any other word which could suggest an affiliation to a
government agency. We will always get submit the name for approval from Secretary of State,
before we proceed.
What is the ending (suffix) of Wyoming LLCs?
The words "limited liability company," or its abbreviations "LLC" or "L.L.C.," "limited
company," or its abbreviations "LC" or "L.C.," "Ltd. liability company," "Ltd. liability co." or
"limited liability co." shall be included in the name of every limited liability company formed
under the provisions of this act.
Does the Wyoming registry have a website where directors and shareholders can be viewed
online?
NO, Manager(s) and Member(s) are not viewed online.

How can a company apply for a strike-off to the registrar of companies?
After 51 days of delinquency the entity is automatic Inactivated by the Secretary of State.
After 61 days of Inactive status, the Secretary of State has administratively dissolved the
company;
