President Rodas, Vice President Parkinson and Superintendent Herrera presented Ms. Rodriguez with a certificate. Ms. Rodriguez thanked the Rotary Club and the Superintendent. She stated that she will share West New York with Japan. Francisco Guzman thanked the Board for its support. President and Vice President acknowledged the exchange.

The public portion of the meeting is now concluded. The Board will now recess into Executive Session to discuss items which fall within an exception of our open meetings policy and permits board to have private discussion since it deals with specific exceptions contained in N.J.S.A. 10:4- 12b: Matters of Personnel – Affecting current or prospective employees Matters of Litigation – Contract Negotiations Other Matters as rendered confidential by law – Tenure Charges BE IT RESOLVED that, the Board of Education will recess into Executive Session to discuss the aforementioned matters. Any discussion held by the Board which need not remain confidential will be made public as soon as practical.

Minutes of the Executive Session will not be disclosed until the need for confidentiality no longer exists.

A2 Appoint Qualified Purchasing Agent (QPA) BE IT RESOLVED, that this Board, upon the recommendation of the Superintendent of Schools, does hereby appoint George Spina, Qualified Purchasing Agent (QPA) for the West New York Board of Education, for the 2015-2016 school year, at no additional compensation. A3 Authorization to award contracts up to bid threshold and set quote threshold at 15% of bid threshold amount (Removed from Agenda) NOW THEREFORE, BE IT RESOLVED, that this Board of Education, by this resolution establishes a bid threshold of $40,000.00 below which bids may be awarded without public advertising and the 15% threshold for the informal receipt of quotations thresholds of N.J.S.A. 40A:11-6.1(a) and 18A:18A-37(a) is $6,000.00 for the 2015-2016 School Year. BUSINESS and FINANCE 1.1 Treasurer of School Monies Report On motion made and passed, the Board of Education accepted the report of the School Business Administrator/School Board Secretary (148) as certified in keeping with N.J.A.C. 6:20-2.2.13(d) and the report of the Treasurer of School Monies (A149) for the month of June 2015, as presented by the Superintendent of Schools, and found them in agreement and upon review certified them to the best of their knowledge and no major account or fund had been over expended in violation of N.J.A.C. 6:20-2.14(b) and that sufficient funds were available to meet the District’s financial obligations set for the remainder of the Fiscal Year N.J.A.C. 6:20-2.13(e) and on this basis ordered them as part of the minutes of the Board of Education. In keeping with the aforementioned approval, this Board does hereby also approve the submission of the June 2015, Secretary and Treasurer Reports to the N.J. Department of Education, Division of Finance, Office of Budget Review and Fiscal Monitors.

1.5 Food Service Management Services Award Approve the First Renewal of contract for food service management services for the 2015-2016 school year with Nu-Way Concessionaires, Inc. at a 0.0 % Increase as follows: 2015-2016 AWARD The Food Service Management Company shall receive, in addition to the costs of operation, a management fee of $0.0798 (Point Zero Seven Nine Eight Cents) per reimbursable meal and meal equivalent to compensate the Food Service Management Company for administrative and management costs. This fee shall be billed monthly as a cost of operation. The Local Education Agency guarantees the payment of such costs and fee to the Food Service Management Company, subject to the terms of the original 2014-2015 contract and the renewal addendum for 2015-2016 school year. Nu Way’s allowance for its Management Fee is based on an anticipated service per year of 1,677,941 National School Lunch, Breakfast Program meals, After School Snack meals and equivalent meals. Summary Contract Economics This contract is based on a cents per meal Management Fee. Nu Way’s allowance for its Management Fee shall be in an amount equal to $0.0798 (point zero Seven Nine Eight cents) per meal and meal equivalent served. The Index Rate used to determine cents per meal will be as of the date of the Board Meeting when the renewal is approved. For the purpose of making the foregoing meal count computation, the number of National School Lunch, School Breakfast Program meals and After School Program Snacks served to children shall be determined by actual count and are calculated by adding the number of National School Lunch Program meals, School Breakfast Program meals, and After School Snack Program Meals served to children. Cash receipts, other than from sales of National School Lunch, School Breakfast meals and After School Program Snacks served to children, shall be divided by $1.00 to arrive at an equivalent meal count.

14 Key Nu-Way Guarantee and Conditions Nu Way guarantees that the Bottom line on the operational financial report for the school year will be a return of $65,000.00 . If the actual bottom line return is below this amount, Nu Way will reimburse the Local Education Agency with the following conditions:

a. That the reimbursement levels are equal to or greater than those from the base year contract and reimbursement does not decrease due to lack of funds.

b. Market fluctuations do not cause a substantial (10%) increase in product costs.

c. No Change in school policy that significantly affects operating costs.

d. No changes in State or Federal laws impacting costs incurred for Labor & Benefits cause a substantial

(10%) increase in those costs.

e. The state or federal minimum wage rate and taxes in effect as of January 1, 2015, shall remain consistent throughout the year.

1.6 Health Corp Agreement WHEREAS, this District has an interest in the educating its students in the promotion of healthy living and wellness; WHEREAS, this District desires to implement an educational program which will support the District’s goals of educating the students on nutrition and physical fitness; and WHEREAS, HealthCorps has the ability to provide such a program to the District’s students at no cost to the District. NOW THEREFORE, BE IT RESOLVED, that the West New York Board of Education, upon recommendation of the Superintendent of Schools, hereby enters into a service agreement with HealthCorps to provide a nutrition and wellness curriculum for the District for the 2015-2016 school year, as per the service agreement attached and incorporated herein by reference, at no cost to the District. BE IT FURTHER RESOLVED, that this agreement shall take effect subject to HealthCorps Coordinator’s completion of a criminal history background check and the Coordinator’s acknowledgement of receipt of the District’s Acceptable Use, Social Media and Cell Phone Policies. Rodas Tom DeSocio Sixto Cardenas Lorenzo Correa 2.5 Perkins Grant Submission BE IT RESOLVED, that the West New York Board of Education, upon the recommendation of the Superintendent of Schools, grants the Superintendent of Schools permission to submit the Perkins Grant Application in the amount of $83,140.00 for the 2015-2016 fiscal year. 2.6 Sustainable Jersey Schools Certification Program- MHS BE IT RESOLVED, that the West New York Board of Education, upon the recommendation of the Superintendent of Schools approves the participation in the Sustainable Jersey for Schools Certification Program. An application for the WNY Wellness Team Re-Invigorating Re-Launch for Memorial High School, Sustainable Jersey for Schools Small Grants has been filed and submitted. The funding request is in the amount of $32,000.00. 2.7 Robert Noyce Teacher Scholarship Program Grant BE IT RESOLVED, that the West New York Board of Education, upon the recommendation of the Superintendent of Schools approves the participation and submission of the Robert Noyce Teacher Scholarship Grant in partnership with New Jersey City University for the 2015-2016 school year. The West New York School District will be placing STEM teacher candidates in their practicum and student teaching assignments. The Robert Noyce Scholarship Program would be a benefit to our school district, since it would provide us with an increased pool of STEM teachers, which would benefit our district and students. 2.8 ERESC WHEREAS, there is a need to provide English Language Arts and Mathematics remedial instruction for “at risk” students for Non-Public and Public School students; and WHEREAS, the Essex Regional Educational Services Commission (ERESC) has the ability and expertise to provide said services for Non-Public School Students during the 2015-2016 school year in conjunction with Title I (NCLB); WHEREAS, the Superintendent of Schools is recommending the awarding of a contract with ERESC to provide the aforementioned services to West New York students at Mother Seton School, St. Joseph’s Elementary School and St. Augustine School pursuant to N.J.S.A. 18A:18A-5(a)(1). NOW, THEREFORE BE IT RESOLVED, that the Director of Special Services, with permission of the Superintendent of Schools, in order to keep the continuum of the Individual Plans system, contract with the Public Consulting Group in the amount of $21,100.00 . Furthermore, this cost has been a budgeted item in the IDEA application for School Year 2015-2016 under non instructional supplies. WHEREAS, the West New York Board of Education has employed Mary Galea as a Certificated Teaching Staff Member; and WHEREAS, Ms. Galea is an active member of the New Jersey Teachers’ Pension Annuity Fund (TPAF), and WHEREAS, as of August 1, 2015, Ms. Galea will have met the minimum service credit requirement of at least 10 years for the TPAF members; and

20 WHEREAS, the West New York Board of Education has received information that has caused the Superintendent of Schools to conclude that Ms. Galea is totally and permanently disabled and no longer can perform the required duties of the position of a Teacher based on information provided by Ms. Galea; and WHEREAS, this Board is unable to provide an alternative to the TPAF covered position with duties capable of being performed by Ms. Galea; and NOW THEREFORE, BE IT RESOLVED, the West New York Board of Education that the Superintendent of Schools is directed to cause the processing of an Involuntary Disability Retirement Application for Mary Galea, effective August 1, 2015; and BE IT FURTHER RESOLVED, that certified copies of this Resolution shall be forwarded to all parties involved in the administration of this action. BE IT FURTHER RESOLVED, that this Resolution becomes effective immediately. 5.4 Transfer Legal Documents WHEREAS, the West New York Board of Education (hereinafter “Board”) has complied with the requirements of N.J.S.A. 18A and N.J.A.C. 6A and solicited requests for proposals to provide legal services to the Board; and WHEREAS, following receipt and review of these proposals, the Board has appointed the law firm of Florio Perrucci Steinhardt & Fader, LLC to provide legal services to the Board, effective July 1, 2015; and WHEREAS, the Board’s contract with Schwartz Simon Edelstein & Celso, LLC expired on June 30, 2015; and WHEREAS, the Board desires to make the transition of legal services seamless and ensure adequate legal protection for the Board; NOW THEREFORE, BE IT RESOLVED, that the Board directs the law firm of Schwartz Simon Edelstein & Celso, LLC to turn over all files to its administrative offices, attention Clara Herrera, before the close of business on Thursday, August 13, 2015 and to immediately provide a summary of all open / outstanding matters to the Superintendent of Schools, Clara Brito Herrera. 5.5 Legal Services (Removed from Agenda) BE IT RESOLVED, that the law firm of Schwartz Simon Edelstein & Celso, LLC is authorized to perform such legal services as are necessary with regard to the pending tenure case J.S. assigned to it by the Board of Education at the hourly rate of $150.00, with a hard cap of $20,000.00.
