There has been a significant increase in recent years in the use of schemes to effect takeovers, and the new changes aim to codify existing practice, making the application of the Code to schemes more transparent and certain.

doing so should explicitly be considered and, informed by the common law’s approach to statutory construction, presumptively be resisted. As a platform for this claim a definition of ‘retroactivity’ is established and a review of the history of retroactivity in the common law is provided. Moreover, this clause has become a norm of customary law, implying that investors may rely on it even outside the context of the BIT. Foreign investors whose rights under this clause have not been respected may bring the State in front of an international tribunal. Wacks, Raymond, Law: A Very Short Introduction, Oxford University Press, Pocketbook, £6.99, ISBN: 9780199214969Law underlies our society - it protects our rights, imposes duties on each of us, and establishes a framework for the conduct of almost every social, political, and economic activity. The punishment of crime, compensation of the injured, and the enforcement of contracts are merely some of the tasks of a modern legal system. It also strives to achieve justice, promote freedom, and protect our security. The result is a system that, while it touches all of our daily lives, is properly understood by only a few, with its impenetrable
jargon, obsolete procedures, and interminable stream of Byzantine statutes and judgments of the courts. This clear, jargon-free Very Short Introduction aims to redress that balance, as it introduces the essentials of law and legal systems in a lively, accessible, and stimulating manner. Explaining the main concepts, terms, and processes of the legal system, it focuses on the Western tradition (the common law and the civil law), but also includes discussions of other legal systems, such as customary law and Islamic law. And it looks to the future too, as globalization and rapid advances in technology place increasing strain on our current legal system.

Suicide, Oxford University Press, HB, £12.99, ISBN: 9780199539901The book takes as its starting point attempts in Britain and other countries to bring compassion into the rules governing the end of a patient’s life. Drawing on experience in the Netherlands, Belgium, and the US state of Oregon, where either assisted dying or euthanasia has been legalized, the authors explore the philosophical and ethical views on both sides of the debate, and examine how different legislative proposals would affect different members of society, from the very young to the very old. They describe the practical, medical processes of palliative care, self-denial of food and water, and assisted dying and euthanasia, and ultimately conclude that the public is ready to embrace a more compassionate approach to assisted dying.

Zillamn, Don; Regdwell, Catherine; Omorogbe, Yin-ka; , Beyond the Carbon Economy: Energy Law in Transition, Oxford Universi-ty Press, HB, £80.00, ISBN: 9780199532698This volume explains how the law can impede or advance the shift to a world energy picture significantly different from that which exists today. It first examines the factors that create the problems of the present carbon economy, including environmental concerns and development goals. It then provides international and regional legal perspectives, examining public international law, regional legal structures, the responses of international
legal bodies, and the role of major in ternat ional nongovernmental actors. The book then moves on to explore sectoral perspectives including the variety of renewable energy sources, new carbon fuels, nuclear power, demand controls, and energy efficiency. Finally, the authors examine how particular States are, could, or should, be adapting legally to the challenges of moving beyond the carbon economy.

RSS Feeds at Wildy & Sons
Wildy & Sons launch new book information RSS feeds- choosing your law books just got a lot easier...
We are pleased to announce a new feature on our website, www.wildy.com. Customers can now subscribe to RSS feeds of new book information in their area of interest. To subscribe to the feeds simply click on the RSS Feeds link on the home page, and make your selection from the list of subjects shown. What is an RSS Feed? An RSS (Really Simple Syndication) feed is a summary of information published on a website that allows you to keep up-to-date with new content, on your own terms and without having to give your email address to the website owner. By subscribing to a Wildy RSS feed, you will automatically be sent the latest new book information from your chosen areas of interest. How do I get it? To start with you need an RSS Reader (also known as a News Reader or News Aggregator). This is a small piece of software that checks the RSS feeds you are subscribed to and allows you to read the information published. There are many news readers available and a quick Google search should find them for you. One of the more popular ones is FeedDemon, and you can download the free application from their website at www.newsgator.com. Alternatively there are some web-based RSS Readers you can use, such as Google Reader or Bloglines. Also the latest versions of most web browsers, Internet Explorer 7, Mozilla Firefox 2.0, and Safari are able to handle RSS feeds. You can also use some e-mail programmes, such as Outlook 2007 and Apple Mail, to receive RSS feeds. Once you’ve decided how you want to view our RSS feeds all you need to do is subscribe to the updates you are interested in. Click on the RSS icon next to the subject area you want and copy the URL, or web address, in your browser address bar into your feed reader. Don’t worry if the page you’re looking at seems full of confusing html code, this will happen if you’re using earlier versions of some browsers. Once you’ve pasted the RSS feed web address into your feed reader you’re good to go, and you will receive all updates published in that field. It is as simple as that. For convenience you may want to combine several subject feeds in to one folder on your chosen RSS Reader. Or not, the choice is yours. What is included in the feeds? Details of books published within the last five weeks and scheduled for publication within the next six months are included in the feeds. We don’t include books for which we do not have complete bibliographic information, such as an ISBN or price, nor do we include books for which we do not have any content information. If you don’t see a book included in the feed that you know is due out in the next six months, chances are it is because the publisher hasn’t provided us with a content description. As soon as they do we update the record on our system and the book details get included in the feed. To give you an idea of the extent of the content, the All New and Forthcoming Titles feed currently contains details of over 400 new and forthcoming books. How often is the information updated? Constantly. We continually receive new book information from publishers, and when we do that information is entered on to our internal database from which the content for the feed is generated. Any comments? We would welcome any feedback from customers on this new service, as we do on any aspect of the service we provide. Please either contact your Wildy account manager, or e-mail Alden Bowers on [email protected]

Employee Share Plans: In-ternational Legal and Tax IssuesEdited by Paul Ellerman, Globe Business Publishing, Hardcover, ISBN 9781905783144, £120.00, due April 2008
Employee share plans are an important part of the corpo-rate landscape both for listed and non-listed companies. Many companies choose to extend their employee share incentive plans internation-ally either on a discretionary basis to senior executives or under “all-employee” ar-rangements. Whatever the arrangement, companies need to consider various is-sues before extending their employee share plans in this way, including securities laws, tax and social security aspects (for both the em-ployee and employer), the position of internationally
mobile employees, reporting and withholding require-ments, exchange control issues and employment and data protection laws. European State Aid Law 2nd EditionBy Conor Quigley QCHart Publishing, Hardcover, ISBN 9781841137476, £150.00, due April 2008
This new edition of Conor Quigley’s book (original-ly ‘EC State Aid Law and Policy’), offers the most comprehensive and detailed examination of this fast de-veloping field of Community law. The book is designed to provide practitioners and Commission officials with a definitive statement of the law and practice across the many sectors where issues of State aid come into play. At the same time, placing State aid law and policy in
its commercial and indus-trial context, the book fully explores the concept of State aid and its function as a tool of Community law and eco-nomic development. All of this is achieved by means of the most thorough available examination of the juris-prudence of the European Courts and the decisions of the Commission in declaring certain aid compatible with the common market. The Commission’s supervisory powers as well as the means of enforcing State aid law in the courts are also fully explained.
Unjust Enrichment and Public Law: A Compara-tive Study of England, France and the EUBy Rebecca WilliamsHart Publishing, Hardcover, ISBN 9781841134147, £45.00, due June 2008
The central aim of this book is to examine claims involv-ing unjust enrichment and public bodies in France, Eng-land and the EC. A central aim of the work is to explore the law as it now stands in the UK following cases such as Woolwich EBS v IRC and cases involving swaps transactions. The author ar-gues that so far these cases have been viewed from ei-ther a public or private law perspective, whereas in fact
both branches of the law are relevant, and that the courts ought not to lose sight of the public law issues when a claim is brought under the private law of unjust enrich-ment. No understanding of cases concerning public law illegality can be complete without an examination of cases where that illegality is provided, not by domestic public law, but by the law of the EC. Thus a further aspect of the book is that it investi-gates the division of labour between the European courts and the domestic courts in such cases, and examines the extent to which the two relevant issues, public law and unjust enrichment, are defined in EC law, and to what extent this task is left to the domestic courts.
Lowndes and Rudolf: Law of General Average and the York-Antwerp Rules 13th EditionBy John Wilson and Julian CookeSweet and Maxwell, Hardcover, ISBN 9781847030337, £245.00, due May 2008

It discusses the vari-ous courses of action open to the parties in a general aver-age situation and the effect of taking any of these options on rights and liabilities. It also covers enforcement of rights in general average. The book’s historical approach, looking at the various states of the York-Antwerp Rules over their many revisions, makes clear the nature and impact of the most recent changes.

New:True Tales of Trying Times
Legal Fables for TodayBob Rains
ISBN: 9781898029908Hardback £12.50
Professor Rains provides a humorous collection of modern-day fables based on actual law cases. These tales are for everyone: not just lawyers, but people too. The fables and their accompanying morals offer us ironic views of the illusive quest for justice in the American legal system.
As noted by Justice Eakin in his Foreword, these stories all have value, if only as examples of what not to do. The professor’s reporting makes them come alive, giving us a collection reflecting the wide range of predicaments created by the human species and other nonrational creatures. We throw our self-made problems into the judicial cauldron, which often just mixes them up and throws them right back at us.
These follies of the legal system, and of those who use and abuse it, are cleverly illustrated by the charming drawings of the creative team of E.A. Jacobsen.

FROM BARISTA TO SOLICITORAn Indian Girl’s Epic Journey
Ria Neelamkavil
ISBN: 9781898029939Paperback 100pp
£5.99
Ria Neelamkavil read Classical Studies with English at King’s College, London before embarking on her legal career. She knew early on at Law School that if she was to work as a solicitor, employment law was the only field she would be interested in.
Her passion and enthusiasm for employment law is particularly apparent given that she worked in Lille with employment lawyers shortly after qualifying as a solicitor.
This book is a fictionalized account of a young Indian girl’s struggles to become a lawyer. It is a lighthearted but very real account of the problems encountered.
