5.0 Project Agreements Agreement made by Concessionaire

Agreement made between NHAI and SP Jammu Udhampur Highway Private Limited. A Concession Agreement dated 19.07.2010 was entered into between the SP Jammu Udhampur Highway Private Limited as the Concessionaire and National Highway Authority of India (NHAI) for Rehabilitation, Strengthening of four laning of Jammu to Udhampur section from Km. 15.00(Jammu Bypass) to Km.67.000 of NH-1A in the state of Jammu & Kashmir and its improvement, Operation and Maintenance through a concession on Design, Build, Finance Operate and Transfer (DBFOT) on BOT (Annuity) basis.

a. The Agreement This Agreement is entered into on this the 19th day of July 2010 between NATIONAL HIGHWAYS AUTHORITY OF INDIA, a statutory body constituted under the provisions of NATIONAL HIGHWAYS AUTHORITY OF INDIA, Act, 1988, and having its principle office at G-5 & G-6, Sector – 10, Dwarka, New Delhi-110075 (hereinafter referred to as “NHAI” which expression shall, unless repugnant to the context or meaning thereof, include its administrator, successors and assigns) of One Part. AND SP Jammu Udhampur Highway Private Limited. a company incorporated under the provision of the Companies Act, 1956 and having its registered office at Deendayal Upadhyay Reseach Institute, 5th floor, 7E – Jhandelwala Extension, New Delhi -110 India (hereinafter referred to as the “Concessionaire” or “Company” which expression shall unless repugnant to the context or meaning thereof include its successors and permitted substitutes) of the other Part. b.The Contract arrangement. The National Highways Authority of India (NHAI) duly authorized by Ministry of Shipping, Road Transport and Highways (MOSRTH&H), Government of India invited the bid for Design, Built , Finance, Operate and Transfer(DBFOT) of Rehabilitation, Strengthening of four laning of Jammu to Udhampur section from Km. 15.00(Jammu Bypass) to Km.67.000 of NH-1A in the state of Jammu & Kashmir (hereinafter referred to as the Project). As per LOA, Shapoorji and Pallonji was required to incorporate a SP-JUHi solely for the purpose of domiciling the Project for signing the Concession Agreement. Accordingly Shapoorji and pallonji has incorporated M/s SPJUHi to execute the Project as Concessionaire.

NHAI and the Concessionaire entered into a Concession Agreement on 19th July 2010 for the execution of the Project on Design, Built, Finance, Operate and Transfer (DBFOT). B. Agreement between Shapoorji & Pallonji Ltd. as the Concessionaire and Afcons as the EPC Contractor NHAI and Shapoorji and Pallonji Ltd. entered into Concession Agreement on 19th July for the execution of the Project on Design,Build, Finance, Operate and Transfer (DBFOT) basis. The Shapoorji & Pallonji Ltd. is desirous of assigning the work related to execution of the Project along with service roads and associated facilities including inter alias investigations, survey, design, engineering, construction and all other allied activities etc. to a competent Party. The Contractor AFCONS has represented to the Concessionaire that they have sufficient experience and competence to undertake such kind of works and have offered to execute the works on Engineering Procurement Construction (EPC) contract basis. Based as the representation of the Contractor, the Concessionaire has accepted the offer of the Contractor to execute the “Works” on EPC contract basis on mutually agreed terms and conditions. c. O&M Contractor The Concessionaire has appointed SP Cements (Gujrat) Private Pimited, a company incorporated under the provisions of the Company Act 1956 and having its Registered Office: Plot No. 9, HIG Phase-IV, Tawi Vihar, Sidhra, Jammu-180019 as their Operation and Maintenance (O&M) Contractor.

Project Background

The Govt. of India (GOI) through Ministry of Roads, Transport& Highways (MORT &H) is contemplating to

enhance the traffic capacity and safety for efficient transportation of goods as well as passenger traffic on the

heavily trafficked National Highway sections. GOI has entrusted National Highways Authority India (NHAI) with

the responsibility of developing and maintaining the entrusted sections of the National Highways network.

National Highway NH-IA originates from Jalandhar in the state of Punjab and ends at Srinagar in Jammu and

Kashmir state. This is one of the most important roads connecting Jammu and Kashmir with the rest of India

The Project road "Jammu Bypass to Udhampur is a section of NH-1A" starting at km 15.00 on Jammu Bypass

(just after the NS-33 project of National Highway in the State of Jammu and Kashmir) and terminating at the

North end of Udhampur Bypass ( existing Km 67.000) of NH-1A. The total length of Project Highway is 64.579Km.

On its way it Bypasses the major township of Nagrota and Udhampur with developing commercial activities.

Project road follows the alignment of NH-1A from Km 9.350 to Km 10.200, thereafter follows new alignment for

proposed bypass of Nagrota again to meet NH – 1A at Km 22.400 of main road from this point follows the

alignment of NH-1A upto Km 52.377 Km thereafter it again follows New alignment for proposed Udhampur

Bypass to meet again at existing Km 67.00 of NH-1A..

In existing Jammu- Udhampur Section the condition of the existing pavement is fair to good. Generally the

existing road is having 2-lane carriageway.

Thus, in order to provide a better 1evel of service to the vehicular traffic it has been decided to augment the

capacity of Jammu to Udhampur section of NH-1A from design Km 15.000 (end of package No- NS-33 of Jammu

Bypass to Km 67.000 at Udhampur by widening the existing 2 lane road to 4 lane dual carriage way facility on

Design, Build, Operate and Transfer /Annuity (BOT/Annuity) basis.

Thus the construction package for the project includes developing the existing two lane carriageway to four lane

dual carriage configurations including strengthening of existing two lane between Km. 15.000 and Km 67.000

Section of NH-1A.

SAFETY REQUIREMENT:-

The Concessioner is informing time to time in advance for Lane Closures, diversions in his

Project Highway and following the relevant operating procedures including setting up of

temporary traffic cones and lights, and removed obstructions and debris without delay. If

any delay in such removal of obstructions and debris the IE is a issuing instructional in

writing time to time and ensure safe conditions for the users.

Also for a smooth flow of traffic it is maintaining and operating a round the clock vehicle

rescue post with mobile cones
