I. THE OPPORTUNITYThe Buffalo Naval Park Committee, Inc. (hereby known as BNP) is soliciting proposals from qualified, experienced restaurant/bar operators to operate The Liberty Hound Restaurant and associated restaurant facilities (“LH”) located within the BNP museum building (“Museum”), located at 1 Naval Cove Park, Buffalo, New York 14202. The BNP hopes to receive proposals that will offer a new and creative LH experience at the waterfront which celebrates the heritage of the Naval Park while complementing existing Canalside waterfront attractions.

The LH is one of a very limited number of restaurants in the very busy waterfront district and has the ability to capture demand from downtown workers and residents, visitors to local attractions, marina slip renters, and tourists, as well as from foot traffic generated by the many special events held in and around the area.

II. BUFFALO NAVAL PARK & CANALSIDE OVERVIEWSituated at the western edge of the City of Buffalo, Buffalo’s waterfront community has continued to go through momentous transformations over the last two decades with hundreds of millions of dollars in public and private investment. At Canalside, along Buffalo’s historic Buffalo River, patrons can learn how Buffalo helped shape the country as the western terminus of the Erie Canal. With growing patronage each year, over 1,500,000 visitors attend countless events throughout the year, from rock concerts to outdoor yoga classes, while seasonal activities such as ice skating in the winter or river cruises in the warm months, attract families year round.

The BNP, prominently located just adjacent to Canalside, is one of Buffalo’s premier downtown and regional attractions. Among its features, the BNP includes the Veterans memorial gardens, three floating military vessels, an outdoor exhibit yard, and several military artifacts and exhibits on display on the second floor of the Museum. The LH is located on the first floor of the Museum. It offers a variety of food and beverages and has a vibrant patio with breathtaking sunsets and views of the Buffalo River and Lake Erie.

Canalside remains Buffalo’s hottest development site, with recent construction and opening of HARBORCenter, a mixed-use development occupying approximately 1.7 acres directly across from and connected to the KeyBank Center and Canalside. HARBORCenter features retail and restaurant space, a 205-room full service Marriott Hotel, as well as two hockey rinks that are home to the Ontario Junior Hockey League, NCAA, and numerous local and world-wide players who assemble for tournaments and training.

In 2019, Canalside will see the opening of the brand new, 43,000 square foot, Explore & More Children’s Museum, a best-in-class play-based learning center for children from all over Western New York and beyond. In the following year, Canalside will welcome its first residents with Heritage Point, two buildings equaling 71,000 square feet of retail, office, and 41 market and affordable apartments.

Canalside will continue to build upon its status as Buffalo’s premier waterfront development into the future, with ultimate plans to complete approximately 6,000,000 square feet of entertainment, education, office, and residential space within its footprint.

III. THE RESTAURANT SITEThe BNP operates the Buffalo & Erie County Naval & Military Park (“Naval Park”) and the adjacent Veteran’s Memorial Gardens pursuant to the terms of a certain lease with the City of Buffalo (“City”).1 The LH’s high-profile location within the Museum sits at the entranceway to Canalside (See Exhibit A). Currently made up of approximately 1,464square feet of interior restaurant/bar space and approximately 1,519 square feet of outdoor patio space, (see Exhibit B), the LH is situated at one of the major focal points of Buffalo’s waterfront.

The LH is a fully built out and operational commercial restaurant/bar, with the successful proposer having full access and rights to use all installed appliances, finishes, and equipment on-site. (See Exhibit C) Approximately 184 square feet of storage/back office space is available at the Museum, (see Exhibit B) and the BNP plans to make available another 160 square feet of storage space in a shipping container to be located adjacent to the hangar building (“Hangar”), which sits across Commercial Street from the Museum (See Exhibit A).

The BNP is currently undertaking a multi-phase, multi-million dollar renovation of the Hangar. Upon completion of these renovations, the BNP’s admissions and gift shop areas intend to relocate to the Hangar. This process is dependent upon completion of fundraising (approx. $1.75 million has already been raised) and is expected to be completed within the next two (2) to three (3) years. After the relocation of BNP’s admissions and gift shop areas to the Hangar, the LH will expand into the vacated space increasing the interior restaurant/bar space by approximately 592 square feet and adding approximately 313 square feet of storage/back office space. This additional storage/back office space would replace the 160 square feet of storage space in the shipping container.

IV. OPPORTUNITIES TO UTILIZE ADDITIONAL NAVAL PARK SPACE FOR LH OPERATIONS

Proposals must include a description of proposed tenant improvements and the anticipated level of proposed capital improvement. As proposers consider overall approach to the restaurant and proposed tenant improvements, the following concepts should be kept in mind:

1. Potential Improvements to Outdoor Deck AreaThe Outdoor deck space is extremely well utilized from Mid-Spring to Mid-Fall. The BNP would entertain proposals which provide for improvements to outdoor deck space or which include plans to extend the outdoor season.

2. Potential Use of the Fantail of the USS Little RockThe fantail of the U.S.S. Little Rock is currently used by the BNP for events. It is covered by a canopy and [other features]. The BNP would

entertain proposals which incorporate the use of the fantail into the LH operations.

3. Potential Use of the Outdoor Exhibit YardThere is an outdoor exhibit yard located west of the Hangar. Similar to the fantail, the BNP would entertain proposals which incorporate the use of this space into the LH operations.

V. SUMMARY OF KEY SUBLEASE TERMS

This Section briefly describes key sublease terms sought by the BNP. In its submittal, proposers must indicate acceptance of these key sublease terms, and make a proposal that is consistent with these key sublease terms. The final sublease terms will be negotiated with BNP and are subject to final approval by the City.

Permitted UseThe permitted use under the sublease is the operation of a year-round, full service restaurant.

PremisesApproximately 1,464 square feet (currently) of interior restaurant space; approximately 1,519 square feet of outdoor dining area; and 344 square feet of storage/back office space. After the relocation of BNP’s admissions and gift shop areas to the Hangar (in two (2) to three (3) years), interior restaurant space will expand to approximately 2,056 square feet and storage/back office space will expand to approximately 497 square feet. Outdoor patio space will not be affected by the relocation of BNP’s admissions and gift shop areas to the Hangar.

RentMonthly rent shall be:

Minimum monthly base rent per square foot shall be quantified by the proposer in the proposal but in no event shall be less than $2,500 monthly escalated annually by 3%. Proposers may offer differing rental rates per square foot for interior restaurant space and storage/back office space.

Minimum percentage rent based on Gross Sales (as defined in the attached Form of Sublease) shall be quantified by the proposer in the proposal but in no event shall be less than seven percent (7%).

TermThe initial term for the sublease is five (5) years with an option to extend for an additional five (5) years, exercisable at the successful proposer’s request, with BNP’s approval. (Note: If significant capital investment is proposed by the proposer, the BNP would be willing to consider a 10 year lease term. Any

proposer seeking a 10 year lease term based on a proposed capital investment should state so in its proposal).

UtilitiesThe LH Operator will be responsible for at least fifty percent (50%) of the gas and electricity charges at the Naval Park and at least sixty percent (60%) of trash removal/disposal charges. Water and sewer charges will be paid by the BNP.

VI. FORM OF SUBLEASEThe successful proposer will be required to enter into a sublease to be negotiated by the BNP and proposer during a period of exclusive negotiations. A copy of the BNP’s form of sublease is attached hereto (the “Form of Sublease”) as an example (see Attachment 1). However, the final sublease may be substantially different from the Form of Sublease in order to: a) reflect the business terms negotiated between the successful proposer and the BNP; b) incorporate any City requirements which may differ from the Form of Sublease; and c) incorporate any other provisions desired by the BNP, the City or negotiated by the parties.

VII. SUBMISSION REQUIREMENTS & SELECTION PROCESSProposal RequirementsProspective operators are required to submit (1) signed original, six (6) copies and an electronic copy in PDF format on a CD of proposers proposal submission. The RFP submission shall be limited to no more than approximately 30 double-sided pages (minimum 12 pt. font preferred) that shall be bound.

Responses should demonstrate an understanding of the requirements of this RFP and present the following information in the same chronology as presented below clearly divided by the numbered sections, along with all required appendices/attachments. Proposers should provide the following:

1. Letter of IntentSummarize your organization's ability to undertake the requirements sought in this request for proposals — your overall approach to the effort, key abilities of your proposed management team, and distinguishing factors on why your organization should be selected. The letter must be signed by a person authorized by the proposer to obligate the Operator to perform the commitments contained in the Proposal.

i. Full legal company name, organization structure (e.g., corporation, partnership, joint venture) of proposers(s), and complete contact information including mailing address, phone and fax numbers, and email address.

ii. Describe the proposer’s organization and staff team as it relates to the business planning, implementation, marketing and operation of the restaurant concepts. Include an organizational chart of personnel that would be involved in the management effort.

iii. The proposer should indicate if the company has been party in any legal suit, action, or contractual event of default in the last five (5) years. If so, provide explanation.

iv. Proposer should include a financial statement prepared in accordance with standard accounting procedures. Financial statements would include: annual income and net worth (assets and liabilities), including a breakdown of liquid and non-liquid assets. Proposer should include supporting documentation of their financial worth, including Financial Statements, Balance Sheets and Income Statements, and tax returns from the past three (3) years (corporate or personal). Where applicable, include published and publicly-available financial data for proposer, and its partners and participants where applicable, including assets (e.g., annual report, including latest quarterly report, 10k reporting, and recent securities offerings).

3. Experience and Referencesi. List all current management contracts/responsibilities held or

previously held by organization of members of the team for food retail concepts, and restaurants, and other similar venues. include contact person information (title, phone and fax numbers, and email address) and a narrative description of responsibilities and major accomplishments for each facility.

ii. List any contracts that have been terminated or have been renewed within the last five (5) years and include the name of a contact person. Contacts provided should be individuals who are capable of speaking to the management entity’s performance on the contract cited.

iii. Describe the most similar facilities/projects (i.e., size of facility, mission, size of restaurant, and market orientation) that the organization or members of the team currently manage or have managed in the past.

iv. What strategies that the organization, or members of the team, have implemented at similar facilities have resulted in successful restaurant operation?

v. Restaurant teams must demonstrate capacity in all aspects of the restaurant operation including, but not limited to - marketing plan, food preparation, business and financial plan development, and physical design capabilities, and operations.

vi. Proposer should preferably provide evidence for at least the last three (3) years that they have been engaged in food and beverage retail and restaurant operation and that such operations each generated not less than $500,000 in annual gross revenue.

4. Overall Approach to the Restauranti. Provide a detailed description of the proposed approach in

undertaking the operation of The LH. Provide your concept for your overall approach/maritime theme for The LH. Proposers should note that proposals which incorporate a military/naval/veteran themed restaurant will receive more points under the project understanding criteria than proposals which do not.

ii. Sample menu and pricing plan.iii. Proposed Capital Investment and Design. Proposer should

submit a detailed timetable describing all proposer’s proposed design and improvement work, especially how it will execute the expansion of the LH space upon completed renovation of the Hangar. The timetable should clearly outline all intended improvements, the project costs of these improvements, and the anticipated commencement and completion dates of these improvements along with evidence of financing therefore.

iv. Schematic floor plan, restaurant layout, and renderings if applicable for both interior and exterior space. Proposer should include detailed plans for the design of the restaurant, including renderings, drawings, maps and diagrams as applicable. Design plans should include the exterior (including any proposed expansion of exterior space), interior fit-out, lighting plan, signage, furniture plan, and green space as applicable.

v. Itemized Equipment List - as applicable to be supplied by the proposer.

vi. Security – plan should include use of security cameras on the first floor to monitor site after hours and an attendant on duty at the foot of the stairs when the LH is operating and the Naval Park is closed. (By way of example, the current LH operator hires a security guard on busy nights – usually weekends – to prevent access to the second floor of the Museum).

Selection ProcessSubject to the sole discretion of BNP and City, a maximum of three (3) proposers may be selected for interviews. Selection for interviews will be based on an independent evaluation based on a point system of 100 total points. The submitted proposals will be evaluated using the following criteria:

1. Project understanding: demonstrates understanding of the project’s objectives and potential for achieving objective, including but not limited to: knowledge of the work; clarity, feasibility, cost-effectiveness; innovation of the site-specific management plan; role of

operators and operator personnel and understanding/integration of military/naval/veteran themes - 20 points.

2. Utilization of Additional Naval Park Space: ideas consistent with project understanding that creatively utilize additional naval park pace per Section IV of this RFP - 5 points

3. Experience on Similar Projects: Restaurant and similar projects - 10 points.

4. Project Management: Including but not limited to the resources, experience and qualification of the project personnel specifically committed to the project. The location and availability of personnel and the firm’s experience in restaurant operation will also be considered - 20 points.

5. Work Plan: The overall soundness of the proposer’s approach and comprehensiveness of the plan - 20 points.

6. Financial Terms: Proposed rents and utilities to be paid by the proposer - 25 points.

Final Selection will be based on the above factors, as well as interview performance. The sublease resulting from this RFP will be awarded to the qualified proposer whose proposal that the BNP and City determine to be the most advantageous based on the evaluation of the criteria outlined above.

Any proposed sublease shall be subject to all required approvals including, but not limited to approval by the BNP Board of Directors and the City. The sublease award shall be subject to the following conditions, to the extent applicable;

Americans with Disabilities Act Minority & Woman Owned Business Enterprises and related

requirements City of Buffalo Living Wage Law (See Attachment 2)

The BNP and City reserve the right to award a sublease on the basis of proposals received, without discussions or interviews. Therefore, each proposal should contain the proposer’s best terms from an operations and service standpoint and shall remain in effect for ninety (90) calendar days.

The BNP and City also reserve the right to enter into discussion/negotiations with one or more proposers and to subsequently request the submission of the best and final offers from such proposer or proposers, who after the conclusion of such discussions/negotiations, are still under consideration for award of the sublease. No proposer shall have the rights against the BNP or City arising from an invitation to enter into discussions/negotiations or an invitation to submit a best and final offer.

The proposer whose proposal is selected shall, within five (5) business days after written request by the Selection Committee, furnish insurance certificate(s) complying with the insurance specifications outlined in this RFP. The notice shall be served personally by the mailing thereof in a postpaid envelope addressed to the proposer at the address given in the proposal.

Minimum Rent Offer The proposer must submit its minimum offer on the form attached (Exhibit D), which must be signed by the proposer.

VIII. MANDATORY Pre-Submittal Conference

BNP personnel will be made available at a mandatory, pre-submittal conference on Wednesday, January 9, 2019 at 10:00 a.m. local time on the second floor of the Museum Bldg., 1 Naval Park Cove, Buffalo, New York 14202. At this meeting, individuals interested in responding to this request for proposal will have the opportunity to ask questions about requirements of the RFP and goals of the project. A mandatory tour of the LH space will be taken — proposers should dress properly for weather conditions.

IX. Time and Place of SubmissionProposals responsive to this RFP shall be delivered to:Paul MarzelloPresident & CEOBuffalo Naval Park, Inc.1 Naval Park CoveBuffalo, New York 14202Proposers are required to submit one (1) original and six (6) copies and an electronic copy in PDF format on a CD of their submittal prior to NOVEMBER 30, 2018 at 4:00 p.m. labeled "Proposal for The Liberty Hound Restaurant: Restaurant Facility Operator". Responses shall be firmly sealed in an envelope or box and contain the proposer's name and return address.The BNP and City reserve the right to reject a submittal if any document or item listed in this RFP is incomplete, improperly executed, indefinite, ambiguous, and/or missing. Under no circumstances will the BNP or City consider a proposal which is received after the deadline or does not include the basic items described above. Additionally, factors such as, but not limited to the following, may also disqualify a proposer without further consideration:

A. Evidence of collusion among proposers;B. Any attempt to improperly influence any member of the evaluation panel;C. Discovery that a proposer purposely misled or knowingly provided false or

inaccurate information in a submittal;D. A proposer's default under any type of agreement, which resulted in

the termination of that agreement;

E. Existence of any existing litigation, legal dispute, or unpaid liabilities between the proposers and BNP.

XI. Other ConditionsThe BNP reserves the right to request clarification from a proposer prior to rejecting a proposal for failure to meet the submittal requirements. Clarifications will be limited exchanges between the BNP and the proposer for the purposes of clarifying certain aspects of the proposal, and will not give the proposer the opportunity to revise or modify its proposal.

At any stage of the process, the BNP or its representatives, may contact references and industry sources, investigate previous projects and current commitments, and perform other due diligence in order to confirm the qualifications of the proposers.

No proposer will obtain by its response to this RFP, and separately by its response waives, any claim against the BNP or the City by reason of any or all of the following: any aspect of this RFP, any statement contained in this RFP, any part of the selection process, any informalities or defects in the selection process, the rejection of any or all submittals, the acceptance of any submittal, entering into exclusive negotiations, conditioning exclusive negotiations, terminating exclusive negotiations, approval or disapproval of plans or drawings, entering into any transaction documents, the failure to enter into a lease, any statements, representations, acts, or omissions of the BNP or the City, the exercise of any discretion set forth in or concerning any of the above, and any other matters arising out of all or any of the above.

The BNP and City will sublease the LH to the sublessee in an “AS IS” condition. It is the sole responsibility of the selected proposer to investigate and determine the condition of LH space, including existing and planned utility connections, and the suitability of the conditions for any proposed improvements and use.The information presented in this RFP, and in any report or other information provided by the BNP is provided solely for the convenience of the interested parties. It is the responsibility of interested parties to assure themselves that the information contained in this RFP or other documents is accurate and complete. The BNP and its representatives provide no representations, assurances, or warranties pertaining to the accuracy of the information. Proposers are responsible for reviewing all portions of this RFP and any other information provided by the BNP in relation to this RFP. Proposers are to notify the BNP in writing of any ambiguity, discrepancy, omission, or other error in this RFP promptly after discovery, but in no event later than 15 business days before the deadline to submit submittals. An interested party that does not give timely notice to the BNP will be deemed to have waived any ambiguity, discrepancy, omission, or other error in this RFP. Modifications and clarifications will be made by the BNP as addenda as necessary. City and its representatives provide no representations, assurances, or warranties pertaining to the accuracy of any information presented in this RFP.

The BNP’s and City’s issuance of this RFP is not a promise or agreement that the BNP will actually enter into any sublease agreement or that the City will consent to a sublease agreement. The BNP’s failure to object to an error, omission, or deviation in any submittal will in no way modify this RFP or excuse proposers from full compliance with the requirements of this RFP.

The BNP may modify, clarify, and change this RFP by issuing one or more written addenda. Addenda will be sent by electronic mail to each party receiving an RFP. The BNP will make reasonable efforts to notify interested parties in a timely manner of modifications to this RFP but each respondent assumes the risk of submitting its submittal on time and obtaining all addenda and information issued by the BNP.

Each proposer is responsible for all costs incurred in responding to this RFP. The BNP and City have no financial responsibility for any costs incurred by a proposer in responding to this RFP. The BNP will not pay a finder’s or broker’s fee in connection with this RFP. Proposers will be solely responsible for the payment of all fees to any real estate broker(s) with whom the proposer has contracted.

All submittals submitted will become the property of the BNP and may be used by the BNP in any way deemed appropriate.

For the purposes of this RFP, the terms “include,” “included” and “including” will be deemed to be followed by the words “without limitation” or “but not limited to,” and, where required by the context, the singular includes the plural and vice versa, and the feminine gender includes the masculine and vice versa. Section and paragraph headings used in this RFP are for reference only and are not to be used to interpret the provisions of this RFP.
