This form is addressed to promoters from a research institution that meets the definition of point 15 ee of the Guidelines for state aid for research and innovation 2014/C 198/01 (universities, higher education institution, De Groote centres, etc.) and that has at least one operating office in the territory of the Brussels-Capital Region.

It allows to apply to Innoviris for funding for a SPIN-OFF project.

Before completing this form, we ask that you read the SPIN-OFF 2020 rules carefully. You can download these from www.innoviris.brussels on the page for this programme.

Innoviris will send you a receipt no later than 5 days after submitting your application. After that, you will receive a letter within one month related to the administrative admissibility of your application.

For each admissible project, Innoviris will organize an ad hoc jury for the evaluation of the project. This jury will be made up of independent scientific experts, an expert with a business profile and scientific advisors of Innoviris. Each expert will sign a confidentiality agreement before receiving a copy of the project for prior reading. The jury will evaluate the project on the basis of the grant application and an interview. The information provided in the application therefore forms the basis for the juries' assessment.. Please complete this document with due care.

Describe the acquired research results of the host institution with respect to the state of the art. Clearly state which research results will be transferred to the spin-off. Describe, if applicable, which steps will be taken to analyse the freedom to operate.

3.3 OBJECTIVE: PRODUCT/PROCESS/SERVICE

Within the context of your project, describe the product, process or service that you plan to develop and that will be commercialised by the spin-off.

Describe why the product, process or service can provide a possible solution to current problems.

3.4 CHALLENGES IN THE AREA OF EXPERIMENTAL DEVELOPMENT

Indicate whether there are still experimental development challenges with regard to the state of the art. Describe them.

As a reminder: the project should not only focus on tasks related to the industrialisation of the product/process/service (e.g.: GUI, ergonomics, etc.).

The description of the programme must allow an evaluation of the relevance of the approach, the feasibility of the project within the set time frame and the match between the resources and the tasks.3.5 PROJECT PROGRAMME

5 BudgetStaff costsThese are all costs related to the staff (the researcher, the alter ego on the payroll and the part-time technical support staff).

Costs related to the execution of the technical objective

1. Costs of tools and equipment: These costs correspond to the depreciation of instruments and equipment used for the project. If instruments and equipment are not used for the project for their entire lifetime, only the depreciation costs which correspond to the duration of the project are authorised, calculated on the basis of generally applicable accounting principles.

The depreciation is calculated in proportion to the duration of the project and the percentage of use of the equipment. The whole is reduced to a period of three years for IT equipment and a period of five years for scientific and technical equipment.

3. The costs of contractual research, knowledge and patents purchased or licensed from external sources under the condition of full competition as well as the costs of consultancy and similar services used solely for the purposes of the project.

General costs: This is a lump sum to cover the additional costs directly linked to the implementation of the project (secretariat, accounting, telecommunications). It is a lump sum of maximum 10% of the sum of the other operating costs (2) and the staff costs for employees (1).

Training costs: (max €4,000/2 years)These costs cover the registration costs of the researcher-entrepreneur for a training course in business management and entrepreneuship (e.g. Solvay Business School, ICHEC, Louvain School of Management, etc.). Any other type of training is not allowed in this section.

Annex 1.d: Declaration of the qualification of the applicant as a research institution The purpose of this form is to make it easier for entities to qualify as research institutions, non-profit organisations or undertakings within the meaning of European law. On this basis, it is verified whether state aid is possible and what percentages of state aid are permitted.

Reminder of definitions

Article 1.3 of the Guidelines for State aid for research, development and innovation (2014/C 198/01) defines the term research organisation as follows: "an entity (such as universities or research institutes, technology transfer agencies, innovation intermediaries or entities for virtual or real research-oriented cooperation), irrespective of their legal status (public or private) or their method of funding, which is principally concerned with the completely independent performance of basic research, industrial research or experimental development or with the wide dissemination of the results of these activities by means of teaching, publication or transfer of knowledge. When this type of entity also engages in economic activities, separate accounts shall be maintained for the financing of, costs of, and revenues from those economic activities. Companies which can exercise decisive influence over this type of entity in their capacity as, for example, shareholder or member of the organisation, shall not enjoy preferential access to the research results obtained by this entity."

Activities considered by the European Commission to be non-economic (non-exhaustive list):

- training for more and better qualified human resources. Public education funded by the State, either mainly or wholly, and subject to State control within the national education system;

- independent R&D activities;; - cooperative R&D activities; - wide dissemination of research results on a non-exclusive and non-discriminatory basis; - knowledge transfer activities, where all profits from such activities are reinvested in the primary activities of

the research organisation.

Company: any entity, regardless of its legal form and even non-profit making, when it regularly carries out an economic activity. Any offer of goods or services which corresponds to a market and which may compete with the offers of other economic players may be defined as an economic activity. It is of little importance whether activities/services are exercised/delivered, with or without consideration, by the State itself or by a non-profit organisation. Each activity should be analysed separately to determine whether it should be considered as an economic activity, by checking whether other companies offer the same service and whether competition has developed in the sector concerned. Thus, several non-profit organisations offering parascolar activities for children in need may compete with each other and thus be considered as a company within the meaning of European law.

In concrete terms, an entity which simultaneously carries out economic and non-economic activities will not be classified as a company if

- the economic activities use exactly the same means of production (such as materials, equipment, employees, intangible assets, etc.) as the non-economic activities

AND

- the capacity allocated annually to the economic activities does not exceed 20% of the total annual capacity of the entity concerned.

A non-profit organisation is an entity, other than a research organisation, that does not carry out economic activities, or that carries out economic activities of a purely subordinate nature and is not dependent on an undertaking. In other words, your entity is a non-profit organisation if it is neither a research organisation nor a company.
