CGNA Proposed New Bylaw Update for Members

The Canada Not-For-Profit Corporations Act (NFP Act) “provides federal not-for-profit corporations with a new set of rules that are modern, flexible and better suited to the needs of today’s not-for-profit sector”. The NFP Act includes more rules than the previous act – rules that cannot be overridden by bylaws. The new NFP Act is intended to provide clear rules for governance of not-for-profit corporations and clarify directors’ duties and responsibilities. As a federally incorporated not-for-profit corporation, CGNA is required to comply with the new act by October 2014. This means that we must create new bylaws that conform with the new act – and have these bylaws confirmed by our members.

We have to review our letters patent, revise our bylaws, and submit the bylaws and other related documents to Industry Canada.

The CGNA Board of Directors struck a committee to revise the bylaws. We engaged an expert consultant and legal counsel to advise and assist us in the process. The committee, chaired by Lynn McCleary (President), included President-Elect Veronique Boscart and directors, Lynne Moulton (AGNA), Liz Ilczaszyn (BCGNA), Lori Schindel-Martin (OGNA), and member Gwen Harris (OGNA). The committee met through the summer and fall of 2013. A draft of the proposed bylaws was presented to at dedicated meetings of the CGNA Executive and the CGNA Board of Directors. The Board of Directors sought input from their provincial boards/executive groups. Members were informed of plans for these changes at the 2013 AGM and of the process we have taken in a previous newsletter and this newsletter.

The outcome of this process is the proposed new bylaws, now being shared with CGNA members in preparation for discussion and voting at the June 14, 2014 AGM in Winnipeg.

All CGNA members are eligible to vote on this resolution at the AGM. Plan to attend the AGM in person in Winnipeg or participate by phone.

If the bylaws are passed at the AGM, we will file the bylaws and additional paper work with Corporations Canada. We are required to have this completed by October, 2014

Copies of our current bylaws and proposed new bylaws are available on the CGNA website and are attached to this newsletter. A summary of changes to the bylaws is also provided with this newsletter.

In addition to our usual business of reviewing the financial report and budget for the coming year, we will be voting on a special resolution to approve revised bylaws. All members can vote on this special resolution.

The resolution, an explanation of changes to the bylaws, and a copy of the proposed bylaws are on the CGNA website.

Meet  our  Member Liz Ilczaszyn

Liz was born Dublin, Ireland. She attended nursing school at the Mater Misericordiae Hospital, graduating in 1979. After graduation she worked in Saudi Arabia from 1986 to 1990, before immigrating to Canada in 1990. In 1993 and two kids later Liz returned to nursing. The only work available to Liz at that time was casual and in residential care and by chance she started working in a long term care facility. Liz considers that her lucky day and she has been working residential care since.

Around 1998 GNABC formed a new chapter and Liz joined attending the sessions as she could. In 2004, Liz challenged herself to take the CNA certification exam in Gerontology. Although she had not had much formal education in care of older adults she nonetheless felt she had become very knowledgeable and wanted to be sure she actually knew what she was doing. The result for Liz was a pass and a certification in Gerontology Nursing.

By this time Liz had 1.5 credits for university. Asking for advice from UVIC nursing school, Liz decided to take an “open learning” nursing course, entitled "Mental Health Challenges in later Life". What a challenge this was for Liz. She had the knowledge and experience, but alas had no computer skills. Liz used a very interesting process to format her first paper (when the format called for double spacing Liz took it literally and clicked the space bar twice between each word). Needless to say her tutor was astounded!

Liz achieved her BSN in 2008 and recertified in gerontology in 2009. During all this time she was getting more involved in GNABC and in 2007 became provincial treasurer. Liz received a bursary from CGNA in 2007. In 2009 Liz attended her first CGNA biennium in Banff. What a marvelous conference that was as Liz found herself surrounded by brilliant nursing minds all focused on Gerontological care. From there Liz was hooked. Since then Liz have served as president elect, acting president and is currently provincial president.

During her involvement with CGNA, GNABC Liz has seen a huge growth in focused care for older adults. There is much to do as we move forward in a time of fiscal restraint and expanding expectations. It is a challenge which Liz believes nurses who care for older adults are aware of and it is a challenge which our organizations must take up as we expand advocacy activities.

What is striking about Liz’s story is how she began in long term care quite by necessity and then developed a passion for what became her chosen field of geriatrics. Liz’s passion has transcended beyond the bedside to leadership roles within GNABC and CGNA. The CGNA would like to thank Liz for sharing her story. Very inspirational!!!
