11. Due to the potential of nesting birds, a net is to be installed on the underside of the roof structure after erection is complete to prevent birds from accessing the structural members and creating nests in the structural shapes.

1.0 SCOPE OF WORK Furnish all materials, accessories, equipment, tools, transportation, and perform all services and labor required to complete the building system, which includes the following: The structural steel system primary and secondary members, metal roof system, wall systems, all trim and building accessories, all doors and windows, wall and roof insulation with vapor barrier, and ventilation, as described in this specification and shown on the drawings. Provide all work in place, complete, for the Vic Firth Company (VFC) project in Newport, ME. Bidder to provide a detailed schedule including delivery of approval drawings, delivery of building components, and time for building erection on foundations. The building supplier will be required to schedule the building erection in collaboration with other trades to allow for building erection that minimizes the impact to other trades. 3.0 CODES AND STANDARDS A. The buildings shall conform to the International Building Code (2015 edition), to all applicable
local building codes, and to the MBMA "Metal Building Systems Manual", (2012 Edition). B. Manufacturer shall be IAS AC472 accredited.

C. All structural steel sections and welded plate members shall be designed in accordance with the AISC "Steel Construction Manual", latest edition.
D. All light gauge, cold-formed structural members and coverings shall be designed in accordance
with AISI "Specifications for Design of Light Gauge, Cold-Formed Steel Structural Members", (latest edition).
E. AISC "Specifications for Structural Joints Using ASTM A325 or A490 Bolts”, (latest edition). F. AWS D1.1 Structural Welding Code, (latest edition). G. All work shall conform to OSHA standards. 4.0 SUBMITTALS A. General All metal building drawings and data submitted shall be designed by or under the supervision of
the Vendor’s qualified engineer registered in the State of Maine. All drawings and data shall have signature, date, and stamp of the registered engineer responsible.
B. Schedule Refer to section: 2.0 Tentative Schedule C. Building reactions and anchor rod layout drawings shall be submitted as one package. Reactions
shall include all necessary foundation anchorage loads, in combinations specified herein, that are required for the steel building and components and to be used for foundation design by others. Individual load case reactions shall also be tabulated. Reactions shall be appropriately referenced by building component and sign convention used. Anchor rod layout drawing shall include size, spacing, location and projection of all anchor rods required. Drawing shall also include size and location of baseplates or other steel bearing surfaces in contact with foundation.
D. All detailed drawings of the metal building system shall be submitted as one package. Drawings
shall consist of erection drawings, catalog cuts, shop painting and finishing specifications, window and door specifications, instruction manuals, manufacturer's recommended erection methods and procedures, and other data as necessary to clearly describe material, sizes, layouts, construction details, fasteners, and erection. Manufacturer's recommended erection methods and procedures shall describe the basic sequence of assembly, temporary bracing, shoring, and related information necessary for proper erection of the metal building including its structural framework and components.

5.0 DELIVERY OF MATERIALS Materials shall be delivered, stored, and handled so as to prevent any damage by water or breakage. All galvanized or painted materials, i.e., roofing, sheeting, wire bracing etc., shall be stored under roof to prevent corrosion. All insulation and other materials that are subject to rain damage shall also be stored under roof. The Owner will make adequate lay down and staging area available to the erector. Details of access and lay down areas shall be finalized at the pre-award conference. 6.0 MATERIALS A. The buildings shall be designed, fabricated, and erected to be weathertight. B. The buildings shall conform to the following general criteria:
1. All buildings shall be furnished with trim on gables, eaves, and corners. 2. All windows, doors, framed openings, and ventilation units as indicated on the drawings
shall be furnished with this package, unless otherwise noted. Currently, ventilation for the boiler building has not been designed and is not included in this RFQ. The owner will purchase the ventilation louvers and fans and will supply them to the contractor for installation. Mid-South will advise the selected supplier as to size and location of louvers once certified drawings are received from the successful contractor. The contractor will provide a cost to install at that time.
3. The building manufacturer shall provide base plate size, anchor bolt location drawings,
and building reactions. 4. Bolts, Nuts and Washers - High strength bolts, including nuts and washers, shall conform
to ASTM A325 or ASTM A490. Plain washers, other than for high strength bolts, shall conform to ANSI B27.2. Bolts for purlins and girts, and other bolts so designated on the drawings shall conform to ASTM A307, Grade A.
5. Welding Materials – Welding materials shall be the type required for materials being
welded and shall conform to AWS D1.1. Welding electrodes shall be E70XX. C. The following building nomenclature will be used throughout:
1. The "width" and "length" of the building shall be as shown on the drawings. 2. The "eave height" of the building shall be measured from the top of slab at the sidewall
columns to a line approximately to the top of the "eave strut". 3. The "bay spacing" shall be from centerline to centerline of the main support columns.

D. Structural Steel Design
1. All live loads, wind, and seismic loads shall be as required by the International Building Code (2015 edition) and the American Society of Civil Engineers (ASCE).
2. All buildings shall be designed according to the load combinations set forth in the
MBMA “Metal Building Systems Manual”, (2012 edition) and any other combinations specified in the governing building code.
3. Additional loads are as specified herein and on the drawings. Load combinations shall
be as specified in the International Building Code. 4. Loads not accounted for in the codes that shall be included in the design of the building
are as follows: All buildings shall be designed for a Collateral Load of 10PSF. This load is to account for
lighting, sprinklers and piping. 5. Building Risk Category II for Boiler Building and for Raw Material Handling Dock Building 6. Building Risk Category I for Lumber Storage Building 7. Snow and wind load design shall consider exposure Category C. 8. Importance factor for snow, seismic and wind shall be 1.0 for the Category II buildings. 9. Importance factor for snow and seismic shall be 0.8 and wind shall be 1.0 for Category I
buildings. 10. All columns shall be designed as pinned base.
11. The collateral load is not to be used to resist uplift. 12. Tributary area roof live load reduction is not allowed. E. Structural Framing
1. All framing members shall be shop fabricated for field bolted assembly.
2. Primary Framing a. All rigid frame and modular frame members shall be either hot rolled mill
sections or welded, built-up "I" shapes. b. All primary framing shall receive one (1) shop coat of red rust inhibitive primer,
applied at 3.0 – 4.0 mils DFT, Sherwin Williams, Steel Spec Universal B50 AV 8431 or equal.

3. End wall Framing End wall framing shall consist of columns at building corners, interior support columns,
and continuous or simple span rafter sections, unless otherwise specified on drawings. 4. Secondary Framing a. Roof purlins shall be cold-formed "Z" sections of necessary depth and gauge to
support the specified design loads. b. Eave struts shall be cold-formed, unequal leg "C" sections of sufficient depth
and gauge to support both roof and wall loads at the building eave. c. Wall girts shall be "Z" or "C" sections of sufficient depth and gauge to support
the specified design loads. d. The sheeting attachment at the base shall be an angle of unequal legs of
necessary gauge and size to provide a positive bolt connection. e. All secondary framing shall receive one (1) shop coat of red rust inhibitive
primer, applied at 3.0 – 4.0 mils DFT, Sherwin Williams, Steel Spec Universal Primer, B50 AV 8431 or equal, or galvanized finish (preferred) if standard per manufacturer.
5. Wind bracing, where required, shall be threaded rods fabricated of materials of
adequate strength, with capability of being adjusted as necessary. F. Roof and Wall Covering 1. Roof and wall panels shall be precision roll-formed. 2. Wall panel material shall be ribbed panel, (Alliance SBS ‘R’ panel profile or equivalent)
26 gauge minimum or thicker galvalume, per ASTM specification A653, and painted with metal panel coating system per manufacturers standards. Interior and Exterior face color shall be a standard manufacturer color. Color charts for both interior and exterior options shall be supplied with proposal for review and selection by owner.
3. Roof panels shall be 26-gauge minimum or thicker galvalume. Ribbed panel (Alliance
SBS ‘PBR’ profile or equal). All roof systems shall be screw down, ribbed panel, exposed fastener, with galvalume finish.
4. For exposed fastener roof and wall panels, self-tapping panel fasteners shall be No. 14,
Type “A”, hex head, stainless steel screw with bonded neoprene seal washer factory assembled.
5. Sealer for roof sidelaps and endlaps shall be per-formed tape mastic, and/or non-
skinning tube sealants. Tape mastic shall be pre-formed butyl rubber-based compound, which is non-hardening, non-corrosive to metal and shall have excellent adhesion

properties. Tape mastic shall be white or light grey in color. Tube sealant shall be a synthetic elastomer-based material, grey or bronze. The sealer shall be non-asphaltic, non-shrinking, non-drying, and non-toxic. Adhesion to metal, plastic, and painted surfaces shall be superior from -10°F to 140°F. Flash point shall be at least 300°F and shall not flow at 200°F.
G. Flashing Closures and Trim
1. Flashing and/or trim shall be provided at the rake, corners, eaves, framed openings, and wherever necessary to provide a "weathertight" building and a finished appearance.
2. Flashing and/or trim shall be formed from factory painted materials. Rake and eave
trim, or gutters, shall be furnished in Owner selected color. Trim on corners, framed openings or other openings in wall shall be furnished in the same color as the wall material.
3. Solid or closed cell rubber or neoprene closures, pre-formed, and shall be provided at
rake, eave, ridge, and roof to wall flashing when required to ensure weather tightness. 4. Thermal break at purlins shall be provided if noted on drawings.
5. Flashing shall be 24-gauge steel sheet galvanized and painted to match building siding or trim. Ridge caps and corner trim shall be one-piece die formed panels, all comparable with the cladding type.
H. Accessories 1. Insulated Hollow Metal Swing Doors a. Door leaves shall be 3’-0” x 7’-0” x 1-3/4" thick, full flush, fabricated from 20
gauge, 1.25 ounces per square foot hot dip galvanized, mill bonderized steel sheets. Jamb extensions shall be furnished where required to provide secure attachments to the wall framing.
b. Doors shall be furnished with lever handles, satin chrome finish and industrial
hydraulic closer, unless noted on drawings. Provide locksets on all exterior doors. Doors to be keyed alike. Door handles are to be approved by owner.
c. Doors shall have full safety glass light panel on upper half of door. d. Doors shall be insulated. e. Each door leaf shall swing from three (3) 4½" x 4½" galvanized steel, inter-
locking, template butt hinges. f. Door leaf and frames shall be shop painted with one (1) coat primer and one (1)
finish coat. Finish color to be determined by Owner.

g. Fire rated doors shall be provided as indicated on the included drawings and shall be in accordance with NFPA 252 fire protective standards (45 minutes and under ratings) and ASTM E119/NFPA 251 fire resistive standards (over 45 minutes).
2. Overhead Doors Reference drawings for door locations and sizes. 4. Windows Reference drawings for window locations and sizes. Windows shall be metal framed,
double hung and have low-E glass. 5. Gutters and Downspouts None Required 6. Insulation
Metal Building Insulation for the boiler building shall be vinyl backed condensation control blanket of sufficient thickness to provide a minimum “R” value required by the energy code adopted by the State of Maine. The (white) vinyl backing shall provide a permeability of 0.02 perms or less when tested in accordance with ASTM E 96 with a flame spread rating of less than 25 when tested in accordance with ASTM C 84. Insulation shall conform to ASTM C 665, Type II, Class A or Type III, Class A. Insulate all building ceilings. Ceiling insulation systems shall meet the required R-Value of the Maine Energy Code. Appropriate thermal block/break at purlins and girts shall be provided. Wall insulation system shall include thermal break at girts. Insulation shall be of sufficient thickness to meet the International Energy Conservation Code (IECC), latest edition. Roof insulation will be supported by Skyweb System (or equal).
7. Ventilators Exhaust fans, gravity ventilators, and louvered vents shall be as specified on the
drawings and shall be of size and type shown on the drawings (Later-Reference 6.0-B-2 Above). Color and final paint coating or finish to match siding color or to be selected by the Owner. Owner to supply components for installation by contractor.
I. Building Anchorage and Foundations The building anchor bolts and related anchorage shall be designed to resist the column reactions
resulting from the specified loads as applied in the specified loading combinations. The sizes and design shall be as specified by the building manufacturer. All required anchor bolts will be

supplied by others. Refer to drawings for any unique connection circumstances such as extending or attaching to equipment columns or steel structure supplied by others.
J. Grout Contractor to advise if grout is required under column base plates. If grout is required, a
maximum of 1” grout allowance to be assumed. K. Liner Panels Contractor shall provide a separate price for supply and install minimum 29-gauge liner panels in
two configurations.
Liner panel and flashing full height of walls. 7.0 ERECTION A. Contractor responsible for erection all items. B. Exercise care with all items to avoid damaging either materials or finishes. C. Provide all bracing, temporary bracing and accessories required for proper and complete
erection of work. Safety and adequacy of temporary bracing are the responsibility of the Contractor.
D. Set all steel plumb, level, and properly spaced at correct elevations. E. Erection tolerances shall be in accordance with AISC "Code of Standard Practice for Steel
Buildings and Bridges". 8.0 WARRANTY A. Bids shall include a written warranty against defects in workmanship and materials for a
minimum of the following: 1. A one (1) year workmanship warranty against failures caused by faulty erection. 2. A two (2) year materials and workmanship warranty against failures.
3. Provide manufacturer’s written weather tightness warranty for five (5) years against leaks in roof panels arising out of or caused by ordinary wear and tear under normal weather and atmospheric conditions.
4. Provide manufacturer’s paint film warranty for twenty (20) years against cracking,
peeling, chalking, and fading of the coating on painted wall panels, painted roof panels, and soffit panels. Manufacturer warrants that coating shall not peel, crack, or chip for twenty (20) years. For a period of twenty (20) years chalking shall not exceed #8 per ASTM D4214 and fading shall be 5 color difference units or less per ASTM D2244.

B. Any defects, leaks or other deficiencies appearing within this period of warranty shall be
immediately repaired at no additional cost to the Owner. C. Any materials damaged during shipping or erection to render it structurally unsound or unsightly
shall likewise be replaced at no additional cost. 9.0 SPECIAL INSTRUCTIONS A. All bids shall be submitted on the enclosed Bid Form with attachments, if necessary. B. The enclosed drawings are for BIDDING PURPOSES ONLY. C. The successful bidder shall have access to power as necessary for completion of the erection of
the buildings. D. Building erection is to be done with appropriate tie-off per OSHA requirements. E. Manlifts and truck cranes required for erection are to be part of the successful bidders’ s supply. F. Building lighting, electrical, etc. will be provided by others. 10.0 BID REMOVAL OPTION The Owner reserves the right to remove any or all of this section from the bid package.

1.0 GENERAL The Invitation to Bid (cover letter) shall be considered a part of the Instructions to Bidders, which shall be considered a part of the contract documents. 2.0 EXAMINATION Bidders shall carefully examine contract documents, which include the drawings and/or specifications. Bidders will not be given extra payments for conditions that can be determined by examining the contract documents. Where installation or construction work is involved, the Bidder is invited to inspect the site. 5.0 SCHEDULE Proposals shall contain a guarantee of time required to complete delivery and/or installation after acceptance of order and review of preliminary drawings. If more than one shipment is required, then a schedule of such shipments shall be included in the proposal. Concurrent with the issuance of preliminary drawings for review, a date related schedule based on the fabrication and/or installation schedule shall also be issued. 6.0 PRICING A. Proposal The bidder shall submit his proposal in accordance with the attached breakdown for individual
items as shown on the enclosed Bid Form. The prices shown will be firm and not subject to escalation on either labor or material. B. Tax Terms Vic Firth Company The material and equipment to be purchased as a result of this bid package shall be subject to
Sales and/or Use Tax. The federal ID number for the Vic Firth Company will be provided to the successful bidder.
C. Terms of Payment The terms of payment will be a percentage down at the time the purchase order is issued,
followed by a percentage for each of the following: certified drawings, building delivery, erection complete, and final payment after satisfactory occupation.
7.0 SHIPMENT AND FREIGHT CHARGES All equipment shall be shipped F.O.B. Newport, ME with freight prepaid. Prepaid freight for buyer's account is to be shown as a separate cost on Sellers' invoice and supported by a copy of the prepaid freight bill. All shipping claims shall be the responsibility of the shipper. Equipment will be received at the job site by the Owner and remain the responsibility of the supplier until system is installed. The shipper shall contact “CONTACT NAME” provided to contractor prior to shipment.

8.0 CHARGES FOR SUPERVISION When applicable, the proposal shall indicate the amount and type of start-up supervision that is included and the cost of any additional supervision that may be requested by the Owner. 9.0 SPECIAL TOOLS Any special tools or fixtures of whatever nature required for installation, adjustment, maintenance or operation of the equipment shall be furnished with the equipment and/or services and their cost included in the price quoted. Said quote shall include a list of those special tools and/or services. 10.0 WARRANTIES Each proposal shall contain a statement of the warranty period from shipping date and from the initial operation date for goods and services offered. In no situation will said warranty period be less than twelve (12) months. 11.0 INSURANCE REQUIREMENTS The successful Contractor will be required to furnish insurance as outlined in General Conditions, attached as a part of this Quotation Request. If you cannot comply with these insurance requirements, your quote will not be accepted. Include with your quote a Certificate of Insurance and/or an insurance binder from insuring company. This document shall reflect that the required insurance can be acquired from the insurance company prior to the starting date of contract. The Contractor will include Owner and Engineer under the endorsement to waive the right of subrogation for workers compensation. The Contractor will also provide an insurance certificate that names Owner and Engineer as an additional insured under the Public Liability, Automobile Liability and Pollution Liability insurance coverage. 12.0 AWARDING OF CONTRACT The Owner reserves the right to award the contract on any basis deemed to be in the Owner's best interest. While e-mailed copies of the originals are encouraged to facilitate the design process, Engineer will rely solely on Drawings of Record for design purposes and must have HARD COPIES prior to providing “Certified/Issued for Construction” drawings. A. E-mailed drawings ARE encouraged to facilitate the design process. B. E-mailed drawings WILL be accepted for information and review purposes only. C. E-mailed drawings SHALL be submitted with only one (1) drawing per AutoCAD (.dwg) file. Zip
files will be accepted and are preferred. D. E-mailed drawings SHALL be accompanied by the respective plotting set-ups.

1.0 DEFINITION OF TERMS A. Owner Whenever the word "Owner", "Purchaser", or "Company" is used, it shall be understood to refer
to Vic Firth Company. B. Contractor Whenever the word "Contractor", "Supplier", "Fabricator", or "Vendor" is used, it shall be
understood to refer to the person or persons, co-partnership, corporation, or joint venture who have entered into the Agreement with Owner or his legal representatives. The word "Contractor" shall also mean the Contractor's agents, employees, officials, subcontractors, or anyone connected with the work herein set forth on behalf of the contractor.
C. Engineer The word "Engineer" shall be understood to refer to the Engineer of the Owner, Mid-South, or
such other engineer, supervisor, inspector, or testing laboratory as may be authorized by said Owner to act in any particular position or capacity.
The engineer shall have the power to make decisions on all questions involving the
interpretation of plans and specifications. 2.0 SCOPE OF WORK A. Work Covered by the Contract Price The price agreed to in the Contract shall cover the cost of necessary supervision, labor, tools,
materials, equipment, etc., required to perform the work in strict accordance with the specifications and drawings. The Owner or Owner's Engineer shall determine the satisfactory completion of work.
B. Changes in Work The Owner reserves the right to make alterations, deviations, additions to, or omissions from
the plans, specifications, or quantity of work as may be deemed necessary. The Contractor shall perform all changes in work. Any changes will be set forth in a Contract Change Order which will specify the work to be done in connection with the change, adjustment of contract time, if any, and the basis of compensation for such work. A Contract Change Order will not become effective until approved by the Owner.

C. Injunction or Strike If there be an injunction, strike, or interference by duly constituted legal authorities which will
delay the work, the Contractor shall give the Owner or his Engineer notice of such injunction or other cause of delay, together with all pertinent details, papers, copies of injunction, etc. The Contractor shall also vigorously pursue all legal remedies necessary to remove the interference.
D. Revision to Certified Shop Drawings Engineering and/or construction revision expense resulting from changes made in Fabricator's
shop prints after certification shall be billed to the Fabricator, unless such post-certification changes are made at the request of the Owner or Engineer.
E. Packing, Marking, and Shipping 1. Structural steel shall have an erection mark which corresponds to drawings. 2. Structural steel shall be packed and/or protected to insure safe shipment and
subsequent storage at job site prior to actual installation. 3. Finished surfaces shall be adequately protected for shipment by easily removable
coating and/or by other means required. 4. All structural steel shall be adequately protected for shipment and machined surfaces
protected against rust. All small parts shall be boxed, crated, and packaged for shipment, and each box, crate or package shall be clearly and legibly identified as to its contents.
5. Fabricator shall package and ship all bolts, flat washers, bevel washers, and nuts
required for assembly, but not for fastening equipment to concrete or steel. 6. The Seller will be liable for any charges resulting from improper packing, loading, or
shipping. G. Compliance Contractor warrants that all goods proposed hereunder shall be produced, sold, delivered, and
furnished in strict compliance with all applicable laws and regulations to which the subject goods are subject. Contractor shall execute and deliver such documents as may be required to effect or to evidence compliance. All laws and regulations required in agreements of this character are hereby incorporated by this reference, including provisions of Executive Orders 10925, 11114, 11246, 11375, and 11598, and as amended, and opportunity for employment on government contracts and all rules and regulations of the President's Committee on Equal Employment Opportunity.

3.0 QUALITY CONTROL A. Inspection of Work Any and all work is subject to inspection by the Owner or Engineer at any time during the
performance of the work. The results of any tests will be made available to the Contractor, but interpretation of the results and acceptance will be the responsibility of the Engineer.
Any and all fabrication work will be subject to shop inspection by the Owner or Engineer at any
time during the performing of this contract. B. Shop Drawings Shop drawings, when furnished by the Contractor to the Engineer, shall be checked for
completeness and accuracy before submission. The Owner or Engineer shall not be held responsible for any omissions or errors on the shop drawings, even though the Engineer and Owner have revised the drawings.
C. Defective or Damaged Work Any work or material which has been rejected by the Owner or Engineer due to damage or poor
workmanship shall be corrected or replaced in acceptable manner by the Contractor, and no compensation will be allowed for such correction or replacement.
4.0 SCHEDULE The goods and/or services as specified herein will be subject to expediting by the Owner or its representatives. As required by the Owner or Engineer, the Contractor shall supply schedules and progress reports for the Owner's use in expediting. 5.0 CONSTRUCTION DRAWINGS No drawings shall be used for fabrication or construction without an "Issued for Construction" stamp plainly located on the lower right-hand corner of the drawing and be signed and sealed. All work done from any drawings without the "Issued for Construction" stamp, signed, and sealed shall be replaced at the Contractor's expense unless the work is approved in writing by the Engineer. 6.0 FINAL PRICE BREAKDOWN The Contractor shall furnish a complete breakdown for accounting purposes of this price by major components, in accordance with listing and accounting numbers to be furnished by the Owner. In

general, the breakdown will not be carried so far as to cause a hardship upon the Contractor. For the Contractor's guidance, a sample breakdown will be furnished in advance, if requested. 7.0 CONTRACT The Contractor shall not subcontract or assign any part of the work covered by these specifications without first obtaining written approval from the Owner. Nothing in the Contract Documents shall create any contractual relation between any subcontractor of the Contractor and the Owner. The Contractor agrees that he is fully responsible to the Owner for the acts and omissions of his subcontractors. 8.0 CONFLICTS The contract documents are complementary, and what is called for by any one shall be binding as if called for by all. In case of conflict between any of the Contract Documents, priority of interpretation shall be in the following order: Signed Agreement, Payment Bonds (if any), Bid Form, Special Conditions, General Conditions, Instructions to Bidders, Invitation to Bid, and Specifications. 9.0 REFERENCE SPECIFICATIONS Where reference is made in these specifications to specifications compiled by other agencies, organizations or departments, such reference is made for expediency and standardization and such specifications referred to are hereby made a part of these specifications. 10.0 INDEMNIFICATION The Owner, the Owner's Agents, Mid-South, their employees, or their duly authorized agents shall not be held accountable in any manner for any loss or damage that may happen to the work or any part thereof, for injury to any person or persons or for damaged adjacent property resulting from the Contractor's operations or the operations of any subcontractor, or anyone directly or indirectly employed by any of them or anyone for whose acts any of them may be liable. Prior to the acceptance by Purchaser of equipment thereof, as provided in this contract, the Contractor shall be responsible for and shall indemnify and hold harmless the Owner, the Owner's Agents, Mid-South Engineering Co., their employees, or their duly authorized agents, from any and all damages suffered and from any and all liability claims or other actions brought for or on account of any injuries or damages received or sustained by any person or persons, by or from the Contractor, the subcontractors or their agents, in construction of the work, or by any consequence or any negligent act or omission of the Contractor, the subcontractors or their agents, or by failure to pay any taxes or to satisfy other

liabilities for which the Contractor, the subcontractors and their agents are responsible, but this shall not include any liability arising out of the sole negligence of the Owner, the Owner's Agents, Mid-South Engineering Co., their employees, or their duly authorized agents. After the acceptance by Purchaser of the equipment and installation thereof, the Supplier's obligation of indemnification due to any occurrence which causes loss, injury, or death shall be limited to the proportionate extent of a judgment that it is determined that Supplier's negligence or fault contributed to, or is a producing cause of, the loss, injury, or death made the basis of the claim. 11.0 LIENS Supplier agrees to pay off and satisfy all claims for labor and materials employed or used in any way by supplier in connection with the work performed hereunder for the Purchaser, and to permit no liens of any kind to be fixed upon or against the property of the Purchaser by Supplier's laborers, mechanics, or material men, and agrees to indemnify, protect, and save the Purchaser harmless from and against all such claims and liens. 12.0 INSURANCE/BONDING At the option of the Owner, the Contractor agrees to provide a Performance, Payment, Supply Bond, written by the company satisfactory to Owner, in the full amount of the contract. The cost of the bond shall be borne by the Owner. 13.0 PATENTS AND ROYALTIES INDEMNITY: Seller shall indemnify, protect, defend and hold harmless Buyer and its officers, employees, agents, customers, and clients, from and against all claims, suits, judgments, costs, losses, expenses (including attorney's fees), and liabilities, of whatsoever kind and nature arising out of any infringement, actual or claimed, of any patents, copyrights, royalties, or trade names by any of the goods covered by this order or by their manufacture, sale or use. 14.0 GOVERNING LAW This contract and the rights and duties of the parties hereunder shall be governed by the laws of the State of Maine.
