TERMS OF ENROLMENT

General

In this document:

“VBP+” or the “Program” means the Verified Beef Production Plus Program by its managing body the

Canadian Cattlemen’s Association who is the national coordinating body for Verified Beef Production Plus verification in Canada;

“Provincial Delivery Agent” or “PDA” means, in each respective Province, BCCA Program Delivery Inc. in

British Columbia, Alberta Beef Quality Starts Here in Alberta, Saskatchewan Verified Beef Production Inc. in Saskatchewan, Manitoba Cattle Producers Association in Manitoba, Beef Farmers of Ontario in Ontario, Producteurs de Bovins du Quebec in Quebec, Maritime Beef Council Inc. in Nova Scotia and New Brunswick, and Prince Edward Island Cattle Producers in Prince Edward Island and Newfoundland & Labrador who are the provincial delivery agents in the respective Provinces of any verification protocol created or authorized by VBP+; and

“Beef Cattle Operation” or “BCO” means, the beef cattle operation described above that is, or wishes to

become, verified by the PDA pursuant to the verification protocol authorized by VBP+ in the Province in which the BCO’s headquarters are located.

This Agreement amends and restates in their entirety any prior agreements made between VBP+ and/or the PDA on the first part and the BCO on the second part. This Agreement constitutes the entire agreement between the PDA and VBP+ on the first part and the BCO on the second part.

VBP+ may unilaterally change the terms of this Agreement. However, any changes made by VBP+ shall only be deemed effective when notice is sent to the BCO by email to the email address noted above or a replacement address as indicated by the BCO from time to time. The BCO is deemed to accept the change if they do not respond in opposition within 30 days or if they utilize any service or program of VBP+ whether or not a notice is sent, whichever occurs sooner.

This Agreement may be executed and delivered by electronic means and any copy executed and delivered by electronic means shall be deemed to have the same effect as an original.

Beef Cattle Operation’s (BCO’s) Commitment

By execution of this Enrolment Form and Terms of Enrolment Agreement the BCO verifies that on the BCO, where applicable, all required documentation and practices as per current Program requirements are in place. The BCO also acknowledges and agrees:

1) to pay Program fees that may be incurred from time to time and as agreed to by the BCO;

2) that the BCO has 3 months of records if a feedlot and 6 months of records if a cow/calf operation available and on hand for review upon the first on-farm audit;

3) to annually maintain Program requirements, as they may be adjusted by VBP+ from time to time, by participating in the annual assessment cycle composed of an on-farm audit, records assessment or self declaration (see applicable VBP+ manual); and

4) that they understand that the registration certificate issued by VBP+ and the PDA, if issued (thereby the BCO becoming “Registered” and the certificate the “Registration Certificate”):

a) is good for one year from the annual anniversary date and that if lapses occur in maintenance of the Program requirements VBP+ and the PDA can suspend the BCO or cancel the Registration Certificate and the BCO will no longer be considered a Registered operation;

b) confirms that the BCO is in conformance with the VBP+ program requirements and does not in any way certify, warrant or guarantee the safety or quality of the products or services provided by the BCO and the BCO agrees it will not represent to any person that VBP+ has in any way certified, warrantied or guaranteed any of its products or services; and

c) does not indicate that the BCO is automatically in compliance with any laws and that it is the BCO’s sole responsibility to ensure it is in full compliance with all applicable laws.

On-Farm Validation Audit

A validation auditor will be assigned to complete the required on-farm registration audit. The validation auditor will contact you in advance to arrange for a suitable date and time. All audits will assess all “Must-Do” items in the VBP+ manual against the practices as occurring on the BCO at that time of the audit.

If you think there is a conflict of interest issue with the assigned auditor visiting your operation please contact the VBP+ program coordinator before the visit to discuss assignment of an alternate auditor.

Use of VBP+ Logo

The BCO confirms that it is not authorized to use the VBP+ logo unless it is in strict compliance with this Agreement and further confirms its understanding that it cannot use the VBP+ logo in any manner whatsoever before it is Registered.

Once a Certificate has been issued to a BCO, and until the Certificate has been suspended, withdrawn or in any other manner revoked by VBP+ the BCO shall be granted a limited, non-exclusive, non-assignable, non-transferable, royalty-free license to use the VBP+ logo for the sole purpose of identifying the BCO’s successful completion and maintenance of the VBP+ program by placing the VBP+ logo in combination with the BCO’s logo and/or name on:

1) merchandise for the sole purpose of giving the merchandise to employees and customers of the BCO; and

2) documents such as letterhead, brochures, business cards, invoices, bills of sale, signs, advertising, sales catalogues, posters, website pages and other electronic and printed documents used by the BCO in connection with the normal course of business of their beef cattle operation.

The BCO shall not use the VBP+ logo in any manner beyond the scope of identifying that it maintains the VBP+ program requirements. The BCO shall only use the VBP+ logo in accordance with any VBP+ Logo Use Guidelines as may be provided to it from time to time.

The licence granted to the BCO to use the VBP+ logo shall terminate immediately upon the occurrence of the following:

1) the Certificate is suspended or withdrawn;

2) the BCO in any way ceases to be Registered according to VBP+ in its sole and unfettered discretion; or

3) VBP+ determines, in its sole and unfettered discretion, that the BCO has used, or intends to use, the VBP+ logo in a manner that is beyond the scope of this Agreement.

The BCO hereby acknowledges that monetary damages may not provide a remedy in the event of the BCO’s breach of this Agreement. Therefore, in addition to any other rights of VBP+, the BCO grants to VBP+ the right to enforce this Agreement by means of injunction, both mandatory (specific performance) and preventative, without the necessity of obtaining any form of bond or undertaking whatsoever, and waives any claim or defence that damages may be adequate or that may otherwise preclude injunctive relief.

The BCO agrees to indemnify and hold harmless VBP+ and the PDA for any damages and costs (including legal costs on a solicitor and own client, full indemnity basis) arising from the BCO’s improper use of the VBP+ logo.

If the Beef Cattle Operation (BCO) is Registered

Issuance of a Registration Certificate from VBP+ and the PDA indicates that the Registered BCO conforms to the VBP+ requirements and is committed to maintenance of those requirements, as amended from time to time by VBP+.

2) VBP+ is not responsible for how any of the BCO’s information as set out in this Form is used by any third party, whether or not VBP+ provided that information to the third party, and the BCO agrees that it has no action or claim against VBP+ for the use of that information by a third party; and

3) to use the VBP+ logo only in accordance with this Agreement.

VBP+ shall undertake best efforts to use commercially reasonable means to ensure the BCO’s information is only used in accordance with the Agreement.

The above noted Beef Cattle Operation (BCO) acknowledges and agrees to the terms and conditions set forth above in this Enrolment Form and Terms of Enrolment Agreement:

By initialling this paragraph the BCO hereby consents to and authorizes VBP+ and the PDA to communicate with it for commercial purposes via electronic means including, without limitation, email and text. The BCO may withdraw its consent at anytime by emailing VBP+ at [email protected].

APPLICATIONS

The safe zone is the space around the logo that should be kept clear from any text or graphic elements. The safe zone is determined by “X”.

The logo should have a clear visual separation from all other elements, including headlines, text, imagery, and the outer edge of the document or applications. When using the complete logo, graphic elements should remain at least one-third the width of the boxed logo from the logo on all sides.

When using the tilt logo, angle should be 15 degrees. The example on the right shows proper treatment of the correct tilt.

VBP+ Logo Use Guidelines

Unless otherwise expressly authorized by VBP+, these VBP+ Logo Use Guidelines must be used in

conjunction with a fully executed Enrolment Form and Terms of Enrolment Agreement executed by the

party who wishes to use the VBP+ logo (an “Agreement”).

All capitalized terms not otherwise defined shall have the meanings ascribed to them in the Agreement.

The VBP+ logo as set out in this document may only be used as set forth in an Agreement by an

Operation which holds a Certificate at all times of use and in accordance with the following guidelines.

Permitted Uses

Merchandise in combination with Operation logo or printed name of Operation on:

ball caps, shirts, jackets, pens, fridge magnets, coffee cups

animal health equipment: sharps containers, chute-side posters

pocket record books, key chains

other marketing merchandise as pre-approved by provincial VBP+ coordinator

Documents created for use by the Operation in combination with Operation logo or printed name of

Operation on:

letterhead, brochures, business cards, invoices, bills of sale

signs, advertisements, banners, pamphlets, posters, displays / exhibits

websites and electronic documents

point-of-sale marketing information to consumers

slogans for articles and advertisements

training manuals and employee educational materials

wallet registration card

designation for satellite/video sales and sales catalogues

auction mart material and information

Please note that under no conditions shall the VBP+ logo be affixed to a product or used in any way that

might suggest product certification. Use of the VBP+ logo and statements regarding VBP+ registration for

a beef cattle operation does not indicate or imply registration of product from such facilities or guarantee

the safety of any products.

Suggested Statements

The following suggested statements may be used by an Operation holding a valid Certificate to indicate

their status within VBP+:

We are registered with the Verified Beef Production Plus program and have demonstrated

conformance to sustainable on farm beef production practices.

This farm has implemented the Verified Beef Production Plus program, a cattle industry management

system designed to promote sustainable cattle industry management practices.

This Operation has demonstrated on-farm food safety practices based on HACCP, through

participation in a national program recognized by the Canadian Food Inspection Agency.

We have demonstrated conformance with Canada’s national on-farm food safety program through

annual assessments. More information on the Verified Beef Production Plus program can be found at

January 31, 2017 RE: Release of CCIA Account Number to Verified Beef Production Plus (VBP+) Program

Dear Producer, The Verified Beef Production Plus (VBP+) program is working to develop a confidential, seamless

method to easily identify cattle at slaughter as being raised on a VBP+ audited/verified operation production system. Customers of beef products are asking for this information and want to be able to source with confidence. In order to trigger a VBP+ audited status in a credible manner when the animal is slaughtered, VBP+ requires the cattle operation’s Canadian Cattle Identification Agency (CCIA) Canadian Livestock Tracking System (CLTS) account number. The CCIA CLTS account number will be used as the anonymous identifier for your cattle. By providing your CCIA CLTS account number to VBP+, you will help save time and effort to ensure that cattle coming from verified operations can be anonymously identified without any additional work required on the part of the cattle producer or VBP+. The CCIA CLTS account number is used only to connect cattle to the verified operation(s) on which they have spent time. Producers are asked to provide their CCIA CLTS account number upon enrollment in VBP+ to ensure cattle raised under an audited program can be sourced by retailers easily, without further paperwork nor disclosure of the name of the cattle operation owner. CCIA has been contacted by the VBP+ Program to assist producers with their CCIA CLTS account numbers. When a CCIA CLTS account number is provided to VBP+ administration, it will be stored in a secure database managed and owned by the VBP+ program, as a means to identify cattle as “raised in a verified production cattle operation”. VBP+ will not use the CCIA CLTS account number for any other purpose, other than this cross-reference to give credit to those who are maintaining requirements of the VBP+ program. VBP+ will not release the CLTS account number to any other party nor does it have the mandate to do so. readily available call CCIA at 1-877-909-2333, also confirm with them what the main

phone number is that you have registered with CCIA. This will also be required to

register on BIXS.
