Milford Industries, is a privately owned, light metal engineering business based in Camden Park, South Australia. Our modern facility occupies an area of approximately 10,000m² and produces two major product categories. The best-known and largest product group is our range of Milford Cargo Barriers. We are also a specialist in the design and manufacture of foldable stillages and intermediate bulk containers (IBC). The Cargo Barrier is designed to separate cargo from the occupant area under crash conditions. The Australian and New Zealand safety standard AS4034:2001 is the most stringent performance standard for internal vehicle load restraints in the world. Milford Cargo Barriers are rigorously tested and independently certified to deliver this standard for more than 200 Passenger, SUV, 4WD and Light Commercial Vehicles (LCV). The Milford Cargo Barrier has also been shown in many instances to save lives in roll-overs and other dangerous crashes. It has achieved this by acting as a structural bulkhead and therefore adding to the vehicle’s overall strength and design integrity. Importantly, the Milford Cargo Barrier was also honoured with one of the highest automotive industry accolades - the 1996 Award for Safety Engineering Excellence by the United States of America Department of Transportation. In Australia and New Zealand, we are the predominant supplier of Cargo Barriers to original equipment manufacturers (OEM) and with our Milford brand, the automotive aftermarket. Some of our key OEM accounts include, Ford, General Motors Holden, GM Daewoo, Hyundai, Mitsubishi, Nissan, Subaru, Toyota and Volkswagen. We also distribute our product to the automotive aftermarket through a large network of specialist wholesalers and stockists. The Milford Cargo Barrier is specified and used by the vast majority of Australia’s premier companies. The Cargo Barrier is considered, in our country, to be an essential requirement for fleet operators to ensure that they meet the duty of care provisions of the Occupational Health and Safety Act. It is also positively regarded as a means of keeping travelling families safe and in particular, it is a must for off-road travel or while on holiday. A small sample of correspondence from our many satisfied customers includes:

Conditions of sale of goods

Operative provisions

1 Interpretation

1.1 In these conditions of sale of goods:

1.1.1 contract of sale means an agreement between a purchaser and the seller for the supply of goods.

1.1.2 goods means all goods ordered from the seller by the purchaser.

1.1.3 purchaser means that person(s) or body(ies) corporate who purchase goods from time to time from the seller, and to whom these conditions are directed.

1.1.4 seller means Rees Operations Pty Ltd ACN 007 812 124 (trading as Milford Industries).

2 Application of conditions

2.1 These conditions apply to all contracts of sale between a purchaser and the seller, whether or not evidenced or contained in a written quotation and/or order, or any other document. They may only be varied with the written approval of the seller. They override any inconsistent conditions in any document or other communication used by the seller or the purchaser in relation to a contract of sale.

3 Communication of orders

3.1 Each order will be communicated to the seller in a manner acceptable to the seller and it will contain all information necessary to enable the seller to give effect to the order. The seller will be entitled to reject any order.

4 Payment

Price

4.1 The price of the goods will be the price published in the seller's price list prevailing at the date of receipt by the seller of the purchaser's order for those goods, or otherwise, the last quoted price provided by the seller, and ordered by the purchaser, within the time guidelines of the latest quote.

4.2 Unless otherwise agreed, the purchaser must pay the seller for the goods without any deduction or set off within 30 days of the expiration of the calendar month during which the relevant goods were delivered to the purchaser. Time is of the essence.

Tax

4.3 To the extent that the consideration to be paid or provided under a contract of sale is not expressed to be GST inclusive, the purchaser must also pay the GST payable on it for supply made to it. The seller must provide a tax invoice to the purchaser at or before the time that the purchaser is required to pay the GST. Terms used in this clause have the meanings given to them in the A New Tax System (Goods and Services Tax) Act 1999 (Cth).

4.4 The purchaser must reimburse the seller on a full indemnity basis for any other tax, duty or charge (excluding any tax imposed on the net income of the seller) that is payable by

the seller in relation to the contract of sale. The purchaser must pay immediately upon receipt of a written request to do so.

Goods remain property of seller until payment

4.5 The goods remain the seller’s property until the amount owed is paid. Until then, the purchaser is bailee of the goods. The purchaser must:

4.5.1 keep them in its possession and control;

4.5.2 keep them in good repair and condition, excluding fair wear and tear;

4.5.3 keep them stored separately and marked so that the goods are clearly and easily identifiable as the seller’s property and inform the seller of the location of the goods, if requested; and

4.5.4 not sell, assign or let them or any interest in them, or permit any charge, pledge, lien or other encumbrance to be created in relation to them.

What if purchaser disposes of goods?

4.6 If the purchaser disposes of any of the goods while they remain the property of the seller, or any of those goods become part of another product sold by the purchaser, the purchaser holds the proceeds on trust for the seller up to the amount it owes the seller in respect of those goods, and must immediately pay that amount to the seller.

5 Delivery

Place of delivery

5.1 Unless the order otherwise requires, delivery of the goods will take place at the seller's premises.

5.2 Where the order requires the goods to be delivered to the purchaser's premises, or other nominated premises, the purchaser will be responsible for all costs and expenses incurred or to be incurred in connection with the delivery. The seller will do its best to deliver the goods to the purchaser’s premises or other nominated premises on the date specified on the order. If a delay is caused by something beyond the seller’s control, the delivery is extended accordingly. The seller is not liable for any damage or loss to the purchaser resulting from any delay in delivery.

6 Acceptance

6.1 Upon delivery of the goods to the purchaser, the purchaser will be deemed to have accepted the goods.

7 Risk, insurance and damage

Risk passes to purchaser on loading or delivery

7.1 The risk in the goods passes to the purchaser when the goods are transferred to the purchaser's transport at the seller's premises or when the goods are delivered to the purchaser's premises or other nominated premises by the seller or the seller's carrier.

Purchaser must insure goods

7.2 The purchaser must keep the goods insured on usual terms against all risks usually insured against for goods of that kind from the time the risk in the goods passes to the purchaser until the time the property in the goods passes to the purchaser. The purchaser holds the proceeds of that insurance on trust for the seller up to the amount it owes the seller in respect of those goods, and must immediately pay that amount to the seller.

Damage discovered after delivery

7.3 The seller will not be liable for damage discovered after delivery unless:

7.3.1 the purchaser gives written notice to the seller and, if applicable, the seller’s carrier within 4 days after the date of delivery; and

7.3.2 the purchaser gives the seller reasonable opportunity to inspect the goods in the same condition and place in which they were delivered.

Seller’s liability for defective goods

7.4 The seller is liable for a defect in goods it manufactures that arises from faulty design, materials or workmanship, but not from fair wear and tear. Unless otherwise agreed, the seller is only liable if the purchaser notifies the seller of the defect within 12 months after the date of delivery of an intermediate bulk container and 3 years after the date of delivery of a vehicle load restraint product.

7.5 In the case of goods not manufactured by the seller, the seller will give the purchaser the same benefit of any warranty as given to it by the manufacturer or supplier of goods to the extent that the seller is able to successfully claim under that warranty.

Purchaser must deliver defective goods to seller

7.6 Unless otherwise agreed, the purchaser must deliver defective goods to the seller’s premises or other premises nominated by the seller within 7 days after the date when the defect is discovered.

Exclusion or limitation of warranties

7.7 All other conditions and warranties of any type in relation to the goods are excluded to the maximum extent allowed by the law. In respect of goods which are not of a kind ordinarily acquired for personal, domestic or household use or consumption, the liability of the seller for a breach of any condition or warranty implied by law is limited to any one or more of the following, at the option of the seller:

7.7.1 in the case of a breach relating to goods

(a) the replacement of the goods or the supply of equivalent goods

(b) the repair of the goods

(c) the payment of the cost of replacing the goods or of acquiring equivalent goods

(d) the payment of the cost of having the goods repaired.

7.7.2 in the case of services

(a) the resupply of the services

(b) the payment of the cost of having the services resupplied.

Seller indemnified if goods used improperly

7.8 The purchaser shall:

7.8.1 comply with all relevant laws, standards and safety procedures relating to its use of the goods; and

7.8.2 comply with all of the seller's instructions relating to the use of the goods.

7.9 The purchaser will keep the seller indemnified against any loss, damage or liability arising from a use of the goods that is not in accordance with clause 7.8.

8 Default

Purchaser must pay interest if payment not made on time

8.1 The purchaser must pay the seller interest on any amount not paid on time. The interest will be the Bill Rate applicable at the time of default plus 1.5%, unless otherwise agreed. Interest will be calculated daily and capitalised monthly. For the purposes of this clause, 'Bill Rate' means the 90 day bank bill swap reference rate (source: Bloomberg) as quoted in the Australian Financial Review (or some equivalent rate if quotation at the rate ceases) on the first business day following the due date.

Seller's right to recover costs

8.2 The seller is entitled to recover from the purchaser all costs and expenses incurred or to be incurred by the seller in connection with the recovery of any amount due by the purchaser including legal costs.

Seller’s right to repossession and suspension of delivery

8.3 If the purchaser fails to pay on time, the seller has the right to enter the purchaser’s premises and repossess the goods. The seller is not liable for any loss, damage or liability suffered. The seller is entitled to keep or sell the repossessed goods. The seller is also entitled to suspend any other delivery to the purchaser. The purchaser remains bound by its obligations to the seller.

Seller’s right to end contract

8.4 The seller may by written notice to the purchaser end a contract of sale immediately in any of the following circumstances:

8.4.1 the purchaser fails to perform any of its obligations under the contract of sale;

8.4.2 the purchaser dies or becomes incapacitated, or ceases, or indicates that it is about to cease, to carry on business;

8.4.3 anything happens that reasonably indicates that there is a significant risk that the purchaser is or will become unable to pay debts as they fall due;

8.4.4 a step is taken to have a receiver, receiver and manager, provisional liquidator, liquidator or administrator appointed to that person or any of its assets.

Seller’s rights if it ends contract

8.5 If a contract of sale is ended because of the purchaser’s default and the purchaser owes the seller money:

8.5.1 the money becomes payable immediately to the seller and bears interest in accordance with clause 8.1;and

8.5.2 the seller is entitled to enter the purchaser’s premises and repossess any of the goods in the purchaser’s possession or control.

Seller’s rights if unable to perform

8.6 If the seller’s ability to perform its obligations under a contract of sale is adversely affected by war, strike, trade dispute, damage to plant or machinery, shortage of any material or labour or any cause beyond the seller’s control, the seller may, if it chooses, end the contract of sale or suspend it for up to 3 months by giving the purchaser written notice. The seller will not be liable for any loss, damage or liability which the purchaser incurs.

Seller’s other rights and remedies

8.7 The rights and remedies provided in clauses 8.4, 8.5 and 8.6 will not affect any other rights or remedies available to the seller.

9 Miscellaneous

Assignment

9.1 The seller may not assign any right or obligation under a contract of sale without the purchaser’s written consent.

Cancellation

9.2 An order may only be cancelled with the seller’s written consent. The seller is entitled to charge a fee as a condition of consent. If the order is for custom made items, this fee will be at least the amount incurred by the seller for the materials and labour involved in processing the order.

Severability

9.3 If a clause or part of a clause can be read in a way that makes it illegal, unenforceable or invalid, but can also be read in a way that makes it legal, enforceable and valid, it must be read in the latter way. If any clause or part of a clause is illegal, unenforceable or invalid, that clause or part is to be treated as removed from this document, but the rest of this document is not affected.

Waiver

9.4 The fact that either party fails to do, or delays in doing, something it is entitled to do under this document, does not amount to a waiver of its right to do it. Any waiver must be in writing. A written waiver by the seller is only effective in relation to the particular obligation or breach in respect of which it is given. It is not to be taken as an implied waiver of any other obligation or breach; or as an implied waiver of that obligation or breach in relation to any other occasion.

Governing law

9.5 All contracts of sale are governed by the law of South Australia.

Information provided by the seller to the purchaser

9.6 Any information and advice in relation to the goods provided by the seller is a guide only for the installation and/or use of the goods in normal conditions.

Information provided by the purchaser to its customers

9.7 This clause applies to purchasers who purchase goods from the seller for re-supply.

9.7.1 The purchaser will provide information about the goods to their customers as the seller may from time to time specify.

9.7.2 The purchaser will not make any representations about the goods including about their fitness for any purpose.

9.7.3 The purchaser will indemnify and keep indemnified and hold harmless the seller in respect of all claims arising from a breach of this clause by it.

9.7.4 Nothing in this clause will give rise to any legal relationship between the seller and the purchaser.

Price increase

9.8 The seller is entitled to increase the price of the goods without notice if there is an increase in any of the following:

9.8.1 freight, marine all risks and other insurances

9.8.2 shipping costs and expenses

9.8.3 foreign exchange, customs and primage duties

9.8.4 costs of sub-contracted items of work and goods

9.8.5 cost of component parts purchased from other manufacturers

9.8.6 sales tax and any other charge imposed in relation to the goods unless it is specified in the seller’s quotation.

Privacy

9.9 The seller will treat any information gathered in relation to the contract of sale in accordance with the National Privacy Principles contained in the Privacy Act 1988.
