Dear Mr. Krohn:

By letter dated October 6, 2015, the Bureau of Ocean Energy Management (BOEM) notified W&T Offshore, Inc., (W&T) that it no longer met the relevant financial strength and reliability criteria set forth in BOEM's Notice to Lessees No. 2008-N07 (NTL). Accordingly, BOEM has determined that'it is necessary to require .the provision of supplemental bonding (additional security), pursuant to 30 CFR § 550.1011, to assure performance of obligations .associated with rights-of-way for which W&T is the holder-of-record.

Utilizing its authority under 30 CFR § 550.1011(a)(2), BOEM hereby orders W&T to provide additional security in the amount of $58,539,836, under the terms set forth in this Order, for the rights-of-way for which W&T is the holder-of-record. Those rights-of-way are listed in the Appendix attached to this Order.

BOEM hereby orders W&T to submit the required additional security of $58,539,836 to BOEM's Leasing & Financial Responsibility Section prior to 5:00 p.m. Central Time on March 29, 2016.

BOEM also hereby notifies W&T that the agreement, referred to as a Financial Assurance Plan, entered into between W&T and BOEM on December 21, 2015 is no longer ih effect, due to W&T's failure to comply with the agreement. Pursuant to the agreement, W&T committed to providing additional security in installments, with the first installment of $69,998,478 due on January 20, 2016. As of today's date, W&T has provided only $7,010,164 of that first installment due on January 20, 2016. W & T has failed to fulfill its commitments under the agreement and failed to provide the agreed-to additional security.

W&T may submit responses to this Order on-line at https://timsweb.bsee.gov, or by mail to, Leasing & Financial Responsibility Section, GM 266A, Gulf of Mexico OCS Region, 1201 Elmwood Park Boulevard, New Orleans, Louisiana 70123. Please ensure that all responses to this Order are executed by persons shown as authorized to do so in BOEM's qualification records.

Failure to comply with this Order within the time period specified herein may result in appropriate enforcement action, including assessment of civil penalties in amounts set forth at hftp://www.boem.gov/Ci vil-Penalties-for-Noncompliahce-with-Bond-Requirements _ (see 30 C.F.R. § 550.1011 and part 550, subpart N), and/or referral to the Bureau of Safety and Environmental Enforcement (BSEE) for initiation of grant forfeiture proceedings (see 30 C.F.R. § 550.1011 and 30 C.F.R. § 250.1013).

The BOEM Gulf of Mexico Region (GOMR) reserves the right to amend this Order based on information that leads BOEM to determine that a different amount of additional security is required, including any changes in decommissioning cost estimates provided to BOEM by the Bureau of Safety and Environmental Enforcement, Gulf of Mexico Region.

If you believe you are adversely affected by this Order, you may appeal it to the Interior Board of Land Appeals (IBLA). The appeals procedures are found in 30 C.F.R. § 590, Subpart A. Your notice of appeal must be filed with the BOEM GOMR Regional Director within 60 calendar days of receiving this Order. A processing fee of $150 is required and must be paid electronically using www.pav.gov. You must also provide a statement of reasons for your appeal. If this statement is not included with your notice of appeal, you must file this statement with the IBLA within 30 calendar days after you file your notice of appeal (see 43 C.F.R. § 4.412). The BOEM requests that you also submit your statement of reasons to the BOEM GOMR Regional Director within that 30-day period. During the appeals process, you must comply with this Order (see 30 C.F.R. § 590.7), unless you petition the IBLA to grant a stay of the Order on the grounds set forth in 43 C.F.R. § 4.21(b), and the IBLA grants your requested stay.
