M&A Analytics is a competitive benchmarking system covering Global Mergers & Acquisition activity. Reporting optionsinclude Advisor rankings, volume and valuation analysis by Industry and Region, Financial Sponsors’ activity, deal lists andprofiles of individual transactions.

Custom searches and reports can be saved and shared with other colleagues, which can then be run with up-to-date datafrom anywhere in the world using only a web browser. Output can be printed or exported to Excel.

The platform is comprised of two primary components, the Designer and the Portal.

DesignerDesigner is a locally installed desktop application that enables a user to create, edit and save reports in personal librariesor to share them to other users. Designer is used to specify search and report parameters, including but not limited to:

- Date ranges- Regions and countries- Industries and sectors- Deal types- Deal value ranges- Companies- Financial Advisors- Financial Sponsors

Portal- The Portal is a password protected website with the following primary pages:

DealCal- Calendar of announced, expected, withdrawn and completed deals with drill-downs to individual deal profiles- Monthly, weekly and daily views- Filter preferences include advisors, deal status, type, size, industry, region and private equity

News&Alerts- M&A Squawk of breaking M&A-related corporate announcements- M&A Fee Alerts with the latest disclosed advisory fees- Daily M&A NewsSheets topical to the activity of the market- Alerts preferences for squawk and buyback email alerts

DealCalWhen accessing M&A Analytics, the first page you come to is DealCal; calendar showing target, acquiror and deal valueof all announced, completed, expected to close and withdrawn deals of the day.

It is possible to modify the time period to the specific dates or number of weeks on display, or change to view the calendaron a Monthly, Weekly or Daily basis.

To filter the information that appears on your DealCal page, click on the Preferences option at the top right corner of thepage. Once there, you can select what you would like to see on the calendar based on a specific advisor/s and their role,deal status, deal type, deal size and industry.

Once you have edited your Preferences you have the option to save them to a Library. These Libraries can then be accessedquickly by clicking on the Filter button on the main DealCal page.

By clicking on any of the tickers on the DealCal page you can drill down to see the Deal Profile of the underlying deal.

Deal ProfileBy clicking in any of the hyperlinks in DealCal you will access the Deal Profile, which provides an in-depth look at individualtransactions, including valuation and payment details, company information, advisors and attorneys, disclosed fees,premiums, multiples and deal description. Click on the hyperlinks next to company names for access to SEC companyfilings and Other M&A deals for a list of all deals carried out by the company. Also, on the Deal Profile you have access tosource documentation via the EdgarDesk link.

Transaction ProfileFor Financial Sponsor related transactions, the Transaction Profile gives full deal history of a portfolio company from thesponsor entry to exit with all related financing details and acquisitions in between.

Drilling-Down to underlying dataTo view a banks deal list and apportioned credit for each deal, click on the respective row to drill-down to the underlyingdata. Once you have the list of underlying deals, it is then possible to drill-down into the Deal Profile.

MergerMapThe MergerMap gives a geographical snapshot of M&A activity. The top deals across all regions are also shown.

As with the previous pages it is possible to drill-down and see the data underlying the tables.

At the bottom of the page in the Analysis Selection, it is possible to modify the default options for the whole page and changedeal types, the number of deals or volume, the time period, announced or completed, and target or acquiror nationalityas required.

LookupThe Lookup page allows you to quickly search for a specific company, bank, industry, deal, region or comparable transactions.

“Company All” will retrieve every entity under that name; “Company Parent” will show only company parents. Clicking ina company parent in the results will retrieve all deals carried out by the company and its subsidiaries, whereas selectingonly the “Company” would show the deals in which that company has directly participated.

MyReportsThe MyReports page is where you can access a library of reports. These are either reports saved to your personal log-inor saved under a shared library. Reports created from the Designer can easily be posted to the MyReports page andexecuted on a recurring basis.

To run the reports select the report from the list on the left, this displays the criteria for the selected report on the right,click Run to execute it or Modify to launch the Designer (see the Designer Section) with the set criteria allowing you tomodify the search or the report as required.

The Designer is the application that enables you to modify parameters of the ScoreCard and MergerMap or devise a newstand alone search and report. Access to the Designer allows users to perform custom analysis, which can be saved andshared with other users.

Users can access the Designer from the Portal in one of two ways: by clicking on any Modify button associated with anexisting ranking/deal list or by launching it from the toolbar at the top of the page.

Launching Designer via Modify buttonsA key advantage to launching the Designer via the Modify button is that the standard report parameters are alreadyconfigured to the tables on the ScoreCard. This allows the replication and modification of the report.

Hitting the Modify button launches the screen below. Select “Finish” to replicate the table or click ‘Back’ to modify it.Clicking “Back” once will take you to the report format, by doing it twice you will reach the Standard Search screen whereyou can amend the search criteria used.

Launching Designer as a standaloneAn alternative to launching the Designer from a Modify button is to launch the Designer from the toolbar icon.

This way, no criteria will be uploaded into the Designer and the Standard Search dialog will be loaded as default.

Standard SearchUsed to isolate a dataset of deals with a common set of properties.

• Select a field from the field dropdown box by typing part of the name or by scrolling through the list.• Choose the appropriate condition for your search e.g. equals, not equal to etc. (These conditions will alter the way that

a chosen field will act within the search).• Enter a value into the Value Box. Coded fields such as nationalities, banks, deal type etc. have a list of possible variables

which can be accessed by clicking on the value box next to the desired code or by pressing F9.

Tip: Searches can be saved in a shared or personal library for easy future access.

After running the Standard Search, you can display your results in a User-Defined Report, in Deal Profile format, in a Rankingor in a Matrix.

Option 1: User-DefinedEnables you to produce customized reports by choosing specific fields and sorting options.

• Click on the Report Field list tab to ensure that it is selected.• Locate the required field by scrolling through the list or by typing part of the field name to limit the choices. • Click on the desired field to be reported. Other fields can be selected in a similar fashion. Use the Up and Down buttons

to adjust the position of the field.• Click on Sort Order and select the desired fields to sort the report.• Select either ascending or descending under Field Attributes.• Save the User-Defined Report in a shared or personal library, if desired.

Tip: Use the check boxes under Field Attributes to provide totals and averages for numeric fields. Also select denominationsfrom the drop down menu to the right.

Option 2: Deal ProfileThe Deal Profile shows most of the information available for each transaction and shows it in a easy to read structure.

Option 3: RankingA ranking consolidates deal information to rank banks, industries, regions, companies etc. Rankings are based upon dealvolume and deal activity from a dataset generated by the previous search.

• Advisor Ranking, according to standard Dealogic methodology, should be run on:- All Advisor Parent as table type.- Grouping On, consolidates bank subsidiaries to the bank parent.- From Basis select Deal Value at Ann for Announced rankings and Deal Value for Completed rankings

(there’s $ and euro options for both).- Apportion: Only Rank is available, so full credit is given to each advisor involved in the deal .- Sort order allows you to sort the ranking based on amount or number of deals.

(When ranking by a Date field, you will also have the option to sort Chronologically).- Show top allows you to designate the number of banks that will be displayed in the ranking.

Use DatesOption that allows you to see rankings across multipletime periods. Upon checking the Use Dates box, adialog window will appear. Specify the period length,number of periods, and the most recent period foryour ranking. You can also modify the range to reporton calendar year or on a rolling basis. Ascending Colsticked will show the periods in chronological order.Sort by Total selected will show the top banks for theaggregated volume of all periods (in unticked, it willshow top banks for the most recent period).

Customize Ranking Drill-DownThis allows you to configure a Drill-Down Report,selecting the data items to display and the criteria bywhich to sort the deals.

Steps:• Highlight the desired bank row or rows and right click. • Select “Configure Drill Down Report” option.• Locate the fields you require from the Field Selector,

either by scrolling through the list or by typing part of the field name to limit the list.

• Select the fields you wish to report on. • Sort the report by clicking on the Sort Order tab. You

can sort up to three different parameters, select the fields by which you would like to sort and their order.

• Click OK for the report to execute.

Option 4: MatrixMatrixes provide a statistical breakdown of a datasetaccording to two user-selected fields; one will be reportedon the rows while the other will be on the columns. Rowscan be sorted by Name, Amount or Count.

Some of the Matrix options can be customized to giveusers greater flexibility. Users can create their own groupsfor Advisors, NAICS, SIC, General Industry Group, SpecificIndustry Group, Nationality, Region, World Region, DealValue and Deal Status fields.

Use deal value, disclosed fees, multiples or premiums tobe shown in the Matrix. With the Display Items you cancustomize your report further with what information youwish to view, you can choose from Amount, Percentage,Average and Count.

Exporting to ExcelThere are two ways to export any User-Defined Report,Ranking or Matrix to Excel from the Designer.

- Right click on the report and select Copy All or go to Edit/Copy All, then past into an Excel spreadsheet.

- From the Edit menu you can also Copy Selection based onany rows highlighted in your current report or table.

- You can export to Excel by clicking the Excel icon from thetool bar. The advantage of exporting to Excel rather thancopying the table is that you can retain the formatting asyou see it on your screen. Another advantage is, thecriteria used in the search and the report will be availableon the second tab in the sameworksheet.

LibrariesCustom searches and reports can be saved in individual or shared libraries. Reports can be dynamically generated withup-to-date data using a web browser; output can then be printed or copied/exported to Excel.

Saving a Standard SearchSteps:• Upload a search by Modifying an existing table from Portal, add or change in any extra criteria to your search or launch

the Designer individually from the Designer icon and create a new search.• Save the Search by hitting the Save button.• Name your search and click the Save button.• Reports saved in the My Libraries folder can only be accessed with your login.• Retrieve this search by clicking Open button on the Standard Search screen.

Saving a User Defined Report/Ranking or MatrixSteps:• Save by hitting the Save button once you have selected fields and sort priorities for your report. You will then see a list

of your folders and those that are shared with other users.• Retrieve this report at a later stage by clicking the Open Reports tab to access all saved reports.

Note: When searches and reports are saved at each individual step these do not show on the MyReports section of thePortal, in order to save a report under MyReports you have to use the Report Wizard.

Report WizardThe Report Wizard tool is used to save Searches and Reports together in the My Libraries folder. These reports willautomatically show in the MyReports section of the Portal, from where they can be run or modified. Also as previouslymentioned, modifying any report on the Portal will automatically transfer you to the Report Wizard.

Steps:• Click on Report Wizard icon or select Wizard from Report menu.• Either create a new report or open a report from your libraries by clicking the Library button.• Click on Next and define your Standard Search by entering a new one or by uploading a saved one from your libraries

by clicking Open.• Select either a Report, Ranking Table or Matrix and click Next.• Make the desired selections for the report or ranking (either create from new, or use existing libraries), click Next.• Click Save button and save report to library, click Finish to execute the report, or Cancel.

Sharing ReportsOnce a you have created a report through the Report Wizard, it is possible then to share it with other colleagues.

Steps:• Go to File/Open on the toolbar or click on the blue folder on the toolbar.• Highlight the report to share • Click on the folder icon with a hand underneath• You will then be given a list of current users. Highlight the user you wish to share the report with and click the single

arrow button to share. To share with the entire list click the double arrow button. • Click on the Shared folder to view any reports which have been shared with you from another user. This report will also

appear on your MyReports page, and any reports you have shared will appear on the MyReports page of the user you have shared with.

2. Announcement and Completion Dates: Search on specific dates or time periods plus the new options of:- This/Last day, week, month, quarter, year & year to date- All of above on a rolling basis

3. World Region: Top level breakdown of global M&A activity into three main regions:- Americas- EMEA- Asia Pacific

4. Region: More granular world region breakdown into 11 regions:- North America - India Subcontinent - Caribbean - North Asia- Latin America - South East Asia - Europe - Japan- Africa - Australasia - Middle East

5. Any Nation/Region/Subregion/World Region Involvement: Search on any deals involving any company (target, acquiror,divestor) from certain nation or region.

8. Business Description: A free text search to retrieve deals for manufactures or providers of specific goods or services.Combine this search with SIC/NAICS for the most granular industry search.

9. Financial Sponsor Related Y/N: Retrieve all sponsor backed deals including entry, exits and portfolio transactions.

10. All Advisor Parent: Retrieve all transactions in which one or several financial advisors have been involved.

11. All Advisor Gross Fee (Disclosed): Search for all deals where either the target or the acquiror advisors have disclosedtheir fees.

12. Deal Technique: Search for different deal characteristics including:- Spin-Offs - Privatizations - Management and leveraged Buyouts- Repurchases - Stock Swaps - Divestments- Going Private

13. Company Parent: Search on all deals carried out by a company and all its subsidiaries.

14. Deal Value and Deal Value (excl debt): Search on specific deal value ranges including or excluding target’s net debtassumed in the deal.

15. Equity and Enterprise Value and Multiples: Search and report on them for valuation analysis.

16. Premiums: Report on Premiums 1 Day, 1 Week and 1 Month at announcement and at completion.

17. Dealogic Deal Note: Field describing the deal structure and any other aspect of the deal not covered by a particular field.

18. Initial, Acquired & Final Stake %: Search on the percentage of the Target’s share capital held by the acquiror prior tothe deal, acquired in the deal, or resulting from the acquisition. Combine them for specific ownership changes such usacquiring control or remaining interest.
