ImageNow Client and WebNow

The ImageNow Client is available in two pricing models, seat license and concurrent license, which provide customers flexibility in

configuring environments to match unique requirements. Perceptive Software’s browser solution, WebNow, is available in a concurrent

license model. Each model requires an ImageNow Server license with client licenses bound to that specific server. No matter which client-

licensing model you select, all core functionality is included: document linking and indexing, document viewing, annotation support,

workflow processing and various integration capabilities.

ImageNow | WebNow Client Combo Licensing ImageNow Concurrent Client | WebNow combo license provides the flexibility for your users to access ImageNow from either WebNow or

ImageNow clients while drawing a license from a single shared pool of licenses. A license is required for each simultaneous user regardless

of the machine from which they log on. A typical ratio to figure the number of users per license is 4:1. Pricing discounts are for single-order

purchase quantities only and are not cumulative.

WebNow WebNow provides thin-client, browser-based access to the ImageNow object repository. WebNow’s platform-independent, N-Tier

architecture utilizes any combination of Microsoft or UNIX server platforms and requires a J2EE-certified application server. Perceptive

Software recommends deploying WebNow on an application server option that corresponds to your in-house expertise and the various

supported versions referenced in the WebNow white paper, which is available from your Perceptive Software account executive.

WebNow licensing is independent of ImageNow client licensing. WebNow is licensed only on a concurrent model. Pricing discounts are for

Approver License The Approver License provides a licensing option for users within an organization where their sole interaction with ImageNow is to provide

the approval function. At this time, the Approver License is a contractually limited license, which will provide a full WebNow client, but will

require the ImageNow Administrator to limit approver users to only the functions contractually permitted. When a functionally limited client is

available for the approval function, the WebNow client will be replaced with this new client. The allowable functionality for the Approver

License is the following:

ImageNow Server

ImageNow Server An ImageNow Server license is required with your purchase of any combination of ImageNow, WebNow, or Approver licenses. An additional

ImageNow Server license can be purchased, but this is only required for customers who want to deploy on more than one server.

ImageNow Server licensing is based on the aggregate total of ImageNow, WebNow, Approver, Interact for Microsoft Office, Interact for

Microsoft SharePoint, Interact for Epic, and Interact for ESRI client licenses. There is no distinction between an ImageNow seat or

ImageNow concurrent license when calculating the ImageNow license total. (For example, if you have 25 ImageNow seat client licenses, 50

WebNow client licenses, 40 Interact for Microsoft Office licenses, 35 Interact for Microsoft SharePoint licenses, and 15 Interact for ESRI

licenses, your total licenses would be 165 and the corresponding ImageNow Server price would be USD 15,000.)

Beginning with ImageNow 6.5, the ImageNow Database Connector has been bundled with the ImageNow Server for new customer

accounts. Customers have the option to choose their supported RDBMS of choice and as such need to indicate the appropriate ImageNow

Database Connector for licensing the appropriate RDBMS environment. Currently, Perceptive Software provides an ImageNow Database

Connector for Microsoft SQL Server, and Oracle (see Technical Specifications document for current version numbers).

For customers purchasing an ImageNow Server after January 1, 2011, two non-production (test) environments are included with the

ImageNow Server in accordance with the details found in the “Appendix B: Test Environments” section of this document.

The following section applies only to existing customer accounts using the embedded c-tree database (aka ImageNow SQL).

Perceptive Software will waive the ImageNow Database Connector license fees for all customers using the embedded c-tree database (aka

ImageNow SQL) when upgrading to 6.5. Customers will be responsible for ongoing SMSA of the Database Connector licenses in addition

to the ImageNow Server SMSA. ImageNow Database Connector licensing is based on the aggregate total of ImageNow, WebNow,

Approver, Interact for Microsoft Office, Interact for Microsoft SharePoint, Interact for Epic, and Interact for ESRI client licenses. There is no

distinction between an ImageNow seat or ImageNow concurrent licenses when calculating the ImageNow Database Connector license total.

(For example, if you have 25 ImageNow seat client licenses, 50 WebNow client licenses, 40 Interact for Microsoft Office licenses, 35 Interact

Per CAL Licensing With the Per User CAL, you purchase a CAL for every user who accesses the server to use services such as file storage or printing,

regardless of the number of devices they use for that access. This translates into one CAL for every ImageNow or WebNow concurrent

license.

Per Processor Licensing Under the Per Processor model, you acquire a Processor License for each processor in the server on which the software is running. A

Processor License includes access for an unlimited number of users to connect from either inside the local area network (LAN) or wide area

network (WAN), or outside the firewall (via the Internet).

Capture Products

In conjunction with an ImageNow Server and client license, ImageNow capture products provide enhanced importing, scanning, and image

recognition capabilities across your enterprise, at both the desktop and server level. Note that each scanning workstation requires a

CaptureNow license in addition to an ImageNow client license, as well as all necessary hardware (scanner, SCSI cards, cables and so on).

CaptureNow File with IP (Image Processing) Each ImageNow client comes with the ability to import files from the client, or “scan” from disk, at no additional charge. CaptureNow File with

IP supports enhanced importing functionality by allowing users to perform client-side image processing and bar code recognition on files

imported in single and batch mode from the ImageNow client. CaptureNow File with IP is particularly useful for customers who wish to

perform image processing and bar code processing on images scanned at a multifunction device, rather than by a desktop scanner.

CaptureNow ISIS CaptureNow ISIS supports single, batch and package mode scanning and importing from file, as well as image processing and bar code

recognition. Depending on the scanner you choose, CaptureNow ISIS supports color, grayscale, ADF and duplex scanning. CaptureNow

ISIS is available in three levels, each corresponding to a particular level of ISIS driver. Each ISIS driver correlates to scan volume. The Pixel

Translations Web site (http://www.pixtran.com/scannerdrivers) includes a scanner driver configuration tool, which can be used to determine

the appropriate CaptureNow ISIS Level required to drive particular scanners. Also, please refer to the Perceptive Software Scanner Options

ImageNow Conversion Module (formerly “ImageNow Printer (Server-Side)”)

The ImageNow Conversion Module (formerly called “ImageNow Printer (Server-Side)”) offers the ability to convert various file types to

standard TIFFs. This standard tool set can be integrated into various automated processes to convert Microsoft Office documents, PDFs,

text files, and HTML files to industry-standard Group 4 TIFF images. These TIFFs can be readily imported, annotated as needed, or routed

through workflow. In most cases, automatic document indexing can also occur. Please note that additional service hours may be required for

configuration of customized index key extraction and document importing.

ImageNow DataCapture ImageNow DataCapture can only be used with the DataCapture for Transcripts Module. IntelliCapture will be used for all other data

capture projects.

ImageNow DataCapture automates data extraction from forms using sophisticated technology that’s simple, adaptable, and virtually hands-

free. Within seconds, DataCapture can apply a predefined rule set to automatically extract key data from a variety of form types, submit the

auto-indexed form to ImageNow, and share its validated data with existing host applications.

The ImageNow DataCapture Suite includes one Processing Server and one Verification Station installed on an ImageNow client

workstation for character repair and validation of data. A single Processing Server supports volume up to 100,000 pages per month, while a

single verification station can typically verify about 20,000 pages per month (but is not license-restricted on volume). Additional Verification

Stations and Processing Server Volume Increase Units may be added separately after purchasing the ImageNow DataCapture Suite.

The optional DataCapture Forms Designer Station includes three powerful tools to comprehensively manage custom forms design,

structured form recognition, and semi-structured form recognition.

Perceptive Software’s CaptureNow for Adrenaline, used in conjunction with Kofax VRS scanning hardware and/or software, is

recommended for DataCapture users. Please contact your Perceptive Software account executive for specific DataCapture-related scanning

ImageNow Direct Print Engine The ImageNow Direct Print Engine allows both a user and an application to print directly to ImageNow from any machine available on their

network.

The ImageNow Direct Print Engine will take any PCL5 print job and convert it to text and TIFF. Please note: Text extraction may not always

work since this is dependent on the printing application. Printing application (or user) must use a PCL5 print driver.

ImageNow EDI Engine ImageNow EDI is a server-side process that provides flexible options for management of both input and output EDI and XML based data

streams. ImageNow EDI is capable of capturing multiple EDI/XML data streams, then converting that data to a TIFF or PDF format, storing

the resulting file in ImageNow. The XML data will also be stored as a sub-object.

iScript is required to manage and invoke ImageNow EDI via participation in business processes modeled and executed in ImageNow

workflow. This optionally provides flexibility for ImageNow EDI to be triggered by other ImageNow agents and processes.

forms. By eliminating the cost of printing, storing and distributing pre-printed forms, as well as the waste associated with obsolete or out-of-

date paper forms, eForms increases the efficiency and productivity of your business processes. With an eForm solution built on Perceptive

Software’s proven ECM platform, you can easily advance paper-based processes to the Web.

ImageNow eForms are tailored to your individual business needs and offer single-click access via portal, website, and ImageNow or

WebNow client environments. Users can quickly fill out eForms in a familiar environment while ImageNow's built-in logic ensures data

consistency and accuracy. ImageNow eForms can automatically format, calculate, look up, and validate form information while automatically

routing eForms and documents within specific workflow processes. eForms may be routed independently or with documents. Once

submitted, eForms can be located via search in either ImageNow or WebNow client environments. In addition, data captured within eForms

can be shared with external business applications to provide a seamless, automated business process solution.

eForm licensing is based on your total number of WebNow / ImageNow client licenses. The pricing below is the base license for activating

ImageNow Fax Agent ImageNow Fax Agent is a scalable, inbound and outbound fax solution that is tightly integrated with ImageNow workflow.

Inbound faxing: ImageNow Fax Agent is designed to allow customers to capture high volumes of inbound faxes, perform bar code

processing and automatically route them through various workflow processes based on predefined rules. ImageNow Fax Agent utilizes the

Brooktrout® API and requires a Brooktrout fax board, which must be configured with the appropriate number of fax ports (active inbound fax

lines) to handle your volume.

Outbound faxing: ImageNow Fax Agent takes advantage of fax cards used for inbound fax capture with Fax Agent to provide ImageNow-

integrated outbound fax capability.

Fax Agent's outbound faxing capability is fully integrated into the ImageNow user interface, giving users with proper permissions the option

to fax from the ImageNow Explorer, ImageNow Viewer, or via iScript. Users can fax multiple unopened documents within the Explorer by

choosing desired documents and selecting Fax from the File menu, right-mouse clicking, or pressing a button on the toolbar. Within

ImageNow Viewer, users can initiate the faxing of a currently displayed document, again by using the menu-based fax command or pressing

a toolbar button.


The fax dialog that is displayed to the user when invoking the fax command allows selection of a fax number to send to from a centrally

stored address book or by manually entering the number. Optional "Attention" and "Comments" fields designate the recipient name and

provide room for supplementary recipient comments, if desired. Additional dialog box options allow the sender to include annotations and

request a "status e-mail" which functions as a fax confirmation sheet, summarizing the document ID, recipient fax number, and report of a

successful or unsuccessful fax transmission.

ImageNow Fax Agent is licensed based on the number of Brooktrout fax ports being controlled by ImageNow Fax Agent. The outbound fax

function of ImageNow Fax Agent requires ImageNow 6.1.1, the standard Fax Agent license, and use of the Brooktrout 1034 fax board. Older

TR114 boards are not supported. Your Perceptive Software account executive will help determine the appropriate Brooktrout fax board for

OCR, OMR, ICR technologies on a specific zonal location or performs a read of the full text on a page.

Recognition Module – Barcode is a high-performance barcode solution with robust algorithms for recognizing and decoding 1D, 2D and

postal symbologies. It reads barcodes scanned in grayscale, small or compact barcodes, heavily damaged barcodes, or skewed barcodes.

While providing the ability to read barcodes from 100 or 150 dpi color images, barcodes with stamps or handwriting over the barcode, the

IntelliCapture will automatically classify incoming paper or electronic documents, extract needed data (without the use of templates or

dictionaries), validate the data against external databases and pass the validated data on for further processing or archiving. With a

small sample set, IntelliCapture learns how to tell one document type from another and what to do with each document (extract this

data, validate it against this data and export it here).This auto-learning feature drastically reduces reliance on IT personnel to maintain

the solution.

ImageNow Connector for EMC Centera EMC Centera is a content-addressable secure archive device that uses magnetic hard disk-based WORM (Write Once – Read Many)

technology. Organizations traditionally utilize EMC Centera for storage and archival of various fixed intellectual property assets,

including email messages and industry-specific material such as transcripts, financial records, and medical x-ray images. These types of

documents often need to be stored in a secure manner for legally specified retention periods and also need to be quickly retrievable.

Perceptive Software provides a connector for EMC Centera that allows ImageNow to both store and retrieve documents from such

devices. This connector communicates with Centera via its proprietary API, and allows the Centera device to be mapped as the

destination for all documents stored within a designated ImageNow OSM.

ImageNow Envoy ImageNow Envoy is Perceptive Software’s advanced integration platform, and facilitates automated, back-end integration with customer

host systems. Through Envoy, customers can send unsolicited Web service requests to remote systems with minimal programming.

These Web service requests can be triggered via iScript that is part of an ImageNow eForm. Customers thus benefit from this ability by

further automating existing business processes.

Customers can utilize ImageNow Envoy to perform such actions as automatically creating or updating records/transactions within a host

system (e.g. automatically generate an invoice record within an ERP system based upon ImageNow document key, custom property,

and/or eForm data), or automatically retrieving data from a host system (e.g. retrieve transcript data from a host system and populate it

within a eForm based upon a known student ID).

ImageNow Envoy is designed to work with virtually any remote application (commercial or custom-built) that exposes a WSDL file for a

SOAP-based Web service. Envoy will consume the aforementioned WSDL file, allowing it to automatically recognize available

functionality, as well as the data required for both the Web service request and response.

ImageNow Output Agent ImageNow Output Agent is a server-side process that provides flexible options for printing or exporting data from ImageNow. ImageNow

Output Agent can send documents to a specific printer, convert them to .jpg and export them to a specified directory, or create DICOM-

formatted or PDF output. Output Agent can be driven by events in ImageNow workflow, the ImageNow server-side API, other

ImageNow agents, or even text files containing specific values generated by external applications. ImageNow Output Agent can also be

configured to output documents with or without annotations and to reduce page size to allow output of multiple documents per page.

Outputting to DICOM is optional and available only to customers who have purchased DICOM modules.

Licensing for ImageNow Output Agent is based upon the total number of Output Agents deemed necessary to process the volume of

pages to be output. As a general guideline, a single ImageNow Output Agent can process an average of 1200 pages per hour. (For

college transcripts. This offering consists of a custom solution that is built upon the ImageNow DataCapture engine. The Transcript

Module will perform data extraction on the following header fields, if present: Transferring Institution, Name, Social Security Number,

Birth Date, Major, GPA, Degree, and Date Degree Earned. Data from the following course detail information will also be extracted, if

present: Course Identifier, Description, Grade, Hours and Term. Use this module to automatically process, extract data from, and index

college transcripts within ImageNow for efficient retrieval. Once the data has been extracted, a formatted data file is created and is

Direct Print Capture Services Direct Print Capture Services allow both a user and an application to print directly to ImageNow from any machine available on their

network. These services, built upon the ImageNow Direct Print Engine, are typically used for check capture, student billing statements,

or other scenarios that require the capture of host application print streams. The Direct Print Capture Services will take any PCL5 print

job and convert it to text and TIFF. Please note: Text extraction may not always work since this is dependent on the printing

application. Printing application (or user) must use a PCL5 print driver.

Other options include:

Ability to configure multiple printers or “queues”. This allows anyone in the organization to use Direct Print without it interfering with any

other installation and keep printed invoices separate from HR documents, for example

Please note that all costs depicted in the following example are one-time fees to the customer. The only recurring fee to the

customer is the associated SMSA cost.

Customer A has an Intranet portal from which they want to provide their 5,000 employees with access to their submitted expense

reports and receipts using ImageNow services, and without leaving the web-based portal. The customer has designed the integration to

have the portal application log on to ImageNow Message Agent when it starts up and act as a bridge to ImageNow for the end users of

the time and expense application. Thus the application will not be required to perform individual login / logoff Web service calls for each

individual user.

During the customer’s end-of-month period (peak usage of this functionality), they anticipate approximately 1,200 of their 5,000

employees nationwide to be accessing the system during any given hour. The standard process used by an employee is as follows:

Appendix B: Test Environments

Supported Test and Development Environments Starting January 1, 2011, Perceptive Software provides two test environments to customers purchasing the ImageNow Server or ImageNow

Enterprise Server on or after this date. For customers who purchased the ImageNow Server or ImageNow Enterprise Server prior to

January 1, 2011, have the option of purchasing a test environment for a flat fee defined below in the “Test Environment Pricing Chart”. Test

environments can be used for any non-production use (development, testing, training, etc.) with the exception of failover (covered under the

Failover environment policy). Test environments purchased after January 1, 2011 or provided with the ImageNow Server and ImageNow

Enterprise Server are full replications of the customers production environment with the exception of the details outlined in the “Test

Environment Limits and Exclusions” section of the Appendix (“B”).

NOTE: Please refer to the 'Hosted Services' section of the Price Book for test environment pricing related to any SaaS and/or perpetually-

hosted customers.

Test Environment Limits and Exclusions CaptureNow: 5 CaptureNow licenses are provided per test environment. Additional licenses may be purchased if required as

outlined in the “Test Environment Pricing Chart”.

IntelliCapture: For customers who own IntelliCapture in production, the first test environment will include IntelliCapture for no

charge. Additional may be purchased if required as outlined in the “Test Environment Pricing Chart”. All IntelliCapture test

environments are limited to 500 pages per day, 1 test verifier license, and 1 test designer license.

DataCapture: For customers who own DataCapture in their production environment, DataCapture will be included in the first

two test environments for no charge. Additional environments may be purchased if required as outlined in the “Test

Environment Pricing Chart”. All DataCapture test environments are limited to a volume of 5,000 pages per month.

HL7: For customers who own HL7 in their production environment, the first test environment will include HL7 at no

charge. Additional HL7 licenses may be purchased if required as outlined in the “Test Environment Pricing Chart”. Healthcare Forms: Are not included with test environments provided under this policy. Custom quotes must be provided for

customers who require Healthcare Forms in test environments.

MS-SQL Server Dedicated for ImageNow: Will not be provided in test environments for customers who have purchased MS-

SQL Server Dedicated for ImageNow. Customers can leverage their current MS-SQL Server Dedicated for ImageNow for test

environments given that they have the appropriate licenses and hardware specs for the additional load, or can purchase an

additional MS-SQL Server Dedicated for ImageNow to be used with their ImageNow test environment.

Hardware: No hardware will be provided with test environments (scanners, fax boards, etc.)

Deployment Services If your organization requires assistance to implement a test or development environment, deployment services are available. Deployment

services encompass project management and the remote implementation of the ImageNow environment. Deployment services are provided

by Perceptive Software’s Professional Services team of experienced project managers and consultants. To engage Professional Services’

deployment services a signed quote is required.

Costs for Professional Services deployment of Test Environments is based upon the costs associated with the implementation of your

Production environment. The services includes two environments and will be 5% of the total Professional Services cost for initial

implementations and 10% of total Professional Services cost for expansions. If services are less than $25,000, test deployment services will

be $2,450.

During planning, a Professional Services project manager (PM) will engage your team to understand development, testing or change-control

needs. The PM addresses all aspects of the project scope (which typically includes the copying of the database and directory structure from

one environment to another, installation of components currently purchased, and applicable testing) and leads the project through a series of

agreed-upon milestones to a successful completion.

During deployment, which includes the setup and configuration of the planned environment, our Professional Services consultant works

closely with your system administrators to transfer knowledge, answer questions specific to the setup and enable your team to confidently

take ownership of the ImageNow deployment.

If you choose to deploy additional ImageNow environments on your own, product support services are available to assist with technical

questions that may arise. However, Product Support does not provide deployment services (planning, workflow design, implementation,

etc.). If your organization cannot complete the deployment based on the documentation provided, Product Support will refer you to your

Sales account executive for the generation of a deployment services quote.



Appendix C: Overdraft Licensing

Supported Test and Development Environments Overdraft is a licensing option with ImageNow for our concurrent clients and transaction-based licenses. The overdraft option enables

customers to exceed the number of licenses that they have purchased, thus maintaining business continuity.

An annual premium is required to enable overdraft within the available licenses. In addition, any overdraft charges are reported and invoiced

on a quarterly basis. Overdrafts are incurred any time an additional client or transaction license is required and utilized in excess of the

previously purchased amount. These overdrafts are then averaged over the quarter.

Detailed Product Descriptions Patient Flow System (PFS)

The Patient Flow System is designed to accept print streams or XML files from your host systems and merge them with forms on the Forms

Server. A design tool is supplied which allows you to design your own forms and upload those into the Forms Server. Workflow is enhanced

through the automation of your current processes or design new and more efficient processes. PFS is the core engine for all of your

electronic forms processes.

Electronic Forms Repository (EFR)

The ability to print or output electronic forms is enhanced by the Print on Demand functions of the Electronic Forms Repository. With e-

Forms Repository (EFR), pre-printed patient services forms are replaced with on-demand electronic versions. EFR maintains a catalog of

documents required for functions such as admissions and discharge, billing, pharmacy orders and nursing. Managing forms in the central

EFR eliminates the problems caused by unauthorized, outdated and duplicate forms that are common with a paper-based system. Multi-

Physician Order Sets are enabled through this module of EFR. This module gives the user the ability to choose a Physician, select a patient,

and then select a procedure. Then the order sets will print with the appropriate forms specific to the physician and that particular procedure.

EFR MD distributes them through workflow anywhere in the facility you choose.

Thermal Print Module for PFS

The optional Thermal Print Module, when combined with PFS, offers organizations the flexibility to print Labels on thermal label printers. A

Perceptive Software's Meditech Integration Tools Meditech Integration Using iLaunch

Iatric Systems, through products called iLaunch and PCI URL Launch, provides buttons on a Meditech window that can be coded to perform

different ImageNow actions such as scanning or returning a set of documents based on values taken from the Meditech screen.

Meditech – Integration Toolbar

IPeople provides a custom toolbar that provides buttons to an end user allowing them to access patient documents in ImageNow that

correspond with the active patient record in MEDITECH and/or provides notification that there are outstanding tasks in ImageNow (unsigned

documents). A flashing animation can be added to the task button to create a visible notification that there are incomplete tasks available.

Meditech – Deficiency Synching

IPeople provides a custom interface to input deficiencies into MEDITECH’s Medical Records module. The scripting interface will query a

provided table from a specified database in order to find new information to upload into MEDITECH. The interface will reside on a

designated interface PC and will continuously monitor the provided table for new records to upload to the MEDITECH system. Two reports

will be provided for the each script that can be launched by the user. One report will display all records that were successfully uploaded into

MEDITECH. The second report will display information regarding records that were not successfully uploaded into MEDITECH. An error

reason will be displayed with the record.

Meditech – Invoice Integration


IPeople provides custom interfaces to input invoice information into MEDITECH’s appropriate module:

o Two Meditech scripts to input new invoices into Meditech:

Perceptive Software Subscription and Hosted Services meet the needs of enterprise customers by offering platform services, licensing

options, and a variety of other services. These services are delivered through the following additional deployment models:

Software as a Service (SaaS) Software is licensed on a subscription-basis, with the customer environment hosted by Perceptive Software. This deployment model

requires both the Subscription License and Platform Services Offering (PSO) fees to be included in the pricing, along with the Data

Center Setup Fee and any other optional services required by the customer.

How to Price SaaS

Subscription Licensing Subscription licensing provides companies with the flexibility to utilize their ImageNow solution while paying for the software licenses on

a quarterly or annual basis. While the customer does not retain ownership of the software, the licensing provides a custom and cost-

effective Enterprise Content Management solution. In this subscription model, the customer can reduce the up-front expense of

software purchases as well as alleviate the burden of software maintenance and ongoing operations and support.

Subscription Product Tiers Subscription license fees are based upon both concurrent user volume as well as “product tier”. The products and features associated

Overdraft Protection – Subscription Licensing Overdraft is a licensing option with ImageNow for our concurrent client licenses offered on a Subscription On-Premises (SON) basis.

The overdraft option enables customers to exceed the number of licenses that they have purchased, thus maintaining business

continuity.

A monthly premium is required to enable overdraft within the available licenses. In addition, any overdraft charges are reported and

invoiced on a quarterly basis. Overdrafts are incurred any time an additional client license is required and utilized in excess of the

previously purchased amount. These overdrafts are then averaged over the quarter.

quarter would be based on an average of 5 overdrafts, or USD 1,975. This charge is in addition to their monthly premium

Platform Services Offering (PSO) The Perceptive Software Platform Services program is designed for customers who prefer to have Perceptive Software host and

hardware management, software management, security and data restoration in the event of failure. The hardware/software

management includes the procurement, maintenance and licensing of the server(s), SAN, routers and firewalls.

for network and internet connectivity, as well as power management. Furthermore, the Data Center has disaster recovery contingency

plans and facilities, while the ImageNow application disaster recovery is a reload and restart from backup. These include daily

incremental backups as well as weekly full-system backups, and are stored off-site.

complete description of product tiers). To calculate the total required PSO fees, add the base platform fee to the user fee (determined

Additional Customer Fees Perceptive Software works with each customer to ensure the configuration of the PSO – the hosted environment – meets their

requirements. There is a required, one-time setup fee for this initial configuration. The setup fees vary depending on whether the

customer is a new logo or existing customer transferring into or out of the data center.

The “Transfer In” fee includes: provisioning of the hardware; setup of the VPN; all project management needed to complete the project

and work with the customer to finalize a cutover plan; update to the latest version of ImageNow (if required); and, database conversion

to MS-SQL (if required). All work is assumed to be completed during normal business hours. Additional charges may apply if work

must be performed after hours.

The “Transfer Out” fee includes: all project management needed to complete the project and work with the customer to finalize the cut-

over plan; services to install and configure ImageNow and all agents on customer hardware (this includes setting up any folders,

modifying scripts, etc. that are a part of the solution being transferred out). If the customer wants the database converted from MS-SQL

to Oracle, the service will be provided by the Data Base Services team at the then current price book fees. All work is assumed to be

completed during normal business hours. Additional charges may apply if work must be performed after hours.

Each Perceptive Software SaaS/hosted customer receives 100 GB of storage with their associated “Base Environment Fee”, to be

utilized for the storage of associated database and image files. Customers may optionally purchase additional storage for their

SaaS/hosted environment at any time in 50 GB or 1 TB units.

Customers may optionally request a business-to-business Virtual Private Network (VPN) to be established between the data center and

their location. The first VPN connection is included in the associated “Base Environment Fee” outlined above. Each additional VPN will

require a monthly fee.

Three preconfigured back office solutions are available to couple with the SaaS offering: AP Invoice Processing, Contracts

Management and HR Electronic Personnel Files. Using one or more of these solutions provides an extremely quick and efficient way to

deploy a fully functional solution that leverages Perceptive Software’s industry expertise and best practices. Each solution has a set

framework of ImageNow products and components that only require a small amount of modification from the customer and consultant to

complete the solution, therefore dramatically decreasing the amount of Professional Services needed to implement. For more specific

information on the individual solutions, please refer to the Solution Design documents that accompany each solution.

AP Invoice Processing

Perceptive Software’s invoice processing solution automates and enhances the invoice payment processes within the accounts payable

department. Capturing the invoice electronically allows for easy storage and retrieval, making inquiries from vendors more efficient.

Utilizing workflow for invoice approval can lower the processing cost per invoice and highlight bottlenecks in the process.

Contracts Management

Perceptive Software’s contract management solution allows for easy creation, collaboration, storage and approval of contracts

throughout your organization. It can be used to manage basic contracts as well as a Request for Proposal process. Some of the key

benefits of this solution include quick retrieval and modification, in addition to automated approval processes which can reduce fraud,

increase visibility to active contracts as well as those that are due for renewal, and storage of any key documentation relating to the

contract or relationship.

HR Electronic Personnel Files

Perceptive Software’s electronic personnel files solution provides an easy way to capture, search, view and manage all HR documents.

The key benefits include easy, immediate and secure access to the captured documents, simultaneous viewing, elimination of manual

filing and lost/misfiled documents, and a consolidated file repository.

These solutions are an additional fee to be coupled with the Subscription, Platform and optional Remote Administration fees. They

cannot be purchased alone, or with any other offering.

SaaS vs. Perpetual-Hosted Licensing

For a monthly fee, the Perceptive Software Platform Services Offering (PSO) gives companies the ability to utilize an ImageNow

solution via a fully managed and hosted operating environment. The user experience with Hosted Solutions is consistent with an on-

premise installation: Users capture documents, view and index them, and route through workflow. Documents are securely stored and

readily retrieved using ImageNow with Hosted Solutions. The back-office responsibilities reside with Perceptive Software, providing a

viable option for companies wanting a transparent, cost-effective way to cover their IT infrastructure and software maintenance

expenses.

There are two software purchase options with Hosted Solutions: Customers can buy ImageNow software licenses up-front using our

Perpetual Hosted model; or customers may choose to pay a monthly subscription fee to use our preferred ImageNow solution through

our SaaS model. In the Perpetual Hosted option, the customer owns the software licenses and then pays a monthly recurring fee for the

Platform Services (PSO) hosting portion. In the SaaS option, the customer pays a monthly recurring fee for both the software and the

Platform Services (PSO hosting portion. See document section for details.

Contract Terms The subscription license fees are based upon a three year contract term. Customers agreeing to a five year term receive the discount

Platform Services Offering (PSO) for Meditech Customers The Perceptive Software Platform Services program is designed for customers who prefer to have Perceptive Software host and

centrally manage their Perceptive Software applications, including the associated infrastructure. This infrastructure cost includes

hardware management, software management, security and data restoration in the event of failure. The hardware/software

management includes the procurement, maintenance and licensing of the server(s), SAN, routers and firewalls.

The pricing table below outlines the monthly fees for Meditech customers. To calculate the total required monthly PSO fees, add the base platform fee to the per bed fee (determined by multiplying the appropriate price by the total number of beds). If test environments are used in a SaaS or Hosted environment, the Test Environment Platform Fee and Setup fees will also apply per test environment.

Additional Customer Fees Perceptive Software works with each customer to ensure the configuration of the PSO – the hosted environment – meets their

requirements. There is a required, one-time Setup fee for this initial configuration. The setup fees vary depending on whether the

customer is a new logo or existing customer transferring into or out of the data center.

The “Transfer In” fee includes: provisioning of the hardware; setup of the VPN; all project management needed to complete the project

and work with the customer to finalize a cutover plan; update to the latest version (if required); and, database conversion (if required).

All work is assumed to be completed during normal business hours. Additional charges may apply if work must be performed after

hours.

The “Transfer Out” fee includes: all project management needed to complete the project and work with the customer to finalize the cut-

over plan; services to install and configure ImageNow and all agents on customer hardware (this includes setting up any folders,

modifying scripts, etc. that are a part of the solution being transferred out). If the customer wants the database converted from MS SQL

to Oracle, the service will be provided by the Data Base Services team at the then current price book fees. All work is assumed to be

completed during normal business hours. Additional charges may apply if work must be performed after hours.


Each Perceptive Software SaaS/hosted customer receives 100 GB of storage with their associated “Base Environment Fee”, to be

utilized for the storage of associated database and image files. Customers may optionally purchase additional storage for their

SaaS/hosted environment at any time in 50 GB or 1 TB units.

Customers may optionally request a business-to-business Virtual Private Network (VPN) to be established between the data center and

their location. The first VPN connection is included in the associated “Base Environment Fee” outlined above. Each additional VPN will

require a monthly fee.

Remote Administration for Meditech Customers All on-premises as well as hosted deployment models offer optional Remote Administration services. This Perceptive Software

Managed Services offering provides customers with a means to outsource the application-level management of their ImageNow

environment. Unless otherwise approved by Perceptive Software Managed Services, Remote Administration is only available for

ImageNow environments deployed upon a Windows platform, utilizing MS-SQL Server or C-Tree as the underlying database.

The following table outlines the monthly Remote Administration fees, based upon the total number of beds. Note that these represent

the total monthly Remote Administration fees, and are not per user.

SaaS/Hosted Test Environments The SaaS/Hosted Test Environment provides customers the ability to validate and test both product functionality as well as changes to

the ImageNow application. The SaaS/Hosted Test Environment is designed for functional-level testing, rather than performance or

stress testing due to the fact that Perceptive Software provides a highly scalable production environment to each customer. Test

environment fees are based upon the associated product tier (please refer to the “Licensing Options” section for a complete description

of product tiers), and have a limitation of 10 concurrent users per environment.

Software Maintenance and Support Agreement Perceptive Software’s Software Maintenance and Support Agreement (SMSA) is a comprehensive services and maintenance contract

that entitles the holder to unlimited telephone access to the Perceptive Software technical support help desk and unlimited product updates

and upgrades at no additional charge.

Product Support

The Software Maintenance & Support Agreement (SMSA) provides your organization with product support for all questions and issues

following your ImageNow implementation. Executing an SMSA guarantees your organization live, unlimited access to Perceptive Software

Product Support engineers whenever you need assistance. In addition to offering live, real-time communication during the business week,

Product Support engineers will respond to support inquiries outside your work week within two hours.

Product Maintenance

As part of the ongoing development of the ImageNow product suite, Perceptive Software continues to make available periodic upgrades,

updates, and hotfixes, all of which provide customers new functionality and/or defect resolution. Upgrade releases tend to be issued every

12-15 months, while update releases, containing minor feature enhancements and/or defect resolutions, are generally made available on a

quarterly basis. Hotfixes are issued as circumstances dictate, usually in between update releases and always at the discretion of Perceptive

Software. Customers executing the standard Software Maintenance & Support Agreement automatically receive notification that releases

have been posted to the Product Support Portal. Hotfixes generally address a specific bug or module of the ImageNow product suite that

may not be relevant to our entire customer base. Consequently, notification of hotfixes will only be sent to the applicable customers.

Customers executing the standard Software Maintenance and Support Agreement can download these software upgrades, updates and

hotfixes at no additional charge. Customers under an active SMSA can elect to perform their own upgrade or acquire the services of the

Perceptive Software Managed Services team to comprehensively manage the upgrade from start to finish. Managed Services can also be


employed to step into a customer-performed upgrade midstream and either complete the upgrade for them, or revert their environment to

pre-upgrade status. Any such assistance falls outside the scope of the SMSA and is billed at Managed Services rates. Onsite assistance is

available upon request; standard service fees will apply.

SMSA Fees

The SMSA fee is equal to 20% of the total list price of all licenses granted to the user for all products. The SMSA is renewed annually. An

SMSA renewal invoice will be provided 60 days in advance of the end of the contract period.

ImageNow Worksheet/eForm Development Course This course focuses on the add-on ImageNow Component of eForms/Worksheets and provides experienced web developers the

details needed to develop their own XML and XSL files for ImageNow eForm/Worksheet.

ImageNow eForms Administrator This course will provide the knowledge to manage and use eForms in ImageNow. It covers how to use existing XML, XSL and

related files to create a Form to be used as an Associated Form with a Document and/or Project as well as a Standalone document.

The 6.5 ImageNow eForms Administrator course will also teach the user how to create a basic Form using the Form Designer.

ImageNow Report Server Training This course is intended for administrators of the ImageNow Report Server. It focuses on the add-on ImageNow component of

Report Server’s installation, setup, and configuration, including how to set up users and groups, schedule reports, the user interface,

and various administrative tasks.

ImageNow DataCapture Administrator Training This course walks administrators through installation, licensing, and management of client and server-side components for

DataCapture. It also covers the fundamentals of layout designer and template designer - both tools used to manage the indexing

and capture of document data.

ImageNow Content Server & Recognition Agent This course focuses on the setup and use of both the ImageNow Content Server and Recognition Agent. Utilizing these services

allows users to submit the content of a document to a central repository, allow search functionality on not only index keys, but the

actual content of the document.

ImageNow Retention Policy Manager Training This course provides an introduction to the concepts of Records Information Management (RIM) by providing an overview of what

RIM is and its importance. The course will then cover the technical details to implement your Records Retention Policies using

ImageNow’s Retention Policy Manager.

ImageNow Business Insight Training In this course you will see key features of Business Insight, which include high-level dashboards, operation reporting, ad-hoc query

tools and drag-and-drop tools for self-service report creation and modification. It also covers the fundamentals on installation and

licensing of Business Insight, how to view reports as a user, manage reports within the ImageNow client and how to author reports

using Query and Report Studios.

Cloud Learning Labs Perceptive Software offers an ImageNow training environment. Our new virtual labs on the cloud, provides pre-configured

ImageNow environments on-demand. The Perceptive Software Product Training cloud lab contains a fully configured ImageNow

environment, demonstration “host” applications, and sample images for document processing. Students in our virtual lab

environments can: Access a fully functional ImageNow environment, from any location, on their timetable via the internet

Explore and gain knowledge of new ImageNow features without being concerned about altering their corporate setup

Since the environment exists on the cloud, students can access it from anywhere, with a browser and simple internet connection.

The configuration is easy and straightforward requiring minimal setup, installing an ActiveX control or Java Plug-in.

Access to the environment automatically expires at a predetermined day and time, therefore there is no software to uninstall or
