NOTICE OF AMALGAMATION
Wuereas by the two Orders of the Federal High Court sitting in Lagos in the above-named Suits made. respectively on 5th June, 1985 upon the Petition of the above-named Lipton of Nigeria Limited (hereinaftercalled “the Transferor Company’’) whose registered office was at No. 10 Burma Road, Apapa, Lagos ; andon 24th July, 1985 upon the Petition of thé above-named Lever Brothers Nigeria Limited (hereinafter called“the ‘Transferee Company”) whose registered office is No. 15 Dockyard Road, Apapa, Lagos ; both Orderssanctioning a Scheme of. Arrangement involving an amalgamation of the Transferor and the Transfereecompanies under Sections 197-199 of the above-mentioned Act :—
(1) the undertakingand all property assets, rights real and personal, liabilities and obligations of every"descriptionof the Transferor Company,weretransfered to and becamethe property, assets rights liabilitiesand obligations of the Transferee Company ;
(2). all proceedings.(if any) now pending by oragainst the Transferor Company are to be continued by °or against the Transferee Company ; : .
(3) the Transferee Companyis, without further application, to allot and issue its ordinary shares to theshareholders of the Transferor Company at the rate and in the manner provided for in the Scheme whichhas been sanctioned by the above-named Court ; and .
(4) the Transferor Company wasdissolved without being wound-up.
AND WHEREAS the said Orders were delivered to theRegistrar of Companies as required by law respectivelyon 12th June, 1985 and on 31st July, 1985 whereupon the said Orders becameeffective.
NOTIcEIS HEREBY GIVEN thatall businesses formerly carried on and transacted by the Transferor Companyhave since the said effective date of 31st July, 1985 been taken over by and are now being carried on andtransacted by the Transferee Company in’ accordance with the above-mentioned: Orders. Copies of the saidOrders may be inspected at the Registered Office ofthe Transferee Company on any day (otherthan a Saturday,Sunday or Public Holiday) during the usual business hours.
ALL.CONCERNED are requested to be guidedby this Notice.
