• New HKEX rules and impact on corporate transactions, reporting • HKEX/SFC enforcement actions — disclosure of inside information,

directors’ knowledge and liability, compensation orders, suspension of trading, dawn raids and more

• Impact on company processes and systems

Speakers: Ms. Cynthia Tang, Partner and Head of Dispute Resolution Group, Baker & McKenzie Ms. Wendy W.Y. Yung, Practising Governance

12.30-2.30pm Lunch break

2.30pm Knowledge Sharing Panel “Shareholder Activism” — how to get prepared

Investors have become more “activist” in Hong Kong. We saw litigations brought by some “traditional activists”. More importantly, major institutional investors are also much more ready in making their wishes known, including by voting at EGM/AGMs. Recently, SFC also issued new “Principles of Responsible Ownership” supporting more active investor involvement. This session brings to you face- to- face with the investor, management, and professionals to share their real life experience, cases, trends in Hong Kong and beyond:

• The goals of “traditional activists” and the typical tactics they use • Hot topics of other major institutional investors • Getting prepared: how to track shareholders; interpret the reports;

develop a checklist to get prepared for an activist campaign (ranging from getting corporate information ready, to taking board minutes in the appropriate way!)

• Effectively engaging with all shareholders during and outside an activist shareholder campaign
