BY-LAWS

Article I

The Toms River High School North Football Booster Club, hereunder will be referred to as the Club.

Article II

The objective of the Club will be to promote and support all the Football Activities, Players, Coaches and Staff atToms River School North.

Article IIIMembership

Section 1-ELIGffiILITY - Any parent or legal guardian of a participant in the Toms River High School NorthFootball Program is eligible for full membership (to include the off season, if the participant is an underclassmanand eligible for participation in the following season.) Section 2 - ELECTED OFFICERS - The elected officers of the Club shall consist of the President, VicePresident, Treasurer, Corresponding Secretary; and Recording Secretary. The President shall appoint a nominatingcommittee no later than the first October meeting. This committee shall draw up a slate of officers for the club andpresent the slate at the first meeting in November. Voting will take place during the first meeting in December.Before the vote at the December meeting, additional nominations will be accepted from the floor. If there is a needfor an election, the vote shall be taken by secret ballot and tallied by the Recording and Corresponding Secretary.The newly elected officers shall assume the duties of their respectiv.e offices at the first meeting of January.

Section 3 - BOARD OF DIRECTORS - The President shall act as the Chairperson of the Board of Directors,which will consist of Elected and Appointed officers.

Section 4 - VACANCIES - In case of a vacancy in any of the offices, except for the President, such vacancy shallbe filled by appointment of the President with the approval of the Board of Directors. If the vacancy exists in theoffice of the President, the office shall immediately be assumed by the Vice President.

Section 5 - TERM OF OFFICE - The term of office shall be one year. Any officer may run for re-election a longas he or she has a child participating in the Toms River High School North Football Program in the upcomingseason.

Article V

Section 1- REGULAR MEETINGS - Regular meetings of the club will be held every Thursday from August toDecember. Thereafter meetings will be held the 2nd Thursday of each month, unless otherwise needed. ThePresident may cancel one of the meetings during the month as long as it is voted on and approved by themembership at the previous meeting.

Section 2 - SPECIAL MEETINGS - Special meetings may be called by the President when deemed necessary.The current paid roster membership must be notified at least three (3) days in advance of any special meeting.

Article VIVoting

Section 1 - VOTING ELIGmILITY - Only currently paid members present at a regular or special meeting, whohave a child-participating in the Toms River High School North Football Program are eligible to vote or presentmotions or issues on the floor.

Section 2 - QUORUMS - At regular meetings, the membership present constitute a QUorum. At properly calledSpecial Meetings, ten percent (10%) of the current paid membership roster must be present. If a quorum is notpresent at a Special Meeting, the members present at the meeting may decide the issue. At meetings of the Boardof Directors, four (4) member of the Board must be present.

Article vnMeeting Procedures

Section 1- ORDER OF BUSINESS - The Order of business at all meetings shall be conducted as follows:

a. Meeting called to orderb. Reading of the previous minutesc. Reports (Treasurer, Committees)d. Correspondencee. Announcementsf. Old Businessg. New Businessh. Special Presentationsi. Adjournments

Section 2 - CONDUCT OF BUSINESS - Robert's Rules of Order will prevail if not specifically covered underthe Club By-Laws. Approval for the commitment of Club Expenditures excess of$300.00 shall be referred to theBoard of Directors for consideration and recommendations, and then returned to the General Membership for a[mal vote. No expenditures under $300.00 will be approved without the benefit of board discussion and majorityapproval.

Article VITIFinancial Management

Section 1- CHECKING ACCOUNT - A Checking account will be established in the name of the Club. Allchecks will require two (2) party signatures and signed by the Treasurer AND the President or Vice President.

Section 2 - PETTY CASH - Sums up the amount of three hundred ($300.00) dollars may be drawn against thefunds of the Club with Board approval for miscellaneous expenses.

Section 3 -DISBURAL OF FUNDS - Proposed expenses, in excess of three hundred ($300.00) dollars to beincurred by the Club shall be brought to the Membership at the next regular meeting and voted on for approval.

Section 4 - FINANCIAL PLANNING - The newly elected Board of Directors will represent their financial goalsand objectives for the upcoming year to the membership at the first (15t) meeting in February.

Section 5 - FINANCIAL YEAR - The financial year shall be from January 1 to December 31 inclusive. Nofinancial commitments shall be made to extend past the current fiscal year end

Article IXDuties of Officers

Section 1 - PRESIDENT - The President shall exercise the powers and perform the duties assigned t himlher bythese By-laws and shall manage the affairs of the Club. He or she shall have full power to enforce the provisions ofthe By-Laws. The President shall preside over all meetings and shall designate the Chairperson of Committees.The President shall have the power to call meetings of the Board of Directors as he or she deems necessary. He orshe shall perform such other duties usually incident to the office of President.

Section 2 - VICE PRESIDENT - The Vice President will assist the President in his/her duties and will assumethe president's duties and authority in his/her absence at any Regular, Special and Board of Directors Meeting.

Section 3 -TREASURER - The Treasurer shall assure all financial accounting the Club funds, and willmaintainall appropriate files and ledgers, and submit to t general auditing at the first meeting in January by the out-goingPresident and Treasurer and the in-coming President and Treasurer. In the event of the officers are re-elected, theaudit committee would consist of three additional Board Members.

Section 4 - CORRESPONDING SECRETARY - The Corresponding Secretary shall handle all outgoingcorrespondence, maintain appropriate files pertaining to the Club, act as coordinator for maintainingcommunications between the Club and other persons and agencies for publicity, advertising, and announcements.The Corresponding Secretary will maintain a current list of paid and unpaid eligible members, along with activealumni. He or she will be in charge of coordinating membership registration throughout the year.

Section 5 - RECORDING SECRETARY - The Recording Secretary will keep a record of the proceedings of allmeetings. In the absence of the Recording Secretary at any meeting, the President will appoint a person to act inthat capacity. The Recording Secretary will ensure that the minutes of all meetings are assembled in the prescribedformat, and shall ensure that a complete me of all minutes is maintained as part of the Club permanent records.

Section 6 - BOARD OF DIRECTORS - The Board of Directors will conduct the administrative affairs of theClub, and shall strive to remove as much routine business from the Regular Meetings as possible. The out-goingBoard of Directors shall conduct a Preliminary Transition Meeting with the incoming officers prior to the first (1st)meeting in January.

Article XAttendance

Section 1- OFFICERS - The President may relieve any officer of the Board of Directors if that person has beenabsent fro three Board of Directors and/or Regular Membership Meetings, without presenting the President with areasonable explanation.

Article XICommittees

Section 1 - APPOINTMENTS - The President, at hislher discretion, shall appoint permanent or temporarycommittees to carry out the programs of the Club. The President shall appoint a chairperson to be in charge of eachcommittee. The chairperson shall report directly to the President, and present committee reports at all regularmeetings.

Section 2 - RESTRICTIONS - A Chairperson or Committee Member shall not make any commitments orobligations in the name of the club without the prior approval of the Board of Directors.

Article XIIBy-Law Amendment Change

Section 1 - AMENDMENTS - These By-Laws may be amended by the voting criteria, providing it is presentedat least one week prior to the final vote at a Regular Membership Meeting, and adopted by the majority.

Article XIIIHonorary Membership

Section 1 -HONORARY MEMBERS - Persons that do not have a child participating in the football programmay become honorary members of the Club by a unanimous vote of the Board of Directors and a two thirds (2/3)majority vote of those in attendance at a Regular Meeting.

Section 2 - PRIVILEGES - Honorary Members shall retain all rights and privileges of regular members exceptthat of becoming an officer or voting at regular meetings.

Article XIVToms River North Football Booster Club Scholarship

Effective from the 2005 football season, the Club will present a minimum of three $500 scholarships to seniormembers of the football team.

Additional scholarships may be awarded if money is available and voted on by the Board.

The criteria are as follows; A.) the players must be seniors and members of the junior varsity or varsity for at leasttwo years; B.) the scholarships are based on the highest weighted G.P.A.lClass rank at the end of six (6) semesters.

The G.P.A.lClass rank information will be supplied to the club by the Guidance Office.

If moneys are available, the club may add to these scholarships at any given time.

TOMS RIVER IDGH SCHOOL NORTH FOOTBALL BOOSTER CLUB

Said organization is organized exclusively for charitable, religious, educational, and scientific purposes,including, for such purposes, the making of distributions to organizations that quality as exemptorganizations under section 501 (c) (3) of the Internal Revenue Code, or corresponding section of any futuretax code.

No part of the net earning of the organization shall insure to the benefit of, or be distributable to itsmembers trustees, officers, or other private persons, except that the organization shall be authorized andempowered to pay reasonable compensation for services rendered and to make payments and distributionson furtherance of the purposes set forth in the purpose clause hereof. No substantial part of the activities ofthe organization shall be the carrying on of propaganda, or otherwise attempting to influence legislation,and the organization shall not participate in, or intervene in (including the publishing or distribution ofstatements) any political campaign on behalf of any candidate for public office. Notwithstanding any otherprovision of this document, the organization shall not carry on any other activities not permitted to becarried on (a) by an organization exempt fro federal income tax under section 50l(c) (3) of the InternalRevenue Coe, or corresponding section of any future federal tax code, or (b) by an organization,contributions to which are deductible under section 170 (c) (2) of the Internal Revenue Code, orcorresponding section of any future federal tax code.

Upon the dissolution of the organization, assets shall be distributed of one or more exempt purposes withinthe meaning of section 501 (c) (3) of the Internal Revenue Code, or corresponding section of any futurefederal tax code, or shall be distributed to the federal government, or to a state or local government, for apublic purpose. Any such assets not disposed of shall be disposed of by the Court of Common Pleas of thecounty in which the principal office of the organization or organizations, as said court shall determine,which are organized and operated exclusively for such purpose.
