ACUERDO ENTRE EL GOBIERNO DE LAS ISLAS COOKy EL GOBIERNO DE LOS ESTADOS UNIDOS MEXICANOS PARA EL
INTERCAMBIO DE INFORMACI6N EN MATERIA TRIBUTARIA
El Gobierno .de las Islas Cook y el Gobierno de los Estados Unidos
Mexicanos deseando facilitar el intercambio de informaci6nen
materia tributariahan acordado 10 siguiente:
ARTicULO 1
Objeto y Alcance dei Acuerdo
Las autoridades competentes de las Partes Contratantes se
prestaran asistencia a través dei intercambio de informaci6n que sea
previsiblemente relevante para la administraci6n y la aplicaci6n de la legislaci6n
interna de las Partes Contratantes con respecta a los impuestos comprendidos por
este Acuerdo. Dicha informaci6n debera incluir aquélla que sea previsiblemente
relevante para la determinaci6n, liquidaci6n y recaudaci6n de dichos impuestos,
para el cobro y la ejecuci6n de los créditos fiscales 0 la investigaci6n 0
enjuiciamiento de casos en materia tributaria. La informaci6n se intercambiara de
acuerdo con las disposiciones de este Acuerdo y se tratara de manera confidencial
segun 10 dispuesto en el Articulo 8. Los derechos y garantias reconocidos a las
personas por la legislaci6n 0 practica administrativa de la Parte requerida seguiran
sien do aplicables siempre que no impidan 0 retrasen indebidamente el intercambio
efectivo de informaci6n.
ARTicUL02
Jurisdicci6n
La Parte requerida no estara obligada a proporcionar informaci6n que
no esté en poder de sus autoridades ni en posesi6n 0 bajo el control de personas
que estén dentro de su jurisdicci6n territorial.

ARTicUL03
Impuestos Comprendidos

1. Los impuestos a los que se aplica este Acuerdo son los
impuestos de cualquier c1ase y naturaleza exigidos por las Partes Contratantes a
lafecha de
lafirma de este Acuerdo.
2. Este Acuerdo también se aplicara a los impuestos idénticos 0
substancialmente similares que se establezcan con posterioridad a la fecha de la
firma dei presente Acuerdo, y que se anadan a los actuales 0 les sustituyan.
Ademas, los impuestos comprendidos podran ampliarse 0 modificarse mediante
acuerdo mutuo entre las Partes Contratantes a través de un intercambio de notas.
Las autoridades competentes de las Partes Contratantes deberan notificarse
mutuamente cualquier cambio sustancial en los impuestos y en las medidas para
recabar informaci6n, comprendidos por este Acuerdo.
3. Este Acuerdo no se aplicara a los impuestos establecidos por
los estados, municipios u otras subdivisiones polfticas de una Parte Contratante.
ARTicUL04
Definiciones
1. Para los efectos dei presente Acuerdo, a menos que se
exprese otra cosa:
(a) la expresi6n "Parte Contratante" significa las Islas Cook 0 México segun10 requiera el contexto;
(b) el término "México" significa los Estados Unidos Mexicanos; empleado
en un sentido geografico incluye el territorio de los Estados UnidosMexicanos, comprendiendo las partes integrantes de la Federaci6n, lasislas, incluyendo los arrecifes y los cayos en los mares adyacentes, lasislas de Guadalupe y de Revillagigedo, la plataforma continental y elfondo marina y los z6calos submarinos de las islas, cayos y arrecifes,las aguas de los mares territoriales y las maritimas interiores y mas alla

de las mismas, las areas sobre las cuales, de conformidad con elderecho internacional, México puede ejercer sus derechos soberanos deexploracion y explotacion de los recursos naturales dei fondo marino,
subsuelo y las aguas suprayacentes, y el espacio aéreo situado sobre elterritorio nacional, en la extension y bajo las condiciones establecidaspor el derecho internacional;
(c) la expresion "Islas Cook" significa el territorio de las Islas Cook;
(d) la expresion "autoridad competente" significa:
i) en el casa de México, la Secretaria de Hacienda y Crédito Publico;
ii) en el casa de las Islas Cook, el Recaudador de Impuestos Internoso un representante autorizado dei Recaudador;
(e) el término "persona" comprende a las personas fisicas, las sociedades ycualquier otra agrupacion de personas;
(f) el término "sociedad" significa cualquier persona juridica 0 cualquierentidad que se considere persona juridica para efectos impositivos;
(g) la expresion "sociedad cotizada en Boisa" significa cualquier sociedadcuya clase principal de acciones cotice en un mercado de valoresreconocido siempre que sus acciones cotizadas estén a disposicioninmediata dei publico para su venta 0 adquisicion. Las acciones pueden
ser adquiridas 0 vendidas "por el publico" si la compra 0 venta deacciones no esta restringida implicita 0 explicitamente a un grupoIimitado de inversionistas;
(h) la expresion "clase principal de acciones" significa la clase 0 clases deacciones que representen la mayoria de los derechos de voto y dei valorde la sociedad;
(i) la expresion "mercado de valores reconocido" significa cualquiermercado de valores acordado por las autoridades competentes de lasPartes Contratantes;
(j) la expresion "fondo 0 plan de inversion colectiva" significa cualquiervehiculo de inversion colectiva, independientemente de su forma legal.La expresion "fondo 0 plan de inversion colectiva publico" significa todo
fonda 0 plan de inversi6n colectiva siempre que las unidades, acciones uotras participaciones en el fonda 0 plan estén a disposici6n inmediatadei publico para su adquisici6n, venta 0 reembolso. Las unidades,acciones u otras participaciones en el fonda 0 en el plan estan adisposici6n inmediata dei "publico" para su compra, venta 0 reembolso sila compra, venta 0 reembolso no estan restringidas implicita 0
explicitamente a un grupo limitado de inversionistas;

(k) el término "impuesto" significa cualquier impuesto al que sea aplicableeste Acuerdo;
(1) la expresi6n "Parte requirente" significa la Parte Contratante que soliciteinformaci6n;
(m) la expresi6n "Parte requerida" significa la Parte Contratante a la que sesolicita que proporcione informaci6n;
(n) la expresi6n "medidas para recabar informaci6n" significa las leyes yprocedimientos administrativos 0 judiciales que permitan a una ParteContratante obtener y proporcionar la informaci6n solicitada;
(0) el término "informaci6n" significa todo hecho, declaraci6n 0 registro,cualquiera que sea la forma que revista;
(pl la expresi6n "asuntos penales fiscales" significa los asuntos fiscales queinvolucran una conducta intencional susceptible de enjuiciamientoconforme a la legislaci6n penal de la Parte requirente;
(q) la expresi6n "legislaci6n penal" significa todas las disposiciones legalespenales designadas como tales por lalegislaci6n interna,independientemente de que se encuentren comprendidas en lalegislaci6n fiscal, el c6digo penal u otras leyes.
2. Para la aplicaci6n dei Acuerdo en cualquier momento por una Parte
Contratante, todo término 0 expresi6n no definido en el mismo tendra, a menos
que de su contexto se infiera una interpretaci6n diferente, el significado que en ese
momento le atribuya la legislaci6n de esa Parte, prevaleciendo el significadoatribuido por la legislaci6n fiscal aplicable de esa Parte sobre el significado
previsto para dicho término por otras leyes de esa Parte.
ARTicUL05
Intercambio de Informacion Previa Solicitud
1. La autoridad competente de la Parte requerida debera proporcionar,
previa solicitud, informaci6n para los fines previstos en el Articulo 1. Dicha
informaci6n se intercambiara independientemente de que la conducta investigada
pudiera constituir un delito de conformidad con la legislaci6n de la Parte requerida
si dicha conducta ocurriera en la Parte requerida.

2. Si la informacion en poses on de la autoridad competente de la Parte
requerida no fuera suficiente para permitirle dar cumplimiento con la solicitud de
informacion, esa Parte usarâ todas las medidas pertinentes para recabar
informacion con el fin de proporcionar a la Parte requirente la informacion
solicitada, con independencia de que la Parte requerida pueda no necesitar dicha
informacion para sus propios fines fiscales.
3. Si es solicitado especificamente por la autoridad competente de la
Parte requirente, la autoridad competente de la Parte requerida deberâ
proporcionar informacion de conformidad con este Articulo, en la medida permitida
por su legislacion interna, en forma de declaraciones de testigos y copias
autentificadas de documentos originales.
4. Cada Parte Contratante deberâ asegurarse de que, para los fines
especificados en el Articulo 1 de este Acuerdo, su autoridad competente tiene la
facultad de obtener y proporcionar, previa solicitud:
(a) informacion en posesion de bancos, otras instituciones financieras, yde cualquier persona que actue en calidad representativa 0 fiduciaria,incluyendo los agentes y fiduciarios;
(b) informacion relativa a la propiedad de sociedades, sociedades depersonas, fideicomisos, fundaciones, y otras personas, incluyendo,dentro de las limitaciones dei Articulo 2, la informacion sobre lapropiedad de todas las personas que componen una cadena depropiedad; en el caso de fideicomisos, informacion sobre losfideicomitentes, fiduciarios y beneficiarios; y en el caso defundaciones, informacion sobre los fundadores, los miembros deiconsejo de la fundacion y los beneficiarios. Ademâs, este Acuerdo nocrea una obligacion para las Partes Contratantes de obtener 0
proporcionar informacion sobre la propiedad con respecte a las
sociedades cotizadas en Boisa 0 fondos 0 planes de inversioncolectiva publicos, a menos que dicha informacion pueda obtenersesin ocasionar dificultades desproporcionadas.

5. AI realizar una solicitud de informaci6n en virtud de este Acuerdo, la
autoridad competente de la Parte requirente proporcionara la siguiente informaci6n
a la autoridad competente de la Parte requerida con el fin de demostrar el interés
previsible de la informaci6n solicitada:
(a) la identidad de la persona sometida a inspecci6n0
investigaci6n;
(b) una declaraci6n sobre la informaci6n solicitada en la que conste su
naturaleza y la forma en que la Parte requirente desee recibir lainformaci6n de la Parte requerida;
(c) la finalidad fiscal para la que se solicita la informaci6n;
(d) los motivos para considerar que la informaci6n solicitada seencuentra en la Parte requerida 0 esta en la posesi6n 0 control deuna persona que se encuentre en la jurisdicci6n de la Parterequerida;
(e) en la medida en que se conozcan, el nombre y direcci6n de todapersona que se considere que esté en posesi6n de la informaci6nsolicitada;
(f) una declaraci6n en el sentido de que la solicitud es conforme con la
legislaci6n y las practicas administrativas de la Parte requirente, yque si la informaci6n solicitada se encontrara en la jurisdicci6n dedicha Parte requirente, la autoridad competente de esta ultimaesta ria en condiciones de obtener la informaci6n de conformidad consu legislaci6n 0 en el curso normal de la practica administrativa y quela solicitud de informaci6n es conforme con el presente Acuerdo;
(g) una declaraci6n en el sentido de que la Parte requirente ha utilizadotodos los medios disponibles en su propio territorio para obtener lainformaci6n, excepto aquellos que dieran lugar a dificultadesdesproporcionadas.
6. La autoridad competente de la Parte requerida enviara la informaci6n
solicitada tan pronto coma sea posible a la Parte requirente. Para asegurar una
pronta respuesta, la autoridad competente de la Parte requerida debera:
(a) Confirmar por escrito la recepci6n de la solicitud a la autoridadcompetente de la Parte requirente y le notificara, en su caso, losdefectos que hubiera en la solicitud, dentro de un plazo de sesenta(60) dias a partir de la recepci6n de la solicitud.

(b) Si la autoridad competente de la Parte requerida no hubiera podidoobtener y proporcionar la informaci6n en el plazo de noventa (90)dras a partir de la recepci6n de la solicitud, incluyendo si encuentraobstâculos para proporcionar la informaci6n 0 se niegue aproporcionarla, informarâ inmediatamente a la Parte requirente,explicando la raz6n de su imposibilidad, la naturaleza ge losobstâculos 0 las razones de su negativa. . -
ARTicUL06
Inspecciones Fiscales en el Extranjero
1. Una Parte Contratante podrâ permitir a los representantes de la
autoridad competente de la otra Parte Contratante entrar en su territorio con el fin
de entrevistarse con personas y de· inspeccionar documentos con el
consentimiento por escrito de las personas interesadas. La autoridad competente
de la Parte mencionada en segundo lugar notificarâ a la autoridad competente de
la Parte mencionada en primer lugar el momento y el lugar de la reuni6n con las
personas interesadas.
2. A petici6n de la autoridad competente de una Parte Contratante, la
autoridad competente de la otra Parte Contratante podrâ permitir que
representantes de la autoridad competente de la Parte mencionada en primer
lugar estén presentes en el momento que proceda durante una inspecci6n fiscal
en la Parte mencionada en segundo lugar.
3. Si se accede a la petici6n a que se refiere el pârrafo 2, la autoridad
competente de la Parte Contratante que realice la inspecci6n notificarâ, tan pronto
coma sea posible, a la autoridad competente de la otra Parte Contratante el
momento y el lugar de la inspecci6n, la autoridad 0 el funcionario designado para
lIevarla a cabo y los procedimientos y condiciones exigidos por la Parte
rnencionada en primer lugar para la realizaci6n de la misma. La Parte que realice
la inspecci6n tomarâ todas las decisiones con respecto a la misma.

ARTicUl07
Posibilidad de Rechazar una Solicitud
1. No se exigirâ a la Parte requerida que obtenga 0 proporcione
informaci6n que la Parte requirente no pueda obtener en virtud de su propia
legislaci6n para efectos dela
administraci6n0
aplicaci6n desu
legislaci6n fiscal.La autoridad competente de la Parte requerida podrâ rechazar su asistencia
cuando la solicitud no se formule de conformidad con este Acuerdo.
2. Las disposiciones de este Acuerdo no impondrân a una Parte
Contratante la obligaci6n de proporcionar informaci6n que revele cualquier secreto
comercial, empresarial, industrial, profesional 0 un proceso comercial. No obstante
10 anterior, la informaci6n a que se hace referencia en el pârrafo 4 dei Articulo 5 no
se tratarâ como tal secreto 0 proceso comercial simplemente por ajustarse a los
criterios de dicho pârrafo.
3. Las disposiciones de este Acuerdo no impondrân a una Parte
Contratante la obligaci6n de obtener 0 proporcionar informaci6n, que pudiera
revelar comunicaciones confidenciales entre un cliente y un abogado, asesor
juridico u otro representante legal autorizado, cuando dichas comunicaciones:
(a) se produzcan con el prop6sito de buscar 0 proporcionar asesorialegal; 0
(b) se produzcan con el prop6sito de su utilizaci6n en procedimientoslegales en curso 0 previstos.
4. La Parte requerida podrâ rechazar una solicitud de informaci6n si la
revelaci6n de la misma es contraria al orden publico (ordre public).
5. Una solicitud de informaci6n no deberâ ser rechazada por haber sido
impugnado el crédito fiscal que origine la solicitud.

6. la Parte requerida podra rechazar una solicitud de informaci6n si la
Parte requirentela solicita para administrar 0 hacer cumplir una disposici6n de su
legislaci6n fiscal, 0 cualquier requisito relacionado con ella, que discrimine contra
un nacional de la Parte requerida en comparaci6n con un nacional de la Parte
requirente en las mismas circunstancias.
ARTicUlOS
Confidencialidad
Cualquier informaci6n recibida por una Parte Contratante de
conformidad con este Acuerdo se tratara como confidencial y s610 podra revelarse
a personas 0 autoridades (incluyendo tribunales y 6rganos administrativos), en la
jurisdicci6n de la Parte Contratante encargadas de la determinaci6n 0 recaudaci6n
de los impuestos comprendidos en este Acuerdo, de los procedimientosdeclarativos 0 ejecutivos relativos a dichos impuestos 0 de la resoluci6n de los
recursos relativos a los mismos. Dichas personas 0 autoridades s610 utilizaran esa
informaci6n para los fines antes mencionados. Ellos podran revelar la informaci6n
en procedimientos publicos de los tribunales 0 en resoluciones judiciales. la
informaci6n no podra revelarse a cualquier otra persona, entidad, autoridad 0
cualquier otra jurisdicci6n sin el expreso consentimiento por escrito de la autoridad
competente de la Parte requerida.
ARTicUl09
Costos
la incidencia de los costos incurridos al proporcionar la asistencia
sera acordada por las Partes Contratantes.
ARTicUlO 10
legislaci6n para el Cumplimiento dei Acuerdo
las Partes Contratantes promulgaran la legislaci6n que sea
necesaria para cumplir y hacer efectivos los términos dei presente Acuerdo.

ARTicUlO 11Procedimiento de Acuerdo Mutuo

1. Cuando surjan dudas 0 dificultades entre las Partes Contratantes en
relaci6n con la implementaci6n 0 interpretaci6n de este Acuerdo, las autoridades
competentes se esforzarân por resolver la cuesti6n mediante acuerdo mutuo.
2. Ademâs dei acuerdo mencionado en el pârrafo 1, las autoridades
competentes de las Partes Contratantes podrân determinar mutuamente los
procedimientos a utilizar segun los Articulos 5 y 6.
3. Las autoridades competentes de las Partes Contratantes podrân
comunicarse directamente entre si con el prop6sito de lIegar a un acuerdo de
conformidad con este Articulo.
4. Las Partes Contratantes podrân acordar otras formas de resoluci6n
de controversias.
ARTicUlO 12
Entrada en Vigor
Este Acuerdo entrarâ en vigor treinta (30) dias después de la fecha
de recepci6n de la ultima notificaci6n en que las Partes Contratantes se
comuniquen por escrito, la conclusi6n de sus procedimientos internos necesarios
para tal efecto. AI entrar en vigor, el Acuerdo surtirâ efectos:
(a) tratândose de asuntos penales fiscales en esa fecha; y
(b) con relaci6n a todos los demâs aspectos comprendidos por elArticulo 1 en esa fecha, pero unicamente en cuanto a ejerciciosfiscales que inicien en esa fecha 0 a partir de ella, 0 cuando no existaejercicio fiscal, para todos los cobros de impuesto que surjan en esafecha 0 a partir de ella.

ARTicUlO 13
Terminaci6n
1. Cualquier Parte Contratante podra dar por terminado este Acuerdo
mediante una notificaci6n de terminaci6n ya sea por la via diplomatica 0 mediante
correo a la autoridad competente de la otra Parte Contratante.
2. Dicha terminaci6n surtira efectos el primer dia dei mes siguiente a la
expiraci6n de un periodo de seis (6) mesas a partir de la fecha de la recepci6n de
la notificaci6n de terminaci6n por parte de la otra Parte Contratante.
3. Después de la terminaci6n de este Acuerdo, las Partes Contratantes
permaneceran obligadas a observar 10 dispuesto por el Artic.ulo 8 en relaci6n con
cualquier informaci6n obtenida bajo el presente Acuerdo.
En fe de 10 cual, los suscritos, debidamente autorizados para tal
efecto, han firmado este Acuerdo.

AGREEMENT BETWEEN THE GOVERNMENT OF THE COOK ISLANDS AND
THE GOVERNMENT OF THE UNITED MEXICAN STATES FOR THE
EXCHANGE OF INFORMATION RELATING TO TAX MATTERS
The Government of the Cook Islands and the Government of the
United Mexican States desiring to facilitate the exchangeof
information withrespect to taxes have agreed as follows:
Article 1
Object and Scope of the Agreement
The competent authorities of the Contracting Parties shall provide
assistance through exchange of information that is foreseeably relevant to the
administration and enforcement of the domestic laws of the Contracting Parties
concerning taxes covered by this Agreement. Such information shall inciude
information that is foreseeably relevant to the determination, assessment and
collection of su ch taxes, the recovery and enforcement of tax ciaims, or the
investigation or prosecution of tax matters. Information shall be exchanged in
accordance with the provisions of this Agreement and shall be treated as
confidential in the manner provided in Article 8. The rights and safeguards secured
to persons by the laws or administrative practice of the requested Party remain
applicable to the extent that they do not unduly prevent or delay effective exchange
of information.
Article 2
Jurisdiction
A Requested Party is not obligated to provide information which is
neither held by its authorities nor in the possession or control of persons who are
within its territorial jurisdiction.

Article 3
Taxes Covered

1. The taxes which are the subject of this Agreement are taxes of every
kind and description imposed by the Contracting Parties at the date of signature of
the Agreement.
2. This Agreement shall also apply to any identical or substantially
similar taxes imposed after the date of signature of this Agreement in addition to, or
in place of, the existing taxes. Furthermore, the taxes covered may be expanded or
modified by mutual agreement of the Contracting Parties in the form of an
exchange of letters. The competent authorities of the Contracting Parties shall
notify each other of any substantial changes to the taxation and related information
gathering measures covered by this Agreement.
3. The Agreement shall not apply to taxes imposed by any states,
municipalities, or other political sub-divisions of a Contracting Party.
Article 4
Definitions
1. For the purposes of this Agreement, unless otherwise defined:
(a) the term "Contracting Party" means the Cook Islands or Mexico asthe context requires;
(b) the term "Mexico" means the United Mexican States, when used in ageographical sense it includes the territory of the United MexicanStates, as weil as the integrated parts of the Federation, the islands,including the reefs and cays in the adjacent waters, the islands of
Guadalupe and Revillagigedo, the continental shelf and the seabed
and sub-soil of the islands, cays and reefs, the waters of the territorialseas and the inland waters and beyond them the areas over which, in
accordance with the international law, Mexico may exercise itssovereign rights of exploration and exploitation of the naturalresources of the seabed, sub-soil and the suprajacent waters, and theair space of the national territory to the extent and under conditionsestablished by international law;

(c) the term "the Cook Islands" means the territory of the Cook Islands;
(d) the term "competent authority" means:
i) in the case of Mexico, the Ministry of Finance and Public Credit;
ii) in the case of the Cook Islands, the Collector of Inland Revenueor an authorised representative of the Collector;
(e) the term "person" includes an individual, a company and any otherbody of persons;
(f) the term "company" means anybody corporate or any entity that istreated as a body corporate for tax purposes;
(g) the term "publicly traded company" means any company whoseprincipal class of shares is listed on a recognised stock exchangeprovided its listed shares can be readily purchased or sold by thepublic. Shares can be purchased or sold "by the public" if thepurchase or sale of shares is not implicitly or explicitly restricted to alimited group of investors;
(h) the term "principal class of shares" means the class or classes of
shares representing a majority of the voting power and value of thecompany;
(i) the term "recognised stock exchange" means any stock exchangeagreed upon by the competent authorities of the Contracting Parties;
(j) the term "collective investment fund or scheme" means any pooledinvestment vehicle, irrespective of legéil form. The term "publiccollective investment fund or scheme" means any collectiveinvestment fund or scheme provided the units, shares or otherinterests in the fund or scheme can be readily purchased, sold orredeemed by the public. Units, shares or other interests in the fund orscheme can be readily purchased, sold or redeemed "by the public" ifthe purchase, sale or redemption is not implicitly or explicitlyrestricted to a limited group of investors;
(k) the term "tax" means any tax to which the Agreement applies;
(1) the term "applicant Party" means the Contracting Party requestinginformation;

(m) the term "requested Party" means the Contracting Party requested toprovide information;
(n) the term "information gathering measures" means laws andadministrative or judicial procedures that enable a Contracting Partyto obtain and provide the requested information;
(0) the term "information" means any fact, statement or record in anyform whatever;
(p) the term "criminal tax matters" means tax matters involving intentionalconduct which is liable to prosecution under the criminal laws of theapplicant Party;
(q) the term "criminal laws" means ail criminal laws designated as su ch
under domestic law irrespective of whether contained in the tax laws,the criminal code or other statutes.
2. As regards the application of this Agreement at any time by a
Contracting Party, any term not defined therein shall, unless the context otherwise
requires, have the meaning that it has at that time under the law of that Party, any
meaning under the applicable tax laws of that Party prevailing over a meaning
given to the term under other laws of that Party.
Article 5
Exchange of Information upon Request
1. The competent authority of the requested Party shall provide upon
request information for the purposes referred to in Article 1. Such information shall
be exchanged without regard to whether the conduct being investigated would
constitute a crime under the laws of the requested Party if such conduct occurred
in the requested Party.

2. If the information in the possession of the competent authority of the
requested Party is not sufficient to enable it to comply with the request for
information, that Party shall use ail relevant information gathering measures to
provide the applicant Party with the information requested, notwithstanding that the
requested Party may not need such information for its own tax purposes.
3. If specifically requested by the competent authority of an applicant
Party, the competent authority of the requested Party shall provide information
under this Article, to the extent allowable under its domestic laws, in the form of
depositions of witnesses and authenticated copies of original records.
4. Each Contracting Party shall ensure that its competent authorities for
the purposes specified in Article 1 of the Agreement, have the authority to obtain
and provide upon request:
(a) information held by banks, other financial institutions, and any personacting in an agency or fiduciary capacity including nominees andtrustees;
(b) information regarding the ownership of companies, partnerships,trusts, foundations, and other persons, including, within theconstraints of Article 2, ownership information on ail such persons in
an ownership chain; in the case of trusts, information on settlors,trustees and beneficiaries; and in the case of foundations, informationon founders, members of the foundation council and beneficiaries.Further, this Agreement does not create an obligation on theContracting Parties to obtain or provide ownership information withrespect to publicly traded companies or public;, collective investmentfunds or schemes unless such information can be obtained withoutgiving rise to disproportionate difficulties.
5. The competent authority of the applicant Party shall provide the
following information to the competent authority of the requested Party when
making a request for information under the Agreement to demonstrate the
foreseeable relevance of the information to the request:

(a) the identity of the person under examination or investigation;
(b) a statement of the information sought including its nature and theform in which the applicant Party wishes to receive the informationfrom the requested Party;
(c) the tax purpose for which the information is sought;
(d) grounds for believing that the information requested is he Id in therequested Party or is in the possession or control of a person withinthe jurisdiction of the requested Party;
(e) to the extent known, the name and address of any person believed tobe in possession of the requested information;
(f) a statement that the request is in conformity with the law andadministrative practices of the applicant Party, that if the requestedinformation was within the jurisdiction of the applicant Party then thecompetentauthority of the applicant Party wouId be able to obtain the
information under the laws of the applicant Party or in the normalcourse of administrative practice and that it is in conformity with thisAgreement;
(g) a statement that the applicant Party has pursued ail means availablein its own territory to obtain the information, except those that wouldgive rise to disproportionate difficulties.
6. The competent authority of the requested Party shall forward the
requested information as promptly as possible to the applicant Party. To ensure a
prompt response, the competent authority of the requested Party shall:
(a) Confirm receipt of a request in writing to the competent authority of
the applicant Party and shall notify the competent authority of theapplicant Party of deficiencies in the request, if any, within sixt Y (60)days of the receipt of the request.
(b) If the competent authority of the requested Party has been unable toobtain and provide the information within ninety (90) days of receipt ofthe request, including if it encounters obstacles in furnishing the
information or it refuses to furnish the information, it shall immediatelyinform the applicant Party, explaining the reason for its inability, thenature ofthe obstacles orthe reasons for its refusaI.

Article 6
Tax Examinations Abroad
1. A Contracting Party may allow representatives of the competent
authority of the other Contracting Party to enter the territory of the first-mentioned
Party to interview individuals and examine records with the written consent of thepersons concerned. The competent authority of the second-mentioned Party shall
notify the competent authority of the first-mentioned Party of the time and place of
the meeting with the individuals concerned.
2. At the request of the competent authority of one Contracting Party,
the competent authority of the other Contracting Party may allow representatives of
the competent authority of the first-mentioned Party to be present at the
appropriate part of a tax examination in the second-mentioned Party.
3. If the request referred to in paragraph 2 is acceded to, the competent
authority of the Contracting Party conducting the examination shall, as soon as
possible, notify the competent authority of the other Contracting Party about the
time and place of the examination, the authority or official designated to carry out
the examination and the procedures and conditions required by the first-mentioned
Party for the conduct of the examination. Ali decisions with respect to the conductof the tax examination shall be made by the Party conducting the examination.
Article 7
Possibility of Declining a Request
1. The requested Party shall not be required to obtain or provide
information that the applicant Party would not be able to obtain under its own laws
for purposes of the administration or enforcement of its own tax laws. The
competent authority of the requested Party may decline to assist where the request
is not made in conformity with this Agreement.

2. The provisions of this Agreement shall not impose on a Contracting
Party the obligation to supply information which would disclose any trade,
business, industrial, commercial or professional secret or trade process.
Notwithstanding the foregoing, information of the type referred to in Article 5,
paragraph 4 shall not be treated as such a secret or trade process merely because
it meets the criteria in that paragraph.
3. The provisions of this Agreement shall not impose on a Contracting
Party the obligation to obtain or provide information, which would reveal
confidential communications between a client and an attorney, solicitor or other
admitted legal representative where such communications are:
(a) produced for the purposes of seeking or providing legal advice or
(b) produced for the purposes of use in existing or contemplated legalproceedings.
4. The requested Party may decline a request for information if the
disclosure of the information would be contrary to public policy (ordre public).
5. A request for information shall not be refused on the ground that thetax claim giving rise to the request is disputed.
6. The requested Party may decline a request for information if the
information is requested by the applicant Party to administer or enforce a provision
of the tax law of the applicant Party, or any requirement connected therewith,
which discriminates against a national of the requested Party as compared with a
national of the applicant Party in the same circumstances.

Article 8
Confidentiality

Any information received by a Contracting Party under this
Agreement shall be treated as confidential and may be disclosed only to persons
or authorities (inciuding courts and administrative bodies) in the jurisdiction of the
Contracting Party concerned with the assessment or collection of, the enforcement
or prosecution in respect of, or the determination of appeals in relation to, the taxes
covered by this Agreement. Such persons or authorities shall use such information
only for such purposes. They may disciose the information in public court
proceedings or in judicial decisions. The information may not be disclosed to any
other person or entity or authority or any other jurisdiction without the express
written consent of the competent authority of the requested Party.
Article 9
Costs
Incidence of costs incurred in providing assistance shall be agreed by
the Contracting Parties.
Article 10
Implementation Legislation
The Contracting Parties shall enact any legislation necessary to
comply with, and give eftect to, the terms of the Agreement.
Article 11
Mutual Agreement Procedure
1. Where difficulties or doubts arise between the Contracting Parties
regarding the implementation or interpretation of the Agreement, the competent
authorities shall endeavour to resolve the matter by mutual agreement.

2. In addition to the agreements referred to in paragraph 1, the
competent authorities of the Contracting Parties may mutually agree on the
procedures to be used under Articles 5 and 6.
3. The competent authorities of the Contracting Parties may
communicate with each other directly for purposes of reaching agreement under
this Article.
4. The Contracting Parties may also agree on other forms of dispute
resolution.
Article 12
Entry into Force
This Agreement shall enter into force thirty (30) days after the
reception of the latter notification in which the Contracting Parties communicate in
writing, the completion of their necessary internai procedures for such effect. Upon
its entry intro force, the Agreement shall have effect:
(a) for criminal tax matters on that date; and
(b) for ail other matters covered in Article 1 on that date, but only inrespect of taxable periods beginning on or after that date, or wherethere is no taxable period, ail charges to tax arising on or after thatdate.
Article 13
Termination
1. Either Contracting Party may terminate the Agreement by serving a
notice of termination either through diplomatie channels or by letter to the
competent authority of the other Contracting Party.

2. Such termination shall become effective on the first day of the month
following the expiration of a period of six (6) months after the date of receipt of
notice of termination by the other Contracting Party.
3. Following termination of the Agreement the Contracting Parties shall
remain bound by the provisions of Article 8 with respect to any information
obtained under the Agreement.
ln witness whereof, the undersigned, being duly authorised thereto,
have signed the Agreement.
