Introduction

Being a responsible Group implies a responsibleattitude on the part of each and every one of us.For some time we have recognized that Corporate

Social Responsibility (CSR) and Sustainability has movedfrom being a specialist or peripheral activity to become areal requirement for all successful global companies. Ourfocus has been to embed CSR and Sustainability into ourbusiness strategy, our processes and the way we worktogether. Our people have made this an important part oftheir daily work and I am proud of their achievementswhich make our progress possible. The results from ourlatest Global Employee Survey visibly demonstrate thatour people recognize and value our commitment inthis area.

Being responsible also means that we have obligations.Capgemini has obligations towards its employees, clients,business partners, suppliers, shareholders, local communitiesand the environment. We are determined to ensure that weencourage diversity and opportunity across our workforce andthat we reflect and help the communities within whichwe work.

As Chief Executive Officer (CEO), I consider myself as the firstperson in charge of ethics. This means that my actions mustbe exemplary and in keeping with the Group’s ethics andtraditions. I expect all our people to behave likewise. As part ofour development we have appointed a Chief Ethics &Compliance Officer and have launched an Ethics &Compliance program. We have revisited our code of ethics andare implementing a strong ethics and compliance programthrough communications and training.

Also Ethics are intimately bound to a country’s own culture.Since Capgemini has a presence in 40 countries, respectingothers, their culture, their habits, and their moral codes,consistent with applicable laws, is an essential quality, requiredof every employee, manager and leader.

Capgemini made an early commitment to taking a leading rolein sustainability through signing up to the UN Global Compactin 2004, and by joining the Caring for Climate initiative in 2007.

We recognize that we can make a significant contribution tominimizing environmental impacts, not only through the waywe manage our own business, but also in the way we requireand enable our stakeholders to reduce their environmentalimpact. For example, we have the capability to help our clientsreach their sustainability objectives and to work with ourbusiness partners and suppliers to reduce carbon usage.

Through our own commitment to sustainability, our UK, Dutchand Belgian businesses have received ISO14001 certificationfor their Environmental Management Systems. CapgeminiIndia is preparing for its ISO14001 audit.

In terms of our supplier relationships, in 2010 we performedsupplier assessments covering 82% of total GlobalProcurement spend and have a network of Chief ProcurementOfficers covering all geographies committed to ensuringresponsibility and sustainability in our supply chain.

Our community programs are focused on improvingeducation, encouraging diversity and helping to eradicatepoverty. Our strategy of working with long term partners in thecommunity such as the Naandi Foundation, PlaNet Finance,WeKare, Niños del Lago and The Prince’s Trust continues toengage our people in using the best of our expertise to makea difference. Also, I am pleased that we have the flexibility torespond to immediate needs such as the earthquakes in[Southern Italy and] Haiti.

Stakeholder engagement has always been at the heart of whatwe do, whether it is OTACE (On Time and At CustomerExpectation) with our clients, our Global Employee Survey withour people, interaction with our shareholders and investors, theway we collaborate with our alliance partners or the respectand support we provide to the communities in which weoperate. We continue to look for ways to engage in dialogueand gain valuable feedback that enhances our capabilities andthe sustainability of our company.

This Report is dedicated to sharing some of the highlights ofour progress and activities to date and our ambitions for thefuture, as well as recognizing the challenges and opportunitieswe face. It is about ensuring we work together and with ourstakeholders in order to continue our journey of makingprogress.

Key highlightsEthics & Compliance programme

In 2009, we appointed a Chief Ethics and Compliance Officerto lead and coordinate the program. As part of the program,our Code of Business Ethics was launched in 2010 and anetwork of Ethics and Compliance officers has beenestablished across the Group. By the end of 2010, more than35,000 employees had downloaded the Code of BusinessEthics and 19,000 had signed their agreement. We also rolledout a Group Code of Business Ethics E-Learning moduleacross the Group, which 23,000 people have completed.

Community impact

In 2010, we sponsored the education of over 12,000 girls inIndia as a result of several initiatives and schemes across theGroup. We have been working together in partnership with theNaandi Foundation underlining our commitment to help thecommunities in which we operate. Our other Globalcommunity program PlaNet Finance continues to providepractical support to communities that have no other meansof help.

Obtaining ISO 14001 certification

Our businesses in UK, Belgium and the Netherlands havereceived IS0 14001 accreditation for their environmentalmanagement and audit systems. The achievement of thisinternationally recognized standard is an important recognition ofthe progress these operations have made in this area.

Designing in green IT solutions

Increasingly we are able to design green IT solutions at theoutset of a project. This enables us to create IT infrastructure andsolutions which optimize cost savings and sustainability for ourclients that would be impossible later in the project. In 2010, welaunched CapgeminiGreen – an interactive platform that bringstogether all of our content related to sustainability andthe environment.

Sustainable procurement in partnership programme

Capgemini continues to implement our ‘SustainableProcurement in Partnership’ Program, which aims to ensurethat our suppliers comply with our Core Principles ofSustainability. In 2008, our Procurement community made thecommitment to assess their top suppliers based on risk andspend. The sustainability review now encompasses 82% ofCapgemini spend.

Measurement and third party recognition

We welcome measurement and analysis of our CSR andSustainability performance.

Recent coverage includes:

Forrester's report on Sustainability Consulting Servicesevaluated the level of capability providers had for each serviceoffering in three different categories: IT energy and resourceefficiency (green IT); IT-enabled green business processes (IT-for-green); and Corporate sustainability planning & governance(green business).

The report highlights the importance of sustainability in ourbusiness: “Sustainability is core to Capgemini’s strategy, whichis reflected in its organization as an international team with keycontact personnel in each respective country.”

NelsonHall reported on the recent opening of Merlin,Capgemini’s new green data center in Swindon, UK and on thelaunch of our new Global Service Line, ‘Smart Energy Services’.

Verdantix, another independent analyst firm, identifiedCapgemini as a ‘specialist’ supplier of sustainable technologyservices. Capgemini scored ‘best in class’ for data centerefficiency for our Merlin Data Center.

In 2010, Capgemini was included in the ECPI Ethical Index EMU,Ethibel PIONEER and Ethibel EXCELLENCE InvestmentRegisters. We were also rated by OEKOM, a leading ratingagency which uses a comprehensive collection of criteria for theethical evaluation of companies, and Ethifinance, anindependent agency specializing in evaluation of CSR. We arealso members of the FTSE4Good Index.

VIGEO - Vigeo assesses Capgemini every two years. In 2010,our ratings report assessed Capgemini as demonstratingresponsive behavior on sustainability issues, linked to an overallhigh level of sustainability reporting for the sector. We achieveda global score of 56/100, taking third place in the Software andIT services sector in terms of overall score.

Despite the global recession, consumers, customers andcommunities are demanding that CSR and Sustainabilitymoves from awareness and advocacy into action. Realtraction and progress can only be made through adoptionof a strategic approach and through strong leadership andcommitment.

Our approach to business has always been to providestrategic vision and top-down leadership, and to ensure wecreate a culture where our people can make strong individualcontributions and apply their ideas, experience and expertiseto develop innovative and effective solutions. Our approach toCSR and Sustainability is exactly the same.

Since 2003, the Group has formalized its CSR andSustainability strategy. In 2007, this strategy was added to theremit of the Ethics and Governance Committee of the Board ofCap Gemini SA.

Leadership, values and ethics

The values we share

Our culture and business practices have been inspired andguided by our seven core values. These values underpineverything we do. They provide the basis for our rules ofbehavior, conduct and principles of action. They shape oursustainable ethical culture, our “Group DNA,” producing amindset encompassing integrity and ethical behavior.

Our values are important to respect and defend in order touphold the Group as an ethical and responsible business. Weare keen to ensure that CSR and Sustainability performancedelivers the same high standards and commitment to ourValues across all areas of our activity.

Code of business ethics

Our code of business ethics guides all of our businesspractices and includes respect for human rights, theenvironment, freedom of association and the promotion ofdiversity, wellbeing and health and safety. We have strict rulesaround bribery & corruption, conflict of interest, faircompetition, confidential information and insider trading.

In 2009, the Group Board of Directors launched an Ethics &Compliance Program based and building on the ethicalculture that has existed since the start of the Group. A ChiefEthics and Compliance Officer was appointed to lead and

coordinate the formalization, development, implementation,and promotion of the Ethics & Compliance program.

The Ethics and Compliance program aims to formalize theexisting ethics asset base and has been developed with theinput of 1,000 managers and a network of 23 leaders ofdifferent nationalities. Its objectives are manifold: to develop asustainable ethical culture which reinforces integrity and leadsto ethical behavior; to strengthen knowledge and awarenessof international, national and internal regulations, laws andpolicies applicable to the Group’s companies; and toimplement initiatives strengthening prevention and aiming atavoiding breaches and misconduct in the field of ethics andcompliance.

The first stage in this program was to design and distributeCapgemini’s Code of Business Ethics, translated into 13languages and released in the first half of 2010. Some 21different topics likely to raise ethical questions are highlightedin the Code, whose clear principles, illustrated by casestudies, enable appropriate behavior to be distinguished frominappropriate behavior in a given situation. By the end of2010, more than 35,000 employees had downloaded theCode of Business Ethics and 19,000 had signed theiragreement. We also rolled out a mandatory Group Code ofBusiness Ethics E-Learning module across the Group, which23,000 people have completed.

Global employee surveyresults confirms sustainabilityresonates with our people

Every year, the Group invites all its team members toparticipate in a Global Employee survey. In 2010, morethan 60,000 employees participated (a 66% responserate). For the past two years we have included aquestion to understand the extent to which Capgemini isseen as a sustainable company by our people.

“I feel Capgemini is committed to being aresponsible corporate citizen (e.g. working withcommunities and charities like Naandi / PlaNetFinance), reducing our environmental impact,working with our clients on sustainability issues forexample Green IT.”

Our people

case study Employee representation –a formal voice for employeesCapgemini demonstrates its commitment to formal two-waydialogue through its approach to employee representation. Thecompany upholds local laws of representation and recognizesthe importance of constructive dialogue between employeesand management in shaping key decisions affecting therunning of the Group. In 2001, the International Works Council(IWC) was set up as the official representative body in theGroup. It enables employee representatives to bring employeeinterests directly to the attention of Group management and inreturn to be directly informed by management of plans for thecompany and the impact of such plans on employees. Since2004, Capgemini has gone beyond European legislation onworks councils and opened up the IWC meetings to membersfrom non-European countries, including the Americas andIndia, creating a truly globally representative body.Representatives from 21 countries meet twice a year for twoday working sessions with Group management and twice ayear as a team. In 2010, the IWC was updated on and involvedin the Group’s CSR & Sustainability activities, EmployeeSurvey, Headcount Evolution and Group initiatives.

At local level, the company also supports dialogue with unionsor other employee representatives, within relevant bodies andthrough the processes provided for under local legislation,regulations and agreements.

Gender and diversity atCapgemini

We are keen to ensure that we encourage a better genderbalance in the leadership of the Group at all levels. Wehave a program of online materials and leadershipcourses to help woman develop their leadership skills andexpertise so that they can reach their potential within ourorganization and make a strong contribution.

For the fourth year running, Capgemini celebratedInternational Women’s Day and launched a Group-wideeffort to recognize its women achievers and thechallenges women still face in the world of business.Through a continuous focus on the importance of diversityat all levels we have raised the profile and understandingof this important area and are making considerableprogress.

External recognition for driving diversity

� Capgemini won the Alpha prize at the 6thInternational Meeting for Diversity, in Corte (Corsica)by the association ‘les Défis de la Diversité’ and theGroup SECAFI-ALPHA. The award was given forthe quality of our corporate diversity policy.

The employability of peoplewith disabilities in FranceIn November 2009, Capgemini was one of 31 companieswho signed the charter of the employability of people withdisabilities. Represented by Group General Secretary, AlainDonzeaud, our Group pledged to pursue actions for theemployment of persons with disabilities, along with thegovernment

The Charter aims to encourage businesses and the publicsector to intensify their efforts towards integration of thedisabled, who are still twice as likely to be unemployed thannon-disabled people.

The State and the signatories of the Charter commit to:

� continue efforts promoting employability of workerswith disabilities and mainstreaming disability in thecompany strategy at its highest level;

� participate in the evolution of the collectiverepresentation of the disabled;

� promote resources devoted to the employability ofpeople with disabilities;

� share on the whole policy for advancement;

To implement these commitments, an interdepartmentalcommittee for Disability has been established betweenenterprises and the government ministries. As part of itsdetermination to encouraged disabled groups to reach theirpotential, Capgemini France also teamed up with Caréa5, asoftware company, in 2009 and launched new softwareapplications to learn the basics of sign language. "Signes",proposes a lexicon of words and expressions of everydaylanguage and life, through videos, accompanied by adescription of the sign, but also a classification of wordsand phrases by topic including urban life, meetings, workand consumption.

Also, Signes offers an option to "Store", which allowsdownloading of new signs made available each quarter.The application is available free on the AppStore.Capgemini France also works close with schools ondisability programs.

Merlin – one of the most sustainabledata centers in the world

Capgemini committed to achieving a step-change improvementin data center sustainability while continuing to grow capacity.This required an increase in immediate and ‘developable’capacity and a net reduction in carbon emissions. One of themain objectives for the new data center was to improve energyefficiency by 40% compared with the global average for largedata center.

The modular concept is the first of its kind and is a significantinnovation in the way that it breaks down the traditional datacenter concept into smaller, more efficient, cost-effective andsustainable modules. The modules were constructed using95% recyclable components, sourced from within 100 miles ofthe center, which was developed on a brownfield site. The near-total fresh air cooling system is a green innovation which is bothresource- and power-efficient. Key to Merlin’s approach toelectrical efficiency is the implementation of a flywheelUninterruptable Power Supply (UPS) solution to drive outhazardous waste, rather than a traditional ‘dirty’ battery-basedapproach.

It was a radical design, involvinga high degree of genuineinnovation. We have proved thatachieving high resiliency in a"Green" design at a competitiveprice point in the Data Centermarket is absolutely achievableand should be the way forwardfor all data center operators.

Naandi Norway winHarry Hole awardNaandi Norway, which was established in 2007 at theinitiative of Capgemini Norway was the first NaandiFoundation outside of India. What started as a friendshipbetween Capgemini India and Capgemini Norway whilelooking for ways to support the Rightshore® strategy andto promote understanding and cooperation, has nowgrown into a truly global Capgemini Group program anda strong Naandi-Capgemini relationship.

Naandi Norway has launched a voluntary contributionprogram for employees who wish to support thefoundation.

Naandi Norway received the first ever Harry Hole Awardin November 2009. This prize, funded by famousNorwegian crime novelist, Jo Nesbø, is named after hiscrime novel hero Harry Hole. The prize is awarded toorganizations working to prevent illiteracy.

Sogeti sponsored the 2nd International Conference“Microfinance and New Technologies” which was heldin Marrakech in 2010. In Pune,WeKare is very active with the Jagriti Blind School for Girls,providing the girls with much-needed practical help. . What started as a small idea in one of Capgemini’s trainingclassrooms has evolved into a 150+ volunteer strongorganization working with close to 50 partners across 3 majorcities of India today.

Its scope is:

Senior managersof Capgemini, together with senior managers inCapgemini’s client environment, are organized and linkedvia the LinkedIn group "Seniors for Talents" The mission ofthese managers is to help a young person to start/boosthis/her career by giving them access to their establishednetworks, knowledge and experience.

Based on this initiative Capgemini was rewarded as ‘MostCorporate Socially Responsible ICT Company of the Year’.Two of our Dutch senior managers received the Award.

Capgemini Australia employees have donated to the relief fundfor the 2011 Queensland flood crisis. Capgemini Australiamatched the donations and contributed this to the QueenslandFlood relief effort.

Capgemini Canada continues its support of the United Waywith employees raising over €75,000 in 2010. Local SCENEteams from Capgemini North America (Supporting,Celebrating, Enriching Networking Employees) organizecharity, sporting, cultural and hands on community events.

BPO Americas and Capgemini Guatemala support Niños delLago (Children of the Lake), a charity organization committedto helping impoverished children in Guatemala and improvetheir quality of life. In 2010, Capgemini provided significantfinancial contributions, along with our client partner Coca-Colaenterprises. The Capgemini Guatemala site held numerousactivities to generate funds for NDL. Capgemini matched theamount raised and we contributed over €9,000 to NDL.

Capgemini France and Sogeti have partnered with anorganization called ‘Nos Quartiers ont des Talents’ for the pastfive years. This association aims to help young graduates fromdisadvantaged areas find employment. Thirty employees atSogeti, some of whom are members of the executivecommittee, are mentoring graduates. In 2010, a ceremonywas held in the Stadium of Toulouse to celebrate the launch ofNos Quartiers ont des Talents in Midi-Pyrenees. This launchwas an opportunity for Capgemini and Sogeti to confirm theircommitment to the organization and mobilize local teams. In2010, Capgemini and Sogeti participated in the nationalmeetings of ‘Nos Quartiers ont des Talents’ where the teamsmet over 150 young people.

Commitment to sustainable procurement across the groupA detailed survey has been undertaken and our suppliers are expected to comply with our Core Principles of Sustainability.In 2008 our Procurement community began assessing all of their top suppliers based on risk and spend. As of the December2010, the sustainability review now encompasses 82% of Capgemini spend. 2,135 suppliers have been reviewed or are inthe process of being reviewed.

Sustainable procurement principles

1. Human rights – Respect for human rights when dealingwith supplier stakeholders at large. Suppliers should supportthe principles of the Universal Declaration of Human Rights.

2. Compliance with applicable international, national, stateand local laws – We recognize that local customs, traditionsand practices may differ but expect that suppliers comply atleast with local, national and international laws, including (butnot limited to) all environmental, health and safety and laborlaws. We expect suppliers to support International LaborOrganization core conventions on labor standards.

3. No forced or compulsory labor – Our suppliers mustnot use forced, bonded or compulsory labor andemployees must be free to leave their employment afterreasonable notice.

4. Child labor – We refuse to accept the use of child labor inthe supply chain.

5. Equality and diversity – We refuse to accept unlawfuldiscrimination of any kind in working relations and we expectdiversity to be promoted.

6. Employee wellbeing and development – Whereapplicable, suppliers should give consideration to flexibleworking conditions to foster a work/life balance and to fosterthe personal development and training of team members.

7. Disciplinary practices – Employees must be treated withrespect and dignity. Any physical or verbal abuse,harassment, threats and/or other forms of intimidation areprohibited.

8. Freedom of association – Insofar as permissible by therelevant laws, respect should be given for freedom ofassociation.

9. Health and safety – A safe and healthy workingenvironment for all employees must be provided inaccordance with international standards, laws andregulations.

10. Confidentiality and intellectual property – We require oursuppliers, contractors and their team members to preservethe confidentiality of any information to which they haveaccess in accordance with applicable laws. We also expectthem to protect all intellectual property belonging toCapgemini, its customers, suppliers and/or individuals.

11. Refusal of bribery and corruption in business practices.

Our environmental prioritiesTo ensure we comply with local and internationalenvironmental legislation, the Group is rolling out aworldwide approach to environmental protection whichincludes:

We alsoprovide training in environmental compliance for facilities andproperty managers. Energy efficient business practices andtechnologies are expected to be considered and adopted asappropriate for relevant capital projects such as refurbishmentsor when opening new office buildings.

For the second year running Capgemini UK has beenawarded a place on the Sunday Times’ prestigiousGreen List for 2010, improving our ranking by animpressive eight places to 49th. Competition for places is extremely high and only thoseorganizations demonstrating the highest environmentalstandards with engaged employees make the list.

Group Communications has rolled out a campaign topromote greater awareness and usage around ouravailable virtual collaboration tools – called LiveComms.LiveComms is the line of services provided by the Groupto facilitate real-time communication and collaboration,including enriching understanding of our Group InstantMessaging service and our new Live VideoconferencingServices.

Business travelWe have continued to optimize the use of virtual collaborationtools, such as videoconferencing and messenger services tofacilitate remote and flexible working. This capability hasenabled us to reduce business travel, in particular between ouroffices in India and locations in Europe and North Americawithout sacrificing valuable ‘face-time’ with clients. ISO14001 certification in UK,the Netherlands and Belgium

In 2009, Capgemini UK, Capgemini Netherlands and SogetiNetherlands achieved ISO14001

certification for their environmental management systems.In 2010, Capgemini Belgium also received certification.

Our external auditors at Capgemini UK remarked that theUK has a “comprehensive and transparent” system, parts ofwhich in their view are “world-leading.” The Dutch externalauditor (KEMA) remarked that “the essentials of ISO 14001are well understood throughout the concerned staff”.

Green Beacon certificate forCapgemini Norway

June 5 is commemorated each year as the WorldEnvironment Day where the United Nations stimulatesworldwide awareness of the environment and enhancespolitical attention and action. On this significant date,Capgemini Norway became the first large IT Company inNorway to be honored with the Miljøfyrtårn or “GreenBeacon” certificate in a ceremony at Oslo Town Hall.Miljøfyrtårn is a national certification scheme intended for

Forrester’s report on Sustainability Consulting Services evaluatedthe level of capability providers had for each service offering inthree different categories: IT energy and resource efficiency(green IT); IT-enabled green business processes (IT-for-green);and Corporate sustainability planning & governance (greenbusiness). Forrester predicts the sustainability consultingservices market will be a $9.6 Billion Market in 2015.

NelsonHall reported on the launch of Capgemini’s new GlobalService Line, ‘Smart Energy Services,’ whichmarks the last of fiveinitiatives in Capgemini’s ‘Business As Unusual’ Program. NelsonHall recently reported on the opening of Merlin,Capgemini’s new green datacenter in Swindon, UK,commenting that “Overall, the opening of the Merlin datacenterputs Capgemini in a space where we were not expecting it tobe. So far, green IT was a topic reserved for hardware anddatacenter equipment manufacturers, not IT service vendors”.The analyst wrote that “Capgemini has taken the approach thatthe cost of operating a green datacenter should not be moreexpensive than a classic one”. The GreenQuadrant Matrix methodology is a comparison whichcharacterizes market alternatives for buyers of a product orservice. Capgemini was compared with 14 other suppliers ofsustainable technology services under the categories ofcapabilities and market momentum. Financial indexesIn 2010, Capgemini was included in the ECPI Ethical IndexEconomic and Monetary Union (EMU). ECPI is a researchagency dedicated to Environmental, Social and governance(ESG) research and index development, calculation andpublication. ECPI monitors more than 4,000 issuerscompanies, governments, agencies etc from an environmentalrisk, social impact, and corporate governance perspective.

Capgemini has been selected for inclusion in the EthibelPIONEER and Ethibel EXCELLENCE Investment Registerssince 2007. It was reconfirmed for inclusion in 2010 and isbeing monitored regarding its CSR profile since then. ForumETHIBEL’s mission is both to advance Socially ResponsibleInvesting (SRI) and to increase awareness of sustainabledevelopment by creating high quality, visible SRI products inthe market. These Investment Registers form the basis for theEuropean Collective Quality labels ‘ETHIBEL PIONEER’ and‘ETHIBEL EXCELLENCE,’ which is awarded to investmentfunds and financial products only.

Our Global OS business ranked fourth in theGreen Outsourcing Survey overall, measuredby the Black Book Top Green OutsourcingVendors survey, based on client feedback.

Capgemini UK has achieved the WWF One inFive Challenge Award, an initiative which

challenges companies to reduce the numberof business flights taken. “The progress madeby Capgemini towards achieving the One inFive Challenge has been noteworthy duringthis short period and JMP has verified that a20% reduction in flying has been achieved

compared to the baseline year.”

VIGEO - Vigeo assesses Capgemini every two years. In 2010,our ratings report assessed Capgemini as demonstratingresponsive behavior on sustainability issues, linked to anoverall high level of sustainability reporting for the sector. Weperformed above average on the Human Rights and BusinessBehavior domains. Our Human Resources performance hasimproved since the last ratings report and is highly rankedthanks to strong commitments disclosed on issues underreview and relevant means to ensure the professionaldevelopment of our workforce. Capgemini’s environmentaltraining, commitment to environmental management andmonitoring of environmental indicators contributed to a strongscore in the Environmental strategy and eco-designsustainability driver. Our overall rating improved for 2010compared to 2007.
