Ken’s Korner is generally an update from the Domino’s FranchiseeAssociation’sCEOregardingthecurrentissues our Members are facing and the progress the DFAhasmadeconfrontingthoseissues.ForthisissueoftheVoiceMagazine,Ihavedecidedtodeviatefromthis normal path. Understanding the importance of informing Franchisees about what the DFA is working on,wesentadetailed2016yearendDFAemailupdatetoallFranchiseessoIcouldusethisspaceforanotherworthwhile purpose.

Atthisyear’sWWR,itwasannouncedthat,after30years,JimStansikisretiringfromDomino’sandleavinghiscurrentpositionasExecutiveVicePresidentofFranchiseRelations.WhenIheardthenews,IimmediatelystartedanalyzingwhatthismeanstoDomino’sFranchisees.Afterbreakingdowntheimpact,Ilandedontwodistinctiveissues.

ThefirstareaistheimportanceofhavingaFranchiseRelationspositionseatedatthetablewiththeotherEVPswholeaddepartments,whichmakecriticaldecisionsimpactingboththesuccessoftheBrandandthesuccessoftheFranchisees.EversinceDPLLCannouncedJim’sretirement,theDFAhasbeencampaigninghardtohavehispositionfilledbysomeonewhoseprimaryroleisensuringtheFranchiseevoiceisheardloudandclearduring all the phases of the decision making process. WhiletheDFAsupportstheroleofthevariousNationalAdvisoryBoardsinprovidinginputregardingissuesimpactingFranchiseesuccess,Ibelieveweneedsomeoneinvolvedintheveryearlystagesofanybrainstormingor“whatif”discussions.TheDFAfullysupportsCorporate’sdecisiontopromoteTomCurtistofillJim’sFranchiseRelationsrole.

The second area is how Jim was personally key to the successofourFranchiseecommunity.EversinceIstartedleadingtheday-to-dayoperationsoftheDFA,JimhasbeenmydirectDPLLCliaisontoensuretheFranchiseevoicewasheard.Duringmyeightyearsinthisrole,wedidnotalwaysagreeontheissuesimpactingFranchisees.Therewereseveraltimeswhenourrelationshipwastested and we both felt the other person was looking at asituationtooonesided.Iamnotgoingtolie,duringthe“heatofthemoment”onsomeofthesetoughissues;ourconversationsreachedlevelsofdisbelief,frustrationandangerwitheachother.Afteracoolingoffperiod(dependingontheissues,itcouldhavebeenminutes,hoursoracoupleofdays),oneofuswouldreachouttotheotherandsay“whatdowehavetodotomakethisworkoutanddrivetheBrandforward?”NeveroncedidIbelieveJimwouldeverdoanythingintentionaltohurtFranchisees.Iabsolutelybelievehewasthebest

CorporatepersontohelpensureFranchisee’sperspectivewasheardandconsidered,evenwhenwedisagreed.

Personally,IwillmissJiminhisroleasourEVPofFranchiseRelations.IthinkhedidagoodjoblisteningtotheFranchiseesandhadapositiveimpactonensuringourVoicewasheardinAnnArbor.Mostly,IwillmissJimforthepassionheshowedforourBrandoverthe30yearshehasbeenapartofit.IcannotthinkofanyonewhodidmorefortheBrandinsomanydifferentkeyareas.InadditiontohisFranchiseRelationsrole,hewasalsoacriticalpiecetomakingourSafetyandSecuritydivisionanintegral part of taking care of our people and customers. He was also the best person to lead our Partners Foundationtotheunbelievableheightofbecomingaself-sufficientcharityfortheforeseeablefuture.Inordernottobetooselfishwithexpressingmythoughts;Iwanttoallow others the opportunity to share their thoughts and wellwishesforJimasheheadsoffintoretirement.

“JimStansikisasuperstarashehasbeenanadvocatefortheDomino’sBrandandallfranchisees.Specifically,hehasbeensohelpfultome,RPMPizza,theMuellerFamilyandtheForum.Overthedecades,Jimhashelpedperfectourfranchise’ssecurityandsafetyprograms,identifiedwaysforbestpracticesharing,createdthesuccessionplanagreement/processaswellastheBlueprintForProfitprogram,spearheadedthePartnersFoundationandinspiredustoinitiatethePartnersFoundationMuellerFamilyEndowmentFundandwheneverdisasterstrikes,Jimcameselflesslytoouraid.

Perhaps a highlight was when 86 stores closed from Katrina,Jimarrivedin2daysandtoldmehewouldbemypersonalassistantanddoanythingIneeded.Ourgoalwastobethefirststoreopenafterthestorm,butweneededourstoredumpstersemptied.Hefoundanothercompany,paidthemtocometoourstoresandpersonallyloadedover7loadsofexpiredfoodandgarbageintothedumpster.Thestore,operatingonjustageneratorandimportedwater,wastheveryfirstfoodestablishment…openingweeksbeforeevenMcDonalds.JimStansikisatrueDominoidandasolidfamilymanofgreatcharacter.”- Glenn Mueller

You are a workaholic like many Franchisees. When you have an open weekend, what does your“recharge the battery“ weekend look like? Sal and Tucker and sometimesSal’sDad,ArtJohnson,driveuptotheupperpeninsulaacrosstheMackinacBridgetoourcottageonLakeMichigan.Longbikerides,swimsinthelake,timeinmyshopworkingonoldcars,outsidefromsunuptosundown,BBQdinnerandmaybeacocktailontheporchwith good friends Di and Tom Boozer. Where do you want to be in 5 years? Fishing Is there anything else you want others to know about you, either personally or professionally?IwantthemtoknowhowmuchmyentirefamilyappreciatesthehardworkofeveryFranchisee,storemanager,andtheirteammembers.Thisistrulyanamazingcompany,andlikeIhavesaidmanytimesbefore,IhavethebestjobatDomino’s.

You have been a key part of the Partners Foundation charity for many years. How did you get started with that organization and what are some of the highlights from your time there? Patrick Doyle has said repeatedly thatifyouwanttomakeanimpactatDPZ,youshould“findsomethingthat’sbrokeandfixit”.Earlyinmycareer,IwasluckytobeinfluencedbygreatoperatorslikeMackPatterson,BillKruse,GaleEbert,MikeOrcuttandFrank Meeks who constantly reminded me that managers were(are)thefoundationofDomino’s.Iwasanearlysupporter of Partners as a way to support the people whomake,bakeandtakeourpizzas.ThereweresomeleadershipissuesthatneededtobeaddressedandIfoundmyselfinpositionswhereIcouldhelpPartnersfinditsdirection.MyproudestmomentscameasweworkedtocloseoutthePartnersEndowmentandtheincrediblygenerousresponsefrommyfriends,theFranchisees.

Another key role you have held with our Brand is in leading the ever important Safety and Security department. What are some of your proudest memories?IgotmystartastheSecurityDirectorintheMidwest

RegionworkingwithGaleEbert.HetaughtmealotaboutDomino’sandisanamazingOperator.MackPattersoncalledmeoutofthebluemyfirstweekinChicago and asked me to come to Champaign to assist withadriverrobbery.Ijumpedinmycar,showeduphours later and was able to help the local Police put togetheracaseresultinginarrestsandconvictions.MackandIstartedarelationshipthathaslasted31years.That’sdefinitelyamemoryofwhichI’mproud.

IalsorecallspendinganightontheroofoftheDrakeUniversitystorewaitingforsomerobberstoreturn.Theydidn’tandIthinkwewereallhappytheydidn’t.

You are on a cross-country van ride with a group of Dominoids. Who is most likely to... Get lost and run out of gas? Make everybody laugh? Have the best stories? Gain everyone’s attention when they speak? Be the prankster? Gives pearls of wisdom? Most likely get you out of a speeding ticket?” Ilovedrivingandrealizedearlyonthatspendingtimein the car touring stores is a great way to get to know people.AsaSheriff’sDeputy,Ispent8hoursadayforfouryearswithmyverycapablepartner,MarkCurby.Soforme,drivinghasalwaysbeenanimportantopportunitytobuildrelationships.

Runoutofgas?SuzanneVanBelken.Also,shedidnotlookattheroadbutinsteadatwhoeverwastalkinginthecar-whileshedrove!

Makeseveryonelaugh?ScottHinshawisbyfarthefunniestOperatorinDomino’s.Hisimpersonationsare spot on and hilarious. He calls me about once a monthwithawellpracticedversionofmanyDomino’spersonalitiesandcanmakeanyonelaugh.

“Training:theactionofteaching a person a skill or type ofbehavior.Asimpledefinition,requiringeffort,planningandconstantfollowup.MyentireDomino’s career has been spent tryingtoidentifywaystotrainefficientlyandthoroughly,withoutcompromising the promise of havingfun.Afterall,weareDominoids!Alittleoverayearago,IjoinedBrianBaileyandTeamNewMexico.Comingin,Iwaschallenged with building a consistent training program. Traininghadbeenestablished,butitneededmoreorganizationandconsistenttracking,whichisa challenging task when you are agrowingcompanycoveringanentirestate.ThegreatthingwasHPU had already been created and it encompassed how we wanted totrainasacompany.Wejustneeded a roadmap to get there.Ourplacetostartrestedwithourleadershipteam.Inorderfor any training program to be successful,upperleadershipmustunderstand what the program coversandhowitworksatthestorelevel.Thefirststepwasfor each of them to complete theprogramthemselves.Everyregionaldirectorandsupervisorcompleted HPU. They watched thevideosanddidthecoachingguides as if they were a new teammember.Thisgavethemaclear understanding of what the storeswouldhavetocompleteasthey hired new team members. Icannotreiterateenoughhowthis step helped set the tone for our company. Many of our

GM’s were surprised to see their Supervisoractivelydoingthetraining. This helped to bridge the communicationgapforsure!The other component to our success was ensuring all current team members completed HPU. Regardlessoftenure,eachteammemberwasrequiredtogothroughtheentireprogramasarefreshercourse.Irolledouta3-monthcalendarthatcoveredtrainingforeachCSR,DriverandManagement Member. This calendar was posted in store andtrackedthroughPWRforcompletion.WehavesincebegunusingthenewHPYoutrackingprocess,whichisamazing.It’sacustomizable training program includingaquickviewtotrainingcompletioninstores.With47stores,thisisaone-stopplaceleadership can go for follow up.Iusethetrackingprocesstoidentifystoreswhoaresurpassingexpectationonexecutionaswellas those that may be struggling. It’sgreattohavepeertopeersupport when a store is struggling. Thereissomeoneavailablewhoisasuccessstorytoaskquestionsand help them with their obstacles.Iconsistentlyfollowupthroughstorevisits.Ifmylifewasasongitwouldbe“OntheRoadAgain”!IntheyearI’vebeentraining,Ihavecoveredover45,000miles!Ivisiteachofourstoresatleastonceevery60days.Beingina store and working with our peopleisoneofmyfavoritepartsofthisjob.Itnotonlysupportsthetrainingprogram,butitbuilds my credibility with our team.Myvisitsarestructuredaroundoperationsaswellasteammembertraining.It’sgreattosee training come to life when you are in a store talking and observingwhilealsoworkingsideby side with the team. The best part is when team members come

upandsharewhattheyhavelearnedandwhattheyloveaboutworking for our company. Great trainingbuildsgreatretention!Asacompany,ourretentionhascontinuallyimprovedthispastyear.Inadditiontoretention,ourcompanyhasalsoseencontinuedsalesincreasesandserviceimprovements,whicharebothresults of well-trained teams.Another way we follow up is ourquarterlyGMrally.Theseare used to bring our 47 GMs as well as the leadership team together to train and collaborate. The MDP has been restructured andisdesignedtoattackManagement training in the store. There are fewer classroom activitiesandmorehandsoninthestorewithafantasticweeklyevaluationprocesstotrack

progress.Iamafirmbelieverthat the ease of use this program provideswillenablethenewestofGM’stolead.Wediscoveredthis as our company has grown. WehavenewlypromotedGMswhowerenottrainedorequippedwith the knowledge to be fully successful in their new role. WeworkedoffandonatDomino’sinLasVegasandtheSeattleareaoverthenextfewyears.WhenthestoreinBeth’shometowncameupforsale,wejumpedatit.LewistownisasmallruraltowninPAwithAmishbuggies rolling through and surrounded by dairy farms. We took the underperformingstoretoaveragemorethandoubletheDMAaverageinanareaofunder11kaddresses.Therewasnotalotofgrowthpotentialinthatarea,soweremainedasinglestorefranchiseforabout18years.We also had a brief partnership in a store a couple hours away during thattime.

Wewerestartingtogetrestlessandwerelookingforotheropportunitieswhen the stores in Florida came up for sale. We were looking for other opportunitiesandthePAwintersweregettingoldtoo.WewereabletoleavetheLewistownstoreinmybrother,Matt’scapablehands.Thecrewwasveryexperiencedwithsometeammembersbeingwithusfor12plusyears.TheLewistownteamhasbeenabletonotonlymaintainsales,butalsocontinuetoincreasethem.Weoriginallybought3storesintheTampaDMA.Wesoldonetobeabletohavemoreofanimpactonthetworemainingstores.Itwasadifficulttimeinthebeginning.Salesdidnotmoveupandstaffingwasahugeproblem.Wehavenowdevelopedagoodmanagementteamandarereapingthebenefits.Sales

Biggest Mistakes:WhenweboughttheFloridastores,wewerenotpreparedtoexpandthatfast.Wedidnothaveateaminplacetohelpwiththetransition.Thestoreswererunprettypoorlyatthetime.Wejustwerenotabletoquicklymakeabigenoughimpacttoelevatetheoperationsofthestoreuptoourstandards.Itwouldhavemadeahugedifferencetohaveafewpeoplethatwereheretohelp.Beingover1,000milesfromourfirststoredidnothelp.Ourexpectationofbeingabletoturnthestoresaroundasfastaswehadwantedwasjustnotrealistic.

Formative Influence/Event: We won a Gold Franny in ayearthattheincentivewastoattendapartyatthecurrentCEODaveBrandon’shome.Wemetfranchiseesthenfromaroundtheworld.Weleftthateventreallymotivatedtobethebestwecouldbe.

Overall, 2016 has been a very good year for the Domino’s Brand. Are there any obstacles you overcame? Are there any you are facing in 2017? The ACA is going to be an issue for 2017. We are right at the pointofbeingconsideredalargeemployer.Wearestillunsureexactlyhowmuchofanimpactthiswillhaveonus.

She would tell all the carry out customers we wereonvacation.Iamnotsurewhattheyallthoughtaboutthat.Onanotheroccasionatthesamestore,weweredroppingpayrolloffwhenthecomputerscrashed.Wehadnotbroughtourdaughter’sfavoriteblanket.WehadtomakeaquicktriptoWalmarttotrytogetasimilarblanket.Weendedupmakingheralittlenestinthebottomofthecuttabletosleep,whileweworkedonthecomputersuntil6AM.

The DFA is a voice with DPZ.

ItisavoiceatthetablewithourFranchisorpartner.WehaveworkedhardtobuildaproductiverelationshipwithDPZsothatwecanexpresstheconcernsofourMembers,theFranchisees.WewantarelationshipwiththeFranchisorbasedonafoundationoftransparency,trustandhonesty.Therearediscussionsheldatahighlevel,whichincludemeetingwiththeCorporateLeadershipteam on a regular basis.

Sometimes,issuesarisewhereweweren’tconsultedoraskedforinput.Wedonothavecontrolofthosedecisionsandwehavecometorealizefromtimetotimethis will happen. We are disappointed when this occurs andexpressourconcernaboutFranchiseesbeingleftoutofthedecisionprocess.ItisanissueKenandIcontinuetoworkonwithDPZ.Itisourbeliefthatasuccessfulrelationshipispredicatedontrustandworkingtogethertowards the common goal of making the Brand stronger and greater.

Anexampleofthisis,theextendedstorehourprogramthatwasrolledoutunbeknownsttous.WehavehadpostfactofrankconversationswiththeLeadershipteamonthisissueandhavestronglysuggestedthatthisshouldhavebeena“workingpartnership”decision.Instead,ithascreatedanunnecessaryinternalnegativeattitudeinaBrandthathassomuchgoingforit.Atfirst,wewereledtobelievethisprogramwasdiscussedandreviewedwith each Franchisee who had an opportunity to gain moresalesbystayingopenlate.Instead,itwas“stronglysuggested”thatFranchiseesextendhoursinspiteof

legitimateprotestationsincludingsafety,staffingandqualityoflifeissues.

The DFA does not agree with the way this policy was implemented.WehaveexpressedtotheFranchisorthat it created incredible stress to our system including unnecessaryturnoverofmanagementandreluctancefromemployeestoworkthelaterhours.TheLeadershipTeamhasheardthevoicesintheFranchiseecommunityandwillhavetodecidewhethertocontinuetheprogram.IencourageallwhowerenegativelyimpactedbythisdecisiontocontinuetospeakupandletyourAVPknowaboutyourconcern.PleasenotifyKenifyouwererequiredtoextendyourhoursagainstyourwill.Wewillcontinuetoshareourdisappointmentinthisdecisionandhopefullygetareversaland/orpreventfutureextendedstore hour mandates.

As2016windsdown,employersshouldtakethetimetoreviewtheirworkplaceoperations,policiesandprocedures to make sure they are not unwittinglyexposingthemselvestolawsuits by their employees. Below areseveralimportantrulechangeseveryemployershouldconsiderastheylooktoimproveandupdatetheirexistingpoliciesaswellasoperationsfor2017.

White Collar Exemption

ThemanagerialexemptionundertheFairLaborStandardsActisbeingtightenedsignificantly.TheFLSAestablishesvariousminimumpayandovertimerulesnationally.MostfranchiseemployersaresubjecttotheFLSA.Thewhite-collarexemptionallowsemployerstoavoidpayingovertimetoemployeeswhoreceiveaminimumsalaryandperformmuchoftheirworkingtimedoinghigherleveltasks.Employerswho rely on the white-collar exemptionundertheFLSAmustbesure their salaried employees meet thenewminimumrequirementstokeeptheexemption.Iftheemployer’smanagersorsupervisorsare being paid a salary and are not trackingtheirhours,revisithowtheyare paid to make sure they meet the newwhite-collarexemptionundertheFLSA.

Notably,theminimumsalaryrequirementisdoublingfrom$455/weekor$23,660/yearto$921/weekor$47,892/year,withfutureincreases.Employeesmustbepaidthis minimum salary to be eligible for theexemption.Further,thedutiesnecessarytomeettheexemptionmaybecomemoredifficulttomeet

and employers should be sure their managers actually engage in high-levelexecutivetasks.Managerswhoperformmostlylow-level,routineandproductiontasksmaynotmeettheexemption.Anyemployeewhodoesnotmeetthenewrequirementsmustbepaidovertimeandkeeptrackoftheirhours.Treatinganemployeeasexemptwhodoesnot meet the new test will lead to substantialliabilityforunpaidwages.

Minimum Wage Increases

The federal minimum wage has notincreasedsince2007.Inthiscontentiouspoliticalenvironment,statesandcitiesarenotwaitingforthefederalgovernmenttoact.Instead,manystatesandlocalgovernments,particularlythose located on the coasts and thecountry’slargermunicipalities,areenactingtheirownminimumwageincreases,includingsomethatare more than double the federal minimumwage.Employersmustbe sure they are complying with allapplicablefederal,stateandlocal minimum wage laws. There is no longer a single minimum wage rateinmanylocationsaroundthecountry. Many minimum wage ordinances apply to not only employers physically located in the localgovernment’sgeographicalboundaries,butalsobusinessesthathavegovernmentcontracts,oremployers whose employee perform work within city limits.

Tomakeitmorecomplicated,someemployeeswillhavetwodifferentrates of pay depending upon where theyperformtheirwork.Employersmust be sure their payroll systems record all of the necessary data to trackemployeetimeaccurately,and must double check that payroll

systems are set up properly with thecorrectratesofpay,includinganyovertimerates.Minimumwageviolationscaneasilycostemployersthreeorfourtimesmorethanthecost of paying employees correctly in thefirstplace.

Arbitration Agreements

Therulesofthearbitrationgamekeep changing. A recent decision inthe9thCircuitfoundthataclass-actionwaiverviolatestheNationalLaborRelationsActwhenitrequiresemployees to agree to refrain from pursuing wage-and-hour claims againsttheemployeronacollectivebasis.Thisrulingcallsintoquestionmanyarbitrationagreementsthatwereimplementedoverthelastfouryears.UntiltheU.S.SupremeCourtmakesadefinitiverulingontheseissues,therearenowconflictingrulingsinvariouscourtsaroundthecountry about the legality of class waiverprovisions.Thisongoinguncertaintymakesplanningdifficult,butevenmoreimportantthanever.Areclass-actionwaiversstillenforceableinanycontext?Canemployersaskexistingemployeestosignanarbitrationagreement?Areanyclaimsexemptfromarbitrationandifso,howshouldtheagreementaddresstheseclaims?Inshort,anyemployerwhoisusinganarbitrationagreementdraftedandimplementedmore than a year ago might be using an agreement that is unenforceable. Employersdonotwanttodiscoverthisproblemafteraformeremployeehasfiledalawsuit.Arbitrationagreementsremainaneffectivetooltomanagerisk.But,ifnotdraftedorimplementedcorrectly,theymightbeworthlessandleadtomoreexpenseinalawsuit.Employersshouldreviewandupdatetheirarbitrationagreements before a lawsuit arises.

What has been your greatest challenge?Finding a reliable GC for my re-image.Whenoneofmydriverswasmurdered.When Papa Johns opened across the street from me.Thesetwohappenedduringthesameperiodoftime.

How do you find capital for expansion? Icametothiscountrywith$200inmypocketandhadjustgotmarried.Wedidnothavetimetobuildourempireandwedidn’thavemuchequitytogivetobanks.But,weareveryhardworkersandresponsibleparentspluswejustsaveeverysinglepennythatwecan.Fromtimetotime,wehavetodowngradealittletobesurewecan pay all our bills and employees. Becausewerunaverytightboat,weareabletohaveaprofitablestoreandourP&L’sshowthat.

Is there a specific best practice you have implemented you would like to share with fellow Franchisees? IalwayshadreallybadturnoverinSpringfield.WeusedtospendtonsofmoneyinadvertisingandtrainingsoIcreatedtheELITEdriver’sstatus.Thisisnotacomplexpracticeanditcanbedoneinanystore.Youjusthavetobeorganized.Thispracticehasreducedourturnoverby40%,increasedDOTby10%andreducedlaborby1%,notcountingallthetimesavedtrainingandhiring.IfanyFranchiseeisinterestedinthispractice,[email protected].

I’vebeenthinkingalotlatelyabout seasons. Perhaps it’s due to thistimeofyearwhentheleavesbegintochange,theweatherstartsgettingabitcolder,andthedaysabitshorter.LivinginTexasnearlymyentirelife,I’vecometounderstandthat,unlikemostofthecountrywhogetfourseasonsayear,wereallyonlygettwo–summerand“notsummer”,andthatwitheverynewseason another must end. For the ChicagoCubs,anepicseasonhasjustconcluded;notonlytheirlegendary2016championshipseason,findingvictoryaftertrailing3gamesto1in the World Series (a feat that has onlyhappen6timesinthehistoryofmajorleaguebaseball),butalsothe season of their 108 year drought since last winning a World Series. Alittleclosertohome,anotherseason has ended and a new one hasbegun.Afterover10yearsinourhome,mywifeJennaandIhavemovedourfamilyintoanewhouse,findingourselvesinanewcommunitywithnewneighbors.JennaandIcelebratedourfirstanniversaryacoupleofweeksaftermovingintoouroldhouse.Itwastheplacewhere we brought our two daughters home from the hospital for the firsttime,andsaidgoodbyetoourfirstfaithfulcompanion,Kodi–ourfamilydog.Throughgoodtimesandchallengingones,thathomewasatthecenterofourlives,andsoitwasemotionalsayinggoodbyetotheoldplace. THE SEASON OF THE MECWithinthehealthcareclimate,wecontinuetofindourselvesina tumultuous season. With the marketstilladjustingtotheimpactoftheAffordableCareAct,sodotheoptionsmeanttoserveemployers.PriortotheACA,noonehadheardtheterm“MinimumEssentialCoverage”,butinthemonthsthatfollowed this became part of the regularvernacularwiththeinsurancemarket.Stillwonderingwhatbroughtonthisnewterminology?WithintheACA were two key components that would impact employers:

1.OfferaplanthatmetMinimumEssentialCoverage(MEC);and

2.OfferaplanthatmetMinimumActuarial Value (MAV)

Penaltieswereassociatedwiththese two components and failure tocomplywouldresultinpotentialfines.Thefirstpenaltieswereassociated with what is known as the‘PayorPlay’rule,whichstatedthatlargeemployersMUSToffer“MinimumEssentialCoverage”toall Full-Time employees. Minimum EssentialCoverageinessenceprovidesforpreventativecareonlycoverage.WhilesomeversionsofMECcoveragemightofferothervariousbenefits,intheend,rarelydotheseplansprovideforcatastrophic,surgical,and/orday-to-dayhealthcare needs.

InthemonthsfollowingthesigningoftheACA,thehealthinsurancemarketspent an enormous amount of energyandresourcescreatingthese

MinimumEssentialCoverageonlyoptionplans.ThefocuswasonMECcoveragebecauseunliketheMAVcomponent,alackofMECcoveragewould result in a penalty not only foremployers,butemployeesaswell. Beyond the scope of the employerinvolvement,thehighlycontestedportionoftheACAwasthe‘IndividualMandate’whichrequiresallcitizenstoobtainMinimumEssentialCoverage.Byfocusingonthesetypesofplans,theinsurancemarketwouldsolveproblemsnotonlyforemployers,butemployeesaswell.

THE ‘FORGOTTEN’ PENALTYSo what about the second component of the ACA that would impactemployers–MinimumActuarialValue(MAV)?Thispieceisoftenoverlookedastheprimarymarketfocushasbeenonthe‘Payor Play’ rule (which could result inpotentialfinesonALLfull-timeemployees). While the penalty associated with MAV would only be imposed based on employees whoreceivedsubsidiesfromthegovernment(thusapotentiallylesserportionofanemployeepopulation),thefinesare,however,muchgreaterat$3,000perqualifyingemployeeper year.

Here’sessentiallywhatthelawsays:anApplicableLargeEmployer(ALE)mustprovidecoveragethatbothmeets Minimum Actuarial Value and isAffordabletoalleligibleemployees.So,whatisMinimumActuarialValue?It’sreallyabenchmark;ratherthananexactamount.Thefederalgovernmenthasstatedthataplanmeetsminimumvalueifitprovidesatleast60%coveragetoitsparticipants.Thiscanbequiteconfusingas60%

coveragecouldbeverydifferentfromoneemployeetoanother.Insteadofbeingaspecificdollaramountforeachpotentialservicerendered,MAV is obtained when the plan coverswhatactuariesbelievewouldbe60%oftheaveragecostsharingamountsforallparticipantsintheplan. This would mean that unlike MECplanswhichonlyoffercoverageforpreventativecareservices,aMAVplanmustprovidecoverageforthemajorityofpotentialexpenses,whichcould be incurred including care for both emergency and catastrophic conditions,prescriptiondrugs,outpatientsurgicalprocedures,andthe list goes on-and-on.

Tobe‘Affordable’,aplanmustcostnomorethan9.5%oftheemployee’sannual gross wage (this amount has increasedbasedoninflationeachyear).Employerswouldeitherhavetocalculate9.5%ofeachemployeeortake‘safe-harbor’protectionofwhichthereareanumberofoptions. ToavoidtheMAVpenalty,bothActuarialValueandAffordabilitymustbeobtained.However,formanyemployers,afocusonthePay or Play penalty was the primary objective.

THE DEVIL IN THE DETAILS

Nowthatweareafewyearsintotheroll-outoftheACA,themarketisshiftingawayfromMECplansand applying more emphasis on supportingMAVplans.Thismaybethe result of two things:

1.EmployersarebeginningtoseepenaltiesforNOTofferingMinimumActuarialValuelevelplans.

2.EmployeesarebeginningtoidentifythatMinimumEssentialPlansreallyareminimalandofferverylittleinthewayofbenefits.

Tothesecondpoint,aftercoupleofyearsinaMECplan,participantsarebeginningtorealizethatthecoveragereallydoesn’tprovideforabroadlevelofcare.Unfortunately,all-to-often,employeesenrollingintheseMECplansdon’trealizetheirlimitednature,andwhenthetimecomesthattheyneedahigherlevelofcare,they realize their plan simply doesn’t covermuch,ifanything.Forthis

reason,withinemployersponsoredplansthatofferbothMECandMAVcoverageoptions,enrollmenthasdramaticallydeclinedinMECplansafterthefirstyear.

Withregardstothefirstpoint,employerswhoonlyofferedMECplanshaveleftthemselvesvulnerabletopenalties,whichwillonlyintensifyastimegoesonandtheemployeeslook for more than minimum coverage.Carveoutoptionsformanagement employees are not the answer either as both the ACA andERISAhaverulessurroundingdiscrimination.Aspenaltiescontinuetoincreaseasemployeesatisfactioncontinuestodecline,afocusawayfromMECplansandmoretowardMVPplanswillcontinuetoevolve. NOW WHAT?MECplanshaveservedtheneedsofemployersinthefirstyearsfollowingtherolloutoftheACA,butjustasouroldhousenolongerprovidedwhatweneeded,MECplansareoftennolongerthesolutiontocombattingtheimpactoftheAffordableCareAct.

So,whatdowedowiththisinformation?Thefirststepistoreviewyourbenefitoffering.Workwithyouradvisortobesurethatatleastoneoftheplansprovidedmeetsminimumvaluestandards.Secondly,analyzeyourpayrolldataofeligible employees to be certain your planis‘affordable’toallfull-timeemployees.Finally,recognizetheever-changingneedsoftheemployeepopulationandcontinuetoworkwithyouradvisorstoprovideanofferingthat protects not only your franchise frompotentialpenaltiesbutalsoyouremployeesfrompotentialloss.

Tomanyemployers,payingtheiremployees on payroll debit cards seemslikeagreatidea.Itcutsbackontheexpenseofprintingpaychecks,givesemployeesaccesstotheirmoneyonpaydayinsteadofwaitinguntiltheycanpickuptheircheck,and allows employees without bank accountstoavoidpayinghighfeestocash their checks. But as the saying goes,notallthatglittersisgold.Whileagoodideaintheory,insomecases these payroll debit cards can spell legal trouble for employers.

Oneofthebiggestrisksemployersmust take when using payroll debit cardsistryingtonavigatethepatchwork of federal and state laws regarding payroll debit cards. These lawsarerarelyintuitiveandmostofthetimewerewrittenwellbeforepayrolldebitcardsexisted.Thatiswhyitiseasyforevenwellmeaningemployerstoviolatethelawsgoverningpayrolldebitcards.Whenthesetypesofviolationsdooccur,itcanmeanregulatoryaudits,class-actionlitigation,andpenalties,whichcan be damaging to employers.

Employeeswhousepayrolldebitcardsfrequentlycomplainaboutthelarge number of fees associated with usingthem.Forinstance,therecanbefeesforwithdrawalsfromATMs,forpaperstatements,toreplacethecard,andforinactivity.Thiscanbeasignificantburdenforemployees.Withthisinmind,federalandstategovernmentshavemadeaneffortto protect employee’s wages by regulatingpayrolldebitcards.

Federalregulationsrequirethatemployees using payroll debit cardsareentitledtoreceiveinitial

disclosures of any fees imposed bythefinancialinstitutionissuingthe debit cards. These disclosures must be made when the account is openedorbeforethefirsttransferoccurs and must be “clear and readily understandable,inwriting,andinaformthecardholdercankeep.”Employersalsomustbesurethedebit cards they choose to use for their employees allow the cardholder accesstoaccounthistory,limitedliabilityforunauthorizedtransfers,anderrorresolutionrights.

Manystateshavebegunadoptingevenstricterregulationsregardingpayrolldebitcards.NewYork,forinstance,haspromulgatedrulesrequiringemployerstokeepwrittenconsentfromemployeestoreceivewagesonthesedebitcardsforsixyears,notifyemployeesofnearbylocationswheretheygetfreeaccesstotheirwages,andprovideunlimitedfree ATM withdrawals within a local network.Feesforcustomerservice,accountmaintenance,overdraftandinactivityareexpresslyprohibited.NewJerseyhasrecentlyproposedsimilar rules. This type of added burden for employers makes the debitcardsalessattractivepaymentoption.

Somestatelawsmayevenprohibitpaying employees with payroll debit cards. The Superior Court ofPennsylvaniacametosuchaconclusion in a recent court case and held that paying employees withpayrolldebitcardsviolatedaPennsylvanialawthatsaidallemployees need to be paid in “lawful moneyoftheUnitedStates”orwitha“check.”Thecourtdeterminedpayroll cards did not meet the dictionarydefinitionofa“check”

or“lawfulmoney,”whichthecourtdeterminedmeant“billsandcoins.”Eventhoughdebitcardsarethefunctionalequivalentofmoneyoracheck,thecourtstillfoundthatpaying employees with these debit cards to be against the law. States with similar laws regarding employee wages may follow suit.

Using payroll debit cards also could havenegativeimplicationswhenitcomestotheFairLaborStandardsAct(“FLSA”).TherehavebeenmultiplelawsuitsaroundthecountryclaimingthatrequiringemployeestoreceivetheirwagesthroughapayrolldebitcardviolatestheFLSA.Forinstance,theFLSArequiresthatemployeesmustbepaidfinallyandunconditionally,or“freeandclear.”Buttheemployeesbringingthese lawsuits are claiming that the substantialtransactionfeestheyarechargeddonotallowthemtohavefree and clear access to their wages. Employeesarguethefeestheyhavetopayeffectivelyreducetheirwages.Underthistheory,employeeswhonormally make at or near minimum wage could technically be earning belowminimumwage,inviolationoftheFLSA.Franchisesshouldensureinsidersanddrivers(eventhosepaidbytipcredit)canaccesstheirwageswithoutfeescreatingallegedFLSAminimumwageviolations.

Whiletherearepotentialdrawbackstousingpayrolldebitcards,thisdoes not mean that such a program cannot be implemented so it is both beneficialfortheemployeraswellas legally compliant with federal andstatelaws.Ifyoucurrentlyusepayroll debit cards to pay employees orarethinkingofimplementingthepractice,youshouldcontactyour
