Mayor Button called the meeting to order at 6:30 p.m.
Roll Call was done by the Clerk.The Pledge of Allegiance was led by Alderman Mary Von Ruden
The Mayor presented a service award to Dennis Johnson for 15 years of service. A Service Award wasannounced by the Mayor to Randy Sullivan for 25 years of service. Randy was unable to make themeeting.
City Attorney Dick Heitman swore in Jacob Ludovice as our new Police Officer
A motion was made by Norm stanek and seconded by Josh Lydon to approve the consent agenda
consisting of the minutes of the regular meeting on September 21, 2016 and monthly bills. Motioncarried 8-0.
ORDINANCES
ORDINANCE PERTAINING TO PROHIBITED PARKING
Norm Stanek read the Resolution the first and second time. Norm Stanek moved to read the Resolution
third time by title only, rules be suspended and placed before the Council for immediate action,seconded by losh Lydon. Motion passed 8-0. Mayor Button read the Resolution the third time by titleonly and the Resolution was approved on a roll call vote 8-0.
RESOLUTION APPROVING PTANNED UNIT DEVELOPMENT - SPECIFIC IMPLEMENTATION PLAN
(PUD - srP)(623 East Main Street)
Norm Stanek read the Resolution the first and second time. Kevin Riley moved to read the Resolution
third time by title only, rules be suspended and placed before the Council for immediate action,seconded byJosh Lydon. Motion passed 8-0. Mayor Button read the Resolution the third time by titleonly and the Resolution was approved on a roll call vote 8-0.
RFSOTUTION PFTITIONING THE SECRETARY OF TRANSPORTATION FOR AIRPORT IMPROVEMENT AID
Norm Stanek read the Resoiution the first and second time. Jim Church moved to read the Resolution
third time by title only, rules be suspended and placed before the Council for immediate action,
seconded by Kevin Brueggeman. Motion passed 8-0. Mayor Button read the Resolution the third time
by title only and the Resolution was approved on a roll call vote 8-0.

Mark mentioned that the audit review will be finalnext month
The budget is getting finalized. lf there are any changes or suggestions they will be taken to theNovember Finance Committee meeting. There will be a Special Finance and Council meeting in earlyDecember to finalize the 2017 budget.
Todd went over the City Administrator's report.Bids for the Osborne property will be going out in January.There will be interviews starting next week for the DpW positionTodd announced that our City Clerk, Julie Hanson, just received her certification.
There were no items mentioned for future consideration

oRDTNANCE NO._ORDINANCE PERTAINING TO TREES
THE COMMON COUNCIL OF THE CITY OF SPARTA, MONROE COUNTY, WISCONSIN, DO
ORDAIN AS FOLLOWS:
Section 1. Section 8.08(2Xd) ofthe Code of City Ordinances is hereby amended to read as
follows: Planting. Only ornamental or dwarf tree varieties may be planted on
the boulevard if it is less than six (6) feet in width, or contains less than sixty-four(64) square feet of exposed soil surface. Trees shall not be planted closer thantwenty-five (25) feet to street intersection (property lines extended) and ten (10)
feet to driveways. City trees may be planted on private property with thefollowing guidelines and intentions. PlantinB of trees behind Right of Way is toallow the trees to grow larger and eliminate excessive trimming. Reduce thechance of curb, street and sidewalk heaving from the roots. Allow the tree togrow larger and live longer. Planting of City trees should be limited to no more
than fifteen (15) feet behind the Right of Way in order to maintain the aesthetics
and shade for residence using the street and sidewalk. The property owner and
DPW both must agree on the planting location. Once a tree is planted by theCity behind the Right of Way it becomes property of that landowner. Because
the tree was paid for by the City the property owner agrees not to remove thetree without permission from the City. When needed the property owner would
be responsible for trimming and removal.
Section 2. This ordinance shall be in full force and effect following its passage and
publication as provided by law.

trees should be planted inside the property lines, by the property owner only. The City will not
consider planting of City trees on any property other than on the boulevards. Within the
constraints of budget and time. The City Public Works Department, may plant shade trees for
streets and thoroughfares in the City.

RESOLUTION NO.
RESOLUTION AUTHORIZING THE ISSUANCE OF $2,340,000GENERAL OBLIGATION PROMISSORY NOTES AND THE ISSUANCE AND SALE OF A
$2,340,000 TAXABLE NOTE ANTICIPATION NOTE IN ANTICIPATION THEREOF
WHEREAS, the City of Sparta, Monroe County, Wisconsin (the "City") is presently inneed of the sum of$2,340,000 for the public purpose of acquiring land for economicdevelopment (the "Project'');
WHEREAS, the Cotnmon Council hereby finds and determines that the Project is withinthe City's power to undertake and therefore serves a "public purpose" as that term is defined inSection 67.04( 1 )(b), Wisconsin Statutes;
WHEREAS, cities axe authorized by the provisions of Chapter 67, Wisconsin Statutes, tobonow money and issue general obligation promissory notes for such public purpose;
WHEREAS, it is the finding of the Common Council that it is necessary, desirable and inthe best intet'est of the City to authorize the issuance ofand covenant to issue general obligationpromissory notes (the "Securities") to provide permanent financing for the Project;
WHEREAS, the Securities have not yet been issued ol sold;
WHEREAS, cities are authorized by the provisions of Section 67.12(1)(b), WisconsinStatutes, to issue note anticipation notes in anticipation ofreceiving the proceeds from theissuance and sale of the Securities;
WHEREAS, it is the finding of the Common Council that it is necessary, desirable and inthe best interest ofthe City to authorize the issuance and sale ofa note anticipation note pursuantto Section 67.12(1)(b), Wisconsin Statutes (the "Note"), in anticipation of receiving the proceedsfiom the issuance and sale ofthe Securities, to provide interim financing to pay the cost of theProject;
WHEREAS, due to certain provisions contained in the Intemal Revenue Code of 1986, asamended, it is necessary to issue the Note on a taxable rather than tax-exempt basis; and
WHEREAS, it is the finding of the Cornmon Council that it is necessary, desirable and inthe best interest of the City to sell the Note to First National Bank of Bangor (the "Purchaser").
NOW, THEREFORE, BE IT RESOLVED by the Common Council of the City that:
Section l, Authorization of Securities. The City hcreby authorizes the issuance anddeclares its intention and covenants to issue the Securities prusuant to the provisions ofChapter

67, Wisconsin Statutes, in an amount sufficient to retire any outstanding note anticipation notesissued for the purpose of paying the cost of the Ploject, There is hereby levied on all the taxableproperty in the City a direct, annual, irrepealable tax sufficient to pay the interest on said
Securities as it becomes due, and also to pay and discharge the principal thereof.
Section 2. Authorization and Sale of the Note, In anticipation ofthe sale of theSecurities, for the purpose ofpaying the cost ofthe Project, there shall be bonowed pursuant toSection 67.12(1)(b), Wisconsin Statutes, the principal sum of TWO MILLION THREEHLTNDRED FORTY THOUSAND DOLLARS ($2,340,000) ftom the Purchaser. To evidencethe obligation of the City, the Mayor and City Clerk are hereby authorized, empowered and
directed to make, execute, issue and sell to the Purchaser for, on behalfofand in the name oftheCity, the Note in the principal amount of TWO MILLION THREE HLINDRED FORTYTHOUSAND DOLLARS ($2,340,000) for a purchase price equal to the principal amount of theNote, plus accrued interest to the date ofdelivery,
Section 3. Terms of the Note. The Note shall be desi gnated "Taxable Note AnticipationNote"; shall be issued in the principal amount of$2,340,000; shall be dated its date ofissuance;shall be in the denomination of $0.01 or any whole multiple thereof; and shall be numbered R-1.
The Note shall bear intetest at the rates of 1.32% per annum and mature on February 15,2017 as
set forth on the schedule attached hereto as Exhibit A and incorporated herein by this reference(the "Schedule"). Interest is payable at maturity. Interest shall be computed upon the basis of a360-day year of twelve 30-day months and will be rounded pursuant to the rules of the MunicipalSecurities Rulemaking Boald.
Section 4. Redemotion Provi sions. The Note shall not be subject to optional redemption.
Section 5. Fomr of the Note. The Note shall be issued in registered form and shall be
executed and delivered in substantially the form attached hereto as Exhibit B and incorporated
herein by this reference,
Section 6. Security. The Note shall irr no event be a general obligation of the City and
does not constitute a1 indebtedness of the City nor a charge against its general credit or taxing
power. No lien is created upon the Project or any other property ofthe city as a result of the
irruan"" of the Note. The Note shall be payable only from (a) any proceeds of the Note set aside
for payment of interest on the Note as it becomes due and (b) proceeds to be derived from the
issuance and sale of the Securities, which ploceeds are hereby declared to constitute a special
hust fund, heteby cteated and established, to be held by the City Clerk and expended solely for
the payment of the principal of and interest on the Note until paid. The city hereby agrees that,
in the event such monies are not sufhoient to pay the principal of and interest on the Note when
due, if necessary, the City will pay such deficiency out of its annual general tax levy or other
uuuilubl. funds ofthe City; provided, however, that such payment shall be subject to annual
budgetary appropriations therefor and any applicable levy limits; and provided furlher, that

(1\) Creation and Deposits. There be and there hereby is established in thetreasury of the City a separate arrd distinct fund account designated as the "Debt Service FundAccount for $2,340,000 Taxable Note Anticipation Note" (the "Debt Service Fund Account"),and such account shall be maintained until the indebtedness evidenced by the Note is fully paidor otherwise extinguished. The City Treasurer shall deposit in the Debt Service Fund Account(i) all accrued interest received by the City at the time of delivery ofand payment for the Note;(ii) any premium which may be received by the City above the par value ofthe Note and accruedinterest thereon; (iii) any proceeds of the Note representing capitalized interest on the Note orother funds appropriated by the City for payment of interest on the Note, as needed to pay theinterest on the Note when due; (iv) proceeds ofthe Securities (or other obligations ofthe Cityissued to pay principal ofor interest on the Note); (v) such other sums, including tax monies, asmay be necessary at any time to pay principal of and interest on the Note when due and whichare applopriated by the Common Council for that pulpose; and (vi) surplus rnonies in theBorrowed Money Fund as specified in Section t hereof,
(E) Use and Investment. No money shall be withdrawn f'rom the Debt ServiceFund Account and appropriated for any purpose other than the payment ofprincipal ofandinterest on the Note until all such principal and interest has been paid in full and the Notecanceled; provided that such monies may be invested in permitted munioipal investments underthe peftinent provisions of the Wisconsin Statutes ("Pennitted Investments"), which investmentsshall continue to be a part of the Debt Service Fund Account. Said account shall be used for thesole purpose ofpaying the principal ofand interest on the Note and shall be maintained for sucl-rpurpose until the Note is fully paid or otherwise extinguished,
(C) Remainins Monies. When the Note has been paid in full and canceled,and all Petmitted Investments disposed of, ariy money remaining in the Debt Service FundAccount shall be transferred and deposited in the general fund of the City, unless the CommonCouncil directs otherwise.
Section 8. Covenants ofthe City The City hereby covenants with the owner of the Noteas follows:
(A) It shall issue and sell the Securities as soon as practicable, as necessary toprovide for payment of the Note;
(B) It shall segregate the proceeds derived fiom the sale ofthe Securities intothe special trust lund herein created and established and shall permit such special hust fund to beused for no purpose other than the payment ofprincipal ofand interest on the Note until paid.After the payment of principal of and interest on the Note in full, said special trust fund may beused for such othel purposes as the Common Council may direct in accordance with law; and,
(C) It shall maintain a debt limit capacity such that its combined outstandingprincipal amount of general obligation bonds or notes or certificates of indebtedness and the$2,340,000 autholized for the issuance ofthe Securities shall at no time exceed its constitutionaldebt limit.

Seotion 9. Proceeds of the Note: Sesresated Bonowed Monev Fund. All moniesreceived by the City upon the delivery of the Note to the Purchaser thereof (other than anypremium and accrued interest which must be paid at the time of the delivery of the Note into theDebt Service Fund Account created above) shall be deposited by the City Clerk into a specialfund (the "Bonowed Money Fund") which shall be maintained separate and distinct fi.om allother funds ofthe City and shall be used for no purpose other than the purpose for which theNote is issued. Moriies in the Borrowed Money Fund may be temporarily invested in PermittedInvestments. Any monies, including any income from Permitted Investments, remaining in theBorrowed Money Fund after the purpose lbr which the Note has been issued has beenaccomplished, and, at any time, any monies as a:'e not needed and which obviously thereaftercannot be needed fol such purposer shall be deposited in the Debt Service Fund Account createdherein.
Section 10. Executiotr of the Notcl CLosingl Professional Services. TheNote shall beissued in printed form, executed on behalfofthe City by the manual or facsimile signatures ofthe Mayor and City Clerk, authenticated, ifrequired, by the Fiscal Agent (defined below), sealedwith its official or colporate seal, ifany, ol a facsimile thereofand delivered to the Purchaserupon payment to the City ofthe purchase price thereof, plus accrued interest to the date ofdelivery (the "Closing"). The facsimile signature of eithel of the officers executing the Note maybe irnprinted on the Note in lieu ofthe manual signature ofthe officer but, unless the City hascontracted with a fiscal agent to authenticate the Note, at least one of the signatures appearing onthe Note shall be a manual signature. In the event that either of the oflicers whose signaturesappear on the Note shall cease to be such officers belbre the Closing, such signatures shall,nevertheless, be valid and sufficient for all purposes to the same extent as if they had remained inoffice until the Closing. The aforesaid officers are hereby authorized and directed to do all actsand execute and deliver the Note and all such documents, certificates and acknowledgements as
may be necessary and convenient to et'fectuate the Closing. The City hereby authorizes theofficers and agents ofthe City to enter into, on its behall agreements and contracts inconjunction with the Note, including but not limited to agreements and contracts for legal, trust,fiscal agency, disclosure and continuing disclosure, and rebate calculation services. Any suchcontract heretofore entered into in conjunction with the issuanr:e of the Note is hereby ratifiedand approved in all respects.
Section 1 I . Pavrnent of the Notet Fiscal Asent. The principal of and interest on the Noteshall be paid by the City Clelk ol City Treasurer (the "Fiscal Agent").
Section 12. Persons Treated as Owrers Transfer of Note . The City shall cause books forthe registration and for the transfer ofthe Note to be kept by the Fiscal Agent. The person inwhose name the Note shall be registered shall be deemed and regarded as the absolute ownerthereoffor all purposes and payment ofeither principal or interest on the Note shall be madeonly to the registered owner thereof. All such payrnents shall be valid and effectual to satisfyand discharge the liability upon such Note to the extent ofthe sum or sums so paid.
The Note may be transferred by the registered owner thereofby sun'ender ofthe Note at
the office of the Fiscal Agent, duly endorsed for the transfer or accompanied by an assignmentduly executed by the registered owner or his attorney duly authorized in writing. Upon suchtransfer, the Mayor and City Clerk shall exebute and deliver in the name ofthe transferee or

transferees a new Note or Notes of a like aggregate plincipal amount, series and maturity and theFiscal Agent shall lecord the name ofeach transferee in the tegistration book. No registrationshali be made to bearer. The Fiscal Agerrt shall cancel any Note surlendered for transfer.
The City shall coopetate in any such transfer, and the Mayor and City Clerk areauthorized to exccute any new Note or Notes necessary to efi'ect any such transfel.
Section 13. Record Book. The City Clerk shall plovide and keep the transcript ofproceedings as a separate record book (the "Record Book") and shall record a full and correctstatement ofevery step or proceeding had or taken in the course ofauthorizing and issuing theNote in the Record Book.

WHEREAS, due to the timing ofState aid payments and property tax revenue, SpartaArea School District (the "District") may be in temporary need of funds in an amount not toexceed 54,500,000 to meet immediate expenses of operating and maintaining the publicinstruction in the District during the current school year;
WHEREAS, school districts are authorized by the provisions of Section 67.12(8Xa)1,Wisconsin Statutes, to borrow money for such purpose through the issuance of tax and revenue
a nticipation promissory notes ("Notes");
WHEREAS, the City of Sparta (the "City") is authorized by Section 66.0503(1m )(a)3,Wisconsin Statutes, to invest its funds in securities ofthe District such as the Notes; and
WHEREAS, investing City funds in the Notes would benefit the City and would also servethe best interests of the residents of the City and the District.
NOW, THEREFORE, BE lT RESOLVED, that the City shall from time to time, as funds are
needed by the District, lend funds in an amount not to exceed 54,500,000 to the Districtthrough the purchase of Notes issued by the District.
The Notes shall bear interest at a rate per annum equal to the prime rate minus 0.75%,
but not to exceed 6.25%. The Notes shall mature December 5, 2016, subject to optionalredemption at the option ofthe District at any time. lnterest shall be payable on amounts
drawn on the Notes from the date such amounts are drawn untilthey are repaid at maturity orthrough redemption of the Note.
