ThePeoplesBankofChestertown,MarylandwasestablishedbyanactoftheGeneralAssemblyofMarylandonApril13,1910.TheactwassignedbyAustinL.Crothers,GovernorofMaryland,andanativeofCecilCounty.TheoriginalincorporatorswereWilliamM.Slay,eminentattorney,State’sAttorney,andlaterSenatorforKentCounty;Dr.H.BengeSimmons,aprominentphysicianofChestertown;andL.BatesRussell,awell-knownbusinessmanandnewspaperpublisherofChestertown. ThecapitalstockofthenewBankconsistedof1,000shareswitha$25.00pershareparvalue.Subscriptionstotheentireamountofstockwerequicklyobtainedfrom123personsthroughoutthearea.Itwassignificantthatnoonepersonheldmorethan20sharesofstock.Theseoriginalsubscribersrepresentedageneralcross-sectionofmenandwomeninthearea.ManyofthefamiliesfromtheoriginalstockholdersarestillpresentamongthecurrentstockholdersoftheBank. ThefirstmeetingofthestockholderswasheldJuly18,1910.By-lawswereadoptedatameetingheldthefollowingweek.ThefirstmeetingswereheldinthelawofficeofWilliamM.Slay,Esq.onCourtStreet.Thefirstofficersofthebankwereasfollows: President – Dr.H.BengeSimmons Vice President–L.BatesRussell,Sr. Secretary – W.IrvingWalker Cashier – A.ParksRasin,Sr.
Beforeitevenopenedforbusiness,theBankhadmetitsfirstobstacle.InAugust1910,a“politicalwar”developedamongthetwelveincorporatorsandthedirectors.Asaresult,halfoftheoriginaldirectorsresignedandsoldtheirstockholdings.Theremainingdirectors,headedbyDr.SimmonsandMr.Russell,quicklyreplacedtheresigneddirectorsandarrangedforthepurchaseoftheirstock. Arrangementsweremadefortheleaseofbankingquartersandthepurchaseofbankingequipment.AleasewasenteredintoforoccupancyoftheEliasonStoreRoomat233HighStreet,Chestertown(currentlytheWhite Swan Tavern), atarentalof$30.00permonth.Bankinghouseequipmentconsistingofasafe,atimelock,andotherfixtureswasboughtatacostof$570.00.ThefirstaddingmachinewasboughtfromBurroughsin1910,thesamecompanythatsuppliedthetellermachinesfortheWashingtonAvenue,
Chestertown,Marylandofficenearly70yearslater. TheBankoccupieditsnewquartersandopenedbooks“for the conduct and transaction of a general banking business” onSeptember1,1910.Thedirectorsatthistimewere:Dr.H.BengeSimmons,I.R.Leaverton,JamesS.Bradley,Capt.DanielHill,WilliamT.Brown,JohnN.Bennett,Wm.G.Smyth,JohnC.Davis,HowardF.Owens,A.ParkRasin,Sr.,W.IrvingWalkerandL.BatesRussell,Sr.Thelastsurvivoroftheseoriginaldirectors,Mr.Wm.G.Smyth,continuedtoserveasdirectorfor52yearsuntilhisdeathin1962. Atthecloseofitsfirstdayofbusiness,thenewBankwasunexpectedlyaskedforastatementoffinancialcondition.Thatstatement,providedtotheStateBankingCommissioner,readasfollows:

OnSeptember7,1910,abookkeeperandgeneralofficeassistantwashiredatasalaryof$8.00perweek,itbeingunderstoodthathewasalsotoperformdutiesofjanitortemporarily.Advertisingwasobtainedintwolocalnewspapersatarateof$25.00perannum(therewassomequestionwhetherthethirdnewspaperwaswillingtoacceptthenewbank’sadvertising);telephoneservicewasarrangedat$24.00peryear,anda“typewriting machine” wasacquired. Thenextobstaclewasnotlongpresentingitself.TheBankhadbeenopenlessthanamonthwhen,onSeptember26,1910,afire,describedastheworstinthehistoryofChestertown,destroyedalargeportionofthe

businesssection,includingthepropertiesofBankdirectorsJamesC.BradleyandJohnC.Davis.AresolutionwaspublishedbytheBankpraisingtheChestertownVolunteerFireCompanyfortheirheroicworkin“making a final and successful stand at Moffett’s Meat Market store (now Boyer’s Jewelers) against further progress of the flames, which saved the greater portion of the town.” TherewasfurtherevidenceofearlyroughgoinginFebruary1911,whentheBankwaslessthansixmonthsold.A“slanderous attack” onthePeoplesBankbyacompetitorappearedinthecolumnsoftheKentNewsconcerningsavingsinterestrates.Thedirectorsorderedthatananswertotheattackbepreparedandpublished.This wasnearly100yearsago.TodayThePeoplesBankandotherbanksintheareanowenjoyhealthycompetitiverelationswithoneanother. NewbuildingswereconstructedinthebusinessdistrictofChestertowntoreplacethosedestroyedbythegreatfire,andtheBanknegotiatedaleaseinanewbuildingerectedbyWm.R.Mauleat317HighStreet(apartofwhatisnowtheAlexanderBuilding).TheBankmovedtoitsnewpremisesinAugust1911,whereit remainedfor23years.Inspiteofearlyadversities,theBankgrewandprospered.In1911 brancheswerealsoopenedatRockHallandBetterton. In1924PeoplesBankwasthefirstBankinKentCountytoofferChristmasClubsandcontinuestoofferthemtoday. InFebruary1933TheCitizensBankofChestertownrequestedthePeoplesBanktotakeoveritsassetsandliabilitiespursuanttoanagreement

enteredintobetweenthetwobanks.ThedirectorsofthePeoplesBank,ataspecialmeetingheldFebruary20,1933,agreedtosuchaction,andamongtheassetstakenoverwasthebankbuildingandequipmentoftheCitizensBankat243HighStreet,Chestertown. Thefamous“bank holiday” wasadefiningmomentinthehistoryoftheBank.In1933bankfailureswerebecomingnumerousandtheauthoritiesdecidedallbanksshouldcloseforatimetoexaminetheirfinancialcondition.ThePeoplesBankwasexaminedandfoundtobeinsoundfinancialcondition.Shortlyafterwards,theBankwaspermittedtoopenona100%basis.Manyotherbankswerenotsofortunate.ThebanksclosedonFebruary25,1933,andthePeoplesBankwasoneofbuttwobanksinKentCountythatwaspermittedtoopenona100%basisaccordingtoalistappearinginThe Baltimore Sun onMarch15,1933.TheBankisproudofitsrecordthatnodepositoreverlostapennyinitshistory;nordidadepositoreverhavetowaitfortheirmoneyorhavetoacceptstockinsteadofdepositsthatcouldnotbeimmediatelywithdrawn.Today,thisrecordiswellrememberedbymanyKentCountyresidents,andwasoneofthemostimportantfactorsinthegrowthandgoodreputationoftheBank. In1933thecapitalstockoftheBankincreasedfrom1,000sharesof$25.00parvalue,to2,000sharesofthesameparvalue,thusincreasingthecapitalfrom$25,000.00to$50,000.00.In1947,3,000sharesofpreferredstockof$25.00parvaluewereissuedtoretire$75,000.00ofReconstructionFinanceCorporation(R.F.C.)debenturesthattheBankhadissued.ItwasfeltitwouldbebettertopaythisinteresttolocalpersonsratherthantotheR.F.C. In1934ThePeoplesBankmovedto243HighStreet,whereitremaineduntilFebruary12,1964,whenitmovedintoitsnewbankbuildingatthecornerofSpringAvenueandHighStreet,Chestertown,Maryland.

In1956aplanforcapitalrearrangementwasdecidedupon.Theplanincludeda150%stockdividendtopresentstockholders,theretirementofthepreferredstock,andthesaleof1,000sharesofnewstockat$25.00parvalue. In1962, withthenewbuildinginmind,thecommonstockwasincreasedto8,000sharesbythesaleof2,000newshares,andthecapitalstructureasofDecember31,1963,readasfollows:

In1962,withthestockholders’approval,anewbuildingprogrambegan.ThefirststepwasthepurchaseofthelotatthecornerofSpringAvenueandHighStreet,Chestertown,atacostof$59,090.00.WilliamH.Elliot,Architect,ofChestertown,drewplansforthenewbuilding.ThebuildingplanswereapprovedandtheBankadvertisedforbids.TheapprovedcontractorswereHarryJ.Tuckerwhowasawardedthegeneralconstructioncontractforthesumof$90,692.00andHerbertF.Wardwhoreceivedtheplumbing,heating,electricalandairconditioningcontractforthesumof$20,640.00.Totalcostofthenewbankingheadquartersincludinglot,buildingandcontentsexceeded$200,000.00.Thestockholders,directors,andmanagementofthePeoplesBankfeltthatprogresswasjustasimportantinthebankingbusinessasinotherbusinesses,andthattocontinuetogivecustomerstheservicetheydeserved,theBankhadtomoveaheadandofferthebestinserviceinacomfortablesurrounding. In1973theBankmadeitsfirstmoveintocomputerizingaccounts.OvertheyearstheBankhas addedsavings,installmentloans,certificatesofdeposit,andmortgagestoitsinitialcomputerizationofcheckingaccounts.TheBank nowoffersacomprehensivestatementthatpresentsafullfinancialmanagementsummaryforits customers’accounts.TheadditionofMoneyMarketDepositaccounts,DiscountBrokerageServicesaswellasmanyotherinnovationsbroughtonbyderegulationhaveenhanceditsgrowinglistofservices. OnJanuary22,1975theBankchangeditsnametothePeoplesBankofKentCounty,Maryland.EvenwiththenamechangetheBankhascontinuedtomaintainits localindependence. Sixty-eightyearsafteritslastbranchopening,theWashingtonAvenue,ChestertownofficeopenedinApril1979.In1983,thePeoplesBankbecamethefirstBanktoofferaDiscountBrokerageserviceintheState.TheBoardamendeditsCharterinJanuary1985toallowbranchestobeestablished
beyondtheconfinesofKentCounty,Maryland.TheBankextendeditsmarkettothenorthernendofKentCountyandCecilCountywiththeopeningoftheGalenabranchinJuly1987. In1990theBankhadthefirstdrive-thruATMinKentCounty.Todaythe PeoplesBankhasATMserviceatallofitslocationsaswellasChesterRiverHospitalCenter. In1996theBoardofDirectors,withtheapprovalofthestockholders, formedPEOPLESBANCORP,INC.ofwhichPeoplesBankofKentCounty,Marylandbecameawhollyownedsubsidiary.OnJuly1,2006thissubsidiarybecameThePeoplesBank. Theyear1997sawtheadditionofTOUCHTONEBANKING,whichallowscustomerstoinquireabouttheiraccounts,transfermoneybetweenaccounts,orgaininformationaboutinterestrates.Inaddition,theBankcontractedwithINVESTFINANCIALCORPORATION,thenation’soldestthirdpartymarketerofbankfinancialproducts,toprovideinvestmentserviceswhichincludemutualfunds,stocksandbonds,annuities,andfinancialplanning.Also,in1997thePEOPLESBANKVISADEBITCARD,whichallowscustomersthefreedomtoaccesstheircheckingaccountanywhereVISAisaccepted,wasadded. TheBankhasseenamajorexpansioninthepastfewyears.TheMillingtonofficeopenedinAugust1998,whileamajorrenovationprojecttotheMainOfficeonSpringAvenueinChestertownwascompletedinMay1999,doublingthesizeofthecurrentstructure.Withtheexpansion,the

PeoplesBank,isabletoofferfriendlycommunitybankingthroughouttheKent,QueenAnne’s,andCecilcountyarea.InAugust,2007theopeningoftheChurchHillofficeallowedtheBanktoentertheQueenAnne’scountymarket.TheSudlersvilleofficewasopenedonDecember23, 2008.
Inlate2009,ThePeoplesBankconvertedtoanewcomputeroperationssystemthatwillallowtheBanktobringmoreefficiency,productivityandnewservicestoourcustomerbase. ThePeoplesBankhandled themajorportionofG.I.mortgageapplicationsfromtheKentCountyveteransofWorldWarII.ThiswasdueingreatparttoBankPresident,CharlesF.Wheatley,anexpertinprocessingsuchapplications.Asignificant portionofthemortgageapplicationsintheareacontinuetobeprocessedbythe Banktoday. ThelastfewyearshavefoundtheBanktobetheoverallleaderindepositsinKentCounty.
