THE ARIZONA PARALEGAL ASSOCIATION The Arizona Paralegal Association ("APA") was formed in 1977 and is a nonprofit professional corporation for paralegals. The APA became an affiliate association of the National Association of Legal Assistants, Inc. in 1988. SB1356 passed into law the Arizona Business Enti-ties Competitive Omnibus Act. Its effective date is August 6, 2016. The bill addresses several statutes within Title 10 that affect the internal governance of corporations. Many of those provisions do not ad-dress filing requirements, so they are not discussed herein. To view the entire bill, click on the bill number.

CERTIFICATE OF DISCLOSURE (all corpora-tions): The period for disclosure of felony convic-tions for fraud in the Certificate of Disclosure re-quired under 10-202 (and 10-3202 for nonprofits) is changed to five years instead of seven. The intent was to bring it more in line with a disclosure period under securities laws.

FOREIGN CORPORATIONS:

10-1503 is modified to reflect current practice with respect to foreign addresses. The foreign corpo-ration is required to provide the address of its principal office in its state of incorporation, or, if none, the corporation must provide the street address of its registered agent in the foreign ju-risdiction.

Par value of shares is no longer required on the ap-plication for authority.

10-1504 -- The bill eliminates the application for new authority, and replaces it with Articles of Amendment to Application for Authority. The bill clarifies that both certified copies from the foreign jurisdiction and articles of amendment will be required if the corporation changes its name, duration, or domicile, or if anything on the original Application was inaccurate when filed. The A.C.C. will offer a form for the Arti-cles of Amendment to Application for Authori-ty.

FALSE FILINGS – the bill creates a right of ac-tion that the corporation or LLC, its creditors, and shareholders or members, may exercise against any person that authorizes or signs a document deliv-ered for filing with the A.C.C. that the person knows contains false or misleading information. The prevailing party may be awarded reasonable attorney fees. The corporation statute is 10-1636, and the LLC statute is 29-858.

and circumstances that make it easy to be negative, but we need to remember to be posi-tive. People tend to remember negative comments over posi-tive comments. It takes more than three positive comments to overcome a negative one. In fact, some statistics say it takes ten positive comments to over-come one negative comment!

Another one of my favorite ways to network is serving as a board member or committee member.

I like to arrive before the event and review a list of attendees, so I can welcome new mem-bers. I also want to introduce

myself to people I have spoken with on the telephone or through e-mail that I haven’t personally met. I really appreciate being able to put a face to a name. In smaller groups, I like to have everyone in the room introduce themselves. I feel introducing ourselves is helpful to everyone. In larger groups, I try to facilitate introductions between people I know and people that may not have met. If they have a common connection, I mention that in my introduction. I must confess that I am not good with names. It helps me to see the person’s name in writing and then use their name when I am talking with them. Business cards are helpful in remembering a per-son’s name and make it easy to follow up with someone later. You can write something about your conversation with the per-son on the back of the card to help you remember them.

We can use established and mu-tual connections to network, but we can’t rely on another person’s network. If you have a network-ing relationship that isn’t give and take, leave it behind. Don’t let people hold you back from meeting new people. Our time is

Everyone is talking about LinkedIn®, Facebook®, Twitter®, but what about good, old-fashioned networking? We only get one chance to make that first impression.

Networking is easy when we join an association and are sharing our pro-fession with like-minded people. There are many opportunities, such as attending social events, seminars, and luncheons. In addition to net-working in your association, you can join clubs or groups of people with similar interests at your college, at your children’s school, in your com-munity and at church. The opportu-nities are endless, and you should make networking a regular activity.

One of my favorite ways to network is to ask someone to have lunch with me. I am more comfortable in a small group and enjoy getting to know people one-on-one. When I visit with people, I have eye contact with them, ask questions, and listen to their responses. I try to be helpful and provide them with resources, tips, or possible solutions for any situations or problems they may be

facing. I share my passions and try to make other people feel good about themselves. There are times

not endless, so we need to use it wisely. We need to be profession-al, confident, and not fear rejec-tion. We should not apologize for asking for someone’s help. As a shy person, I have found myself doing this. Apologizing can send a message that I don’t feel my needs are important or that I am not worth someone’s time. It shows a lack of professionalism on my part, and I am continually learning to be more confident and overcome the fear of rejection. In networking we should freely give compliments and learn how to graciously receive them. If we have been hurt in the past, we may wrongly believe that the compli-ment is sarcastic or that the person giving the compliment has an ul-terior motive. We need to trust that the person is sincere, kind, and courteous. A simple thank you and smile are always appro-priate. We need to have and main-tain a professional appearance by wearing appropriate clothing and being well groomed. Cologne should not be overpowering and makeup should be natural looking and conservative. If you don’t know the dress

code, error on the side of being overdressed. I like to be helpful and have a purpose. If you want to be more involved in your associa-tion, you can volunteer to serve on a committee, offer to find speak-ers for meetings, and authors for articles. You can also offer to be the speaker and write the article. When I attend a social event and

don’t have someone to sit with, I look for another person that appears to be alone and ask that person if I can join them. If I am with friends and see some-one alone, I invite that person to join us. A smile and warm greeting are always appropriate and sometimes forgotten with our busy schedules. If alcoholic beverages are served and every-one else is having one, you can have one in moderation, but it is also okay to decline. Net-working is building and enjoy-ing great relationships. Engage in a conversation with someone and ask them what they like to do for fun. Be positive and en-thusiastic. Be the person that everyone knows and likes. If you have things in common with a person, ask them to go out to lunch and get to know them better.

Networking can lead us to close friends that help

us grow per-sonally and professionally.

Microsoft’s plans to acquire LinkedIn for $26.2 bil-lion was the talk of the tech world late last month. The combination of these behemoths is going to give Microsoft access to all LinkedIn’s data. Microsoft’s CEO has given some examples of the potential syner-gies that will result, like “getting a feed of potential experts from LinkedIn whenever Office notices you’re working on a relevant task.” But legal ethics issues loom, involving our duty of confidentiality under Rule 1.6.

Aim: monetizing your links

With its 433 million members, LinkedIn is the #1 professional networking site for lawyers: 93-99 per-cent of lawyers across firm-size categories have pro-files, according to statistics from the ABA and oth-ers.

The main thing that Microsoft gets out of the LinkedIn deal is data about you. As a writer for Forbes noted, LinkedIn “knows where people work, their skills, ambitions, who they went to school with and what interest groups people share. LinkedIn knows about people better than Microsoft does. Or did.” Now, Microsoft will be able to combine that data with all the many products you use, from your Outlook calendar to Skype to Word.

What’s the money angle? LinkedIn’s CEO described how the combination could give “sponsored content customers the ability to reach Microsoft users any-where across the Microsoft ecosystem.” In other

words, to advertise to you in a totally targeted way as you work with any Microsoft product in its “ecosystem.” Pop-up ads for a treatise when we’re working on a brief in Word? That would be a stupid move, notes legal tech guru Bob Ambro-gi, and hopefully Microsoft won’t go there.

What are the ethics issues?

But this combination does raise some possible ethics issues, centering on your duty of confiden-tiality.

The confidentiality rule says that you “shall not reveal information relating to the representation of a client,” with very limited exceptions. The duty includes not disclosing the identity of your client, which in many instances can be extremely sensitive.

In a good analysis of the issue, ethics educator Stuart Teicher points out that leveraging data in our Outlook calendar can cross that exact line by

revealing our client relationships. Teicher posits that on Outlook, Microsoft “might see a potential client introduction (which lists Pete Smith as pre-sent), a court appearance (which lists Pete Smith as present), and a meeting for settlement purposes (which lists Pete Smith as present). It’s not going

to be too tough for the Microsoft bots to figure out that Pete Smith is your client.”

Or, says Teicher, looking at Outlook might show that you are heading to Chicago. Microsoft might “then cross reference our LinkedIn connections and send a message to one of them that says something like ‘Your connection Bruce Kramer is going to Chicago next week. Why don’t you look him up?'” If the purpose of your trip is to confi-dentially scout out a potential acquisition on be-half of your client, your client doesn’t want data out there from which the seller or it’s a Keep your eyes open.

How to Include an Ampersand in an Excel Header or Footer If you type "Header & Footer" or "Smith & Jones" into and Excel Header or Footer (whether you use the dia-log box or type directly into the space), Excel will appear to delete the ampersand when you return to the main worksheet. Why does Excel do this? The ampersand is a reserved character in the Excel Header and Footer, as in "&[Date])" which is a field code that translates into the current date when the document is printed. Most of the icons on the Header/Footer tab of the Page Setup dialog box insert one or more field codes into the Header or Footer you are creating. To have Excel insert that convivially conjunctive ampersand, simply type two ampersands together without a space. "&&" is reserved to translate into a single "&" in this context. "Smith && Jones" translates into "Smith & Jones" when you return to the main worksheet, and it will print properly on paper too. Nothing like this has happened yet — the mega-combo has just been announced, after all — and the ethics issues are only potential ones. But this development bears watching. As Teicher correct-ly points out, that’s the way to fulfill your duty of competence, which includes staying up to date on changes in the law, “including the benefits and risks associated with relevant technology.”

S ome of you may have read that an attorney handling a domestic violence case for trou-

bled Heisman Trophy quarterback Johnny Man-ziel mistakenly sent an incriminating and embar-rassing text message concerning confidential plea bargain discussions to an Associated Press re-porter, rather than the intended recipient, another attorney on the case. Not surprisingly, this gaffe has led to termination of the lawyer’s services, not to mention public humiliation. M isdirected emails containing privileged and confidential client information are far

too common and can have profound consequenc-es. In 2008, the New York Times ran a front-page story breaking the news that Eli Lilly was in settlement talks with the federal government over alleged marketing improprieties concerning the drug Zyprexa, with a potential settlement of more than $1 billion. Apparently, the inadvertent source concerning these confidential discussions was a lawyer at Pepper Hamilton who, believing he or she was sending a packet of confidential documents to co-counsel Bradford Berenson at Sidley Austin, mistakenly e-mailed the docu-ments to New York Times reporter Alex Beren-son instead. The Pepper lawyer had previously exchanged innocuous emails with the reporter, and consequently the firm’s email system auto-matically filled in the reporter’s name when the first few letters of the last name were typed on the email regarding settlement. M isdirected emails result not only from the auto-complete feature of Outlook

email systems, but also from an inadvertent “reply all.” This problem is particularly acute with emails sent from a smart phone, which sometimes is a misnomer. Another common problem is when a “bcc” recipient does a “reply all” response, which can create major embarrassment or worse for the original send-er. Yet another recurring mistake is to for-ward emails containing attachments or lengthy prior email strings without first care-fully reviewing the attachments or prior strings. And problems often ensue whenever an email is sent too hastily, and without exer-cising the same degree of care and caution that is used in preparing legal documents and paper correspondence. In fact, some firms have built in an automatic delay of several minutes before an email is transmitted, so that the sender can cancel an intemperate or mis-directed email before it is sent out.

set forth a helpful list of best practices for emails, several of which are set forth below:

Before using email, consider whether it is the best method for the particular commu-nication. Never respond to any message without first thinking of the consequences of that communication becoming public.

Be very careful about the use of auto-complete when addressing your emails; al-ways check to make sure the recipient is the person you intended.

Remove excessive “strings” of prior mes-sages from email and include only what is necessary. Make sure that everything con-tained on the email strings you are attach-ing is intended to be shared with all of your recipients.

Never send an email message without knowing exactly what is on every page of an attachment. Consider stripping metada-ta (hidden information embedded within a document or message), or sending a PDF

or facsimile version of the document, to mini-mize the risk of inadvertent disclosure of metadata.

Draft email messages without filling in the “To,” “Cc,” and “Bcc” fields until after your message is drafted, and you are sure it is com-plete.

Before hitting “Reply All,” make sure that you really intend to send your email to every-one shown on the email to which you are re-sponding.

If you are a recipient of a “Bcc” message, do not hit “Reply All” because you may be dis-closing something that the sender intended to keep confidential.

Take a deep breath before sending any email message, particularly when you are an-gry. The "e" in email can often mean "exhibit" or "evidence."

Remember: Nothing is funny when it is used as an exhibit in a lawsuit, or as an example of poor judgment or violation of firm policy.

EMAIL DANGERS!

You can fix your "um" and you probably should.

For a million years, people have been judging each other based on voice. Not just on what we say, but on how we say it.

A Pulitzer-prize winning author was interviewed on a local radio show. The tension of the interview caused an "um" eruption—your words and your approach sell your ideas, and at least on this inter-view, nothing much got sold.

Or consider the recent college grad who uses thirty or forty "likes" a minute. Hard to see through to the "real you" when it's so hard to hear you.

Alas, you can't remove this verbal tic merely by willing it away.

Here's what you can do: Persuade yourself that the person you're talking to will give you the floor, that he won't jump in the moment you hesitate. You actually don't have to keep making sounds in order

to keep your turn as the speaker. The fastest speak-er is not the speaker who is heard best or even most.

Next step: First on your own, eventually practicing with friends, replace the "um" with nothing. With silence.

Talk as slowly as you need to. Every time you want to insert a podium-holding stall-for-time word, say nothing instead. Merely pause.

You can do this into a tape recorder, you can try it in a meeting. It works.

You're not teaching yourself to get rid of "um." You're replacing the um with silence. You're going slow enough that this isn't an issue.

Then you can slowly speed up.

The best part: Our default assumption is that peo-ple who choose their words carefully are quite smart. Like you.

As we all balance work and personal lives, it is hard to contemplate taking on a volunteer project. There are always obligations to chil-dren’s school functions, office events, and friends with causes to support. So the first step is to find an organization that works for a cause you believe in and are willing to

dedicate time to support. It can be as simple as participating in a Read Aloud program for children or as big as spearheading a commit-tee for the local United Way.

It is important to research the organization you want to volunteer your time for to verify they are legitimate. The Secretary of State’s office in your state will have a database of all organizations properly registered within your state. Non-profit organizations depend on vol-unteers for many of projects. Church organi-zations also provide a great resource for vol-unteer opportunities.

So how does volunteering help build a parale-gal portfolio? Any project that you become involved in requires communication skills to

build a relationship with the volunteer group and the people you may be serving. Organiza-tional skills are necessary to carry out the pro-ject efficiently. The networking opportunities will be a great way to add contacts to your portfolio and allow you to display your skill sets to people outside your professional circle. The awesome feeling of helping other people will help you gain confidence which will show in your work and home life.

A great way to volunteer is to get involved in your local NALA affiliated paralegal associa-tion. Your local association can open many doors to opportunities that you may not have been aware of otherwise. Start with signing up for a committee project to get to know people within the organization.

Once you are comfortable within your com-mittee, consider getting involved with the Ex-ecutive Committee or Board of Directors. All organizations are grateful for new people with fresh ideas and willingness to help.

Paper Notices Going Electronic This Month Effective July 5, 2016, and as allowed after a recent change to Maricopa County Superior Court Local Rule 2.8 (d), the Clerk’s Office will email attorneys when hearing and trial exhibits are eligible for re-lease or disposal. Email notifications apply to attorneys who have agreed to electronic distribution of mi-nute entries and other notices from the Clerk’s Office. Others will continue receiving notice by U.S. mail. The process for notification and release of exhibits has not changed, only the method of notification from paper to electronic. Clerk’s Office Earns Two National Achievement Awards The National Association of Counties awarded the Clerk’s Office achievement awards for two programs that improve customer service in Maricopa County: The Clerk’s employee cross-training program and the Interactive Voice Response Call Management System (IVR). Cross-Training Compared to years ago, more job seekers are attracted to personally meaningful work, schedule flexi-bility, and new challenges. The Clerk’s Office remains an attractive employer because of its flexible work schedules, teleworking options, and its mission of helping our community access and receive jus-tice. The Clerk’s Office recently implemented a cross-training program for courtroom clerks and custom-er service staff that adds variety and challenges to this important work. On average, it takes four months for a courtroom clerk to work on their own in a judicial officer’s divi-sion. Historically, clerks were trained for only one case type and once assigned to a division, approxi-mately 80 percent of their time was dedicated to the courtroom. This approach resulted in a slim margin of experienced clerks available to cover court while new clerks were trained. For greater flexibility and a more versatile, engaged pool of clerks, more training was imperative. Grants funded Saturday trainings that increased the number of courtroom clerks available to cover multiple case types. The courtroom clerk position improved through new information, challenges, and variety that cross-training provided. The file counters, marriage licenses, and passport services were also targeted for cross-training at mul-tiple locations and the results were impressive. Once implemented, the average wait time for marriage license or passport customers at the Clerk’s Southeast Adult facility improved by approximately 50 per-cent during a time when customer demand increased by 10 percent.

Interactive Voice Response Phone System The Clerk’s Office implemented the IVR system in May of 2014 to better handle an average of 30,000 telephone calls each month. Before the IVR, callers could directly dial more than 70 pub-lished desk phones and might then be transferred to one or more of more than 100 other telephone numbers before getting the assistance they needed. Partnering with the County and its vendor, programming was the only cost of development for the Clerk’s Office. The telephone-button operated menu system that resulted allows callers to select options for routing directly to the area of the office they need. The new system eliminated over 200 individual telephone numbers and gave the public one main telephone number to contact the office: (602) 37-CLERK (372-5375). Callers can also get information without speaking to staff, as the men-us are available 24-hours per day, 7 days a week. Whether at a service counter, in a courtroom, or on the phone, the Clerk’s award-winning initiatives strive to make the customer service experience better for Maricopa County’s four million residents and beyond. Clerk’s Office staff take pride in feedback from customers who are pleasantly sur-prised at getting fast, accurate, respectful results from a government agency.

The legislation noted below is either in effect now, effective later this week, or takes effect on January 1, 2017. Most new legislation begins on the general effective date of Saturday, August 6, 2016. For more infor-mation on legislation, visit the State Bar’s website or look for trade organizations that track changes in Arizo-na.

Family Court practitioners and process servers should note that preliminary injunctions will need to be served in family court proceedings to establish legal decision making or parenting time where the couple was never married. SB 1297 updated the statutes to treat the children of once-married and never-married couples the same when initiating certain court filings. The Clerk’s Office will look for one of the required documents in an initial filing (child’s birth certificate, acknowledgment of paternity, adoption order, or court order establishing paternity) before filing the case and issuing the injunction for service. The statutory change does not apply to support-only cases filed by the state. Understand that family court case records are generally available as public records while adoption case records are not. Filing a copy of an adoption order or child’s birth certifi-cate with the family court petition will result in those documents being filed in the public record. Carefully re-view whether a rule or exception requires or allows redacting or modifying information before filing documents in the family court case. Remember that the Clerk’s Office does not screen filed documents for content. Statutes and rules prohibit parties from filing certain information or require redacting that information before filing. New legislation regard-ing private images (HB 2001 – in effect now) and witness information (HB 2383) may restrict or prohibit what can be submitted for filing into the public record.

Practitioners in probate and juvenile case types will have more consistency and communication between courts starting January 1, 2017. When a filing falls under SB 1296, it will help the court and all parties to cite both the juvenile and probate case numbers in documents. It may be necessary to file a copy of documents and orders in each case when the document or order affects both cases. Understand that probate case rec-ords are generally available as public records while juvenile case records are not. Carefully review whether a rule or exception requires or allows redacting or modifying information before filing documents in the probate case.

eFiling Guidelines Update - Sealed The Clerk and Presiding Judge recently updated eFiling Guideline 2.09 “Documents not permitted to be elec-tronically filed.” When electronically filing through the Clerk’s portal and through AZTurboCourt, filers can now e-file a motion or stipulation to file under seal. However, note that the motion or stipulation will be filed in the public record. Do not include anything in the motion, stipulation, or related documents that you are asking the court to seal from public access. There is currently no process for lodging documents with the Clerk’s Office and we do not review the content of documents for information that should not be in the public record. After the court grants the motion or stipulation to file under seal, put the documents or information to be sealed in an envelope, attach the court’s order to the outside of the envelope, and bring it to a Clerk’s file counter for filing under seal.
