1) Personal Solar Sales Personal sales are the fastest way to make serious money. Most companies in direct sales pay a small amount to the seller, and most of the money rolls up to the “big hitters.” CREW is different. As Direct Sales Cooperative, we have innovated a new economic model. CREW pays the vast majority of the money to the people who actually make the sale (up to 80%). Plus we give fair and inspiring overrides to our leaders. We then treat our Members like owners, not sales reps, since our Members can participate in monthly and yearly profit sharing with CREW.

1.1 Personal Solar Sales (40%-80%) On a solar installation, CREW collects a total of 12.5% of the system base price, not including any add-ons. CREW then splits this 20% for CREW operations (2.5%) and 80% for our Members (10%). To our knowledge, this 80% split to our Members is the highest percentage of any direct sales company. So if the base price of the solar install were $30,000, CREW would pay $3,000 in Commission Value, or CV, to our Members. Commission Value (CV) is the amount paid out through the Reward Plan. Using this example with $3,000 CV, here is a breakdown of what you would earn on your first sale all the way up to when you are doing six solar installs a month:

By design, you can earn a solid six-figure income and never build a Crew. If you do six sales a month with a CV of 3,000 each, you would earn $172,800 per year…and that is with you doing less than 1.5 sales a week (and never building a Crew). If you are a CREW Member and installing on our own home, you do not make a commission on this sale (your sponsor earns this commission),

but it does promote you to Partner1. Now on your first sale you will make the full 60%, instead of 40%. Think of it like you have 20% in bank just waiting for your first sale. Since CREW has a free sign-up, our Members were working hard to get a sale, and then the homeowner would simply sign up for free and earn the commission from our Members hard work. We debated a lot about this one, and our Members voted. As you build your Crew, you will appreciate this feature. All these companies chose our cooperative Solar Club model.

Personal Commercial Solar Sales Commercial solar is a great market, and CREW has over $100M of Commercial projects in our pipeline. Commercial takes much longer to close and install, so if you need to put money on the table quickly, make sure you focus on residential solar and retail sales as you fill your Commercial Pipeline. A singles commission in Commercial Solar can be thousands, 10’s of thousands, or even six figures. If you want to play in this sandbox, you need to develop your skills. We have a commercial training program to support your education. You don’t have to take it, but if you don’t, your commissions are half of what is shown in the chart. Let’s face it… if you don’t know what you are doing, others are going to have to provide a lot of support and they deserve some of the compensation to cover you lack of training. As you will notice in the Table below, as the size of the installation increases, the amount you earn per watt decreases. This makes sure that CREW can provide the best possible pricing. Commercial installations are highly competitive and the larger they get, the more competition. The amount you actually earn is in bold on the far right. As you can see below, the Rewards are significant. The CV that is not earned by you personally goes into our Rewards Plan and is paid through your Support CREW.

If you want to be a professional in solar, treat it like a profession. Learn your trade. There is great power in being solar pro. Nothing can shake the confidence of someone who understands their industry completely. But no one cares how much you know until they know how much you care. CREW is about relationships. Build trust and confidence. Especially with commercial, this is a long process. If you simply want to generate leads and pass them on to our professionals, you can do that also…but it is not as fun and you don’t earn as much. If you simply hand over a lead, the pros will work with your lead and with you on a fair split of commissions. It can be as high as 50%. Develop your skills. The best investment you can make is in improving your skillset and your mindset.

1.2 Personal Product Sales – up to 99% of the Retail Margin Personal Product Sales use a different formula. Each product has a Retail Margin and Commission Value (CV). The Retail Margin is the difference between the Retail Price and the BASE Wholesale Price. The higher your level in CREW, the more of this you can earn. The higher your position in the Rewards Plan, the more you earn. Here is an example with a CREW Plug-In Energy Management System: As a Senior Partner2 in this example, you would buy the product for $113, sell it for $199, and profit $86. If you had an Advocate sell one Plug-In, they would buy it for $149 and profit $50 with the sale. You would make the difference between the $50 they are qualified to earn and the $86 you are qualified to earn. That is $36 in profit for you from a sale made by an Advocate in your Crew. The same percentages apply to all of the Crew Products, but the numbers will be different based on the Retail Margin of that Product.

Now let’s imagine that you had a Partner1 between you and the Advocate. The Advocate would earn $50, the Partner1 would earn $23, and you would earn $13. It is just simple math. If there was a Managing Partner1 in the next Circle, she would earn $10, and the Managing Partner3 would earn $6. Our software does all these calculations automatically. You provide the Leadership. CREW provides the income.

1.3 THREE and YOU ARE FREE With our CREW Water (8oz), we have a special program that if you order your water and you have 3 people (personal customers or Members) who also order at least one bottle of water, then your water is FREE for that month. So if you sign up for our Easy Ship and receive your product each month, and three of your customers or CREW Members do the same, your water is free (just pay shipping and handling). We want as many people as possible on this water, so we make it as easy as possible.

2. OVERRIDES AND BONUSES As you build your Crew, the fun multiplies because you duplicate your efforts. With CREW, you can have dozens, hundreds or thousands of people supporting your success.

2.1 Circle Bonuses (3% - 6% for Solar, 9% to 18% for Products) As an Advocate, or a Member who is not qualified with CV, you earn 3% on your Solar Circles (the other 3% rolls up to the first qualified Member). As a qualified Partner or above, you earn 6%, thus doubling your Solar Circle income. This Bonus is paid on your 1st and 2nd Circles – these are the Members direct to you (your 1st Circle) and the next Circle of Members (your 2nd Circle). As a simple theoretical example, let’s imagine that you personally brought in 3 Members to CREW who make a solar sale and they each bring in 3 Members who make a sale…for a total of 12 Solar Sales in your Circles 1 and 2 for the month. Using the same example of a Solar Sale with $3,000 CV * 6% = $180 per sale in your Solar Circles: 12 Sales * $180 = $2,160. If you also made one sale personally, your monthly income in this example would be $3,960:

For products, it works exactly the same way, but you earn a higher percentage. If you are an Advocate, you earn 9% on all Product CV in your Circles 1 & 2. As a Qualified Partner1 or above, you earn 18%. It pays to be a Qualified Partner or above. There is an illustration on page 9 that breaks down all of the Product Bonuses.

2.2 Matching Bonuses (3% - 9%) You also earn a Matching Bonus from each person you personally sponsor, and each person they personally sponsor (your Circles 1 & 2). This is a Leadership Bonus and starts paying 3% at Partner2 and goes all the way up to 9% at MP3. The Matching Bonus is paid on all of the earnings from their personal sales, Circles 1&2, Leadership Override, and their CoOp earnings (there is no Match on Retail Margin and there is no Match on the Matches…or it would create an infinite loop).

Think of it like a stream of money flowing from left to right. You can have a 3% dam to capture all of that money, or a 9% dam. The same amount of money is flowing through your stream. The higher up you are in the Rewards Plan…the more of this money you keep. The full 9% is always paid out. So if you are at 3% and your Sponsor is at 7%, he would make the 4% difference, and then if his Sponsor was at 9%, she would earn the 2% difference.

Let’s imagine that you sponsored 3 people who sponsored 3 people, for a total of 12 in your Circles 1 & 2, and all of them sold one solar install. From their personal sales they would each earn $1,800 in this example. Additionally, the 3 Members in your Circle 1 would also earn a Circle Bonus from the people in their Circle 1 (your Circle 2). Since it is a $30K sale and the Circle Bonus is 6%, that is another $180 per sale. Since each of these three Members had 3 sales, that is an additional $540 in earnings. So your Match will be 9 Members at $1,800 and 3 Members at $2,340 ($1,800 + $540). The exciting news is that your Crew is also making money. Here is an example of the TOTAL amount you could earn if you are at a 6% Match with one Personal Sale and 12 solar sales in your Circles 1&2:

Now let’s imagine that each of those 9 Members in your Circle 2 all sponsor 3 people, for a total of 27…and each of those Members in your Circle3 makes one sale earning $1,800 on average. If all of the Members in your Circle 1 & 2 are P2’s, they would earn 3% on that $$1,800, or $54 * 27 sales = $1,458. Even though these 27 Members are in your Circle3, so out of your Match, since you are at 6% Match and the Members who earned the Match are all at 3% Match, you would earn the difference of 3%, or another $1,458 in your pocket…this is on top of the $5,288 you earned above for a total of $6,746. Though you are only earning $54/sale, it adds up quickly as your Crew grows. Remember, all 9% of the Match is always paid out, so the MP3 in your Support CREW would earn the other $1,458, even though these sales could be on her 4th Circle or beyond. Though CREW pays out the vast majority of the income to our Members who make the sale (up to 80%), we also make sure our leaders can earn an inspiring income by developing large and productive sales Crews.

No matter what a company says in their marketing materials, if you really want to understand their philosophy…look at how they pay their people. What actions and behaviors do they reward? In direct sales, too many companies stack the vast majority of the financial rewards on building a large organization, and not on actually selling the product or service. This incentivizes people to build large organizations, but no one is inspired to actually sell. CREW is different. Up to 80% of our total Commission Value goes to the person who actually makes the sale. Our mission is to spread sunshine, and we pay you well to do that. We also reward our leaders with Matching Bonuses and Overrides because to achieve our big goal, we need 100,000 people to bring billions of dollars of solutions directly to consumers. That will only happen through leadership.

2.3 Leadership Product Override The Leadership Override is up to 18% of the total Product CV (solar sales are not included in this Bonus). This is a Leadership Bonus and the higher your position, the more you earn. In this example, we have the sale of one CREW Plug-In that has a CV of $35. If you are a SP2, you would earn a Leadership Override of 11%, or $3.85 ($35*11%=$3.85). All 18% is always paid out so you can earn the difference between your position and Members in your Crew. If you are an MP3 and train up another MP3, you still earn 3% on their entire organization…so the total payout for this Leadership Override is 21% (18% + 3%).

You will have more Product Sales than solar sales, so for this example let’s use 6 Members who make a sale in your Circle1 and 36 in your Circle2, for a total of 42 sales of the Plug-In. You need two Plug-In units per home, so that would be 84 total Plug-In units. We are not including any personal sales in this example, and for this illustration you are a SP2 and the sales are all from Partner1’s to make the math easy:

Another advantage with Products is EasyShip. Members and customers can sign up for a monthly supply of the products they love. You can order a product every month, or even make a larger order every four months, thus saving on shipping, and staying fully qualified (see the Qualification section on page 11).

PART 3: COMMUNITY Historically, one of the challenges with large sales organizations has been in-fighting, or internal competition. CREW rewards cooperation. We do that by placing 12% of solar sales and 27% of Product Sales into the Cooperative Pool. Each month, this pool is then divided up amongst all the CoOp Members based on their points. With our CoOp model, if you hear that Suzy just closed a huge deal, you can be excited for her…and for yourself… because now you can share in that upside through the CoOp.

3.1 Monthly CoOp Payments The CoOp pool is divided into three pies, which are paid out based on “Patronage Points”:

1. Add Value to CREW (3%) 2. Create Qualified Solar Leads (17%) 3. Build a Large and Productive CREW (80%)

1. This is a 3% discretionary fund designed to reward contributions that support the overall

success of CREW. Imagine a Member creates a tool that helps everyone succeed, or another Member is extremely helpful in answering questions for everyone. We can now reward these Members who go above and beyond to build our vision. Points will be determined by corporate and our Member Advisory Council.

2. This assures that a brand new Member can participate and profit in the CoOp their first month by simply inputting leads. Each month, the total amount in the CoOp will be multiplied by 17% and then divided by the number of leads. So if $100K goes into the CoOp for the month, the amount that would go in the Qualified Solar Leads Pool would be $17K. If there were a total of 500 Qualified Solar Leads, each lead would be worth $34. If you had 5 of those leads, you would make an extra $170 for the month from your leads as a CoOp Member.

3. This final section is designed for our leaders who build large organizations and drive our growth.

Points Qualifications

1 Point for every $30 in CV in your 0-2 Generations Partner1 or Above 1 Point for every $30 in CV in your 3-5 Generations Partner2 or Above 1 Point for every $60 in CV in your 6-7 Generations Senior Partner or Above 1 Point for every $90 in CV in your 8-9 Generations Managing Partner or Above Patronage Points are paid in a tiered structure. The more you take out of the communal pool, the less your points are worth as you hit the next tier. This assures a fair and equitable distribution of the communal funds. Some companies proudly promote that they have one person making $1 million a month. The reality is that there is only so much a company can pay out…so if one person is making a million a month…there are thousands struggling to support that “success.” At CREW, we would rather decentralize the wealth. Every study on happiness shows that once you reach a certain income, more money does not create more happiness. What creates more happiness is more contribution, community, significance and sharing your gifts with the world.

The tiered structure is only on the CoOp Pool…so if you want to make a million per month, just sell more personally and in your Circles 1&2 – there are 9 ways to earn and the CoOp is only 2 of them. We never cap your income. We simply decrease your Points in the CoOp Pool as you take out more and more. Each tier is “protected.” So you always earn 1.9 points the first $3,000 you pull from the CoOp Pool, 1.6 Points on your next $3K, etc. The tiers do not include the money you make from all of the other seven Rewards. So if you make $9K from your Personal Sales and other Bonuses…and then $2K from your CoOp Rewards, you are still in the first tier…even though your total check is $11K. The tiers are ONLY based on the money you pull out of the CoOp pool.

This tiered system assures that our new Members can see results quickly and our leaders have a solid and stable income. Since this CoOp Bonus has never been done before, we are going to test these percentages for 90 days and see if these are the right ratios for our Members.

3.1 CREW Annual Profit Sharing At the end of each fiscal year, we also divide up the corporate profits from CREW, with 33% going to the CoOp Members. If our investors get paid, our Members get paid. It is uninspiring to work hard building a company if you don’t share any of the upside…so at CREW…we are all in this together. To manage expectations, it might take a few years for the annual profit sharing to be significant. At the beginning of any business, most of the money is invested back into the business to accelerate growth. But as the business and the profits mature, the rewards can be exciting. An article in Forbes shows what would happen if Apple were a cooperative, “Apple has 98,000 employees and earned $39.5 billion after tax over the past year. If Apple was a worker cooperative, then each employee would’ve received a $403,000 dividend on top of their salaries.”

QUALIFICATIONS Everyone who joins CREW begins as an Advocate. We then have 3 Qualified Positions and 3 Levels within each Position (for a total of 9 Qualified positions). A requirement of each Qualified Position is Commission Value, or CV. This is the point value each product is given and how you are paid. For example, the 8oz CREW Water has 18 CV (plus the Retail Margin of $12.10). So if you sell or order one bottle a month, your CV requirement is satisfied. For it to be Personal CV, you either order the product yourself or a customer has to order it directly through your link. We also did something unique to make it even easier for you. If you do over 90 CV in one month, you are qualified for that month PLUS the next three months. This way if you sell Solar (thousands of CV), or a CREW Wire-In (175 CV) or 5 8oz bottles of CREW Water (90 CV)…you are qualified for that month and the next three months. So with four sales, you can be qualified for the entire year. How great is that!

3 Ways to Advance To move up the Rewards Plan, we made it simple and gave you three options:

OPTION 1: Partner Packs are the fastest way to advance when you are getting started.

it and do the same, your CREW will double in size every month. Also, each Partner Pack puts $100 into the Retail Margin Override and $75 CV, so $175 total payout. OPTION 2: Once you complete your first Solar Sale, you are a Partner1. Complete two Solar Sales and you are a Partner2…all the way up to 90 Personal Solar Sales to be a MP3. These levels are based on your total Personal Sales in the prior 12 months. This way a Member who never wants to build a Crew, can still attain our top position.

OPTION 3: You can also qualify by Personal Income. So if you build a Crew or sell a Solar Install and make $1,500 for the month, you will be paid as a Partner3 the next month. If you sell two systems and make $3K, you will be paid as a SP1 the next month. This promotion is based on your prior month’s income. You can build CREW the way you want and profit 9 different ways.

Six Ways to Succeed With CREW, you can build it your way. Here are six options:

1. Personally sell solar. Some people like to blaze their own trail and go it alone. You can make serious income with just a handful of solar sales a month.

2. Build a small, elite team. Maybe you want to duplicate your efforts, but keep it small and tight – only top producers for your team.

3. Build a massive movement. Some of you are great recruiters. Inspire the masses to take action.

4. Focus on CREW Water and build a residual income empire. People love the water, and once they experience it personally, they order it again and again. Residual income is powerful.

5. Become a Dirty Electricity Crusader. There is growing evidence that Dirty Electricity can cause all sorts of problems. Focus on this niche market and build a dynasty with people who are as passionate as you.

6. Become a Commercial Solar Pro. These deals take longer, but the pay-offs are huge. Large commercial deals can pay commissions of six figures…on one deal. This market takes skill and patience, and it is ripe with profits.

Glossary of Terms Commission Value, or CV: This is the amount that is placed into the Rewards Plan, and 100% of the CV is paid out to our Members. For example, with a solar install, the CV is 10% of the base install price. So if the install price is $25,000, the CV will be $2,500. If it is your second solar sale or beyond, you will earn at least 60% of the CV, or $1,500 in your pocket. The CV is different for each CREW Product. There is a chart with a breakdown of each product on page 4. Patronage Points: CREW is a Member Owned Cooperative and you earn Patronage Points by helping CREW grow. Think of it like a grocery store CoOp. The more you shop at the store and the more people to tell about the CoOp, the more Patronage Points you can earn. Most CoOps only payout on Patronage Points at the end of the year. CREW pays out both monthly and yearly. There are three categories of points: 1) Support CREW (3%), 2) Input qualified leads (17%), and 3) Build a large and productive Crew organization (80%). Details in the Community Section (page 9). Personal CV: This is the amount of Commission Value (CV) that you do personally. This includes any personal orders and any orders your customers do through your website. Personal Income: This is the amount of your total CREW check for the month, including CoOp Revenue Share. One of the three ways you can Advance through the CREW Rewards Plan is by your Personal Income. Retail Margin: This is the difference between the Retail Price and the Base Wholesale Price. For example, the CREW LED bulb retails for $9.36 and the Base Retail Price is $7, so the Retail Margin is $2.36. The higher up you are in the Rewards Plan, the more of the Retail Margin you can earn.

ADVANCED OPTIONS Unless you are a real pro, ignore this section for now. Just know that as your skills develop and your Crew grows, we give you all the tools you need to build a dynasty.

Personal Solar Sales For real solar sales pros, you can earn even more than 80% on your personal sales. With our innovative program, you can actually earn up to 99% of the total commission on every personal sale you complete! This Advanced Bonus rewards personal performance, while making sure the Members who sponsor these volume sellers are still well compensated. CREW has been approached by some large sales organizations that want to make large investments into generating leads and training. To do that, they need to be able to earn more income on their direct sales. Deals like this are usually done “behind closed doors” with only a few “special people” getting special incentives. CREW is transparent and we believe in a level playing field. Any Member can achieve these milestones and incentives. It’s all based on results. You hit the numbers -- you get the rewards. This Table is based on Solar Sales of $30K, generating a CV of $3,000 (smaller solar installs generate smaller commissions and larger solar installs generate larger commissions).

In order to pay these higher Personal Commissions, we must decrease the Circle and Match Pay. But notice in the “Total Income” column that you still receive significant rewards even though the seller is earning up to 99% of the total commission. We achieve this by reducing the percentages even further that CREW receives. We all win with more solar sales.

Sponsor and Placement A common question in direct sales is, “Should I build wide or deep?” In other words, should I personally sponsor a lot of people, or focus on building deep roots? When looking for answers, it is best to look at nature. A tree will have a few deep tap-roots that anchor it into the ground, and it will also send out feeder roots to look for nutrients. You want to build at least three deep and solid roots to give you stability, plus you always want to be building new roots. But there is a limit to how many people you can effectively manage and train. This number is different for different people. Let’s call it somewhere between 6 – 12 leaders. You might have a huge personal network, or just be great at talking with people, so you know you can sponsor A LOT of people. With CREW, you can SPONSOR people and then PLACE them beneath one of your leaders, who can then provide the proper training and support. With this system, you could Sponsor dozens or hundreds of Members, while making sure they receive the support they deserve. You get the credit for being their Sponsor, and your leaders get part of the income for providing the training and support. Everyone wins. To make this system work, the Rewards Plan is paid through two different Circles: Sponsor Circles and Placement Circles. You could place a Member on your 2nd or 3rd Circle, but they are still in your 1st Circle for the Matching Bonus because you are their Sponsor. Specific bonuses are paid through each Circle:

• Sponsor Circle = Matching Bonus • Placement Circle = Circle Pay (including CoOp Patronage Points) • Split Between Sponsor and Placement = Retail Margin and Leadership Overrides

Let’s say you personally sponsored A, B, C, and D. One of them, C, has really stepped up and shown great leadership. The others need more support, plus B and D have a great connection and want to work together, but B is the leader. You could structure your Crew like this:

Here is the beauty. By placing your team, you can earn more Matching Bonuses. Since C will earn Circle Bonuses and Overrides on A, B and D, and B will earn Bonuses on D, you earn more on your Matches. You will miss some other Bonuses, but you are helping your Crew succeed. A word of caution, never promise to “place people beneath” someone. They will often hear that you will “build their Crew.” Always under-promise and over-deliver. If you place someone, it is a strategic move, and everyone must understand the benefits and responsibilities. This is not a gift…it is a business agreement.

“Adoption” Some people treat this business like throwing spaghetti up against the wall to see what sticks. They are not sponsors…they are gamblers hoping to get lucky. The root of sponsor is spondere, which means to pledge. Being a sponsor, like being a parent, is a sacred responsibility. Sometimes you get bad parents, and sometimes you get a bad sponsor. It happens – and it can make you stronger. Your sponsor does not determine your success – YOU DO. If parents are abusive to their children, the courts can step in. If a sponsor does not fulfill their role of support, training and mentorship, the “orphan” Member can petition CREW for an “adoption.” Let’s be clear. This does not mean that you don’t like your sponsor, or you would rather have someone else as your sponsor…it means your sponsor completely dropped you. They won’t return phone calls or emails. They simply offer no support. Here are the steps to follow if you are an “orphan:”

1. Make multiple attempts to get support and document your efforts. If we are going to make a move, we need documentation.

2. Look up! There are more people in your Support Crew than just your sponsor. There is likely someone who would love to support a motivated person like you. If you still find no support…

3. Send a formal petition to [email protected] documenting your situation and who you would like to be your mentor. Make sure your new mentor agrees to take on this role.

4. There is a $50 non-refundable charge for this service. We do this for two reasons: 1) It takes time to investigate, verify and document. 2) We want to make sure you are serious and this really matters to you.

CREW Corporate and Members of our Advisory Council will make the final ruling. If we find that you have indeed been orphaned, we will connect you to your new mentor for support. Your original sponsors (your Circles 1 and 2 of Support) will still receive half Circle Pay. They introduced you to CREW and for that you should always be grateful. Your new Mentor will now receive 6% on Solar Sales and 18% on Product Sales.
