Kelly Goulart currently serves as IBAT’s regulatory compliance manager, part of our compliance team answering member questions through the Compliance Helpline. He began his career in banking in 1986, as an internal auditor and shortly thereafter moved into regulatory compliance. He has worked in banks and as a consultant in Virginia, South Carolina and Texas in the areas of compliance and credit review. He has held the positions of compliance officer, chief operations officer, chief financial officer and director. He has a B.B.A. in Business from the University of Texas at San Antonio with post graduate work in economics.Edward A. Krei is managing director for The Baker Group, an investment firm based in Oklahoma City, specializing in services to financial institutions. A frequent speaker at banking and investment conferences, both in the U. S. and abroad, Mr. Krei has spoken for the FFIEC, the Conference of State Bank Supervisors, the Federal Reserve Board, and state banking and securities regulatory agencies. Mr. Krei has also served as a consultant to central banks in Europe.S. Scott Macdonald, Ph.D., president and CEO of the SW Graduate School of Banking Foundation, is a widely-respected authority on banking and the economy. An expert on guiding institutions toward high performance, Dr. MacDonald serves as a consultant for a number of community banks nationwide. He is also one of the nation’s top strategic planners, working with boards to develop their strategic plans and focus their strategic visioning.Karen Neeley, with over 30 years of experience under her belt, is widely known throughout the Texas financial insitution community as an expert in regulatory and compliance law. That expertise has enabled her to provide services to an array of businesses that are increasingly becoming subject to complex federal regulatory schemes. Located in Austin, she is a regular in the Texas Capitol and Texas Finance Commission, where she has represented the banking industry for over 20 years: drafting legislation, testifying on critical issues, and generally representing the industry. At the same time, her name and comments are well known to myriad Washington regulators as well. R. Jay Phillips heads Cerfis Group, Inc. (www.cerfis.com), a Dallas-based business-consulting firm specializing in corporate strategic planning focused on enhancing shareholder value. In addition to his consulting activities, he is a frequent speaker for industry groups. A former banker and bank director, he has chaired the Advisory Council and been on the faculty of the Bank Operations Institute held at Southern Methodist University for the past twenty-six years.Shannon Phillips, Jr., J.D. is deputy general counsel of the Independent Bankers Association of Texas (IBAT). His duties at IBAT encompass the legislative, litigation, regulatory and compliance arenas. He is the editor of IBAT’s monthly banking periodical Capitol Comments. As part of the team comprising IBAT’s Compliance Helpline, he answers legislative, regulatory, and compliance questions via email and telephone for employees, directors, and officers of IBAT’s member banksMary White leads IBAT’s cluster training initiative and serves on the faculty of IBAT’s Bank Operations Institute. Audiences value her engaging style whether she’s talking about compliance or leadership initiatives. Mary, a former banker, also owns the training and consulting firm, WTC Performance Group. Chris Williston has served the 450 member Independent Bankers Association of Texas for the past 24 years. He is a skilled facilitator and speaker and has conducted hundreds of educational workshops and sessions for bankers at all levels. He is a member of the SWGSB Foundation Board of Trustees.

The Certified Community Bank Director designation (CCBD) is a collaboration of and administered by the Independent Bankers Association of Texas (IBAT) and the SW Graduate School of Banking Foundation (SWGSB). This certification covers not only the regulatory and fiduciary responsibilities of bank directors, but also board structures and processes. In addition, the program focuses on what makes boards and directors effective as well as what is expected of them by regulators, examiners and shareholders.

Recertification is required every twenty-four months and can be fulfilled by attending accredited courses described below.

Requirements for CertificationThe educational program leading to the Certified Community Bank Director is designed to provide information they will need to serve as directors of a community bank or savings institution, and will be considered favorably in the pricing of your Directors & Officers coverage by many insurance carriers.To fulfill the requirements for a Community Bank Director Certification, an individual must:• Complete an twelve-hour Core Director Workshop presented by IBAT and SWGSB.

Core course offerings offered by other organizations will be evaluated and qualified to fulfill this requirement with proof of attendance, subject to approval by the sponsoring organizations.

• Participation in one Assembly for Bank Directors presented by SWGSB. • Other programs offered for bank directors will be accredited at the discretion of the

sponsoring organizations.• Certified Community Bank Directors (CCBD’s) are commited to upholding the

highest standards of professional conduct. As such, every CCBD must affirm his or her commitment to uphold a code of conduct developed by the sponsoring organizations.

Requirements for RecertificationTo fulfill requirements for an annual recertification, an individual must maintain 12 hours of continuing education over a two year calendar year basis. One Assembly attended over the two year period would satisfy this requirement. Course offerings administered by other providers will be evaluated and counted toward the 12 hour recertification process with proof of attendance.

Who should attend?The Community Bank Director Certification is designed for new directors, including directors new to banking, and experienced directors looking to be certified on core director responsibilities and liabilities.

Upon completion of the requirements outlined above, participants will be awarded a certificate and be allowed to use the CCBD (Certified Community Bank Director) designation.
