InterGest - CompanyInterGest is a globally operating trust company.
Our objective is to assist you in your export activities and to support you with all administra-tive processes in the respective target country. InterGest assumes responsibility in the form of Business Process Outsourcing (BPO) for all your administrative activities, starting with the formation formalities and domiciliation of a foreign branch office or subsidiary through to the fiduciary management of daily administrative tasks.
InterGest can deal with everything apart from your sales activities and technology.
Company / HistoryInterGest was founded in 1972 with a minimum capital of FF 20,000 as a Sàrl (société à responsabilité limitée, equivalent to limited company) in Sarreguemines, France, by Dr. jur. Heinz Anterist.
Dr. Anterist had been working as a legal advisor for the transport company Anterist & Schneider and had become aware of the fact that clients needed a lot more than just logistic services in order to be able to sell in foreign countries. They also required assistance in establishing subsidiaries, book keeping, customs clearance, legal and tax matters.Dr. Anterist searched for a provider of such services, but without results. He decided to fill the gap himself by launching a specialist business. The idea of InterGest was born.
The name InterGest derives from the French job description „Gestion Internationale“ – international management.

The StrategyAspects of ExportThe advancing development of international cooperation and exporting is making economic activity increasingly complicated. Business transactions not only need to be seen from a commercial point of view; it is also necessary to take technical, legal, fiscal and human factors into consideration.
Interaction in ExportThe provisions of the OECD Model Agreement (especially Section 5), for example, have made it quite difficult for a company to set up a sales organisation in a foreign country without at the same time establishing a place of business there.
Go localSince, however, the administrative requirements for setting up a place of business are more or less the same as for a foreign branch, it makes sense in this case to opt for setting up a legally independent branch from the outset.
DistributionIn developing markets, general importers can play a prominent role. What may at first glance appear to be a simple solution generally turns out to be connected to several major disad-vantages. First of all, only limited market feedback is obtained and hence, neither customer needs can be evaluated nor market knowledge acquired. Secondly, a brand name of the product and manufacturer cannot be established and thus additional benefits, especiallya stable turnover and trade margins, cannot be reaped. Lastly, the manufacturer is solely dependent on the importer and if, for any reasons, there is a break off in business relations with the direct client, the manufacturer loses his entire market share – a restart in this country becomes necessary.
After considering the alternatives and weighing up all the arguments, there is really only one viable possibility for developing foreign markets: an own subsidiary.
We will support you with all our expertise.
All services from a single source: Your „All-Inclusive-Package“: InterGest provides all services required to assist and develop the world’s markets.

The AimOffer locallyYour company‘s goal must be to establish an image and offer your services in every country to which you export in the same way as your local competitors, for – given the opportunity – customers will want to buy locally. If foreign suppliers want to be competitive with regard to local suppliers, they need to be present in the market with a local organisation.
Full support by InterGestThe InterGest organisation can provide you in individual export markets with all the necessary administrative infrastructure and associated services. This allows you to manage and control your foreign sales subsidiary from your home base at minimum cost.
Tailored to different countries and variationsThe services offered by InterGest vary from country to country because they must be adapted to the specific legal, fiscal, customs and transport systems operating in the particular country, as well as to conditions with respect to mentality and language. Professional codes of ethics also frequently play a role in this context.
We assure that through a single business correspondent – InterGest – you are provided with all the information and services necessary for developing the market and managing your foreign subsidiary or branch.
All services provided by each InterGest partner can be found in their corresponding brochure.

PayrollWith our HR services you can expect more than just a properly prepared payroll. We of course take care of your payroll according to the local law and regulations, reliably and in due time.
But on top of that, InterGest also offers its clients:
■ editorial support with contracts of employment ■ ceding of national insurance ■ income tax ■ statement of expenses ■ clearing of health and accident insurance ■ accomplishment of abrogational proceedings
We are also able to advise you in the selection of staff and assist you during interviews.
Financial AccountingAlthough there are efforts to set international standards for financial accounting, there are different regulations in each and every country. It is of course mandatory to abide by these local regulations for your annual balance sheet for legal and tax purposes.
Larger sized enterprises in particular prefer to do their accounting in accordance with US-GAAP or IFRS within their corporate group in order to be able to prepare a straight forward consolidation for their international companies.
InterGest has the ability to deal with both ways and take care of your financial accounting according to the requirements of the corporate group and of the local accounting regulations. To do two annual balance sheets - e.g. in accordance with IFRS and local regulations - for one client is a matter of daily business for us.

Financial Controlling & ReportingIf you place the management of your subsidiary in trustworthy hands, you have the right to expect absolute transparency when it comes to corporate reporting. At the InterGest Head Office in Sarreguemines, we, like many of our partners, utilise international SAP R/3 software as an ERP system, which, via the distribution of information user licences, makes all business operations 100% transparent.
However, even companies that do not work with SAP can be sure of customised and absolutely individual reporting. Whether you wish to work with your own MIS software or prefer Excel files, whether you require periodic reporting or would rather „help yourself“ to your figures via a VPN connection – the choice is yours.
We provide the following services in this area:
■ periodic overview of all customer accounts of the different country organisations in the national currency or any foreign currency ■ a country-by-country periodic overview of all accounts of all foreign subsidiaries in a uniform currency selected by the user ■ country-specific and country-by-country budgeting as well as comparison of budget with actual figures ■ periodic cost accounting with operating results
Strategic Sales ControllingThe ‚remote control‘ system developed by the InterGest group for managing foreign sub-sidiaries provides an excellent basis for planning, monitoring and control, especially for the controller.
The starting point for setting up controlling is, first of all, the data from the accounts depart-ment in conjunction with the comparison of planned and actual costs and budget accounting.
The classical accounting cost items, which the InterGest organisation allocates by country and by applicable accounting periods, permit the controller to record and allocate costs to the different profit centres of his business according to the costs-by-cause principle.

This access possibility is independent of time differences and requires no third-party collaboration.
Some of our services in this field are:
■ availability of all relevant business management data for each export country for planning, monitoring and control ■ cross-national evaluations via a central database ■ converting individual national currencies into a single currency (for instance EURO or US Dollar) ■ planned-actual costs comparison according to company specific chart of accounts and translating this into the native language of the controller
The causal research and action planning undertaken by the controller on the basis of this information supports the profit and management control of the foreign company in an excellent way by allowing the executive management to concentrate on tasks of coordination and strategic decision-making.
Worldwide Controlling & Reporting with PaMMonWith PaMMon (Partnership and ManageMent Automation) InterGest offers an easy-to-use controlling and reporting system, which, with its intelligent data analysis, software agents and early-warning system, allows accurate, reliable and successful corporate management at an international level.

This starts with the management of your local bank accounts, the monitoring of the incoming and outgoing payments, in reconciliation with your outstanding items, the realisation of your daily payments, as well as the monitoring of your credit line. At your request you will receive a periodic overview of liquidity to guarantee a worldwide transparency of your funds at all times.

Our clients can take advantage of InterGest’s connections to local banks. Through these long-standing relationships and due to the volume of financial turnover of our clients, selected house banks are able to offer you superior investment and credit terms.
We will also gladly assist you in the realisation of a cash-pooling solution under international fiscal law.
Accounts Receivable ManagementIntroduction of the euroWith the introduction of the euro, many companies believed that the presence of their organisation in the form of a branch office in other countries would be superfluous. They have discovered, however, that this is not the case, and that there is not only a reduction of turnover, but significant delays in the receipt of payments are experienced.
Delays of paymentsReminders from abroad are taken less seriously, bank transfers or cheques are filled in belatedly, and when reminders and warnings are sent by foreign suppliers, the large number of intermediary banks involved in international payment transactions can be blamed for the delay. It is, therefore, not uncommon for the means of payment submitted to a non-domestic bank by an exporter (e.g. cheques or bills of exchange) to only be credited to the account 4 - 6 weeks after they are due. This means that an interest rate of 8 - 12% p.a. must then be paid on the necessary current account overdrafts.
Banks and their handling feesThe vast majority of European banks refuse to discount bills of exchange on their own account because they do not wish to face the risk and the formal difficulties of debt collection abroad. Cheques or bills of exchange are only accepted for collection, and for each bill a handling fee is charged – irrespective of the amount to be collected. The domestic banks demand the same amount again from their customers for handling foreign bank transfers, which means that bank charges are quite an issue. Suppliers who do not calculate with a generous profit margin can easily feel like they are only working for the bank! Throughout the handling period of the payment, companies do not have the urgently needed liquidity to finance production and other advance costs, so that they are dependent

on very high current account overdrafts. Small and medium-sized businesses in Europe know from negative experience how difficult it is to obtain overdrafts today.
Accounts receivable management by InterGestOn top of that, collecting debts abroad often causes considerable difficulties, as the reluctant debtors tend to believe that the creditor has insufficient knowledge of the local legal frame-work or might not pursue the matter with the necessary vigour. This is where InterGest comes into play. Our collection department often brings the desired success after only one reminder letter. Even in more obstinate cases, our legal experts find the right ways and means of persuading debtors to fulfil their obligations.
Since we have successfully managed receivable accounts for our clients for decades and we have our local InterGest partners as experts for each country, we are able to advise and support our clients in the best possible way.
Legal AdviceThis service comprises all sectors of public and private law, in particular commercial and company law, tax regulations, labour law and social law, customs law and foreign exchange control regulations, as well as private international law and EU law.
Our lawyers, tax advisers and accountants draft contracts, reports, minutes of meetings and provide expert opinions in the respective national language, as well as in English or German. We also offer assistance in negotiations with business partners, representatives, public authorities, banks, insurance companies and employees.
Information ServiceIn order to avoid debt losses, InterGest clients take advantage of our information services.
An on-line link to the largest credit reporting agencies, as well as cooperating banks, is maintained in the respective countries to provide immediate access to confidential credit-worthiness and trade reports on companies or private persons.
