1. The sealed TENDER/QUOTATIONs are invited from our empanelled contractors for the above

said work on behalf of Zonal Manager, Bank of India, Zonal Office Khandwa. The schedule,

specification & terms and conditions for the above said work is enclosed.

On and before 5.00 P.M. on 11.03.2021. Tender will be opened on 12.03.2021 at 03:00 AM at

Zonal Office, 2nd Floor, Conference Room, Pandit Makhanlal Chaturvedi Marg, Anand

Nagar, Khandwa (450001) M.P. Kindly note no separate intimation/ Invitation letters will be

sent to the bidders for the same purpose. Firstly Technical Bid will open on 12.03.2021,

tenderer will have to fill the Technical Bid as required with supporting documents (such as

EMD, Tender Money all pages of Technical Bid signed by the tenderers etc.) mandatorily.




Tender will have to be submitted in two envelops, Envelope-I & Envelope-II separately sealed

and super scribed “TENDER FOR ELECTRICAL / DATA CABLING WORK (Including all allied

works) for BANK OF INDIA, NEW ZONAL OFFICE AT JABALPUR.

Envelope No.1

To contain Volume-I, technical and commercial aspects of the tender and earnest money deposit

and set of drawings duly signed and stamped in all pages by the tenderer. On opening the technical

bid if it is found that the applicant has not submitted the cost of tender and the EMD of requisite

amount their application will be rejected and will not be processed further. After these

confirmations Envelope-2 will open, failing which tender will reject.

Envelope No.-2

To contain Volume-II, only the price bid (BOQ), in original and with duplicate Xerox copy viz.

complete in all respects duly filled and singed in duplicate (Volume-II only).

3. The earnest money for Rs. 8000.00 (Rs. Eight Thousand Only) shall be deposited in the form of

pay order / Bank Draft in favour of Bank of India payable at Khandwa. Tender without earnest

money in proper form will be rejected.

4. Tenders are to be on the prescribed form which can be downloaded from Bank’s Website or

obtained from the office of the Zonal Manager, Bank of India, Zonal Office, Khandwa on payment

of a sum of Rs.1000/- (Non-Refundable) by pay order in name of BANK OF INDIA (Non-

refundable).

5. All corrections shall be attested by the initials of the tenderers with the seal of the firm.

6. A tender submitted shall remain valid for acceptance for a period of 60 days from the date of

opening. The validity of the tender may be extended beyond the stipulated period with the

concurrence of the tenderer.

7. The time completion of work shall be essence of the contract, and shall be completed within 15

days only from the date of award of work.

8. Telegraphic / conditional TENDER/QUOTATION will not be entertained.

9. Sale Tax, Service Tax or any other Tax on material or on finished work like Works Contract Tax.

Turnover Taxes etc. in respect of this contract whether existing or future shall be payable by the

Contractor and the Management will not entertain any claim whatsoever in this respect at any time.

Rates should include all taxes. The rates quoted by the TENDER/QUOTATION should be

inclusive of sale tax & all other levies, if any.




10. Bank does not bind itself to accept the lowest tender and reserves to itself the right to reject any or

all the tenders received without assigning any reason/s thereof. The notification of award of contract

will be made to the successful tenderer by the Architect/Bank.

11. Tender without signature, stamped, witnessed, Earnest Money, Tender Money shall be

summarily rejected.

12. The contract is entitled to ask for one running payment during the currency of work, but an advance

intimation of 5 (Five) days shall have to be given to Bank, so as to facilitate in preparation / security

& release of payments. The balance payment will be released after successful & satisfactory

completion of work.

13. Cross verification of quality, quantity, brand of material used, measurement and workmanship may

be carried out by other architect / agency / Bank officials at any time (before / during / after

execution of work).

14. The Performa Invoice with the correct and proper details as to the Specifications, Make / Model /

Brand detail, Measurement Work Sheet etc. as required in terms of tender / quotation should be

submitted by contractor before submitting final bill.

15. The full & final payment will be released within one month after successful & satisfactory

completion of work duly recommended/verified by Branch & Architect.

16. Deduction of income tax at source on application as per provision of the section 194 of the Income

Tax Act 1961 will be made from the payments to be made to the contractor.

17. Any Deviation with respect to Time or specification, Bank without prejudice has right to-

a) Cancel / Rescind/ Revoke the order,

b) Impose penalty up to 20% of the total value of job.

18. Contractor in their own interest, are advised to visit the site and get themselves familiarize in the

prevailing situation before submitting their rates. No claim what so ever for ignorance,

misunderstanding shall be entertained later.

19. The ZM, Z.O. B.O.I. Khandwa reserves the rights to increase or decrease the under job covered by

the present state of the contract.

20. The contractor shall be responsible for making good in expeditions & work man like manner any

defects which may be found within one year of the handing over of the premises or premises put to

beneficial use. In case contractor fails to do so, the same would be getting done at his cost & risk.

The cost incurred by the Bank shall be deducted from the retention money or any other dues.

21. Security deposit equivalent to 8% from each running bill shall be deducted & shall be

returned only after expiry of defects liability period & Retained money 10% after 12 months.




22. The schedule of quantities is only approximate & all the work executed shall be paid for in

accordance with the actual measurements.

23. The samples of all the material & work times shall be gotten approved from the Architects.

24. Any damage done to the property of the Bank during execution of work shall be responsibility of

the contractor & it shall be made good by him, at his cost to the entire satisfaction of Architect/

Bank.

25. The drawings contain sketches showing salient features details at the various scale indicating extent

of work & specifications to be followed. These can be modified by the Bank / Architect from time

to time in accordance with technical requirements at the site.

26. The work shall be of the highest standard both as regard to material & workmanship. Modern tools

& first-class latest techniques shall be employed for its execution.

27. The contractor shall examine all drawings before quoting & commencing of actual work & report

to the Architect / Bank any discrepancy or omission & shortcomings in the drawings.

28. The Architect shall have full powers to get the material or workmanship etc., inspected & tested by

an independent agency for its soundness & adequacy at the cost of contractor.

29. The contractor shall employ adequate Labour to complete the work within the selected time. No

claim for the Labour shall be entertained. The contractor shall also make his own proper

arrangement for welfare, housing & safety of his own material & Labour.

30. The prospective contractor, on intimation of acceptance of TENDER/QUOTATION must submit

a progress network of the complete work based on bar chart within four days as much or modified

with the consent of the contractor, shall form part of the agreement.

31. The contractor shall visit the site of the work & shall satisfy himself as to the conditions under

which the work is to be performed. He shall also check & ascertain the location of any existing

structure or equivalent or another, which may affect the work. No claim, made in ignorance or

misunderstanding of site conditions or a ground of insufficient description shall be entertained.

32. The contractor shall get the approval of the Architect regarding the route of conduits, No. of runs,

diameter of conduits, No. & size of wires, location of pull boxes, route of cables No. & size of

wires, location of pull boxes, route of cables in ground/ wall for electrical / telephone works covered

herein.

33. The contractor / his supervisor will be bound to sign the site order book & to carry out the

instructions given therein.




34. Bad workmanship is liable to be rejected.

35. All materials to be arranged by the contractor for use in the work shall be of approved make & shall

be as per relevant Indian Standard Specification. Where it is mandatory to use I. S. Marked

materials, the contractor shall arrange the same accordingly.

36. The contractor shall make his own arrangement at his own cost for all general & special electrical

tools & plants required for electrical work. Entire safety precautions during installation shall be

taken as per relevant I. S., I.E. Tulles & CPWD specifications.

37. Adopter boxes, wherever used, shall be not less than 16 SWG M .S. sheet.

38. All repairs & patchwork, if any, shall be neatly carried out to match the original finish & to the

entire satisfaction of the Architect. Any damages to the building due to execution of work shall

have to be made good immediately by the contractor at his own cost.

39. The telephone conduits & fire alarm conduits shall be laid with G.I. fish wires kept pulled in for

pulling of at least 1000mm extra at ends.

40. Main junction box for telephone conduit system shall be mounted at a height so that the top of box

does not exceed 1.65 meters from the floor level & in a suitable location for working by the staff.

41. Sockets, base, boxes, conduits, cable glands, ducts & all other materials not included elsewhere but

required for the work shall be provided by the contractor.

42. The contractor shall obtain & pay for all permits, licenses & certificates for approval required by

all relevant authorities & organizations. All work of the contractor shall confirm to the requirements

of local codes.

43. The work shall be carried out as per regulations & in best workmanship like manner by licensed

persons. The means of licensed persons working in the installation shall be furnished to the

Architect prior to the commencement of the work.

44. It will be the contractor’s responsibility to get the electrical installation works inspected by the local

statutory Authorities. Fire officer and such other officials. Extra payments / claims are allowable

45. Sub - Distribution boards shall be equipped with miniature circuit breaker. Miniature circuit

breakers shall have adequately sized terminals for the outgoing leads. Distribution boards shall

have adequately sized terminals for the outgoing leads. Distribution boards shall have adequately

rated chase & neutral bus bars of high conductivity electrolytic Aluminum with Adequately sized

terminals or clamps for the incoming conductor.

46. It is brought to the attention of the conductor that: -




a) All electrical portable tools should be either 240 volts double insulated or 50 volts via

Transformer.

b) The contractor has to supply all necessary ladders / steps which must be in good safe condition.

c) Entire safety precautions during installations shall be taken as per relevant I.S. I.E. Rules &

C.P.W.D. specifications.

47. All electrical works shall be carried out along with the progress of Interior works. Any debris due

to electrical works shall be removed & the Contractor shall clear the site as soon as the work is

completed on his cost.

48. Non flammable insulating barriers shall be provided between poles & phases & all live protected

with non-flammable insulating shields to prevent accidental contact while replacing or operating

the miniature circuit breakers.

49. The contractor is supposed to get the samples approved from the Architect, whose decision shall

be binding on the contractor. The condition is also applicable for my material not mentioned in the

specifications or schedule of work. No deviations are allowed in these even during /after

TENDER/QUOTATION.

51. Electrical Contractors

(a) The Firm must have minimum 5 years’ experience as on 31-12-2020 in executing electrical work

of official premises of commercial building.

(b) The average financial turnover of Rs.20 Lakh p.a. during last 3 years ended on 31-03-2020 shall

be at least.

(c) The Firm must have experience of having successfully completed projects of electrical work of

official premises of commercial / institutional / residential buildings costing as mentioned

hereunder during last 3 years

- 3 jobs of Rs.10 Lakh each or

- 2 jobs of Rs.12.5 Lakh each or

- 1 job of Rs.20 Lakh.

(d) The Firm must have worked for Government/ Public Sector Undertakings / Banks/ and shall not

have any discouraging/ adverse reports against their past performance.

(e) The intending firm should submit documentary evidence for the turnover for last 3 years and

experience claimed, failing which the relevant information will not be considered.

III. ARTICLES OF AGREEMENT

ARTICLES OF AGREEMENT made the ______________________________day of _____________________________ between________________________________________________________________________________________________herein called "The Employer") of the One Part

Jabalpur – 482001.

And WHEREAS the said drawings, tender conditions and the specifications have been signed by on bel1alf of the parties hereto.

And WHEREAS the contractor has agreed to execute upon and subject to the conditions set forth herein and to conditions set forth in the Special Conditions and in the Schedule of Specifications and Conditions of Contract all of which are collectively hereinafter referred to as "the said conditions" the works shown upon the said Drawings (and further detailed drawings) and/or described in the said General and Detailed Specifications on Item Rate Basis for the Civil work, as shown In the enclosed plans and further detailed working drawings.

NOW IT IS HEREBY AGREED AS FOLLOWS:

1. In consideration of the said contract amount to be paid at the items and in the manner set forth in the said conditions, the contractor shall upon and subject




to the said conditions execute and complete the work shown upon the said Drawings and described in the said specifications.

2. The Employer shall pay the contractor the said contract amount or such other sum as shall become payable, at the times and in the manner specified in the said conditions as per the bill of quantities. .

3. The term "The Architect" in the said conditions shall mean the said Kushi & Associates ( Architects & Interior Designers) Jabalpur (M.P.) or in the event of their ceasing to be the Architect for the purpose of this Contract for whatever reason, such other person or persons as shall be nominated for that purpose by the employer, not being a person to whom the contractor sha1l object for reasons considered to be sufficient by the employer, provided always that no person or persons subsequently appointed to be Architect under. this contract shall be entitled to disregard to over-rule and previous decisions or approval or directions given or expressed in writing by the Architect for the time being.

4. The said Conditions and Appendix thereto shall be read and construed as forming part of this Agreement and the parties hereto shall respectively abide by, submit themselves to the said Conditions and perform the agreement on their part respectively in the said conditions contained.

5. The term "Consultant" refers to M/s Kushi & Associates (Architect & Interior Designer), Jabalpur (M.P.) or in the event of their ceasing to be e Consultants for this project, such other person or persons as may be appointed by the Architect with the approval of the Employer."

6. The Plans, Agreement and documents mentioned herein shall form the basis of this contract.

7. The Contract is based on Item Rate Basis.

8. The Contractor shall afford every reasonable facility for carrying out of all works relating Face lifting & interior works, and shall make good any damages done to walls, floors, etc. after the completion of works such as electrical, telephone, air conditioning and other ancillary works.




9. The Employer reserves to itself the right of altering Drawings and nature of the work by adding-to or omitting any item of work or having portions of the same" carried out through other agencies without prejudice on this contract

10. Time shall be considered as the essence of this contract and the contractor hereby agrees to commence the work soon after the site is handed over to him or from 15th day after the date of issue of formal works order as provided for in the said Conditions whichever is later and to complete the entire work within 15 days subject never the less to the provisions for extension of time.

11. All payments by the, Employer under this contract will be made only at Jabalpur.

12. All disputes arising out of or in any way connected with this Agreement shall be deemed to have arisen at Khandwa and only courts in Khandwa shall have jurisdiction to determine the same.

13. That the several parts of this contract have been read by the Contractor and fully understood by the contractor.

GENERAL INSTRUCTIONS OF CONTRACT AND SPECIAL CONDITIONS




GENERAL INSTRUCTIONS TO CONTRACTORS AND SPECIAL

CONDITIONS Sealed tenders in duplicate should be submitted to the employer.

1. Tender shall remain open to acceptance by the employer for a period of 4 (four) months: from the date of opening of the tender which period may be extended by mutual agreement and the tenderer shall not cancel or withdraw the tender during this period.

2. The tenderer must use only the forms issued by the Architect to fill in the rates.

3. a) The tender form must be filled in English and all entries must be made by hand and written in ink. If any of the documents is missing or unsigned the tender may be considered invalid by the Employer in its discretion.

b) Rates should be quoted both in figures and words in columns specified, all erasures and alterations made while filling the tender must be attested by initials of the tenderer, overwriting of figures in not permitted; failure to comply with either of these conditions will render the tender void at the Employer's option. No advice of any change in rate or conditions after the opening of the tender will be entertained. Tender amount will be worked out on the basis of Rates quoted in words in Tender marked original. Rates quoted in Tender marked "Original" shall only be taken as firm and shall have precedent overrates quoted in figures in "Duplicate" copy of a tender, in case of discrepancy.

c) Each of the tender documents should be signed by the persons or persons submitting the tender in token of his their having acquainted himself themselves with the General Conditions of Contract;. Specifications, special Conditions, etc., as laid down. Any tender with any of the documents not so signed will be rejected.

4. The Employer does not bind itself accept the lowest or any tender and reserves to itself the right to accept or reject any or all the tenders, either in whole or in part without assigning any reason for doing so.

5. Intending tenders shall pay as Earnest Money by a separate Demand Draft in favor of Bank of India, Zonal Office, Khandwa , as mentioned in the Notice Inviting Tender. A tender without Earnest Money will not be considered. The




E.M will be returned to the tenderer if his tender is not accepted, but without any interest.

6. The successful tenderer shall within a week of the receipt of the advice of the acceptance of tender shall deposit as further security a sum of Rs. 8000/- which along with the Earnest Money of Rs. 8000/- paid by him when he submitted his tender shall be held by the Employer as Initial Security for the execution and due fulfillment of the contract. No interest shall be paid on the said deposit.

7. On receipt of intimation from the Architect of the acceptance of his/their tender successful tenderer shall be bound to implement the contract and within week thereof the successful tenderer shall be sign an agreement in accordance with the draft agreement and the schedule of conditions but the written acceptance by the employer architect of a tender will constitute binding contract between the employer and the person so tendering. Whether. such formal agreement is signed or not subsequently executed.

8. In addition to the Earnest Money Deposit under Clause 6 & and as further security for the due fulfillment of the contact by the Contractor 8% (eight percent) of the value of the work done will be deducted by the Employer from each payment to be made to the contractor. On the Architect's certificate of the virtual completion of the work, the contract would be paid 50% of the retention money and 50% of the security deposit and the remaining will be released by the Employer after the rectification of the defective work pointed out during the Defects Liability Period. The amount retained by the Employer shall not bear my interest.

9. All compensation or other sums of money payable by the contractor to the Employer under the terms of this contract may be deducted from his earnest money and the security deposit, if the amount so permits and the contractor shall unless such deposit has become otherwise payable, within 10 (Ten) days after such deduction make good in case the amount so deducted.

10. The contractor shall not assign the contract. He shall not sublet any portion of the contract except with the written consent of the employer. In case of breach of these conditions, the employer may cause the Architect to serve a notice in writing on the contract rescinding the contract where upon the security deposit shall stand forfeited to the employer, without prejudice to his oilier remedies against the contractor.




11. The contractor shall carry out all the work strictly in accordance with Drawings, details and instructions of the Architect and Structural constants. If in the opinion of the Architect or the Structural Consultant changes have to be made in the design and with the prior approval in writing of the employer they desire, the Contractor to carry out the same, the contractor shall carry out the same without any extra charge. The Architects decision in such cases shall be final and shall not be open to arbitration.

12. A Schedule of probable quantities in respects of each work and the specifications accompany these special conditions. The schedule of Probable quantities is liable to alteration by omission, deductions or additions at the discretion of the Architect Each tender should contain not only the rates but also the value of each item of work entered in a separate column and all the items should be totaled in order to show the aggregate value of the entire tender.

13. The tenderer must obtain for himself on his own responsibility and at his own expenses all the information which may be necessary for the purpose of making a tender and for entering into a contract and must examines the Drawings and must inspect the site of the work and acquired himself with a local conditions, means of access to the works, nature on the work and all matters appertaining thereto.

14. Ordinarily it shall be the personal and sole responsibility of the contractor to procure all materials including those for which prices and/or distribution are controlled by government. The Employer may wherever possible use its good offices to assist the contractor to obtain permits and/or supply order of controlled materials from time to time without involving upon itself any financial responsibility without shifting the onus of procurement of materials which shall always remain upon the contractor, When delay in procurement of these controlled materials has occurred the contractor may request the Architects for corresponding extension of time limit for completion of the work. The extension shall ordinarily be granted by the Architects, if they are satisfied that the delay had occurred or valid and genuine reasons.

15. The contractor will not be eligible for any profit or overheads on account of official increase in' the price of material, not consequential increases in other items of work involving the use of these materials. Escalation in prices of material & labour will be limited to actual contact period and also for extended period, if any, granted for valid and genuine reasons by the Architects, and as per the price variation' Adjustment Clause.




16. It will be the responsibility of the contractor to prove to the satisfaction of the Architects and the employer the differences in prices referred to and the correct amount paid by him.

17. The employer may consider 0% of the cost of material so collected and actually brought at site where the works are to be carried out, as advance without interest at the tendered rates specified by Architects and after verification of the Certificates and recommendation from the Architects. The Employer shall have a lien on the materials so purchased by the contractor only for the said works and the same or any part or parcel thereof shall not be removed from the site without prior written permission of the Employer.

18. The rates quoted in the tender shall include all charges for clearing of site before commencement as well as after completion, water, electric, consumption, double scaffolding, centering, boxing, staging, planking, timbering an pumping out water including bailing fencing, holding, plant and equipment, storage sheds. Watching and lighting, by night as well as day including Sundays and Holidays, temporary plumbing and electric supply, protection of the public and safety of adjacent roads, streets, cellars, vaults, ovens, pavements, wall houses, building and all other erections, matters or things; and the contractor shall take down and remove any or all such centering, scaffolding, staging, planking, timbering, strutting; shoring; , etc., as occasion shall require or when .ordered so to do, and fully reinstate and make good all matters and things disturbed during the' execution of work and to the satisfaction of the Architects.

19. The Contractor should note that unless otherwise stated the tender is strictly on item rate basis and his attention is drawn' to the fact that rates for each and every items should be correct, workable and self-supporting. The quantities in the Schedule of Quantities approximately indicate the total extent or work but may vary to any extent and may even be omitted thus altering the aggregate value of the Contract. No claim shall be entertained on this account.

20. Time allowed for carrying out the work as mentioned in the Memorandum shall be strictly observed by the Contractor and it shall be reckoned from the 7th day after written order to commence the work is issued or handing-over site, whichever is earlier. The work shall, throughout the stipulated period of the Contract, be preceded with all due diligence and if the Contractor fails to complete the work within the specified period he shall be liable to pay compensation as defined in Clause 27 (page No.29) of the Conditions of Contract. The tenderer shall before commencing work prepare a detailed work




programmed, which shall be approved by the Architect and Employer.

21. Special attention of the tenderer is drawn to the alternative items in the Schedule or Probable Quantities; the rates and amoW1ts for these alternative items shall be duly filled in and the tenderer is informed that his tender will not be considered unless the alternative rates are given for these items. The Employer reserves to itself the right to adopt any of the alternative items, either in scrutinizing and deciding upon the tender or later when the works are being executed.

22. The Contractor shall not be entitled to any compensation for any loss suffered by him on account of delays in commencing or executing the work, whatever-the cause of delays may be, including delays arising out of modifications to the work entrusted to him or in any subcontract connected therewith or delays in awarding contracts for other trades of the project or in commencement or completion of such work or in procuring Government controlled or other building materials or in obtaining water and power connections for construction purposes of for any other reason whatsoever and the Employer shall not be liable for any claim in respect thereof. The Employer does not accept liability for sum besides the tender amount, subject to such variations as are provided for herein.

23. The successful tenderer is bound to carry out any items of work necessary for the completion of the job even though such items are not included in the quantities and rates, Schedule of Instructions in respect of such additional items and their quantities will be issued in writing by the Architect with the prior consent in writing of the Employer

24. The successful tenderer must co-operate with the other contractors appointed by the employer so that the work shall proceed smoothly with the least possible delay and to the satisfaction the Architects.

25. The Contractor must bear in mind that all the work shall be carried out strictly in accordance with the specifications made by the Architects and also in compliance of the requirements of the Local Public Authorities and to the requirements of the Employer and no deviation on any account it will be permitted.

26. The Successful tenderer should make his own arrangements to obtain all materials required for the work including cement and steel.




27. The Contractor/tenderer shall submit along with his tender a list mentioning the names of manufactures of specialized items, which he proposes to use in the work if his tender is accepted.

28. The rate quoted by the contractor shall include expenditure for provide all the water requirement for the work and the contractor shall make his own arrangements for the supply of good quality water, including obtaining permission by Local authority for his labour as well as for construction purpose, and all charges for water shall become by him. If Municipal water is not available and should it become necessary for the contractor to bore wells for obtaining water for construction purpose or to bring water from outside by tankers. The Employer shall not be liable to pay any charges in connection therewith.

29. The rate quoted in the tender shall also include electric consumption charges for power. If no power is available at the site. The contractor shall have to make his own arrangements to obtain power connections and maintain at his own expense an efficient service of electric light and power and shall pay for the electricity consumed. The Employer, as well as the Architect, shall give all possible assistance to the contractor to obtain the requisite permission from the various Authorities, but the responsibility for obtaining the same shall be that of the Contractor.

30. For water and power the contractors for subsidiary trades appointed by the Employer shall be allowed connection from the temporary water and power supply arranged by the General Contractor for civil works and for the facility the contractors will pay to the General contractor the charges to be decided by the Architect. The Contractor shall install a sub-meter for measuring electric energy at their own cost and maintain the wiring installation in good condition and order and pay the consumption charges directly to the General contractor.

31. If no facility is available at the site of work and if available and found inadequate, it shall be the responsibility the contractor to make his own arrangements for obtaining water and power at his cost.

32. The Contractor shall strictly comply; will the provisions of Safety Code annexed hereto.

33. No claims for escalation in cost or rates will be entertained for project work or a phase for which the quotations arc separately invited having contracted period of six months or less.




34. Rates quoted by the contractor shall be firm and fix and no variation will be allowed in individual rates on any account. The rates shall include all taxes, duties, levies, imposed by the Central Government or State Government or Local Administration and as applicable or become applicable during the completion period. Only variation as per "Price Variation Adjustment" clause shall be permitted.

35. During inclement weather the contractor shall suspend work if found necessary for such time as the Architect may direct and shall protect from injury all work then in" course of erection.

36. The contractor shall strictly comply with provisions of the contract labour acts or any other act pertaining to the contract labor that may be in force or that may be introduced during the currency of the contract. Compliance of such acts own subsequently will be at the contractor’s cost.

37. Should the contractor require to work at night or on holidays in order to maintain the time schedule, he shall take prior approval from the Architect. He should also provide and maintain at this own cost sufficient lights as may be necessary to enable the work to proceed satisfactorily during the night.

38. The contractor shall keep an up to date record of all changes or deviations made from the Architects drawings Architects / Consultants, instructions and keep the Architect posted of such amendment within one week of their execution, On completion of the work, the contractor shall hand over to the Architect a) his notes and records and any other information on the changes or-deviations made from time to time to enable the Architect to compile and prepare the final-as-built drawings of the works as executed by the contractor. The contractor shall extend his assistance and co-operation to the Architect I Consultants for compilation and preparation of the as-built drawings.

39. The contractor shall within a month after the virtual completion of the work, clear from the site his labour material and machinery and hand over the premises to the Owner in neat and clean condition, If he fails to do so, within the said period the Owner under the advice of the Architect shall have the right w get the same done through other agencies and recover the cost from the Contractor.




40. The tenderer should confirm at the time of tendering the completion period and work programmed as per the bar chart.

Non-completion of the work in specified time, the contractor shall be liable to pay the Owner Agreed Liquidated Damages at the rate of 0.5% (Half Percent) per week of the contract amount till completion of the work up to a maximum of 5% (Five Percent) of ' the contract amount.

41. Contractor shall submit to the Consultant for this approval sample of all the materials specified and to be used in the said work. Contractor shall exhibit the approved samples in the site Office at all the time during, currency of the contract for the use of Consultant/Site Engineer at the time of work inspection. Similarly, the contractor shall prepare samples of work for the approval of the Consultant and Site Engineer before proceeding with execution of full quantities. No work shall, be carried out without the approval of-samples by the Consultant/Site Engineer. Work carried - out, prior to approval, if instructed, shall be rectified, at no extra cost to the Owner.

42. Contractor shall maintain the following registers at site – (i) Separate registers for receipts and consumption of all the materials

brought at site. (ii) Work force including supervising staff, skilled and unskilled labors. (iii) Hindrance register (iv) Site Instructions triplicate Book. (v) Weekly progress reports. (vi) Site Survey record and levels Measurement books etc.

43. Contractor shall study the drawings and the design for its sufficiency considering all the regulations of local authorities and Supply Company and code of standard as applicable at the time of tendering, and shall bring to the notice addition or deletion if any, in writing along with the quotation.

44. The contractor shall deploy at site required number of construction equipment and machinery and other tools, shuttering materials etc. immediately on commencing the work as specified in the tender specifications.




45. The Contractor shall provide at site (a) Testing equipment and instruments like dumpy level, the

odolight, measure-tapes, concrete cube testing equipment, slump cone, set of sieves etc.

(b) All the stationery like measurement books, record books, register books, writing papers, pencils, carbon paper, daily record and progress reports of work, numbered triplicate site order book etc.

(c) Site Office equipment like writing "table to Site Engineer and Architect's Project Engineer, lockable" cupboards and shelves, chairs, stools, electrical lighting, arrangements and fans, coolers, drinking water discussion tables etc.

(d) Toilet facility

46. All the records, test reports, drawings; contract agreements; Site order book. work force including supervisory staff, skilled and unskilled labors and their' payment registers, correspondence regarding the work shall be maintained at site and shall be available for reference / inspection of Employer/Architect.

47. Bar Chart shall be displayed in the office, marked along the progress achieved.

48. The Contractor shall provide adequate no. of notice board on proper supports 10’x6’ in a position approved by the Architects/ Consultants / Employer, with painting and lettering stating - Name of Work, Name of Employer, Name of Architects etc. for which no payment will be made.

49. Contractors to please note that in case after submission/acceptance of the tender it, is found that the information submitted by them in the Bio-data sheets is incorrect and not true, the Employer reserves the right to take appropriate action deems fit at that time.




V. THE CONDITIONS HERE IN BEFORE REFERRED TO

INTERPRETATION CLAUSE In construing these conditions, the specification,

schedule of quantities and contract Agreement, the

(c) “SITE” Shall mean the site of the contract works including

any building and erection thereon and any other

Employer for the contractors use.

(d) “THIS CONTRACT” Shall mean the Articles of Agreement, the Special

condition the conditions the Appendix, the schedule

of quantities and specifications attached hereto and

duly signed.

(e) “NOTICE IN WRITING” Or written notice shall mean a notice in written,

types or printed character sent (Unless delivered

personally or otherwise proved to have been

received by registered post to the last known

private or business address or registered office of

the addressee and shall he deemed to have been

received when in the ordinary course of post, jt

would have been delivered.

(f) Act of Insolvency Shall mean any Act of insolvency as defined by

President Town insolvency Act or the Provincial

Insolvency Act amending such original.

(g) “Net Prices” If in arriving at the contract amount the contractor

shall have added to or deducted form the total of

the items in the tender all slim. Lither as a

percentage or other wise, then the net price of any

item in the tender shall be the sum arrived at by

adding to or deducting from the actual figure

appearing in the tender as the price of that item a

similar percentage of proportionate sum provided

always determining the percentage or proportion of

the sum so added or deducted by the contractor the

total amount of any prime cost items and




provisional sums of money shall be deducted from

the total amount of tender. The expression "net

rates" or "net prices" when used with reference to

the contract or accounts shall be held to mean rates

or prices so arrived at.

(h) “The Works” Shall mean ELECTRICAL WORKS of New Zonal Office

at Shiv Nagar, JABALPUR (M.P.) Words

incorporation persons include firms and

corporations. Words importing the singular only

also include the plural and vice-versa where the

context requires.

Scope of Contract 2. The Contractor shall carry out and complete the

said work in every respect in accordance with this

contract and with the directions" of and to the

satisfaction of the Architect. The Architect may in

his absolute discretion and from time to time issue

further drawings and I or written instructions,

details, directions, and explanations which are

hereafter collectively'. referred to as "'Architect

Instructions" in regard to ;

(a) I he variation or modification of the design, quality or quantity of works or the addition or omission or substitution of any work.

(b) Any discrepancy in the Drawings or between the schedule of quantities and and/or drawings and/or specifications"

(c) The removal from the site of any materials brought thereon by the contractor and the substitution of any other material therefore.

(d) The removal and / or re-execution of any- works executed by, the contractor. (e) The dismissal from the works of any persons employed thereupon (f) The opening up for inspection of any work covered up. (g) The amending and making good of any defects under clause 19 hereof.

The contractor shall forthwith comply with and duly execute any work comprised in such Architect’s instruction provide always that verbal instructions, direction and explanations given to the contractor or his representative upon the works by the Architect shall if involving a variation




VARIATIONS TO BE

APPROVED BY EMPLOYER

Notwithstanding anything herein contained, the

contractor or his representative shall not carry

out any extra items without the prior

concurrence in writing of the Employer, any

instructions verbal or in writing which will result

in the Employer having to pay the contractor an

additional sum, All instructions issued to the

contractor should forthwith be brought to the

notice of the Employer. The contractor shall

submit through the Architect a statement of

variations giving quantity and rates duly

supported by Analysis of rates, vouchers, etc., the

rates on scrutiny and final acceptance by the

Employer shall I form a supplementary to the

original tender. The Employer shall not be liable

for payment of such variations prior to granting

sanction on this account.

DRAWING AND SCHEDULE

OF QUANTITIES AND

AGREEMENT

3. The contract shall be executed in triplicate

and Architect, the Employer and the contractor

shall be entitled to one executed copy each for his

use. The Contractor on the-signing hereof shall be

furnished by the Architect free of cost one copy

of the (ill said drawings. and of the specifications

and one copy of the al said drawings and of the

specifications and, one copy of all further drawing

issued during the progress of works. Any further

copies of such drawings required by contractors

shall be paid for by him. The contractor shall keep

one copy of all drawing on the works and the

Architect or his representative shall at all

reasonable times have access to the same. Before

the issue of the final certificate. to the contractor

he shall forthwith return to the Architect all

drawings and specifications.




CONTRACTOR TO PROVIDE

EVERYTHING NECESSARY AT

HIS COST

4. The Contractor shall provide at his cost

everything necessary for the proper execution of

the works according to COST the intent and

meaning of the drawings schedule of quantities -

and specifications taken together whether the

same maybe or may not be particularly shown or

described therein provided that the same can

reasonably be inferred there from, and if the

contractor finds any discrepancy in the drawings

or between the drawings, schedule of quantities

and specifications, he shall immediately and in

writing refer same to the Architect who shall

decide which is to be followed.

AUTHORITIES NOTICES AND

PATENTS

5. The Contractor shall confirm to the provisions of any act of the Legislature relation to the work, and to the regulations and bye-laws of any authority and of any water electric supply and other companies and/or authorities with whose system the structure is proposed to be connected and shall before making any variations form the drawings or specifications that may be necessitated by so conforming, give to the Architect written notice, specifying the variation proposed to be made and the reason for making it and apply for instructions thereon, In case the contractor shall not within ten days receive such instructions he shall proceed with the work conforming to the provisions regulations, or bye-laws in question. and any variation so necessitated shall be dealt with under clause 13 hereof.

The contractor shall bring to the attention to the Architect all notices require by the said Acts, regulations or bye-law to be ' given to any authority and pay to such authority or to any public office all fees that may be




properly chargeable in respect of the works, and lodge the receipts with the Architect.

The contractor shall indemnify the Employer

against all claims in respect. of patent rights and

shall defend all actions arising, from such claims,

and shall himself pay all royalties, ,license fees,

damages, cost and charges of all and every sort

that may be legally incurred in respect thereof.

SETTING OUT OF WORKS 6. The Contractor shall set out the works and shall be responsible for the true and perfect setting out of the same and for the correctness of the positions, levels; dimensions; and alignment of all parts thereof, If at anytime any error in this respect shall ' appear during the progress of the works or within a period of one year from the completion of the works the contractor shall so required, at his own expense rectify such error to the satisfaction of the Architect.

MATERIAL &

WORKMANSHIP TO

CONFORM SPECIFICATIONS

7. All materials and workmanship shall so far as procurable be of the respective kinds described in the schedule of quantities and I or specifications and in accordance with the Architect's' instructions, and the contractor, shall upon the request of the Architect furnish him with all invoices, accounts, receipts and other vouchers to prove that 'the' materials comply therewith', The Contractor shall at his own cost arrange for and I or carry out any test of any materials which the Architects may require.

CONTRACTORS

SUPERINTENDENCE AND

8. The Contractor shall give all necessary personal superintendence during the execution of the works, and as long thereafter as the




REPRESENTATIVE ON THE

WORKS

Architect may consider necessary until the expiration of the “Defects Liability Period” stated in the Appendix hereto. The contractor shall also during the whole time the works are in progress employ competent representative who shall be constantly in attendance at the works while the men are at work. Any direction, explanations, instructions, or notices given by the Architect to such representative shall be held to be given to the contractor.

DISMISAL OF WORKMAN 9. The Contractor shall on the request of the Architect immediately dismiss form the works any person employed there on by him who may in the opinion of the Architect, be incompetent or misconduct’s himself and such persons shall not be employed on the works without the permission of the Architect.

ACCESS TO WORKS 10. The Employer, the Architect and their respective representative shall at all reasonable times be given free access to the work and I or to the workshops factories or other places where material are lying or from which they are being obtained and the contractor shall give every facility to the Employer, the Architect and their representatives necessary for inspections. and examination and test of the materials and. workmanship. No person not authorized by the Employer or the Architect except the representative of public authorities shall be allowed on the works at any time.

SITE ENGINEER 11. The term Site Engineer shall mean the person appointed and paid by the Employer an acting under the orders of the Architect to inspect




the works in the absence of the Architect; the contractor shall afford the Site Engineer every facility and assistance for inspecting the works and materials and for checking and measuring time and materials. Neither the Site Engineer nor any representative of the Architect shall have power to set out works or to revoke alter, enlarge or relax and any requirements of the contract, or to sanction any day work, additions, alterations, deviations, or omissions, or any extra work whatever except in so far as such authority may be specially concurred by a written order of the Architect with the prior concurrence in writing of the Employer.

The Site Engineer or any representative of the Architect, or the Employer shall have power to give notice to the contractor or to his representative of non-approval of any work or materials and such work shall, be suspended or the use of such materials shall be discontinued until the decision of the Architect is obtained,. The work will from time to time be examined by the Architect, the Site Engineer or the Architect's representative, but such examination shall not in any way exonerate the contractor form the obligation to remedy any defects which may be found to exist at any stage of the works or after the same is completed. Subject to the limitation of this clause the Contractor shall the instructions only form the Architects.

ASSIGNMENT AND

SUBLETTING

12. The whole of the works included in the contract shall be executed by the contractor and the contractor shall not directly or indirectly transfer, assign or underlet the contract or any part thereof or any interest therein without the prior written consent of the Employer, and no undertaking shall relieve the contractor from the




full and entire responsibility of the contract or from active superintendence of the works during their progress.

13. No alterations, omission or variation shall vitiate this contract but in case of the Architect thinks proper at any time during the progress of the works to make' any alterations in, or additions to, or omissions from. the works or an: alteration in the kind or quality of the materials to be used therein and shall give notice there-of in writing under his hand to contractor, the contractor shall alter, add to, or omit from as the case may be, in accordance with such notice but the contractor shall not do any work extra to or make any alteration or additions to or omissions from the works or any deviation from any of the provisions of the contract, stipulation, specification or contract drawings without the previous consent in writing of the Architect and the value of such extra, alterations, additions or omissions shall in all cases be determine by the Architect with the prior approval in writing of the Employer in accordance with the provision of Clause 17 hereof and the same shall be added to, or deducted from, the contract, amount the case may be, accordingly. .

SCHEDULE OF QUANTITIES

14. The Schedule of quantities, unless otherwise stated shall be deemed to have been prepared in accordance with the standard method of measurements.

Any error in description or is quantity or in omission of items from the schedule of quantities shall not vitiate, this contract but shall be rectified and the value thereof, as ascertained under clause 17 hereof shall be added to, or deducted,




from the contract amount (as the case may be) provided that no rectification of errors, if any, shall be allowed in the contractor's schedule of Rates.

SUFFICIENCY OF SCHEDULE

OF QUANTITIES

15. The contractor shall be deemed to have satisfied himself before tendering as to the correctness and sufficiency of his tender for the works and of the prices stated in the schedule of quantities and/or the Schedule of Rates and prices which rate and prices shall cover all his obligations under the contract, and all matters and things necessary for the proper completion of the works.

MEASUREMENT OF WORKS 16. (i) Contractor shall measure the work jointly with Site Engineer and prepare measurement sheets in quadruplicate. Three copes of measurement sheets shall be submitted along with running account bills. Bills received without proper measurements of work shall not be considered for certification & payment.

(ii) Purchase vouchers of materials used in the work or brought on site for the sue in the work shall be submitted along with the R.A. Bill regardless of the claims made on such material.

(iii) Claims on materials brought on site shall be accepted only for die value of 75% of the basic material cost taken in rate working; Such claims shall be accompanied by purchase vouchers. The materials shall be stored on site in contractor's safe custody to the satisfaction of Site Engineer and shall be insured as stated in the tender document.




(iv) Bills for the work shall be submitted in the proforma of the bill attached.

(v) Should the contractor neglect to measure the work, then the measurement taken by the Architect or a person approved by him shall be taken to be - correct measurements of the, works, Such measurements shall be taken in accordance with the mode of measurements detailed in the specifications.

(vi) All authorised extra works, omissions and all variations made with the Architect's knowledge, or subsequently sanctioned by him in writing (with the prior approval of the Employer in writing) shall be included in such measurements.

PRICES FOR 17. The contractor may, when authorised, and shall, when directed, in writing by the Architects with the approval of the Employer add to, omit form or vary the works shown upon the drawings, or described in the Specifications or included in the Schedule of quantities, but the contractor shall make no addition, omission or variation without such authorization direction. A verbal authority or direction by the Architects shall if confirmed by them in writing within seven days, be deemed to have been given in writing.

No claim for an extra shall be allowed unless it shall have been execute under provisions of clause 5 hereof or by the authority of the Architects with Ire concurrence of the employer as herein mentioned. Any such extra is herein referred to as authorised extra and shall be made. in accordance with the following provisions:




(a) Rates for all items, wherever possible, should be derived out of the rates given in the priced scheduled of quantities.

(b) The net prices of the original tender shall determine the value of the items omitted provided if omissions vary the conditions under which any remaining items of works are carried out the prices for the same shall be valued under sub-clause hereof.

(c) Where the extra works are not of similar character and/or executed under similar conditions as aforesaid or where he omissions vary the conditions under which any remaining items of works are carried out or if the amount of any omissions or additions relative to the amount of the whole of the: contract works or to any part thereof shall be such that in the opinion of the Architect the net rate or price contained in the priced schedule of quantities order or for any items of the works involves loss or expense beyond that reasonably contemplated by the contractor or is by reason" of such omission or addition rendered unreasonable or in applicable the Architect shall fix such other rates or prices as in the circumstances he shall think reasonable and proper, with the prior approval in writing of the employer.

(d) Where extra work cannot be properly measured or valued the contractor shall be allowed day work prices as the net rates stated in the tender or the priced schedule of quantities or, if not so stated then in




accordance with the local day work rates and wages for the district provided that in either case voucher, specifying the dai1y time (and if required by the Architect, the workmen's) and materials employed be delivered for verification to the Architect or his representative at or before the end of the week following that 'in which the work has been executed.

(e) It is further clarified that no item of work other than specified in the tender document shall be executed without the prior written permission of the Architect Employer, the requirement of such work not specified in the tender, and submit the detailed rate analysis and total quantity and estimate of such work based on market prices of the material and labour and provision of profit and overheads at 15% only.

(f) Period of final Measurement the measurement and valuation in respect of the contract shall be completed within the "Period of final measurements" staled in the Appendix or if not staled then within six months of the completion of the Contract works as defined in clause 21 hereof.

UNFIXED MATERIALS WHEN

TAKEN INTO ACCOUNT TO

BE THE PROPERTY OF THE

EMPLOYER

18. Where in any certificate (of which the contractor has received payment) the Architect has included the value of any unfixed materials intended for and or placed on or adjacent to the works such materials shall become the property of the Employer and they shall not be removed except for use upon the works, without the written authority of the Architect. The Contractor shall be liable for any loss of , or damage to such




materials.

REMOVAL OF IMPROPER

WORK

19. The Architect shall during the progress of the work have power to order in writing from time to time the removal from the works within such reasonable time or times as may be specified in the order, of any materials which in the opinion of the Architect are not in accordance with the specification or the instructions' of the Architect, the substitution of proper materials and the removal and proper re-execution workmanship not in accordance with the drawings and specifications or instructions, and the contractor shall forthwith carry out such order at his own cost. In case of default on the part of the Contractor to carry out such order, the employer shall have the power to employ and pay other persons to carry out the same and all expenses consequent thereon. or incidental, thereto as certified by the Architect shall be borne by the Contractor, or may be deducted by the Employer from any moneys due or that may become due, to the Contractor.

DEFECTS AFTER VIRTUAL

COMPLETION

20. Any defect, shrinkage settlement or other faults which may appear within the Defects Liability Period stated in the Appendix hereto or, if none stated, then within twelve months after the virtual completion of the works, arising in the opinion of the Architect from materials or workmanship not in accordance with the contract, shall upon the directions in writing of the Architect, and within such reasonable time as shall be specified therein, be amended and made good by the contractor, at his own cost and in case of .default the Employer may employ and pay other persons to amend and make good such defects shrinkage, settlements or other faults, and all damages, loss and expenses consequent thereon or incidental thereto shall be made good and borne by the contractor such damage, loss




and expenses shall be recoverable from him by the employer or may be deducted by the Employer, upon the Architect's certificate in writing, from an)' money due or that may become due to contractor, or the Employer may in lieu of such amending and making good by the Contractor deduct form any moneys due to the contractor a sum, to be determined by the Architect equivalent to the cost of amending such work and in the event of the amount retained under clause 32 hereof being insufficient, recover the balance from the contractor, together with any expenses the Employer may have incurred in connection therewith. Should any defective work have been done or material supplied by any sub-contractor employed on the works who has been nominated or approved by the Architect as provided in clauses 12 and 22 her (1f, he contractor shall be liable to make good in the same manner as if such work or material had been done or supplied by the Contractor and been subject to the provisions of this clause and clause 2 hereof. The contractor shall remain liable under the provisions of this clause notwithstanding the signing of any certificate of the passing of any accounts, by the Architects.

CERTIFICACTION OF

VIRTUAL COMPLETION &

DEFECTS LIABILITY PERIOD

21. The works shall not be consider as complete until the Architect has certified in written that they have been virtually completed. The Defects Liability period shall commence form the date of such certificate.

NOMINATED SUB

CONTRACTORS

22. All specialists, Merchants Tradesmen and others executing any work of supplying and fixing any goods for which prime cost price or provisional sums are included in the Schedule of Quantities and or specifications who may be nominated or selected by the Architect are hereby declared to be subcontractors employed by the contractor and are herein referred to as




nominated sub-contractors.

No nominated sub-contractor shall be employed on or in

connection with the works against the contractor shall

make reasonable objection or (save where the Architect

and contractor shall otherwise agree) who will not enter

into a contract provided:

(a) That the nominated sub-contractor indemnifies the contractor against the same obligations in respect of the sub contract as the contractor is under in respect of this contract.

(b) That the nominated sub-contractor shall indemnify the contractor against claims in respect of any negligence by the sub-contractor, his servants or agents or any misuse by him or them of any scaffolding or other plant, the property of the contractor or under any workman’s Compensation Act in force.

(c) Payment shall be made to the nominated subcontractor within fourteen days of his receipt of Architect’s. Certificate provided that before any Certificate is issued the contractor shall upon request furnish to the Architect proof that all nominated sub-contractor's accounts included in previous certificates have been duly discharged, in default whereof the employer may pay the same upon a certificate of the Architect




and deduct the amount thereof from any sums due to the contractor. The exercise of this power shall not create privacy of contract as between Employer and sub-contractor.

OTHER PERSONS EMPLOYED

BY EMPLOYER

23. The Employer reserves the right with the concurrence I of the Architect to use premises and any portions of the site for the execution of any work not included in this contract which it may desire to have carried out by other persons, and the contractor shall allow all reasonable facilities for the execution of such work but shall not be required to provide any plant or material for the execution of such work except by special arrangement with the Employer. Such work shall be carried out in such manner as not to impede the progress to the works included in the contract and the contractor shall not be responsible for any damage or delay which may happen to or occasioned by such work.

INSURANCE IN RESPECT OF

DAMAGE TO PERSON AND

PROPERTY

24. The Contractor shall be responsible for all injury to persons, animals or things and for all structural and decorative damage which may arises form the operation or neglect of himself or of any nominated sub-contractor of any employee of either whether such injury or damage arises form carelessness accident or any other cause whatever in any connection with the carrying out of this contract. This clause shall be held to include inter-alia any damage to buildings, whether immediately adjacent or otherwise and any damage to roads, streets, footpaths, bridges or ways as will as all damage to roads, caused to the buildings and works forming the subject of this contract by frost; rain, wind or other inclemency of weather, theft & dacoits etc. The Contractor shall indemnify the Employer and held it harmless in respect of all and any expenses arising from any such injury or damage to persons or property as aforesaid and also in respect to any




claim made in respect of injury or damage under any Acts in respect of any awards or compensation or damages consequent upon such claim.

The Contractor shall reinstate all damage of every sort mentioned in this clause, so as to deliver up the whole of the contract works complete and perfect in every respect and so as to make good or other wise satisfy claims for damage to the property of third parties.

The contractor shall indemnify the Employer against all claims which may be made against the Employer by any member of the public or other third party in respect of anything which may arise in respect of the works or in consequence thereof and shall at his own expenses arrange to effect and maintain, until the virtual completion of the contract, with an approved office a policy of Insurance in the joint names of the employer and the contractor against such risks and deposit such policy or policies with the Architect form time to time during the currency of this contract. The contractor shall also similarly indemnify the Employer against all' claims, which may be made upon the Employer whether under the workmen s compensation. Act or any other statute in force during the currency of this contract or at common law in respect of any employee of the contractor or sub-contractor and shall at his own expense effect and maintain, until the virtual completion of the contract, with an approved office a policy of insurance in the joint names of the employer and the contractor against such risks and deposit such policy or policies with the Architect from time to time during the currency of the contract.




The Contractor shall be responsible for any liability which may be excluded from the insurance policies above referred to any also for all other damage to any person, animal or property arising out of and incidental to the negligence of defective carrying out of this contract. He shall also indemnify the Employer in respect of proceedings and also in respect of any award of compensation or damages arising there from.

The Employer shall with the concurrence of Architect, be entitled to deduct the amount of any damage, compensation, costs, charge sand expenses arising or occurring from or in respects of, any such claims or damage from any or all sums due or to become due to the contractor, without prejudice to the Employer's other rights in respect thereof.

FIRE INSURANCE 25. (a) Contractor shall, within 14 days from the date of commencement of the works, insured until the virtual completion of the works, against loss or damage by fire with an office to be approved by the Architect, in the joint names on the Employer and the contractor (the name of the former being place first in the policy), for the full amount of the contract and for any further sum if called upon to do so by the Architect, the premium of such further sum being allowed to the contractor as an authorized extra. Such policy shall cover the: property of the Employer only and, the Architects and surveyors fees for assessing the claim and in connection with his services generally reinstatement and shall not cover any property of the contractor or of any subcontractor or employee. The Contractor shall deposit the policy and receipts for the premiums




with the Architect within twenty one days from the commencement of the works, unless otherwise instructed by the Architect. In default of the contractor insuring as provided above, the Employer, or the Architect on his behalf: may so insure the works and may deduct the premiums paid from moneys due or which may became due to the contractor without prejudice to the other rights of the employer in respect of such default. In case it becomes necessary to suspend the works, the contractor shall, as soon as the claim under the policy is settled or the work reinstated by the policy is settled or the work reinstated by the insurance office should they elect to do so, proceed with all due diligence with the completion of the works in the same manner as though the fire had not occurred and in all respects under the same conditions of contract. The contractor, in case of rebuilding or reinstatement after fire, shall be entitled to such extension of time for completion as the Architect deems fit.

(b) The amount so due as aforesaid shall be the total value of the works duly exceed and of the contract materials and goods delivered upon the site for use in the works upto and including a date not more than seven days prior to the date of the said certificate less the amount to be retained by the Employer (as hereinafter provided) and less any installments previously paid under this clause provided that such certificate shall only include the value of the said materials and goods as and form time to time as they are reasonably, properly and not prematurely brought upon the site and then only if properly stored and/or protected against weather.




DATE OF COMMENCEMENT

COMPLETION

26. The Contractor shall be allowed admittance site on the "Date of Commencement" stated in the Appendix hereto, or such later date as may be specified by the Architect and he shall there on forthwith begin the works and shall regularly proceed with and complete the same (except such painting or other decorative work as the Architect may desire to delay) on or before the Date of Completion stated in the Appendix, Subject nevertheless to the provisions for extension of time hereinafter contained.

DAMAGES FOR NON

COMPLETION

27. If the contractor fails to complete the works by the date stated in Appendix or within any extended time under clause 28 hereof and the Architects certifies in writing that in his opinion the same ought reasonably to have been completed the contractor shall pay the employer the Sum named in, the Appendix as “ Liquidated Damages" for the period during which the said work shall so remain incomplete and the employer may deduct such damage from any moneys due to the contractor.

DELAY AND EXTENSION OF

TIME

28. If in the opinion of the Architect the works be delayed (a) by force measure of (b) by reason of any exceptionally inclement weather or (c) by reason of proceedings taken or threatened by or dispute with adjoining or neighboring owners or public authorities arising otherwise than through the contractor's own default or (d) by the works or delays of other contractors or tradesmen engaged or nominated by the Employer - or the Architect and not referred to in the schedule of quantities and or specifications or (e) by reason of Architect's instructions as per clause 2 hereof or (f) by reason of civil commotion, local combination of workmen or strike or lockout affection any of the building trades or (g) in consequence of the contractor not having received in due time necessary instructions from




the Architect for which he shall have specifically applied in writing or (h) from other causes which the Architect may certify as beyond the control of contractor of (i) in the event, .the value of the work exceed the value + of the priced schedule of quantities owing to variation, the Architect may with previous approval in writing of the employer make a fair and reasonable extension of the time for completion of the contract works. In case of strike or lockout the contractor shall as soon as may be given written notice thereof to the Architect but the contractor shall nevertheless constantly use his endeavors to prevent delay and shall do all that may reasonably be required to the satisfaction of the Architect to proceed with work Progress of work shall be assessed monthly in comparison with the Pert Bar chart prepared at the time of commencement of work The contractor shall immediately note the delay, if any during the assessment period and initiate measures to cover up the day during following month by preparing revised program under intimation and approval by the Employers & the Architects.

Hindrances if any occurred during the execution shall be recorded in Hindrance Regd. book duly endorsed by the Site Engineer and shall be intimated within week's time to the Employer and the Architects.

Delays during the executions, which the contractor may found difficult to cover up during the following month and due to which, completion of work will be delayed should be intimated by the contractors to the Employer & the Architects stating clearly the period of such delay and quoting reasons for delays. Extension




to completion period shall, be granted by the Employer for the reasons beyond the control of the contractor and not attributable to him as stated in "'Price Variation Adjustment Clause",

In the opinion of the Employer & the Architect, the contractor is - solely responsible for the delays, and reasons are attributable to him, then the Employer shall recover liquidated damages as

stated in clause No.27 extending the contract period required for completion. However such extension to completion period shall be at the sole discretion of the Employer. In the opinion of the Employer, the contractor is not in position to complete the work within the reasonable additional period, then the employer may arrange to complete the work through other Agency at the risk and cost of the Contractor. In such case the contractor shall provide access to the works to the other Agency appointed by the Employer and shall allow use of Plant & Machinery if required to such Agency.

FAILURE OF CONTRACT TO

COMPLY WITH ARCHITECTS

INSTRUCTIONS

29. If the contractor after receipts of written notice from the Architect requiring compliance within 10 days fail to comply with such further drawings and/or Architect's instructions the Employer may employ and pay other persons to execute any such work whatsoever that may be necessary to give effect thereto and all costs incurred in connection therewith shall be recoverable from the contractor by the Employer on the certificate of the Architect as a debt or may be deducted by him from any monies due to the contractor.




TERMINATION OF

CONTRACT BY THE

EMPLOYER

30. If the Contractor being as individual or a firm commits

any “Act of insolvency” or shall be adjudged an order for

compulsory winding up made against it or pass an

effective resolution for winding up voluntarily of subject

to the supervision of the court and the official Assignee

or the Liquidator in such acts of insolvency or winding up,

as the case may be, shall be unable within seven days

after notice to him requiring him to do to show to the

reasonable action of the Architect that he is able to carry

out and fulfill the contract and to give security therefore,

if so require by the Architect

Or if the contractor (whether an individual, firm or incorporated company) shall suffer execution or other process of court attaching property to be issued against the contractor.

Or shall suffer any payment under this contract to be attached by or on behalf of any of the creditors of the contractor.

Or shall assign or sublet this contract without the consent in writing of the employer first had and obtained.

Or shall charge or encumber this contract or any payment due or which may become due to the contractor hereunder.

Or if the Architect shall certify in writing to the Employer that the Contractor.

(i) Has abandoned the contract, or




(ii) Has failed to commence the works or has without any lawful excuse under these conditions suspended the progress of the - works for fourteen days after receiving from the Architect notice to proceed, or

(iii) Has failed to proceed with the works with such due diligence and failed to make such due progress as would enable the works to be completed within the time agreed upon, or

(iv) Has failed to remove materials from the site of to pull down and replace work for seven days after receiving from the Architect written notice that the said materials or work were condemned and rejected by the Architect under these conditions, or

(v) Has neglected or failed persistently to observe

and perform all or any of the acts, matters or

things by this contract to be observe and perform

by the contractor for seven days after written

notice shall have been given to the contractor

requiring the contractor to observe or perform

the same,

Then and in any of the said cases the Employer may not withstanding and previous waiver, after giving seven days’ notice in writing to the contractor, determine the contract, but without thereby affection the powers of the Architect or the obligations and liabilities of the contractor, the whole of which shall continue in force as fully as if the contract had not been so determined, and as if the works subsequently executed has been executed by or on behalf of the contractor. And further the employer by his agents or




servants may enter upon and take possession of the works and all plant, tools, scaffoldings, sheds machinery, steam and other power utensils and materials laying upon the premises or the adjoining lands or roads, and use the same as his own property or may employ the same by means of his own servants and workmen in carrying on and completing the works or by employing any other contractor or other person or persons. to complete the works and the contractor shall not in any way interrupt or do any act, matter or thing to prevent of hinder such other contractor or other person or persons employed for completing and, finishing or using the materials and plant for the works. When the works' shall be completed or as soon thereafter as convenient the architect shall give a notice in writing to the contractor to remove his surplus material and plant, and should the contractor fail to do so within a period of fourteen days after receipt thereof by him, the employer may sell the sari1e by public auction, and give credit to the contractor for the net amount realized. The Architect shall thereafter ascertain & certify in writing under his hand what (If anything) shall be due or payable to or by the employer, for the. value of the said plant and materials so taken possession of by the employer and the expense or loss which the employer shall have been put is procuring the works to be completed and the amount, if any, owing to the contractor and the amount which shall be so certified shall thereupon be paid by the Employer to the contractor or by the Contractor to the Employer, as the case may be and the certificate of the Architect shall be final and conclusive between the parties.

TERMINATION OF

CONTRACT BY CONTRACTOR

If the payment of the amount payable by the Employer under certificate of the Architects shall remain unpaid for thirty days after notice in




writing requiring payment if the amount as aforesaid shall have been given by the contractor to the employer or if the employer interferes with or obstructs the issue of any such certificate, or if the Employer shall repudiate the contract, or if the works be stopped for three months under the order of the Architect or the Employer or by any injunction or other order of any court of law then and in any of the said cases the contractor shall be at liberty to determinate the contract by notice in writing to the employer, through the Architect, and 'he shall be entitled to recover from the employer payment for all works executed and for any loss he may sustain upon any plant or materials supplied or purchased or prepared of the purpose of the contract.

In arriving at the amount of such payment the net rate

contained in the contractor’s original tender shall be

followed or where the same may not apply, valuation

shall be made in accordance with clause 17 hereof.

CERTIFICATE OF PAYMENTS 32. (i) The contractor shall prepare Running Account Bill when the value of the work has reached to the approximate value named in Appendix as "Value of Work for Interim Certificate" The contractor shall prepare bills in the proforma given in the tender, and shall submit the same in quadruplicate along with the following:-

(a) Abstract of bill {is per the proforma, (b) Copies of measurement sheets. (c) Copies of test reports of material & work (d) Photographs of the work (e) Statement of advance claimed against

material along with copies of purchase voucher.

(f) Statement of consumption and receipt of material like Steel Cement, Paint, Waterproofing compound etc




All pages of bills & measurements etc, shall be duly signed by the contractor & the site Engineer.

Report on progress of works in comparison with the Bar/Pert Chart stating reasons for delay if any and measures prepared to cover the delay should accompany the bills.

(ii) Architect, in consultation with the employer may certify 0% of the chums as advance against the bill amount within a week’s time. And balance after due verification by the Employer with the period named in appendix for period of honoring interim certificate.

(iii) The contractor shall be paid from the Employer from time to time by installments under interim Certificate to be issued ,by the' Architect to the contractor against the, Running Account Bills submitted by the contractor for the works executed when work to the approximate value named in the Appendix as Value of work for interim certificate" (or less at the reasonable discretion of the Architect) has been executed in accordance with this contract, subject, However, to a retention of the' Appendix hereto as "Retention percentage for interim Certificate" until the total amount retained shall reach the sum named in the Appendix as “Total Retention Money” after which time the installments shall be upto the full value of the work subsequently so executed and fixed in the building. The Architect may in his discretion include in the interim certificate such amount as he may consider proper on account of material delivered upon the site by the contractor for use in the works. And when the works have been virtually completed and the Architect shall have certified in writing that they have been completed, the contractor shall be paid by the Employer in accordance with certificate to be issued by the Architect the sum




of money named in the Appendix as “Installment after virtual completion” being a part of the said total Retention money and the contractor shall be entitled to the payment or the final certificate to be issued in writing by the Architect at the expiration of the period referred to as “The Defects Liability period” in the Appendix hereto from the date of virtual completion or as soon as after the expiration, of such period as the works shall have been finally completed and all defects made good according to the true intent and meaning, hereof whichever shall last happen provided always that the issued by the Architect of my certificate during the progress of the work or at or after their completion shall not relieve contractor from' his liability under clauses 2 and 20 nor relieve the contractor of his inability in cases of fraud, dishonesty or fraudulent concealment relation to the certificate, and in case of an. defects and insufficiencies in the work or materials which a reasonable examination would not have disclosed No Certificate of the Architects shall of itself be conclusive evidence that any works or materials to which it relates. are in accordance with the Contract neither will the contractor have claim, for any amounts which the Architect might have certified in any interim and paid by the Employer, and which might subsequently be discovered as not payable and in this respect the Employer's decision shall be final and binding.

(iv) The contractor will be paid an advance of 0% of the cost of non-perishable building materials brought to the site for consumption in the works, at the discretion of the Employer Architect. The Assessment of the cost of building materials shall be derived either from the actual or from the tendered rate and the lesser of the two shall be considered for payment. The contractor shall give an undertaking for this payment in the proforma




to be approved by Employer called if called upon to do so.

(v) The architect have power to withhold any Certificate if the works of any parts thereof fare not being called out to his satisfaction.

(vi) No certificate of payment shall be issued by the Architect if the contractor fails to insure the works and keep them insured till the issue of the virtual completion certificate.

(vii) Payments upon the Architect's Certificate shall be made within the periods named in the Appendix as "Period for Honoring of Certificates after such certificates have been delivered to the employer and the employer is satisfied with the work.

MATTERS TO BE FINALLY DETERMINED BY ARCHITECT

A. The decision, opinion, direction, certificate (except for payment) with respect to all or any of the matters under clause 2(a), 2(b), 4,7,12, 28(a), (b), (c), (d), (f) hereof (which matters are herein referred

Arbitration

1. Any dispute 'and items of the disagreement arising between the architect and the PMC shall be referred to the Chief General Manager or in his absence, the General Manager (O) of Bank (the employer…………) and his decision on those matters will be final and binding on the architecture and PMC as well.

2. If any dispute, or question shell at any lime arise between the architecture and the Employer as to the interpretation of this agreement or concerning anything herein contained or arising out of this agreement except that stated in (I) above or as to the rights, liabilities. and duties of the said parties hereunder, or as to the execution of the said works, except in respect of the matters for; which it is provided herein, that the decision of the employer is final and binding, the same shall be referred to the arbitration and final decision of Bombay based




arbitrator to be agreed upon and appointed by both the parties or in case of disagreement as to the appointment of a single arbitrator to the appointment of two arbitrators shall, be fore taking upon themselves the burden of reference appoint and umpire.

III. 1) For the purpose of appointing the (……….) based sole Arbitrator

referred to above the Appointing Authority i.e. the Chief General Manager

of (……… was local Head Office will send within thin days of receipt by him

of the written notice aforesaid to the Architects a panel of three names of

persons who shell be presently unconnected, with the organization,

which the work is executed.

2) The Architects shall on receipt by them of the names of aforesaid, select anyone of the persons named to be appointed as a sole Arbitrator and communicate his name to the Appointing Authority who shall thereupon without any delay appoint the said person as the sole Arbitrator. If the Architects fail to communicate such selective as provided above within he period specified, the Appointing Authority shall make the selection and appoint the selected person as the sole Arbitrator

3) If the Appointing Authority a panel of three names of based person who shell all be unconnected with either party. The Appointing Authority shall on receipt, of the names of aforesaid persons and appoint him as the sole Arbitrator within 30 days of receipt by him of the panel and inform the' Architects shell be entitled to appoint one of the three persons from the panel as the sole Arbitrator and communicate his name to the Appointing Authority.

4) If the Arbitrator so appointed is unable or unwilling to act or resigns his appointment or vacates has office due to any reason whatsoever another sole Arbitrator shall be appointed as aforesaid.

5) The work under the contract shall however continue during the Arbitration proceedings. No payment due or payable to the Architects shall be withheld on account of such proceedings except the disputed payment of fees on account other provisions in this agreement.




6) The Arbitrator may from time to time with the consent of the parties. enlarge the time for making publishing the award.

7) The Arbitrator shall be deemed to have entered on the reference on the date he issues, notice to both the parties fixing the date of the first hearing.

8) The Arbitrator shall give a separate award ill respect of each dispute or difference referred to him. The Arbitrator shall decider each. dispute in accordance with the terms of the contract and give a reasoned award. The venue of Arbitration shall be such place as maybe fixed by the Arbitrator in his sole discretion.

9) The award of the Arbitrator shall be final and binding on both the parties.

Subject. to aforesaid the provisions of' the "Arbitrator Act J 940 or any statutory, modification or reenactment there of and the rules made there under and for the time begin 10 force shall apply to the arbitrator proceedings under' this clause.

RIGHT OF TECHNICAL

SCRUTINY OF FINAL BILL

35. The Employer shall have a right to cause a technical examination of the works and the final bill of the contractor including all supporting vouchers abstract etc. to be made at the time of payment of the final bill If as result of this examination or otherwise any sum is found to have been overpaid or




over certified it shall be lawful for the employer to recover the same.

EMPLOYER ENTITLED TO

RECOVER COMPENSATION

PAID TO WORKMEN

36. If for any reason. the Employer is to obliged by virtue of the provisions of the workmen’s compensation Act, 1923, or any statutory modification or re-enactment there or to pay compensation to a workmen employed by the contractor in execution of the works the Employer, shall be entitled to recover from the Contractor the amount of compensation so paid and without prejudice to the rights of the Employer under the said Act. The Employer shall be at liberty to recover such amount or any, part thereof by deducting it from the security deposit or form any sum due by the Employer to the Contractor under this Contract or otherwise. The Employer shall not be bound to contest any claim made against it under the said Act, except on the written request of the Contractor and upon his giving to the Employer full security to the satisfaction of the Employer for all costs for which the employer might become liable in consequence of contesting such claim.

ABANDONMENT OF WORKS 37. If at any time after the acceptance of the tender the employer shall for any reasons whatsoever not require the whole or any part of the work to the carried out, the Architect shall give a notice in writing to the Contractor who shall have no claim to any payment of compensation or otherwise whatsoever on account of any profit or advantage which he might have derived from the execution of the whole works.

RETURN OF SURPLUS

MATERIALS

38. Notwithstanding anything to the contrary contained in any or all the clauses of the contract, where any material for the execution of the contract is procured with the Assistance of the Employer by purchase made under orders or permits or license issued by Government, the contractor shall hold the said materials economically and solely for the purpose of the contract and not dispose off them




without the prior written permission of the Employer at the price to be determined by the Architect having due, regard to the condition of the materials the price to be determined not to exceed the purchase price thereof inclusive of sales tax, octroi and other such levies paid by the contractor in respect thereof. In the event of breach of the aforesaid condition the contractor shall in addition to being liable to action for contraction or the terms of licenses or permit and or criminal breach of trust, be liable to Employer for all moneys, advantages or profits resulting which in the usual course would have resulted or him by reason of such breach.

INSTRUCTIONS TO APPLICANTS

1. Intending Applicants are required to submit their applications with full particulars,

giving details about their organization, experience, technical personnel in their

organization spare capacity, competence and adequate evidence of their

financial standing etc. in the enclosed form, which will be kept confidential.

2. While deciding upon the selection of Architects, great emphasis will be given on

the ability and competence of applicants to do good quality works within the

specified time schedule and in close co-ordination with local bodies and other

agencies.

3. Decision of the Bank in regard to Enlistment of Architects shall be final. The Bank

in not bound to assign any reason therefor.

4. Each page of the application shall be signed. The application shall be signed by

person/persons on behalf of the organization having necessary authorization/

power of Attorney to do so.

5. If the space in the proforma is insufficient for furnishing full details, such

information may be supplemented on separate sheets of paper, stating therein

the part of the proforma and serial number. Separate sheets shall be used for

each part, and a proper reference with page number must be indicated in the

main form of application.

6. Applications containing false and/or inadequate information are liable for

rejection.

7. While filling up the application with regard to the list of important projects completed or on hand, the applicants shall include works relating to 3 jobs of Rs.40 Lakh each or 2 jobs of Rs.50 Lakh each or 1 job of Rs.80 Lakh of furnishing costing not less than Rs.40 Lakh each also.

8. The firms must have worked for Govt./ Public Sector undertakings/ Banks.

9. The Firms shall not have any discouraging/adverse report against their past

performance.

10. Clarifications, if any required, may be obtained from the Chief Manager,

corporate Services Dept.

11. The Bank reserves the right to amend the selection criteria depending upon the

applications received in response to the Advertisement and Banks other

requirements.
