provide telephony system and services on a continental, as well as domestic basis: a) between cities, regional capitals, and b) telecommunications to isolated villages
on a long term with quality perspectives.

Telco informs RSQ of the projected date for the GW site survey(s): performed by R*BCS/ R*TES vendor and Telco under RSQ coordination.
After site survey Telco must inform RSQ of the dates when (potential) non compliances under its responsibility will be fixed
RSQ to approve and issue Site Readiness Notice to Telco and Supplier once Site is ready to start construction of a GW including status of concrete slab for the antenna, guaranteed/secured dates for availability of energy and connections, site security etc.
R*BCS Supplier to ship antenna equipment and miscellaneous equipment it might consider as necessary (e.g. cabinets, etc.. ) to the country. Arrival to country customs shall be within (…) days* from Site Readiness Notice or shipment contractual date whichever is the longest.
Telco shall clear all shipped equipment (permanent and temporary import from customs) and Telco shall pay all applicable Custom duties and taxes if any.
R*BCS and R*TES GW Baseband system may be delivered according to different contractual schedules Depending upon R*TES and R*BCS factory acceptance dates / Telco contract In most cases it is anticipated that while sharing the same RF Antenna system, the R*BCS

After custom clearance, Supplier to coordinate delivery of the GW equipment to Site
Telco shall provide site security (e.g. against pilfering)
Supplier shall start installation of the RF Antenna system and proceed with qualification tests on the satellite, according to the agreed upon procedure. Assuming normal road conditions allowing standard container + truck
transportation… list caveats) Telco and/or RSQ to witness tests. Supplier shall submit RF Antenna system test acceptance report to RSQ Assuming test results meet the requirements, RSQ shall issue Conditional
Acceptance Certificate to Supplier with copy to Telco. Potential minor non compliances shall be reported in “punch list”.
Should a site not be ready to start installation without fault from RSQ or the Supplier, even in spite of the issuance of a Site Readiness Notice, the equipment shall remain in a secured Telco storage place until the Site is effectively ready and secured to start installation. All storage costs shall be borne by Telco.
Note: the issuance of the RF Antenna system Acceptance Certificate for the first 3 GW antennas (R*BCS or R*TES or mixed) will trigger RSQ’s authorization to deploy similar antennas for either R*BCS and/or R*TES. The GW Antenna will then be deemed certified by RSQ, and the antenna commissioning process likely simplified (see R*BCS)

Process will start with installation of R*BCS GW as set forth in slides 912
R*BCS GWs will likely be commissioned first (unless provided otherwise by the contract, and R*TES Factory Acceptance already passed)
Shipment of R*TES equipment (baseband and R*Ts) from the Supplier shall only occur after RSQ has delivered the R*TES Factory Acceptance certificate to the Vendor. (Max contractual date)
Supplier shall (air) ship R*TES Baseband system to the first 2 combined GWs in designated countries (assuming combined R*BCS /R*TES GWs).
Supplier shall ship first batch of R*Ts (*) to Telco’s designated port of entry
Telco shall clear all GW Baseband system (permanent and temporary import) and Telco shall pay applicable Custom duties and taxes if any
Supplier shall start installation of R*BCS/R*TES GWs (or upgrade of existing R*BCS GW) after Custom clearance on the GW Site
Within XX days from Custom clearance (assuming normal road conditions… and standard container carried on a truck)
Should a site not be ready to start installation in spite of Site Readiness notice, under no fault of RSQ or the Supplier, the equipment shall remain in a secured storage place (in customs ???) until the Site is effectively ready and secured to start installation. In which case all storage costs shall be borne by Telco.
Telco shall take delivery of R*Ts at the designated port of Entry. Telco shall pay applicable custom duties and taxes if any

Installation of the R*BCS/R*TES GWs or R*TES upgrade shall be associated with test R*Ts located on the GW site(s)
Supplier shall connect all Baseband system to the Antenna system, Telco network, power grid network (electricity) and UPS, and proceed with qualification tests over the satellite, with the Network Station (NS) other installed GWs, and Telco network according to the agreed upon procedure as set forth in the RSQ/Supplier contract. Telco and/or RSQ shall have the right to witness such tests. Supplier shall submit test acceptance report to RSQ Should the result meet the requirements RSQ shall issue Conditional Acceptance
Certificate to Supplier with copy to Telco, potential minor non compliances shall be reported in the “punch list”.
Case of shared R*BCS/R*TES GW + Network Station Under defined contractual conditions, R*BCS/R*TES GW and a Network Station
may share the same Antenna system. RSQ shall be responsible for proper operation of the NS functions. A specific sharing agreement will be negotiated between the Telco & RSQ (office
space, and/or antenna lease agreement etc..), guaranteed irrevocable access rights to NS etc.

Phase 1 Conditional Acceptance and opening of the R*BCS shall be as defined in slides 12 & 13.
After issuance of the Conditional Acceptance Tests of the first two GWs hosting R*TES (R*BCS/R*TES GWs or R*TES GWs), RSQ will issue the conditional acceptance certificate of Phase 1 for the R*TES. To be sent to the Supplier To be send to Lenders Technical Adviser
RSQ will then declare and inform Telco that the R*TES service is open : Additional R*TES GWs may start being be installed and commissioned in any
African Country Telco will be allowed to deploy R*Ts R*Ts will be logged and authorized by RSQ’s Network stations (Telco’s connection
to the NS)
RSQ will start billing Telco for R*TES. Discounted tariffs or lower traffic obligations might apply for a limited period of time for early takers (to be defined contractually by RSQ)
It will be the responsibility of Telco to acquire the proper Internet connection(s) to connect their own operators to the NS(s), collect their Call Detail Records, and any other information made available to Telco in the NS(s)

The shipment of full R*BCS/R*TES GWs or standalone R*TES GWs including their RF antenna systems, R*TES baseband systems and R*Ts shall only be authorized by RSQ after Phase 1 conditional acceptance of the first R*TES GW or R*TES/R*BCS GW (*) which ever occurs first.
RSQ will authorize the shipment of additional R*Ts to Telco according to the demand of Telco.
Each Individual R*TES/R*BCS GW shall go through its own conditional acceptance process prior to being commissioned by RSQ and put in Service.
