In exercise of power conferred by clause(b) of sub section (1) of Section 62 and clause (a) of
subsection(1) of Section 86 (1) (a) of the Electricity Act 2003, (Central Act 36 of 2003), and
after taking into account the stipulations in the National Electricity Policy and the Tariff Policy,
TNERC (Terms and conditions for determination of tariff) Regulations 2005, TNERC (Terms
and Conditions for Determination of Tariff for Intra state Transmission / Distribution of
Electricity under MYT Framework ) Regulations, 2009, and all other powers here unto enabling
in that behalf and after considering the views of the State Advisory Committee meeting held on
27-01-2012 in accordance with section 88, after examining the comments received from the
stakeholders and after considering suggestions and objections received from the public during
the public hearings held on 30-01-2012, 02-02-2012, 06-02-2012 and 10-02-2012 as per section
64, the Tamil Nadu Electricity Regulatory Commission, hereby, passes this order for Intra-State
Transmission Tariff and other related charges.
This Order shall take effect on and from the April 1, 2012.

1 INTRODUCTION
Background
Preamble
1.1.1 Consequent to the enactment of the Electricity Regulatory Commissions Act 1998
(Central Act 14 of 1998), the Government of Tamil Nadu constituted the Tamil Nadu
Electricity Regulatory Commission (TNERC) vide G.O.Ms.No.58, Energy (A1)
Department, dated 17-03-1999.
1.1.2 The Commission issued its maiden tariff order under section 29 of the Electricity
Regulatory Commission Act, 1998, on 15-03-2003 based on the petition filed by the
Tamil Nadu Electricity Board (TNEB) on 25-09-2002.
1.1.3 In Para 7.2 of the order dated 15-03-2003, the Commission issued the following rulings:
“The Commission thus rules that the revised tariffs would be applicable from 16th
March 2003 to 31st March 2004, and till such further time as the TNEB does not
approach the Commission for tariff revision. The Commission also directs that,
henceforth, the TNEB should submit a Tariff Proposal for any financial year by
the end of December of the previous financial year. In other words, the
Commission expects the TNEB to submit a tariff revision proposal for FY 2004-05
before the end of December 2003, in case the TNEB desires to revise the tariffs
for FY 2004-05.”
1.1.4 The TNEB did not come before the Commission for revision of retail tariff till January
2010. In the meantime, Electricity Regulatory Commission Act, 1998 was repealed and
the Electricity Act 2003 (Central Act 36 of 2003) (hereinafter called Act) was enacted
with effect from 10-06-2003.
1.1.5 The Commission notified the Tamil Nadu Electricity Regulatory Commission (Terms and
Conditions for Determination of Tariff) Regulations 2005 (herein after called Tariff
Regulations) on 03-08-2005 under section 61 read with section 181 of the Act.
1.1.6 The Commission issued separate order on Transmission charges, Wheeling Charges,
Cross Subsidy surcharge and Additional Surcharge on 15-05-2006, based on the petition
filed by TNEB on 26-09-2005 under section 42 of the Act.

1.1.7 The Commission notified the TNERC (Terms and Conditions for Determination of Tariff
for Intra state Transmission / Distribution of Electricity under MYT Framework)
Regulations, 2009 (herein after called MYT Regulations).
1.1.8 Subsequently, TNEB filed a single application for determination of tariff with Aggregate
Revenue Requirement (ARR) for all functions on 18-01-2010, which was admitted by the
Commission after initial scrutiny on 09-02-2010.
1.1.9 The Commission issued its second Tariff Order on 31-07-2010.
1.1.10 Government of Tamil Nadu, in G.O (Ms) No 114 Energy Dept, dated 08-10-2008 have
accorded in principle approval for the re-organisation of TNEB by establishment of a
holding company, namely TNEB Ltd and two subsidiary companies, namely Tamil Nadu
Transmission Corporation Ltd (TANTRANSCO) and Tamil Nadu Generation and
Distribution Corporation Ltd (TANGEDCO) with the stipulation that the aforementioned
companies shall be fully owned by Government.
1.1.11 Tamil Nadu Transmission Corporation Ltd., (TANTRANSCO) was incorporated on 15-
06-2009 and started functioning as such w.e.f. 1.11.2010.
1.1.12 This is the second Order of the Commission on determination of tariff for Intra-State
Transmission for TANTRANSCO.
1.2 Applicability of Order
1.2.1 This order will come into effect from 01-04-2012. The Intra-State Transmission tariff
contained in this order will be valid till 31-03-2013. TANTRANSCO shall file necessary
petition in accordance with the Regulation in time so that the next tariff Order is issued
and comes with effect from 1.4.2013.
1.3 Tariff Filing
1.3.1 The Tamil Nadu Transmission Corporation Ltd (TANTRANSCO) has filed the
Application before the Commission on 17-11-2011 for Determination of Transmission
Charges for Long Term and Short Term Open Access consumers, Scheduling, System
Operation Charges and Reactive Energy Charges, preliminary true-up and approval of
Aggregate Revenue Requirement (ARR) for the year 2010-11 and approval of ARR for
the year 2011-12 and 2012-13 under Multi Year Tariff and also applied for tariff revision
with retrospective effect.

1.3.2 The petition was admitted by the Commission on 25-11-2011 and registered as TP 2 of
2011 with the direction to upload the petition in the website on the same day.
1.4 Procedure Adopted
1.4.1 Regulation 7 (2) of Tariff Regulation specifies the following: “The applicant shall
publish, for the information of public, the contents of the application in an abridged form
in English and Tamil newspapers having wide circulation and as per the direction of the
Commission in this regard. The copies of Petition and documents filed with the
Commission shall also be made available at a nominal price, besides hosting them in the
website.”
1.4.2 The public notice containing the salient details with regard to the petition was approved
and communicated to TANTRANSCO on 01-12-2011, with a direction to arrange
publication of the notice in news papers on 02-12-2011
1.4.3 The TANTRANSCO published the public notice in the following newspapers on 02-12-
2011.
a) The New Indian Express (English Daily);
b) The Hindu (English Daily);
c) Dinamalar (Tamil Daily) and
d) Daily Thanthi (Tamil Daily)
1.4.4 The Petition was placed before the State Advisory Committee on 27-01-2012. The list of
Members who participated in the meeting are detailed in Ann I.
1.4.5 The views / comments expressed by the members are included in Chapter 2 of this Order.
1.4.6 The Commission conducted public hearing at the following places on the dates noted
against each:

1.4.7 The list of stakeholders who have submitted objections/suggestions/views regarding the
petition are detailed in Ann II.
1.4.8 The lists of participants in each public hearing are detailed in Ann III. The views /
comments / objections raised by the participants are discussed in Chapter 2 of this Order.
1.5 The Electricity Act, 2003, Tariff Policy (TP) and Regulations
Section-62 (1) of Act states as under:
“Section-62 (1):
1. The Appropriate Commission shall determine the tariff in accordance with
provisions of this Act for
a. ...
b. transmission of electricity ;
c. wheeling of electricity;
...”
1.6 Similarly, the objectives stipulated in the Tariff Policy are as under:
“4.0 Objectives of the policy
The objectives of this tariff policy are to:
a. Ensure availability of electricity to consumers at reasonable and
competitive rates;
b. Ensure financial viability of the sector and attract investments;
c. Promote transparency, consistency and predictability in regulatory
approaches across jurisdictions and minimise perceptions of regulatory
risks;

d. Promote competition, efficiency in operations and improvement in quality of
supply.”
1.6.1 In the State of Tamil Nadu, Tamil Nadu Electricity Regulatory Commission in exercise
of powers vested in it under the Electricity Act, 2003 (Act) passes the Tariff Order.
1.7 Brief Note on Tariff Filing and Public Hearing
1.7.1 The Tariff Petition TP 2 of 2011 filed by TANTRANSCO is the first Tariff Petition for
fixation of Transmission tariff for the year 2012-13 after unbundling and issue of transfer
scheme by the Government of Tamil Nadu. The Transfer scheme dated 19-10-2010 is
enclosed as Ann IV. This Transfer Scheme is a provisional Transfer Scheme and
addresses various issues like the transfer of assets and revaluation of assets to partly
address the accumulated losses. This Transfer Scheme also envisages deployment of staff
of the erstwhile TNEB in the TANGEDCO and TANTRANSCO. The Commission in its
earlier Tariff Order No. 3 of 2010 dated 31-07-2010 had suggested in line with the
National Electricity Policy and the Tariff Policy that the accumulated losses should not
be passed on to the successor entities and financial restructuring has to be resorted to, to
clean up the Balance Sheet of the successor companies and allow them to start on a clean
slate so that the successor entities can start performing better. The Commission had sent
statutory advices to Government of Tamil Nadu on 27.10.10 and 19.10.10, copies of
statutory advices are appended as Ann V and Ann VI.
1.7.2 The Government of Tamil Nadu has issued an amended Transfer Scheme on 02-01-2012
which is appended as Ann VII. This Transfer Scheme is also provisional and is subject to
revision. Besides various other issues, both the Transfer Scheme specified that the
retirement benefits of the employees of TNEB/ successor entities will be met out of the
Revenue Account.

1.7.3 It is also observed from the website of Government of Tamil Nadu that in page no. 40 of
Policy Notes-FY 2011-12, Energy Department, Government of Tamil Nadu that:
“The Board’s borrowings are being utilized to meet Capital Expenditure, Loan
repayments and managing revenue deficit”
1.7.4 Hence, it is clear that TANTRANSCO has been diverting Capital borrowings to meet its
principal repayment and its revenue deficit, in addition to meeting Capital expenditure
requirement.
1.7.5 Over a period of years, the Capital Account and the Revenue Account has been mixed up
in the operation of the TNEB and an attempt is being made in this order to segregate this
to bring financial discipline in the successor entities. TNEB and successor entities have
reported accumulated losses of around Rs. 50,000 crores over the years. The Commission
in its earlier Order dated 31-07-2010 and through its various Statutory advices has
suggested to the Government of Tamil Nadu to take care of the accumulated losses up to
the unbundling period by way of financial restructuring so that the burden of the same is
not passed on to the consumers. This suggestion is also in line with Para 5.4.3 of the
National Electricity Policy which is extracted below:
“5.4.3 For achieving efficiency gains proper restructuring of distribution utilities is
essential. Adequate transition financing support would also be necessary for these
utilities. Such support should be arranged linked to attainment of predetermined
efficiency improvements and reduction in cash losses and putting in place appropriate
governance structure for insulating the service providers from extraneous interference
while at the same time ensuring transparency and accountability. For ensuring financial
viability and sustainability, State Governments would need to restructure the liabilities of
the State Electricity Boards to ensure that the successor companies are not burdened
with past liabilities. The Central Government would also assist the States, which develop
a clear roadmap for turnaround, in arranging transition financing from various sources
which shall be linked to predetermined improvements and efficiency gains aimed at
attaining financial viability and also putting in place appropriate governance
structures.”
1.7.6 The Commission hereby directs TANTRANSCO not to mix capital accounts and revenue
accounts and maintain them separately, hereafter.

1.7.7 Keeping the above major issues in mind, the Commission would like to attempt
restoration of the electricity industry in the State of Tamil Nadu so that the utility is able
to undertake future expansion of transmission system for improving quality of service to
end consumers.
1.8 Various suggestions and objections that were raised on TANTRANSCO’s Petition after
issuance of the Public Notice both in writing as well as during the Public Hearing, along
with TANTRANSCO’s response and the Commission's rulings have been detailed in
Chapter 2 of this Order.

2 ISSUE WISE SUMMARY OF VIEWS, COMMENTS, AND SUGGESTIONS ON THE PETITION, TANTRANSCO’S RESPONSE AND RULINGS OF THE COMMISSION
The following are the views/ objections/ suggestions expressed by Members of the State
Advisory Committee and other stakeholders in their written submissions and in the Public
hearings.
2.1 Objections, Issues and Suggestions
2.1.1 The transmission charges should be fixed based on the acceptable norms per MW and not
based on the actual costs claimed by TANTRANSCO as this will lead to additional
impact on consumers. It is suggested that not more than 5% increase should be allowed
over the existing charges.
2.1.2 The proposed increase in transmission charges is about 2 ½ times from the existing Rs.
2,781/- per MW per day to Rs. 6,221.58 per MW per day as applicable for the year 2012-
13, which is not justified, as it will push up the wheeling cost to the industries procuring
power under Open Access to meet their shortfall on account of R&C measures of
TANGEDCO.
2.1.3 Tamil Nadu Electricity Consumers Association submitted that TANTRANSCO has
miscalculated the transmission charges as transmission capacity figures are wrong. It
should be related to the installed and allocated capacity of the stations from where the
power is drawn, which may be as under:

2.1.4 Transmission charges to be recovered should be based on actual generation, i.e., installed
capacity adjusted to PLF.
2.1.5 For calculating the transmission capacity, due weightage should be given to the PLF of
each generating source and charges should be recovered based on actual generation.
2.1.6 The transmission charges should be fixed based on kWh basis wheeled instead of
installed capacity in MW.
2.1.7 The revision of transmission charges, scheduling and system operation charges and
reactive energy charges should only be proposed for FY 2012-13 and not retrospectively
for 2010-11 and 2011-12.
2.1.8 The transmission charges are proposed to be increased, even though transmission
capacity has not been increased.
2.1.9 Energy Audit has not been properly undertaken by TANTRANSCO. Current
Transformer/Power Transformer and meters provided on feeders are not being checked
for their correctness.
2.1.10 The reactive energy charges are mainly attributable to Wind Energy Generators. For
other Generators of firm power who can keep equilibrium in the power factor and pump
reactive energy in the specified limit to maintain grid voltage, for which incentive needs
to be provided.
2.1.11 Scheduling and System Operation Charges should be waived off for the generators who
have installed SCADA system at their own cost.
2.2 TANTRANSCO’s Response
2.2.1 The transmission tariff of Rs. 2,781/- per MW per day for Long Term Open Access and
Rs. 28.96 per MWh for Short Term Open Access was being charged on the basis of the
Commission’s Order dated 15-5-2006. There is no increase in the tariff for the past 10
years but TNEB had managed to fulfil its social obligations in the midst of escalation of
prices in all its business activities to supply power which resulted in accumulation of
huge loss. A portion of losses of erstwhile TNEB has been apportioned to
TANTRANSCO during the course of restructuring.

2.2.2 In order to discharge its responsibility as a transmission licensee, adequate financial
stability has to be ensured to enable TANTRANSCO to create well equipped and
advanced transmission infrastructure.
2.2.3 The marginal transmission cost for every incremental MW for 2010-11 works out to be
Rs. 148.13 lakh as compared to 2005-06.
2.2.4 The transmission charges proposed for 2010-11 has been arrived in accordance with the
existing and proposed transmission capacity. The transmission capacity has been derived
by applying weightage to the PLF of each generating source.
2.2.5 The transmission charges for the Short Term Open Access Consumers have been claimed
at 50% to that of the Long Term Open Access as per the norms of CERC. The Scheduling
and system operating charges has been proposed as Rs. 2,000/- for both Long Term and
Short Term Open Access Consumers, in line with the approved rates by CERC.
2.2.6 Regarding the increase for the Short Term Open Access, it is stated that the SLDC has to
observe all the technical and administrative formalities as observed to the long term
customers for the said functioning.
2.2.7 In respect of Reactive energy charges, the rate has been prayed for 10 paisa per KVARh
as approved by CERC considering the curtailment of VAR drawl by a consumer. This
would improve the system voltage and in turn ensure quality power.
2.2.8 The gross block of assets and depreciation shown in the petition are based on the assets as
envisaged in the Transfer Scheme. The transmission charges determined in Order no. 3
dated 31-7-2010, was provisional in nature and subject to revision based on actuals, as
per the Commission Order itself.
2.2.9 The evacuation lines on Deposit Contribution Work (DCW) basis and the expenditure
incurred by the consumer has been shown as Consumer Contribution. DCW works were
carried out in accordance with the necessities of the consumers and the lines so laid have
been taken care by TANTRANSCO for maintenance for which levy of transmission
charges is necessitated.

Commission’s View
2.2.10 Intra-State Transmission Charges are being determined by the Commission in accordance
with “Tamil Nadu Electricity Regulatory Commission (Terms and Conditions for the
determination of Tariff) Regulations, 2005” and cannot be based on normative cost as
suggested by some stakeholders.
2.2.11 Intra-State Transmission charges as determined by the Commission in its Order dated
15.5.2006, was based on cost base of Rs 730.62 Crore, whereas TANTRANSCO’s claim
in this Petition for FY 2012-13 is Rs 2781.83 Crore. Hence, the cost has increased around
4 times, which will have a bearing on Transmission tariff.
2.2.12 Evacuation capacity of a transmission system is not always equal to installed capacity of
the Generation Stations adjusted to PLF. The Commission has considered transmission
capacity of 13000 MW for FY 2012-13, based on system study results submitted by
TANTRANSCO.
2.2.13 Transmission tariff determined by the Commission cannot be determined on retrospective
basis and for the purpose of this Order the Commission has done provisional truing up for
FY 2010-11 and FY 2011-12. Revenue Gap pertaining to FY 2010-11 and FY 2011-12 is
carried forward and added to the revenue requirement of FY 2012-13.
2.2.14 Transaction between TANTRANSCO and TANGEDCO should be clear as they are
separate entities.
2.2.15 Transmission is a fixed cost business and recovery of the cost is based on transmission
capacity (MW) created and all CERC Regulations provides for recovery on MW basis. If
Transmission cost recovery is linked to kWh basis, it may lead to under or over
recoveries, depending upon generation achieved.
2.2.16 Some generators suggested that scheduling and operation charges should be waived off
for generators who have made SCADA system at their own cost. The Commission is of
the opinion that scheduling and operation charges collected by System Operation are
provided for the recovery of costs incurred by SLDC and is not linked to the
conditionality of SCADA system established by generators.
2.2.17 It is necessary to install Availability Based Tariff (ABT) compliant meters for the
purpose of measurement of real power and reactive power at interface points in intervals

of 15 minutes. The ABT compliant meters are essential for the purpose of proper grid
management, sending commercial signals for ramping up / backing down of generation
and increase / decrease of load.

3 ANNUAL TRANSMSSION CHARGES
The Commission for the purpose of Determination of Annual Transmission Charges for Tamil
Nadu Transmission Corporation Limited (hereinafter referred to as TANTRANSCO) has
analysed the following components:
Operation and Maintenance Expenses
3.1.1 The Operation and Maintenance Expenses comprises of the following:
a. Employee Expenses
b. Administration and General Expenses
c. Repair and Maintenance Expenses
3.1.2 TANTRANSCO in its Petition has projected employee costs by taking into account
employee strength and salary profile. On an average, 4% increase is proposed over FY
2010-11, for all the account heads in the FY 2011-12 and for the ensuing year FY 2012-
13.
3.1.3 It is also submitted that terminal benefits mainly include Gratuity & Commuted pension
paid to the retiring employees. TANTRANSCO submitted that Terminal benefits have
been growing over the past 5 years due to higher number of retiring personnel. Thus
terminal benefits expenses are estimated to show an increasing trend over the years.
3.1.4 TANTRANSCO submitted that since separate accounts are maintained for Generation
function, cost pertaining to generation function is removed from total cost of erstwhile
TNEB, to arrive at cost pertaining to T&D function. The total expenses up to 31-10-2010
for the financial year 2010-11 and the balance cost for T&D segment have been
apportioned on the basis of number of employees and gross fixed assets. For the period
from 1-11-2010 to 31-3-2011, the actual expenses of TANTRANSCO have been
considered.

3.1.5 TANTRANSCO submitted that the Employee Cost and Administrative & General Cost
have been apportioned on the basis of the number of employees. It was further submitted
that the retirement benefits have been projected considering Transfer Scheme and the
pension revision order.
3.1.6 TANTRANSCO in its reply dated 18.1.2012 to the deficiencies raised by the
Commission submitted that number of employees bifurcated between Transmission and
Distribution function works out to 16230 and 54820, respectively. The ratio works out to
be 22.84% and 77.16% for Transmission and Distribution function, respectively.
3.1.7 TANTRANSCO also submitted that R&M expenses for the Transmission System has
been arrived at based on the basis of Gross Fixed Assets.
3.1.8 The O&M expenses as submitted by TANTRANSCO are as under:

Commission’s View:
3.1.9 The Commission has been guided by Regulation 25 of Tamil Nadu Electricity Regulatory
Commission (Terms and Conditions for the determination of Tariff) Regulations, 2005
(hereinafter referred to as TNERC Tariff Regulations) while determining Operation and
Maintenance Expenses which states as under:
“25. Operation and Maintenance Expenses
1. The operation and maintenance expenses shall be derived on the basis of actual
operation and maintenance expenses for the past five years previous to current year
based on the audited Annual Accounts excluding abnormal operation and
maintenance expenses, if any, after prudence check by the Commission. The
Commission may, if considered necessary engage Consultant / Auditors in the
process of prudence check for correctness.

2. The average of such normative operation and maintenance expenses after prudence
check shall be escalated at the rate of 4% per annum to arrive at operation and
maintenance expenses for current year i.e. base year and ensuing year.
3. The base operation and maintenance expenses so determined shall be escalated
further at the rate of 4% per annum to arrive at permissible operation and
maintenance expenses for the relevant years of tariff period.
…”
3.1.10 The Commission observed that TANTRANSCO has submitted component wise O&M
Expenses for previous 6 years, i.e., FY 2005-06 to FY 2010-11. The Commission also
observed that R&M Expense as submitted by TANTRANSCO is within the limit
approved by the Commission in its last Tariff Order. The projection of FY 2011-12 and
FY 2012-13 is also consistent with Regulation 25 of TNERC Tariff Regulations. Hence,
the Commission has approved the R&M expenses as sought for by TANTRANSCO.

3.1.11 As regards A&G Expenses in FY 2010-11, the Commission notes that all components of
A&G Expenses except Miscellaneous charges as claimed by TANTRANSCO are
reasonable. The Commission observed that TANTRANSCO has submitted miscellaneous
charges as Rs. 10.39 Crore. However the last 5 years average for miscellaneous charges
is around Rs. 8.88 Crore. In absence of any explanation submitted by TANTRANSCO in
its Petition towards miscellaneous charges, the Commission has considered the same as
Rs. 8.88 Crore. The Commission further observed that the projection of FY 2011-12 and
FY 2012-13 is also consistent with Regulation 25 of TNERC Tariff Regulations. Hence,
the Commission has approved the A&G expenses as sought for by TANTRANSCO.

3.1.12 As regards employee expenses, the Commission finds that the gross employee expenses
as claimed by TANTRANSCO from FY 2010-11 to FY 2012-13 are reasonable.
Therefore the Commission has considered the same from FY 2010-11 to FY 2012-13.
The Commission has considered escalation of 4% on gross employee expense submitted
for FY 2010-11. However, the Commission observed that the average capitalisation of
employee expenses for period of FY 2005-06 to FY 2009-10 is 9%, whereas the
petitioner has projected a capitalisation of Rs 37.44 Crore for all the three years of
Control Period, which is around 6% of gross employee expenses of respective years. The
petitioner has also not substantiated the reason for such assumptions. Hence, the
Commission has assumed average capitalisation of 9% for the purpose of calculation of
net employee expenses. The summary of O&M expenses approved by the Commission is

3.2 Segregation of Fixed Assets
3.2.1 TANTRANSCO submitted that segregation of fixed assets for FY 2009-10 is done based
on the following:
a) For the financial year 2009-10, the opening balance of fixed assets are apportioned to the
two companies based on the segregation notified by Government of Tamil Nadu vide
G.O. Ms. 100 dated 1910-2010.
b) During the year, for additions and deductions for the transmission assets (i.e. Plant and
Machinery and Lines & Cables) a ratio of 55:45 is adopted for segregation between
Transmission and Distribution. This is the overall ratio of transmission and distribution
assets as per provisional transfer scheme notified vide G.O. Ms. 100 dated 19-10-2011.
3.2.2 TANTRANSCO submitted that segregation of fixed assets for FY 2010-11 is done based
on the following:
a) During the year additions and deductions up to 31.10.2010 for the transmission assets at
distribution circles (i.e. Plant and Machinery and Lines & Cables) a ratio of 55:45 is
adopted for segregation between Transmission and Distribution, which has been the
overall ratio of transmission and distribution assets as per provisional transfer scheme
notified vide G.O. Ms. 100 dated 19-10-2011.
b) The actual addition and deduction to the assets of transmission circles from November
2010 to March 2011 are segregated based on the monthly accounts of November 2010 to
March 2011 of TANTRANSCO circles.
3.2.3 TANTRANSCO submitted that addition to fixed assets for FY 2011-12 and 2012-13 is
based on:
a) Capital expenditure to be undertaken and its proportion of completion in each financial
year considering the past trend.
3.3 Capital Expenditure and Capitalisation
3.3.1 Regulation 17 (5) of the Tariff Regulations, 2005 and Regulation 3 (v) of the Tariff
Regulation under MYT framework specifies that the licensee shall get the capital
investment plan approved by the Commission before filing ARR and Application for
determination of Tariff. The TANTRANSCO has not complied with this provision.

3.3.2 The TANTRANSCO submitted the capital investment plan for 2010-11 to 2012-13 vide
its letter dated 09-02-2012 without capitalization schedule. This will be dealt with
separately by the Commission and its impact will be reflected in the Final Truing up for
FY 2010-11.
3.3.3 TANTRANSCO in reply to the deficiency raised by the Commission has submitted
following capital expenditure:

Commission’s View:
3.3.4 The Commission observed that the TANTRANSCO has over projected capital
expenditure plan in its last tariff petition and sought provisional approval from the
Commission. However actual Capital expenditure incurred vis-a-vis the capital
expenditure submitted in the last Tariff Petition for FY 2010-11 and FY 2011-12, is
around 58% and 80% respectively. The Commission further observed that the
capitalisation is even lower, i.e., around 52% and 49%, respectively. The Comparison of
actual figures as compared to figures in submitted in the last Tariff Petition is as under:

3.3.5 Regulation 6 (7) (i) (a) of the TNERC Tariff Regulations, 2005 specifies the following:
“A generation company or a licensee may make an application as per Appendix – I to
these Regulations, for determination of provisional tariff in advance of the anticipated
date of completion of the project, based on the capital expenditure actually incurred upto
the date of making of the application or a date prior to making of the application, duly
audited and certified by the statutory auditors, and the provisional tariff shall be charged
from the date of commercial operation of the respective units of the generation station or
the line or sub-station of the transmission system.”
3.3.6 The capital investment plan requires further analysis and explanation from
TANTRANSCO before according approval of cost proposed by TANTRANSCO.
Pending final approval, the Commission approves the Capital Expenditure submitted by
the petitioner provisionally.
3.3.7 The Commission hereby directs the Transmission licensee to submit all its schemes
within 90 days from issuance of the Order along with its cost benefit analysis.

The Commission observed that the data submitted in Form-3 was grossly overstated and
also not matching with either Form-1 or depreciation section of the Petition.
3.4.2 The Commission sought clarification on the basis and computation of depreciation from
TANTRANSCO. In the reply to the deficiency, TANTRANSCO requested to consider
the following average depreciation rates:

3.4.3 The Commission also noted that Vehicles asset classes were depreciated beyond 90% and
no proper justification was provided by TANTRANSCO to justify their depreciation
claim for this asset class. Hence, the depreciation for the same asset class has not been
considered. The depreciation approved by the Commission is shown in the table below:

3.5 Interest expenses
3.5.1 TANTRANSCO submitted the following basis of segregation of Loans between
TANGEDCO and TANTRANSCO:
a) REC and PFC loans are apportioned between TANGEDCO and TANTRANSCO as
per the provisional Balance Sheet mentioned in the G.O. Ms. No. 100, dated 19-10-
2010.
b) Generic loans (i.e.) loans availed from Banks, TNPFC, LIC, HUDCO and funds
raised through private placement of bonds are apportioned between TANGEDCO and
TANTRANSCO in the ratio of 40 : 60.
c) Due to non-revision of tariff, there is huge accumulated loss and huge borrowings.
TANTRANSCO has to repay the interest on loan and repayment of principal has
considerably increased. In order to meet out the huge repayment of loan by
TANTRANSCO, the borrowings have been increased to that extent.
d) For FY 2011-12, interest is being calculated at the average rate of interest for the
previous year outstanding balance. For the current year borrowing, interests are being
calculated at the rate of 11.75% p.a. for six months for the financial year 2011-12. In
respect of REC, PFC, TNPFC, Commercial Bank Loans and other loans, interests are
calculated on actual basis.
e) For FY 2012-13, interest is being calculated at the average rate of interest for the
previous year outstanding balance. For the current year borrowing, interests are being
calculated at the rate of 12.00%, 10.00% p.a., 11.75% p.a. and 10.50% p.a. for six
months for the financial year 2012-13 in respect of TNEB Bonds, REC, PFC,
TNPFC, and Commercial Bank Loans, respectively. Interest on LIC loan and
HUDCO are being worked on actual basis.
f) The TANTRANSCO’s (erstwhile TNEB) entire programmed capital expenditures,
repayment of loan, and payment of interest and also part of the other revenue
expenses are to be met out through borrowed funds in view of the non-availability of
internal source of funds due to non-rationalization of tariff.
Rural Electrification Corporation Ltd.
g) TNEB/TANTRANSCO has been availing loans from REC from the year 1970-1971
onwards to implement the system improvement. The REC interest rate is applicable
as on the date of disbursement of loan and not on the date of the sanction of loan. The

period of repayment of principal is 13 years (including moratorium period of 3 years).
The loan drawl period is 3 years for the distribution scheme and will be extended up
to one year at the request of the borrower. Each and every reimbursement of claim on
each scheme loan is treated as separate loan since the rate of interest differs.
Power Finance Corporation Ltd.
h) Power Finance Corporation Ltd., New Delhi, is also extending financial assistance for
specific Transmission and Distribution Schemes and also power projects. In addition
to this, short term loan for a period of six months to one year has also been availed to
meet expenditure.
HUDCO
i) HUDCO is providing financial assistance for a period of 15 years. The repayment of
loan is to be made in 56 quarterly installments. The present rate of interest is 13% p.a.
floating. As and when the interest rate increases/ reduces, the same effect will be
reflected in the rate of interest.
Life Insurance Corporation of India:
j) TNEB/TANTRANSCO has availed loan from Life Insurance Corporation of India.
The period of loan is 15 years. The repayment of loan is equal annual/semiannual
installments.
Commercial Banks:
k) TANTRANSCO is availing Medium term loans from commercial banks for the
purpose of meeting the capital expenditure and short term loan for meeting the
mismatch of the cash flow. The loans availed from the banks are being utilized for
meeting power purchase, payment commitments, repayment of principal and payment
of interest and other inevitable payments. The short term and medium term loans
carry an interest rate of more than 12.00% p.a.

3.5.2 Section 131 of Electricity Act 2003: “Vesting of Property of Board in State Government”
states as under:
“131. (1) With effect from the date on which a transfer scheme, prepared by the State
Government to give effect to the objects and purposes of this Act, is published or such
further date as may be stipulated by the State Government (hereafter in this Part
referred to as the effective date), any property, interest in property, rights and
liabilities which immediately before the effective date belonged to the State Electricity
Board (hereafter referred to as the Board) shall vest in the State Government on such
terms as may be agreed between the State Government and the Board.
(2) Any property, interest in property, rights and liabilities vested in the State
Government under sub-section (1) shall be re-vested by the State Government in a
Government company or in a company or companies, in accordance with the transfer
scheme so published along with such other property, interest in property, rights and
liabilities of the State Government as may be stipulated in such scheme, on such terms
and conditions as may be agreed between the State Government and such company or

companies being State Transmission Utility or generating company or transmission
licensee or distribution licensee, as the case may be :
Provided that the transfer value of any assets transferred hereunder shall be
determined, as far as may be, based on the revenue potential of such assets at such
terms and conditions as may be agreed between the State Government and the State
Transmission Utility or generating company or transmission licensee or distribution
licensee, as the case may be.
(3) Notwithstanding anything contained in this section, where,-
(a) the transfer scheme involves the transfer of any property or rights to any person or
undertaking not wholly owned by the State Government, the scheme shall give effect to
the transfer only for fair value to be paid by the transferee to the State Government;
(b) a transaction of any description is effected in pursuance of a transfer scheme, it
shall be binding on all persons including third parties and even if such persons or
third parties have not consented to it.” Emphasis Supplied
3.5.3 The Commission has considered loan allocated in the Transfer Scheme to
TANTRANSCO, for the purpose of opening loan balalnce for TANTRANSCO. The
Commission has also considered the Gross Interest expenses as submitted by
TANTRANSCO in the Petition.
3.5.4 As regards capitalisation of interest expenses, the Commission has considered the actual
capitalisation of interest expenses in FY 2010-11 as submitted by TANTRANSCO. For
FY 2011-12 and FY 2012-13, the Commission has considered the capitalisation of
interest expenses as 10% of average of opening and closing work-in-progress for
respective years. The capitalisation of interest expenses as calculated by the Commission
is tabulated below:

3.5.5 The Commission has observed in many places in this Order that there is a mix up
between the capital account and the revenue account. Equity as well as capital
borrowings have been diverted from time to time to meet the revenue expenses. Equity
being the owner’s investment, the Commission has taken a view that the return on equity
shall not be permitted if equity has been diverted for meeting revenue expenses. Further,
borrowings are also more than the investment shown for capital expenditure. This clearly
brings out the fact that capital borrowings have also been diverted for revenue
expenditure. This is also recognized by the policy paper which has been published in the
Government of Tamil Nadu Website.
3.5.6 The Regulations of the Commission are for normal situations and does not cover a
situation which is encountered now. Therefore, the Commission has to take a practical
view on this issue. The option available to the Commission is to disallow the interest
costs on the entire borrowings in excess of capital works which will be in line with the
Regulation but such a move would create a lot of confusion and may also affect the
borrowing ability of the TANGEDCO / TANTRANSCO. The proposal regarding
revaluation of assets in the two Transfer Schemes already issued by the Government of
Tamil Nadu may address the balance sheet problems but will not generate additional cash
to repay the existing loans which were borrowed. Loans would be carried forward for
final settlement. This issue may also be covered by the two committees constituted by
Government of India. viz., Shunglu Committee and Chaturvedi Committee. Shunglu
Committee has already submitted its report which is available in the website of Planning
Commission. The report of the Chaturvedi Committee is not available in public domain
yet. Under these circumstances, Commission is allowing the interest on entire borrowing
duly considering the loans shown in the Transfer Schemes and provisionally allows such
interest, subject to final adjustment when the audited accounts are made available. This
is also further subject to the actions taken by the appropriate authorities as well as the

TANGEDCO / TANTRANSCO with regard to handling of the past liabilities based on
the outcome of the above referred two reports and implementation thereof.
3.6 Return on Equity
3.6.1 TANTRANSCO in its Petition has submitted that it has allocated equity to Transmission
function based on Gross Fixed Assets and Return on Equity at 14% (post-tax) is
calculated. Return on Equity as sought by TANTRANSCO is as under:

3.6.2 Regulation 21 of TNERC Tariff Regulations states as under:
“21. Debt-Equity Ratio
For the purpose of determination of tariff, debt-equity ratio as on the date of
commercial operation of Generating Station and transmission projects, sub-station,
distribution lines or capacity expanded after the notification of these Regulations
shall be 70:30. Where equity employed is more than 30% the amount of equity shall
be limited to 30% and the balance amount shall be considered as loans, advanced at
the weighted average rate of interest and for weighted average tenor of the long term
debt component of the investment.
Provided that in case of a Generating Company or other licensees, where actual
equity employed is less than 30%, the actual debt and equity shall be considered for
determination of return on equity in tariff computation.”

3.6.4 The Commission observed that the loan borrowing is more than the capital expenditure
incurred by TANTRANSCO. The Commission also observed that TANTRANSCO has
submitted equity addition from FY 2010-11 to FY 2012-13. The Commission is of the
view that since the loan borrowing is more than the capital expenditure incurred from FY
2010-11 to FY 2012-13; the equity infusion shown by TANTRANSCO has been diverted
to revenue accounts and has been deployed for meeting Revenue expenditure. Therefore
the Commission has not allowed any Return on Equity from FY 2010-11 to FY 2012-13.
3.7 Other Debits and Prior Period Income
3.7.1 TANTRANSCO has accounted material cost variance, extra ordinary expenses, etc.,
under this head.
3.7.2 The expenses projected under this head are within the limit approved in the last Tariff
Order. Hence, the Commission accepts the projection of TANTRANSCO and approved
Other debits are shown in the table below:

3.7.3 The Commission has accepted the prior period income of Rs 6.38 Crore projected by
TANTRANSCO in its Petition for FY 2010-11.
3.8 Interest on Borrowing for Working Capital
3.8.1 The TANTRANSCO has claimed interest on working capital as a part of Interest on
Loan.
3.8.2 TANTRANSCO has been borrowing (short term loan / cash credit/ overdraft) for
working capital and interest on such borrowing is included along with interest on capital
loan and allocated to all the functions.
3.8.3 Hence, interest on working capital is not allowed separately.
3.9 Revenue from Transmission Charges for FY 2010-11
3.9.1 TANTRANSCO has prayed for redetermination of Transmission charges for FY 2010-11
and FY 2011-12, i.e., on retrospective basis
3.9.2 The Commission is of the opinion that tariff cannot be determined on retrospective basis
and for the purpose of this Order the Commission has done provisional truing up for FY
2010-11 and FY 2011-12, based on the revenue from transmission charges approved by
the Commission in its Order dated 31-7-2010.
3.9.3 The Commission in its Order dated 31-7-2010 has approved revenue from transmission
charges as Rs 1785.84 Crore and Rs 1916.58 Crore for FY 2010-11 and FY 2011-12,
respectively and the same has been considered for the purpose of true up.
3.9.4 Revenue Gap pertaining to FY 2010-11 and FY 2011-12 is carried forward and added to
the revenue requirement of FY 2012-13.

4 TRANSMISSION TARIFF
4.1 AVAILABLE TRANSMISSION CAPACITY
4.1.1 TANTRANSCO has arrived at the available capacity of transmission system for FY
2010-11, FY 2011-12 and FY 2012-13 as 8279.61 MW, 10646.47 MW and 12250.02
MW, based on the normative Plant Load Factor (PLF) of the generating system including
contracted supply connected to the grid.
4.1.2 TANTRANSCO has also proposed the postage stamp method so that uniform
transmission charges per MW taking the entire State as one segment could be arrived at
by dividing the annual transmission charges by the available capacity.
4.1.3 The CERC in Appendix IV to their CERC Tariff Regulation, 2009 have detailed the
procedures for calculation of transmission system availability and the formulae for
calculation of availability of each category of transmission element have been given.
4.1.4 The transmission system in TANTRANSCO does not have split up information on
different transmission line segments and other transmission elements. In the absence of
required information, the procedure outlined in CERC’s regulation cannot be followed.
4.1.5 The Commission has adopted the following definition for “Allotted Transmission
Capacity” in Tariff Regulations based on the guidelines in CERC’s Tariff Regulations.
“Allotted Transmission Capacity means the power transfer in MW between the specified
point of injection and point of drawal allowed to a long-term open access customer on
the intra-state transmission system under the normal circumstances and the expression
“allotment of transmission capacity” shall be construed accordingly.” Emphasis

4.1.6 As per Regulation 59 of TNERC’s Tariff Regulations, the transmission charges payable
by an open access customer shall be calculated by dividing the Aggregate transmission
charges by the sum of allotted transmission capacity to all the long-term open access
customers of the intra-state transmission system and multiplied by the capacity allotted to
that long-term open access customer.
4.1.7 However, the Commission is of the opinion that transmission capacity should be
determined based on system studies and hence, the Commission raised a query on the

issue, asking TANTRANSCO to submit the maximum transmission capacity of the
System.
4.1.8 TANTRANSCO confirmed that total transmission capacity of TANTRANSCO is 13000
MW for FY 2012-13.
4.1.9 The Commission has considered the available transmission capacity from 13000 MW for
FY 2012-13, based on the submission of TANTRANSCO on query raised by the
Commission on maximum transmission capacity of the State.

4.2 Transmission Charges payable by Short-term Customers
4.2.1 TANTRANSCO submitted that short-term open access consumer and inter-State OA
consumers using Intra-State network shall be charged at 50% of transmission charges
applicable to long-term access consumer on MWhr basis.
4.2.2 CERC in its Order dated 29.4.2011 on Approval of Transmission Service Agreement,
Revenue Sharing Agreement, Billing, Collection and Disbursement Procedure under
Central Electricity Regulatory Commission (Sharing of Transmission Charges and
Losses), Regulations, 2010 ruled that:
“8.3 Point of Connection (PoC) Charges for Long Term Access, Medium Term
Open Access and Short Term Open Access
8.2.1 There shall be no differentiation in PoC charges, as determined by the
Implementing Agency for the Application Period, among the long-term access,
medium-term open access and short-term open access to the ISTS.”
4.2.3 The Commission based on above mentioned CERC Regulation, rules that there shall be
no differentiation in Intra-State transmission charges, among the long-term access,
medium-term open access and short-term open access to the Intra-State Transmission
system.

4.3 Energy Losses
4.3.1 TANTRANSCO in its Tariff petition stated that:
“As per Regulation 16 of the Intra –State Open Access Regulation, 2005- The open
access customers shall bear average energy losses in the transmission system as
estimated by the State Load Dispatch Centre. The energy losses in the transmission
system shall be compensated by additional injection at the injection point(s).”

4.3.2 The Commission accepts the submission of TANTRANSCO.
4.4 SCHEDULING AND SYSTEM OPERATION CHARGES
4.4.1 TANTRANSCO has submitted that Scheduling and System Operating Charges should be
Rs. 2000 per day or part of the day for long term as well as short term open access
customers, as approved by Central Electricity Regulatory Commission (CERC).

4.4.2 The Commission in its Order No. 2 dated May 15, 2006 fixed composite Scheduling and
System Operation Charges on the basis of charges specified by CERC and Other
Commissions which are as under:
a. Long Term Open Access Consumers-Rs. 1000 per day or part thereof
b. Short Term Open Access Consumers- Rs. 500 per day per transaction.
4.4.3 Section-17 of CERC (Open Access in Inter-state Transmission) Regulations, 2008 states
as under:
“Operating Charges
17 (1) Operating charges at the rate of Rs. 2,000 /- per day or part of the day for
each bilateral transaction for each of the Regional Load Despatch Centre
involved and at the rate of Rs.2,000 /- per day or part of the day for each
State Load Despatch Centre involved shall be payable by the applicant.
...”
4.4.4 Accordingly the Commission has considered the composite Scheduling and System
Operating Charges of Rs. 2000 per day for long term as well as short term open access
customers.
4.5 REACTIVE ENERGY CHARGES
4.5.1 TANTRANSCO has submitted that CERC has approved the reactive energy charges as
10 paise/KVARh w.e.f 1-5-2010 and requested the Commission to also fix the reactive
energy charges as 10 paise per KVARh.
4.5.2 The open access customer shall endeavour to minimize the reactive power drawal at an
interchange point when the voltage at that point is below 95% of rated and shall not
return reactive power supply when the voltage is above 105% rated.
4.5.3 As per regulation 62 (c) of the TNERC’s Tariff Regulations 2005, the reactive energy
charges would be a variable charge reflecting voltage related drawal of Reactive Power
and Reactive Power drawals by beneficiaries are to be priced as follows:-
a) The beneficiary pays for reactive power drawal when voltage at the metering
point is below 97%
b) The beneficiary gets paid for reactive power (return) supply when voltage is
below 97%
c) The beneficiary gets paid for reactive power drawal when voltage is above 103%

d) The beneficiary pays for reactive power (return) supply when voltage is above
103%
e) The charges for reactive energy shall be as decided by the Commission.
4.5.4 Reactive energy flows in the transmission network reduces the active power carrying
capability of the system apart from increasing transmission losses and reducing voltage at
the points of drawal. Reactive energy flows can be compensated by means of capacitor
installations in the local networks.
4.5.5 Further, in the context of open access regime, reactive energy management by
distribution company (DISCOM) would play a critical role in maintaining steady voltage
profile of grid. Poor reactive energy management would result in sub-optimal utilization
of transmission resources. Hence, pricing (‘Tariff’) for reactive energy drawal should be
such that it provides stronger economic signal for better reactive power management by
the DISCOM or Transmission Open access Users. Appropriate incentive and penalty
mechanism for reactive energy drawal/injection linked to voltage at inter-connection
point should also be devised in order to encourage better demand side management
practices.
4.5.6 As such, for the inter-State energy transactions, the associated reactive energy has not
been assigned a price, but there is a scheme under the Indian Electricity Grid Code, 2010
notified on April 28, 2010, which penalizes reactive energy drawal and rewards reactive
energy injection @ 10.00 paise/kVARh, w.e.f April 1, 2010, escalated at 0.5
paise/kVARh when the voltage at the inter-State connection point is below 97% of
nominal value. Similarly, the scheme penalizes reactive energy injection and rewards
reactive energy drawal @ 10.00 paise/kVARh, w.e.f April 1, 2010, escalated at 0.5
paise/kVARh, when the voltage at the inter-State connection point is above 103% of
nominal value. The reactive energy accounting is done by the RLDCs based on the
readings of the Special Energy Meters (SEMs) installed at the point of interconnections
over the inter-State transmission system.
4.5.7 Hence, the Commission rules that a rate of charge for such reactive energy exchange for
the applicable duration (injection or absorption) will be levied/compensated at the rate of
10.00 paise/kVARh for FY 2012-13 escalated at 0.5 paise/kVARh annually in subsequent
years, unless otherwise revised by Commission.

5 Summary of Directives
5.1 Directives
5.1.1 The Commission directs TANTRANSCO not to mix capital accounts and revenue
accounts, hereafter and the same shall be revisited in next tariff determination process.
5.1.2 The Commission directs the TANTRANSCO to submit all its capital schemes for the
Commission’s approval within 90 days from issuance of the Order along with its cost
benefit analysis.
5.1.3 The Commission directs TANTRANSCO to submit status of ring fencing of SLDC
function within 90 days of issuance of this Order.
5.1.4 The Commission directs SLDC to submit its petition for approval of its budget from the
Commission.
5.1.5 The Commission directs the TANTRANSCO to properly monitor the on-going projects
to ensure that all the associated transmission system for evacuation of power from the
generating stations which are getting commissioned during the year 2012-13 so that
power generated from the generating stations are transmitted up to the Load Centers
without any bottle necks. All these arrangements will have to be carried out through a
well structured business plan and individual schemes matching with the business plan.
All such plans and schemes shall be submitted in accordance with the Terms and
Conditions of Tariff Regulations 2005, MYT Tariff Regulations as well as Licensing
Conditions to the Commission.
