Chapter Bylaws

In 2010, Trout Unlimited developed and approved model bylaws for Councils and Chapters to use so that they would

be consistent with the National bylaws. Because of this, the Officers and Directors of the Chapter have been working

over the summer months (in between fishing) to review and update our bylaws. The bylaws that we have been oper-

ating under were not signed or did not have any dates on them to show when they were adopted or modified and it

had been considerable time since they were reviewed.

As part of this newsletter, we have included a copy of the Chapter bylaws for you to review. The bylaws have been

updated with the requirements and suggestions of Trout Unlimited and of the needs of our Chapter. Please review

them and let us know of any comments or questions that you have. The bylaws will be voted on at the November 9,

2016 meeting of the Chapter.

Dr. Mel Zimmerman Receives State

Award

Dr. Mel Zimmerman received the Outstanding Cold-

water Conservationist, Professional Award at the recent

Pennsylvania Council of Trout Unlimited’s annual meet-

ing. Shown above are (left) Ed O’Gorman (PaTU

(Vice President of Susquehanna TU), and Tali MacAr-

thur (Program Director of PaTU)

The following was written by Chapter President Walt

Nicholson in describing Dr. Zimmerman’s efforts:

“Dr. Mel Zimmerman retired this year as Professor of

Biology at Lycoming College. Dr. Zimmerman has

demonstrated exceptional initiative and dedication to

cold water fisheries conservation throughout his career

of 37 years at Lycoming College where he created the

Clean Water Institute. This has played an instrumental

role in the monitoring of streams for the PFBC’s Un-

assessed Waters Program throughout northern Pennsyl-

vania. He has had a profound positive influence on hun-

dreds, if not thousands, of students who have gone on to

careers in fisheries biology, including many scientists

working for the PFBC. He has extraordinary energy and

interest in teaching and had taken lead roles in creating

“college for kids” at Lycoming College. The Williams-

port Municipal Water Authority’s Waterdale Environ-

mental Education Center, and the Susquehanna Heart-

land Coalition. Zimm has partnered with TU on many

projects and is active in the Loyalsock Creek Watershed

Association and other local conservation efforts to

monitor and advocate for water quality protection and

improvements in countless cold water streams in north-

ern Pennsylvania.”

Congratulations Mel, we thank you for everything

that you have done for the fisheries and watersheds

in our area!!!

US Fly Fishing Teams win medals

The 15th FIPS-Mouche World Youth Fly Fishing

Championships were held in Spain on August 8-14,

2016 and the US fly fishing team won the silver. France

won the Gold and the Czech Republic won the bronze.

The 36th Fips Mouche World Fly Fishing Champion-

ships were held in Vail, Colorado on September 11-18,

2016 and the US Team won the bronze medal (289 fish

were caught). Spain won the Gold medal and France

took the Silver.

Year in Review (2015 - 2016)

It is hard to believe that another year has passed (we

operate on a fiscal year from October 1 through Septem-

ber 30) and it is time to look at what we have done in

that time. We have been very successful in what we

have accomplished and we are extremely fortunate to

have individuals who dedicate their time for the many

projects and activities that we are involved in. Without

this dedication and commitment, we would not be as

successful as we are and our Chapter would not exist.

We lost our friends and Chapter members Dick

Leaver, John Eby, Albert Eschenbach, and Bob

Rinn

Project Healing Waters – we continue to have a suc-

cessful program for our local disabled vets with

monthly fly tying class’s. We also had a 4 day fish-

ing outing on Penn’s creek at Camp Guttulata.

Helped provide watershed education to local ele-

mentary schools and student teachers

Hosted a CCC water quality monitoring training

session led by Jake Lemon and organized 6 teams of

volunteers to do local stream monitoring

Ongoing monitoring of 5 sites on the headwaters of

Rock Run, a tributary to Lycoming Creek as part of

a Coldwater Heritage Partnership planning project

Accompanied TU Eastern Brook Trout staff and

interns on two field survey days of the upper Rock

Run Watershed

Had a successful sale of donated fishing items. All

donated and included all types of fishing gear and a

large inventory of fly tying materials from the for-

mer E Hille Fly Shop. This sale was our fundraiser

and we are looking at having another sale in the fu-

ture

Arranged for a Trout in the Classroom program for

Montgomery High School

Participated in Women’s only fly fishing event or-

ganized by State Council

Assisted local Boy Scout Council with a casting

demo and fish and aquatic biology station at their

spring Camporee

Participated in “Get Hooked on Scouting” fishing

and recruiting event with local Boy Scout Council

Assisted the Loyalsock School District with a day

camp at Loyalsock Creek to teach about aquatic bi-

ology and fishing opportunities

Participated in Muncy Heritage Park Fishing Derby

for kids and assisted with fishing

Assisted Penn State PhD Candidate in tagging trout

in Loyalsock Creek Watershed for trout movement

Proposed Bylaws: Susquehanna Chapter of Trout Unlimited

Article I. Organization and Purpose

Section 1: The name of the organization shall be Susquehanna Chapter, Trout Unlimited, hereinafter referred to as the

“Chapter.”

Section 2: The Chapter shall be unincorporated and the purposes for which the Chapter is formed are as follows: to

act exclusively for charitable, educational and scientific purposes and specifically to preserve, conserve, and protect

trout and other salmonoid fish as game fish and to work with and encourage constituted authorities and other conser-

vations organizations to that end through scientific, yet practical, trout management; through proper land, water and

watershed management to provide desirable food and habitat; through sound fishing regulations to preserve the trout

and other salmonoid fish populations; and to hold educational conferences in cooperation with scientific and conser-

vation departments of education institutions and to publish the findings of such conferences, or the reports of scien-

tific research and related information in the field of conserving and preserving trout and other salmonoid fish as game

fish for the education of both members and general public.

Section 3: The Chapter is a subsidiary organization of Trout Unlimited, Inc., a Michigan non-profit corporation and is

under its authority. The Chapter shall carry out the aims and purposes of Trout Unlimited and all policies, objectives

and activities pursued by the Chapter and its members shall be in conformity with the Bylaws and policies of Trout

Unlimited. The Chapter’s use of the TU name, logo and Chapter affiliation with other organizations and businesses

shall conform to TU policies.

Section 4: The Chapter and all members acting on its behalf shall not finance, promote or oppose the candidacy of

any person seeking election to public office and shall not participate or intervene in any campaign on behalf of any

candidate for public office.

Section 5: The Chapter shall not conduct or carry on any activities, including the expenditure of funds, not permitted

to be conducted or carried on by a tax exempt organization under the provisions of Section 501(c)(3) of the Internal

Revenue Code of 1954, as amended.

Article II. Membership

Section 1: Payment of annual dues to Trout Unlimited is the only requirement for membership in Trout Unlimited

and the Chapter. The Chapter shall not assess any additional dues or fees and shall not establish classes of member-

ship.

Section 2: Payment of annual dues to Trout Unlimited shall automatically make one a member of the Chapter, if the

member resides in the Chapter’s geographical area. Any Trout Unlimited member in good standing from a different

chapter’s geographic area may elect to become a member of the Chapter.

Section 3: The By-laws of Trout Unlimited shall govern the suspension or expulsion of Chapter members.

Section 4: No Chapter officer, director or member may transfer, sell, barter, or lease to any person or entity the mem-

bership list or the names, addresses, contact information or other personal information of the members.

Article III. Membership Meetings

Section 1: The annual meeting of this Chapter shall be at a place and a time, in either October or November which

shall be determined by the Board of Directors, at which time elections will take place, and the President and Treas-

urer shall present annual reports to the members.

Notice of each annual meeting shall be mailed to the members of record directed to his or her last known post office

address if a member has so requested, or by electronic mail, or published in the Susquehanna Ripples, the Chapter

newsletter and posted on the Chapter's website and/or the Chapter's electronic social media site at least fifteen (15)

days immediately preceding said meeting, provided, however, that a failure to so provide such a notice, or any irregu-

larity in the same shall not affect the validity of any such annual meeting, or any proceedings at such meeting. The

meeting notice shall include the date, time, place and agenda of the annual meeting and slate of officers and directors

nominated for election by the Nominating Committee.

Section 2: Special meetings of the members may be called upon request by the President, a majority vote of the Board

of Directors; or upon demand in writing signed by not less than half of the Chapter members in good standing. Unless

notice is waived by all members, notice of any special meeting, including date, time, place and agenda, must be given

at least seven (7) days in advance pursuant to Article III, Section 1.

Section 3: Regular meetings shall be at a date, time and place determined by the Board of Directors.

Section 4: At any meeting of the members, a majority of those present who are in good standing and/or those repre-

sented by proxy, shall constitute a quorum and a simple majority vote of those present is required to approve any offi-

cial action.

Section 5: At each meeting of the members, every member shall be entitled to a vote in person or by proxy appointed

by an instrument in writing subscribed by such member, or by his or her duly authorized attorney. The vote for Direc-

tors and upon any question before a meeting, shall be by acclimation unless a majority of members and entitled to

vote shall demand that the voting for that meeting be by ballot. The Executive Officers shall be elected in the same

manner. A simple majority vote of those Chapter members in good standing present or by proxy at the annual busi-

ness meeting will be sufficient to elect all Officers and Directors.

Section 6: Robert’s Rules of Order, Newly Revised shall govern the meetings on all matters relating to order and pro-

cedure, including nominations and elections. Only current members of Trout Unlimited shall be permitted to vote at

any meeting of the members as evidenced by a true and complete list in alphabetical order of all the members entitled

to vote at such meeting, certified by the Secretary or Treasurer.

Article IV. Board of Directors

Section 1: The property, finances, and affairs of the Chapter shall be managed and controlled by a Board of Directors

composed as hereinafter provided.

Section 2: The Board of Directors shall be composed of six (6) non-officer elected Directors, the Executive Officers

pursuant to Article V, and the immediate past President. At the annual membership meeting in October or November,

there shall be chosen from the qualified membership two (2) persons to serve as members of the Board of Directors,

each of whose term shall expire at the end of three (3) years, with the terms staggered to provide for continuity. The

aforesaid six (6) members of the Board of Directors shall be elected by a direct vote of the members of this Chapter.

Section 3: The regular meetings of the Board of Directors shall be held at a time and at a place as the Board of Direc-

tors shall decide. Special meetings of the Board of Directors may be called by the President on seven (7) days' notice

or majority of the Board of Directors. Unless notice is waived by all members of the Board of Directors, notice of any

special meeting, including date, time, place and agenda, must be given at least seven (7) days in advance. Notice may

be in writing or by electronic communication, including fax or electronic mail.

Section 4: Not less than five (5) members of the Board of Directors shall be necessary to constitute a quorum of the

Board for the transaction of business. A simple majority vote of those present is required to approve any official ac-

tion. Any Director, excepting the Executive Officers, who shall be absent from three (3) consecutive meetings of the

Board of Directors shall stand automatically removed unless such absence is excused by formal action of the Board.

Section 5: The President shall serve as Chairman of the Board of Directors, and in his or her absence, the Vice-

President shall serve, and in his or her absence, whomever the Board shall elect.

Section 6: The Board of Directors may authorize the creation of an Executive Committee composed of the President,

Vice-President, Secretary, Treasurer and one or more members of the Board, to act with the authority of the Board of

Directors between meetings of the Board of Directors.

Article V. Officers and Duties

Section 1: The Executive Officers of this Chapter shall be: President, Vice-President, Secretary, and Treasurer, all of

whom shall ipso facto and ex officio be members of the Board of Directors, and following election shall serve for a

term of one year.

Section 2: The Board of Directors may appoint such other subordinate officers and committees as they may deem

necessary who shall have such authority and perform such duties as may be prescribed by the Board of Directors. In

its discretion, the Board of Directors, by vote of the majority thereof, may leave unfilled for any period as it may fix

by resolution, any subordinate office. Under this authority, the Board of Directors may select an Executive Director

to have active charge of the business of the Chapter under the direction of the President and Board of Directors, and

who, at the same time be an elected officer.

Section 3. The President shall be the Chief Executive Officer of the Chapter. He or she shall have the general and

active management of the business and affairs of the Chapter. With the Treasurer, he or she may sign and execute in

the name of the Chapter, all contracts, agreements and the obligations of the Chapter subject to the approval of the

Board of Directors. He or she shall have the general supervision of all other officers and committees of the Chapter,

and shall see that their duties are properly performed. He or she shall submit a report of the operations of the Chapter

to the members at each annual meeting, and from time to time shall report to the Directors all matters within his or

her knowledge and which the interests of the Chapter may require to be brought to their notice. He or she shall do or

perform other such duties as from time to time may be assigned to him or her by the Board of Directors. The office of

President shall not be held by one person for more than three (3) elected terms in succession.

Section 4: The Vice-President shall preside at any meeting of the members from which the President may be absent,

and serve as Chairman of the Board of Directors in the absence of the President. In the event the office of President is

vacant for any reason, the Vice-President shall become President and serve for the unexpired term. He or she may

perform any of the duties of the President when directed to do so by the Board of Directors.

Section 5: The Treasurer shall, if determined by the Board of Directors, cause to be executed and file with the Presi-

dent at the direction of the Board of Directors, a bond in the amount to be determined by the Board of Directors, and

he or she shall at all reasonable times exhibit his books, records, and accounts to any Director upon application, and

shall perform generally all the duties pertaining to the office of Treasurer of a Chapter subject to the control of the

Board of Directors. The Treasurer shall have custody of all the funds and securities of the Chapter. With the Presi-

dent, he or she may sign and execute the name of the Chapter all contracts, agreements and other obligations of the

Chapter, subject to the approval of the Board of Directors. When necessary or proper, he or she shall endorse on be-

half of the Chapter for collection, all checks, notes, drafts and other obligations and shall deposit same to the credit of

the Chapter in such bank or banks as the Directors may designate. All checks or warrants for the disbursement of

funds of the Chapter shall be signed by at least two Officers.

The Treasurer shall

A. Cause to be entered regularly in the books of the Chapter to be kept for that purpose, full and accurate ac-

counts of monies received and paid on account of the Chapter, and whenever required by the Board of Directors, shall

render a statement of the Chapter's accounts and report to the membership,

B. Submit a complete Annual Financial Report (AFR) for the Chapter to Trout Unlimited prior to the dead-

line set by Trout Unlimited. The AFR will be in compliance with the policies and requirements of Trout Unlimited

and will contain a complete and accurate accounting of all revenues, expenses, volunteer hours by members of the

Chapter and any additional items prescribed within the AFR form,

C. Will make all necessary filings with the Internal Revenue Service and state and local authorities, and

D. Upon request, permit access to the Chapter’s books, records and accounts by any Chapter Officer, Director

or designated representative of the State Council and/or Trout Unlimited.

Section 6: The Secretary shall keep the minutes of all meetings of the Board of Directors and the membership. He or

she shall keep an accurate and current record of all memberships, and shall attend to the giving and serving of all no-

tices of the Chapter as provided for in these Bylaws.

Article VI. Election, Terms, Vacancy

Section 1: The Executive Officers and two (2) non-officer members of the Board shall be elected to office at the an-

nual meeting in October or November for the terms designated. A nominating committee shall present a list of candi-

dates at least thirty (30) days prior to the annual meeting. The nominating committee shall be composed of those Di-

rectors whose term does not expire at the time of the election. Nominations may also be made from the floor at the

annual meeting.

Section 2: It is expressly provided and intended that a term year is hereby determined as being the year between the

months following the regular annual meeting dates.

Section 3: If the office of any Director, the Vice-President, Secretary, or Treasurer is vacant by reason of death, resig-

nation, disqualification or otherwise, his or her successor shall be elected by the Board of Directors at any regular or

special meeting and such successor shall hold office for the unexpired term.

Article VII. Chapter Emblem

Section 1: Until otherwise decided the Chapter emblem shall be the official Trout Unlimited patch design.

Article VIII. Fiscal Year

Section 1: The Chapter’s fiscal year shall be the same as that of Trout Unlimited.

Article IX. Amendment of Bylaws

Section 1. The Bylaws of this Chapter may be added to, or amended or repealed in whole or in part at any regular or

special meeting, provided, however, that written notice of the intention to add to, or amend, or repeal the Bylaws, in

whole or in part, shall be given each member of record to be mailed to the members of record directed to his or her

last known post office address if a member has so requested, or by electronic mail, or published in the Susquehanna

Ripples, the Chapter newsletter and posted on the Chapter's website and/or the Chapter's electronic social media site

at least thirty (30) days preceding such meeting of the members. The Bylaws may be added to, amended, or repealed

in whole or in part, at any regular or special meeting by a vote of at least two-thirds of the qualified members present

and voting. Any amendment to these Bylaws shall be consistent with the bylaws of Trout Unlimited. If any amend-

ment of these Bylaws is required in order to make them consistent with the bylaws of Trout Unlimited, a vote of a

simple majority of those present and permitted to vote shall be sufficient to pass the amendment.

Susquehanna Chapter of Trout Unlimited

Article IX. Assets and Dissolution

Section 1: No part of the income, earnings or assets of the Chapter shall inure to the benefit of, or be distributed to,

any member, director or officer of the Chapter or any private individual or organization whose income or net earnings

or any part thereof inure to the benefit of any private shareholder or individual, except that reasonable compensation

may be paid for services rendered to or for the Chapter in effecting one or more of its purposes. Chapter members,

officers and directors may be reimbursed for expenses incurred for or on behalf of the Chapter (pursuant to and upon

authorization of the Board of Directors).

Section 2: All Chapter expenditures shall be broadly consistent with the mission of Trout Unlimited.

Section 3: The Chapter may not acquire or hold any new interest in real property, including easements, except with

prior written approval from Trout Unlimited.

Section 4: Upon dissolution of the Chapter, all assets of the Chapter shall revert to the State Council. These assets

will be held and/or redistributed in consultation with Trout Unlimited.

These bylaws will be voted on at the November 9, 2016 meeting of the

Susquehanna Chapter of Trout Unlimited.

Chapter meetings Held on the 2nd Wednesday of each month and are open to

the public and begin at 7:30 pm (unless otherwise noted).

Meetings are held at the First Presbyterian Church of Wil-

liamsport in the Fellowship Hall (unless otherwise noted),

102 East 3rd Street, Williamsport. Parking is in the rear of

the Church along Mulberry Street.
