Toestablishcomprehensivedisclosurerequirementswithrespecttospendinginfederalelections,creatingasystemofreal-time,onlinetransparency

TITLEISHORTTITLE.ThisActmaybecitedasthe`StopUndisclosedPaymentsinElectionsfromRuiningPublicAccountabilityinCampaignsActorSuperPACAct.TITLEIIPROMOTINGDISCLOSUREOFINFLUENTIALMONEYINELECTIONS

SUMMARY:Definesindependentexpendituresandelectioneeringcommunicationsto

ensurecompletedisclosureofallcampaignexpendituresthatincludeexpressadvocacy

orthefunctionalequivalentofexpressadvocacy.Suchchangeswouldprevent

SuperPACsorother501(c)organizationsfromexploitingexistingloopholesthat

enablethemtoengageinelectioneeringcommunicationswithnodisclosureofdonors.

Anydonorwhomakesacontributionoveraspecifiedthresholdtoanorganizationthatmakesindependentexpendituresorelectioneeringcommunicationsmustbeidentifiedinthedisclosurereport.Separateaccountsmaybesetupfornon-election

relatedspendingbytheorganizationanddonorstosuchaccountsmayremainanonymous.Anygroupthatmakescontributionsoveracertainthresholdtoan

organizationthatmakesindependentexpendituresorelectioneeringcommunications

shouldbedeemedashavingmadeanindependentexpenditureorelectioneeringcommunication,andwillhavetodiscloseitsdonorsaswell.Thispreventshidingtrue

donorsbylaunderingtheircontributionsthroughorganizationsthatarenotrequired

todisclose.

SEC.201.INDEPENDENTEXPENDITURES.

(a)RevisionofDefinition-Subparagraph(A)ofsection301(17)oftheFederalElectionCampaignActof1971(2U.S.C.431(17))isamendedtoreadasfollows:

`(A)that,whentakenasawhole,expresslyadvocatestheelectionordefeatofaclearlyidentifiedcandidate,oristhefunctionalequivalentofexpressadvocacybecauseitcanbeinterpretedbyareasonablepersononlyasadvocatingtheelectionordefeatofacandidate,takingintoaccountwhether

thecommunicationinvolvedmentionsacandidacy,apoliticalparty,orachallengertoacandidate,ortakesapositiononacandidate'scharacter,qualifications,orfitnessforoffice;and'.

SEC.204.RULESREGARDINGUSEOFGENERALTREASURYFUNDSBYCOVERED

ORGANIZATIONSFORCAMPAIGN-RELATEDACTIVITY.

TitleIIIoftheFederalElectionCampaignActof1971(2U.S.C.431etseq.)isamendedbyaddingattheendthefollowingnewsection:

`SEC.325.SPECIALRULESFORUSEOFGENERALTREASURYFUNDSBYCOVEREDORGANIZATIONSFORCAMPAIGN-RELATEDACTIVITY.

`(a)UseofFundsforCampaign-RelatedActivity-

`(1)INGENERAL-SubjecttoanyapplicablerestrictionsandprohibitionsunderthisAct,acoveredorganizationmaymakedisbursementsforcampaign-relatedactivityusing

`(A)amountspaidordonatedtotheorganizationwhichare

designatedbythepersonprovidingtheamountstobeusedforcampaign-relatedactivity; `(B)unrestricteddonorpaymentsmadetotheorganization;and

`(C)otherfundsoftheorganization,includingamountsreceivedpursuanttocommercialactivitiesintheregularcourseofacoveredorganization'sbusiness.

`(2)NOEFFECTONUSEOFSEPARATESEGREGATEDFUND-Nothinginthissectionshallbeconstruedtoaffecttheauthorityofacovered

organizationtomakedisbursementsfromaseparatesegregatedfundestablishedandadministeredbytheorganizationundersection316(b)(2)(C).

`(b)RestrictionsonUseofFundsforCampaign-RelatedActivity-

`(1)CERTIFICATIONAFTERRECEIVINGNOTIFICATIONBYDONORTONOTUSEFUNDSFORACTIVITY-Ifanypersonwhomakesadonation,payment,or

transfertoacoveredorganization(otherthanthecoveredorganization)notifiestheorganizationinwriting(atthetimeofmakingthedonation,payment,ortransfer)thattheorganizationmaynotusethedonation,payment,ortransferforcampaign-relatedactivity,notlaterthan7daysaftertheorganizationreceivesthedonation,payment,ortransfertheorganization

shalltransmittothepersonawrittencertificationbythechieffinancialofficerofthecoveredorganization(or,iftheorganizationdoesnothaveachieffinancialofficer,thehighestrankingfinancialofficialoftheorganization),underpenaltyofperjury,that

`(A)theorganizationwillnotusethedonation,payment,ortransferforcampaign-relatedactivity;and

`(B)theorganizationwillnotincludeanyinformationonthepersoninanyreportfiledbytheorganizationundersection304withrespecttoindependentexpendituresorelectioneeringcommunications,sothat

thepersonwillnotberequiredtoappearinasignificantfunderstatementoraTop5Funderslistundersection318(e).

`(2)EXCEPTIONFORPAYMENTSMADEPURSUANTTOCOMMERCIALACTIVITIES-Paragraph(1)doesnotapplywithrespecttoanypaymentortransfermadepursuanttocommercialactivitiesintheregularcourseofacoveredorganization'sbusiness.

`(c)CertificationsRegardingDisbursementsforCampaign-RelatedActivity-

`(1)CERTIFICATIONBYCHIEFEXECUTIVEOFFICER-If,atanytimeduringa

calendarquarter,acoveredorganizationmakesadisbursementoffundsforcampaign-relatedactivityusingfundsdescribedinsubsection(a)(1),thechiefexecutiveofficerofthecoveredorganization(or,iftheorganizationdoesnothaveachiefexecutiveofficer,thehighestrankingofficialoftheorganization),underpenaltyofperjury,shallfileastatementwiththeCommissionwhichcontainsthefollowingcertifications:

`(A)Noneofthecampaign-relatedactivityforwhichtheorganizationdisbursedthefundsduringthequarterwasmadeincooperation,consultation,orconcertwith,orattherequestorsuggestionof,anycandidateoranyauthorizedcommitteeoragentofsuchcandidate,or

politicalcommitteeofapoliticalpartyoragentofanypoliticalparty.`(B)Thechiefexecutiveofficerorhighestrankingofficialofthecoveredorganization(asthecasemaybe)hasreviewedandapprovedeachstatementandreportfiledbytheorganizationundersection304withrespecttoanysuchdisbursementmadeduringthequarter.`(C)Eachstatementandreportfiledbytheorganizationundersection
