1. This Court has jurisdiction of the mbj ect matter of this case and there is good

cause to believe it witl hwe jurbdiction over all parties hereto,

2. There is good cause to believe that Dcihdants Universal Cybarcorn Corporation

and Mauricio Paz ('?la23 have engaged and are likeIy to engage in acts and

that violate Section S(a) of the FTC Aof 15 U.S.C. g 45(a), and the Commission's Rule entitled
