Regina Amolsch Regina Amolsch is a Partner with Plave Koch PLC. Ms. Amolsch concentrates her practice in franchising, licensing, and distribution issues, as well as general corporate transactions. She provides advice and counseling on franchise relations, terminations, transfers, regulatory compliance, establishment and operation of franchise systems, and dispute resolution. Her experience includes preparation and negotiation of franchise and license agreements and disclosure materials for domestic and international development, and creation of documents for various business transactions and relationships, including business sales, transfers, and advertising cooperatives. She has a special focus on the application of technology to franchise and distribution systems. Before entering law firm practice, Ms. Amolsch served in-house as the Assistant Counsel for Hooters of America, Inc., the national franchisor and operator of the “Hooters” restaurant chain.

Corby Anderson

Corby Anderson is a Partner with McGuireWoods LLP. Her practice focuses on commercial and franchise litigation, intellectual property, and media law. Ms. Anderson has defended clients in a variety of nationwide and statewide class action lawsuits, including a class action over the administration of franchise advertising funds. She has represented clients in litigation involving trademark, copyright, patent, trade secret, non-compete, and unfair trade practice claims, as well as other contract and business tort disputes. Ms. Anderson is an editor for the ABA Franchise Law Journal and co-author of the North Carolina and Fourth Circuit chapters of the Media Law Resource Center’s annual 50-State Survey of Libel Law. She has co-authored articles for ABA publications and has presented programs for the ABA Forum on Franchising. Ms. Anderson earned a B.A. magna cum laude from the College of William and Mary and a J.D. from the University of Virginia School of Law.

Stephen Aronson Stephen Aronson is a Managing Director and the General Counsel of Roark Capital Group, an Atlanta based private equity fund. Mr. Aronson serves on the Board of Directors of several Roark portfolio companies including FOCUS Brands, Carvel, Schlotzsky’s, McAlister’s Deli, Moe’s Southwest Grill, Cinnabon, Batteries Plus, Primrose Schools, FASTSIGNS and Wingstop. Prior to joining Roark, Mr. Aronson served as General Counsel of U.S. Franchise System, Inc. He received a J.D. from The University of Chicago Law School and graduated Phi Beta Kappa from Lehigh University.

Meredith Bauer Meredith Bauer is an Attorney with Larkin Hoffman Daly & Lindgren Ltd. Ms. Bauer represents and advises franchisors in connection with a wide-variety of transactional, regulatory and relationship matters, both domestically and internationally. Her experience includes advising franchisors with respect to registration and disclosure issues, structuring franchise programs, drafting and updating franchise documents to meet changing legal and business needs, and facilitating the purchase and sale of franchise companies. In addition, Ms. Bauer counsels clients with respect to franchise relationship issues, franchise disputes and terminating the franchise relationship, when necessary. Ms. Bauer is a regular author in Law Journal Newsletter’s – Franchising Business & Law Alert, and has been published in Franchising World and Franchise Law Journal. Ms. Bauer received her B.A. from Boston College and earned her J.D. from the University of Connecticut School of Law.

Melanie Bergeron, CFE Melanie Bergeron, is the Chairwoman of Two Men And A Truck International Inc. Ms. Bergeron and her team utilize the benefits of training and strategic planning in all areas of the business. She uses vision, a positive team atmosphere, ongoing support, compassion and commitment to move Two Men And A Truck forward. Ms. Bergeron serves on the International Franchise Association Board of Directors, and is Past Chairwoman of the Board of Governors for the Institute of Certified Franchise Executives. She serves on the Strategic Advisory Board for Nova Southeastern University, is on the Board of Directors of the Lansing Regional Chamber of Commerce, and is President of a non-profit thrift store called Hidden Treasures.

Melissa Bernheim Melissa Bernheim is General Counsel of Smoothie King Franchises, Inc. where she oversees all Smoothie King legal affairs, both domestic and abroad. Prior to joining Smoothie King, Ms. Bernheim was an Associate with Zarco, Einhorn, Salkowski. During her career, she has counseled numerous franchisees and area developers, both large group and individual actions. Ms. Bernheim is the current Co-chair of the South Florida division of the International Franchise Association’s Women’s Franchise Network. She earned her B.A. in Political Science from Emory University and her J.D. from the Washington School of Law at American University in Washington, D.C. where she was a Maqrshall-Brennan Fellow and a member of the American University International Law review.

David Beyer David Beyer is a Partner with Quarles & Brady LLP. He concentrates his practice in organizing and structuring franchise and other distribution programs, negotiating and preparing complex franchise, sub franchise and distribution agreements. Mr. Beyer also counsels on the impact of antitrust and trade regulation laws, international franchising, franchise disputes, terminations, joint ventures, mergers, acquisitions, as well as structuring dealership and licensing programs. He is a frequent speaker and author on the legal aspects of franchising and has served on the Editorial Board of the ABA’s Franchise Law Journal. Mr. Beyer earned his J.D. from Vanderbilt University School of Law and his B.A. and M.B.A from Tulane University.

Heather Bias Heather Bias serves as General Counsel of Le Pain Quotidien, a Belgian-inspired artisan bakery and restaurant with more than 130 locations in 15 countries. She oversees all domestic and international legal aspects of the company, including franchise development and operations. Formerly, Ms. Bias was with Snell & Wilmer where her practice concentrated in commercial business transactions, business expansion and commercial real estate, representing restaurant, retail, franchising and hospitality clients. She serves on the 2011 Legal Symposium Task Force.

Victoria Blackwell Victoria Blackwell is General Counsel for Papa Murphy’s International LLC. Since joining Papa Murphy’s, the company has grown from 400 units to over 1,200 and has been the subject of two private equity acquisitions with no litigation involving its franchise owners. Ms. Blackwell has also served as Real Estate counsel for KinderCare Learning Centers, Inc. and was in private practice as a public defender.

Barry Blum Barry Blum is a Partner with Genovese Joblove & Battista, P.A. He focuses his practice on business litigation with emphasis in franchise matters. Mr. Blum served 10 years as a senior executive for Burger King Corporation in legal and franchising roles where he was responsible for managing the company’s litigation matters worldwide. He has extensive business experience including developing solutions for financially-distressed franchisees, negotiating purchases and sales of franchise business, structuring and implementing international franchise arrangements and initiatives to increase minority franchise ownership. Mr. Blum serves on the 2011 Legal Symposium Task Force.

TIffanny Brosnan Tiffanny Brosnan is a Partner in Snell & Wilmer's Labor & Employment practice group where she concentrates in employment litigation and counseling. Her employment-related counseling includes advising employers regarding wage hour problems, termination and disciplinary matters, recruiting and training, investigations, and policy drafting. Working with clients in a variety of industries, Ms. Brosnan defends employers in matters including wrongful termination, discrimination, sexual harassment, unfair competition, trade secrets, franchise law and class actions. A life-long Southern California resident, Ms. Brosnan obtained her undergraduate and Juris Doctorate degrees from the University of California, Los Angeles.

Joel Buckberg Joel Buckberg is Of Counsel for Baker, Donelson, Bearman, Caldwell & Berkowitz, PC. He counsels business clients, particularly in hospitality, franchising and distribution, on strategic planning, transactions, financing, mergers and acquisitions, regulatory compliance international trade and operations. Active in the International Franchise Association, Mr. Buckberg serves as administrator for the IFA's Franchise Compliance Training Program, a remedial educational program for violators of federal and state franchise regulations. He is a legal advisor and trainer for IFA's FranGuard compliance and business culture training program, and also serves as the host for the association's quarterly Franchise Business Network meetings. He holds J.D. and M.B.A. degrees from Vanderbilt University, and a B.A. from Union College.

Dale Cantone Dale Cantone is an Assistant Attorney General for the State of Maryland and the Deputy Securities Commissioner for the Maryland Securities Division. He leads the franchise and business opportunity unit of the Maryland Securities Division. In addition, since 1996, Mr. Cantone has served as Chair of the Franchise and Business Opportunity Committee/Project Group of the North American Securities Administrators Association, Inc. Mr. Cantone is frequently a speaker during programs sponsored by the American Bar Association Forum on Franchising, the International Franchise Association, the American Franchisee Association, the Direct Sellers Association, the United States Department of Commerce, the Maryland State Bar Association, the Maryland Institute for the Continuing Professional Education of Lawyers, the New York Attorney General’s Office, the University of Maryland Law School, the U.S. Hispanic Chamber of Commerce, and the Better Business Bureau. He also has made presentations about franchise-related issues to foreign delegations from Russia, Japan and China.

Michael Carlet Mike Carlet is Chief Financial Officer of Driven Brands, Inc. He began his career in public accounting with Ernst & Young, and also worked for companies in the transportation and logistics management sector. Mr. Carlet is a member of the Board of Directors of the Automotive Aftermarket Industry Association where he is active on the Government Affairs Committee and has chaired that association’s Market Research Committee. He received his undergraduate degree in Accounting from The Catholic University of America and an M.B.A. from Wake Forest University.

Danell Caron Danell Caron is an Associate with Faegre & Benson, LLP. Ms. Caron concentrates her practice in franchise and distribution law, working closely with corporate clients as a primary contact to develop strategies for franchising business entities, advising on all applicable laws and administrative regulations, and assisting with general corporate matters. As part of the Faegre’s Franchise Team, Ms. Caron assists franchisors with a wide-variety of registration and disclosure issues and helps her clients develop practical solutions for ongoing business and legal needs. She received her B.A. cum laude from South Dakota State University and J.D magna cum laude Hamline University School of Law.

Corinne Carr

Corinne Carr is a Partner in SNR Denton's Insurance Regulatory practice where she chairs the Risk Management Subgroup and co-chairs the firm's Risk Management Committee. Her practice focuses on insurance regulatory, transactional and risk management law. Ms. Carr represents foreign and domestic insurers and reinsurers, as well as agents, brokers, employee leasing and temporary staffing companies, and other insurance licensees and service providers in significant business and regulatory matters. She also regularly advises corporate risk managers regarding significant insurance and reinsurance matters, including matters of insurer insolvency, self-insurance, direct procurement, premium allocation/taxation, claims-handling, and domestic and off-shore captive facilities.

Donna Christopherson Donna Christopherson is Senior Franchise Counsel for the The Dwyer Group, a holding company for seven service-based franchisors. She has 27 years experience assisting clients with licensing, distribution, franchise and related issues, including regulatory compliance, contract negotiations, system communications and compliance training. Ms. Christopherson previously served as Associate General Counsel for a 700-unit publicly held franchisor. In private practice she served as Shareholder and then in an Of Counsel capacity for Texas-based law firms where her practice also included corporate and securities law. She has served on state bar and industry committees/groups, written articles and lectured on franchise law in various venues. She is a member of the ABA Forum on Franchising and has served on the International Franchise Association Legal Symposium Task Force, Social Sector Franchise Task Force, Legal/Legislative Committee and Corporate Counsel Committee. Ms. Christopherson received her B.A., cum laude, from the University of Texas at El Paso and her J.D. cum laude, from the University of Texas at Austin, where she was Phi Delta Phi.

Lorinda Church

Lorinda Church is the General Counsel for Franchise Source Brands International, the multi-brand franchisor of The Entrepreneur’s Source, AdviCoach, Business Partner Marketing Coach, Expense Reduction Consultants, and Décor & You in Southbury, Connecticut. Prior to her appointment at FSBI, Ms. Church was a member of the Subway in-house legal team and an Associate practicing franchise and distribution law to franchisors and franchisees with Kern & Hillman, LLC in New Haven, Connecticut.

Fredric Cohen

Fredric Cohen is a Founding Member and Partner of Cheng Cohen LLC. A seasoned litigator and trial lawyer, he has represented many of the nation's most prominent franchisors in disputes ranging from multi-district class actions to simple enforcement actions. Mr Cohen has assisted franchisors with protecting and enforcing their intellectual property rights, growing their brands, and managing relationships with franchisees, suppliers and customers. He also counsels franchise systems through state and federal regulatory inquiries and investigations.

Lacey Cordero Lacey Cordero is an Attorney at Cheng Cohen LLC. She concentrates her practice on franchise and licensing law, commercial transactions, entity structuring and formation and general business matters. Ms. Cordero has counseled and prepared franchise documentation for franchisors in a variety of industries. She also assists clients with state franchise registrations and advises clients on federal and state franchise law compliance. A graduate of the University of Iowa College of Law, Ms. Cordero practiced law in the Chicago Corporate and Securities Group of Mayer Brown LLP prior to joining Cheng Cohen LLC. She is currently the Co-Chair of the Chicago Chapter of the IFA’s Women’s Franchise Network.

Joseph Craciun Joseph Craciun is Vice President & General Counsel for Money Mailer, a franchisor in the direct marketing industry for over 30 years. Mr. Craciun has been Money Mailer’s chief legal counsel since June 1997 and was named Employee of the Year in 2001. He has also served as emcee for Money Mailer’s annual franchise conventions since 2001. Mr. Craciun is a member of the Southern California Chapter of the Association of Corporate Counsel where he served as a member of the Board of Directors from 2002 to 2008. Mr. Craciun graduated cum laude from California State University, Fullerton with a Bachelor’s Degree in Finance and received his J.D. from California Western School of Law in San Diego.

Kenneth Cutshaw Kenneth Cutshaw is Executive Vice President, Chief Legal Officer, Secretary, Chief Compliance Officer and Shareholder of Cajun Operating Company, a global franchisor and operator of Church’s Chicken and Texas Chicken restaurants. Mr. Cutshaw manages the legal affairs and government relations of the company, manages the real estate portfolio, is responsible for global expansion of the brands and governs the compliance matters. Cutshaw also serves as President of Cajun Funding Corporation, the owner of the Trademarks globally for the Church’s and Texas Chicken brands; President of Cajun UK, Ltd, the operator of the United Kingdom restaurants; and, President of CT Restaurants LP for the state of Texas-based Church’s restaurants. Mr. Cutshaw received a Master of Laws International Studies Degree from American University, a J.D. in Business Law from The University of Tennessee, and a B.A. in Public Administration from The University of Tennessee.

Bruce Daise

Bruce Daise is Chief Privacy Officer & Assistant General Counsel for H&R Block Tax. He has been a member of H&R Block’s Legal Department since 2003 and is responsible for all legal and operational issues associated with consumer privacy, performance integrity and compliance throughout H&R Block’s U.S. based tax operations. In addition, he is lead legal counsel for H&R Block’s digital tax business which offers the H&R Block online and desktop tax solutions. Mr. Bruce obtained his J.D. from the University of Kansas School of Law.

Emily Decker Emily Decker serves as Vice President and General Counsel for Buffalo Wild Wings. She began working with the franchisor in July 2007, as their Franchise Attorney, and was promoted to her current position in January 2011. She serves as Secretary of the company and also handles all franchise and legal matters. Prior to working with Buffalo Wild Wings, she was an Associate at Briggs and Morgan in Minneapolis, practicing in the Trade Regulation section. Ms. Decker serves on the 2011 Legal Symposium Task Force.

Elizabeth Dillon

Elizabeth Dillon is a Principal with Gray Plant Mooty and a member of its Franchise & Distribution practice group. She specializes in areas of domestic and international franchising and counsels both experienced and maturing franchisors in the development, expansion and maintenance of their franchise systems. Ms. Dillon is a member of the International Franchise Association’s Women’s Franchise Committee and Chairs the Women’s Franchise Network in Minneapolis/St. Paul. She is a frequent presenter on franchise law topics and has published numerous articles for legal and business audiences. Ms. Dillon received her J.D. cum laude and her undergraduate degree with honors from the University of Wisconsin-Madison.

Luiz Henrique do Amaral Luiz Henrique do Amaral is Partner and Executive Committee Member of the law firm Danneman Siemsen Advogados and of the industrial property firm Dannemann, Siemsen, Bigler & Ipanema Moreira in Brazil. He specializes in commercial and transactional matters, intellectual property, franchising, licensing, anti-trust, computer law, transfer of technology, consumer protection laws, and litigation at the judicial and administrative spheres in these areas. Mr. do Amaral is President of the Brazilian Intellectual Property Association and served as Secretary General of the World Franchising Council (WFC) from 2009–2010. Mr. do Amaral is an Attorney-at-Law graduate from C Cândido Mendes Law School in Rio de Janeiro.

Peter Dosik

Pete Dosik is Vice President and Deputy General Counsel of Church’s Chicken. Mr. Dosik joined the Church’s legal team in 2006. His responsibilities include domestic and international franchising, managing litigation, and legal support for supply chain, human resources, marketing, IT, and other departments. He also serves on the executive board of the Georgia Bar Association’s Franchise and Distribution Committee. Mr. Dosik graduated from Duke Law School and began his legal career with Kilpatrick Stockton (now Kilpatrick Townsend) in Atlanta.

Jayne Edmonds

Jayne Edmonds is an Associate with Cassels Brock & Blackwell where she is a member of the Business Law and Franchise Law Group. She provides assistance to franchise clients of various sizes to begin franchising and/or expand their franchised businesses and advises franchisor clients regarding their disclosure obligations. Ms. Edmonds is a member of the Canadian Franchise Association's Award of Excellence Committee, and is a Co-Founder of the Toronto chapter of the International Franchise Association's Women's Franchise Network. She is also an active member of the American Bar Association Forum on Franchising.

Chris Egan

Chris Egan is Director and Legal Counsel for Dunkin’ Brands, Inc. Mr. Egan provides legal support to Corporate Real Estate, Construction and Development, Financial Communications and Facilities Departments, as well as both brands’ Operations teams for the Western portion of the United States. Prior to joining Dunkin’ Brands, he was Assistant General Counsel for Fresenius Medical Care North America and served as Real Estate Counsel and Business Unit Counsel. Mr. Egan graduated from Boston College with a B.S. in Accounting and received his J.D. from the New England School of Law.

David Evans

David Evans is a Partner in the Employment Team of Finers Stephens Innocent LLP, based in London. He specializes in all aspects of contentious and non-contentious U.K. employment law with a particular focus on corporate and transactional aspects. He also handles cross border compliance and reputational risk management projects and advises employers on minimizing the risks of potential claims by their employees, particular those in a senior and/or commercially sensitive position.

Meredith Flynn, CFE Meredith Flynn is Vice President of Financial Services & Franchise Compliance for Allegra Network LLC. She oversees the franchise compliance department, which is responsible for the management of the franchise disclosure documents, administration of franchise agreements from application to separation from the franchise, and is the primary liaison with legal counsel. She also oversees the financial services department, which is responsible for royalty collection and assists franchise members in improving their cash flow and profitability by providing financial analysis for performance groups and mergers and acquisitions. Ms. Flynn earned her M.B.A. from Wayne State University.

Andraya Frith Andraya Frith is a Partner with Osler, Hoskin & Harcourt LLP where she practices business law with an emphasis on franchising, distribution, privacy, and e-commerce law. Her practice focuses on advising Canadian and international franchisors on all aspects of Canadian franchise law. Ms. Frith has developed particular expertise on advising foreign franchisors and retailers expanding their operations to Canada. She helps them maneuver through significant judicial, statutory and cultural differences between their home states and Canada to help ensure a smooth and successful entry into the Canadian market. Ms. Frith often works with small and medium-sized businesses in need of expert franchise advice and regularly advises franchisors, retailers and on-line businesses on Canadian distribution and trade practice law, including privacy, consumer protection, Internet sales, advertising, and telemarketing. She provides franchising, intellectual property and privacy support on business transactions. Ms. Frith serves on the 2011 Legal Symposium Task Force.

Robyn Fuller Robyn Fuller is the Vice President and Assistant General Counsel for La Quinta Franchising LLC. Her experience includes assisting clients with mergers and asset sales of franchise systems, franchise sales compliance training, drafting, amending and updating the Uniform Franchise Offering Circular, monitoring regulatory compliance and drafting and negotiating franchise agreements. Ms. Fuller has also served as General Counsel for Kitchen Investment Group and as Staff Counsel for The Marcus Corporation. She received her Bachelor’s of Business Administration in Accounting and Information Systems from the University of Wisconsin-Madison and her J.D. from Hamline Law School.

W. Michael Garner Michael Garner is President of W. Michael Garner, PA, representing franchisees in their disputes with franchisors. He is the author of a three-volume treatise on franchise law, editor of the American Bar Association’s Franchise Desk Book, and served as editor-in-chief of the ABA Franchise Law Journal. Mr. Garner has tried cases leading to settlements or verdicts for franchisees totaling in excess of $250 million. His cases and writings have been cited by courts throughout the country, including the United States Supreme Court.

Nancy Ghanem

Nancy Ghanem is the President of Franchise Universe. After founding Franchise.com in 1994, Ms. Ghanem developed and received FTC Franchise Staff approval for an online e-disclosure “cloud” computing system now widely used by franchise systems to disclose to new franchise buyers and re-disclose in mass to existing franchisees. She sold the Franchise.com trademark and U.S. franchise lead generation business and rebranded the company to FranchiseUniverse.com, a franchise and commercial real estate lead generation portal for all countries in five languages. She is also the developer of FranchiseBluebook.com, an on demand comparative data site reporting on over 1,000 franchise systems.

Jan Gilbert Jan Gilbert is a Partner with Haynes and Boone, LLP. Mr. Gilbert has more than twenty years experience counseling franchisors and franchisees on all facets of domestic and international franchising, including structuring franchise programs, counseling with respect to federal and state regulatory issues associated with franchising activities and franchise relationship matters, drafting franchise- and distribution-related agreements, negotiating domestic and international agreements and disputes, franchisee compliance issues, franchise system mergers and acquisitions, drafting franchise offering circulars, responding to state and federal administrative inquires and investigations, obtaining exemptions and interpretive opinions from regulatory agencies, and establishing franchise advisory councils and cooperatives. Mr. Gilbert is a member of the ABA Forum on Franchising, Antitrust Section, and the Legal/Legislative Committee of the International Franchise Association.

Joseph Goode Joseph Goode is a Shareholder in Kravit, Hovel & Krawczyk S.C. where he focuses his practice on business litigation with a particular emphasis in franchise and dealership law, intellectual property litigation, shareholder and fiduciary disputes and non-competition and trade secret litigation. Mr. Goode has significant jury and bench trial experience in both state and federal court and has argued before the Wisconsin Supreme Court and the United States Court of Appeals for the Seventh Circuit. He is a member of the American Bar Association’s Forum on Franchising and the International Franchise Association. Mr. Goode is a graduate of the University of Wisconsin-Madison and Syracuse University College of Law and holds a Master’s Degree in Public Administration from the Maxwell School of Citizenship and Public Affairs at Syracuse University.

Tim Goodman Tim Goodman is Vice President of Franchise Administration for FOCUS Brands, the franchisor and operator of over 3,300 ice cream stores, bakeries, restaurants and cafes worldwide. With over 20 years of franchising expertise, Mr. Goodman is responsible for the administration of all domestic and international application processing and contracting for FOCUS Brands. Prior to joining FOCUS, Mr. Goodman served as Vice President of Franchise Administration with U.S. Franchise Systems, Inc. where he successfully performed similar franchise administration duties. He also spent nine years with Choice Hotels International Inc. Mr. Goodman’s demonstrated areas of expertise include process development and enhancement, negotiations, investigative research, strategic planning, and productivity improvement. Nina Greene

Daniel Hassett Daniel Hassett is a Partner with Wiley Rein, LLP. Since joining the Choice Hotel system, Mr. Joyce has led the company in a focused growth strategy, resulting in a significant gain in the company’s market share position. His leadership has further enhanced the company’s marketing strategies, brand awareness and eCommerce initiatives. He is National Chairman of the U.S. Travel Association and holds leadership roles with the American Hotel & Lodging Association and the International Franchise Association where he serves as Secretary on the Board of Directors Executive Committee. Cassandra Karimi Cassandra Karimi is the Assistant Attorney General from the Illinois Attorney General’s Office in the Consumer Fraud Bureau.
