Wendy St. Denis, President, called the meeting to order at 9:30 am and welcomed all members of the Skate Ontario Board of Directors, and current and incoming Committee Chairs to the meeting. And continued: I am also pleased to have Tracey our Executive Director in attendance. As we go through the reports of our activities this year you will hear Tracey’s name come up time and time again. I can’t thank Tracey enough for the dedication she has for this organization. This year we will say goodbye to Steve Scherrer, Erica Armstrong, and Jim Stevens. Together we have been a great team of volunteers doing the best we can for our Ontario athletes, coaches, officials, and volunteers. It is like a family and we will miss you but know you are still around. You can’t get away that easily. A warm welcome to Sean, and Susan to our Skate Ontario Annual General Meeting and a long day and a half of planning for the upcoming season. I want to thank all the directors and committee chairs for their support and commitment this year. Tracey worked tirelessly this year as she took on a few extra funding submissions that hopefully will assist us with offering many great programs to our athletes and clubs. With Janet in the roles of secretary and treasurer this year it has certainly lightened all our loads. I understand how busy Sections Chairs can be and Janet is a great resource to bounce ideas off of. At this time I would now entertain a motion to allow Tracey McCague-McElrea, Sean McKinnon, Marion Dyke, Susanne Morgan, and Susan Fisher to have a voice at this meeting, but not to vote.

3. Report on Quorum J. Balkwill reported that there were six Board members present: the President, the Past President, and the four Section appointed Directors. The minutes of the 2013 Skate Ontario Annual General Meeting, held June 15, 2013, had been circulated following that meeting as well as distributed in the meeting package. W. St. Denis inquired if there were any errors or omissions.

Skate Ontario continues to take on more and more projects thanks to the great work Tracey does submitting grant proposals. Tracey has put together a quick synopsis of the funding Skate Ontario has received during the past five years. Each year shows growth of funding and therefore also indicates increased activities and hopefully it also means increased visibility within Ontario and indeed the country too.

Increased contact and work with Skate Canada certainly took place this year. This is largely due to the change of leadership at the national level. Janet and I along with Tracey attended two meetings with Dan Thompson and various staff members and Tracey had numerous meetings with Dan as well as with Mark Halliday, Chief Marketing Officer, and with Patricia Chafe, Chief Sport Officer. Many of these meetings dealt with our Community Grants – CanSkate Kits launch in Ontario. There were also other opportunities for Tracey to discuss our working relationship/partnership. Tracey and I now receive most of the information that is sent out to the Section Chairs and offices, which has been very helpful in keeping up with the developments at the national level. Marion Dyke took on the new role of Technical Committee Chair this year and a dynamic team of section technical directors / advisors and elite level coaches were assembled to sit on this committee. They had several conference calls and a planning meeting facilitated by William Bridel to determine the direction this committee should take took place. The Skate Ontario Super Series was born out of this meeting. Time will tell if this initiative has value but, for sure, it will increase the visibility of Skate Ontario! This is something we still need to work on. It remains clear to me that there are still many partnerships to develop within Ontario. Ontario athletes continue to shine on the international stage. Ontario had outstanding success on the International scene in the Senior and Junior events winning 8 of 9 gold Canadian medals, 11 of 13 silver Canadian medals, and 4 out of 11 of the bronze Canadian medals as listed in the 2013-2014 Medal Gallery on the Skate Canada website. Over ½ of the skaters in the Olympic Team Event were from Ontario and that team came home with a Silver Olympic medal. Keep in mind that Meagan Duhamel and Eric Radford are truly Ontario skaters even if they don’t actually represent Ontario! They took home 3 of the Canadian medals for Quebec. At Canadians, Ontario Senior competitors won 6 of 12 medals, which is down one from last year. Senior women had Gabrielle Daleman picking up the silver with Alaine Chartrand and Alexandra Najarro picking up fifth and sixth places. Women’s skating in Canada continues to show great promise! Patrick Chan continued to be the men’s Canadian champion with Nam Nguyen finishing 5th. The talk of the event was Roman Sadovsky, first year senior with outstanding performances that put the audience on their feet and winning the hearts of the crowd. Senior pair had Kirsten Moore-Towers and Dylan Moscovitch finishing 2nd. Three Ontario dance teams stood on the podium this year with Tessa Virtue and Scott Moir taking the gold, Kaitlyn Weaver and Andrew Poje 2nd, and Alexandra Paul and Mitchell Islam taking bronze. Piper and Paul were 4th and Kharis and Asher were 6th. The 2014 Winter Olympic Games in Sochi, Russia was the highlight of the season with Patrick bringing home the Olympic silver medal and Tess and Scott achieved a 2nd place, silver medal finish. Patrick, Tessa, Scott, Kristen and Dylan, as well as home “grown” Meagan and Eric represented the integral Olympic figure skating team. The team won Olympic silver.

At Nationals the junior ranks collected 4 of 12 possible medals, which is down 3 from last year. Denis Margalik picked up the gold medal, while Madelyn Dunley picked up bronze. The junior dance team of Mackenzie Bent and Garrett MacKeen collected the gold medal. The junior pair team of Mary Orr and Phelan Simpson picked up the bronze medal with the Ontario pair teams also picking up 4th and 5th spots. Novice skaters picked up 4 medals again this year with Hannah Whitley and Elliott Graham taking 2nd and Megan Koenig-Croft and Jack Richardson 3rd in dance. Allison Eby and Brett Varley took 2nd in pair, and Josh Allen captured the bronze medal for men with Zachary Daleman in 5th. We are also strong in Synchronized skating and are thrilled to have NEXXICE (Senior) as our World Silver Medalists for the third year in a row. Ontario teams picked up 7 of a possible 15 medals at Synchro Canadians. A chart indicating Ontario’s medal count for the past six seasons is included in the Annual General Meeting package. I have also included all the results from the International junior and senior events for this season. The Ministry of Tourism, Culture and Sport with Barbara Lyon-Stewart as our Sport Consultant providing valuable assistance, provided financial support in the amount of $248,108 base funding for our programs with this being the second of a three-year funding cycle. In addition we secured Sport Priority (Enhanced Funding) in the amount of $69,999. Tracey will discuss our other funding sources this season and has provided a synopsis of our total funding dollars over the past five years. Tracey McCague-McElrea continues to work as our part-time Executive Director and is responsible for submitting proposals and grant applications. This is critical work and it is obvious her work on these proposals has been very successful over the past many years. Tracey’s role continues to evolve and care needs to be taken to ensure we fully recognize her contributions. This year the Quest for Gold funding provided 16 full cards and each athlete received $5,000. The selection criterion for this program is very structured and need to be re-assessed carefully each year. We are fortunate to have more outstanding athletes competing at a high level making the selections a challenge. We also continued our partnership with the Canadian Sport Institute Ontario (CSIO). The Ontario High Performance Sport Initiative (OHPSI) program provided $110,000; up by $15,000 from 2012-2013 with direct funding to a group of 19 Ontario athletes. Tracey secured a team of coaches and monitors to assist with evaluating the Yearly Training Plans (YPI’s) and to monitor the skaters. I provided the administrative support which involved

accepting the expense claims from the skaters and preparing the request for disbursements. Full reports on these two very important athlete centered programs are included in the AGM report package. Tracey submitted the Ministry Base Funding Grant documentation following the submission of information gathered from the Sections and also submitted a proposal for another Sport Priority Fund and a proposal for a Community Funding Grant, which involves a partnership with hockey. An Ontario Trillium Grant was prepared and its focus is on providing every club in Ontario with a Club Consultation. These documents take a great deal of prep time and we are very hopeful that we will be successful with our submissions. A Hot Shots and a Skate Ontario Performance Enhancement Camp (SOPEC) are being planned for the Sport Priority Funding. We will be providing all Ontario clubs with CanSkate Kits through the Community Funding Grant as the new CanSkate is rolled out September 2014. A partnership with Canadian Tire has provided a large rolling bag to store all the resource material and plans are to distribute the bags through CT stores throughout the province. Skate Ontario Events: Eastern Ontario Section hosted a very successful STARSkate Championship in Wellington, March 15, 16, 2014. The event had a modest profit of $1,818.18 and combined with the hosting grant of $3,000 cost Skate Ontario $2,090.91 plus the expense for my attendance at the event. I continue to be concerned about the Cup event and the value of this event for our athletes. The timing of this event does not fit the LTAD model and as such the future of this event needs to be assessed. Central Ontario Section will host the 2015 STARSkate and Cup event in Brampton, March 14, 15, 2015. The Ontario Winter Games event was held in Orillia February 27 to March 2, 2014. Susanne Morgan was the Technical Representative. There were 134 athletes in attendance with Juvenile to Novice in all disciplines. This event has challenges due to the bureaucracy of working with the Ontario Sport Alliance and the Games staff but our athletes love the Ontario Team spirit this event provides. Unfortunately Synchronized Skating was not included in the Games this year. We did submit an appeal that was very well rationalized by Marion Dyke, but we were unsuccessful. I would like to thank the Section Chairs individually and collectively who, in spite of the demands from their Sections, have made time to provide advice and support. I would also like to thank Tracey who has a unique understanding of our sport and our athletes. Michelle Ross continues to provide the bookkeeping services on behalf of the Northern Ontario Section and performs that role with diligence and patience. In addition, many thanks to the Committee Chairs, Jim Stevens, Erica Armstrong, Susanne Morgan and Marion Dyke for all their work this year.

Today we are saying goodbye to Steve Scherrer who has left the position of Western Ontario Chairperson. Your passion for the sport is evident and appreciated. At the same time we welcome Brenda VanEngelen, the new WOS Chair to our board and look forward to her input and expertise. We are also saying goodbye to Jim Stevens, Championship Coordinator and to Erica Armstrong, Public Relations Coordinator who have been members of our committee structure since its inception in 2009. These committees continue to evolve and we thank Jim and Erica for assisting in the development of these working groups. We are very proud of our events and our website and social media sites are great information platforms for all of our partners, fans, and athletes. I am looking forward to my final year in this position. The first three years have gone by so quickly and Skate Ontario has grown so much. A new strategic plan based on the national plan with consideration to reviewing our mission statement and developing value and measurable outcomes needs to be part of that process. My challenge will be to prioritize the various plans and initiatives we could get involved with. There is so much to do and it is challenging to move forward as an organization when just getting the day-to-day activities done can consume our time. In addition, it is very challenging for Section Chairs who are totally consumed with their own Section requirements. The Skate Ontario Board will be tasked with looking at hiring additional human resources as we evolve and take on more projects. Involving more human resources through our committee structure will also assist us in achieving our goals.

Carried: All in Favour 8. Report from the Executive Director T. McCague-McElrea reported that it had been a very busy year. The changes in the leadership at Skate Canada have had a positive impact on our relationship generally resulting in improved communication and information sharing including a new Skate Ontario logo which visually reflects the relationship with our governing body. She noted that she has had many meetings with Dan Thompson, Patricia Chafe, and Mark Halliday who have been very supportive of Skate Ontario and our programs and the importance of working together. In particular, our groundbreaking agreement with hockey as well as the CanSkate kits had drawn their attention. It was noted that the process of resolving the terms of the 2013 World’s legacy piece with Skate Canada had been difficult, however it resulted in a positive outcome and a strengthened relationship.

She expressed gratitude for the dedicated and positive people who are involved with our sport and particularly the coaches who are moving our sport forward. She noted that the loss of the involvement of Louis Stong and his creativity has been difficult to replace. She indicated that the review of the Sport Alliance would lead to positive changes. She also expressed the gratitude of the talented skaters for the support afforded them by Skate Ontario, and our programs and acknowledged the support of Barbara Lyon –Stewart from the Ministry of Tourism, Culture and Sport who has assisted Tracey with accessing the funding required for our programs.

9. Confirmation of Actions Taken

W. St. Denis reported that copies of the motions taken during the past year had been included in the Report Book. She requested any errors or omissions. S. Scherrer noted the correct date of the September 28, 2013 meeting. MOTION: THAT all actions taken and proceedings, appointments, by-laws enacted; and payments made by Skate Ontario since the date of the last Annual General Meeting held June 15, 2013, as amended, be approved, ratified and confirmed. 11. Appointment of Competition and Public Relations Coordinators

J. Balkwill was asked to take the floor to conduct the appointment of the Competition Coordinator and the Public Relations Coordinator.

J. Balkwill reported that in accordance with the balloted election that took place at the Skate Ontario Board of Directors meeting on May 29, 2014, a motion was requested to appoint Susan Fisher as the Competition Coordinator for the two-year term 2014-2016. MOTION: THAT Susan Fisher be appointed as the Competition Coordinator for a two-year term 2014-2016.

12. Appointment of Public Relations Coordinator

J. Balkwill reported that as there was only one nomination received by the prescribed deadline, that a motion would be entertained to appoint Sean McKinnon as the Public Relations Coordinator for a two-year term 2014-2016. Responses to our posts on social media demonstrate that photos are integral to fostering engagement with our community. People are far more likely to like, comment on, share or retweet posts that include photos. Timeliness is also important. Same-day coverage of events, particularly where there is no live-stream, generates far more interest than posts that follow the event by more than a few days. Competition coverage is always popular, but reporting on other types of events, such as the coverage of the CBC Kids TV event for National Sports Day, the Canada Winter Games staging camp, and OHPSI Development days, has also proven to be well received by our community. Website (www.skateontario.org) Improvements to the infrastructure of our website in 2014-2015 included an upgrade to the must current WordPress platform, and the addition of automated daily backups with our ISP. More visible improvements included the addition of a Club and Section News page, a searchable and filterable Event Calendar, and reorganization of our Programs and Events pages. Statistics from our ISP show a 53% increase in visits to our website, and a 23% increase in hits.

Hits are a relatively meaningless statistic (a single page load generates many hits as each page element is loaded). Visits are more meaningful, as they measure each time somebody accesses the web-site, but they include every page load, and don’t represent unique visitors. Our website runs on the WordPress platform which includes a Google Analytics plug-in. The statistics provided by Google provide a clearer picture of how our web-site is accessed, although they only allow us to look at the past 60 days of data. On average, we get about 100 “Unique Visits” per day, and each visitor looks at an average 2.27 pages/visit. The picture here shows a spike of over 600 unique visitors on May 17, which was the day the list of 2015 OHPSI participants was posted. Google Analytics also measures which pages on our site are accessed most often (not surprisingly it is OHPSI in this period), and tells us which sites our visitors came from (primarily Facebook, COS and EOS). Our website also receives about 380 spam messages and about 30 unauthorized administrator login attempts per day! While it is important to have a web presence and permanent home on the Internet, we receive fewer visits and have less visitor engagement than on our social media accounts.

Facebook (continued) We engage with the skating community by posting or sharing news, photos, and stories to our page that are of interest to our followers, , and in return they “Like”, “Comment”, “Share”, and “Click”, which in turn are measured by “Reach” (how many people have seen our posts). Here are our top posts (by Post Click) for the past 90 days:

Posts with Photos clearly create higher levels of engagement than those without. There is also, clearly, an audience for synchronized skating. Our most popular post of the entire year was for Winterfest, in a post with the event logo and a link to the schedule (7.4K Reached, 47 shares). In our busiest time of year (Jan-Mar), we were averaging well over 5K people reached per day while covering events, including over 18K for our posts on March 15 during the SO Championships!

Twitter is the most casual of our web presences. Our philosophy for the website is more formal, presenting news, announcements, and results in “press release” style, while on Facebook we attempt to engage followers by sharing stories of interest to the skating community. Twitter, by its nature, is more transient, and fosters engagement through entertainment in addition to conveying news. Our most popular tweet in 2014-2015 was a pair of photos from the Skate Canada Autumn Classic in Barrie showing Jeffrey Buttle (in sweater and jacket) helping out with patching the ice during a flood. This tweet was favourited and retweeted over 250 times and was viewed by over 30,000 people!

The following report will outline the achievements as well as the recommendations arising from the 2014-2015 Skate Ontario competitions.

Skate Ontario Competition Agreements

The following Skate Ontario documents were revised and approved by the Skate Ontario Board.

2014 Skate Ontario Super Series

The process for running the 2014 Skate Ontario Super Series ran smoothly once the data base was straightened out. It was noted that it would be more efficient to find a more accommodating web-based form for the next year’s series which would also ensure correct email addresses for the skaters, coaches and parents. The following chart provides the numbers of entries in each event in the competition, the withdrawals and the number of entries in the Series Finals at 2014 Autumn Skate in Ottawa. It also notes those who received bursaries but did not skate because of international assignments or a cancelled event.

The Super Series Finals Event at Autumn Skate was very successful. The LOC was very accommodating and the Technical Representative, Rhonda Vanderveen, was very helpful and efficient. The bursary cheques were enclosed in an elegant black portfolio tied with red ribbon which was designed by Tracey McCague-McElrea. The newly purchased “popups” enhanced the presentation area. Issues Raised Following the 2014 Super Series Final

1. Structure: Will we keep the same overall structure. 2. Eligible Competitions: Will we continue to permit skaters to compete in US competitions in

either Intermediate or Novice because there is no Pre-Novice category. 3. Final: Will we consider moving the SO Super Series Final to another location. Also, will we

consider having a separate final event for the Dance and the Pairs, perhaps at Octoberfest. 4. Bursaries: Will we consider raising the amount of the bursaries and/or paying registration fees

for all our finalists. 5. Conclusion: These issues were presented to the Skate Ontario Board. In May, 2015, the Board

voted to keep the “status quo” for the 2015 Skate Ontario Super Series.

2015 Skate Ontario Championships The 2015 Skate Ontario Championships were held in Brampton at the Cassie Campbell Arena from March 13 to 15, 2015. Announcement

1. The Announcement was posted online on November 17 on the Skate Ontario website after being scrutinized carefully by the Technical Committee followed by the members of the Skate Ontario Board. Key changes to the competition were noted separately on the website. Two additions followed on January 21– clarification of Pre Juvenile dance sequences and further clarification for wildcards entries.

2. The Technical Committee had recommended a date of November 1, 2014 be used as a test requirement date to enter the Pre-Juvenile/Juvenile events. However the Skate Ontario Board unanimously agreed upon an October 1, 2014 date.

3. Recommendation: a) A further clarification regarding the number of possible wildcard entries from each Section.

b) The Technical Committee to review the 2016 announcement prior to the submission to the Board. c) Registration information to be included in the announcement rather than at a later date. Officials

1. There was representation from all the Sections. WO (9); EO (3); NO (6); CO (13 or more) 2. I invited the out-of-Section officials and Glenda Poirier took over in February and completed the

invitations. She did an excellent job as the Technical Representative. 3. Recommendation:

(a) The officials who are volunteering to officiate at the competition notify the Technical Representative about all possible conflicts. Then an earlier decision can be made as to whether they should continue with their acceptance to officiate at the event. There were problems with some coach officials having so many conflicts that there were very few events left for them to officiate. As a result, more officials were required at the last minute.

Registration Form

1. A Registration Form was designed for the Sections’ registration purposes. A turn-around time of 48 hours was requested.

2. Recommendations: (a) A column must be added to include the Partner’s Club. (b) Registrars should be reminded to record the technical marks for their wildcard entries.

Registrars are to adjust the form to add more wildcard entries if necessary. Currently there is only space for three wildcards – which leaves the Section thinking that is the maximum number that they can have in each event.

Schedule

1. The Ice schedule was difficult to set for this competition due to larger events, multiple entries, many possible conflicts, multi-part events in same arena, WO entries coming in later and most of all, only one Zamboni for both ice surfaces. Glenda did an excellent job adjusting the schedule once this was discovered. All conflicts were avoided except for two of the Pre-Juvenile men and their Juvenile dance event. They really had to scramble from their dance to their free event on the second rink (which was held up for five minutes to make it easier for the skaters).

2. I had requests for the Triathlon skills and interpretive events to be held on Saturday and their free skate event on Sunday. Almost all the Triathlon entries were also entered in the larger free skate events as well as their Triathlon Free skate. It became difficult to schedule events opposite on the second rink. The triathlon events had to be skated in the same rink. A draft schedule can now be worked on to try to address those requests now that we know approximate numbers in all the events.

3. Recommendation: (a) Check the number of Zambonis prior to setting the schedule. (b) The schedule worked well. It could be reused next year after minor changes are made and

if the competition conditions remain the same for next year. Newly created schedules should be considered as well.

Multiple Entries

1. There were multiple entries registered in almost every event. The only exceptions were the STAR 5 events.

2. Recommendation: The STAR 5 events should be spaced out carefully throughout the ice schedule to help resolve the conflict issues.

Wildcards

1. The wildcard process worked very well. The final qualifying competition was held by WO and their entries were submitted within 24 hours on March 2. Questions were raised as to how many wildcards a Section can receive per event. The best example was the Juvenile Dance event. WO ended up with three entries and five wildcards because the event was not filled.

2. Wildcard invitations were sent out on March 3 upon receiving WO’s entries. By March 5, the process was completed and the data specialists notified using a Wildcard entry registration form. One wildcard invitation was refused and another issued immediately to the skater with the next highest technical marks.

3. Recommendations: Wildcard clarification in announcement as previously mentioned.

Alternates

1. Two sections each received one skater’s withdrawal notification. One on March 10 and one on March 12. They notified the alternate, and then waited to learn the alternate’s intentions. The acceptances occurred after the paperwork had been printed for the competition by the data specialists. The only consolation in seeing the hand-written changes on the Start Orders was that both skaters were in the same event.

2. Recommendation: The data specialists objected to the late registrations. This issue should be discussed with the data specialists next year prior to the start of registration.

Banners 1. There was an “Oh no” moment when it was discovered that I had not arranged for the Skate Ontario

popups to be brought to the arena. They did arrive in time for the Saturday and Sunday medal presentations.

2. Recommendation: Arrange in advance for the banners to be delivered to the competition. They enhance the medal presentation area considerably.

Medals

1. The Skate Ontario Office ordered the medals which were very attractive and arranged for them to be delivered to the LOC at the competition. There were 53 Gold, 53 Silver and 53 Bronze medals delivered. Wendy St. Denis arranged for four generic medals to be presented to the single competitors in two dance events. The announcing team participated in the medal presentations and Wendy St. Denis was on hand to present the medals. Sean McKinnon was present taking pictures at the medal presentations as well as throughout the whole competition.

2. The LOC retained unused medals to return to the Skate Ontario office. The cost to their committee was $991.89 including the generic medals.

3. Recommendation: The announcement should include a reference to single entries receiving a generic medal. Parents of those competitors were quite puzzled but accepted the explanation that each team had no competition and therefore could not receive a gold medal – but we wanted to recognize their ability to be able to compete in their event by awarding a generic medal.

Event location

1. The event location was excellent. The ice was great and the Zamboni driver kept to schedule. There was lots of room on the officials’ stand for them to move around. The official’s off-ice area was large and there was lots of room for both food and papers.

Hospitality

1. The LOC was very organized in all areas. They were all pleasant and cooperative. The food was plentiful with wide variety. The LOC hosted a hospitality evening at the hotel for Skate Ontario guests and officials. They created a party atmosphere and everyone really enjoyed it.

Financial Result Increasing the numbers in so many events brought in more registration. The financial results were excellent. There were several reasons for this: increased registration, lower costs for officials, and donation of food items. Technical Committee 2014-2015 Annual Report

Skate Ontario Technical Committee Members: Marion Dyke, Wendy St. Denis, Tracey McCague, Scott Rachuk, Susan Fisher, Greg Rochfort, Patricia Glenwright, John Briscoe, Julia Mullins, Darlene Joseph, Paul MacIntosh, Alison Purkiss, Cindy Wrong (recording secretary) It has been a very rewarding year for the Skate Ontario Technical Committee as we saw some of the programs and recommendations from our first season become a reality. The Skate Ontario Super Series was launched in May 2014 with 183 skaters registered at all levels from Pre-Novice to Senior in Ladies, Men, Pairs and Dance categories. The objective of the series was to identify, support and motivate competitive Ontario athletes and coaches and recognize and reward outstanding performance and results. Points for two designated summer competitions of the skater’s choosing were added together and the top 90 skaters qualified for the Super Series Final which was held at Autumn Skate in Ottawa, October 2-5, 2014. The outstanding depth of talent in our Ontario skaters was very evident at this event. A total of $16,400 in bursaries was awarded to the top three finishers in each category. Skaters at the SOSS final were monitored and considered for the 2015 Canada Winter Games Team. Thank you to the Skate Ontario Technical Committee, Board and Staff who made this series of events possible and special thanks to Wendy St.Denis, Susan Fisher, Sean McKinnon, Patricia Glenwright and the Autumn Skate Committee. Without them this series would not have been possible. The Technical Committee worked closely with Competition Committee Chair, Susan Fisher to revise the Skate Ontario Championships announcement to reflect the new STARSkate categories. New wildcard criteria were added to allow for more entries based on scores earned at the Section STARSkate Championships. The Skate Ontario Championships held in Brampton, March 13-15, 2015 were the largest ever with 345 skaters competing in 34 different categories. The 2015 Canada Winter Games were held in Prince George, BC, February 13 – March 1, 2015 and Ontario was superbly represented by 12 Pre-Novice and Novice skaters in Ladies, Men, Pairs, Dance and 4 Special Olympics skaters. All 12 of our athletes won medals as did our 4 Special Olympians. Our 6 gold medals, 5 silver medals and 1 bronze medal helped reclaim the coveted Canada Games Flag for Ontario. We were very fortunate to have an outstanding team of Ontario coaches and chaperones. Thank you to John Briscoe (team manager), Darlene Joseph, Bryce Davison, Cathy Skinner and Gerald Spencer for your excellent leadership. Our athletes have achieved outstanding results in all disciplines. The 2015 Senior Champions of Canada in every discipline are from Ontario. Megan Duhamel and Eric Radford are World Pairs Champions, NEXXICE are World Synchronized Skating Champions, Kaitlyn Weaver and Andrew Poje are World Ice

Dance Bronze Medalists, Nam Nguyen is Canadian Men’s Champion and Gabrielle Daleman is Canadian Women’s Champion. With the growth of skating in Ontario we were delighted to welcome two new staff members. We are extremely fortunate to have Scott Rachuk as our new Technical Director and Cindy Wrong as our new Administrative Assistant. They join Tracey McCague whom we are very grateful to have as our full time Executive Director. Under Tracey’s direction and with a generous grant from the Ontario Ministry of Tourism, Culture and Sport, CanSkate kits were obtained and distributed to all clubs in Ontario. Each kit contained the official signage and materials for the new CanSkate program which became mandatory across Canada in September 2014. This initiative ensured that every club in Ontario had the materials necessary to properly run the enhanced new CanSkate learn to skate ‘fundamentals’ program. Major projects for the first year for the new Technical Director involved planning, updating and implementing our athlete high performance programming. Scott has worked with Tracey to obtain funding for our high performance athletes and programs and we are very excited to see the new programs take shape. Previous SOPEC (Skate Ontario Performance Enhancement Camp) and Hot Shots Programs have been replaced by enhanced OHPSI (Ontario High Performance Sport Initiative) programming. Development programming, monitoring, simulation, performance camp and end of season events have been planned and are posted on the Skate Ontario website. These initiatives will ensure that we maintain and develop the depth of talent and ability that it will take to keep our athletes at the top. Implementation has already begun. There is strong support from the Technical Committee for the standardization of competition qualification in each of the four Ontario Sections. We look forward to continuing this over the next year. The Technical Committee has had extensive discussions about adult programming and hope that we can work toward an Ontario Adult Invitational Competition, possibly in March or April 2017. The Skate Canada Adult Championships were scheduled for Huntsville in Northern Ontario in 2016 and we had planned to give this our full support. However at the time this report is being written the location is now uncertain. Julia Mullins held a survey of Adult Skaters and will continue to lead initiatives for these very committed ‘active-for-life’ skaters. In the season ahead we will be making a plan to see how best to support synchronized skating in Ontario. We are also hoping to plan some coach/judge education sessions and have considered the possibility of doing something at the 2016 Skate Ontario Championships. There is considerable discussion about the possibility of ‘Team Ontario’ for Challenge and Canadian Championships and support is growing for this concept. We look forward to aligning our programs with those of Skate Canada. Scott Rachuk has been working with National Training Centre Director, Monica Lockie, to develop integrated programming. As plans for the season evolve we will keep in mind some of the collaborative opportunities we discussed at the Skate Ontario Planning Meeting in February and work together towards consolidating and standardizing our efforts wherever possible.

We appreciate the outstanding support we receive from the Ontario Ministry of Tourism, Culture and Sport without whose support our programming would not be possible. It is an exciting time for sport in Ontario. We hope to capitalize on the facilities and momentum from the Pan Am Games and make sure that skating benefits from this movement. Skate Ontario was once again invited by Canadian Sport Institute Ontario (CSIO) to be part of Ontario High Performance Sport Initiative (OHPSI). The grant for 2014-15 was in the amount of $125,000.00, for a total investment of $470,000.00 over five years. Coaches meeting- This meeting took place in July 2014, and was an opportunity for all of the coaches to be introduced to CSIO and Skate Ontario. Individual meeting with the CSIO and Skate Ontario staff offered the ability to see where the coaches and athletes need the most help and the most attention in their daily training environments. The coaches were then required to hand in a yearly training plan for their athletes, by the end of July. SOPEC and Hot Shot Camps- The camps took place at the end of August. The camps were learning opportunities for the OHPSI level athletes, and the future OHPSI athletes. Monitoring Sessions- Skate Ontario sent monitors to the daily training environments of the OHPSI athletes in the months of September and October. The monitors were selected by the coaches of the athletes, and were coordinated to attend sessions for technical and performance feedback. Simulation- The simulation took place at the National Performance Centre, and involved all of the OHPSI tier 1-4 athletes. There were judges and technical specialists assigned to each athlete. Following the simulation, feedback sessions on and off the ice were conducted. The

athletes were involved in off-ice sessions following the simulation, and the coaches were involved in a strategy meeting. This meeting was also an introduction to the new Skate Ontario staff members Cindy Wrong and Scott Rachuk. Coaches Meeting- In February 2015, a final year end wrap up meeting with the coaches took place, to give an overview of the path that Skate Ontario was heading for the upcoming 2015-16 season. Feedback to the program was offered, and implemented into the OHPSI review and plan that was presented for the following week. This meeting was conducted by the Skate Ontario Technical Director. QUEST FOR GOLD 2014-15 ANNUAL REPORT

Skate Ontario is very grateful to the Ministry of Tourism, Culture and Sport who provide the Quest for Gold program for our athletes. The program was once again managed by Scott Cooper and Sarah Love. These grants are important in that they allow for increased training and competitive opportunities for the selected athletes. The Ministry of Tourism, Culture and Sport provided 19.5 cards for Skate Ontario athletes. The program is in its tenth year and has provided approximately $80 million by the end of the 2014-15 fiscal year. We were fortunate to secure an expert group of coaches and the CWG’s Council was able to accommodate a last minute coaching change due to the originally selected pair coach, Scott Rachuk, being asked to team lead at Junior Worlds. We were able to get Bryce Davison to fill the position. The skaters spent time getting to know each other as well as the coaching staff. They were treated to fantastic facilities, great coaching, all of the wonderful team wear, a talk from former Canada Winter Games skaters Mackenzie Bent and Garrett McKeen, they saw a live theatre performance at the Royal Alexandra Theatre, they experienced two classes with top notch trainer Irina and were presented with a strategy and tips for how to eat healthy at the Games. It was a superb experience. The CWG’s experience is a unique and wonderful experience for the 16 skaters and 4 coach/management staff who attend every 4 years. The Staging Camp provides a unique bonding and team building experience for the skaters. This is the first time these skaters have experienced ‘team’ to this intensity. We knew this year as soon as we had the team all together there was something magical about the group. They instantly bonded and it was very obvious there was a lot of talent on the ice. The integration of the Special Ontario skaters into this experience was truly wonderful. Everyone supported each other and the Special Olympic skaters brought a very genuine, fun-loving spirit to the team.

Skate Ontario - 2015 Canada Winter Games Team

Competing in the Pre Novice Men’s event will be Stephen Gogolev from Toronto. Stephen represents the Toronto Cricket and Skating Club and is coached by Brian Orser and Lee Barkell. Stephen won the 2015 Central Ontario Pre-Novice Men’s Sectional Championships and also won the Pre-Novice Men’s title at the 2015 Skate Canada Challenge Event. Competing in the Pre Novice Women’s event will be Natalie Walker. Natalie is 11 years old who lives in Oakville. Natalie trains at the Milton Skating Club with her coaches Nancy McDonnell-Lemaire, Pavol Porac, Ann Fisher & Paul Fisher. Natalie has had a very successful season with winning a bronze medal at the Central Ontario Sectionals and the silver medal at Skate Canada Challenge in Pierrefonds, Quebec.

Hannah Dawson and Daniel Villeneuve will be representing Ontario in the Pre Novice Pair’s event. Hannah is from Hawkesbury and Daniel is from Sherbrooke, Quebec. The team trains with coaches Bruno Marcotte and Ian Connolly and represents the CPA Hawkesbury Skating Club. They are the 2015 Eastern Ontario Pre Novice Pairs Champions as well as the 2015 Skate Canada Pre Novice Pair Champions. The Pre-Novice Dance event will be represented by Ha Na Kim and Corey Circelli. Ha Na and Corey represent the Toronto Cricket and Skating Club and are coached by Tracy Wilson, Andrew Hallam and Siobhan Karam. Ha Na is 12 years old and is from Toronto, Ontario and her partner Corey Circelli is also 12 years old and is from Vaughan, Ontario. Ha Na and Corey are the 2015 Skate Canada Central Ontario Sectional Pre-Novice Dance champions and are the 2015 Skate Canada Challenge bronze medalists. Alison Schumacher from Tecumseh will be representing Ontario in the Novice Women’s event. Alison represents the Riverside Skating Club in Windsor, Ontario and trains at the Detroit Skating Club with her coaches Yuka Sato and Jason Dungjen. Alison is the 2015 Western Ontario Section Novice Women’s Champion as well as the 2014 Skate Ontario Super Series Novice Champion. Competing in the Novice Men’s event will be Conrad Orzel from Woodbridge. Conrad represents the York Region Skating Academy and trains with coach Eva Najarro. Conrad is the 2015 Central Ontario Novice Men’s Champion and is the bronze medalist at the 2015 Novice Canadian Championships. Olivia Boys-Eddy and Mackenzie Boys-Eddy are a sister/brother team from Brampton and will be competing in the Novice Pair category. Olivia and Mackenzie primarily train with Ashley Greenhalgh at the Skate Canada Brampton Chinguacousy club and with Lee Barkell at the National Performance Centre. Olivia and Mackenzie are the 2014 Central Ontario Novice Pair Champions and are the silver medalists at the 2015 Novice Canadian Championships. Ellie Fisher and Parker Brown, will be representing Ontario in the Novice Dance event. Ellie is from Lower Cloverdale, New Brunswick and Parker is from Waubaushene. They train at the Mariposa International School of Skating in Barrie, with coaches David Islam, Kelly Johnson and James Callan. This

team represents the Barrie Skating Club. They are the 2015 Central Ontario Novice Ice Dance Champions and Novice bronze medalists at the 2015 Canadian Championships. Nadia Bouillion will be competing in the Special Olympics Level 2 Dance event at the Canada Winter Games. Nadia represents the Walden Skating Club in Lively ON, and trains with her coach Maxine Connelly. Nadia currently trains all of the Special Olympic events including skills, freeskate and dance. She will be competing in the dance event in the 2015 Canada Winter Games. Julia Romualdi lives in Timmins, and belongs to the Timmins Porcupine Skating Club where she trains with her coach Nadia Riopel. Julia is a grade 12 student, and she is an active program assistant in the CanSkate program in Timmins. In 2013, Julia received the Eva Thompson award for dedication and determination. Julia will be competing in the Special Olympic Level 2 singles event at the 2015 Canada Winter Games. Thomas Babcock is from Kingston and will be competing in the Special Olympic Level 3 singles event. Thomas trains at the Silver Blades and the Kingston Skating Clubs and has been coached by Lisa Janssen for the past 14 years. Thomas was selected for the 2015 Special Olympics Provincial Winter Games where he placed 2nd in Level 3 singles, and was thrilled to be chosen to compete at the 2015 Canada Winter Games. Thomas competed at the 2011 Canada Winter Games in Halifax, and is the only returning member of the team. Jack Fan lives in the Ottawa area and is competing in the Special Olympic Level 3 singles event. He is a member of the Goulbourn Skating Club, and is coached by Cathy Skinner. Jack was the gold medalist at the 2015 Ontario Provincial Winter Games in Level 3 Men’s Singles as well as Level 1 Solo Dance and Level 1 Couples Dance. This will be the first Canada Winter Games for Jack. Skate Ontario is very excited about the experience and expertise of the coaching staff that will be with the team in Halifax. The team manager is John Briscoe from Waterloo. As well as being the Technical Director for Western Ontario, John has over 40 years of coaching experience, and is Level 4 NCCP certified. John has been a team manager for several Ontario Winter Games as well as a being a coach at 10 World Figure Skating Championships and the 1988 Winter Olympic Games. John was the team manager at the 2011 Canada Winter Games in Halifax. Darlene Joseph, from Navan, is Level 5 NCCP certified, has over 25 years coaching experience and has coached skaters at national and international events. Darlene is presently the Director of Skating at the Gloucester Skating Club in Ottawa, and has had experience as a team coach at the 2011 Canada Winter Games, and several Ontario Winter Games. Bryce Davison is from Hamilton, and is the Director of Skating Development for the Hamilton Skating Club. Bryce has had experience coaching at the Ontario Winter games, and was a Canadian athlete at the 2006 and 2010 Olympic Winter Games in pairs with his partner Jessica Dube. This will be his first trip to the Canada Winter Games. Cathy Skinner from Ottawa, is Level 3 NCCP certified and has had 26 years of coaching experience including experience with Special Olympics skaters. She was a Team Canada coach for the 2009 Special Olympics World Games, as well as for the 2008 Special Olympics Nationals Games in Quebec City.

Joining the team as a chaperone for the Special Olympic athletes will be Gerald Spencer from Kingston, Ontario. Representing the Team Ontario mission staff will be Crystal Peiris and Greg Theriault. They have been instrumental during the team development and registration process - ensuring that our athletes fulfill the requirements and meet the expectations as members of Team Ontario. The team attended a two-day staging camp in Toronto on February 6th and 7th to help with their preparation for the Games. The camp has been developed under the expert direction of Scott Rachuk, Technical Director at Skate Ontario. Favourite Testimonial

TO approve the proposed Skate Ontario 2014-2015 Budget as amended. TO recognize that the Ontario Regional Synchronized Skating Championships will be held in Sault Ste. Marie, ON, February 13-15, 2015 at the Essar Centre. THAT for the 2015 Skate Ontario Championships, all three STAR 5 age categories (under 10 yrs; Under 13yrs and over 13yrs) will be included. Each Section may qualify three entries per category. Any unfilled spots can be filled to the maximum of twelve (12) if required by wildcard entries based on the total scores at the Sections’ STARSkate Championships. THAT where there is a single entry who qualifies for the Super Series Final, the first place bursary will be awarded whether or not an exhibition is performed. TO accept the criteria and list of skaters as presented for Quest for Gold for 2014-2015 THAT Skate Ontario will cover the travel expenses for all coaches and the manager who attend the Canada Winter Games meeting on October 25th. THAT a Human Resources Committee would be struck and terms of reference for that committee should be developed. The Committee should be comprised of: the Executive Director, President, Past President and others invited from time to time as required. November 14, 2014 Announcement: that effective November 24, 2014, the two new staff positions of Technical Director and Administrative Assistant had been accepted by Scott Rachuk and Cindy Wrong respectively. These two highly qualified individuals had been offered the positions following an exhaustive search, application and interview process. Email December 17, 2014 THAT the Skate Ontario 2015 Canada Winter Games Team be approved as presented. January 22, 2015 FORMAL MOTION OF INTENT: THAT Skate Ontario will support Northern Ontario’s proposal for one time transition funding upon the submission of the following documents:

March 5, 2015 Skate Canada Northern Ontario was sent a letter thanking them for their past bookkeeping services, indicating that those services would now be managed at the Skate Ontario office and requested the transfer of the files. Email April 12, 2015 TO accept the Skate Ontario Constitution Amendments #2015 / 1 Rule #9 (d) (ii) and #2015 / 2 Rule # (d) (iv) with an effective date of June 13, 2015. March 15, 2015 THAT the Board approve the purchase of the required Accounting Software for the Toronto office and any associated costs of implementation and training. THAT Skate Ontario move to rescind the formal MOTION OF INTENT to support Northern Ontario’s proposal for one time transitional funding, due to concerns that it will impair further funding of Skate Ontario. a) Head Office: The Head Office of Skate Ontario shall be in the Municipality of Metropolitan Toronto, in the Judicial District of York and the Province of Ontario, and at such a place therein as the Board of Directors may from time to time by resolution determine.

b) Seal: the seal, as impression whereof is stamped in the margin hereof, shall be the corporate seal of Skate Ontario.

ARTICLE 2: Purpose of the Corporation

a) To improve, encourage and advance the sport of skating on ice (herein after referred to “figure skating”) in all aspects

b) To co-ordinate the activities of the Northern Ontario Section, the Western Ontario Section, the Central Ontario Section and the Eastern Ontario Section of Skate Canada within the Province of Ontario, and provide to the same, to individual and club members of Skate Canada and the general public, with respect to figure skating, technical, educational, administrative and management services.

c) To publish and disseminate information concerning figure skating d) To administer the finances of the sport of figure skating at the Provincial level e) To raise, use, invest and re-invest money to support the activities of the Corporation (herein

referred to Skate Ontario); provided, however that no property, funds or income of Skate Ontario shall ensure to the private profit of any member of the Board of Skate Ontario

f) For the further attainment of the above objects, to acquire, accept, solicit or receive any gift of real or personal property, either as an annual or other contribution or as an addition to the fund or funds of Skate Ontario

g) To co-operate with Skate Canada and its members and h) Generally, to take all steps necessary or desirable to improve, encourage and advance figure

skating in the Province of Ontario ARTICLE 3: Special Provisions

a) That the corporation shall be carried on without the purpose of gain for its members, and any profits or other accretions to the corporation shall be used in promoting its objects

b) That the Directors shall serve as such without remuneration, and no Director shall directly or indirectly receive any profit from his position as such; provided that a Director may be paid reasonable expenses incurred by him in the performance of his duties

c) That upon the dissolution of the corporation and after the payment of all debts and liabilities, its remaining property shall be distributed or disposed of to Skate Canada solely for the work carried on by it in the Province of Ontario.

BY-LAWS

(1) DEFINITIONS

(a) The By-laws, appended to this Constitution, shall describe the organization and functions of the Corporation and the means by which members may elect or appoint Board of Directors and control the property and activities of the Corporation.

(b) The Officers and Directors of the corporation shall be the President, the Past

President and the Chairs of the four Ontario, Skate Canada member Sections.

(c) Any By-law contrary to the By-laws, rules and regulations of Skate Canada and those of the Sections shall be invalid.

(2) MEMBERSHIP: Subject to the letters patent of incorporation, By-laws, rules and

regulations of Skate Canada, Skate Ontario shall consist of the four Skate Canada member Sections as defined by Skate Canada in its rulebook as the Northern Ontario Section, the Western Ontario Section, the Central Ontario Section and the Eastern Ontario Section. Member Sections shall be represented by their duly elected respective Chair as a Director on the Skate Ontario Board of Directors.

. (3) COMPLAINTS, SUSPENSIONS AND EXPULSION POLICY: For the purposes of these By-laws

and for the purpose of the Official Rules of the Association, the Skate Canada Rule Book Section 1204 will apply.

(4) MEMBERSHIP HARASSMENT POLICY: For the purpose of these By-laws, and for the

purpose of the Official Rules of the Association, the Skate Canada Rule Book Section 1204 will apply.

(5) MANAGEMENT OF SKATE ONTARIO: The affairs of Skate Ontario shall be managed by a

Board of Directors. The Executive Committee shall be composed of an elected President, the Past President and the four (4) Ontario Section Chairpersons, who shall be confirmed at the Annual General Meeting. In addition, there shall be committees whose Chairs are to be appointed/elected by the Executive Committee.

(6) BY-LAWS OF SKATE ONTARIO Except in the case of a conflict with a provincial statute

governing Skate Ontario, the By-laws governing Skate Canada and in particular By-law 1503, apply to, and govern the activities of Skate Ontario.

The Skate Ontario By-laws contain Skate Canada By-laws. When the Skate Canada By-laws are amended in accordance with its By-law 1600, Skate Ontario will automatically update its By-laws to reflect these changes.

(7) ANNUAL GENERAL MEETING (a) NOTICE OF MEETING: The Annual Meeting of the Board and member Sections shall be held

at such place within Ontario as the Board of Directors of Skate Ontario may determine for the purpose of hearing and receiving the reports and statements of the members and committees; election of the President, confirmation of the Section chairs as Directors;

appointment /election of the Committee Chairs; the appointment of the auditor of Skate Ontario and authorizing their remuneration; and, for the transaction of such other business as may properly be brought before the meeting. Official notice of such meeting including the date, location and agenda including all business to be transacted and nominations shall be sent in writing to the Sections, the Auditor and the Skate Ontario Board members, no later than four weeks (28 days) prior to the meeting date.

(b) WHEN: The Board of Directors of Skate Ontario shall set the date of the Annual General

Meeting. It shall be held before the last day of June in each year. (c) QUORUM: Four (4) Directors present in person or represented by a proxy, and each who is

entitled to vote thereat shall constitute a quorum for the transaction of business at any meeting of members.

(d) PLACE: Annual General Meetings may be held at any place within Ontario.

(e) VOTES TO GOVERN: (i) SKATE ONTARIO BOARD OF DIRECTORS:

All Members of the Executive Committee of the Board of Directors of Skate Ontario shall be entitled to one vote at an Annual General or Special General Meeting.

(ii) VOTING:

Voting shall be by a show of hands, or by ballot, at the discretion of the President. A vote by a ballot shall be taken if so requested.

(iii) DETERMINING A MAJORITY VOTE:

Abstaining voters are not counted in determining a majority. A tie vote is defeated.

A simple majority of the votes cast by the members present and carrying voting rights shall determine the questions in meetings except where the vote or consent of a greater number of members is required by or pursuant to the Act or these By-laws and Rules.

The President may only vote in order to break a tie and therefore pass a motion, or to create a tie and therefore defeat a motion.

(iv) PROXIES:

Every member, entitled to vote at meetings of members, and not attending a meeting, may appoint a proxy by instrument in writing, who need not be a member, to attend, and act at the meeting in the same manner, to the same extent and with the same power as if the member were present at the meeting.

The instrument appointing a proxy may be in such form as the Directors may from time to time prescribe, and shall be handed to the secretary of the meeting, before any vote is cast under its authority.

(f) ATTENDANCE AT MEETINGS: The only persons entitled to attend a meeting of members

shall be those entitled to vote thereat; the Auditor of Skate Ontario, and others who although also not entitled to vote, are entitled or required under any provision of the Corporations

Act or By-laws of Skate Ontario to be present at the meeting. Any other person may be admitted only on the invitation of the Chairman of the meeting or with the consent of the meeting.

(g) ORDER OF BUSINESS: The order of business at the Annual General Meeting of members

shall include: (1) Reading of Notice of Meeting (2) Report as to Quorum (3) Minutes of preceding Annual Meeting (4) Reports (5) Confirmation of the actions taken by the Board of Directors (6) Confirmation of Directors (7) Election of President (8) Appointment/election of Committee Chairs (9) Proposed amendments to the By-laws (10) Awarding of Competitions and the next Annual General Meeting (11) Confirmation of contract positions (12) Report from Auditor (13) Appointment of Auditor (14) New Business

The agenda and order of business shall be set by the President.

(h) RECORD OF PROCEEDINGS: A complete record of proceedings of the Annual General

Meeting shall be taken by the Secretary/Past President and distributed to the members of the Board within 60 days of that meeting for review. The minutes of the Annual General Meeting shall also be included in the Annual General Report. Subject to the provisions of the Corporations Act, a copy of the financial statement and minutes of the Annual General Meeting, committee reports and a copy of the auditor's report shall be furnished to every member annually and/or on demand.

(i) APPOINTMENT OF AUDITOR: Each Annual General Meeting shall appoint an Auditor,

who shall examine and audit the accounts and report thereon to the next Annual General Meeting.

(8) SPECIAL GENERAL MEETINGS:

(a) A Special General Meeting may be called at any time by any two members of the Executive Committee or the President, to be held at such time and at such place as may be determined by the Board or the person(s) calling the meeting.

(b) Written notice of such a meeting, including the date, location, and agenda shall be sent to

the Members of the Board no later than three weeks (21 days) prior to the meeting date. At such meetings, any business may be transacted and must be duly noted by minutes, which shall be distributed to the members of the Board within 60 days of that meeting.

(9) OFFICERS AND DIRECTORS OF SKATE ONTARIO: Skate Ontario shall abide

by the By-laws governing Skate Canada Officers and Directors (By-law 1402) as applicable, except as follows:

(a) COMPOSITION: The affairs of Skate Ontario shall be managed or the management shall be supervised by its Board of Directors. Until changed by special resolution, the number of the Directors of Skate Ontario shall be six (6) including the President, the Past President and the four (4) Section Chairs. The Directors shall abide by the By-laws governing Skate Canada as applicable. Directors will remain in office until the close of the Annual or Special General Meeting at which the new Board is appointed and elected.

(i) The composition of the Executive Committee of the Skate Ontario Board of

Directors shall include the following positions:

President (elected for a two-year term for a maximum of two terms)

Past President

Four (4) Chairs of those Skate Canada Sections established in the Province of Ontario, who shall represent their respective Section Board of Directors as well as the member clubs within their Section and who will be confirmed annually as a Director. If applicable, at the first meeting following the Annual General Meeting where the new Board of Directors is elected/appointed, the President in consultation with the Board of Directors shall appoint any Directors as Officers as required.

(b) QUALIFICATIONS: The President and each Director shall meet the requirements as stated

in By-law 9 (a). In addition, if the President or a Director becomes mentally incompetent person, s/he thereupon shall cease to be a Director or Officer. The Board of Directors shall be eligible persons and members of a Skate Ontario Section and Associate Members of Skate Canada in good standing. No paid employee of Skate Canada, except as provided in Rule 1402(2) (b) and 2104 (2) (a) (iii), shall hold office on the Board of Directors of Skate Ontario.

(i) The Officers and Directors shall be paid no remuneration for attending meetings of the Board

of Directors or work done on behalf of Skate Ontario. They shall however be entitled to be paid such sums in respect of their out-of-pocket expenses incurred in attending Board or Members' meetings or otherwise in respect of the performance by them of their duties as the Board may from time to time determine and the letter patent of incorporation of Skate Ontario and the rules of Skate Canada permit.

(ii) All Board members shall be of legal age of majority.

(c) DUTIES AND RESPONSIBILITIES OF OFFICERS AND DIRECTORS: The duties and

responsibilities of the Officers and Directors listed above shall be included in the By-laws; and/or in the Terms of Reference of Skate Ontario, which may be changed by separate resolution as required from time to time.

(d) OFFICERS:

(i) President: The President shall act as the Chairman of the Board and shall preside over all meetings of the Board of Directors. The President shall ensure the execution of decisions made by the Board of Directors, sign all documents which require signature, shall fulfill all duties inherent to the office and shall have such other powers and duties as may be assigned by the Board of Directors. The President as Chairman of the Board shall ensure

that the policies of the Board of Directors shall be implemented in the management of the organization. The President will be an ex-officio member of each committee.

(ii) Past President: Shall be a Past President of the Skate Ontario Board, and may serve until a

new President is elected. The Past President shall serve as a resource for all Board members as well as serving as Secretary-Treasurer of the organization.

Secretary: the Secretary shall give or cause to be given, all notices required to be given to members, directors, auditors and members of the committees Treasurer: the Treasurer shall oversee the accurate record of books and accounts in which shall be recorded all receipts and disbursements of Skate Ontario and under the direction of the Board, shall direct the deposit of money, the safekeeping of securities and the disbursement of the funds of Skate Ontario. S/he shall report the financial position on a regular basis to the Executive Committee and at the meetings or on demand to the Board as a whole. The bookkeeper will report directly to the Treasurer. (iii) Vice President During the absence or inability of the President, his/her duties may be

performed and powers may be exercised by the Vice-President, A Vice-President shall also perform such duties and exercise such powers as the President may from time to time delegate to him/her or the Board may prescribe.

(e) POWERS OF THE SKATE ONTARIO BOARD OF DIRECTORS:

(i) OFFICERS AND DIRECTORS: Skate Ontario shall abide by the By-laws governing Skate Canada Officers and Directors (Skate Canada By-law 1402) as applicable.

(ii) COMMITTEES: The Board of Directors of Skate Ontario may from time to time establish,

constitute, or dissolve such committees, as it may consider desirable.

(iii) DELEGATION OF POWERS: The President or Board of Directors may delegate such duties and authorities as may be deemed expedient. The duties of Officers and Directors shall be identified and further defined in the Terms of Reference, which may be changed by separate resolution as required from time to time.

. (f) TERM OF OFFICE: The new Board of Directors shall take office immediately following the

Annual General Meeting. (g) NOMINATIONS FOR VACANCIES: Nominations for the President shall be made in writing,

and shall be valid only if a letter of acceptance is received from the nominee prior to the election. Nominations may be made by any member of the Board of Directors and should be received by the Past President who shall act as the Chair of the Nominating Committee, no later than 35 days prior to the Annual or Special General Meeting at which the elections are to be held.

(i) Each Section shall be entitled to nominate one (1) person annually to be appointed as a

Director of Skate Ontario, each of whom shall be the Chairperson of the Board of Directors

of such nominating Section. Such appointments will be confirmed at the Annual General Meeting.

(ii) In addition, each Board member shall be entitled to nominate one or more individuals to one or more positions as Committee Chairs, and if qualified, Committee Chairs may be re-appointed in subsequent years. The Terms of Reference for Committee Chairs and Committee Members will be defined in a separate document.

(iii) All nominations for Committee Chairs shall be submitted to the Chair of the Nominating

Committee (Past President) in writing no later than 35 days prior to the Annual General or Special General Meeting called for that purpose, and will be valid only if a letter of acceptance is received from the nominee prior to the election. The names of the nominees should be included in the Notice of Meeting. A person can be nominated for more than one position.

(10) ORDER OF ELECTIONS/APPOINTMENTS:

During the Annual General/Special General Meeting (i) The Section Chairs will be confirmed as Directors (ii) The Section Chairs will elect the President (iii) The Past President will be confirmed (iv) The Board of Directors will elect/appoint the Committee Chairs nominated for appointment

(11) BOARD OF DIRECTORS MEETINGS: Meetings of the Board of Directors shall be held at the call of the President, or in their absence the alternate to the President, at such time and place as Board members shall decide is most convenient

(a) QUORUM: A quorum for the Board of Directors shall consist of four (4) Directors

present in person. (b) MAJORITY OF VOTES: At all meetings of the Board of Directors, every question shall be

decided by a simple majority of the votes cast on the question by those present and entitled to vote. This shall include matters relating to the By-laws. Each Director shall have one vote. The President may only vote in order to break a tie and therefore pass a motion, or create a tie, which would therefore defeat a motion.

(c) RESOLUTIONS: A resolution, duly moved and seconded, may be voted by mail,

e-mail, fax, or telephone ballot at the discretion of the President. (d) MEETINGS: Telephone conference calls may be used in lieu of a face-to-face Board of

Directors or Standing Committee meetings. Votes conducted by e-mail may also be used as necessary, and as decided by the President.

(e) MINUTES: Meeting minutes shall be taken by the Secretary or designate and shall be

distributed to the members of the Board within 60 days of that meeting.

(f) PROXIES: Every member, entitled to vote at meetings of members, and not attending a meeting, may appoint a proxy by instrument in writing, who need not be a member, to

attend, and act at the meeting in the same manner, to the same extent and with the same power as if the member were present at the meeting.

The instrument appointing a proxy may be in such form as the Directors may from time to time prescribe, and shall be handed to the secretary of the meeting, before any vote is cast under its authority (12) REMOVAL OF OFFICERS AND COMMITTEE CHAIRS: The Board of Directors, may by resolution, passed by a majority of votes cast at a Special General Meeting, which notice specifies the intention to pass such a resolution, remove any Officer or Committee Chair before the expiration of their term of office; and may, by a majority of the votes cast at that meeting, appoint another person in their stead for the remainder of the term of office.

(13) CASUAL VACANCIES: Any casual vacancy occurring on the Skate Ontario Board of

Directors or Committee Chairs may be filled for the remainder of that term of office, by appointment, by the remaining Directors at a Special General meeting of the Skate Ontario Board of Directors called for that purpose, if constituting a quorum; otherwise, such vacancies shall be filled at the next Annual General Meeting.

(14) COMMITTEES: The Executive Committee may assign specific areas of responsibility to

committees or individuals. These portfolios shall be established by and are responsible to the Executive Committee. The committee chairs or individuals responsible for specific portfolios shall be appointed for a two-year term by the Executive Committee. Terms of reference for committees, committee chairs and/or individual portfolios shall be established by the Executive Committee and may be changed from time to time by a special resolution.

(15) AMENDMENTS TO THE SKATE ONTARIO BY-LAWS:

(a) Any By-law may be amended or new By-law enacted, by consent of a simple majority vote of the Board of Directors at an Annual General Meeting. Any such changes would come into effect at the close of that meeting. Amendments should be submitted to the Secretary of the Board at least 60 days in advance of the meeting and shall be included with the official notice for that meeting. The Ontario Sections should be advised and shall indicate their approval through their respective Section Chair. Any amendment to an amendment must be submitted to the Secretary at least 35 days prior to the meeting called for that purpose.

(b) The Board of Directors may by consent of a simple majority, suspend, amend, or enact

any By-law and shall be in effect only until the next Annual General Meeting at which time it will be presented for confirmation. Unless confirmed the amendment (s) shall cease to have effect and shall not be re-enacted again until at least the end of the next fiscal year.

(16) FINANCES: (a) FISCAL YEAR: The fiscal year of Skate Ontario shall close on March 31 of each year.

(b) AUDITED FINANCIAL STATEMENT: An audited financial statement signed by the Skate

Ontario President and Past President, and a copy of the auditor’s report shall be available to every member annually and/or on demand. Each Annual General Meeting shall appoint

an auditor and fix their remuneration. The appointed auditor shall examine and audit the accounts and report thereon to the next Annual General Meeting.

(c) FINANCE POLICY: A finance policy will be adopted by a separate resolution. The policy

shall include the principles that will outline: i. All disbursements, except for petty cash, shall be made by pre-numbered

cheques; ii. there shall be a detailed accounting of all monies where a cash advance has been

drawn; iii. that any investments be deemed to be guaranteed.

(d) BANKING ARRANGEMENTS: The signing authorities for financial matters shall be the

President, Treasurer, and Bookkeeper. The banking business of Skate Ontario or any part thereof shall be transacted with such bank, trust company, or other firm or corporation carrying on a banking business as the Board of Directors may designate.

(e) AUDITORS: Auditors for the financial statement and Skate Ontario accounts shall be

recommended by the Board of Directors and approved at the Annual General Meeting.

(17) RULES OF ORDER: The rules contained in “Roberts Rules of Order” shall govern the Corporation in all cases to which they are applicable and in which they are inconsistent with the By-laws or the Rules of this Corporation.

(18) PROTECTION AND INDEMNITY:

(a) No director, officer, member, employee or agent of the Corporation is liable for the acts, receipts, neglect or defaults of any other director, officer, member, employee or agent, or for joining in any receipts or other acts for conformity, or for any loss or expense happening to the Corporation through the insufficiency or deficiency of title to any property acquired by order of the Board of Directors for or on behalf of the Corporation or for the insufficiency or deficiency of any security in or upon which any of the moneys of the Corporation are invested, or for any loss or damage arising from the bankruptcy, insolvency or tortious act of any person with whom any of the moneys, securities or effects of the Corporation are deposited, or for any loss occasioned by any error of judgment or oversight on his or her part, or for any other loss, damage, or misfortune whatsoever, which happens in the execution of the duties of their office or in relation thereto, providing:

(i) they acted honestly and in good faith with a view to the best interests of the Corporation;

and (ii) in the case of a criminal or administrative action or proceeding that is enforced by a

monetary penalty, they had reasonable grounds for believing that their conduct was lawful.

(b) Every director, officer, member, employee, or agent of the Corporation and their heirs, executors and administrators, and estate and effects respectively, shall, from time to time and at all times, be indemnified and saved harmless out of the funds of the Corporation from and against:

(i) all costs charges and expenses whatsoever which such director, officer, member, employee or agent sustains or incurs in or about any action, suit or proceeding which is brought, commenced or prosecuted against them or in respect of any act, deed, matter or thing whatsoever, made, done or permitted by them, in or about the execution of the duties of their office;

(ii) all other costs, charges and expenses which they sustain or incur in or about or in relation

to the affairs of the Corporation, except such costs, charges or expenses as are occasioned by his or her own willful neglect or default, or charges for their own account.

(19) CONTRACT POSITIONS FOR AGENTS AND ATTORNEYS: The Board of Directors shall

have power, from time to time, to appoint agents or attorneys, or retain on a fee for service basis, a person or persons, in or out of Ontario, with specific expertise to perform certain and specific duties for Skate Ontario, with such powers of management or otherwise (including the delegate) as may be thought fit. The terms of employment and remuneration shall be settled from time to time on an annual basis, and incorporated into a written contract.

(20) DISSOLUTION OF SKATE ONTARIO: In the event of the dissolution of the Skate Ontario,

its assets will be distributed by the Board of Directors in the best interest of skating and figure skating.

(9) OFFICERS AND DIRECTORS OF SKATE ONTARIO: Skate Ontario shall abide by the By-laws governing Skate Canada Officers and Directors (By-law 1402) as applicable, except as follows:

(a) COMPOSITION: The affairs of Skate Ontario shall be managed or the management shall be supervised by its Board of Directors. Until changed by special resolution, the number of the Directors of Skate Ontario shall be six (6) including the President, the Past President and the four (4) Section Chairs. The Directors shall abide by the By-laws governing Skate Canada as applicable. Directors will remain in office until the close of the Annual or Special General Meeting at which the new Board is appointed and elected.

(ii) The composition of the Executive Committee of the Skate Ontario Board of

Directors shall include the following positions:

President (elected for a two-year term for a maximum of two terms)

Four (4) Chairs of those Skate Canada Sections established in the Province of Ontario, who shall represent their respective Section Board of Directors as well as the member clubs within their Section and who will be confirmed annually as a Director. If applicable, at the first meeting following the Annual General Meeting where the new Board of Directors is elected/appointed, the President in consultation with the Board of Directors shall appoint any Directors as Officers as required.

(d) OFFICERS:

(iv) President: The President shall act as the Chairman of the Board and shall preside over all meetings of the Board of Directors. The President shall ensure the execution of decisions made by the Board of Directors, sign all documents which require signature, shall fulfill all duties inherent to the office and shall have such other powers and duties as may be assigned by the Board of Directors. The President as Chairman of the Board shall ensure that the policies of the Board of Directors shall be implemented in the management of the organization. The President will be an ex-officio member of each committee.

(v) Past President: Shall be a Past President of the Skate Ontario Board, and may serve until a

new President is elected. The Past President shall serve as a resource for all Board members as well as serving as Secretary-Treasurer of the organization.

Secretary: the Secretary shall give or cause to be given, all notices required to be given to members, directors, auditors and members of the committees

Treasurer: the Treasurer shall oversee the accurate record of books and accounts in which shall be recorded all receipts and disbursements of Skate Ontario and under the direction of the Board, shall direct the deposit of money, the safekeeping of securities and the disbursement of the funds of Skate Ontario. S/he shall report the financial position on a regular basis to the Executive Committee and at the meetings or on demand to the Board as a whole. The bookkeeper will report directly to the Treasurer. (vi) Vice President During the absence or inability of the President, his/her duties may be

performed and powers may be exercised by the Vice-President, A Vice-President shall also

perform such duties and exercise such powers as the President may from time to time delegate to him/her or the Board may prescribe.

NEW (vii) Treasurer The Treasurer shall oversee the accurate record of books and accounts in which

shall be recorded all receipts and disbursements of Skate Ontario and under the direction of the Board, shall direct the deposit of money, the safekeeping of securities and the disbursement of the funds of Skate Ontario. S/he shall report the financial position on a regular basis to the Executive Committee and at the meetings or on demand to the Board as a whole. The bookkeeper will report directly to the Treasurer.

Rational: The position of Treasurer is being moved from the Past President to an elected/appointed Officer position. Effective: June 13, 2015
