1. To maintain at all times the highest standards of personal integrity and conduct in the performance of professional duties.

2. To respect the dignity of any person in the course of professional services anddealings with employers, employees and the community.

3. To perform all professional duties with the respect for the rights of employers, employees and the respective trade unions in the interests of industrial peace and social justice, and the economic and social development of the nation.

Dear SHRI Members and Corporate Friends,

2018 was certainly an exciting year for SHRI. Over the past months, the Institute has embarked upon several strategic initiatives to take the next leap of growth in advancing the HR profession as well as in reigniting our membership core.

Partnerships and CollaborationsSHRI-SAGE HR Tech LabIn keeping with a fast transforming labour market and technological disruptions in the HR space, SHRI has inked a MOU with Sage in a three-year partnership programme including a HR Tech Lab set up within SHRI’s current office premise. Both parties will offer practical training on HRmanagement system and HR analytics with the aim to enhance the HR and technology capabilities of the HR Community.

Consultancy Project with Talentnet Corporation for Vietnam HR AwardsBlazing on the trail of success from hosting its signature Annual HR Awards, SHRI was approached by Talentnet Corporation, a leading HR Consulting firm, to collaborate in replicating the HR Awards model in Vietnam. SHRI provided itsexpertise in designing the framework andcategories of awards as well providing consultants for onsite Judging. We look forward to extend our expertise as a national professional body for HR, to counterparts regionwide, in perpetuating and rewarding good HR practices.

SHRI MembershipMembership remains an important foundation for SHRI as an HR professional body consisting mainly of HR practitioners as our members. We continually strive to refresh our services and offerings to better facilitate your need for continuous skills upgrading and professional development throughout the year, in the form of networking events, public-runcourses and to enable our members to keep abreast of the latest recruitment landscape and legislations via the monthly #InfoHR series and other members engagement activities.

Exclusive Invitation – SHRI ProfessionalMembership for all IHRP Certified ProfessionalsIn recognition and support of IHRP, SHRIMembership department acted promptly before the year comes to a close, to offer an exclusiveinvitation for all IHRP certified professionals to join SHRI as Professional Members. The response has been encouraging and we look forward to working closely with IHRP in promoting HR best practices and upholding standards.

KEY EVENTSSHRI remains committed to empowering ourmembers to navigate change successfully. We encourage members to view disruptions asopportunities for growth rather than challenges through our signature events throughout the year, beginning with the SHRI Outlook 2018. Themed “HR Powered Business: A Paradigm Shift”, the forum creates a platform for HR decision-makers, industry experts and leading authorities to look towards the future of the workplace and share economic, business and HR forecasts for the year ahead. The event was graced by Mr Ong Ye Kung, Minister for Education (Higher Education and Skills) and Second Minister for Defence.

In July 2018, SHRI successfully hosted The 13th

Singapore HR Awards Presentation Gala, graced by Mr Zaqy Mohamad, Minister of State, Ministry of National Development and Ministry of Manpower as Guest of Honour. Over 60 awards were presented to participating organisations withexemplary people management practices. In an effort to groom the next wave of HR young leaders within the HR fraternity, this year’s Singapore HR Challenge was updated to a Hackathon format bringing together leaders in HR innovation and development and aspiring young HR leaders of tomorrow. The event was graced by Parliamentary Secretary, Ministry of Education and Ministry of Trade and Industry, Ms Low Yen Ling.

Another key event of SHRI, HR BusinessPartners Forum 2018 explored human resource and management capabilities that support business success so that Singapore can continue to have an innovative and resilient workforce on the global stage. The forum was geared towardsidentifying pressing issues across organisations of all levels, including SMEs and start-ups. It was graced by Senior Minister of State, Ministry of Trade and Industry, Deputy Secretary-General, NTUC, Dr Koh Poh Koon, who also soft-launched the Center for Creative Leadership (CCL)-SHRI joint publication “Architecting Future Fluent Culture” The Critical Role of HR.

The Singapore HR Awards 2019 Curtain RaiserLast but not least, as a precursor to the prestigious Singapore HR Awards 2019, SHRI hosted its Curtain Raiser on 29 November. Helping to drive home the theme “Honouring Human Capital. Driving Business Excellence”, was ourdistinguished panel of judges who graced the event and contributed towards a robust and interactive Q&A session with the participants. Attended by 75 people across various segments of the business community, the Curtain Raiser was well-received and helped organisations that are interested in the Singapore HR Awards to better understand the awards criteria and application process.

SHRI AcademyIn keeping with market needs, SHRI Academy continued to review and update its academicsofferings with ongoing initiatives such as renewal of enhanced registration framework.

Extending its expertise overseas, the Academy has also launched a 2-day short course for HCMMyanmar and MSHRM, Myanmar to help upgrade HR Professionals globally. It has also participated in the Postgraduate Fair held in September 2018 at the Raffles City Convention Centre, raising its brand awareness and reaching out to potential students.

SHRI CorporationSHRICorp continues to offer a gamut of training programmes focusing on enabling knowledge acquisition and skills development for bothcorporate and individual learnings, ensuring high standards of skills and competencies for individuals seeking employment and to enhance theiremployability in an increasingly competitiveeconomy. All SHRICorp’s workshops are facilitated by HR practitioners/professionals with expert domain knowledge and years of practicalexperience.

In addition, SHRICORP continues to be appointed by the Ministry of Manpower as an approved audit organization for Employment StandardCompliance Audit (ESCA). Since 2015. Our panel of ESCA auditors has successfully helped several organisations to review and align their employment practices for compliance with Employment Act.

Society for Human Resource Management (SHRM) Annual Conference & Exposition 2018In June, I represented SHRI at SHRM’s largest gathering of HR Professionals event – the SHRM Annual Conference & Exposition 2018 in Chicago, USA. It was a fruitful trip where I reconnected with the new President & CEO, Mr Johnny Taylor, and his staff members and discussed joint activities and events in Singapore. Members can expect more exciting event offerings and networking platforms in our upcoming joint activities with SHRM.

Forging Ahead TogetherAs we embark on a new year, I would like to thank our individual members, corporate friends, advisory board, executive council and secretariat for your contribution, guidance and steadfast support.

I count on your continued support and commitment as we forge new partnerships and friendship in our common pursuit towards the upgrading andbetterment of HR Practitioners in Singapore during this time of volatile, uncertain, complex andambiguous environment.

2015• Celebrated our Golden Jubilee on 10 July with the successful Global HR Seminar and 50th Anniversary Gala,

graced by Secretary-General, NTUC, Mr Chan Chun Sing and Minister for Manpower, Mr Lim Swee Say, respectively as Guest-of-Honour. Minister Lim launched a special coffee table publication: a collection of memories and milestones from SHRI’s inception in 1965 to the present day

• Organised a Human Resource (HR) Day Charity Bowl, graced by MP for Bishan-Toa Payoh GRC, Mr Hri Kumar Nair, as Guest-of-Honour. Proceeds were donated to SPD (formerly Society for the Physically Disabled)

• NTUC in partnership with SHRI, hosted the HR Leadership Summit 2015, themed “Building Successful Human Resource Management of the Future”, with the aim of training HR practitioners to meet common challenges and create a future-ready culture

• Launched brand-new members’ events: the SHRI HR Leaders’ Series and the SME HR Seminar Series• SHRI and ASME jointly conceived the SME HR Award, a brand new accolade established with an emphasis

on SMEs and their successes in human resource management• Hosted government delegations from China and Indonesia with regards to human capital development in

Singapore• Supported the Vietnam HR Awards 2015 as knowledge partner• Supported the Myanmar HR Leaders’ Summit 2015, providing an opportunity for our members to learn about

HR practices in Myanmar and around the region• The 4th APFHRM Regional HR Conference in Singapore, themed Future of HR marked a historic first for

Singapore’s HR profession as SHRI brought together members of the Asia Pacific Federation of Human Resource Management (APFHRM) and the World Federation of People Management Associations (WFPMA) from 22 countries worldwide. Highlights included presentation of the first ever “APFHRM HR Professional of the Year” award

• SHRI members who have supported the Institute for 30 years were conferred life-long membership as a form of recognition and appreciation

• The Institute’s Chinese name was changed from 新加坡人力资源学院 to 新加坡人力资源协会 to better reflect the core work of SHRI as a member-based organisation, working for the interests and needs of the members

MEMBERSHIPAs a professional HR body in existence for more than five decades, SHRI houses a growing pool of industry professionals comprising HR practitioners, people managers, employers and businessleaders from both public and private sector organisations across diverse industries in Singapore.An independent, trusted voice pioneering Singapore’s human capital spirit, SHRI plays the role of a HR thought-leader, as well as a conduit between the HR fraternity (individuals & organisations) and policy-makers.

SHRI connects HR professionals and business leaders locally and regionally through its signature events and conferences such as The Singapore HR Awards, HR Outlook, HR Challenge, Singapore HR Congress and Business-Connect Exposition. SHRI has been the trendsetter, creating benchmarks in standards of HR best practices with core initiatives such as member engagement activities, dialogues and networking sessions.

SHRI Membership Category

• Honorary Life, Hon. MSHRI — To be bestowed on an honorary basis on the person who has rendered distinguished service to the Institute and/or the community.

• Fellow, FSHRI — to be conferred upon a Professional Member who has achieved eminence in the practice of human resource management and/or development or has distinguished himself/herself by contributing to the body of knowledge relating to human resource management and/or development.

• Professional, MSHRI — A person may qualify for Professional Membership if he has at least three years’ approved experience in human resource management and/or development as prescribed by the Council and has passed the Institute’s prescribed examinations, provided that the Council, on receiving an application in writing, exempts a person from the examinations either in whole or in part if he convinces the Council that he has the knowledge, experience, application and attitudes in human resource management and/or development comparable to the level of the Institute’s prescribedexaminations.

• Associate — Any person who in the ordinary course of his business, profession, vocation,employment or post-graduate studies is concerned with or involved in human resource management and/or development in an executive, academic or advisory capacity acceptable to the Council shall be eligible for Associate Membership.

• Student/HR Youth Leaders – Any person who is undergoing (either on a full-time or part-time basis) an undergraduate course of study (defined as studying at or below bachelor degree level) in human resource management and/or development at SHRI.

As Singapore’s representative on the Asia Pacific Federation of Human Resource Management (APFHRM), SHRI works closely with national HR associations worldwide to share Singapore’s leading HR practices and thought leadership with neighbouring countries as well as to bring global and regional HR best practices, insights and services back home.

In line with its vision to be the leading HR authority in Singapore,championing human capital excellence, SHRI is committed toadvocating HR best practices, connecting a community of HRprofessionals and enhancing the HR profession. As the pioneer of promulgating transformations of the HR brand, SHRI is now onto the next phase of powering human capital to catapult organisations and individuals into developing people in the new economy through our suite of members engagement activities, InfoHR sessions and professional development training year long.

KEY EVENTS

THE SINGAPORE HR CHALLENGEThe Singapore HR Challenge, another key event of SHRI was updated to that of an HR Hackathon format over 2 days in July. It brought together teams from close to 10 Institutes of Higher Learning including ITE, Nanyang Polytechnic,Singapore Polytechnic, Temasek Polytechnic, SUSS and SIM, in an effort to groom the next generation of future-ready people managers.

FUTURE OF WORK FORUM 2018Keeping the pulse on future trends and changes in thedynamics of our workforce, SHRI organised and hosted the Future of Work Forum on 24 April 2018. The event was graced by Senior Minister of State, Ministry ofCommunication and Information and Ministry of Health – Mr Chee Hong Tat; Member of Parliament and AssistantSecretary General, NTUC, Mr Patrick Tay as well as industry experts, speakers, members, guests and over 200attendees. The event provided a one-stop integrated platform, bringing together key industry experts, HR and business leaders who shared valuable insights and the latest trends in the 'future of work'.

Senior Director, Human Resources and Organisation Development, SUTD, Dr Jaclyn Lee also hosted andmoderated an interactive Panel Discussion on 'Re-imagine the Future Workplace' exploring how digitisation, automation and innovation are changing the fundamental nature of work.

SHRI OUTLOOK 2018Starting the year on a high note, SHRI hosted Outlook 2018 on 4 January. The first signature event of the year, the Outlook provided a one-stop integrated platform, bringing together key industry experts, HR and business leaders who shared valuable insights and trends for the year ahead. We were honoured to have the Dialogue on 'Preparing the Workforce for a Changing Future' with Minister for Education (Higher Education and Skills) and Second Minister for Defence, Mr Ong Ye Kung.

Keynote speakers, Mr Ng Chin Hwee, Executive VicePresident for Human Resources and Operations, Singapore Airlines, and Mr David Mann, Global Chief Economist,Standard Chartered Bank, shared the HR and Economic Outlook, touching on trends that would impact business and workforce planning. The panel discussion on 'HR Powered Businesses: A Paradigm Shift' covered how HR leaders play a crucial role in strategising and improving complex business model in organisations.

HR BUSINESS PARTNER FORUM 2018Exploring the alignment of business goals to HRmanagement capabilities, SHRI organised and hosted the HR Business Partner Forum on 27 Sept 2018. The event was graced by Senior Minister of State, Ministry of Trade and Industry, Deputy Secretary-General, NTUC, Dr Koh Poh Koon, who also soft launched the Center for Creative Leadership (CCL)-SHRI joint publication "Architecting Future Fluent Culture” the critical role of HR. The event saw active participation from speakers, members, guests and over 200 attendees. It provided a one-stop integrated platform, bringing together key industry experts, HR and business leaders who shared valuable insights and discussions. The line up of panellists included industry experts such as Ms Grace Yip from Accenture ASEAN, Ms Seah Gek Choo from Deloitte Singapore, Ms Aileen Tan from Singtel, Mr Mark Foo from Fastjobs-SPH Digital, Ms Grace Kerrison from Pymetrics Asia Pacific, moderated by Mr Sunil Puri Director of Research, APAC, Center for Creative Leadership.

THE SINGAPORE HR AWARDS 2019CURTAIN RAISERAs a precursor to the prestigious Singapore HR Awards 2019, SHRI hosted its Curtain Raiser on 29 November. Helping to drive home the theme "Honouring HumanCapital . Driving Business Excellence”, was ourdistinguished panel of judges who graced the event and contributed towards a robust and interactive Q&A session with the participants. Attended by 75 people across various segments of the business community, the Curtain Raiser was well-received and helped organisations that areinterested in the Singapore HR Awards to better understand the awards criteria and application process.

THE 13TH SINGAPORE HR AWARDSPRESENTATION GALAThis year, SHRI hosted the prestigious 13th Singapore HR Awards Presentation Gala, at Marina Bay Sands. The event was graced by Minister of State, Ministry of National Development and Ministry of Manpower, Mr Zaqy Mohamad, which saw over 60 awards being presented to public and private sector organisations in recognition of excellence within the HR profession in Singapore. Newly launched categories this year includes the Business HR Award and Manpower Journalism Award.

SHRI ACADEMY1. Ongoing Initiativesa. Renewal of Enhanced Registration Framework (ERF): SHRI Academy has been granted simplified ERF Renewal due to its good track record.

The eminent Academic and Examination Board (AEB) of SHRI Academy include Assoc Prof David Wan as the Chairperson of AEB Board with Mr Lee Tiong Peng, Mr Kao Beng Lee, Mr Yeo Beng Teck and Mr Victor Kow as members of the board.

b. Deployment of Our Pillars-Faculty Members: SHRI Academy’s 39 Active Faculty Memberscombine the best of their enriched real-world experience and strong academic background in theirdisciplines. 6 experienced faculty members out of 33 are foreign faculty members from Edinburgh Napier University bring in rich experience as well.

c. Funding Support: We are grateful to SDF, UTAP and Skills Future for their continued funding support for various programme levels.

2. New Initiativesa. Entering into Overseas Market: SHRI Academy has launched 2-day short course for HCM Myanmar and MSHRM, Myanmar to help to upgrade HR Professionals globally.

b. Marketing Activities: SHRI Academy took affirmative actions to strategise and improve its brand visibility to younger and wider demographics by advertising on social sites such as Facebook, LinkedIn and Instagram. Since the initiative to digitise, the following activities were undertaken:

• SHRI Academy Programme Brochures have been redesigned to stay pertinent in its marketingcommunications efforts and outreach towards changing demographics.

• Embarked on B2C Lead Generation Campaign through a dedicated microsite. Directing online traffic into enquiry leads and conversions.

• Raising awareness and visibility amongst potential students and competitors by participating inprominent, relevant events such as the Postgraduate Fair held in September 2018 at the Raffles City Convention Centre.

c. Launch of Short Courses: Short courses focusing on the foundational competencies received accreditation by IHRP have been successfully launched.

d. ATO-PEI Status: SHRI Academy has attained ATO-PEI status in June 2018.

e. SSG Funding: SHRI Academy has received up to 95% funding for its short course - Employment Legislation & Industrial Relations.

3. Outcomea. Competency Report: Graduates: SHRI Academy as an established Academy, continues to partner and serve its 189 graduating students in their professional development journey towards their learning and academic achievements. Within the year alone, SHRI Academy conferred 137 Certificates,Diplomas, Post graduate Diplomas and, Masters while its Education Partner Edinburgh Napier conferred 52 prestigious Bachelors (top-up) and Postgraduate Degrees.

4. Plans For 2019a. Launch of Short Courses: SHRI Academy will be launching more short courses on the foundational and functional competencies accredited by Institute for HR Professionals, IHRP, once approved.

b. Launch of WSQ Programmes: SHRI Academy plans to launch a series of WSQ programmes, upon approval by SkillsFuture Singapore.

c. Preparation of Audits: SHRI Academy shall be undergoing the 4-Year EduTrust Interim Audit.

At 7.20pm, HS (LT) announced to all present that there were 63 Professional Members present and that the

quorum was met. He then invited P (ET) to chair the Meeting and to address the Members.

1.1 P (ET) thanked and welcomed the Members for attending the AGM.

1.2 P (ET) thanked Members for attending the AGM despite their busy schedule.

1.3 P (ET) thanked fellow Council Members, Advisory Board Members and Secretariat

for their support and contribution to the institute. He thanked Ms Low Peck Kem

and Mr Koh Tat Liang, who were present at the AGM.

1.4 P (ET) also thanked the HODs and Secretariat for their unrelenting commitment

and efforts to the institute for the past 12 months.

1.5 P (ET) shared that the emerging trends of smart technology are changing the

workforce of the future. Hence, HR needs to have a mindset shift and play their

role as a catalyst to unleash the potential of their organisations. As SHRI is a

professional HR body, the focus should be to increase the members’ value

preposition and strengthen long-term financial goals.

1.6 P (ET) then invited Members to openly share feedback should there be any areas

for improvement and encouraged Members to actively participate in SHRI’s slew

of events and activities in the coming year.

1.8 HT (LT) shared the attributes that led to extra earnings categorized under Income

Analysis.

The findings were the reversal of provision reinstatement cost for The Verge of

$136K and reversal of overprovision fees payable to Edinburgh Napier University

(“ENU”) accumulated for FY2016 to FY2017 of $102K.

1.11 HT (LT) shared that Other expenses have reduced by $557k as compared to

FY2016. The key contributors were: -

1. Re-organisation and re-designing job roles in the business units

contributed to the reduction in manpower cost.

2. Rental saving of $30k per month due to re-location from ‘The Verge to

Singpost Centre’ from May 2017 onwards.

3. Management of International Collaborations by holding negotiations in

Singapore by using Technology to reduce travel expenses

1.12 HT (LT) briefly mentioned the loss from misappropriation of funds. As of to-date,

the police’s investigation is still ongoing. The Group has also commenced civil

proceedings against the former employee.

He further explained that unrecorded receipts were not banked resulting to

unrecorded transactions across three financial years from 31 December 2015 to

31 December 2017.

1.13 HT (LT) concluded the financial analysis by stating that income statements of The

Group and Institute FY2016 have been restated to reflect the unrecorded income

and cash receipts with corresponding amount recorded and disclosed as “loss from

misappropriation of funds”.

1.14 HS (LT) thanked HT (LT) for the financial overview and proceeded to share more

on Membership & Events initiatives in 2017.

1.15 HS (LT) presented the membership stats as of 2017. She highlighted that majority

of Members are Professional Members.

1.16 New marketing initiatives such as membership flyers and pull-up banners were

introduced by the marketing department in an effort to increase awareness and

promote SHRI’s branding across different platforms.

1.17 HS (LT) shared that networking events like #SocialHR have gained traction among

HR practitioners and have attracted big turnouts.

She added that such events provide a platform to engage Singapore's HR Thought

Leaders and Rising HR Talents in meaningful conversations on emerging trends,

practices, policies and taboo HR topics and innovation.

1.18 The youth Council, Emergence was launched to build the next generation of HR

leaders to ensure proper succession and make impact in Singapore’s HR

ecosystem. HS (LT) introduced Emergence’s Patron, Ms Cynthia Tan, who was

formerly from OCBC.

1.19 HS (LT) shared the various key events organised by SHRI, which include SHRI

Outlook, Singapore HR Awards, HR Challenge and HR BizTech.

She highlighted the Joint Research Partnership by Center for Creative Leadership

(CCL) and SHRI titled CHRO 3.0: Preparing to Lead the Future HR Function in Asia.

The research study covered how HR can transform from rule enforcers to equal

partners and how senior business and HR leaders can gain valuable insights to the

winning skillset in a complex business environment.

1.20 Dialogue sessions involving Ministers from the relevant ministries were also

organised to share expert viewpoints and understand the future trends of HR.

1.21 HS (LT) thanked the Secretariat team, especially the events team for putting in

effort to build SHRI’s credentials and brand.

1.22 For SHRI Corporation, S (DP) addressed new and upcoming initiatives. SHRICORP

launched a corporate outreach campaign to promote MOM’s HR Industry

Manpower Plan (HRIMP) and offered complimentary Human Capital Needs

Analysis (HCNA) along with the HRIMP briefing for SHRI Corporate Members

corporations. 7 Corporate Members have benefited from this one-to-one

exclusive sharing and human capital needs analysis session.

1.23 S (DP) added that new marketing collaterals have helped to push for more brand

awareness and promotion of new public and training workshops. SHRI Corp also

introduced 9 new public workshops in Q4, 2017 to provide stronger relevance and

more updated training offerings to members of the HR community.

SHRI Corp will continue to work closely with foreign delegates and industry

partners to strengthen HR capabilities through their comprehensive suites of

consultancy and training solutions.

1.24 For SHRI Academy S (AN) updated the forum that SHRI Academy has attained

quality assurance mark, EduTrust Certification for a period of four years, from 12

September 2017 to 11 September 2021, so it can continue offering its Bachelor’s

programmes in collaboration with Edinburgh Napier University.

It was also shared there were 3 strengths and 9 After Audit Findings as the final

findings of the assessment.

1.25a S(AN) acknowledged the Academy team members without whom the attainment

of EduTrust certification would not have been possible.

1.25b S(AN) stated that the never-ending support and guidance rendered by Academic

Examination Board (AEB) is commendable. It was stated SHRI Academy continues

to review and update its academic offerings as a part of continual improvement

process.

1.26 SHRI Academy achieved another milestone by giving recognition to the 364

students who graduated in 2017. SHRI Academy conferred 302 Certificates,

Diplomas and Postgraduate Diplomas, while its Education Partner Edinburgh

Napier conferred 62 prestigious Bachelor’s and Master’s Degree.

S(AN) thanked HT(LT) for representing SHRI Academy at the graduation ceremony

conducted by Edinburgh Napier University (External Degree Partner) in Nov 2017.

1.27 New Initiatives: Marketing Initiatives

S (AN) shared that SHRI Academy took affirmative actions to strategise and

improve its brand visibility by ramping up their marketing activities.

The following initiatives were also taken to make SHRI Academy more visible:

• Participated in Postgraduate Fair held in September 2017 to increase their

presence in the private education institution market.

• Published an article on a specialised course in HeadHunt magazine.

Moving Forward, S (AN) added that SHRI Academy will be increasing its market

presence by advertising 30 bus stops ads across the island.

1.28 New Initiatives: Overseas

S(AN) expressed her gratitude towards Magdalene Chai, Council Member for

representing SHRI Academy at the 10th Anniversary of Talentnet corporation.

SHRI Academy shall be launching soon Professional and Advanced Certificate

Programmes in Vietnam in collaboration with Talentnet Corporation.

1.29 S(AN) shared Moving Forward:

1. SHRI Academy will be launching 4 short courses on the foundational

competencies launched by Institute for HR Professionals (IHRP) once

approved.

2. ATO-PEI status shall help the Academy to make short courses more

affordable to SME due to funding grants.

3. SHRI Academy will be increasing its market presence by advertising 30 bus

stops ads across the island.

4. SHRI Academy shall expand its horizon overseas.

SHRI Academy will be continuously revamping its curriculum with the national HR

framework and market job needs for its part-time programmes and urge Members

to embark their HR journey with us.

2 TO CONFIRM MINUTES OF THE 51st AGM HELD ON 31 MARCH 2017

2.1 P (ET) then proceeded with the next item on the Agenda that was to confirm the

Minutes of the 51st AGM held on 31 March 2017. P (ET) requested a proposer and

seconder. Mr James Tan proposed and Mr Alan Leong seconded.

3 MATTERS ARISING FROM THE MINUTES OF THE 51st AGM

3.1 There were no matters arising from the minutes of the 51st AGM.

4 TO RECEIVE AND ADOPT THE 52nd ANNUAL REPORT OF THE EXECUTIVE

COUNCIL

4.1 The Chair referred Members to the hardcopy of the report circulated for Members’

information.

4.2 The Chair asked if Members had any comments. David Ang commended the

Secretariat team for their contribution and hard work.

4.3 David Ang commented that provisions of activities and key events should be

itemised by profit and loss to ensure transparency in the financials.

HT (LT) noted the suggestion and responded that there are standard financial

practices that the Institute has been looking into.

4.4 Ong Teong Wan suggested that the Institute could enlist faculty members to study

on Financial Services so as to better understand processes.

HT (LT) noted the suggestion and replied that the Institute could look into getting

professionals to assist in internal controls of financial records.

4.5 As there were no further comments, he requested for a proposer and seconder to receive

and adopt the Annual Report. Mr Alan Leong proposed and the proposal was seconded

by Mr David Ang. The Meeting resolved to accept and adopt the 52nd Annual Report

unanimously.

5 TO RECEIVE AND ADOPT THE FINANCIAL REPORT FOR THE FINANCIAL YEAR

ENDED 31 DECEMBER 2017 AS CERTIFIED BY THE AUDITORS

5.1 Referring to the Financial Report, which was circulated earlier, the Chair then

asked if the Members had any comments.

5.2 David Ang questioned on the increase in the plant and equipment under the fixed

asset for 2017.

S (KL) responded that the increase in provisions were costs that incurred from

renovation works for the new office.

David Ang also raised a question regarding the increase in trades and receivables.

S(KL) mentioned that due to Singapore financial standards, more details are

unable to be disclosed. She also added that the presentation on the financial

statements are prepared in accordance to the Singapore Financial Standards.

5.3 David Ang raised the following points: -

1. What is the cash flow and financial reserve like?

2. What is the revenue projection?

David Ang noted that it is the Council’s responsibility to plan for revenue projection

to maximise profits for the Institute.

P (ET) noted the suggestion by David Ang and thanked him for the question.

5.4 The Chair requested a proposer and seconder to receive and adopt the Financial

Report for the financial year ended 31 December 2017. Mr Vincent Yeo proposed

and Mr Peter Chin seconded. The report was unanimously adopted.

6 TO APPOINT AUDITORS FOR THE FINANCIAL YEAR 2018

6.1 P(ET) introduced Mr Khor from Baker Tilly TFW LLP as proposed auditors for the

financial year 2018. The firm boasts 15 partners, 10 with audit license and a

strength of 290 employees.

Mr Khor thanked the council for the nomination and looks forward to working

closely with them and the Secretariat for the coming years.

6.2 David Ang raised a question and concern on the financial costs for appointing

various auditor firms over the past few years.

P (ET) responded that the Council had evaluated quotations from other auditing

firms and had done a comparison, hence the appointment.

6.3 With no further comments, the Chair called upon a proposer and seconder. The

appointment was unanimously adopted with Mr Ong Hong Him as Proposer and

Mr Adrian Wong as Seconder.

7 TO TRANSACT ANY OTHER BUSINESS OF WHICH SEVEN DAYS’ NOTICE IN

WRITING HAS BEEN GIVEN TO THE HONORARY SECRETARY

7.1 As there were questions in writing received, HS (LT) addressed that questions

received were flagged out and answered to the best of the ability of the Chair. HS

(LT) then thanked the Secretariat team for their effort in delivering the reports

timely.

7.2 David Ang asked that there should be one point of contact for any matters relating

to the Council. Due to PDPA, HS (LT) clarified that personal contact details of the

Council are unable to be disclosed to the Members.

HT (LT) suggested creation an email address that should be available on website,

so that the members can send in their queries.

A representative from the Secretariat can also assist in facilitating and

coordinating matters received on this email to the concerned with the Council and

secretariat to ensure timely and appropriate closure.

7.3 Moving forward, Abdul Kareem suggested a few criteria on the selection for the

next ED. The suggested essential criteria were: -

1. Credibility and extensive background knowledge on the Institute

2. Be at least 10 years as a member of SHRI

7.4 David Ang questioned the role of the council and empowerment at work.

HS (LT) said that the Institute can look at empowering their people provided that

proper training is put in place so that staff are well-trained.

Ong Tiong Wan suggested that it would be good to have the roles clearly defined

and ensure that staff are fairly compensated.

To which, HS (LT) added that we are aiming to hire the right people with right set

of skills and relevancy of roles to ensure that staff benefits are in line with the job

market.

7.5 David Ang raised a question on the projection for the year 2018.

Ong Heng Him added that it is beneficial for the Institute to project the next few

years and urge that the ED be accountable for the ROI, KPI and outcomes the

Institute wants to achieve through their pipeline of events and activities.

Joel Lim also suggested that the Institute should work on streamlining processes

so that SHRI can continue to garner potential Members and Students to patron its

services on a positive note.

HS (LT) opined that we will explore possibilities on how to value-add to this.

7.6 Hui Ban Yin commented that there is a need to monitor the profit and loss of

activities and events organised to ensure good returns.

7.7 SHRI had embarked on a rebranding exercise to update the overall branding to

better attract the younger generations of HR practitioners to join as Members.

8 CLOSE OF MEETING

8.1 David Ang and Alan Leong commended the Institute for putting up a great effort

in this time of organizational transition and growth.

8.2 There being no other matters and in closing, the Chair P (ET) thanked all Council

Members and Secretariat for their contributions and support in many invaluable

ways. The AGM came to a close at 9.00pm.
