• Version 1 for when Business Owner (or individual) initiates negotiations with Service Provider

• Version 2 for when Service Provider initiates negotiations with Business Owner

– Includes particular protections for payment, disputes and limits the Service Provider’s liability for their work

• Grace period is allowed with an option to fix/respond

– Parties can choose to pay for work completed and end the agreement

• IP ownership vests in Business Owner (once paid)

• If dispute cannot be resolved, parties can choose to go to an independent arbitrator for a determination
