I would like to further request you forward nancial records regarding any and all one time or recurring or phased compensations paid and/or benets extended in any manner to Dr. Bowerman in direct regard to the SEMA/CEP merger. I have another issue to address with CEP and I would ask your assistance in reviewing the specics and forwarding them to the appropriate personnel in the company to engage negotiations. As acknowledged in your letter, Dr. Bowerman and I are equity partners with CEPMG. The current marriage dissolution between Dr. Bowerman and I requires a 50/50 split of community assets including any community owned equity in the partnership and any compensations due from the merger between SEMA and CEP in April 2011. There is an outstanding issue from the merger between Sutter Emergency Medical Associates (SEMA) and CEP. It is our position that the Dr. and Mrs. Bowerman Community has not been properly compensated for the discovery, program research and proposal of the Scribe Program to the SEMA Partners by the Bowerman Community in 2006. While the partners at SEMA originally rejected our suggestion, after I fully researched the program at Cottage Hospital, Santa Barbara, California, I packaged the proposal for Dr. Bowerman to formally present to the partners at which time they voted to agree to designate one of the partners to pursue development and implementatio n. The next two years were used to run tests with a small number of scribes acquired by recruiting Pre-Med Students from the University of Merced. Dr.

Bowerman was one of the primary Emergency Physicians at Sutter Memorial MedicalCenter in Modesto who was accompanied by the scribes during the pilot phase of theprogram.

Dr. Bowerman also worked at Doctor’s Medical Center in Modesto which was and is a

CEP facility. It is my understanding that Doctor’s Medical Center implemented theScribe Program in 2008 after the successful program pilot at Sutter Memorial MedicalCenter which was a SEMA facility prior to the merger.

While Dr. Bowerman opted to not take the Program Director role at that time, wediscussed the value the program would bring to us personally and the rest of thephysician partners at the Sutter Memorial Hospital in Modesto as it substantiallyincreased the ability for each individual emergency room physician to increase billing byspending more time treating patients and less time working on paperwork. It was myexpectation that since my husband did not take the Program Director role for theprogram with the approximately $5,500.00 monthly stipend, that we would be

compensated based on the overall billing and revenue increase realized by thecompany, SEMA, at the Modesto facility and the other facilities the Scribe Program wasexpanded to within the SEMA network.

The phenomenal success of the Scribe Program significantly increased SEMA revenuesand the overall value of the company. This value was well recognized by CEP in theirdesire to acquire/merge with SEMA and was a significant factor in designating theSEMA partners as full partners in CEP once the merger was completed. CEP hascontinued to benefit greatly by implementing the Scribe Program with great successacross facilities in the CEP Network.

At this time we would ask that you facilitate contact with the appropriate personnel inyour company to discuss this issue and set a meeting time to negotiate equitable andfair compensation for the Bowerman Community in regard to the Scribe Program.
