PERMANENT INJUNCTION ENTERED AGAINST FREDRIC GUMBINNER
The Commission announced that pursuant to a Consent and Stipulation, an Order of Permanent Injunction and Other Equitable Relief (Order) was entered against Fredric Gumbinner .(Gumbinner) permanently enjoining him from future violations of the antifraud provisions, and ozde red Gumbinner to disgorge $15,330 representing his personal profits and certain profits of others who traded as alleged in the complaint, together with interest of $10,492. The Order also assessed an Insider TradingSanctions Act of 1984 penalty against Gumbinner of $11,279. Gumbinner consented to the entry of the Order, without admitting or denying the allegations in the complaint.
The complaint filed in this action alleges that Gumbinner and Robert Ricketts obtained material nonpublic information from their employer, the law firm of Dykema Gossett,concerning two acquisition targets of a firm client. As to Gumbinner, the complaintfurther alleges that while in possession of such information, Gumbinner traded in the securities of those targets through his brokerage account and the brokerage accounts of others, and disclosed such information to others, including Steven Kroll, all in violation of the federal securities laws and Dykema Gossett's policy of confidentiality. PERMANENT INJUNCTION ENTERED AGAINST STEVEN KROLL
The Commission announced that an Order of Permanent Injunction and Other EquitableRelief (Order) was entered against Steven Kroll (Kroll) permanently enjoining him from future violations of the antifraud provisions, and ordered Kroll to disgorge $17,215for 1987 securities transactions, representing his alleged profits of $12,231 and alleged profits of $4,984 of another, and to pay interest of $10,024. The Order also assessed an Insider Trading Sanctions Act of 1984 penalty of $12.231. Kroll consented to the entry of the Order, without admitting or denying the allegations in the complaint.
The complaint filed in this action alleged that Robert Ricketts and Fredric Gumbinner (Gumbinner) obtained material nonpublic information from their employer, the law firm of Dykema Gossett, concerning two acquisition targets of a client. The complaintalleged that in September 1987, Kroll obtained from Gumbinner information concerningone target, which Kroll knew or was reckless in not knowing was confidential and had been misappropriated by Gumbinner in breach of a fiduciary duty. The complaintfurther alleged that in September 1987, Kroll purchased securities while in possession

PROCEEDINGS AGAINST HERBERT LINDO
The U.S. Attorney for the Western District of Michigan announced that on March 30,1993, Herbert Lindo of Brookville, New York was convicted of three counts of sellingunregistered securities. Lindo caused unregistered securities of Kenilworth Systems,Inc., a New York corporation, to be pledged as collateral for approximately $250,000in loans from three banks in 1986. The securities were sold to the public in 1987 and 1988 to repay the loans and generate additional cash in violation of the Securities Act of 1933. The Chicago Regional Office of the Securities and ExchangeCommission participated in the criminal investigation of the matter. Sentencing is set for June 1993. [U.S. v. HOLDING COMPANY ACT RELEASES
THE SOUTHERN COMPANY
A notice has been issued g1v1ng interested persons until May 3, 1993 to request a hearing on a proposal by The Southern Company (Southern), a registered holdingcompany. Southern proposes to amend its Certificate of Incorporation in order to increase, from 500 million to 1 billion, the total number of shares of common stock, par value $5.00 per share, that Southern shall have authority to issue. Southern proposes to submit such Amendment for consideration and action by its stockholders at the annual meeting to be held on May 26, 1993. Consequently, and as provided in Rule 62(d), Southern requests that it be allowed to solicit proxies for voting on the proposed Amendment by its stockholders. It may do so. (ReI. 35-25788)

ACCELERATED APPROVAL OF PROPOSED RULE CHANGE
The Commission approved on an accelerated basis a proposed rule change (SR-CBOE-92-34) filed by the Chicago Board Options Exchange which, among other things, allows the CBOE to calculate the exercise settlement value for reduced-value Financial Times-Stock Exchange 100 Index (Index) options traded on the CBOE by dividing the ten the value of the Exchange Delivery Settlement Price used to settle the Index optionstraded on the London International Financial Futures and Options Exchange.Publication of the order is expected in the Federal Register during the week of April 12.
