Rules Regarding Securities Offering Reform The Commission voted to adopt modificatio ns to the registration, communications, and offering processes under t he Securities Act of 1933. offerings for cash, in the preceding three y ears. * A seasoned issuer is a primary shelf eligibl e issuer. * An unseasoned issuer is an issuer that is re quired to file reports pursuant to Sections 13 or 15(d) of the Exch ange Act, but is not a primary shelf eligible issuer. * A non-reporting issuer is an issuer that is not required to file reports pursuant to Sections 13 or 15(d) of the Exchange Act. The most significant revisions to the Commiss ion's communications rules and registration processes apply to well-known seasoned issuers. Liberalizing Communications Around the Time of Registered Offerings The rules update and liberalize permitte d offering activity and communications to allow more information to re ach investors by revising the “gun-jumping” provisions under the Securi ties Act. The cumulative effects of these rules are: * Well-known seasoned issuers are permitted t o engage at any time in oral and written communications, including use at any time of a new type of written communication called a “free writin g prospectus,” subject to enumerated conditions (including, in some ca ses, filing with the Commission). * All reporting issuers are, at any time, perm itted to continue to publish regularly released factual business inform ation and forward-looking information. * Non-reporting issuers are, at any time, per mitted to continue to publish factual business information that is regular ly released and intended for use by persons other than in their capacity as i nvestors or potential investors. * Communications by issuers more than 30 days before filing a registration statement will be permitted so long as they do not reference a securities offering that is the subject of a registrati on statement.

* All issuers and other offering participants will be permitted to use a free writing prospectus after the filing of the registration statement, subject to enumerated conditions (including, in some cases, filing with the Commission). Offering participants, other t han the issuer, will be liable for a free writing prospectus only if they u se, refer to, or participate in the planning and use of the free writing pro spectus by another offering participant who uses it. Issuers will have liability for any issuer information contained in any other offering participant’s free writing prospectus as well as any free writing prosp ectus they prepare, use, or refer to. * The exclusions form the definition of prospe ctus are expanded to allow a broader category of routine communications r egarding issuers, offerings, and procedural matters, such as communications a bout the schedule for an offering or about account-opening procedures. * The exemptions for research reports are exp anded. A number of these new rules include condition s of eligibility. Most of the rules, for example, are not be available to blank check companies, penny stock issuers, or shell companies. The rules address the treatment under the Se curities Act of electronic communications, including electronic road show s and information located on or hyperlinked to an issuer's website. The rules define written communication as any communication that is wri tten, printed, a radio or television broadcast, or a graphic communicat ion. The definition of graphic communication and, thus, electron ic road show excludes communications that are carried live and in real-time to a live audience, regardless of the means of transm ission. Electronic road shows for initial public offerings of commo n equity or convertible equity securities will have to make a bona f ide electronic road show

readily available to an unrestricted audien ce to avoid filing the electronic road show with the Commission. No other road shows will be subject to filing. Liability Timing Issues The Commission addressed the liability provis ions under the Securities Act. In this regard, the Commission: * Reaffirmed the interpretation and adopted an interpretive rule that, for purposes of disclosure liability under Secti on 12(a)(2) and Section 17(a)(2) of the Securities Act, when assessing whethe r a statement to an investor prior to or at the time of sale by a seller includes or represents a material misstatement or omits to state a material fa ct necessary to make the statement in light of the circumstances und er which it was made, not misleading, information conveyed to the inve stor only after the time of the contract of sale should not be taken into ac count. * Approved changes to the Securities Act proce dures for shelf registration that will ensure that prospectus supplement s filed after the initial effective date of a registration statement will be included in the registration statement for Securities Act Se ction 11 liability purposes. * Approved rules that will establish a new Sec tion 11 effective date for each takedown off a shelf registration st atement for issuers and underwriters, and not for experts, directors , and signing officers. If an expert provides a new report or opinion in a n Exchange Act report or in connection with the takedown that would requ ire a consent, however, there would be a new effective date for that exper t. Improvements to Registration Procedures The rules will make improvements to the shel f registration provisions that will modernize the operation of the sh elf registration process under the Securities Act. The changes will:

* Codify in a single rule the information that may be omitted from a base prospectus in a shelf registration statement at effectiveness and included later; * Replace the requirement that issuers registe r only securities they intend to offer within two years with a requ irement that the issuer update the registration statement with a new regist ration statement that is filed every three years; * Eliminate restrictions on “at-the-market” eq uity offerings by seasoned issuers with a $75 million public float; * Permit immediate takedowns of securities off of shelf registration statements; * Permit issuers to use prospectus supplements (rather than post-effective amendments) to make material changes to the plan of distribution described in the base prospectus; * For seasoned issuers with a $75 million publ ic float, revise the requirement to identify selling security hol ders by permitting selling security holders to be identified in prospec tus supplements (rather than post- effective amendments), where the securities to be sold (or securities convertible into such securities) are outsta nding when the registration statement is filed; and * Establish a significantly more flexible vers ion of shelf registration, referred to as "automatic shelf registration " for offerings by well-known seasoned issuers. Automatic shelf regist ration permits automatic effectiveness, pay-as-you-go registration fe es, and the ability to exclude additional information from base prospectuse s. The rules also contain procedural changes t hat will allow reporting issuers that are current in filing their Exchange Act reports to incorporate by reference previously filed Exch ange Act reports and other materials into a Securities Act registration statement on Form S-1 or

Form F-1. Prospectus Delivery Reforms The rules will change the way in which the final prospectus delivery obligations under the Securities Act are sati sfied. The change will create an "access equals delivery" model for f inal prospectuses. Under this model, filing a final prospectus with th e Commission and complying with other conditions will enable offering participants to conduct securities offerings without printing and a ctually delivering final prospectuses. A cure provision for inadvert ent failures to file is included. In addition, the rules include a separate requirement to notify investors that they purchased sec urities in a registered offering. Required Disclosure in Exchange Act Reports The rules require issuers to include the follo wing in their Exchange Act periodic reports: * For Form 10-K filers, disclosure of risk fac tors, where appropriate; * Disclosure regarding the issuer's status as a "voluntary" filer of Exchange Act reports; and * For “accelerated filers” and well-known seas oned issuers, disclosure in their reports of written staff comments that were issued more than 180 days before the end of the fiscal year to which t he annual report relates, where those comments remain unresolved at the time of filing the annual report and the issuer believes those comments to be mat erial. The effective date of the rules will be 120 d ays following publication in the Federal Register. 2. Use of Form S-8, Form 8-K, and Form 20-F by Public Shell Companies The Commission voted to adopt rules and am endments to assure that

investors in shell companies that acquire op erations or assets have access on a timely basis to the same kind of i nformation as is available to investors in public companies with continu ing operations. The rules are intended to protect investors by deterrin g fraud and abuse in the securities markets through the use of shell co mpanies. The new rules and amendments relate to the u se of Form S-8, Form 8-K, and Form 20-F by public shell companies. Fo rm S-8 is used by public companies to register securities for sale und er the Securities Act of 1933 in connection with employee benefit pla ns. Form 8-K is used by public companies to disclose certain corporate events on a current basis under the Securities Exchange Act of 1934. Form 20-F is a multi- function form under the Exchange Act for forei gn private issuers. The changes will * define the term “shell company” to mean a re gistrant, other than an asset-backed issuer, that has no or nomin al operations, and either: o no or nominal assets; o assets consisting solely of cash and cash equivalents; or o assets consisting of any amount of c ash and cash equivalents and nominal other assets; * revise the definition of “succession” to inc lude a method of taking a private company public through a shell co mpany that is known as the “back door” Exchange Act registration procedure ; * prohibit the use of Form S-8 by shell compan ies; * permit former shell companies to use Form S- 8 once they become operating companies and 60 days have passed since they filed with the Commission the information about the operating company that they will be required to provide if they were filing a registration statement under the Exchange Act; * add new Form 8-K Item 5.06 to require disclo sure when companies cease to

be shell companies; * revise the existing Form 8-K items relating to acquisition or disposition of assets and changes in control to require companies that cease being shell companies, within four business days of the transaction, to disclose information comparable to the infor mation that they will be required to provide if they were filing an Exchange A ct registration statement; * require foreign private issuer shell compani es to report transactions that cause them to cease being shell compani es on Form 20-F, providing disclosure comparable to that which domestic companies will report on Form 8- K; and * require companies to indicate on the cover p age of their Exchange Act periodic reports whether they fall within th e definition of “shell company.” The amendments would take effect 30 days a fter publication in the Federal Register, except for new Form 8-K Ite m 5.06, which would take effect Nov. 7, 2005. 3. Further Consideration of Adoption of Amend ments to Rules under the Investment Company Act of 1940 The Commission considered further its adoptio n of amendments to rules under the Investment Company Act of 1940. A cting in response to a decision by the Court of Appeals for the Dis trict of Columbia Circuit (Chamber of Commerce v. SEC) remanding tw o issues raised by the rulemaking, the Commission voted not to modif y the amendments. (Press Rel. 2005-99) RULES AND RELATED MATTERS FURTHER CONSIDERATION OF ADOPTION OF AMENDMENTS TO RULES UNDER THE INVESTMENT COMPANY ACT OF 1940

On June 30, the Commission issued a release regarding amendments to rules under the Investment Company Act of 1940 . Acting in response to a decision by the Court of Appeals for the Dis trict of Columbia Circuit (Chamber of Commerce v. SEC) remanding tw o issues raised by the rulemaking, the Commission voted not to modify the amendments. For further information, please contact Pene lope W. IC- 26985) ENFORCEMENT PROCEEDINGS FINAL JUDGMENT ENTERED AGAINST MIRIAM SANTOS The Commission announced that on June 7, 2005 , the Honorable James B. Zagel of the U.S. District Court in Chicago, Illinois entered a final judgment against Miriam Santos, the former Tr easurer of the City of Chicago. The Court entered the judgment pursu ant to Santos’ consent and without her admitting or denying the allegat ions of the Commission’s complaint. The judgment against Santos perma nently enjoined her from future violations of Section 10(b) of the Sec urities Exchange Act of 1934, and Rule 10b-5 thereunder. The judgme nt against Santos ordered her to pay disgorgement of $7,500, plus prej udgment interest on this amount, for a total of $11,371.34. The judgme nt also ordered Santos to pay a civil penalty of $30,000, which will be paid pursuant to a payment plan of three years due to her demonstrated inability to pay. The Commission’s complaint in this civil action al leged that Santos and the other defendants engaged in a fraudulent sche me in which two registered representatives of broker-dealers made secret cash payments to Santos, then-City Treasurer of the City of Chicago, t o obtain a share of the City’s lucrative securities investments. al., United States District Court for the Nort hern District of Illinois, Eastern Division, Civil Action No. 02-8236] (L R-19269) IN THE MATTER OF PETER J. BURNS The Commission announced that on June 7, 20 05, it issued an Order Instituting Administrative and Cease-and-Desis t Proceedings Pursuant to Sections 15(b)(6) and 21C of the Securities Ex change Act of 1934, Making Findings and Imposing Remedial Sanctions and a Cease-and-Desist Order (Order) against Peter J. Burns (Burns). The Order finds that, during the period 1995 to September 1998, Burns made undisclosed cash payments to Miriam Santos, who was the Treasurer of th e City of Chicago at that time, to maintain a share of the City’s secur ities investment activity. The Order also finds that the cash payments made by Burns and another registered representative were subsequently used to purchase office furniture for Santos’ campaign headquarters. The Order finds that, as a result of this conduct, Burns willfully viola ted Section 10(b) of the Exchange Act and Rule 10b-5 thereunder. Based on the above, the Order requires Burns to cease and desist from committing or causing any violations and a ny future violations of Section 10(b) of the Exchange Act and Rule 10 b-5 thereunder, bars him from association with any broker or dealer wit h the right to reapply for association after one year to the app ropriate self-regulatory organization, or if there is none, to the Com mission, orders Burns to pay disgorgement of $38,143.26 and prejudgmen t interest of $18,137.82, and orders Burns to pay a civil money penal ty of $25,000.00 in four installments of $6,250 with the first payment to be made within ten days of the entry of the Order, and the remaining installment payments made 120, 240 and 360 days after the date of the O rder. Burns consented to the issuance of the Order without admitting or denying any of the
