The offerings were structured as "blind venture capital pool" offerings whose undisclosed purpose was to fund entities in which McWhorter and Pere?:nan had a direct or indirect financial interest. The complaint further alleges that information supplied to investors through salss!rei~ hired by McWhorter and Perelman contained false and misleading information about, among other things, the use of proceeds and the potential return on investment. The Court also ordered the defendants to pay a disgorgernent amount equal to the proceeds paid to them as a reslilt of the activities alleged in the C~nunission~~ Complaint, plus prejudgment iuterest. The Denver Regional Office announced that, on May 30, a Final Judgment of Permanent Injunction was entered by the. U.S. District Court for the District of Colorado against Thomas J. Wacker (Wacker). Wacker consented, without admitting or denying the allegations in the complaint, to a permanent injunction from future violations of the registration and antifraud provisions of the Securities Act of 1933 and the Securities Exchange Act of 1934. Wacker further consented to an order of disgorgernent of profits, which was waived based on proof of inability to pay. The complaint alleged that Wacker and other defendants offered and sold contracts for investments in gold and that Wacker, among others, acted fraudulently. See LR-12636, LR-12759 and LR- 12817.
