TENDER SCBA EQUIPMENT FOR STRATFORD FIRE DEPARTMENT

SECTION ONE – INFORMATION AND INSTRUCTIONS

BACKGROUND 1.0

The City of Stratford Fire Department will be replacing Self-Contained Breathing Apparatus (SCBA) Equipment to comply with the new National Fire Protection Association (NFPA) 1981 & 1982 Standards (2013 Edition). Quantities of the required equipment to be replaced by the City of Stratford are indicated in the price schedule as found in Annex C – Financial Tender. The award process will result in the City of Stratford (hereafter to be referred to as the “City”) selecting, on the basis of its determination of best overall value, new Self Contained Breathing Apparatus Equipment (hereafter to be referred to as “SCBA Equipment”) for the Stratford Fire Department (hereafter to be referred to as the “SFD”). The City of Stratford Fire Department formed a SCBA Committee consisting of Administration, Training, and Equipment Committee to set up a program to evaluate and test SCBA. Five manufacturers were asked to make presentations and demonstrate their product features. The Committee then chose the top two ranked manufacturers based on an evaluation form developed in house. Each manufacturer then supplied test apparatus for a period of one month to allow the testing and evaluation by the firefighters. The review of the evaluations clearly revealed a unanimous choice by over a twenty (20) percent satisfaction rating. Given the fact that we currently use MSA and are able to re-use Trans fill hoses and phase in cylinders, a cost savings will be realized upgrading to a newer model of the same manufacturer. Thus, this tender will only accept bidders that can provide MSA G1.

OBJECTIVE 1.1The objective of this Tender is to select a Bidder who shall supply and deliver SCBA units, cylinders, face-pieces, Rapid Intervention Team Kits, all Technician certification product support and deliver value added parts. The key drivers are firefighter safety and reduced operating expenses/overhead in the maintenance of the SCBA. As a result of the Tender the City:

a) Award a purchase order in the City’s sole and absolute discretion, to supply and deliver the selected product to the SFD as outlined in Annex C – Financial Tender.

CLARIFICATION OF THIS TENDER 1.2

a) Bidders are responsible for requesting any clarification of the Tender. b) Bidders are responsible for advising the City if, in their opinion, any language, specifications or

requirements of the Tender appear to be ambiguous, contradictory, or appear to inadvertently restrict or limit the requirements stated in the Tender.

c) Every attempt will be made by the City to ensure that Bidders receive adequate and prompt responses. d) To ensure consistency and to maintain a fair and equitable Tender process, all Bidders will be required

to check for any Addenda on the City of Stratford Website1. Addenda could include (a) responses to questions submitted in writing concerning the TENDER document or (b) amendments to the Tender document.

e) No addendum(s) will be issued within 48 hours prior to bid closing. All addendum(s) become part of the tender document and must be acknowledged and/or submitted as instructed with the bid. It is the

Bidder’s responsibility to check the website for addendum(s) prior to submitting their bid. Any bid received with addendum(s) acknowledged and/or submitted as instructed will be rejected.

INQUIRIES AND ADDENDA 1.3

All inquiries and questions regarding this Tender must be directed to the Contracting Authority specified herein. The Contracting Authority will provide answers to inquiries to all Bidders by written addenda.

All Addenda referencing this Tender will form part of this Tender. Receipt of all Addenda should be acknowledged in a Bidder’s Tender response. Failure to do so may result in the disqualification or rejection of a Tender response.

The Bidder is advised that all communications with the City related to this Tender during the bidding process must be made directly and only with the Contracting Authority. Information given verbally by any other person at the City or any of its advisors, employees or representatives shall be non-binding on the City.

ORDER OF PRECEDENCE 1.4The documents listed below form part of this Tender and will be incorporated into any resulting purchase order. If there is a discrepancy between the wording of one document and the wording of any other document which appears on the list, the wording of the document which first appears on the list shall prevail.

RIGHTS RESERVED 1.5

The City Reserves the Right to: a) Accept or reject any or all tenders received b) Reject any tender that does not comply with the stated terms and conditions c) Reject any tender that exceeds the approved funds d) Cancel and/or or reissue this requirement at any time e) Request clarification or supporting data for any point in the tender f) Waive or correct any minor or inadvertent defect, irregularity or technical error with respect to the

Tender document g) Pursue its own investigations concerning a Bidder’s legal status and/or financial viability h) Terminate the Tender process at any time prior or subsequent to the closing date, and issue a new

BIDDER’S INVESTIGATIONS AND RESPONSIBILITIES 1.6

By submitting a Tender in response to this Tender, the Bidder certifies to the City that: a) It has carefully examined the TENDER documents and has a clear understanding of the Stratford Fire

Department SCBA Equipment required by the City as described in this Tender. b) It is in good standing with its creditors and financial institutions and is financially able to perform and

meet any and all duties, liabilities and obligations as may be required of it under any agreement/purchase order resulting from this Tender.

c) It has been afforded the full opportunity to make any and all investigations relative to the terms and conditions set out within this Tender understanding that it is the City’s intent that these form the basis and circumstances under which a contract will be performed.

d) It has put forth all of its comments and/or questions with respect to this Tender over the period that inquiries were allowed for and affirms its agreement that the City has adequately responded to these concerns or questions in one manner or another through published Addenda. It will not, except as provided for in Appendix A – Conditions and Certificates, make any claims for extra compensation, damages or extension of time for completion from the City based on any alleged misunderstanding of this Tender or because of any lack of information concerning, or alleged misrepresentation of, the terms and conditions as set forth in this Tender.

By submitting a Tender in response to this Tender, the Bidders are responsible for: a) Ensuring that the tender is signed by an authorized official of the firm, in a sealed envelope and clearly

identified on the outside as to its contents. b) Ensuring that all sections of the Tender have been addressed in the Tender. Bidders that omit unit costs

in a Price Schedule may result in the Tender being declared incomplete and removed from further consideration.

NO LOBBYING 1.7Bidders and/or team members and advisors must not engage in any form of political or other lobbying whatsoever with respect to this bid solicitation or seek to influence the outcome of the Tender process. In the event of any such lobbying, the City, at its sole and absolute discretion, may at any time disqualify a Bidder or reject any submission by a Bidder without further consideration. All correspondence or communication by Bidders must be directed to the Contracting Authority.

LITIGATION 1.8No bid will be accepted from any Bidder inclusive of its subcontractor(s), which has a claim or instituted a legal proceeding or has threatened a claim or instituted a legal proceeding against The Corporation or against whom the Corporation has a claim or instituted a legal proceeding with respect to any previous contract, without prior approval by Council.

SITE INSPECTION BY THE STRATFORD FIRE DEPARTMENT 1.9During the award process, the SFD reserves the right, at its own expense, travel for the purpose of inspection and validating elements of the tender(s) received, to location where the system is manufactured and/or where its principal servicing and support resources are housed. Bidders will be provided five (5) working days (Monday to Friday) notice of the SFD’s intent to conduct a site inspection

LIABILITY FOR ERRORS 1.10

While the City has made considerable efforts to ensure an accurate representation of the content of this Tender, this information nevertheless is not warranted to be 100% accurate or necessarily completely comprehensive for the stated requirements. The City therefore cannot and will not be held liable for the TENDER content. The preceding notwithstanding, any omission or error by the City in its representation within this Tender of its requirements for SCBA Equipment will not relieve the Preferred Bidder of its duty and responsibility to deliver the solution in accordance with the terms and conditions of any purchase order issued to it as a result of award of this Tender.

INTERPRETATION OF THE SPECIFICATIONS 1.11

Unless otherwise stated by the Bidder, the tender will be considered as being in accordance with the specifications outlined in this Tender. All goods or materials or equipment proposed shall be new and represent current production items manufactured or assembled from previously unused, processed or unprocessed raw materials or from newly manufactured sub-components, unless otherwise so stated in the Tender specifications.

COLLUSION 1.12

By submitting a bid in response to this Tender, the Bidder shall have certified to the City that: a) The content of its Tender for SCBA Equipment has been arrived at independently from those of any

other Bidder; b) The prices submitted have been submitted in a manner that have not been knowingly disclosed by the

Bidder, and will not knowingly be disclosed by the Bidder prior to award, either directly or indirectly, to any other Bidder or competitor, and No attempt has been made, nor will be made, to induce any other person to submit, or not to submit, a Tender, for the purpose of restricting competition.

INSPECTION AND ACCEPTANCE OF GOODS 1.13

All SCBA Equipment supplied under the purchase order will be subject to due inspection and acceptance by the City prior to authorization for payment of these products. The Bidder must agree that the City retain the right to closely scrutinize all material charges and determine if good value for the City is achieved. Under no circumstances will the City process payment for any item where the price has not been calculated in accordance with terms and conditions of the tender.

INSURANCE 1.14

Before commencement of the work the Contractor must furnish to The Corporation of the City of Stratford, a Certificate of Insurance2 detailing such coverage as provided under the Commercial General Liability policy, Non Owned Automobile Liability policy and Standard Owners Automobile Liability policy, Coverage shall be effected by such Insurer(s) licensed in the Province of Ontario, Canada, and/or acceptable to The Corporation of the City of Stratford.

The Commercial General Liability shall be on an “Occurrence basis”. “Claims Made” and/or Comprehensive General Liability policies are not acceptable unless approved in writing by the Manager of Financial Services.

The policies will not be altered to the detriment of the City, cancelled or allowed to lapse without giving 30 days written notice to The Corporation of the City of Stratford and shall remain in force from Purchase order execution to the end of the Warranty period.

The Corporation of the City of Stratford must be included as Additional Insured with respect to the Commercial General Liability policy.

If the Certificate of Insurance is provided in a non-original form (e.g. a facsimile, photocopy or scanned electronic copy), the Bidder acknowledges and agrees that the City is fully entitled to treat any such Certificate as an original and that the Bidder will be responsible for the accuracy and validity of the information contained therein.

The Contractor shall indemnify and hold harmless the Corporation of the City of Stratford, it officers and employees from and against any and all liabilities, claims, demands, loss, cost, damages, actions, suits or other proceedings by whomsoever made, directly or indirectly arising out of the project attributable to bodily injury, sickness, disease or death or to damage to or destruction of tangible property caused by acts or omissions of the Contractor, its officers, agents, servants, employees, customers, invitees or licensees, or occurring in or on the premises or any part thereof and, as a result of activities under this purchase order.

Mandatory Coverage:

(i) Commercial General Liability (IBC 2100 or its Equivalency)

Shall include the Owner, its employees and Consultants as Insureds. The Corporation of the City of Stratford and such other entities as directed shall be added as additional Insureds. Minimum acceptable limits are $2,000,000 per Occurrence.

The Commercial General Liability policy must include “Blanket Contractual Liability” and “Cross Liability” endorsements.

Maximum Property Damage/Bodily Injury Deductible $2,500 for which The Contractor assumes full responsibility.

(ii) Non Owned Automobile Liability Policy

Minimum Limits of Liability $2,000,000 and coverage must be extended to include vehicles hired under Contract.

(iii) Standard Owners Automobile Liability Policy

Minimum Limits of Liability $2,000,000

(iv) The Corporation of the City of Stratford may require coverage for other hazards as required on a project basis.

(v) The Corporation of the City of Stratford reserves the right to modify the insurance requirements

as deemed suitable.

WORKPLACE SAFETY & INSURANCE BOARD 1.15

The successful bidder shall furnish a WSIB Clearance Certificate indicating their WSIB firm number, account number and that their account is in good standing. This certificate must be furnished prior to commencement of work, and shall provide additional certificates prior to the expiry date of the certificate on file during the term of the contract to ensure their WSIB account in good standing throughout the contract term.

HEALTH & SAFETY 1.16

.1 The classification of Contractors and Sub-Contractors in the City of Stratford Health and Safety Policies and Procedures Manual is external to the City of Stratford and includes all those individuals or organizations working on a contract for the City of Stratford. The health and safety responsibilities attached to this classification include the following:

• Demonstrate the establishment and maintenance of health and safety program, with objectives and standards and will provide qualified workers and meet all applicable legislation as well as City of Stratford Health and Safety Policies and Procedures.

• Are held accountable for their health and safety performance. • Ensure the workers in their employ are aware of the hazardous substances that may be in use at the

workplace and wear the appropriate personal protective equipment required for the area. •

Proof of the above may be required by the City at any time from tendering to project completion.

.2 All work performed under this Contract must be carried out in accordance with the terms and conditions of the Occupational Health & Safety Act and its Regulations, the Environmental Protection Act, the Highway Traffic Act and all other applicable Acts, Regulations, or By-Laws governing the work to be performed. Violations of any such legislation may result in a termination of this agreement.

The City of Stratford – Health & Safety Manual3 details the minimum standards for Health & Safety Best Practices. Especially Note Policy 4, Page 9; Contractors & Subcontractors Responsibilities and Duties as well as Policy 21, Contract Administration.

NOTE: Each successful contractor MUST comply with the City of Stratford’s Contractor Health and Safety Program and provide all required documents as noted in that program or requested by the City Representative.

COMPLIANCE WITH AODA ACCESSIBIITY STANDARDS 1.17

The Bidder shall comply with applicable Regulations of the Accessibility for Ontarians with Disabilities Act, 2005 (the AODA), with regard to the provision of the provision of its goods or services contemplated herein, specifically:

• Ontario Regulation 429/07: Accessibility Standards for Customer Service, • Ontario Regulation 191/11: Integrated Accessibility Standards

The Bidder shall ensure that any employees, agents, volunteers, or others for whom it is at law responsible and who are involved in providing goods and services to the City of Stratford receive training as required by these regulations.

The Bidder acknowledges that pursuant to the AODA, the City of Stratford must, in deciding to purchase goods or services through its procurement process, consider the accessibility for persons with disabilities to such goods or services. Please review The City's Accessibility Plan4.

The Bidder further acknowledges that any documents it produces for the City of Stratford which may be posted to the City website or otherwise be published shall be prepared in accordance with City of Stratford Accessible Communications Reference Guide5.

SECTION TWO – TENDER SUBMISSION REQUIREMENTS SUBMISSION OF TENDER 2.0

All Tenders submitted in response to this solicitation shall be delivered and addressed to the following:

Tenders shall be received NOT LATER THAN 2:00:00 P.M. LOCAL TIME ON Wednesday, October 14, 2015. Tenders received after the above due date and time will not be considered, and will be returned, unopened, to the Bidder.

TENDER PREPARATION AND SUBMISSION INSTRUCTIONS 2.1Tenders should be divided into four (4) sections:

Section 1: Appendix A – Completed Conditions and Certificates and Reference Form and Appendix B – Bidder Declaration;

Section 2: General Requirements (Annex A); Section 3: Optional Equipment and Descriptions (Annex B); and Section 4: Financial Tender (Annex C).

NUMBER OF COPIES 2.2

Bidders are requested to submit, one original copy, signed and dated in a separate sealed package.

The envelop should clearly identify the Bidder’s name, the TENDER # and Title, the Tender due date TENDER CONTENT 2.3

Tenders are to be submitted in a professional format (including a table of contents) and must include the information requested. By submitting a tender the bidder will have confirmed the SCBA Equipment being offered meet all of the minimum requirements in Annex A as well as Items required in optional equipment in Annex B. The Bidder may also submit additional optional equipment as it feels would benefit the Stratford Fire Department. However, selection of this equipment will be solely based on the decision of the Stratford Fire Department and not bound to the optional equipment presented. The Financial Tender should be submitted in accordance with the instructions and numbering system set out in Annex C – Financial Tender. The Conditions and Certificates should be submitted in accordance with the instructions set out in Appendix A – Conditions and Certificates. The Bidder Declaration should be submitted in accordance with the instructions set out in Appendix B. The City will only evaluate complete responses or tenders submitted in response to this Tender. To be considered a complete response, the tender must include the following: a) The General Requirements (provided in Annex A ) with compliance denoted with a “Yes” or “No”. b) The completed forms of the Optional Equipment with full Descriptions (Annex B). c) A completed Financial Tender submitted (Annex C). d) A signed Contractual Acknowledgement (provided in Appendix A).

e) A signed Bidder Declaration (Appendix B)

The tender shall be clear, concise, and shall include sufficient detail for substantiating the validity of stated claims. The tender should not simply rephrase or restate the requirement but rather should provide convincing rationale to address how the Bidder intends to meet these requirements The tender shall state the correct legal name and legal status of the proposing entity and the correct mailing address. The name, telephone and e-mail address of the representative who may be contacted for clarification or other matters relating to the tender should be provided. The award of contract is subject to the proposed SCBA equipment achieving NFPA 1981 & 1982 Standards (2013 Edition) certification and the City’s validation of this certification.

TENDER VALIDITY 2.4

Tenders shall remain valid and open for acceptance by the City, for a period of 90 calendar days, following the closing date for receipt of Tenders.

NOTES TO BIDDERS 2.5

It is essential that the elements contained in the tender are stated in a clear and concise manner. Failure to provide complete information as requested will be to the Bidder’s disadvantage. Tenders should be submitted in the format requested, with an index and preferably including the criteria subject to evaluation in a clear identifiable location. If a Bidder feels that the conditions will restrict it unnecessarily in any way, it should so state in its tender. Any deviation from the stipulated conditions should be given in detail with an explanation as to why they are being proposed. The City reserves the right to accept any tender as submitted without prior negotiations. It is the responsibility of the Bidder to obtain clarification of the requirements contained herein, if necessary, prior to submitting a tender.

a) Each tender will be evaluated solely on its content b) The City does not accept tenders submitted by facsimile transfer machines or electronic mail. c) This Tender does not commit the City to award a contract or to pay any costs incurred in the

Personnel will be made available during two full day sessions with a third short session scheduled if needed for missed fit tests or new hires. If after the third session any fit tests are not complete, other arrangement will be negotiated. Annex C – Financial Tender

Bidders must submit a complete financial tender that includes firm pricing to complete all of the SCBA equipment requirements, including: labour, material, equipment, freight/shipping charges and all other associated costs required to supply and deliver the subject items. HST shall be extra to the costs quoted.

BASIS OF PAYMENT 4.0

The firm unit prices and discounts proposed for the goods specified in this Tender shall serve as the basis of payment for same in any resulting award of the purchase thereof.

4.3 TAX STATUS

The price quoted shall be in Canadian funds and shall include all duty, custom clearances, and all other charges now in force. All prices shall be quoted exclusive of pertinent taxes or in this case NOT including Harmonized Sales Tax. Taxes will therefore be EXTRA, where applicable, to total price of the Work.

4.4 DELIVERY

All prices must be quoted F.O.B. DESTINATION – FREIGHT PREPAID to be delivered and offloaded at the City of Stratford Fire Department, 388 Erie St. Stratford Ontario Canada N5A2N4. The delivery will take place as expeditiously as possible and the bidder will indicate the latest expected delivery date. The City reserves the right to add and/or change delivery locations, if necessary, to another location within the City of Stratford boundaries at no additional charge.
