1. PURPOSE OF THIS REPORTThis surrender report details exploration activity carried out by Midas Resources Limited (“Midas”) as operators on the Mahalla Creek EPM 14490.

2. INTRODUCTIONThe Mahalla Creek Project area is located approximately 50 kilometres south east of Nebo in the in the Pine Mountains area. Midas was granted EPM14490 on 27th September 2005 for a period of 4 years.

Fieldwork included stream sediment, soil and rock chip sampling as well as field inspection of key target areas.

3. LOCATION AND ACCESSEPM14490 comprises two parts; the larger is situated approximately 50 kilometres south east of Nebo and 80 kilometres south of Mackay. The smaller section is a further 30 kilometres south Access is via the unsealed Collaroy – Tierawoomba Road and station tracks..

The project occupies portions of the Tierawoomba and Coillaroy pastoral stations.

The tenement lies on the Mackay and St Lawrence1:250,000 map sheets (SF55-8 & 12) and on the Carmila (8754) and Connors Range (8753) 1:100,000 map sheets.

4. TENUREEPM 14490 comprises a total area of 99 graticular blocks in 2 sections (Figure 1). The northern section comprises 90 blocks while the southern section comprises 9 blocks.

5. CLIMATE & PHYSIOGRAPHYThe climate is subtropical with annual rainfall is in the range 600-700 mm falling mainly between December and March. The entire area lies within the Connors River catchment, with the Murray and Mahalla Creeks being the principal drainages.

Physiographically, the tenement area lies within the Connors Range, a rugged range with elevations up to 815 metres, representing relief of over 600 metres above the valleys of the principal drainages.

6. GEOLOGICAL SETTINGThe Mahalla Creek Project area was mapped by government geologists in the 1960’s as volcanics and granites of the Connors Arch, overlain by the Permian Lizzie Creek Volcanics in the east, and by Cainozoic sediments overlying Permian sedimentary rocks of the Bowen Basin to the west.

The Connors Volcanics, forming basement to the Connors Arch, include andesite, ignimbrite and volcaniclastic rocks that have traditionally been assigned a Devonian to Carboniferous age. The sequences have a complex local geology dominated by faulted and unconformable contacts. Apart from some detailed mapping of the local geology at various prospects, no systematic mapping has been carried out in the area. Regional traverses demonstrate that the area includes thick coherent packages of uniformly-dipping volcanic rocks, suggesting that the geology can be readily appreciated with sound geological mapping.

The Lizzie Creek Volcanics are locally mapped as andesite and sediment of Lower Permian age, unconformably overlying older volcanics of the Connors Arch, and interpreted to dip west into the Bowen Basin. This succession is unconformably overlain by marine sediments of the Bowen Basin, which pass progressively upwards into continental sediments of Middle Triassic age. The Bowen Basin succession is overlain by Cainozoic cover sediments. Granitic rocks ranging up to Late Cretaceous age intrude the Connors Arch, and Cainozoic basalt remnants cap many of the hills in the region.

Recent work by University researchers and others provides a different interpretation of the regional stratigraphy to that of earlier workers in this area, with two main aspects of relevance to the project area:-

i) New data gathered at regional and local scale suggests that the volcanic succession and associated granitic rocks are of Carboniferous and Lower Permian age, and that the sequence does not include any rocks of Devonian age. The sequence is regarded as part of the extensive Permo-Carboniferous silicic magmatic province of North Queensland that includes the Bulgonunna Volcanics and related caldera complexes. At a local

scale, the geology consists of unconformable packages of volcanics with complex internal architecture. Rock types include rhyolite, ignimbrite, andesite and volcaniclastic sediments.

ii) Rocks mapped as Lizzie Creek Volcanics represent two volcanic events comprising an older, Permo-Carboniferous suite, and an unconformably overlying Lower Permian sequence of fine-grained sediments and mafic volcanics that represent the first true succession of the Bowen Basin.

Within the Connors Range Project area, the majority of the mapped Lizzie Creek Volcanics are assigned to the older succession, however rocks of the younger succession may also be present.

The regional structure of the project area is dominated by the north- northwest trending Connors Arch, interpreted as an antiformal fault complex developed during the westward advance of thrusts during the Hunter-Bowen Event. A major north-northwest trending, longitudinal fault is interpreted from regional aeromagnetic data to traverse the centre of the arch and is postulated to reflect a significant crustal boundary fault. At a local scale, the geology is complex and poorly understood due to the presence of extensive recent cover in the west, and a lack of appropriate scale mapping within the Connors Arch.

7. EXPLORATION POTENTIALIn character with the majority of modern exploration in Queensland, the focus of previous explorers in the Connors Range can be divided into a porphyry copper phase prior to 1980, and an epithermal gold phase from 1980 to the present. Assessment of the history of exploration in this region indicates that, in some instances, improvements in exploration techniques may have blinkered explorers to the potential of the region. Bulk stream sediment sampling for gold has been used extensively since 1980 as the effectiveness of the technique improved, however this approach appears to have been adopted exclusively in some cases, at the expense of geological and geophysical programmes. Regional and detailed mapping is limited, with the exception of work completed by Marlborough Gold Mines and associates near Mt Mackenzie, and high quality regional geophysical coverage was not gathered until 1995. Base metal targets generated prior to 1980 have received virtually no new exploration since that time. Midas has an opportunity to apply the significant improvements in quality and availability of modern exploration tools to an under-explored region of considerable potential.

Midas is targeting epithermal and porphyry-style, copper and gold mineralisation within the Mahalla Creek area. Stream sediment geochemistry, such as that defining the nearby Hamilton Park/ Waitara porphyry anomaly, demonstrates that copper mineralisation in the area can be effectively targeted using this technique. Systematic stream

sediment sampling since the 1980’s has only been used to explore for gold, few targets have been drilled, and very limited soil geochemistry and geophysics have been conducted on the prospects.

The Connors Range/ Mahalla Creek area can be compared with the Cadia-Parkes region of New South Wales in terms of its geophysical and metallogenic character, and is considered to be highly prospective both for large bulk tonnage, porphyry-style copper-gold deposits and high-grade epithermal-style gold deposits.

8. PREVIOUS EXPLORATIONAll of Central Queensland was mapped at a scale of 1:250,000 by geologists of the Queensland Geological Survey during the 1960’s, and this organisation is the principal source of early regional correlations and tectonic models. Detailed mapping by students from both James Cook University and The University of Queensland has also contributed to the regional understanding. Geological research, including radiometric dating, mapping and regional correlations, and projects assessing the origin and significance of mineralisation, has been undertaken by both government and university groups. In 1995, the Geological Survey of Queensland commissioned a 400 metre line- spaced magnetic and radiometric survey over the Connors Arch and in 1997 conducted a 4km-spaced gravity survey that includes the project area.

Only limited previous mining activity is evident within the region, restricted to small gold and copper occurrences within the Connors Arch. The region is best known for the world-class coal resources within the Bowen Basin to the west.

Despite the lack of previous metal production, the region attracted considerable exploration attention between 1966 and the present. An excellent summary of exploration to 1995 compiled for Marlborough Gold Mines NL provided the basis for much of their recent exploration. The majority of previous exploration during the 1980’s was shared by CRA Exploration Pty Ltd, Aberfoyle Resources Limited, ACM Gold Limited, Ross Mining NL and Pennzoil Australia Pty Ltd. Several prospects in the region were defined by stream sediment geochemistry, largely carried out by Battle Mountain (Australia) Inc., ACM and Ross Mining, although little further evaluation appears to have been completed. Coolgardie Gold NL carried out regional and prospect scale evaluations during the late 1990’s.

9. WORK CARRIED OUT DURING REPORTING PERIOD

9.1 Historical Database Review and EvaluationA review and evaluation of all historical open file data comprising some 10,900 data points has been conducted by consultant geochemist Stan Harrison. The intention of the review was to highlight any remaining untested geochemical targets within the project area.

Review of historical anomalous areas showed that in almost all cases anomalous results were either; a) restricted to a single phase of sampling with anomalism not repeated in subsequent phases, b) sourced to subsequently drilled or surface sampled sub-economic zones of mineralization, or c) were not shown to be associated with any significant rock chip geochemistry.

One of the few areas identified with untested regional anomalism was the Mahalla Creek stream sediment anomaly on EPM14490. Subsequent work on the area has included follow-up stream sediment BLEG and -80# sampling, rock chip sampling, and reconnaissance.

9.2 Stream Sediment BLEG & -80# SamplingA total of 52 BLEG and -80# stream sediment samples were collected from the Mahalla Creek Prospect, each from a 50m interval of stream bed. BLEG samples were sieved to -30# and dispatched to ALS Laboratory, Townsville for a 1kg cyanide leach (ALS code CN-12) and analysis for cyanide-leachable Au, Cu and Ag. The -80# samples were subject to an aqua regia digest and ICP-OES analysis for Cu, Pb, Zn and As (Code ME ICP41) and ICP-MS analysis for Ag, Bi, Sb, Sn and W.

Peak values of 14.7ppb Au, 33ppm As, 0.4ppm Ag, 65ppm Cu, 4ppm Mo, 63ppm Pb, 121ppm Zn, 0.91ppm Bi, 1.99ppm Sb and 1.6ppm Sn were returned from the program. Results have defined a cohesive 4km x 4km gold in BLEG anomaly with semi-coincident elevated Cu-Mo-As- Ag-Zn-Bi.

9.3 Rock Chip Sampling and ReconnaissanceA total of 15 rock chip samples have been collected from the Mahalla Creek Prospect area where stream sedimentary geochemistry defines a cohesive gold and multi-element anomaly.

Ground examination has revealed mostly rhyolitic to andesitic volcanics, fine to coarse grained volcaniclastic sediments, and local granodiorite and andesite porphyry on the western of the mountain range. A broad area of silicification, quartz veining and brecciation is evident on the western side of the mountain range, with local disseminated pyrite and iron oxides after sulphide. Vuggy, comb and carbonate replacement textures are evident with epithermal banding also observed in some samples.

Best results include 0.56g/t Au from a quartz breccia and 0.43g/t Au from quartz veining with carbonate. Results are considered extremely encouraging in view of the observed extent of the veining and brecciation in the area.

9.4 Ridge and Spur Soil SamplingA program of ridge and spur soil sampling was completed at the Mahalla Creek Prospect in October 2006. A total of 440 x -80# soil samples (E4395-E4396, E4401-E4447, E4477-E4669, E5000-E5198)were collected. All samples were submitted to ALS Laboratory, Townsville for low level gold and multi-element determination. Soil sampling was collected at a nominal spacing of 50m, however in some selective areas the spacing ranged up to 100m.

Analytical results defined two main weakly anomalous semi-coincident Au-As-Mo zones returning peak values of 32ppb Au, 156ppm As and 64ppm Mo. The two main zones appear to lie along on a northeast trending structural control and the largest of the anomalous areas is associated with a broad zone of quartz veining and silicified brecciation. Veining shows vuggy open-space epithermal and carbonate replacement textures. Previous rock chip float samples have returned up to 0.56g/t Au from streams draining the main anomalous area.

Despite the low gold tenor of the soil sampling defined anomalous area, the cohesive and multi-element nature of anomalism still suggests further potential

Soil Sampling Summary

Re-analysis of thirty-one (31) recent -80# soil sampling pulps (E5181 – E5190 and 4570 - 4590) from anomalous areas was conducted by ALS Laboratory, Brisbane. Previous rock chip float samples have returned up to 0.56g/t Au from streams draining the main anomalous area and it was expected that peak soil sampling results would at least replicate values in that vicinity.

Results of the re-analysis returned a peak value of 98ppb Au however omission of this one relatively high value showed that the new results were comparable with the initial results, with a repeat mean of 3.4ppb Au vs. 3.5ppb Au in the original sampling and a new maximum of 40.9ppb Au vs. 32.3ppb Au from original results.

Regional stream sediment sampling of the area had previously defined a 4km x 4km gold in BLEG anomaly with semi-coincident Cu-Mo-As-Ag-Zn-Bi. The peak gold BLEG value for the area was 14.7ppb.

Rhyolitic volcanics form the dominant lithology with subordinate andesitic volcanics, andesite/diorite porphyry and volcaniclastic sandstones and conglomerates. A broad zone of quartz veining and silicified brecciation (up to 2km x 1km) has been identified in the southwest quadrant of the prospect semi-coincident with anomalous BLEG gold values up to 5.9ppb. Veining shows vuggy open-space epithermal and carbonate replacement textures, and a pale green clayey alteration mineral, possibly weathering after a phyllosilicate. Weakly goethitic areas could be indicative of minor primary sulphide.

1 ``Introduction

Interpretation of open file stream sediment data from the Connors Range of eastern Queensland revealed a cohesive, multi-element anomaly that defines the Mahalla prospect: this anomaly had not been subject to follow-up investigation. Midas investigated this anomaly by collection of infill BLEG and -80# sediment samples (collected from the same sites), brief geological reconnaissance and collection of rock chip samples.

At Mahalla, the sediment infill sampling generated a +-16km2 coincident, cohesive, weak to locally moderate BLEG Au and Ag and -80# As, Sb and Cu anomaly. Within this anomalism occur areas of anomalous Mo and Zn values. Samples of quartz-veined, breccia float returned values up to 0.56 ppm Au with strongly anomalous As, Sb and Mo to 82ppm, 9.9ppm and 28.9ppm respectively.

As the sediment anomaly generated was too large for cost-effective grid soil sampling, the sediment anomaly was subject to a reconnaissance-density ridge and spur soil sampling programme to attempt to locate foci for more systematic exploration. 425 soils were collected and analysed for Au and a range of elements.

The results have outlined two anomalies. Anomaly MA1 is 1000m long and comprises coincident Au-As with anomalous Mo at the southern end (Fig 1). Anomaly MA2 is 600m long and contains coincident anomalous Au-As-Mo. Both anomalies are weak with respective peak Au values of17.2 ppb and 32.4 ppb.

Anomaly MA1 lies in the headwaters of the stream from which the 2 rock samples cited above containing up to 0.56 ppm Au were obtained. The weak tenor of the MA1 soil anomalism does not reflect the tenor of the Au contained in those rock samples and further exploration is warranted to more thoroughly investigate both soil anomalies and their environs.

2 Methodology and Analyses

The terrain is rugged with thick scrub particularly on the eastern slopes. Soils on the ridges mostly are immature and the soil samples were collected from surface. Where the slope was gentler and the soils more mature, samples were collected from 10 – 20 cm. Samples were collected at a mean spacing of 50m. A total of 425 samples (excluding duplicate samples) were collected covering some 14km2 giving a mean density of 30 sample/km2. Samples were sieved on site and circa 100g was sent to ALS Laboratory in Townsville for aqua regia digest and analysis for Au and for a range of elements including Ag, As, Sb, Mo, W, Bi, Cu, Pb, Zn Fe, Ni, Co, Cr, Ba and Ca by ICP- OES.

Because the tenor of soil Au results was lower than the strength of the BLEG sediment Au anomalism should warrant, 30 soil samples were re-assayed for Au. These check samples returned very similar Au results to the original analyses (see Table 2). Duplicate sample pairs showed excellent reproducibility for both precious metals and base metals (see Table 3).

3 The Results

The Au results outline two main, fairly cohesive anomalies called ‘MA1’ and ‘MA2’ on Plans 1 and 2. Both anomalies have coincident, moderately anomalous As: anomaly MA2 also has coincident, strongly anomalous Mo and anomaly MA1 has strongly anomalous Mo at the southern end where Au values are highest. Both anomalies have rare, weakly anomalous Ag. Table 1 gives the basic statistics for the results and Pearson correlation matrices that clearly show the correlation between Au, As, Mo and Ag.

The tenor of the Au values in both anomalies is weak. As these samples were soil samples from immature soils on ridges - and hence equivalent to a lower ‘C’ soil horizon - they should reflect the tenor of the underlying bedrock quite faithfully with little dilution. The inference is that these anomalies reflect only weak primary mineralisation. However, 2 float rock samples collected from the stream draining anomaly MA1 - some 1.4km downstream from the southern edge on the anomaly - contained 560 and 430 ppb Au respectively as well as anomalous As, Mo and Sb (Plan 1). The reconnaissance ridge and spur sampling did not locate mineralisation of this intensity but the strategy of using such reconnaissance soil sampling was to locate areas for more detailed investigation within the very large, diffuse sediment BLEG Au anomaly and the low density of the ridge sampling pattern has not transited the stronger mineralisation phase that the rock sample results indicate must be present.

Anomaly MA1 is 1000m long and has a north-easterly trend that crosses the main lithological boundary. This lithological contact forms the main north-south ridge crest and the provisional mapping shows an offset of the boundary where anomaly MA1 crosses suggesting a fault control to the mineralisation.

Anomaly MA2 is some 600m long, strikes north-south and lies along strike from anomaly MA1

To the west of the Au anomalies is an area of enhanced As and Cu with intermittent anomalous Pb and Ag and rare Zn. Peak values for these base metals are quite low and they probably are an expression of a large but weak hydrothermal system that appears to have a north-east overall trend.

Only limited rock sampling has been carried out. The most significant results and basic statistics are given in Tables 4 and 5 where the Pearson correlation matrix shows the strong correlation between Au, As, Sb and Mo which is very similar to the soil anomalism. The two rocks with the highest Au values display a hydrothermal breccia texture but no textures immediately diagnostic of an epithermal system have been found in the limited reconnaissance mapping undertaken to date. However, Table 5 shows a similarity in the geochemical signatures between Waitara rocks displaying classic epithermal textures and Mahalla rocks.

Reconnaissance mapping of the ridge soil traverses shows the presence of extensive breccias and quartz veining with widespread disseminated pyrite. However, plotting of breccias, veins and pyrite shows no particular correlation with either soil anomaly.

4 Recommendations

Low density ridge and spur soil sampling has located 2 anomalies with coincident Au, As and Mo. The Au tenor of both anomalies is low with a maximum value of 32.4 ppb but float rock chip samples from the stream draining the largest anomaly indicate the presence at surface of grades up to 0.56 ppm. The main anomaly has a north-easterly strike and transects lithology suggesting a structural control along an azimuth favourable for mineralisation in NE Queensland.

The widespread anomalous As, enhanced base metal values and presence of mineralised hydrothermal breccia textures indicates the presence of a large but possibly low grade hydrothermal system.

Further work is warranted to investigate the two main anomalies and their environs. Detailed soil sampling at 40m spacings along lines 100m apart would be an ideal exploration tool but the very rugged terrain, including cliffs along the spine of the main ridge, will make a regular soil grid very difficult. Perhaps a first follow-up would involve geological mapping and rock sampling whilst evaluating the feasibility of grid soil sampling where the terrain permits access.
