    Section1:InstructionstoBidders

    A. General

    1. ScopeofBid 1.1 Inconnectionwiththe InvitationforBids indicated intheBidDataSheet(BDS), Rail Vikas Nigam Limited (RVNL), a Government of IndiaUndertaking, hereinafter referred to as the Employer, issues theseBiddingDocumentsfortheProcurementofWorksasspecified inSection5:WorksRequirements.Thename, identification,numberof contract(s)fortheInternationalCompetitiveBidding(ICB)areprovidedintheBDS.

    1.2 ThroughouttheseBiddingDocuments:

    (a) the term in writing means communicated in written form anddeliveredagainstreceipt;

    (b) exceptwhere the context requiresotherwise,words indicating thesingularalso include thepluralandwords indicating thepluralalsoincludethesingular;and

    (c) daymeanscalendarday.

    2. SourceofFunds 2.1 The required funds have been sourced by RVNL, unless otherwisespecifiedintheBDS.

    3. CorruptPractices 3.1 TheEmployerrequiresthatbidders,suppliers,andcontractorsobservethehigheststandardofethicsduring theprocurementandexecutionofsuchcontracts.Inpursuanceofthispolicy,theEmployer:

    (a) defines,forthepurposesofthisprovision,thetermssetforthbelowasfollows:

    (i) corrupt practice means the offering, giving, receiving, orsoliciting,directlyorindirectly,ofanythingofvaluetoinfluencethe action of any party in the procurement process or theexecutionofacontract;

    (ii) fraudulentpracticemeansamisrepresentationoromissionoffacts in order to influence a procurement process or theexecutionofacontract;

    (iii) collusivepracticemeans a schemeor arrangementbetweentwo or more bidders, with or without the knowledge of theEmployer, designed to influence the action of any party in aprocurementprocessortheexecutionofacontract;

    (iv) coercive practice means harming or threatening to harm,directly or indirectly, persons, or their property to influencetheir participation in a procurement process, or affect theexecutionofacontract;

    (b) will reject a proposal for award if it determines that the bidderrecommendedforawardhas,directlyorthroughanagent,engagedincorrupt, fraudulent,collusive,orcoercivepractices incompetingfortheContract;and

    (c) will sanction apartyor its successor, includingdeclaring ineligible,either indefinitely or for a stated period of time, to participate inEmployersactivities, if itatanytimedeterminesthatthefirmhas,directly or through an agent, engaged in corrupt, fraudulent,collusive,orcoercivepractices incompeting for,or inexecuting a

    contractoftheemployer.

    4. EligibleBidders 4.1 A Bidder may be a natural person, private entity, governmentownedentity, subject to ITB 4.5, or any combination of themwith a formal intent toenter intoanagreementorunderanexistingagreement in the formofa JointVenture(JV).Thebiddermustensurethefollowing:

    (a) IncaseofSingleEntity:

    (i) SubmitPowerofAttorneyauthorizingthesignatoryofthebidtocommitthebidder.

    (b) IncaseofJointVenture:

    (i) TheJVshallnothavemorethanfour(4)partners;

    (ii) SubmitMOUor JointVentureAgreement,asper formgiven inSection4.

    (iii) The JV shall nominate a Representative through Power ofAttorney(FormgiveninSection4)whoshallhavetheauthorityto conduct all business for and on behalf of any and all thepartiesoftheJVduringthebiddingprocessand,intheeventtheJVisawardedtheContract,duringcontractexecution.

    (iv) Submit Power of Attorney by individual partners to leadpartnersasperformgiveninSection4.

    (v) In case a Joint Venture is the successful bidder, the JointVenture Agreement should be entered by the Joint Venturepartners. Theduly signed JointVentureAgreement shouldbesubmittedalongwiththePerformanceSecuritytotheemployerafternotificationoftheawardofcontractwithin28days.

    4.2 Deleted.

    4.3 ABidder shallnothaveconflictof interest. AllBidders found tohaveaconflictofinterestshallbedisqualified.ABiddermaybeconsideredtobeinaconflictofinterestwithoneormorepartiesinthisbiddingprocess,if,includingbutnotlimitedto:

    (a) theyhavecontrollingshareholdersincommon;or

    (b) theyreceiveorhavereceivedanydirectorindirectsubsidyfromanyofthem;or

    (c) theyhavethesamelegalrepresentativeforpurposesofthisbid;or

    (d) they have a relationship with each other, directly or throughcommonthirdparties,thatputstheminapositiontohaveaccesstoinformationaboutorinfluenceontheBidofanotherBidder,or

    (e) aBidderparticipates inmore thanonebid in thisbiddingprocess.Participation by a Bidder in more than one Bid will result in thedisqualificationofallBids inwhich theparty is involved. However,thisdoesnot limitthe inclusionofthesamesubcontractor inmorethanonebid;or

    (f) aBidderparticipatedasaconsultantinthepreparationofthedesignortechnicalspecificationsofthecontractthat is thesubjectoftheBid;or

    (g) aBidderwasaffiliatedforaperiodoflessthantwoyearsbeforethedateofissueofInvitationforBidswithafirmorentitythathasbeen

    hired (or isproposed tobehired)by theEmployerasEngineer forthecontract.

    4.4 Thebiddershallbedisqualifiedif:

    (a) The bidder or any of its constituents has been blacklisted/ bannedbusiness dealings by any Government Department, GovernmentAgency or public sector undertaking at any time, except in caseswheresuchblacklisting/banninghasbeenwithdrawnbyCompetentAuthorityor ceasedon thedeadline for submissionof thebid, forwhichsatisfactoryevidenceistobeproduced.

    (b) Any previous contract of the bidder or any of its constituents hadbeen terminated/rescinded for contractors failure by Rail VikasNigam Ltd.(RVNL) during the period of last 2 years before thedeadlineforsubmissionofbid;

    Provided,however,thereisnostayorderordeclarationbyanyCourtagainstsuch terminationor rescissionof theContractbyRailVikasNigamLtd..

    (c) The bidder or any of its constituents has been imposed delaydamagesof5%ormoreofcontractvaluebyRVNLdue todelay inthe implementation of any previous contractwithin the period oflast2yearsbefore thedeadline for submissionofbid (Periodof2years shallbe reckoned from thedateonwhich the total accruedamountofDelayDamageshasreached5%ormoreofthecontractprice)orsuchaccrueddelaydamageshasnotbeen fully recoveredbeforethedeadlineforsubmissionofbidonaccountofcontractorsrequest fordeferring recovery tomaintaincash flowandRVNLhasaccededtothesameintheinterestoftheprojectortheworkunderthepreviouscontractinquestionhasnotbeencompletedbeforethedeadline for submission of bid, unless imposition of such delaydamageshasbeensetasidebytheCompetentAuthority

    (d) The bidder or any of its constituents has sufferedbankruptcy/insolvencyoritisintheprocessofwindinguporthereisa case of insolvency pending before any Court on thedeadline ofsubmissionofbid.

    (e) ThebidderisfoundineligiblebytheEmployer,inaccordancewithITB3.

    (f) Thebidderor its constituent(s)hasbeendeclaredbyRVNL tobeapoor performer in any earlier contract and the period of poorperformanceisstillinforceonthedeadlineforsubmissionofbid.

    (g) Thebidderoranyof itsconstituent(s)hasbeen issuedashowcausenotice for poor performance/banning/black listing of business ororder for suspension of business by the Competent Authority ofRVNL. However if the bidder is exonerated of the default beforecompletion of the technical evaluation of bids, his bid will beconsideredforevaluation.

    (h) The bidder or any of its constituents have changed their name orcreatedanewbusinessentityascoveredbythedefinitionofAlliedFirm under para 1102 (iii) of Chapter XI of Vigilance Manual ofIndian Railways (available on website of Indian Railways),consequenttohavingbeenbannedbusinessdealingsorsuspended

    businessdealingsorhavingbeendeclaredpoorperformer.

    (i) The Bidder or its constituents has been involved inmore than 10litigationcasesinthelast10yearspriortodeadlineforsubmissionofbids.

    TheBiddershallsubmitanaffidavitstatingthattheyarenotliableto be disqualified as per this sub clause using the appropriatePerformagiven inSection4.Nonsubmissionofanaffidavitbythebiddershallresultinsummaryrejectionofhisbid.

    4.5 BiddersshallprovidesuchevidenceoftheircontinuedeligibilitysatisfactorytotheEmployer,astheEmployershallreasonablyrequest.

    5. EligibleMaterials,EquipmentandServices

    5.1 Thematerials,equipmentandservicestobesuppliedundertheContractshallbefromtheapprovedsourcesasspecifiedinSection5:WorksRequirements.

    B. ContentsofBiddingDocument

    6.1 TheBiddingDocumentconsistsofPartsI,IIandIII,whichincludesalltheSectionsindicatedbelow,and shouldbe read in conjunctionwithanyAddenda issued inaccordancewithITB8.

    6.2 The Invitation for Bids (IFB) issued by the Employer is not part of the BiddingDocument.

    6.3 TheEmployer isnot responsible for the completenessof theBiddingDocumentand theirAddenda, if theywerenotobtaineddirectly from thesourcestatedbytheEmployerintheInvitationforBids.

    6.4 TheBidderisexpectedtoexamineallinstructions,forms,terms,andspecificationsin the Bidding Document. Failure to furnish all information or documentationrequiredbytheBiddingDocumentmayresultintherejectionofthebid.

    7. ClarificationofBiddingDocument,SiteVisit,PreBidMeeting

    7.1 AprospectiveBidder requiringanyclarificationof theBiddingDocumentshallcontacttheEmployer inwritingattheEmployersaddress indicatedintheBDSorraisehisinquiriesduringtheprebidmeetingifprovidedforinaccordancewith ITB7.4.TheEmployerwill respond inwriting toanyrequest for clarification,provided that such request is receivedno laterthantwentyone(21)dayspriortothedeadlineforsubmissionofbids.TheEmployer shall forward copies of its response to all Bidders who haveacquired the BiddingDocument in accordancewith ITB 6.3, including adescriptionof the inquirybutwithout identifying its source. Should theEmployerdeemitnecessarytoamendtheBiddingDocumentasaresultofarequestforclarification,itshalldosofollowingtheprocedureunderITB8andITB22.2.

    7.2 The Bidder is advised to visit and examine the Site of Works and itssurroundingsandobtainforitselfonitsownresponsibilityallinformationthatmaybenecessaryforpreparingthebidandentering intoacontractforconstructionoftheWorks.ThecostsofvisitingtheSiteshallbeattheBiddersownexpense.

    7.3 TheBidderandanyof itspersonneloragentswillbegrantedpermissionbytheEmployertoenterupon itspremisesand landsforthepurposeofsuch visit, but only upon the express condition that the Bidder, itspersonnel, and agentswill release and indemnify the Employer and itspersonnelandagentsfromandagainstallliabilityinrespectthereof,andwill be responsible for death or personal injury, loss of or damage toproperty,andanyother loss,damage,costs,andexpenses incurredasaresultoftheinspection.

    7.4 The Bidders designated representative is invited to attend a prebidmeeting,ifprovidedforintheBDS.Thepurposeofthemeetingwillbetoclarifyissuesandtoanswerquestionsonanymatterthatmayberaisedatthatstage.

    7.5 The Bidder is requested, as far as possible, to submit any questions inwriting, to reach the Employer not later than one week before themeeting.

    7.6 Minutesoftheprebidmeeting,includingthetextofthequestionsraised,withoutidentifyingthesource,andtheresponsesgiven,togetherwithanyresponsespreparedafterthemeeting,willbetransmittedpromptlytoallBidderswhohaveacquiredtheBiddingDocumentinaccordancewithITB6.3. Any modification to the Bidding Document that may becomenecessary as a result of the prebid meeting shall be made by theEmployerexclusivelythroughtheissueofanaddendumpursuanttoITB8andnotthroughtheminutesoftheprebidmeeting.

    7.7 Nonattendance at the prebid meeting will not be a cause fordisqualificationofaBidder.

    8. AmendmentofBiddingDocument

    8.1 Atanytimepriortothedeadlineforsubmissionofbids,theEmployermayamendtheBiddingDocumentbyissuingaddenda.

    8.2 AnyaddendumissuedshallbepartoftheBiddingDocumentandshallbecommunicatedinwritingtoallwhohaveobtainedtheBiddingDocumentfromtheEmployerinaccordancewithITB6.3.

    8.3 To give prospective Bidders reasonable time in which to take anaddendum intoaccount inpreparingtheirbids, theEmployermay,at itsdiscretion,extendthedeadlineforthesubmissionofbids,pursuanttoITB22.2

    C. PreparationofBids

    9. CostofBidding 9.1 The Bidder shall bear all costs associated with the preparation andsubmissionofitsBid,andtheEmployershallnotberesponsibleorliableforthosecosts,regardlessoftheconductoroutcomeofthebiddingprocess.

    10. LanguageofBid 10.1 TheBid,aswellasall correspondenceanddocuments relating to thebidexchanged by the Bidder and the Employer, shall be written in English.Supportingdocumentsandprinted literature thatarepartof theBidmaybe in another language provided they are accompanied by an accuratetranslationoftherelevantpassagesinEnglishinwhichcase,forpurposesofinterpretationoftheBid,suchtranslationshallgovern.

    11. DocumentsComprisingtheBid

    11.1 The Bid shall comprise two envelopes submitted simultaneously, onecontaining the Technical Proposal and the other the Price Proposal,enclosedtogetherinanoutersingleenvelope.

    11.2 Initially,onlytheTechnicalProposalsareopenedattheaddress,dateandtime specified in ITB SubClause25.1.ThePriceProposals remain sealedand are held in custody by the Employer. The Technical Proposals areevaluatedbytheEmployer. NoamendmentsorchangestotheTechnicalProposals are permitted. Bids with Technical Proposals which do notconformtothespecifiedrequirementswillberejectedasdeficientBids.

    11.3 PriceProposalsoftechnicallycompliantBidsareopenedinpublicatadateandtimeadvisedbytheEmployer.ThePriceProposalsareevaluatedandtheContract isawardedtotheBidderwhoseBidhasbeendeterminedtobethelowestevaluatedsubstantiallyresponsiveBid.

    11.4 TheTechnicalProposalshallcontainthefollowing:

    (a) TechnicalProposalSubmissionSheetinaccordancewithITB16;

    (b) BidSecurity,inaccordancewithITBClause19;

    (c) alternativeTechnicalProposal,ifpermissible,inaccordancewithITBClause13;

    (d) writtenconfirmationauthorizingthesignatoryoftheBidtocommittheBidder,inaccordancewithITBClause20.2;

    (e) documentaryevidenceinaccordancewithITBClause17establishingtheBiddersqualificationstoperformthecontract;and

    (f) anyotherdocumentrequiredintheBDS.

    11.5 ThePriceProposalshallcontainthefollowing:

    (a) Price Proposal Submission Sheet and completed schedules asrequired includingBillofQuantities inaccordancewith ITBClauses

    12,and14;

    (b) alternativePriceProposalcorrespondingtothealternativeTechnicalProposal,ifpermissible,inaccordancewithITBClause13;and

    (c) anyotherdocumentrequiredintheBDS.

    12. BidSubmissionSheetsandPriceSchedules

    12.1 The Bidder shall submit the Technical Proposal and the Price Proposalusing the appropriate Submission Sheets furnished in Section4:BiddingForms. These formsmustbecompletedwithoutanyalterations to theirformat, and no substitutes shall be accepted. All blank spaces shall befilledinwiththeinformationrequested.

    12.2 The Bidder shall submit, as part of the Price Proposal, the Schedules,includingtheBillofQuantities.

    13. AlternativeBids 13.1 Unless otherwise indicated in the BDS, alternative bids shall not beconsidered.

    13.2 Whenalternativeperiodsforcompletionareexplicitlyinvited,astatementtothateffectwillbeincludedintheBDS,aswillthemethodofevaluatingdifferentperiodsforcompletion.

    14. BidPricesandDiscounts

    14.1 The prices and discounts quoted by the Bidder in the Price ProposalSubmissionSheet(PPSS)and intheBillofQuantitiesshallconformtotherequirementsspecifiedbelow.

    14.2 IntheBOQ,quantityandunitratesandtherebytheamountagainsteachitem have been indicated. From this, price of each schedule has beenworkedoutand indicated inthesummarysheet inBOQ.TheBiddershallquote rates aspercentage above/below/atpar for each schedule in thesummarysheet.Ifnopercentageasabove,beloworatparisindicatedforanyparticularschedule,thesamewillbeconsideredaspercentageatpar.

    14.3 The price to be quoted in the Price Proposal Submission Sheet, inaccordancewithITB12.1,shallbethetotalpriceoftheBid,excludinganydiscountsoffered.

    14.4 The Bidder shall quote any discounts and the methodology for theirapplicationinthePriceProposalSubmissionSheet,inaccordancewithITB12.1.

    14.5 Unless otherwise provided in the BDS and the Contract, the rates andprices quoted by the Bidder are subject to adjustment during theperformance of the Contract in accordance with the provisions of theConditionsofContract. Insuchacase,the indicesandweightingsfortheprice adjustment formulae shall be as specified in the Tables ofAdjustmentDataincludedinContractData.

    14.6 Ifso indicatedinITB1.1,bidsarebeing invitedfor individualcontractsorforanycombinationofcontracts(packages).Bidderswishingtoofferanyprice reduction for theawardofmore thanoneContractshallspecify intheirbidthepricereductionsapplicabletoeachpackage,oralternatively,to individualContractswithin thepackage.Price reductionsordiscountsshallbe submitted inaccordancewith ITB14.4,provided thebids forallcontractsaresubmittedandopenedatthesametime.

    14.7 All duties, taxes, and other levies payable by the Contractor under theContract, or for any other cause, as of the date 28 days prior to thedeadline forsubmissionofbids,shallbe included in the ratesandpricesandthetotalBidPricesubmittedbytheBidder.

    14.8 Bidders should note that during the progress of theWorks, the foreigncurrency requirements of the outstanding balance of the Contract PricemaybeadjustedbyagreementbetweentheEmployerandtheContractorinorder to reflectany changes in foreign currency requirements for theContract, in accordance with SubClause 14.15 of the Conditions ofContract. Any such adjustment shall be effected by comparing thepercentagesquotedinthebidwiththeamountsalreadyusedintheWorksandtheContractor'sfutureneedsforimporteditems

    15. CurrenciesofBidandPayment

    15.1 Thebiddershallquotetheunitratesandthepricesentirely inthe IndianRupees.

    16. DocumentsComprisingtheTechnicalProposal

    16.1 TheBidder shall furnishacommitment inTechnicalProposalSubmissionSheet(TPSS)fordeploymentofequipmentandpersonnelasstipulatedinSection5:WorksRequirement.

    16.2 Thebiddershall furnishcommitment inTPSS forsubmittingconstructionmethod statement forallmajoractivitiesofworkandget thisapprovedfromtheengineerpriortothecommencementofworkonthatactivityincaseofawardofcontract.

    16.3 TheBidder shall furnishacommitment inTechnicalProposalSubmissionSheet (TPSS) for adhering to mobilisation and construction schedule asstipulatedinSection5:WorksRequirement.

    17. DocumentsEstablishingtheQualificationsoftheBidder

    17.1 Toestablish itsqualificationstoperformtheContract inaccordancewithSection3:EvaluationandQualificationCriteria,theBiddershallsubmitaspart of its technical proposal the information requested in thecorrespondinginformationsheetsincludedinSection4:BiddingForms.

    17.2 DomesticBidders, individuallyor in jointventures,applying foreligibilityfordomesticpreferenceshallsupplyallinformationrequiredtosatisfythecriteriaforeligibilityasdescribedinITB34.

    18. PeriodofValidityofBids

    18.1 Bids shall remainvalid foraperiodof120daysafter thebid submissiondeadlinedateprescribedbytheemployer.Abidvalidforashorterperiodshallberejectedbytheemployerasnonresponsive.

    18.2 In exceptional circumstances, prior to the expiration of the bid validityperiod,theEmployermayrequestBidderstoextendtheperiodofvalidityoftheirbids.Therequestandtheresponsesshallbemadeinwriting.Ifabid security is requested in accordance with ITB 19, it shall also beextendedfortytwo(42)daysbeyondthedeadlineoftheextendedvalidityperiod.ABiddermayrefusetherequestwithoutforfeitingitsbidsecurity.ABiddergrantingtherequestshallnotberequiredorpermittedtomodify itsbid.

    19. BidSecurity 19.1 Unlessotherwisespecified intheBDS,theBiddershallfurnishaspartofitsbid,abidsecurityinoriginalformandintheamountofIndianRupees

    asspecifiedintheBDS.

    19.2 Thebid security shallbe,at theBiddersoption, in anyof the followingforms:

    (a) A Cashiers or Bankers certified cheque or Bank draft drawn infavourofRailVikasNigamLtdpayableatNewDelhi.

    (b) Anirrevocableletterofcredit;or

    (c) AnunconditionalbankguaranteeusingtheFormgiveninSection4:Bidding Forms. The bank guarantee shall be from a bank havingminimum net worth of over INR 500 million from the specifiedbanksasunder:

    (i) ScheduleBankinIndia,or

    (ii) ForeignBankhavingtheiroperationsinIndia,or

    (iii) Foreign Bank which do not have operations in India arerequired to provide a counterguarantee by State Bank ofIndia,

    Thebidsecurityshallbevalidforperioduptofortytwo(42)daysbeyondtheoriginalvalidityperiodofthebid,orbeyondanyperiodofextensionifrequestedunderITB18.2.

    19.3 Anybidnotaccompaniedbyanenforceableandcompliantbidsecurity,ifone is required in accordance with ITB 19.1, shall be rejected by theEmployerasnonresponsive.

    19.4 ThebidsecurityofunsuccessfulBiddersshallbereturnedaspromptlyaspossible upon the successful Bidders furnishing of the performancesecuritypursuanttoITB41.

    19.5 ThebidsecurityofthesuccessfulBiddershallbereturnedaspromptlyaspossibleoncethesuccessfulBidderhassignedtheContractandfurnishedtherequiredperformancesecurity.

    19.6 Thebidsecuritymaybeforfeited:

    (a) ifaBidderwithdrawsitsbidduringtheperiodofbidvalidityspecifiedbytheBidderontheLetterofBids,exceptasprovidedinITB18.2or

    (b) ifaBiddermisrepresentsoromitsthefactsinordertoinfluencetheprocurementprocess;

    (c) ifthesuccessfulBidderfailsto:

    (i) signtheContractinaccordancewithITB40;

    (ii) furnishaperformancesecurityinaccordancewithITB41;

    (iii) acceptthecorrectionofitsBidPricepursuanttoITB31.2;or

    (iv)furnishadomesticpreferencesecurityifsorequired.

    19.7 TheBidSecurityofaJVshallbeinthenameoftheJVthatsubmitsthebid.If the JVhasnotbeen legallyconstitutedat the timeofbidding, theBidSecurityshallbeinthenamesofallfuturepartnersasnamedintheletterofintentmentionedinITB4.1.

    20. FormatandSigningofBid

    20.1 TheBidder shallprepareoneoriginalof theTechnicalProposalandoneoriginal of the Price Proposal as described in ITB Clause 11 and clearly

    mark each ORIGINAL TECHNICAL PROPOSAL and ORIGINAL PRICEPROPOSAL. Inaddition, theBiddershallsubmitcopiesof theTechnicalProposaland thePriceProposal, in thenumberspecified in theBDSandclearlymarkthemCOPYNOTECHNICALPROPOSALandCOPYNO.PRICEPROPOSAL. Intheeventofanydiscrepancybetweentheoriginalandthecopies,theoriginalshallprevail.

    20.2 TheoriginalandallcopiesofthebidshallbetypedorwritteninindelibleinkandshallbesignedbyapersondulyauthorizedtosignonbehalfoftheBidder. This authorization shall consist of a written confirmation asspecified intheBDS.Thenameandpositionheldbyeachpersonsigningtheauthorizationmustbetypedorprintedbelowthesignature.Allpagesof thebid, except forunamendedprinted literature, shallbe signedorinitialedbythepersonsigningthebid.

    20.3 Any interlineations,erasures,oroverwritingshallbevalidonly iftheyaresignedorinitialedbythepersonsigningthebid.

    D. SubmissionandOpeningofBids

    21. SealingandMarkingofBids

    21.1 TheBiddershallenclosetheoriginaloftheTechnicalProposal,theoriginalof thePriceProposal,andeachcopyof theTechnicalProposalandeachcopy of the Price Proposal, including alternative bids, if permitted inaccordancewithITBClause13,inseparatesealedenvelopes,dulymarkingtheenvelopesasORIGINALTECHNICALPROPOSAL,ORIGINAL PRICEPROPOSALandCOPYNO TECHNICALPROPOSALandCOPYNO. PRICE PROPOSAL, as appropriate. These envelopes containing theoriginalandthecopiesshallthenbeenclosedinonesingleenvelope.

    21.2 Theinnerandouterenvelopesshall:

    (a) bearthenameandaddressoftheBidder;

    (b) beaddressedtotheEmployerinaccordancewithBDS22.1;

    (c) bear the specific identification of this bidding processindicatedintheBDS1.1;and

    (d) Theouterenvelopesandthe innerenvelopescontainingtheTechnicalProposalsshallbearawarningnottoopenbeforethetimeanddatefortheopeningofTechnicalProposals, inaccordancewithITBSubClause25.

    (e) TheinnerenvelopescontainingthePriceProposalsshallbeara warning not to open until advised by the Employer inaccordancewithITBSubClause25.

    21.3 Ifallenvelopesarenotsealedandmarkedasrequired,theEmployerwillassumeno responsibility for themisplacementorprematureopeningofthebid.

    21.4 IncasePriceProposal inabid is receivedunsealed then thebidshallbeconsidered as nonresponsive and will be returned to the bidderimmediately.

    21.5 AlternativeBids, ifpermissible inaccordancewith ITBClause13,shallbeprepared,sealed,marked,anddeliveredinaccordancewiththeprovisionsof ITB Clauses 22 and 23,with the inner envelopesmarked in additionALTERNATIVENO.asappropriate

    22. DeadlineforSubmissionofBids

    22.1 Bidsmustbe receivedby theEmployerat theaddressandno later thanthedateandtimeindicatedintheBDS.

    22.2 The Employer may, at its discretion, extend the deadline for thesubmissionofbidsbyamendingtheBiddingDocumentinaccordancewithITB8,inwhichcaseallrightsandobligationsoftheEmployerandBidderspreviously subject to the deadline shall thereafter be subject to thedeadlineasextended.

    23. LateBids 23.1 TheEmployershallnotconsideranybidthatarrivesafterthedeadlineforsubmission of bids, in accordancewith ITB 22. Any bid received by theEmployerafterthedeadlineforsubmissionofbidsshallbedeclared late,rejected,andreturnedunopenedtotheBidder.

    24. Withdrawal,Substitution,andModificationofBids

    24.1 A Bidder may withdraw, substitute, or modify its bid after it has beensubmitted by sending a written notice, duly signed by an authorizedrepresentative,andshallincludeacopyoftheauthorizationinaccordancewithITB20.2,(exceptthatwithdrawalnoticesdonotrequirecopies).Thecorrespondingsubstitutionormodificationofthebidmustaccompanytherespectivewrittennotice.Allnoticesmustbe:

    (a) prepared and submitted in accordance with ITB 20 and ITB 21(except that withdrawal notices do not require copies), and inaddition, the respective envelopes shall be clearly markedWITHDRAWAL,SUBSTITUTION,MODIFICATION;and

    (b) received by the Employer prior to the deadline prescribed forsubmissionofbids,inaccordancewithITB22.

    24.2 Bids requested to be withdrawn in accordance with ITB 24.1 shall bereturnedunopenedtotheBidders.

    24.3 Nobidmaybewithdrawn,substituted,ormodifiedintheintervalbetweenthedeadlineforsubmissionofbidsandtheexpirationoftheperiodofbidvalidity specified by the Bidder on the Letter of Bid or any extensionthereof.

    25. BidOpening 25.1 The Employer shall conduct the opening of Technical Proposals in thepresenceofBiddersrepresentativeswhochoosetoattend,attheaddress,dateandtimespecifiedintheBDS.

    25.2 ThePriceProposalswill remainunopenedandwillbeheld incustodyoftheEmployeruntil the timeofopeningof thePriceProposals.Thedate,time, and location of the opening of Price Proposalswill be advised inwriting by the Employer to all the bidders who have been determinedqualifiedintechnicalevaluation.

    25.3 First,envelopesmarked WITHDRAWAL shallbeopened, readout,andrecorded,andtheenvelopecontainingthecorrespondingBidshallnotbeopened,butreturnedtotheBidder.NoBidshallbewithdrawnunlessthecorrespondingWithdrawalNoticecontainsavalidauthorizationtorequestthewithdrawalandisreadoutandrecordedatbidopening.

    25.4 Next,outerenvelopesmarkedSUBSTITUTIONshallbeopened.Theinnerenvelopes containing the Substitution Technical Proposal and/orSubstitution Price Proposal shall be exchanged for the correspondingenvelopes being substituted, which are to be returned to the Bidder

    unopened. Only the Substitution Technical Proposal, if any, shall beopened, readout,and recorded.SubstitutionPriceProposalswill remainunopened inaccordancewith ITBSubClause25.2.Noenvelope shallbesubstitutedunless thecorrespondingSubstitutionNoticecontainsavalidauthorizationtorequestthesubstitutionand isreadoutandrecordedatbidopening.

    25.5 Next, outer envelopes marked MODIFICATION shall be opened. NoTechnical Proposal and/or Price Proposal shall be modified unless thecorresponding Modification Notice contains a valid authorization torequest themodificationand is readoutand recordedat theopeningofTechnicalProposals.OnlytheTechnicalProposals,bothOriginalaswellasModification,are tobeopened, readout, and recorded at theopening.Price Proposals, both Original as well as Modification, will remainunopenedinaccordancewithITBSubClause25.2.

    25.6 AllotherenvelopesholdingtheTechnicalProposalsshallbeopenedoneatatime,andthefollowingreadoutandrecorded:

    (a) thenameoftheBidder;

    (b) whetherthereisamodificationorsubstitution;

    (c) thepresenceofaBidSecurity,ifrequired;and

    (d) anyotherdetailsastheEmployermayconsiderappropriate.

    OnlyTechnicalProposalsandalternativeTechnicalProposalsreadoutandrecordedatbidopeningshallbeconsideredforevaluation.NoBidshallberejected at the opening of Technical Proposals except for late bids, inaccordancewithITBSubClause23.1.

    25.7 TheEmployershallpreparearecordoftheopeningofTechnicalProposalsthat shall include, as aminimum: the name of the Bidder andwhetherthere isawithdrawal,substitution,modification,oralternativeoffer;andthe presence or absence of a Bid Security, if one was required. TheBidders representativeswho arepresent shallbe requested to sign therecord. The omission of a Bidders signature on the record shall notinvalidatethecontentsandeffectoftherecord.AcopyoftherecordshallbedistributedtoallBidders.

    25.8 AttheendoftheevaluationoftheTechnicalProposals,theEmployerwillinvite bidders who have submitted substantially responsive TechnicalProposalsandwhohavebeendeterminedasbeingqualifiedforawardtoattendtheopeningofthePriceProposals.Thedate,time,andlocationoftheopeningofPriceProposalswillbeadvisedinwritingbytheEmployer.BiddersshallbegivenreasonablenoticeoftheopeningofPriceProposals.

    25.9 TheEmployerwillnotifyBiddersinwritingwhohavebeenrejectedonthegroundsofbeingsubstantiallynonresponsivetotherequirementsoftheBiddingDocumentandwhohavebeendeterminedasbeingnotqualifiedas a resultofevaluationof technicalproposal and theirunopenedPriceProposalsalongwiththeirbidsecurityshallbereturned.

    25.10 TheEmployershallconduct theopeningofPriceProposalsofallBidderswhosubmittedsubstantiallyresponsiveTechnicalProposalsandwhohavebeen determined qualified as a result of technical evaluation, in the

    presenceofBidders`representativeswhochoosetoattendattheaddress,dateandtimespecifiedbytheEmployer.TheBiddersrepresentativeswhoare present shall be requested to sign a register evidencing theirattendance.

    25.11 AllenvelopescontainingPriceProposalsshallbeopenedoneatatimeandthefollowingreadoutandrecorded:

    (a) thenameoftheBidder

    (b) whetherthereisamodificationorsubstitution;

    (c) theBidPrice(s),includinganydiscountsandalternativeoffers;and

    (d) anyotherdetailsastheEmployermayconsiderappropriate.

    Only Price Proposals, discounts, and alternative offers read out andrecorded during the opening of Price Proposals shall be considered forevaluation.NoBidshallberejectedattheopeningofPriceProposals.

    25.12 TheEmployershallpreparearecordoftheopeningofPriceProposalsthatshall include,as aminimum: thenameof theBidder, theBidPrice (percontract ifapplicable),anydiscounts,andalternativeoffers.TheBiddersrepresentativeswho are present shall be requested to sign the record.TheomissionofaBidderssignatureontherecordshallnotinvalidatethecontentsandeffectoftherecord.AcopyoftherecordshallbedistributedtoallBidders.

    E. EvaluationandComparisonofBids

    26. Confidentiality 26.1 Information relating to the examination, evaluation& comparison, prequalificationofBidsandrecommendationofcontractaward,shallnotbedisclosed to Bidders or any other persons not officially concernedwithsuchprocessuntil informationonContractaward iscommunicated toallBidders.

    26.2 Any attemptby aBidder to influence the Employer in the examination,evaluation & comparison and prequalification of the Bids or ContractawarddecisionsmayresultintherejectionofitsBid.

    26.3 Notwithstanding ITB SubClause 26.2, from the time of opening theTechnicalProposalstothetimeofContractaward,ifanyBidderwishestocontact the Employer on any matter related to the bidding process, itshoulddosoinwriting.

    27. ClarificationofBids

    27.1 Toassist intheexamination,evaluation&comparisonandprequalificationof the Bids, the Employer may, at its discretion, ask any Bidder for aclarificationof itsBid. AnyclarificationsubmittedbyaBidderthat isnot inresponse to a request by the Employer shall not be considered. TheEmployersrequestforclarificationandtheresponseshallbeinwriting.Nochange in the prices or substance of the Bid shall be sought, offered, orpermitted,excepttoconfirmthecorrectionofarithmeticerrorsdiscoveredbytheEmployerintheevaluationofthePriceProposals,inaccordancewithITBClause32.

    27.2 IfaBidderdoesnotprovideclarificationsof itsbidby thedateand timesetintheEmployersrequestforclarification,itsbidmayberejected.

    28. Deviations,Reservations,andOmissions

    28.1 Duringtheevaluationofbids,thefollowingdefinitionsapply:

    (a) Deviation isadeparturefromtherequirementsspecified intheBiddingDocument;

    (b) Reservation is the settingof limiting conditions orwithholdingfrom complete acceptance of the requirements specified in theBiddingDocument;and

    (c) OmissionisthefailuretosubmitpartoralloftheinformationordocumentationrequiredintheBiddingDocument.

    29. DeterminationofResponsiveness

    29.1 TheEmployersdeterminationofabidsresponsivenessistobebasedonthecontentsofthebiditself,asdefinedinITB11.

    29.2 Asubstantially responsivebid isone thatmeets the requirementsof theBiddingDocumentwithoutmaterialdeviation,reservation,oromission.Amaterialdeviation,reservation,oromissionisonethat,

    (a) ifaccepted,would:

    (i) affect in any substantial way the scope, quality, orperformanceoftheWorksspecifiedintheContract;or

    (ii) limit in any substantial way, inconsistent with the BiddingDocument, the Employers rights or the Bidders obligationsundertheproposedContract;or

    (b) if rectified, would unfairly affect the competitive position ofotherBidderspresentingsubstantiallyresponsivebids.

    29.3 TheEmployershallexaminethetechnicalaspectsofthebidsubmittedinaccordancewith ITB16,TechnicalProposal, inparticular, toconfirm thatall requirements of Section 5 (Works Requirements) have been metwithoutanymaterialdeviationorreservation.

    29.4 Ifabid isnotsubstantiallyresponsivetotherequirementsoftheBiddingDocument,itshallberejectedbytheEmployerandmaynotsubsequentlybemaderesponsivebycorrectionofthematerialdeviation,reservation,oromission.

    30. Nonconformities,Errors,andOmissions

    30.1 Provided that abid is substantially responsive, theEmployermaywaiveanynonconformitiesinthebidthatdonotconstituteamaterialdeviation,reservationoromission.

    30.2 Providedthatabid issubstantiallyresponsive,theEmployermayrequestthat the Bidder submit the necessary information or documentation,withinareasonableperiodoftime,torectifynonmaterialnonconformitiesinthebidrelatedtodocumentationrequirements.Requestinginformationor documentation on such nonconformities shall not be related to anyaspectof thepriceof thebid. Failureof theBidder to complywith therequestmayresultintherejectionofitsbid.

    30.3 Provided thatabid issubstantially responsive, theEmployershall rectifynonmaterialnonconformities related to theBidPrice.To thiseffect, theBidPrice shallbeadjusted, for comparisonpurposesonly, to reflect thepriceofamissingornonconformingitemorcomponent.Theadjustmentshall bemade using themethod indicated in Section 3 (Evaluation andQualificationCriteria).

    31. PreQualificationoftheBidder

    31.1 TheEmployer shalldetermine to its satisfactionduring theevaluationofTechnicalProposalswhetherBiddersarequalifiedtoperformtheContractsatisfactorily.

    31.2 The determination shall be based upon an examination of thedocumentary evidence of the Bidders qualifications submitted by theBidder,pursuantto ITBClause17,toclarifications inaccordancewith ITBClause27andthequalificationcriteria indicated inSection III,EvaluationandQualificationCriteria. Factorsnot included in Section III,EvaluationandQualificationCriteriashallnotbeusedintheevaluationoftheBiddersqualification.

    31.3 Anaffirmativedeterminationshallbeaprerequisite for theopeningandevaluation of a Bidders Price Proposal. A negative determination shallresultintothedisqualificationoftheBid,inwhicheventtheEmployershallreturntheunopenedPriceProposaltotheBidder.

    32. CorrectionofArithmeticalErrors

    32.1 Provided that the bid is substantially responsive, the Employer shallcorrectarithmeticalerrorsonthefollowingbasis:

    (a) ifthereisadiscrepancybetweentheunitpriceandthetotalpricethatisobtainedbymultiplyingtheunitpriceandquantity,theunitpriceshallprevailandthetotalpriceshallbecorrected,unless intheopinionof theEmployer there isanobviousmisplacementofthedecimalpointintheunitprice,inwhichcasethetotalpriceasquotedshallgovernandtheunitpriceshallbecorrected;

    (b) if there is an error in a total corresponding to the addition orsubtractionof subtotals, the subtotals shallprevail and the totalshallbecorrected;and

    (c) ifthereisadiscrepancybetweenwordsandfigures,theamountinwords shall prevail, unless the amount expressed in words isrelatedtoanarithmeticerror,inwhichcasetheamountinfiguresshallprevailsubjectto(a)and(b)above.

    32.2 IftheBidderthatsubmittedthelowestevaluatedbiddoesnotacceptthecorrectionoferrors,itsbidshallbedisqualifiedanditsbidsecuritymaybeforfeited.

    33. ConversiontoSingleCurrency

    33.1 ForevaluationandcomparisonpurposesthecurrenciesofthebidshallbeconvertedintoIndianRupeesasstatedinBDS..

    34. PurchasePreference 34.1 Unlessotherwise specified in theBDS thePurchasePreference shallnotapply.

    34.2 Unlessotherwise specified in theBDS theDomesticPreference shallnotapply.

    35. EvaluationofBids 35.1 The Employer shall evaluate Price Proposals of each Bid for which theTechnicalProposalshavebeendeterminedtobesubstantiallyresponsive.TheEmployershallusethecriteriaandmethodologieslistedinthisClause.Nootherevaluationcriteriaormethodologiesshallbepermitted.

    35.2 Toevaluate thepriceproposalofabid, theEmployer shall consider thefollowing:

    (a) thebidprice,excludingProvisionalSumsand theprovision, ifany,

    for contingencies in the SummaryBillofQuantities,but includingDayWorkitems,wherepricedcompetitively;

    (b) priceadjustment for correctionofarithmeticerrors inaccordancewithITB32.1;

    (c) price adjustmentdue todiscountsoffered in accordancewith ITB14.4;

    (d) adjustmentfornonconformitiesinaccordancewithITB30.3;

    (e) application of all the evaluation factors indicated in Section 3(EvaluationandQualificationCriteria).

    35.3 TheestimatedeffectofthepriceadjustmentprovisionsoftheConditionsofContract,appliedovertheperiodofexecutionoftheContract,shallnotbetakenintoaccountinbidevaluation.

    35.4 If this Bidding Document allows Bidders to quote separate prices fordifferentcontracts,andtheawardtoasingleBidderofmultiplecontracts,themethodologytodeterminethelowestevaluatedpriceofthecontractcombinations,includinganydiscountsofferedintheBidSubmissionSheet,isspecifiedinSection3(EvaluationandQualificationCriteria).

    35.5 If the bid, which results in the lowest Evaluated Bid Price is seriouslyunbalancedintheopinionoftheEmployeraspercriteriadefinebelow,theEmployer may require the bidder to submit additional performancesecurity.

    Ifforanybill/scheduleofquantities%ageaboveorbelowquotedbythebidder on the estimated price is beyond 10% below the overall % agedifferencebetweenthequotedcontractpriceandtheengineersestimatedprice, then the price for that particular schedule shall be treated asseriously unbalanced and bidder shall be bound to furnish additionalperformance security for such unbalanced price. Example belowdemonstratesthemethodofcalculationtoarriveatunbalancedpriceandadditionalperformancesecurity:

    Suppose for the L1 bidder overall % age difference between quotedcontractpriceandtheengineersestimatedprice;

    (OverallcontractpriceOverallestimatedprice)x100overallestimatedprice=+4%

    Maximum % age below permitted over estimated price of any bill /scheduleinthiscase=+410=6%

    Suppose for the L1 bidder has quoted 20% below estimated price ofschedule A then the pricing of the schedule A shall be treated asunbalanced and the bidder shall required to furnish additionalperformancesecurityforanamountequalto(206)%oftheestimatedpriceofscheduleA

    36. ComparisonofBids 36.1 TheEmployershallcompareallsubstantiallyresponsivebidstodeterminethelowestevaluatedbid,inaccordancewithITB34and35.

    37. EmployersRighttoAcceptAnyBid,andtoRejectAnyorAllBids

    37.1 TheEmployerreservestherighttoacceptorrejectanybid,andtoannulthebiddingprocessandrejectallbidsatanytimepriortocontractaward,withouttherebyincurringanyliabilitytoBidders.Incaseofannulment,allbidssubmittedandspecifically,bidsecurities,shallbepromptlyreturnedtotheBidders.

    F. AwardofContract

    38. AwardCriteria 38.1 The Employer shall award the Contract to the Bidder whose bid issubstantially responsive to theBiddingDocument,provided further thatthe Bidder is determined to be qualified to perform the Contractsatisfactorily and whose offer has been determined to be the lowestevaluated.

    38.2 ABidshallberejectedifthequalificationcriteriaasspecifiedinSection3:Evaluation and Qualification Criteria are no longer met by the Bidderwhoseofferhasbeendeterminedtobethe lowestevaluatedBid. Inthisevent the Employer shall proceed to the next lowest evaluated Bid tomake a similar reassessment of that Bidders capabilities to performsatisfactorily.

    39. NotificationofAward 39.1 Prior to the expiration of the period of bid validity, the Employer shallnotifythesuccessfulBidder,inwriting,thatitsbidhasbeenaccepted.Thenotification letter (hereinafter and in the Conditions of Contract andContract Forms called the Letter ofAcceptance) shall specify the sumthattheEmployerwillpaytheContractorinconsiderationoftheexecutionand completion of the Works (hereinafter and in the Conditions ofContract and Contract Forms called the Contract Price) and therequirement for the Contractor to remedy any defects therein asprescribedbytheContract.

    39.2 Untilaformalcontractispreparedandexecuted,thenotificationofawardshallconstituteabindingContract.

    40. SigningofContract 40.1 Promptlyafternotification,theEmployershallsendthesuccessfulBiddertheContractAgreement.

    40.2 Within twentyeight (28)daysof receiptof theContractAgreement, thesuccessfulBiddershallsign,date,andreturnittotheEmployer.

    41. PerformanceSecurity 41.1 Withintwentyeight(28)daysofthereceiptofnotificationofawardfromtheEmployer,thesuccessfulBiddershallfurnishtheperformancesecurityinaccordancewiththeconditionsofcontract,subjecttoITB35.5,usingforthat purpose the Performance Security Form included in Section 8:ContractForms,oranotherformacceptabletotheEmployer.

    41.2 Failure of the successful Bidder to submit the abovementionedPerformanceSecurityor to sign theContractAgreement shall constitutesufficientgroundsfortheannulmentoftheawardandforfeitureofthebidsecurity.

    41.3 The above provision shall not apply to the furnishing of a DomesticPreferenceSecurity,ifsorequired.
