    The Applicant shall bear all its costs associated with or relating to the preparation andsubmission of its Proposal including but not limited to preparation, copying, postage,delivery fees, expenses associated with any demonstrations or presentations which may berequired by IRCON INTERNATIONAL LIMITED or any other costs incurred inconnection with or relating to its Proposal. All such costs and expenses will remain withthe Applicant and IRCON INTERNATIONAL LIMITED shall not be liable in anymanner whatsoever for the same or for any other costs or other expenses incurred by an

    Applicant in preparation or submission of the Proposal, regardless of the conduct oroutcome of the Selection Process.

    1. INTRODUCTION

    Indian Railways (IR) owns and manages one of the largest Railway networks ofthe world with over 64,015 Route Km and 7,030 Railway Stations. Operations of

    IR are overseen by Ministry of Railways, Government of India through 16 Zonal

    Railways headed by General Managers. IR carries more than 17.5 million

    passengers every day and some of the major Railway Stations handle passenger

    foot falls in the range of 100-200 million per annum.

    1.1 Background

    India is currently recognized as one of the fastest growing economies in the world

    and is expected to continue with even faster growth. With magnitude and fast

    growth of economy, India leads the economic growth in South Asian region and

    accounts for approximately 70% of the regions output. Works done within the

    Planning Commission and other economic institutes suggest that Indias economy

    can accelerate from 8 per cent per year to an average of around 9% over the 11th

    Plan period. With population growing at 1.5% per year, 9% growth in GDP would

    double the real per capita income in 10 years.

    Such rapid economic growth (in recent years) generates considerable traffic

    demand. The Vision 2020, Indias long-term national development plan, stresses

    the progress made over the last fifty years in developing the passenger and freight

    transport system of India: Indias network of roads, railways, air services and

    ports is one of the largest in the world. Over the last 50 years, the volume of

    railway freight has increased five-fold and passenger kilometers nearly seven-fold.

    The length of surfaced roads has multiplied nine-fold. The number of goods

    vehicles has increased 40-fold .The tonnage of freight handled by the nations

    expanding system of major and minor ports has grown more than 16-fold.

    Currently, about 800 billion tonne km of freight and 2,300 billion passenger km are

    handled by the transport system, with the total transport demand growing at around10 per cent a year for the past decade.

    Statement by Minister of Railways on Vision 2020 also envisages the

    implementation of at least 4 high speed rail projects to provide bullet train services

    at 250-300 kmph, one in each regions of the nation and planning for at least 8 more

    corridors connecting commercial, tourist and pilgrimage hubs.

    More investments, accordingly, will be necessary so that the transport sector

    becomes a stimulator of growth rather than a hindrance. In particular the Indian

    Railways, a key component in social and economic development in the past has

    laid emphasis on capacity expansion through modernization and technological up-

    gradation of the railway system for both passengers and freight for freighttransport, the 11

    thPlan puts an emphasis on the construction of the dedicated

    freight corridor. 11th Plan also puts emphasis on accelerated modernization of the

    passenger railway. It suggests that world class transport services require provision

    of quality passenger amenities at terminals and introduction of modern rollingstock.

    Infrastructure development in the transport sector has not kept pace with thegrowth in demand of transportation services. There is an untapped, potentiallyhuge market for premium transport services, which combine speed, safety andcomfort. The need to develop an energy- efficient, environment-friendly publictransport system, coupled with the rapid advance in rail-based transportationtechnology, provides the right opportunity to develop a high speed passenger railnetwork in the country.

    High Speed Trains zooming at commercial speeds above 300 kmph will cater tothe segment of intercity travelers seeking to travel distances of up to 500-700 kms

    in two to three hours.

    In response to the growing demand from the railway passengers, introduction of

    high-speed passenger railway system (HSR) has been discussed in recent years.

    1.2

    Request for proposal

    The need of the hour is faster movement of both passenger and goods. In the case

    of passenger traffic, the boom in the airline sector and sustained growth of the last

    few years reflects upon the premium paid for the shorter transit times between

    cities. High speed passenger railway system will thus usher in a new transport

    product not available in the country at present. It will also fill up a vacuum in the

    current passenger transport scenario.

    In pursuance to the objective of introduction of High Speed Passenger Railway in

    India, Ministry of Railways, Government of India has decided to appoint

    Consultants to prepare Pre-Feasibility study report to evaluate the financial

    viability & technical feasibility of construction, maintenance and management offacilities on each of following High Speed Passenger Railway Corridors through

    Public Private Partnership (PPP), among other implementation formats:

    a) Pune- Mumbai- Ahmedabadb) Delhi- Chandigarh Amritsarc) Delhi Agra-Luknow-Varanasi-Patna.b) Haldia Howrah.

    c) Hyderabad Dornakal Vijayawada Chennai.d) Chennai -Bangalore - Coimbatore - Ernakulam

    Pre-fasibility study for Pune- Mumbai- Ahmedabad section has already been

    completed. Pre-feasibility study for Delhi- Chandigarh Amritsar corridor is under

    finalisation. Therefore out of the above 6 (six) corridors only four further corridorsare required to be taken up by MOR through IRCON INTERNATIONAL

    LIMITED. Out of the 6 corridors, a bidders/firms in a consortium can take upwork in only 2 (two) corridors.

    This RFP is only for the DELHI-AGRA-LUKNOW-VARANASI-PATNAcorridor. Tenders for other 3 (three) corridors shall be invited separately. IRCONINTERNATIONAL LIMITED intends to select the Consultant through anInternational competitive bidding process in accordance with the procedure set outherein for Delhi-Agra-Luknow-Varanasi-Patna section only.May please note that no sole firm/ consortium/ firm will be awarded work on morethan total 2 (two) corridors.

    1.3 Due diligence by Applicants

    Applicants are encouraged to inform themselves fully about the assignment and thelocal conditions before submitting the Proposal by paying a visit to IRCONINTERNATIONAL LIMITED and the Project site, sending written queries toIRCON INTERNATIONAL LIMITED, and attending a Pre-Bid Conference on thedate and time specified in Clause 1.10.

    1.4 Availability of RFP Document

    RFP document can be obtained between 11 hrs and 16 hrs on all working days onpayment of a fee of Rs. 25000.00 Twenty five thousand only) in the form of ademand draft drawn on any Scheduled Bank in India in favor of IRCONINTERNATIONAL LIMITED and payable at N.Delhi. The document can alsobe downloaded from the Official Website of Indian Railways and the IrconInternational Ltd i.e. www.indianrailways.gov.in and www.ircon.org respectively.In case of a downloaded form, the Applicant needs to deposit the aforesaid feeprior to participation in the Pre-Bid Conference. In case an Applicant does notparticipate in the Pre-Bid Conference, it shall deposit the aforesaid fee prior to or atthe time of submission of its Proposal.

    1.5 Validity of the ProposalThe Proposal shall be valid for a period of not less than 120 days from the ProposalDue Date (the PDD).

    1.6 Brief description of the Selection ProcessIRCON INTERNATIONAL LIMITED intends to follow a two stage selection

    process (collectively the Selection Process) in evaluating the Proposals. In thefirst stage, a technical evaluation will be carried out as specified in Clause 3.1.

    Based on this technical evaluation, a list of short-listed applicants shall be prepared

    as specified in Clause 3.2. In the second stage, a financial evaluation will be

    carried out as specified in Clause 3.3. Proposals will finally be ranked according to

    their combined technical and financial scores as specified in Clause 3.4.

    For the purposes of technical evaluation, Rs. 45 per US $ shall be considered as theapplicable currency conversion rate. In case of any other currency, the same shallfirst be converted to US$ as on the date 60 (sixty) days prior to the Proposal DueDate, and the amount so derived in US Dollars shall be converted into Rupees atthe aforesaid rates.The conversion rate of such currencies shall be using the Exchange (TT Selling)rate at the close of business as notified by the State Bank of India as on the date 60(sixty) days prior to the Proposal Due Date. In case this particular day happens tobe holiday, the exchange rate at the opening of business of the State bank of Indiaon next working day will be considered.All payments, however, shall be made in INR in accordance with the bidsubmitted by the Applicant and the exchange risk, if any, shall be borne bythe Applicant. The Consultant shall be free to convert Rupees into any foreigncurrency as per Applicable Laws.

    2. INSTRUCTIONS TO APPLICANTS

    2.1 General - Conditions of Bidding

    2.1.1 Applicant and Contract

    Detailed description of the Project Objective, scope of services, deliverables andother requirements related with this Consultancy are specified in this Request ForProposal (RFP). The Bidder (Applicant) can be an individual Firm (SoleFirm) or a Consortium of Firms (Consortium) comprising one Lead MemberFirm and not more than two Partner Firms. Consortium shall establish an office inIndia for this work and this Indian Office address shall be treated as address for allofficial communications. Preparation of Pre-feasibility Report for each of the fourCorridors shall be treated as a separate contract. A Bidder shall submit separateproposals for each corridor subject to an independent Team of Key Expert beingfielded for each of the Contracts. Wherever possible, due to staggering of period ofconsultancy few of the key Expert may be permitted with the approval of IRCON

    INTERNATIONAL LIMITED to work in more than one contract, if period of theirdeployment does not overlap and does not affect the smooth completion of each ofthe contracts. However any one Bidder shall be awarded, in accordance with theprocedure described in this RFP, not more than two Contracts.

    2.1.2 Applicants are advised that the selection of Consultant shall be on the basis of anevaluation by IRCON INTERNATIONAL LIMITED through the SelectionProcess specified in this RFP and at the discretion of IRCON INTERNATIONALLIMITED. Applicants will be deemed to have understood and agreed that noexplanation or justification of any aspect of the Selection Process will be given andthat IRCON INTERNATIONAL LIMITED decisions on behalf of MINISTRY OFRAILWAYs are without any right of appeal whatsoever.

    2.2 Conditions of Eligibility of Applicants

    2.2.1 Applicants must read carefully the minimum conditions of eligibility (Conditionsof Eligibility) provided herein. Proposals of only those Applicants who satisfy theConditions of Eligibility will be considered for evaluation. To be eligible for

    evaluation of its Proposal, the Applicant shall fulfil the requirements set out atclauses 2.2.2 to 2.2.10, 2.5.2, 2.9, 2.10, 2.11, 2.13.5 and 2.14.1.4 :

    2.2.2 Technical Capacity

    The Sole Firm or the Lead Member in case the Applicant is a Consortium, shall

    have met the following requirements preceding the PDD

    (a) completed a minimum of one Eligible Assignment (EA) as listed below,

    the Project of which should have been implemented successfully, AND

    (b) have been awarded or completed a minimum of two EAs as listed below

    (excluding the (a) above),

    i. Preparation of pre-feasibility report of a High Speed Passenger Railway (minimumdesigned operational speed of 200 kmph) of commercial route length of at least100 Km in any country in the world, OR

    ii. Preparation of Detailed Project Report of a High Speed Passenger Railway(minimum designed operational speed of 200 kmph) of commercial route length ofat least 100 Km in any country in the world, OR

    iii. Project Construction Supervision or Project management Consultancy (PMC) ofa High Speed Railway (minimum designed operational speed of 200 kmph) of totalcommercial route length of at least 100 Km in any country in the World.

    Note :

    It may be noted that if the sole firm or the lead member of the consortium, whois/are applicants in this tender, was only one of the constituents in an eligibleassignment, then for the purpose of qualifying in this tender, their share inpayments received should not have been less than 30% of the total paymentmade to the consortium for that eligible assignment.

    2.2.3 Financial Capacity

    Sole Firm or Lead Member in case the Applicant is a Consortium shall have

    received a minimum income of Rs.250 million or US $ 10 million per annum fromprofessional fees during each of the three years preceding the Proposal Due Date.

    2.2.4 Availability and Eligibilities of Key Expert2.2.4.1 Availability of Key Expert

    The Sole Firm or the Lead Firm in case the Applicant is a Consortium should havethe Team Leader on its rolls. Key Experts other than Team Leader shall be drawnfrom Sole Firm or from either of Lead Firm or partner firms in case Applicant is aConsortium subject toclauses 3.1.2 and 3.1.4 meeting the eligibility requirements

    specified in Sub-clause below. However sub-consultant may be engaged as per theprovisions of clause 3.1.4 of RFP.

    2.2.5 The Applicant shall enclose with its Proposal, certificate(s) from its Statutory

    Auditors stating its revenues from professional fees during the past three years andthe payments received in respect of each of the Eligible Assignments specified inthe Proposal. In case sole firm or lead firm was one of the constituents ofconsortium in the Eligible Assignment then the proportionate share of firm, out ofthe total payment made to consortium for that EA should be certified by thestatutory auditors.

    2.2.6 The Applicant should submit a Power of Attorney in the format specified atForm4 of Appendix I, authorising the signatory of the Proposal to commit the Applicant.

    2.2.7 Any entity which has been barred, by the Central / State Government in India or byany entity controlled by them, from participating in any project and the bar subsistas on the date of Proposal, and would not be eligible to submit a Proposal.

    2.2.8 An Applicant should, in the last three years, have neither failed to perform on anyagreement, as evidenced by imposition of a penalty by an arbitral or judicial

    authority or a judicial pronouncement or arbitration award against the Applicant,nor been expelled from any project or agreement nor have had any agreementterminated for breach by such Applicant.

    2.2.9 Conflict of Interest

    2.2.9.1 An Applicant shall not have a conflict of interest (the Conflict of Interest), thataffects the Selection Process. Any Applicant found to have a Conflict of Interest

    shall be disqualified. In the event of disqualification, IRCON INTERNATIONAL

    LIMITED shall forfeit and appropriate the Bid Security as mutually agreed

    genuine pre-estimated compensation and damages payable to IRCON

    INTERNATIONAL LIMITED for, inter alia, the time, cost and effort of IRCON

    INTERNATIONAL LIMITED including consideration of such ApplicantsProposal, without prejudice to any other right or remedy that may be available to

    IRCON INTERNATIONAL LIMITED hereunder or otherwise.

    2.2.9.2 IRCON INTERNATIONAL LIMITED requires that the Consultant provide

    professional, objective, and impartial advice and at all times hold IRCON

    INTERNATIONAL LIMITED interests paramount, avoid conflicts with other

    assignments or their own corporate interests, and act without any consideration for

    future work. The Consultant shall not accept or engage in any assignment that

    would be in conflict with its prior or current obligations to other employers, or that

    may place it in a position of not being able to carry out the assignment in the best

    interests of IRCON INTERNATIONAL LIMITED.

    2.2.9.3 Without limiting the generality of the above, an Applicant shall be considered to

    have a Conflict of Interest that affects the Selection Process, if:

    (i) such applicant (or any constituent thereof) and any other Applicant (or anyconstituent thereof) have common controlling shareholders or otherownership interest; provided that this qualification shall not apply in caseswhere the direct or indirect shareholding in an Applicant or a constituentthereof in other Applicant(s) (or any of its constituents) is less than 1% of itspaid up and subscribed capital; or

    (ii) a constituent of such Applicant is also a constituent of another Applicant; or

    (iii) such Applicant receives or has received any direct or indirect subsidy fromany other Applicant; or

    (iv) such Applicant has the same authorised representative for purposes of thisApplication as any other Applicant; or

    (v) such Applicant has a relationship with another Applicant, directly or throughcommon third parties, that puts them in a position to have access to eachothers information about, or to influence the Application of either or each of

    the other Applicant; or

    (vi) if there is a conflict among this and other consulting assignments of theConsultant (including its Expert and sub-Consultant) and any subsidiaries or

    entities controlled by such Consultant. The duties of the Consultant depend

    on the circumstances of each case. While providing consultancy services to

    IRCON INTERNATIONAL LIMITED for this particular assignment, the

    Consultant shall not take up any assignment that by its nature will result in

    conflict with the present assignment; or

    2.2.10 Number of Proposals

    Each Applicant shall submit only one Proposal in response to RFP for one

    contract. Any Applicant/Firm, which submits or participates in more than one

    Proposal for one contract will be disqualified and will also cause thedisqualification of each of the consortia of which it is a member.

    2.3 Proposal and other costs

    The Applicant shall be responsible for all of the costs associated with the

    preparation of its Proposal, Presentation to IRCON INTERNATIONAL LIMITED

    if any and subsequent negotiation, including visits to IRCON INTERNATIONAL

    LIMITED, Project site etc. IRCON INTERNATIONAL LIMITED will not be

    responsible or in any way liable for such costs, regardless of the conduct or

    outcome of the Selection Process.

    2.4 Site visit along Proposed Corridors

    2.4.1 Applicants are encouraged to submit their respective Proposals after, visiting the

    various points of origin, destination & intermediate nodes and ascertaining for

    themselves the site conditions, traffic, location, surroundings, climate, access to thesite, availability of drawings and other data with IRCON INTERNATIONALLIMITED, applicable laws and regulations or any other matter considered relevantby them.

    2.4.2 It shall be deemed that by submitting the Proposal, the Applicant has:

    (a) made a complete and careful examination of the RFP;(b) received all relevant information requested from IRCON

    INTERNATIONAL LIMITED;(c) acknowledged and accepted the risk of inadequacy, error or mistake in the

    information provided in the RFP or furnished by or on behalf of IRCONINTERNATIONAL LIMITED or relating to any of the matters referred toin Clause 2.6.1;

    (d) satisfied itself about all matters, things and information including mattersreferred to in Clause 2.6.1 necessary and required for submitting aninformed Application and performance of all of its obligations there under;

    (e) acknowledged and agreed that inadequacy, lack of completeness or

    incorrectness of information provided in the RFP or ignorance of any of thematter referred to in Clause 2.6.1 shall not a basis for any claim forcompensation, damages, extension of time for performance of itsobligations, loss of profits etc. from IRCON INTERNATIONALLIMITED, or a ground for termination of the Agreement; and

    (f) Agreed to be bound by the undertaking provided by it under and in termshereof.

    2.4.3 IRCON INTERNATIONAL LIMITED shall not be liable for any omission,mistake or error on the part of the Applicant in respect of any of the above or onaccount of any matter or thing arising out of or concerning or relating to RFP orthe Selection Process, including any error or mistake therein or in any information

    or data given by IRCON INTERNATIONAL LIMITED.

    2.5 Right to accept any Proposal and to reject any or all Proposals

    2.5.1 Notwithstanding anything contained in this RFP, IRCON INTERNATIONALLIMITED reserves the right to do the following:

    (a) accept or reject any Proposal and to at any time without any liability or anyobligation for such acceptance, rejection or annulment, and withoutassigning any reasons thereof

    (b) Suspend and/or cancel the Selection Process and/or amend and/or

    supplement the Selection Process or the dates or other terms and conditionsrelating thereto

    (c) Pre-qualify or not to pre-qualify any Applicant and/or to consult with anyApplicant in order to receive clarification or further information.

    2.5.2 IRCON INTERNATIONAL LIMITED reserves the right to reject any Proposal if:(a) at any time, a material misrepresentation is made or uncovered, or

    (b) the Applicant does not provide, within the time specified by IRCON

    INTERNATIONAL LIMITED, the supplemental information sought byIRCON INTERNATIONAL LIMITED for evaluation of the Proposal.

    Such misrepresentation/ improper response would lead to the disqualification ofthe Applicant. If the Applicant is the Lead Member of a consortium, then the entireconsortium would be disqualified / rejected. If such disqualification / rejectionoccur after the Proposals have been opened and the highest ranking Applicant getsdisqualified / rejected, then IRCON INTERNATIONAL LIMITED reserves theright to:

    (i) consider the next best Applicant or

    (ii) take any such measure as may be deemed fit in the sole discretion ofIRCON INTERNATIONAL LIMITED, including annulment of theSelection Process.

    2.7 Clarifications

    Applicants requiring any clarification on the RFP may send their queries toIRCON INTERNATIONAL LIMITED in writing before the date mentioned in theSchedule of Selection Process at Clause 1.8. The envelopes shall clearly bear thefollowing identification:

    "Queries/Request for Additional Information concerning RFP - Consultancy forHigh Speed Rail Corridor Delhi-Agra-Lucknow-Varanasi-Patna."

    IRCON INTERNATIONAL LIMITED shall endeavour to respond to the queries

    within the period specified therein but not later than 7 days prior to the Proposal

    Due Date. The responses will be sent by fax or e-mail. IRCON

    INTERNATIONAL LIMITED will post the reply to all such queries on the

    Official Website and copies thereof will also be circulated to all Applicants who

    have purchased the RFP document without identifying the source of queries.

    IRCON INTERNATIONAL LIMITED reserves the right not to respond to any

    questions or provide any clarifications, in its sole discretion and nothing in this

    clause shall be taken or read as compelling or requiring IRCON

    INTERNATIONAL LIMITED to respond to any question or to provide any

    clarification.

    2.8 Amendment of RFP

    2.8.1 At any time prior to the deadline for submission of Proposal, IRCONINTERNATIONAL LIMITED may, for any reason, whether at its own initiative orin response to clarifications requested by an Applicant, modify the RFP documentby the issuance of Addendum/ Amendment.

    2.8.2 All such amendments will be notified in writing through fax or e-mail to allApplicants who have purchased the RFP document. The amendment will also beposted on the Official Website and will be binding on all Applicants.

    2.8.3 In order to afford the Applicants a reasonable time in which to take an Addenduminto account, or for any other reason, IRCON INTERNATIONAL LIMITED may,at its own discretion, extend the Proposal Due Date.

    2.9 Preparation and Submission of Proposal

    2.9.1 Language

    The Proposal with all accompanying documents (the Documents) and relatedcorrespondence shall be in the English Language and strictly on the forms

    provided in this RFP. No supporting document or printed literature shall be

    submitted with the Proposal unless specifically asked for and in case any of these

    documents is in another language, it must be accompanied by an accurate

    translation of the relevant passages in English duly authenticated by the embassy

    of the country, in which case, for all purposes of interpretation of the Proposal, the

    translation in English shall prevail.

    2.9.2 Format and signing of Proposal

    2.9.2.1 The Applicant shall provide all the information sought under this RFP. IRCON

    INTERNATIONAL LIMITED would evaluate only those Proposals that are

    received in the specified forms and complete in all respects.

    2.9.2.2 The Applicant shall prepare and submit only one original set of the Documents.

    2.9.2.3 The Proposal shall be typed or written in indelible ink and the Applicant shall put

    stamp and initial each page. All the alterations, omissions, additions, or any other

    amendments made to the Proposal shall be stamped and initialed by the person(s)

    signing the Proposal. The Proposals must be properly stamped and signed as

    detailed below:

    (i) By the proprietor, in case of a proprietary firm;

    (ii) by the partner holding the Power of Attorney, in case of a partnership firm;(iii) by a duly authorized person (the Authorized Representative) holding

    the Power of Attorney, in case of a Limited Company or a corporation; or

    (iv) By the Authorized Representative of the Lead Member, in case ofconsortium.

    A copy of the Power of Attorney certified under the hands of a partner or directorof the Applicant or a notary public on the specified form shall accompany theProposal.

    2.9.2.4 Applicants should note the Proposal Due Date, as specified in Clause 1.8, forsubmission of Proposals. Applicants are reminded that no supplementary materialwill be entertained by IRCON INTERNATIONAL LIMITED, and that evaluationwill be carried out only on the basis of Documents received by the closing time ofProposal Due Date. Applicants will normally not be asked to provide additionalmaterial information or documents subsequent to the date of submission, andunsolicited material if submitted will be summarily rejected.

    2.9.3 Preparation ofTechnical Proposal

    2.9.3.1 Applicants shall submit the Technical Proposal in the formats at Appendix-I (theTechnical Proposal).

    2.9.3.2 While submitting the Technical Proposal, the Applicant shall, in particular, ensure

    that:

    (a) CVs of all Professional Expert have been submitted;

    (b) Key Expert have been proposed only if they meet the Conditions of

    Eligibility laid down at Clause 2.2.4.2 of the RFP;

    (c) no alternative proposal for any Key Expert is being made and only one

    CV for each position has been furnished;

    (d) the CVs shall contain the recent photograph and have been recently

    stamped and signed in blue ink by the respective Expert and counter

    stamped and signed by the Applicant. Photocopy or unstamped and signed /

    counter stamped and signed CVs shall be rejected;

    (e) the CVs shall contain an undertaking from the respective Key Expert about

    his/her availability for the duration specified in the RFP; and

    (f) Key Expert proposed have good working knowledge of English language.

    2.9.3.3 Failure to comply with the requirements spelt out in this Clause 2.9.3 shall make

    the Proposal may be rejected.

    2.9.3.4 If an individual Key Expert makes an averment regarding his qualification,experience, age, and it turns out to be false, or his commitment regarding

    availability for the Project is not fulfilled at any stage after signing of theAgreement, he shall be debarred for any future assignment in Indian Railways.The award of this Consultancy to the Applicant shall also be liable to cancellationin such an event.

    2.9.3.5 The Technical Proposal must not include any financial information.

    2.9.3.6 The proposed team shall be composed of experts and specialists (the KeyExpert) in their respective areas of expertise and managerial/support staff (theSupport Expert) such that the Consultant should be able to complete theConsultancy within the specified time schedule. The Key Expert specified in

    Clause 2.1.3 shall be included in the proposed team of Professional Expert. Other

    competent and experienced Professional Expert in the relevant areas of expertise

    must be added as required for successful completion of this Consultancy. The CV

    of each such Professional Expert should also be submitted in the format at Form-12

    of Appendix-I. Such CVs submitted by the selected Applicant (the SelectedApplicant) shall be examined at the time of negotiation.

    2.9.3.7 An Applicant may also propose suitable Sub-Consultant in specific areas ofexpertise. Credentials of such firms should be submitted in Form-16 of Appendix-

    I, which will be examined at the time of negotiation. Such Sub-Consultant will,

    however, not be a substitute to any Key Expert except provision of clause 3.1.4 of

    Criteria for Evaluation.

    2.9.3.8IRCON INTERNATIONAL LIMITED reserves the right to verify all statements,information and documents, submitted by the Applicant in response to the RFP.

    Failure of the IRCON INTERNATIONAL LIMITED to undertake such

    verification shall not relieve the Applicant of its obligations or liabilities hereunder

    nor will it affect any rights of the IRCON INTERNATIONAL LIMITED there

    under.

    2.9.3.9 In case it is found during the evaluation or at any time before signing of the

    Agreement or after its execution and during the period of subsistence thereof, that

    one or more of the eligibility conditions have not been met by the Applicant or the

    Applicant has made material misrepresentation or has given any materially

    incorrect or false information, the Applicant shall be disqualified forthwith if not

    yet appointed as the Consultant either by issue of the LOA or entering into of the

    Agreement, and if the Applicant has already been issued the LOA or has entered

    into the Agreement, as the case may be, the same shall, notwithstanding anything

    to the contrary contained therein or in this RFP, be liable to be terminated, by a

    communication in writing by the IRCON INTERNATIONAL LIMITED to the

    Bidder, without the IRCON INTERNATIONAL LIMITED being liable in any

    manner whatsoever to the Applicant or Consultant, as the case may be.

    In such an event IRCON INTERNATIONAL LIMITED shall forfeit and

    appropriate the Bid Security as mutually agreed pre-estimated compensation and

    damages payable to IRCON INTERNATIONAL LIMITED for, inter alia, timecost and effort of IRCON INTERNATIONAL LIMITED, without prejudice to anyother right or remedy that may be available to IRCON INTERNATIONALLIMITED.

    2.9.4 Financial Proposal

    2.9.4.1 The financial proposal shall be submitted in the format at Appendix-II (theFinancial Proposal) clearly indicating the total cost of the Consultancy (Item Hof Form-II) in both figures and words, in Indian Rupees, and stamped and signed

    by the Applicants authorised signatory. In the event of any difference between

    figures and words, the amount indicated in words/ arithmetical total of all costs

    shall be taken into account.

    2.9.4.2 While submitting the Financial Proposal, the Applicant shall ensure the following:

    (i) All the costs associated with the assignment shall be included in the

    Financial Proposal. These shall normally cover remuneration for all the

    Expert (Expatriate and Resident, in the field, office etc), accommodation, airfare, equipment, printing of documents, surveys, geo-technical investigations

    etc. The total amount indicated in the Financial Proposal shall be without any

    condition attached or subject to any assumption, and shall be final and

    binding. In case any assumption or condition is indicated in the Financial

    Proposal, it shall be considered non-responsive and liable to be rejected.

    (ii) The Financial Proposal shall take into account all expenses and tax

    liabilities except those specified in Item G IV of Form -2 at Appendix-II.

    (iii) Costs (including break up of costs) shall be expressed in INR.

    2.9.5 Submission of Proposal

    2.9.5.1The Applicants shall submit the Proposal in hard bound form with all pagesnumbered serially and by giving an index of submissions. Each page of the

    submission shall be stamped and signed by the Authorized Representative of the

    Applicant. In case the proposal is submitted on the document down loaded from

    Official Website, the Applicant shall be responsible for its accuracy and

    correctness as per the version uploaded by IRCON INTERNATIONAL LIMITED

    and will ensure that there are no changes caused in the content of the downloaded

    document. In case of any discrepancy between the downloaded or photocopied

    version of the RFP and the original RFP issued by IRCON INTERNATIONAL

    LIMITED, the later shall prevail.

    2.9.5.2The Proposal will be sealed in an outer envelope, which will bear the address ofIRCON INTERNATIONAL LIMITED, RFP Notice no., Consultancy name as

    indicated at Clause 1.11 and the name and address of the Applicant. It shall bearon top, the following:

    Do not open, except in presence of the tender opening committee

    If the envelope is not sealed and marked as instructed above, IRCONINTERNATIONAL LIMITED assumes no responsibility for the misplacement orpremature opening of the contents of the Proposal submitted.

    2.9.5.3 This outer envelope will contain two separate sealed envelopes, one clearly markedTechnical Proposal and the other clearly marked Financial Proposal.

    2.9.5.4 The Technical Proposal and Financial Proposal must be prepared in indelible inkand must be stamped and signed by the Authorized Representative of theApplicant. All pages of the original Technical Proposal and Financial Proposalmust be numbered and initialed by the person or persons signing the Proposal.

    2.9.5.5 The Proposal must contain no interlineations or overwriting except as necessary to

    correct errors made by the Applicants themselves, in which cases such correctionsmust be initialed by the person or persons signing the Proposal.

    2.9.5.6 The completed Proposal must be delivered on or before the specified time onProposal Due Date. If PDD is a holiday then the next working day will beconsidered PDD.

    2.9.5.7 TheProposal shall be made in the Forms specified in this RFP. Any attachment tosuch Forms must be provided on separate sheets of paper and only information thatis directly relevant should be provided. This may include photocopies of therelevant pages of printed documents. No separate documents like printed annualstatements, company brochures, copy of contracts etc. will be entertained.

    While submitting a Proposal, the Applicant should attach clearly marked andreferenced continuation sheets in the event that the space provided in the specifiedforms in the Appendices is insufficient. Alternatively, Applicants may format thespecified forms making due provision for incorporation of the requestedinformation.

    2.9.5.8Proposals submitted by fax or telegram or e-mail will not be accepted. IRCONINTERNATIONAL LIMITED reserves the right to reject any Proposal that is notsubmitted according to instructions stipulated in the RFP.

    2.9.5.9 The rates quoted shall be firm throughout the period of performance of the

    assignment up to and including acceptance of the Pre-Feasibility Report by IRCONINTERNATIONAL LIMITED and discharge of all obligations of the Consultantunder the Agreement.

    2.10 Proposal Due Date

    2.10.1 Proposal should reach IRCON INTERNATIONAL LIMITED before 1100 hourson the Proposal Due Date at the address provided in Clause 1.11 in the manner andform as detailed in this RFP.

    2.10.2 IRCON INTERNATIONAL LIMITED may, in exceptional circumstances and atits sole discretion, extend the Proposal Due Date by issuing an Addendum inaccordance with Clause 2.8 uniformly for all Applicants.

    2.11 Late ProposalsProposals received by IRCON INTERNATIONAL LIMITED after the date andtime specified in Clause 1.8 shall not be eligible for consideration and shall besummarily rejected.

    2.12 Modification/ substitution/ withdrawal of Proposals

    2.12.1 The Applicant may modify, substitute, or withdraw its Proposal after submission,

    provided that written notice of the modification, substitution, or withdrawal isreceived by IRCON INTERNATIONAL LIMITED by the specified time onProposal Due Date. No Proposal shall be modified, substituted, or withdrawn bythe Applicant after the specified time on Proposal Due Date.

    2.12.2 The modification, substitution, or withdrawal notice shall be prepared, sealed,marked, and delivered in accordance with Clause 2.9.5, with the envelopes beingadditionally marked MODIFICATION, SUBSTITUTION or

    WITHDRAWAL, as appropriate.

    2.12.3 Any alteration / modification in the Proposal or additional information material

    supplied subsequent to the Proposal Due Date, unless the same has been expressly

    sought for by IRCON INTERNATIONAL LIMITED, shall be disregarded.

    2.13 Bid Security

    2.13.1 The tenderer must furnish the Earnest Money of RS.. for

    the work as specified failing which the tender shall be summarily rejected.

    The Earnest Money may be in any one of the following forms:

    a) Pay Order/Demand Draft of any Scheduled Bank in India in favour of

    Ircon International Limited payable at New Delhi, India.

    b) Fixed Deposit Receipt issued by any Scheduled Bank in India endrosed

    in favour of Ircon International Limited, New Delhi, India.

    No interest shall be allowed on Earnest Money Deposit in case the same is

    deposited in the form of Pay order/Demand draft.

    2.13.2 Forfeiture of Earnest Money:

    2.13.2.1 The Earnest Money of the tenderer shall be forfeited if he withdraws histender during the period of tender validity or extended validity period asagreed to in writing by the tenderer.

    2.13.2.2 The Earnest Money of the successful tenderer is liable to be forfeited if hefails to;

    i) sign the Contract Agreement in accordance with the terms of thetender, or

    ii) furnish Performance Guarantee in accordance with the terms of thetender, or

    iii) commence the work within the time period stipulated in the tender.

    2.13.2.3 In case of forfeiture of EMD, the tenderer shall be debarred from bidding incase of re-invitation of the tenders.

    2.13.3 Return of Earnest Money:

    2.13.3.1 The Earnest Money of the unsuccessful tenderers shall be discharged andreturned as promptly as possible.

    2.13.3.2 The Earnest Money Deposit of the successful tenderer shall be dealt asunder:-

    i) If the Earnest Money Deposit is in the form of Fixed Deposit Receipt

    (FDR), the FDR shall be returned after deduction of an equivalentamount from the first on account bill and further deduction ofretention money from the bills shall commence after adjusting thisEMD amount.

    ii) If the Earnest Money Deposit(EMD) is in the form of DemandDraft/Pay Order, the same shall be retained towards retention moneyand further deduction of retention money from the bills shallcommence after adjusting this EMD amount.

    2.13.4 Period of validity of the tender

    2.13.4.1 The tender shall remain valid for the period indicated in Appendix toTender after the date of the opening of the tender. If the Tenderer gives

    validity period less than that fixed/prescribed by Employer, the tender shall

    be liable to be rejected.

    2.13.4.2 Notwithstanding the above clause, Employer may solicit the tenderers

    consent to an extension of the validity period of the tender. The request and

    the response shall be made in writing.

    2.13.5 IRCON INTERNATIONAL LIMITED shall be entitled to appropriate the BidSecurity as mutually agreed genuine pre-estimated compensation/ damages to

    IRCON INTERNATIONAL LIMITED in any of the events specified in Clause

    2.13.6

    2.13.6 Without prejudice to IRCON INTERNATIONAL LIMITEDs any other right or

    remedy here under or in law or otherwise, the Bid Security shall be forfeited and

    appropriated by IRCON INTERNATIONAL LIMITED, at its discretion, as the

    mutually agreed pre-estimated compensation and damage payable to IRCON

    INTERNATIONAL LIMITED for, inter alia, cost and effort of IRCON

    INTERNATIONAL LIMITED in regard to the RFP including the consideration

    and evaluation of the Proposal under the following conditions:

    a) If an Applicant submits a non-responsive Proposal;

    b) If an Applicant engages in a corrupt practice, fraudulent practice, coercive

    practice, undesirable practice or restrictive practice as specified in clause 4

    of this RFP;

    c) If an Applicant withdraws its Proposal during the period of its validity as

    specified in this RFP and as extended by the Applicant from time to time;

    d) In the case of the Selected Applicant, if the Applicant fails to reconfirm its

    commitments during negotiation as required vide Clause 2.18.1;

    e) In the case of a Selected Applicant, if the Applicant fails to sign the

    Agreement or commence the assignment as specified in Clause 2.22 and

    2.23 respectively;

    f) If the Proposal of an Applicant is rejected on account of its engaging in

    corrupt, fraudulent, coercive, undesirable or restrictive practices as

    specified in Clause 4.1

    2.14 Evaluation Process

    2.14.1 Evaluation of Proposals

    2.14.1.1IRCON INTERNATIONAL LIMITED would open the Proposals within an hourof the designated dead-line for receiving Proposals. The packets marked

    Technical Proposal will be opened in front of the representatives of the

    Applicants present at that time. The packet marked Financial Proposal shall be

    kept sealed for opening at a later date.

    2. 14.1.2Proposals for which a notice of withdrawal has been submitted in accordance

    with Clause 2.12 shall not be opened.

    2.14.1.3 Prior to evaluation of Proposals, IRCON INTERNATIONAL LIMITED willdetermine whether each Proposal is responsive to the requirements of the RFP. A

    Proposal shall be considered responsive only if the Proposal:

    (a) Is received by the Proposal Due Date including any extension thereof

    pursuant to Clause 2.10.2

    (b) Is stamped and signed, sealed and marked as stipulated in Clause 2.9.2 and

    Clause 2.9.5(c) Is accompanied by the Power(s) of Attorney as specified in Clause 2.2.6

    (d) Contains all the information as requested in the RFP;

    (e) Contains information in the forms specified in this RFP; and

    (f) Fulfils the Conditions of Eligibility.

    2.14.1.4IRCON INTERNATIONAL LIMITED reserves the right to reject any Proposal

    which is non-responsive and no request for alteration, modification; substitution or

    withdrawal shall be entertained by IRCON INTERNATIONAL LIMITED in

    respect of such Proposals.

    2.14.1.5IRCON INTERNATIONAL LIMITED would subsequently examine and evaluate

    Proposals in accordance with the Selection Process specified at Clause 1.6and the

    criteria set out in Section 3 of this RFP.

    2.14.1.6After the technical evaluation, IRCON INTERNATIONAL LIMITED would

    prepare a list of pre-qualified Applicants in terms of Clause 3.1.5 for opening of

    their Financial Proposals. A date, time and venue will be notified to all Applicantsfor announcing the result of evaluation and opening of Financial Proposals. Before

    opening of the Financial Proposals, the list of pre-qualified Applicants along with

    their Technical Score will be read out. The opening of Financial Proposals shall be

    done in presence of respective representatives of Applicants who choose to remain

    present. IRCON INTERNATIONAL LIMITED will not entertain any query or

    clarification from Applicants who fail to qualify at any stage of Selection Process.

    The financial evaluation and final ranking of the Proposals would be carried out in

    terms ofClauses 3.2 and 3.3.

    2.15 Confidentiality

    Information relating to the examination, clarification, evaluation, andrecommendation for the selection of Applicants shall not be disclosed to any

    person who is not officially concerned with the process or is not a retained

    professional adviser advising IRCON INTERNATIONAL LIMITED in relation to

    or matters arising out of, or concerning the Selection Process. IRCONINTERNATIONAL LIMITED will treat all information submitted as part ofProposal in confidence and would require all those who have access to suchmaterial to treat the same in confidence. IRCON INTERNATIONAL LIMITEDwill not divulge any such information unless it is directed to do so by any statutoryentity that has the power under law to require its disclosure or is to enforce orassert any right or privilege of the statutory entity and/or IRCONINTERNATIONAL LIMITED.

    2.16 Proprietary data

    All documents and other information supplied by IRCON INTERNATIONALLIMITED or submitted by an Applicant to IRCON INTERNATIONAL LIMITEDshall remain or become the property of IRCON INTERNATIONAL LIMITED.Applicants are to treat all information as strictly confidential. IRCONINTERNATIONAL LIMITED will not return any Proposal or any informationprovided along therewith.

    2.17 Clarifications

    2.17.1 To facilitate evaluation of Proposals, IRCON INTERNATIONAL LIMITED may,at its sole discretion, seek clarifications from any Applicant regarding its Proposal.Such clarification(s) shall be provided within the time specified by IRCONINTERNATIONAL LIMITED for this purpose. Any request for clarification(s)and all clarification(s) shall be in writing.

    2.17.2 If an Applicant does not provide clarifications sought under Clause 2.17.1 abovewithin the specified time, its Proposal shall be liable to be rejected. In case theProposal is not rejected, IRCON INTERNATIONAL LIMITED may proceed toevaluate the Proposal by construing the particulars requiring clarification to thebest of its understanding, and the Applicant shall be barred from subsequentlyquestioning such interpretation of IRCON INTERNATIONAL LIMITED.

    2.18 Appointment of Consultant

    2.18.1 Award of Consultancy

    2.18.1.1 Negotiations

    The first ranked Applicant may, if necessary, be invited for negotiations. Thenegotiations shall generally not be for reducing the price of the Proposal, but will

    be for re-confirming the obligations of the Consultant under this RFP. Issues suchas deployment of Key Expert, understanding of the RFP, methodology and qualityof the work plan, etc. shall be discussed during negotiations.. In case the first

    ranked Applicant fails to reconfirm his commitment, IRCON INTERNATIONALLIMITED reserves the right to invite the next ranking Applicant for negotiations.

    2.18.1.2IRCON INTERNATIONAL LIMITED will examine the CVs of all otherProfessional Expert and those who are not found suitable shall have to be replacedby the Applicant to the satisfaction of IRCON INTERNATIONAL LIMITED.

    2.18.1.3IRCON INTERNATIONAL LIMITED will examine the credentials of all Sub-Consultants proposed for part of this Consultancy and those not found suitableshall have to be replaced by the Applicant to the satisfaction of IRCONINTERNATIONAL LIMITED.

    2.19 Substitution of Key Expert

    2.19.1 IRCON INTERNATIONAL LIMITED will not normally consider request of theselected Applicant for substitution of Key Expert during negotiations as theranking of the Applicant is based on the evaluation of the Key Expert, and anychange therein may upset the ranking. Substitution, will, however be permitted if

    the Key Expert is not available for reasons of any incapacity due to health, subjectto equally or better qualified and experienced Expert being provided to thesatisfaction of IRCON INTERNATIONAL LIMITED.

    2.19.2 IRCON INTERNATIONAL LIMITED expects all the proposed Key Expert to beavailable during implementation of the Agreement. IRCON INTERNATIONALLIMITED will not consider substitution of Key Expert except under exceptionalcircumstances. Such substitution shall be limited to [not more than one] KeyExpert subject to equally or better qualified and experienced Expert being providedto the satisfaction of IRCON INTERNATIONAL LIMITED. Such substitutionshall be subject to reduction of remuneration equal to 20% of the remunerationspecified for the original Key Expert.

    2.19.3 Substitution of the Team Leader will not normally be considered and may lead todisqualification of the Applicant or termination of the Agreement.

    2.20 Indemnity

    The Consultant shall, subject to the provisions of the Agreement, indemnifyIRCON INTERNATIONAL LIMITED for any direct loss or damage that is causeddue to any deficiency in services.

    2.21 Award of Consultancy

    After selection, a Letter of Award (the LOA) shall be issued, in duplicate, by theAuthority to the selected Applicant and the Selected Applicant shall, within 7

    (seven) days of the receipt of the LOA, sign and return the duplicate copy of the

    LOA in acknowledgement thereof. In the event the duplicate copy of the LOA

    duly stamped and signed by the Selected Applicant is not received by the stipulateddate, the Authority may, unless it consents to extension of time for submissionthereof, appropriate the Bid Security of such Applicant as mutually agreed genuinepre-estimated loss and damage suffered by the Authority on account of failure ofthe Selected Applicant to acknowledge the LOA, and the next eligible Applicantmay be considered.

    2.22 Execution of Agreement

    After acknowledgement of the LOA as aforesaid by the Selected Applicant, it shallexecute the Agreement within the period prescribed in Clause 1.8. The SelectedApplicant shall not be entitled to seek any deviation in the Agreement.

    2.23 Commencement of Assignment

    The Consultant shall commence the Services at the Project site within seven daysof the date of effectiveness of the Agreement. If the Consultant fails to either signthe Agreement as specified in Clause 2.22 or commence the assignment as

    specified herein, IRCON INTERNATIONAL LIMITED may invite the secondranked Applicant for negotiations. In such an event, the Bid Security of the firstranked Applicant shall be forfeited and appropriated in accordance with theprovisions of Clause 2.13.6.

    2.24 Performance Security

    i) For contracts valuing upto Rs.1.00 Crore, no performance security shall berequired to be submitted by the Contractor.

    ii) Performance Security for Contracts valuing more than Rs. 1.00 Crore:

    iii) Within 28 days of issue of the Letter of Acceptance from theEmployer/Engineer, the successful tenderer shall furnish toEmployer/Engineer a Performance Security in the form of bankguarantee on the proforma annexed as annexure-II from anyScheduled Bank for an amount of 2% (Two percent) of the originalContract value.

    Alternatively, the performance security can be furnished by theContractor in the form of Fixed Deposit Receipt (FDR) from ascheduled bank endorsed in favour of the Employer.

    The Bank Guarantee/FDR shall be operative till the same is

    approved for discharge by the Employer/Engineer on satisfactorycompletion of work.

    iv) No payment under the contract shall be made to the Contractorbefore receipt of performance security.

    v) Failure of the successful tenderer to furnish the requiredperformance security shall be a ground for the annulment of theaward of the Contract and forfeiture of the Earnest Money Deposit.

    iii) Release of Performance Security:

    The whole of the Performance Security shall be liable to be forfeited by theEmployer/Engineer at the discretion of the Employer/Engineer, in the eventof any breach of contract on the part of the Contractor or if the Contractorfails to perform or observe any of the conditions of the contract. On dueand faithful completion of the entire work, the Performance Security shallbe returned to the Contractor, subject to the issue of Completion Certificateby the Engineer.
