Biography
Lara Nathans is a partner in our Business Law Group in Toronto and leader of our National Consumer Products
& Retail Group. Ms. Nathans regularly acts on mergers and acquisitions, corporate finance matters and
corporate reorganizations. She advises global companies entering the Canadian market on their market entry
strategies and related legal issues. In addition, she regularly provides advice to public company clients on
securities law requirements, including continuous disclosure and corporate governance and provides ongoing
corporate commercial and securities law advice to a number of private and public companies.
HER RECENT TRANSACTIONAL EXPERIENCE INCLUDES REPRESENTING:
¬ A number of significant US retailers and consumer product distributors on the establishment and
operation of their businesses in Canada;
¬ Fyffes plc in its acquisition of Highline Produce Limited, Canada’s largest mushroom business ;
¬ Fairmont Raffles Hotels International in connection with the entering into of an agreement for its sale
to Accor Hotels;
¬ New Balance and Berkshire Partners LLC in connection with their acquisition of The Rockport

Ms. Nathans has taught Advanced Securities Law at the Faculty of Law at Queen’s University and Securities
Law at the Institute of Law Clerks of Ontario. She speaks regularly on corporate and securities law matters and
on issues affecting retailers and consumer facing businesses, including at the Retail Industry Leader’s
Association’s Retail Law Conference and at the firm’s annual Consumer Products & Retail Summit.
Ms. Nathans received her BA (Hons) in History and American Studies from Brandeis University in 1992 and
graduated with her LL.B from Queen’s University in 2001. At Queen's, she was the articles editor of the
Queen's Law Journal and was awarded three multiple course awards for outstanding academic performance.

Erol Uzumeri – Biography
Erol Uzumeri is a Co-Founder and Partner of Searchlight Capital Partners, a private investment firm with over US$3.6 billion of capital operating out of offices in Toronto, New York, and London. Mr. Uzumeri currently serves as chair of the boards of Roots and M&M Foods. Prior to co-founding Searchlight, Mr. Uzumeri led the global private equity business of the Ontario Teachers' Pension Plan ("OTPP"), where he was responsible for approximately $15 billion in invested and committed capital and 50 investment professionals with offices in Toronto, London and New York. He served as Chairman of the Private Equity Investment, Underwriting and Portfolio Management committees within OTPP. Mr. Uzumeri serves on the Board of the Sick Kids Hospital Foundation. Mr. Uzumeri also served as the Chair of the Board of GCAN Insurance and as a director of Maple Leaf Sports and Entertainment, Almatis and Kabel Deutschland. Before joining OTPP, Mr. Uzumeri worked at CVC International in London, UK where he evaluated, structured and executed a number of private equity investments. Mr. Uzumeri received an Honours Degree in Industrial Engineering from the University of Toronto, a Masters in Finance from London Business School and is a graduate of the Institute of Corporate Directors.

Sam Newman is a partner in the Los Angeles office of Gibson, Dunn & Crutcher and a member of both
the Business Restructuring and Reorganization Group and the Corporate Department. His practice
involves representing creditors, debtors and other parties-in-interest in Chapter 11 cases. He also advises
buyers, sellers, lenders and borrowers in transactions involving distressed assets.

transactional matters in the restructuring of close to $1 billion in debt on a Las Vegas real estate
development.
Representation of several nationally-recognized homebuilders in restructuring credit facilities.
Special Counsel to ResMAE Mortgage Corporation for ResMAE's asset sale under Section 363 of the
Bankruptcy Code and debtor-in-possession financing.
Other transactional engagements include:
Paulson & Co. in their successful stalking horse bid for the western states assets of TOUSA Homes,

Biography
John W. Boscariol is head of the firm’s International Trade & Investment Law Group and a partner in the
Litigation Group.
John advises both private and public sector clients on the application of laws governing foreign investment and
the cross-border trade in goods, services and technology. His practice focuses on enforcement and compliance
matters regarding anti-corruption laws and policies, economic sanctions, export, import and technology transfer
controls, defence trade controls, blocking measures (Cuba), national security measures, anti-dumping,
countervail and safeguard measures, government procurement, and customs and tariffs. He has also
developed a recognized expertise in the interpretation and enforcement of international trade and investment
protection agreements, such as the EU-Canada Comprehensive Economic & Trade Agreement (CETA),
agreements of the World Trade Organization, NAFTA, bilateral investment treaties, and regional trade
agreements.
In addition to advising his clients on strategic planning, compliance and enforcement, John regularly deals with
various government agencies responsible for the administration of these laws and appears before panels,
courts, and tribunals hearing disputes involving international trade and investment matters.
John advises foreign and domestic clients across a wide range of sectors and industries impacted by
international trade and investment measures, including financial services, mining, energy, natural resources, oil
and gas, pharmaceuticals, clothing and apparel, manufacturing, technology and licensing, software,
transportation, defence, food, beverage and other consumer products, biotechnology, public-private
partnerships and infrastructure.

Biography
Robert Glasgow is an associate in the International Trade and Disputes Group in Toronto. He also maintains a
general civil and corporate/commercial litigation practice.
Robert provides advice to clients in both the public and private sector regarding the application of Canadian
trade and customs law. He has provided advice and opinions regarding NAFTA Chapter 11 claims and World
Trade Organization complaints and disputes. Robert assists his clients in interactions with and applications to
various government regulatory bodies including the Canadian Border Services Agency, the Canadian
International Trade Tribunal, and the Department of Foreign Affairs, Trade, and Development.
He also advises his clients on, and has published numerous articles on, Canadian sanctions and export control
laws and regulations. He has assisted clients in these areas with permit applications and arguments to the
appropriate government regulatory bodies. Robert also has experience in conducting anti-corruption
investigations, and has written articles on corruption and compliance issues.
In his litigation practice, Robert has appeared as counsel in hearings and appeals before the Superior Court of
Ontario and in administrative proceedings before various statutory tribunals.
Robert received his J.D. (with distinction) from the University of Western Ontario’s Faculty of Law in 2012.
While attending law school, he was awarded numerous awards for academic achievement and contributions to
the law school including the Harold G. Fox Education Fund Award and the Dean Ivan C Rand Award. Prior to
attending law school, Robert received his Bachelor of Arts in International Affairs and Public Policy from
Princeton University in 2007
Robert was called to the Ontario Bar in 2013. He is a member if the Law Society of Upper Canada, the
Canadian Bar Association and the Ontario Bar Association.

Jennifer leads National Retail Leader & Consumer Analytics Practice Leader for Deloitte Canada. She sits on the global retail executive team at the firm and leads the Consumer Analytics Center of Excellence (CoE) for Deloitte globally.Her mandate is to leverage her Retail and Consumer expertise in Omnichannel to help clients make sense of the vast quantities of data which exists in their organizations utilizing a insight-data driven approach. Jennifer is an accomplished thought leader and has presented at key industry platforms such as Deloitte's Retail Outlook, ICSC, Marketing Magazine, and BNN. While at Bell Internet, Jennifer let the strategydevelopment and operationalization of one of the largest and fastest wireless internet roll outs in the organization’s history including the retail channels.
Jennifer sits on the board of MERIT Award Bursary Program, a not for profit that helps immigrant and low income children stay in school. She also works with large international aid organizations in developing the strategic plan focused on restructuring and enhancing the performance of the microfinance institutions in Azerbaijan. She is the key strategic adviser the Azerbaijani Microfinance Association (“AMFA”) , an association of 27 microfinance institutions in Baku, The focus of her work was to promote self-sustainability and self reliance within the microfinance industry. Recently, Jennifer began working with the Asian Credit Fund, a microfinance institution which focuses on rural poor women, in Almaty, Kazakhstan in developing their 5-year growth strategy.

Biography Kirsten Thompson is a partner in our National Technology Group, and leads the firm’s national Cybersecurity, Privacy and Data Protection group. Biography
Donald B. Houston is a partner in our Competition Law Group in Toronto. He is widely recognized as one of
Canada’s leading practitioners in competition law and litigation. Mr. Houston is a former Chair of the Canadian
Bar Association’s National Competition Law Section.
Mr. Houston’s competition practice includes cartel investigations and prosecutions, mergers, civil cases before
the Competition Tribunal and private actions (including class actions) in the Courts. He has frequently

Biography
Dominic Thérien is a partner in our Competition Law Group in Montréal. Mr. Thérien advises Canadian and
international clients on all aspects of Canadian competition law, including mergers, cartel and bid-rigging

Mr. Thérien recently acted for two years as Assistant Deputy Commissioner for the Quebec and Atlantic

Christopher Hubbard is a partner in our Litigation Group in Toronto. He maintains a general litigation

Mr. Hubbard received his BA (Hons.) (Philosophy and Bio-Medical Ethics) from the University of Toronto
in 1997. He received his LLB from the University of Western Ontario in 2000 and was called to the Ontario

Online Price Advertising: Amazon to Pay $1.1 Million toSettle Canadian Competition Bureau Investigation

The Competition Bureau (Bureau) announced January 11 that Amazon.com.ca, Inc. (Amazon) has agreed topay a $1 million penalty for contravening the misleading advertising provisions under the CanadianCompetition Act including recent provisions that came into force as part of Canada’s Anti-Spam Legislation(CASL). Amazon will also pay $100,000 towards the investigative costs incurred by the Bureau. The finefollows an investigation into Amazon’s pricing practices over two years on Amazon Retail, the platform bywhich the company sells directly to consumers.
The e-commerce company has entered into a consent agreement with the Bureau to settle the investigation ofAmazon’s practices related to comparing its prices to a regular price (or “list price”) to advertise savings forconsumers. The Bureau concluded that Amazon had relied on list prices provided by suppliers, withoutverifying that those prices were prevailing market prices. The Bureau reviewed savings claims with respectto Amazon Retail advertised on amazon.ca, on Amazon mobile applications, in emails sent to consumers, aswell as in other online advertisements.
The Bureau’s investigation specifically assessed certain Blu-ray DVD products being sold by Amazon. Itfound that Amazon frequently used “You Save” claims that specified a dollar amount of savings and apercentage discount. For example, the pricing advertising might indicate:

You Save: CDN$ 10.00 (25%)
These representations created the general impression that certain products sold on www.amazon.ca wereavailable for purchase at prices lower than prevailing market prices. The Bureau reviewed Amazon’s pricingpractices under the ordinary selling price (OSP) provisions of the Competition Act (subsection 74.01(2)).The Bureau found that other suppliers had not sold the relevant Blu-ray DVDs in substantial volumes at the

advertised list prices (or higher) within a reasonable period of time (12 months) before Amazon’s advertising(the “volume test”). Likewise, other suppliers had not offered the Blu-ray DVDs for sale at list pricesadvertised by Amazon (or higher) in good faith for a substantial period of time (6 months) before Amazonmade its pricing representations (the “time test”). Because Amazon’s savings claims did not meet either the“volume test” or “time test”, the claims were found to be misleading.
The Bureau found that Amazon’s pricing practices also contravened subsection 74.011(2) of the CompetitionAct, which is the general prohibition on misleading representations in electronic messages sent to consumersthat was introduced under CASL. The Bureau recently relied on these provisions as part of its investigationinto car rental prices and discounts, and the Amazon settlement underlines the Bureau’s focus on onlineadvertising
Amazon has already changed its practices on its Canadian website to accurately represent the savingsavailable to consumers. According to the consent agreement, Amazon has adopted and implemented policiesto ensure compliance with the relevant Competition Act provisions.
This price advertising settlement follows the May 2015 consent agreement with retailer Michael’s, in whichthe company agreed to pay $3.5 million following the Bureau’s concern over price advertising for customand select ready-made framing.

Competition Bureau seeks 30M$ against Avis andBudget over non-optional fees

On March 10, 2015, the Competition Bureau brought a misleading advertising application before theCompetition Tribunal against Aviscar Inc. and Budgetcar Inc. The Bureau alleges that Avis and Budgetpromote car rentals at prices and discounts that are not attainable because customers are required to payadditional fees over the initial advertised rental price. The Bureau further alleges that Avis and Budgetmischaracterize such non-optional fees as taxes and surcharges that car rental companies are required tocollect from costumers by governments or third parties, when Avis and Budget would choose to imposethese fees to recoup part of their operating costs.
The Bureau alleges that the various added fees increase the costs of a car rental by up to approximately 35%.It is further alleged that Avis and Budget have collected more than 35M$ in non-optional fees since March2009 from customers who have rented cars online or through mobile apps.
This application is an example of an action against “drip pricing”; an enforcement priority recently referredto by a senior Bureau representative as a practice “where consumers are presented with a price for a good orservice, but not the full price until later”[1].
For the first time since the introduction of new civil provisions into the Competition Act further to theadoption of Canada’s anti-spam legislation (CASL), the Bureau is seeking remedies for misleading discountsoffered in the subject matter and main text of promotional emails. These new provisions allow the Bureau tobring an application for any false or misleading representations included in subject lines, without having todemonstrate materiality or the impact on consumers’ decision to buy the advertised product or service.
In addition to promotional emails, the Bureau targets prices and discounts offered on websites and mobileapps, as well as in print advertisements, customer service scripts, and television commercials.

basis that it planned and was essential in the making of the challenged representations. In addition, theBureau is seeking restitution to customers and the publication of corrective notices.
