1 Introduction

1.1 About The Town of Parry Sound

Hugging the shores of Georgian Bay, the Town of Parry Sound is the world renowned

jewel of the 30,000 Islands of Georgian Bay. Located approximately 2 hours north of

Toronto, and forty-five minutes away by air, Parry Sound is the commercial hub

servicing the District’s year-round and seasonal population. Parry Sound is also rich in

arts, culture and heritage, and is home to the Charles W. Stockey Centre for the

Performing Arts and Bobby Orr Hall of Fame.

The Town of Parry Sound is the small urban/commercial hub for the seven single tier

area municipalities and five First Nations communities. From a regional perspective,

the Town administers the provision of Land Ambulance Service for the District of Parry

Sound and the Provincial Offences Court for 19 partnering municipalities.

Council’s Strategic Directives include: Active Living, Growth and Development, West

Parry Sound Area Cooperation, Our Community and Organizational Excellence.

2 General Terms Part 2 of this proposal document sets out a Summary of Requirements and outlines the

General Terms and Conditions.

The Corporation of the Town of Parry Sound shall hereby be referred to as the “Town”

throughout this document.

2.1 Purpose

The Town is in the process of selecting an Insurer to provide insurance and risk

management services in the areas contained within this Request for Proposal.

Through this Request for Proposal, the Town seeks to:

• Specify the terms and conditions that would govern any resulting policy

• Select the successful proponent, if any.

This Request for Proposal states the instructions for submitting proposals, and the

procedures and criteria by which the successful proponent will be selected.

2.2 Proposal Submissions

Any change notices, appendices and addenda issued for this Request for Proposal shall

be considered part of this proposal document.

The proposal shall be submitted in two sealed envelopes. The first envelope is to

include an original and eight (8) copies of each of the above noted proposal excluding

all costs. At least two (2) copies will contain complete copies of specimen wordings of

each policy proposed. The second envelope is to include an original and eight (8)

copies of the detailed costs/fees of providing the Insurance and Risk Management

Program (include Proposal Submission Form). Envelopes shall be sealed and plainly

marked “RFP FOR GENERAL INSURANCE AND RISK MANAGEMENT SERVICES PROGRAM – RFP F2017-01.” Your proposal must be written in ink or type written.

Erasure, overwriting or strike-outs must be initialed by the person signing on behalf of

the proponent.

Fax, email or electronic proposals are not acceptable.

Proposals shall not be accepted after the closing date and time. Proponents may not

make modifications to their Proposals after the closing date and time.

All proposals shall become the property of the Town.

It is the responsibility of each proponent to submit all required documents as outlined in

this Request for Proposal. Failure to quote on all options set out will disqualify your

proposal.

2.3 Proponent Responsibility

The proponent accepts full responsibility to understand all operations and activities of

the Town (including all of its assets) that require insurance.

2.4 Proposal Expiry Date

The proposals shall remain open for acceptance by the Town for a period of not less

than sixty (60) days from the due date for the receipt of proposals.

2.5 Modified Proposals

In the event that a preferred proposal does not entirely meet the Town’s requirements,

the Town reserves the right to enter into negotiations with the selected proponent to

arrive at a mutually satisfactory arrangement with respect to any terms or modifications

to the proposal.

2.6 Conflict of Interest.

Proponents must disclose to the Town in their Proposal any potential conflict of interest,

including any which may involve Town employees, Council members or members or

employees of Town agencies, boards or commission who may have a financial interest

in a Proponent. If such conflict of interest does exist the Town may, at its discretion,

refuse to consider the Proposal.

2.7 Non-Collusion

A proponent shall not discuss or communicate, directly or indirectly, with any other

Proponent or their agent or representative about the preparation of their Proposals.

Each Proponent shall attest that its participation in the RFP process is conducted

without collusion or fraud. If the Town discovers there has been a breach of this

requirement at any time, the Town reserves the right to disqualify the Proposal or to

terminate any ensuing Agreement.

2.8 Irrevocable Offer

The proponent hereby acknowledges that offers contained within your response to this

Request for Proposal shall remain open for acceptance by the Town for a period of not

less than sixty (60) days from the due date of this Request for Proposal.

2.9 Proposal Costs

The Town is not liable for any costs incurred by Brokers or Insurers in preparing

responses to this Request for Proposal or for any work performed prior to official

appointment by the Town.

2.10 Municipal Contact for RFP

If a proponent discovers any inconsistency, discrepancy, ambiguity, error, or omission in

this Request for Proposal, it must notify the Town immediately in writing.

Any revision to this Request for Proposal will be issued as an addendum to all

proponents.

2.11 Schedule of Events

The following schedule is provided for planning purposes only. The Town may alter this

schedule at any time and accepts no responsibility for adherence to this schedule:

C. Due Date for Submission of Proposal – November 10th, 2017

D. Evaluation of RFP and clarification of Proposal Responses – November 17th,

Nine (9) copies of your proposals must be received in the Municipal Office no later than

3 P.M. local time, November 10th, 2017.

Envelopes shall be sealed and plainly marked “RFP FOR GENERAL INSURANCE AND RISK MANAGEMENT SERVICES PROGRAM – RFP F2017-01.”

Proposals will be signed by an official authorized to bind the Brokers and Insurers and

will provide the name(s), title(s), address, and telephone number of the individual(s) to

be contacted during the evaluation process.

Specimen wordings of all proposed policy wordings must be included in two (2) copies.

Proposals received later than the specified closing date and time will be returned

unopened to the proponent.

As this is a proposal document for which a number of criteria will be evaluated, only the

names of the proponents who have submitted a proposal will be identified at the

opening and the price submitted will not be disclosed.

The Town reserves the right to alter the date of the proposal or to cancel this proposal

without any penalty or cost to the Town of Parry Sound.

2.12 Selection Process

The Town will not necessarily accept the lowest price or any proposal. Any implication

that the lowest price or any proposal will be accepted is hereby expressly negated.

2.12.1 Selection

The General Insurance and Risk Management Services Program will be selected based

upon evaluation criteria developed by the Town which in its sole discretion will

determine the manner in which each response to this Request for Proposal meets the

evaluation criteria.

2.12.2 Evaluation Criteria

Each response to this Request for Proposal will be evaluated by the Town to determine

the degree to which it responds to the requirements as set out. Because this is a

Request for Proposal, other factors in addition to price will be considered when

submissions are evaluated. Criteria to be considered will include, but not necessarily be

limited to:

Should the Town of Parry Sound have questions which arise during the evaluation

process, you may be contacted for clarification.

2.13 Rejection of Proposals

This Request for Proposal should not be construed as an agreement to purchase goods

or services. The Town reserves the right to reject any and/or all proposals received.

The Town is not under any obligation to award a contract, and reserves the right to

terminate the Request for Proposal at any time for any reasons, and to withdraw from

discussions with all or any of the proponents who have responded. The receipt and

opening of a proposal does not constitute acceptance of any proposal. Lowest or any

proposal not necessarily accepted.

2.14 Confidentiality

The Town and the proponent agree that the content of each response to this Request

for Proposal will be held in the strictest confidence, and details of any response will not

be discussed with any other party. By submitting a response to this Request for

Proposal, each proponent, broker and insurer agrees not to disclose at any time. Only

information subject to the Municipal Freedom of Information and Protection of Privacy

Act (MFIPPA) may be disclosed. The Town agrees to notify the proponent should a

request for information be received.

2.15 Term of Agreement

The successful proponent will provide services to and arrange insurance for the Town

for the upcoming policy term, from December 15, 2017 to December 15, 2018. Based

on satisfactory performance and service, subsequent renewals may be granted.

2.16 Coverage

Details of the Town’s required coverage and deductibles are set out in the Coverage

Specifications Section. The following highlights some of the key requirements:

• Tax: All Premiums shown shall be actual premiums, exclusive of applicable

provincial and/or federal taxes, which shall be additional to premiums shown.

• Subscription Identification: If more than one Insurer is proposed for a selected

coverage, each Insurer and percentage of subscription is to be identified for each

class of insurance and the proponent must warrant that all subscriptions are firm

authorizations.

• Wordings: Insurers may quote on their own wordings as long as all conditions

are met by the wordings. The Town will require that original specimen wordings

must accompany the proposal showing all Terms, Conditions and Exclusions. It

is mandatory that deviations from the coverage requested be outlined in full in a

separate section, marked “Deviations”.

• Assignment/Transfer: The successful proponent will not assign or transfer any

portion of the proposal submitted and subsequently accepted without receiving

prior approval to do so by the Town.

• Coverages: At any time of this Agreement the Town reserves the right to

increase coverage for insurance purposes, or to add additional items to the

respective policies or to increase or decrease deductibles, all of which may be

subject to increases/decreases to premium costs.

If coverages exceed those set out in the “Coverage Requirements”, proponents must

include a separate Recommendations section to their submission outlining

enhancements and costs associated.

2.17 Reservation Right

Proponents will not have the right to change conditions, terms or prices of the proposal

once the proposal has been submitted in writing to the Town, nor shall proponents have

the right to withdraw a proposal once it has been submitted.

The lowest or any proposal will not necessarily be accepted.

2.18 Governing Law

Any contract resulting from this Request for Proposal shall be governed by and

interpreted in accordance with the laws of the Province of Ontario.

2.19 Cancellation

All insurance policies shall require a ninety (90) day written notice of cancellation by the

Insurer, unless otherwise noted and agreed to by the Insured.

3 Qualifying Requirements This request for proposal is to contract with a full service brokerage firm, which will

support the Town’s Insurance and Risk Management Program.

These services at a minimum must include insurance policy placement, administrative

support, claim support services and review, fleet safety, exposure and analysis.

The Town works closely with its insurance broker and communication may need to

occur on a regular (daily or weekly) basis. All costs associated with this arrangement are the responsibility of the proponent and therefore are assumed to be included in the proposal pricing submission.

In order to qualify for consideration, the brokerage team must have the ability to

undertake at a minimum the following functions:

1) Negotiation and placement of insurance contracts, specific to meet the Town’s

requirements, with the broadest available terms and conditions at premiums

commensurate with the state of the insurance market.

2) Placement of coverage with financially stable insurers, licensed to transact

business in the Province of Ontario.

3) Production of timely and accurate insurance documentation (policies, binders,

certificates, etc.).

4) Provision of timely and relevant information on the status of the insurance market

including available coverages, terms, conditions and pricing.

5) Production and maintenance of accurate and up to date insurance summaries for

each insurance policy.

6) Production of loss claims data reports.

7) Production of premium breakdowns for departmental allocations.

8) Attendance by Account Executive and/or other personnel as required at various

insurance and risk management meetings.

9) Assistance as and when required in:

a. The establishment and review of internal risk management procedures,

guidelines manuals and systems;

b. The preparation and review of various contracts and agreements;

c. Conducting risk identification, evaluation and retention exercises.

10) Preparation and delivery at least sixty (60) days prior to renewal of policies, a

report including:

a. A detailed claims schedule including reserves of outstanding claims;

b. The renewal premium with details and explanations for any changes in

pricing, coverage, terms and conditions;

c. Proposed renewal strategy and any recommended changes to policies,

terms and conditions;

d. Details regarding any changes to policies, terms and conditions imposed

by the insurer.

11) Provision of safety and loss control services including:

a. Inspection of all facilities by qualified personnel as required by the Town;

b. Conducting loss control and risk management seminars;

c. Preparing loss prevention guidelines and circulars;

d. Establishing and reviewing other safety procedures as and when required.

Please provide details of all available risk management services included in your

proposal.

4 General Questions The Town of Parry Sound requires the following information about your company to

assist in the review of your proposal. Please respond to the following items enclosing

any supporting documentation you find necessary.

1) Please ensure you have followed and responded to all items detailed in the

sections throughout this Request for Proposal.

2) Please provide the following items:

a. A brief history of your company.

b. A list of your offices and how long your organization has been conducting

business in Ontario/Canada.

3) Are you aware of any anticipated major changes in your company in the near

future?

4) What experience does your company have in the municipal or public insurance

sector? Please supply a list of your municipal and/or public entity accounts, and

include the name, title and telephone number of at least three (3) persons who

can be contacted for references.

5) How many people would be assigned to and/or responsible for the Town’s

accounts?

6) Describe briefly the qualifications and experience of the person(s) responsible for

the Town’s account.

7) What assistance or processes is your company able to provide for the

assessment of insurable values and updating of all property values?

8) Please provide an assessment of the current insurance market conditions. What

changes does your company expect in the market in both the short and long-

term?

5 Service Requirements Please provide responses to the following.

5.1 Risk Management Services

The Town is interested in receiving information on new and innovative ways to manage

its risks and insurance requirements during the policy period.

Include in your response an overview of the Risk Management Services (including

seminars and training) that you have provided to your municipal clients within the

Province of Ontario, of a similar size and scope of operations as the Corporation of the

Town of Parry Sound within the last three (3) years.

Information should be included in your proposal regarding any advisory services that

are included in the premium, and those which are provided on a fee for service basis.

5.2 Claims Management Services

Please describe in detail how claims for the Town will be handled. Provide an overview

of the Claims Management Program that your organization would use. Outline the

claim/incident reporting procedure(s) that would be implemented to standardize this

process in a multi-site operation.

Discuss the use of adjusters, legal representatives, investigation and settlements.

5.3 Added Value Service

Proponents are encouraged to include any innovative enhancements/recommendations

which in their opinion would improve the Town’s Insurance and Risk Management

Programs. Please provide such recommendations on a separate, clearly titled

document.

5.4 Premium Breakdown

The successful proponent may be requested twice yearly to provide a detailed

breakdown of the annual premium by department and/or function for the various classes

of insurance (budget and final billing). Applicable PST, GST/HST and other taxes must

be separately indicated and included in the proposal premium.

5.5 Renewal Premium Quotations

The Town is requesting confirmation that annual renewal premiums will be provided not

later than sixty (60) days prior to expiry of premiums. Please specifically address this in your proposal.

6 Coverage Specifications Coverage requirements for policies are outlined on the following schedules:

Copies of specimen wordings are to be included in two (2) copies of the proponent’s

submission for each policy quoted, including all endorsements. Furthermore, a

summary of coverage should be included, identifying all limits, sub-limits, and

deductibles that apply.

Proponents may also include quotes on different limits of coverage and/or different

deductible options for the various classes of insurance. The additional premium or

savings resulting from these should be clearly identified under the appropriate section of

the Proposal Submission Form.
