CERTIFICATIONANDDISCLOSURESTATEMENTSFollowing is an explanation of submittal requirements of the Suspension and DebarmentCertificationStatementandtheCertificationRegardingLobbyingbySchoolFoodAuthorities(SFA)andFoodServiceManagement/ConsultingCompanies.
Beginning with the 1998/99 school year, instructions to comply with procurementrequirements by completionof these certificationswill be included in the annual renewal ofSchoolNutritionPrograms.Theapplicabilityofthisinformationbeginswiththe1998/99schoolyearandisforSFAsthatmeetoneofthefollowingcriteria:• TheSFA’sestimatedannualfederalchildnutritionreimbursementwillexceed$100,000.• TheSFA’sannualcontractwithavendorexceeds$100,000.• The SFA utilizes a Food Service Management or Consulting Company and the annual
contractexceeds$100,000.
SuspensionandDebarmentCertificationThis certification is required to be completedby the contractor each time an SFA renewsorextendsanexistingcontractthatexceeds$100,000.ThecertificationisalsorequiredwhenanSFAputsoutbidsforgoodsandservicesthatwillexceed$100,000.Intheseinstances,theSFAmust obtain a completed Suspension andDebarment Certification from either the potentialvendororexistingcontractorbeforeanytransactionscanoccurbetweenthesponsorandthevendororcontractor(7CFR3017.110).Thiscertificationisrequiredaspartoftheoriginalbid,contract renewal, or contract extension to assure the SFA that the vendor or any of its keyemployees have not been proposed for debarment, debarred, or suspended by a Federalagency. While this certification is required for all contracts in excess of $100,000, it isrecommended that they be routinely requested under all procurements. The completedcertificationistobeattachedtothesignedcontractandmaintainedonfilebytheSFA.DonotsubmitthecertificationtotheCaliforniaDepartmentofEducation.
CertificationRegardingLobbyingSFAsthatreceive inexcessof$100,000 inannual federalmeal reimbursementmustannuallycomplete and submit this certification statement to the California Department of Education(CDE), Child Nutrition and Food Distribution Division (CNFFD). The statement is part of theannual renewal of the SFA’s agreement with the California Department of Education, ChildNutritionandFoodDistributionDivision.
Inaddition,whenSFAsputoutbidsforgoodsandservicesorrenew/extendexistingcontractsthat exceed the $100,000 threshold, they are required to obtain a completed CertificationRegardingLobbyingfromeitherthepotentialvendorsand/orexistingcontractorsbeforeanytransactionscanoccurbetweentheSFAand thevendororcontractor (7CFR3018.110).Thiscertificationisrequiredaspartoftheoriginalbid,contractrenewal,orcontractextensionandisnotsubmittedtheCDE.AlsoenclosedistheDisclosureofLobbyingActivitiesform.Thisisrequiredtobecompletedifthe potential or existing contractor, using other than federal funds, has paid or will pay forlobbyingactivities in connectionwith the schoolnutritionprogramagreement (Item2of theCertificationRegardingLobbyingstatement).

ApplicabletoBothCertificationStatements• Federal law prohibits SFAs from circumventing the $100,000 threshold by entering into
multiple contracts; each of which do not equal or exceed $100,000, but the aggregateamountofallthecontractswillequalorexceed$100,000.
• VendorsmustsubmitcompletedcertificationstotheSFAaspartoftheoriginalbid,contractrenewal,orcontractextension.Ifcompletedcertificationsarenotincluded,theoriginalbidisconsiderednonresponsive,andthecontractrenewalorextensionisincomplete.InorderfortheSFAtoconsidertheoriginalbidorrenew/extendtheoriginalcontract,thevendorsmusthavesubmittedcurrentcertificationstotheSFA.
SFAswithFoodServiceManagementorConsultingContractsSFAsutilizingfoodservicemanagementorconsultingcompaniesmustincludebothcertificationstatements in all Requests for Proposals (RFP). SFAs must retain the certifications with itsdocumentation of new contracts and contract amendments/renewals submitted to the CDE,CNFDD,forapproval.ThefoodservicemanagementorconsultingcompanymustannuallysignandsubmittotheSFAboththeSuspensionandDebarmentCertificationandtheCertificationRegarding Lobbying. If receiving more than $100,000 in federal reimbursement, the SFA isrequiredtosignandsubmittheCertificationRegardingLobbyingtotheCDE,CNFDD.
