TheproposalmustbeexpressedinEnglish,andvalidaminimumperiodof90days.Inthecourseofpreparingyourproposal,itshallremainyourresponsibilitytoensurethatitreachestheaddressaboveonorbeforethedeadline.ProposalsthatarereceivedbyUNDPafterthedeadlineindicatedabove,forwhateverreason,shallnotbeconsideredforevaluation.Ifyouaresubmittingyourproposalbyemail,kindlyensurethattheyaresignedandinthepdf.Format,andfreefromanyvirusorcorruptedfiles.ServicesproposedshallbereviewedandevaluatedbasedoncompletenessandcomplianceoftheproposalandresponsivenesswiththerequirementsoftheRFPandallotherannexesprovidingdetailsofUNDPrequirements.Theproposalthatcomplieswithallrequirements,meetsalltheevaluationcriteriaandoffersthebest value formoney shall be selected and awarded the contract. Any offer that does notmeet therequirementsshallberejected.Anydiscrepancybetweentheunitpriceandthetotalpriceshallbere-computedbyUNDP,andtheunitpriceshallprevailandthetotalpriceshallbecorrected.IftheserviceproviderdoesnotacceptthefinalpricebasedonUNDP’sre-computationandcorrectionoferrors,itsproposalwillberejected.Nopricevariationduetoescalation,inflation,fluctuationinexchangerates,oranyothermarketfactorsshallbeacceptedbyUNDPafterithasreceivedtheproposal.Atthetimeofawardofthecontract,orpurchaseorder,UNDPreservestherighttovary(increaseordecrease)thequantityofservicesand/or

Section2:InstructiontoProposers1Definitions
a) “Contract” refers to the agreement that will be signed by and between the UNDP and thesuccessful proposer, all the attached documents thereto, including the General Terms andConditions(GTC)andtheAppendices.
b) “Country”referstothecountryindicatedintheDataSheet.
c) “DataSheet”referstosuchpartoftheInstructionstoProposersusedtoreflectconditionsofthetenderingprocessthatarespecificfortherequirementsoftheRFP.
d) “Day”referstocalendarday.
e) “Government” refers to the Government of the country that will be receiving the servicesprovided/renderedspecifiedundertheContract.
f) “InstructionstoProposers” (Section2oftheRFP)referstothecompletesetofdocumentsthatprovidesProposerswithall informationneededandprocedurestobefollowedinthecourseofpreparingtheirProposals
g) “LOI”(Section1oftheRFP)referstotheLetterofInvitationsentbyUNDPtoProposers.
h) “MaterialDeviation”referstoanycontentsorcharacteristicsoftheproposalthatissignificantlydifferentfromanessentialaspectorrequirementoftheRFP,and:(i)substantiallyaltersthescopeandqualityoftherequirements;(ii)limitstherightsofUNDPand/ortheobligationsoftheofferor;and(iii)adverselyimpactsthefairnessandprinciplesoftheprocurementprocess,suchasthosethatcompromisethecompetitivepositionofotherofferors.
i) “Proposal”referstotheProposer’sresponsetotheRequestforProposal,includingtheProposal
SubmissionForm,TechnicalandFinancialProposalandallotherdocumentationattachedtheretoasrequiredbytheRFP.
j) “Proposer” refers to any legal entity that may submit, or has submitted, a Proposal for theprovisionofservicesrequestedbyUNDPthroughthisRFP.
k) “RFP”referstotheRequestforProposalsconsistingof instructionsandreferencespreparedby
UNDPforpurposesofselectingthebestserviceprovidertoperformtheservicesdescribedintheTermsofReference.
l) “Services”referstotheentirescopeoftasksanddeliverablesrequestedbyUNDPundertheRFP.

m) “Supplemental Information to theRFP” refers to awritten communication issuedbyUNDP toprospectiveProposerscontainingclarifications,responsestoqueriesreceivedfromprospectiveProposers,orchangestobemadeintheRFP,atanytimeafterthereleaseoftheRFPbutbeforethedeadlineforthesubmissionofProposals.
n) “Terms of Reference” (TOR) refers to the document included in this RFP as Section 3 which
describes the objectives, scope of services, activities, tasks to be performed, respectiveresponsibilitiesoftheproposer,expectedresultsanddeliverablesandotherdatapertinenttotheperformanceoftherangeofdutiesandservicesexpectedofthesuccessfulproposer.
A. GENERAL
1. UNDPherebysolicitsProposalsinresponsetothisRequestforProposal(RFP).Proposersmust
strictlyadheretoalltherequirementsofthisRFP.Nochanges,substitutionsorotheralterationstotherulesandprovisionsstipulatedinthisRFPmaybemadeorassumedunlessitisinstructedorapprovedinwritingbyUNDPintheformofSupplementalInformationtotheRFP.
2. Submission of a Proposal shall be deemed as an acknowledgement by the Proposer that all
obligationsstipulatedbythisRFPwillbemetand,unlessspecifiedotherwise,theProposerhasread,understoodandagreedtoalltheinstructionsinthisRFP.
3. AnyProposalsubmittedwillberegardedasanofferbytheProposeranddoesnotconstituteor
implytheacceptanceofanyProposalbyUNDP.UNDPisundernoobligationtoawardacontracttoanyProposerasaresultofthisRFP.
4. UNDPimplementsapolicyofzerotoleranceonproscribedpractices,includingfraud,corruption,
collusion,unethicalpractices,andobstruction.UNDPiscommittedtopreventing,identifyingandaddressingallactsoffraudandcorruptpracticesagainstUNDPaswellasthirdpartiesinvolvedinUNDPactivities.(Seehttp://www.undp.org/content/dam/undp/library/corporate/Transparency/UNDP_Anti_Fraud_Policy_English_FINAL_june_2011.pdfandhttp://www.undp.org/content/undp/en/home/operations/procurement/protestandsanctions/forfulldescriptionofthepolicies)
5. InrespondingtothisRFP,UNDPrequiresallProposerstoconductthemselvesinaprofessional,
objectiveand impartialmanner,and theymustatall timesholdUNDP’s interestsparamount.Proposersmust strictly avoid conflictswith other assignments or their own interests, and actwithoutconsiderationforfuturework.AllProposersfoundtohaveaconflictofinterestshallbedisqualified. Without limitation on the generality of the above, Proposers, and any of theiraffiliates, shall be considered to have a conflict of interest with one ormore parties in thissolicitationprocess,ifthey:5.1 Areorhavebeenassociatedinthepast,withafirmoranyofitsaffiliateswhichhavebeen
engagedUNDPtoprovideservicesforthepreparationofthedesign,specifications,Termsof Reference, cost analysis/estimation, and other documents to be used for theprocurementofthegoodsandservicesinthisselectionprocess;

5.2 Wereinvolvedinthepreparationand/ordesignoftheprogramme/projectrelatedtotheservicesrequestedunderthisRFP;or
5.3 Are found to be in conflict for any other reason, as may be established by, or at thediscretionof,UNDP.
Intheeventofanyuncertaintyintheinterpretationofwhatispotentiallyaconflictofinterest,proposersmustdisclosetheconditiontoUNDPandseekUNDP’sconfirmationonwhetherornotsuchconflictexists.
6. Similarly,theProposersmustdiscloseintheirproposaltheirknowledgeofthefollowing:6.1 That they are owners, part-owners, officers, directors, controlling shareholders, or they
havekeypersonnelwhoarefamilyofUNDPstaff involved intheprocurementfunctionsand/or the Government of the country or any Implementing Partner receiving servicesunderthisRFP;and
6.2 Allothercircumstancesthatcouldpotentiallyleadtoactualorperceivedconflictofinterest,collusionorunfaircompetitionpractices.
Failureofsuchdisclosuremayresultintherejectionoftheproposalorproposalsaffectedbythenon-disclosure.
7. TheeligibilityofProposersthatarewhollyorpartlyownedbytheGovernmentshallbesubjectto
UNDP’s further evaluation and review of various factors such as being registered as anindependententity,theextentofGovernmentownership/share,receiptofsubsidies,mandate,accesstoinformationinrelationtothisRFP,andothersthatmayleadtoundueadvantageagainstotherProposers,andtheeventualrejectionoftheProposal.

Proposersarerequiredtocomplete,signandsubmitthefollowingdocuments:9.1 ProposalSubmissionCoverLetterForm(seeRFPSection4);9.2 DocumentsEstablishingtheEligibilityandQualificationsoftheProposer(seeRFPSection5);9.3 TechnicalProposal(seeprescribedforminRFPSection6);9.4 FinancialProposal(seeprescribedforminRFPSection7);9.5 ProposalSecurity,ifapplicable(ifrequiredandasstatedintheDataSheet(DSnos.9-11),

10. ClarificationofProposal
10.1 ProposersmayrequestclarificationsofanyoftheRFPdocumentsnolaterthanthedate

indicatedintheDataSheet(DSno.16)priortotheproposalsubmissiondate.AnyrequestforclarificationmustbesentinwritingviacourierorthroughelectronicmeanstotheUNDPaddressindicatedintheDataSheet(DSno.17).UNDPwillrespondinwriting,transmittedbyelectronicmeansandwilltransmitcopiesoftheresponse(includinganexplanationofthequerybutwithoutidentifyingthesourceofinquiry)toallProposerswhohaveprovidedconfirmationoftheirintentiontosubmitaProposal.
10.2 UNDPshallendeavortoprovidesuchresponsestoclarificationsinanexpeditiousmanner,
butanydelayinsuchresponseshallnotcauseanobligationonthepartofUNDPtoextendthesubmissiondateoftheProposals,unlessUNDPdeemsthatsuchanextensionisjustifiedandnecessary.
11. AmendmentofProposals
11.1 AtanytimepriortothedeadlineofProposalsubmission,UNDPmayforanyreason,such
asinresponsetoaclarificationrequestedbyaProposer,modifytheRFPintheformofaSupplementalInformationtotheRFP.AllprospectiveProposerswillbenotifiedinwritingofallchanges/amendmentsandadditionalinstructionsthroughSupplementalInformationtotheRFPandthroughthemethodspecifiedintheDataSheet(DSNo.18).
11.2 InordertoaffordprospectiveProposersreasonabletimetoconsidertheamendmentsin
preparingtheirProposals,UNDPmay,atitsdiscretion,extendthedeadlineforsubmissionofProposals,ifthenatureoftheamendmenttotheRFPjustifiessuchanextension.
C.PREPARATIONOFPROPOSALS
12. Cost
TheProposer shallbearanyandall costs related to thepreparationand/or submissionof theProposal, regardless of whether its Proposal was selected or not. UNDP shall in no case beresponsibleorliableforthosecosts,regardlessoftheconductoroutcomeoftheprocurementprocess.
13. Language
The Proposal, as well as any and all related correspondence exchanged by the Proposer andUNDP,shallbewritten in the language(s)specified in theDataSheet (DSNo4). AnyprintedliteraturefurnishedbytheProposerwritteninalanguageotherthanthelanguageindicatedintheDataSheet,mustbeaccompaniedbyatranslationinthepreferredlanguageindicatedintheDataSheet.ForpurposesofinterpretationoftheProposal,andintheeventofdiscrepancyorinconsistencyinmeaning,theversiontranslatedintothepreferredlanguageshallgovern.Uponconclusionofacontract,thelanguageofthecontractshallgoverntherelationshipbetweenthecontractorandUNDP.
14. ProposalSubmissionFormTheProposershallsubmittheProposalSubmissionFormusingtheformprovidedinSection4

ofthisRFP.
15. TechnicalProposalFormatandContentUnlessotherwisestatedintheDataSheet(DSno.28),theProposershallstructuretheTechnicalProposalasfollows:
15.1 ExpertiseofFirm/Organization–thissectionshouldprovidedetailsregardingmanagement
structure of the organization, organizational capability/resources, and experience oforganization/firm, the list of projects/contracts (both completed and on-going, bothdomesticandinternational)whicharerelatedorsimilarinnaturetotherequirementsoftheRFP,andproofoffinancialstabilityandadequacyofresourcestocompletetheservicesrequiredbytheRFP(seeRFPclause18andDSNo.26forfurtherdetails).ThesameshallapplytoanyotherentityparticipatingintheRFPasaJointVentureorConsortium.
15.2 Proposed Methodology, Approach and Implementation Plan – this section should
demonstratetheProposer’sresponsetotheTermsofReferencebyidentifyingthespecificcomponents proposed, how the requirements shall be addressed, as specified, point bypoint; providing a detailed description of the essential performance characteristicsproposed; identifying the works/portions of the work that will be subcontracted; anddemonstratinghowtheproposedmethodologymeetsorexceedsthespecifications,whileensuringappropriatenessoftheapproachtothelocalconditionsandtherestoftheprojectoperatingenvironment.ThismethodologymustbelaidoutinanimplementationtimetablethatiswithinthedurationofthecontractasspecifiedintheDataSheet(DSnos.29and30).
Proposersmustbe fullyawarethat theproductsorservicesthatUNDPrequiresmaybetransferred, immediately or eventually, byUNDP to theGovernment partners, or to anentitynominatedby the latter, in accordancewithUNDP’spolicies andprocedures. Allproposersarethereforerequiredtosubmitthefollowingintheirproposals:a) Astatementofwhetherany importorexport licencesarerequired inrespectofthe
goods to be purchased or services to be rendered, including any restrictions in thecountry of origin, use or dual use nature of the goods or services, including anydispositiontoendusers;and
b) ConfirmationthattheProposerhasobtainedlicenseofthisnatureinthepast,andhavean expectation of obtaining all the necessary licenses, should their Proposal berenderedthemostresponsive.
15.3 ManagementStructureandKeyPersonnel–Thissectionshouldincludethecomprehensive
curriculumvitae(CVs)ofkeypersonnelthatwillbeassignedtosupporttheimplementationof theproposedmethodology,clearlydefining therolesandresponsibilitiesvis-à-vis theproposedmethodology.CVsshouldestablishcompetenceanddemonstratequalificationsinareasrelevanttotheTOR.
In complying with this section, the Proposer assures and confirms to UNDP that thepersonnelbeingnominatedareavailablefortheContractonthedatesproposed.Ifanyofthekeypersonnellaterbecomesunavailable,exceptforunavoidablereasonssuchasdeath

ormedical incapacity,amongotherpossibilities,UNDPreservestherighttoconsidertheproposal non-responsive. Anydeliberate substitutionarising fromunavoidable reasons,includingdelayintheimplementationoftheprojectofprogrammethroughnofaultoftheProposershallbemadeonlywithUNDP’sacceptanceofthejustificationforsubstitution,andUNDP’sapprovalofthequalificationofthereplacementwhoshallbeeitherofequalorsuperiorcredentialsastheonebeingreplaced.
15.4 Where the Data Sheet requires the submission of the Proposal Security, the Proposal
SecurityshallbeincludedalongwiththeTechnicalProposal.TheProposalSecuritymaybeforfeitedbyUNDP,andrejecttheProposal,intheeventofanyoranycombinationofthefollowingconditions:
a) IftheProposerwithdrawsitsofferduringtheperiodoftheProposalValidityspecified
intheDataSheet(DSno.11),or;b) IftheProposalSecurityamountisfoundtobelessthanwhatisrequiredbyUNDPas
indicatedintheDataSheet(DSno.9),or;c) InthecasethesuccessfulProposerfails:
i. tosigntheContractafterUNDPhasawardedit;ii. tocomplywithUNDP’svariationofrequirement,asperRFPclause35;oriii. tofurnishPerformanceSecurity,insurances,orotherdocumentsthatUNDPmay
require as a condition to rendering the effectivity of the contract thatmay beawardedtotheProposer.
16. FinancialProposals
TheFinancialProposalshallbepreparedusingtheattachedstandardform(Section7).Itshalllistallmajorcostcomponentsassociatedwiththeservices,andthedetailedbreakdownofsuchcosts.AlloutputsandactivitiesdescribedintheTechnicalProposalmustbepricedseparatelyonaone-to-onecorrespondence.AnyoutputandactivitiesdescribedintheTechnicalProposalbutnot priced in the Financial Proposal, shall be assumed to be included in the prices of otheractivitiesoritems,aswellasinthefinaltotalprice.
17. Currencies
AllpricesshallbequotedinthecurrencyindicatedintheDataSheet(DSno.15).However,whereProposalsarequotedindifferentcurrencies,forthepurposesofcomparisonofallProposals:
a) UNDPwillconvertthecurrencyquotedintheProposalintotheUNDPpreferredcurrency,in
accordancewiththeprevailingUNoperationalrateofexchangeonthelastdayofsubmissionofProposals;and
b) Intheeventthattheproposal foundtobethemostresponsivetotheRFPrequirement isquotedinanothercurrencydifferentfromthepreferredcurrencyasperDataSheet(DSno.15), then UNDP shall reserve the right to award the contract in the currency of UNDP’spreference,usingtheconversionmethodspecifiedabove.
Proposalssubmittedbytwo(2)ormoreProposersshallallberejectediftheyarefoundtohaveanyofthefollowing:

a) theyhaveatleastonecontrollingpartner,directororshareholderincommon;orb) anyoneofthemreceiveorhavereceivedanydirectorindirectsubsidyfromtheother/s;orc) theyhavethesamelegalrepresentativeforpurposesofthisRFP;ord) theyhavearelationshipwitheachother,directlyorthroughcommonthirdparties,thatputs
them in a position to have access to information about, or influence on the Proposal of,anotherProposerregardingthisRFPprocess;
e) theyare subcontractors toeachother’sProposal,ora subcontractor tooneProposalalsosubmitsanotherProposalunderitsnameasleadProposer;or
f) anexpertproposedtobeintheteamofoneProposerparticipatesinmorethanoneProposalreceivedforthisRFPprocess.ThisconditiondoesnotapplytosubcontractorsbeingincludedinmorethanoneProposal.
18. DocumentsEstablishingtheEligibilityandQualificationsoftheProposer
TheProposershallfurnishdocumentaryevidenceofitsstatusasaneligibleandqualifiedvendor,using the forms provided under Section 5, Proposer Information Forms. In order to award acontract to a Proposer, its qualifications must be documented to UNDP’s satisfaction. Theseinclude,butarenotlimitedto,thefollowing:a) That,inthecaseofaProposerofferingtosupplygoodsundertheContractwhichtheProposer
didnotmanufactureorotherwiseproduce, theProposerhasbeendulyauthorizedby thegoods’manufacturerorproducertosupplythegoodsinthecountryoffinaldestination;
b) ThattheProposerhasthefinancial,technical,andproductioncapabilitynecessarytoperformtheContract;and
c) That,tothebestoftheProposer’sknowledge,itisnotincludedintheUN1267/1989ListortheUNIneligibilityList,norinanyandallofUNDP’slistofsuspendedandremovedvendors.
19. JointVenture,ConsortiumorAssociation
IftheProposerisagroupoflegalentitiesthatwillformorhaveformedajointventure,consortiumorassociationatthetimeofthesubmissionoftheProposal,theyshallconfirmintheirProposalthat : (i) theyhave designatedonepartytoactasa leadentity,dulyvestedwithauthoritytolegallybindthemembersofthejointventurejointlyandseverally,andthisshallbedulyevidencedbyadulynotarizedAgreementamongthelegalentities,whichshallbesubmittedalongwiththeProposal; and (ii) if theyareawarded the contract, the contract shallbeentered into,byandbetweenUNDPandthedesignatedleadentity,whoshallbeactingforandonbehalfofallthememberentitiescomprisingthejointventure.AftertheProposalhasbeensubmittedtoUNDP,theleadentityidentifiedtorepresentthejointventureshallnotbealteredwithoutthepriorwrittenconsentofUNDP.Furthermore,neithertheleadentitynorthememberentitiesofthejointventurecan:
a) Submitanotherproposal,eitherinitsowncapacity;norb) AsaleadentityoramemberentityforanotherjointventuresubmittinganotherProposal.
The description of the organization of the joint venture/consortium/association must clearlydefinetheexpectedroleofeachoftheentityinthejointventureindeliveringtherequirements

oftheRFP,bothintheProposalandtheJointVentureAgreement.AllentitiesthatcomprisethejointventureshallbesubjecttotheeligibilityandqualificationassessmentbyUNDP.Wherea jointventure ispresenting itstrackrecordandexperience inasimilarundertakingasthoserequiredintheRFP,itshouldpresentsuchinformationinthefollowingmanner:
a) Thosethatwereundertakentogetherbythejointventure;andb) Thosethatwereundertakenbytheindividualentitiesofthejointventureexpectedtobe
involvedintheperformanceoftheservicesdefinedintheRFP.Previouscontractscompletedbyindividualexpertsworkingprivatelybutwhoarepermanentlyorweretemporarilyassociatedwithanyofthememberfirmscannotbeclaimedastheexperienceofthejointventureorthoseofitsmembers,butshouldonlybeclaimedbytheindividualexpertsthemselvesintheirpresentationoftheirindividualcredentials.Ifajointventure’sProposalisdeterminedbyUNDPasthemostresponsiveProposalthatoffersthebestvalueformoney,UNDPshallawardthecontracttothejointventure,inthenameofitsdesignated lead entity. The lead entity shall sign the contract for and on behalf of all othermemberentities.
20. AlternativeProposalsUnlessotherwisespecifiedintheDataSheet(DSnos.5and6),alternativeproposalsshallnotbeconsidered. Where the conditions for its acceptance are met, or justifications are clearlyestablished,UNDPreservestherighttoawardacontractbasedonanalternativeproposal.
21. ValidityPeriod
ProposalsshallremainvalidfortheperiodspecifiedintheDataSheet(DSno.8),commencingonthesubmissiondeadlinedatealsoindicatedintheDataSheet(DSno.21).AProposalvalidforashorterperiodshallbeimmediatelyrejectedbyUNDPandrenderednon-responsive.Inexceptionalcircumstances,priortotheexpirationoftheproposalvalidityperiod,UNDPmayrequest Proposers to extend the period of validity of their Proposals. The request and theresponsesshallbemadeinwriting,andshallbeconsideredintegraltotheProposal.
22. Proposer’sConference
When appropriate, a proposer’s conferencewill be conducted at the date, time and locationspecifiedintheDataSheet(DSno.7).AllProposersareencouragedtoattend.Non-attendance,however,shallnotresultindisqualificationofaninterestedProposer.Minutesoftheproposer’sconferencewillbeeitherpostedontheUNDPwebsite,ordisseminatedtotheindividualfirmswhohaveregisteredorexpressedinterestwiththecontract,whetherornottheyattendedtheconference. No verbal statement made during the conference shall modify the terms andconditions of the RFP unless such statement is specifically written in the Minutes of theConference,orissued/postedasanamendmentintheformofaSupplementalInformationtotheRFP.

D.SUBMISSIONANDOPENINGOFPROPOSALS
23. Submission23.1 The Financial Proposal and the Technical Proposal Envelopes MUST BE COMPLETELY
SEPARATEandeachofthemmustbesubmittedsealedindividuallyandclearlymarkedontheoutsideaseither“TECHNICALPROPOSAL”or“FINANCIALPROPOSAL”,asappropriate.EachenvelopeMUSTclearlyindicatethenameoftheProposer.TheouterenvelopesshallbeartheaddressofUNDPasspecifiedintheDataSheet(DSno.20)andshallincludetheProposer’snameandaddress,aswellasawarningthatstate“nottobeopenedbeforethetime and date for proposal opening” as specified in the Data Sheet (DS no. 24). TheProposer shall assume the responsibility for themisplacementorprematureopeningofProposalsduetoimpropersealingandlabelingbytheProposer.
23.2 ProposersmustsubmittheirProposalsinthemannerspecifiedintheDataSheet(DSnos.
22and23).WhentheProposalsareexpectedtobeintransitformorethan24hours,theProposermustensurethatsufficientleadtimehasbeenprovidedinordertocomplywithUNDP’sdeadlineforsubmission.UNDPshallindicateforitsrecordthattheofficialdateandtime of receiving the Proposal is the actual date and timewhen the said Proposal hasphysicallyarrivedattheUNDPpremisesindicatedintheDataSheet(DSno.20).
23.3 ProposerssubmittingProposalsbymailorbyhandshallenclosetheoriginalandeachcopy
of the Proposal, in separate sealed envelopes, duly marking each of the envelopes as“OriginalProposal”and“CopyofProposal”asappropriate.The2envelopesshallthenbesealedinanouterenvelope.ThenumberofcopiesrequiredshallbeasspecifiedintheDataSheet(DSNo.19).Intheeventofanydiscrepancybetweenthecontentsofthe“OriginalProposal”andthe“CopyofProposal”,thecontentsoftheoriginalshallgovern.Theoriginalversion of the Proposal shall be signed or initialed by the Proposer or person(s) dulyauthorized to commit the Proposer on every page. The authorization shall becommunicated throughadocumentevidencing suchauthorization issuedby thehighestofficialofthefirm,oraPowerofAttorney,accompanyingtheProposal.
23.4 ProposersmustbeawarethatthemereactofsubmissionofaProposal, inandof itself,
impliesthattheProposeracceptstheGeneralContractTermsandConditionsofUNDPasattachedheretoasSection11.
24. DeadlineforSubmissionofProposalsandLateProposals
ProposalsmustbereceivedbyUNDPattheaddressandnolaterthanthedateandtimespecifiedintheDataSheet(DSnos.20and21).UNDPshallnotconsideranyProposalthatarrivesafterthedeadlineforsubmissionofProposals.AnyProposalreceivedbyUNDPafterthedeadlineforsubmissionofProposalsshallbedeclaredlate,rejected,andreturnedunopenedtotheProposer.
25. Withdrawal,Substitution,andModificationofProposals

25.1 ProposersareexpectedtohavesoleresponsibilityfortakingstepstocarefullyexamineindetailthefullconsistencyofitsProposalstotherequirementsoftheRFP,keepinginmind that material deficiencies in providing information requested by UNDP, or lackclarity in thedescriptionof services tobeprovided,may result in the rejectionof theProposal. The Proposer shall assume the responsibility regarding erroneousinterpretationsorconclusionsmadebytheProposerinthecourseofunderstandingtheRFPoutofthesetofinformationfurnishedbyUNDP.
25.2 AProposermaywithdraw,substituteormodifyitsProposalafterithasbeensubmitted
bysendingawrittennoticeinaccordancewithClause23.1,dulysignedbyanauthorizedrepresentative,andshallincludeacopyoftheauthorization(oraPowerofAttorney).Thecorresponding substitution or modification of the Proposal must accompany therespectivewrittennotice.AllnoticesmustbereceivedbyUNDPpriortothedeadlineforsubmissionandsubmittedinaccordancewithRFPClause23.1(exceptthatwithdrawalnotices do not require copies). The respective envelopes shall be clearly marked“WITHDRAWAL,”“SUBSTITUTION,”orMODIFICATION”.
25.3 ProposalsrequestedtobewithdrawnshallbereturnedunopenedtotheProposers.25.4 No Proposalmay bewithdrawn, substituted, ormodified in the interval between the
deadlineforsubmissionofProposalsandtheexpirationoftheperiodofproposalvalidityspecifiedbytheProposerontheProposalSubmissionFormoranyextensionthereof.
26. ProposalOpening
UNDPwillopentheProposalsinthepresenceofanad-hoccommitteeformedbyUNDPofatleasttwo(2)members.Ifelectronicsubmissionispermitted,anyspecificelectronicproposalopeningproceduresshallbeasspecifiedintheDataSheet(DSno.23).
TheProposers’names,modifications,withdrawals,theconditionoftheenvelopelabels/seals,thenumberoffolders/filesandallothersuchotherdetailsasUNDPmayconsiderappropriate,willbeannouncedattheopening.NoProposalshallberejectedattheopeningstage,exceptforlatesubmission,forwhichtheProposalshallbereturnedunopenedtotheProposer.
27. Confidentiality
Information relating to the examination, evaluation, and comparison of Proposals, and therecommendationofcontractaward,shallnotbedisclosedtoProposersoranyotherpersonsnotofficiallyconcernedwithsuchprocess,evenafterpublicationofthecontractaward.AnyeffortbyaProposertoinfluenceUNDPintheexamination,evaluationandcomparisonoftheProposals or contract award decisions may, at UNDP’s decision, result in the rejection of itsProposal.IntheeventthataProposerisunsuccessful,theProposermayseekameetingwithUNDPforadebriefing. The purpose of the debriefing is discussing the strengths and weaknesses of theProposer’ssubmission,inordertoassisttheProposerinimprovingtheproposalspresentedtoUNDP.ThecontentofotherproposalsandhowtheycomparetotheProposer’ssubmissionshall

notbediscussed.
E.EVALUATIONOFPROPOSALS
28. PreliminaryExaminationofProposals
UNDP shall examine the Proposals to determine whether they are complete with respect tominimum documentary requirements, whether the documents have been properly signed,whetherornottheProposerisintheUNSecurityCouncil1267/1989Committee'slistofterroristsandterroristfinanciers,andinUNDP’slistofsuspendedandremovedvendors,andwhethertheProposalsaregenerallyinorder,amongotherindicatorsthatmaybeusedatthisstage.UNDPmayrejectanyProposalatthisstage.
29. EvaluationofProposals29.1 UNDPshallexaminetheProposaltoconfirmthatalltermsandconditionsundertheUNDP
GeneralTermsandConditionsandSpecialConditionshavebeenacceptedbytheProposerwithoutanydeviationorreservation.
29.2 TheevaluationteamshallreviewandevaluatetheTechnicalProposalsonthebasisoftheir
responsivenesstotheTermsofReferenceandotherdocumentationprovided,applyingtheevaluationcriteria,sub-criteria,andpointsystemspecified intheDataSheet (DSno.32).EachresponsiveProposalwillbegivenatechnicalscore.AProposalshallberenderednon-responsive at this stage if it does not substantially respond to the RFP particularly thedemandsoftheTermsofReference,whichalsomeansthatitfailstoachievetheminimumtechnicalscoreindicatedintheDataSheet(DSno.25).AbsolutelynochangesmaybemadebyUNDPinthecriteria,sub-criteriaandpointsystemindicatedintheDataSheet(DSno.32)afterallProposalshavebeenreceived.
29.3 In the second stage, only the Financial Proposals of those Proposers who achieve the
minimum technical scorewill be opened for evaluation for comparison and review. TheFinancial Proposal Envelopes corresponding to Proposals that did notmeet theminimumpassingtechnicalscoreshallbereturnedtotheProposerunopened.Theoverallevaluationscorewillbebasedeitheronacombinationofthetechnicalscoreandthefinancialoffer,orthelowestevaluatedfinancialproposalofthetechnicallyqualifiedProposers.TheevaluationmethodthatappliesforthisRFPshallbeasindicatedintheDataSheet(DSNo.25).

29.4 UNDPreservestherighttoundertakeapost-qualificationexerciseaimedatdetermining,toits satisfaction the validity of the information provided by the Proposer. Such post-qualificationshallbefullydocumentedand,amongthosethatmaybelistedintheDataSheet(DSNo.33),mayinclude,butneednotbelimitedto,alloranycombinationofthefollowing:
a) Verification of accuracy, correctness and authenticity of information provided by the
Proposeronthelegal,technicalandfinancialdocumentssubmitted;b) ValidationofextentofcompliancetotheRFPrequirementsandevaluationcriteriabased
onwhathassofarbeenfoundbytheevaluationteam;c) Inquiry and reference checking with Government entities with jurisdiction on the
Proposer,oranyotherentitythatmayhavedonebusinesswiththeProposer;d) Inquiryandreferencecheckingwithotherpreviousclientsonthequalityofperformance
onongoingorpreviouscontractscompleted;e) Physical inspectionof theProposer’soffices,branchesorotherplaceswherebusiness
transpires,withorwithoutnoticetotheProposer;f) Qualityassessmentofongoingandcompletedoutputs,worksandactivitiessimilartothe
requirementsofUNDP,whereavailable;andg) OthermeansthatUNDPmaydeemappropriate,atanystagewithintheselectionprocess,
priortoawardingthecontract.
30. ClarificationofProposalsToassistintheexamination,evaluationandcomparisonofProposals,UNDPmay,atitsdiscretion,askanyProposerforaclarificationofitsProposal.UNDP’srequestforclarificationandtheresponseshallbeinwriting.Notwithstandingthewrittencommunication,nochangeinthepricesorsubstanceoftheProposalshallbesought,offered,orpermitted,except toprovide clarification, and confirm the correctionof anyarithmeticerrorsdiscoveredbyUNDPintheevaluationoftheProposals,inaccordancewithRFPClause32.AnyunsolicitedclarificationsubmittedbyaProposer in respect to itsProposal,which isnotaresponsetoarequestbyUNDP,shallnotbeconsideredduringthereviewandevaluationoftheProposals.
31. ResponsivenessofProposal
UNDP’s determination of a Proposal’s responsiveness will be based on the contents of the

Proposalitself.
Asubstantially responsiveProposal isonethatconformstoall theterms,conditions,TORandotherrequirementsoftheRFPwithoutmaterialdeviation,reservation,oromission.
If a Proposal is not substantially responsive, it shall be rejected by UNDP and may notsubsequently be made responsive by the Proposer by correction of the material deviation,reservation,oromission.
32. Nonconformities,ReparableErrorsandOmissions
ProvidedthataProposal issubstantiallyresponsive,UNDPmaywaiveanynon-conformitiesoromissionsintheProposalthat,intheopinionofUNDP,donotconstituteamaterialdeviation.ProvidedthataProposalissubstantiallyresponsive,UNDPmayrequesttheProposertosubmitthe necessary information or documentation, within a reasonable period of time, to rectifynonmaterial nonconformities or omissions in the Proposal related to documentationrequirements. Suchomission shall not be related to any aspect of theprice of the Proposal.FailureoftheProposertocomplywiththerequestmayresultintherejectionofitsProposal.ProvidedthattheProposalissubstantiallyresponsive,UNDPshallcorrectarithmeticalerrorsasfollows:a) if there is adiscrepancybetween theunitpriceand the line item total that is obtainedby
multiplyingtheunitpricebythequantity,theunitpriceshallprevailandthelineitemtotalshall be corrected,unless in theopinionofUNDP there is anobviousmisplacementof thedecimalpointintheunitprice,inwhichcasethelineitemtotalasquotedshallgovernandtheunitpriceshallbecorrected;
b) if there isanerror ina total corresponding to theadditionor subtractionof subtotals, thesubtotalsshallprevailandthetotalshallbecorrected;and
c) ifthereisadiscrepancybetweenwordsandfigures,theamountinwordsshallprevail,unlesstheamountexpressedinwordsisrelatedtoanarithmeticerror,inwhichcasetheamountinfiguresshallprevailsubjecttotheabove.
If theProposerdoesnot accept the correctionoferrorsmadebyUNDP, its Proposal shall berejected.
F.AWARDOFCONTRACT
33. RighttoAccept,Reject,orRenderNon-ResponsiveAnyorAllProposals
UNDPreservestherighttoacceptorrejectanyProposal,torenderanyoralloftheProposalsasnon-responsive, and to reject all Proposals at any time prior to award of contract, withoutincurringanyliability,orobligationtoinformtheaffectedProposer(s)ofthegroundsforUNDP’saction.Furthermore,UNDPshallnotbeobligedtoawardthecontracttothelowestpriceoffer.UNDP shall also verify, and immediately reject their respective Proposal, if the Proposers arefound to appear in the UN’s Consolidated List of Individuals and Entities with Association to

TerroristOrganizations, intheListofVendorsSuspendedorRemovedfromtheUNSecretariatProcurementDivisionVendorRoster,theUNIneligibilityList,andothersuchliststhatasmaybeestablishedorrecognizedbyUNDPpolicyonVendorSanctions.(Seehttp://www.undp.org/content/undp/en/home/operations/procurement/protestandsanctions/fordetails)
34. AwardCriteria
Prior to expiration of the period of proposal validity, UNDP shall award the contract to thequalifiedProposerwiththehighesttotalscorebasedontheevaluationmethodindicatedintheDataSheet(DSnos.25and32).
35. RighttoVaryRequirementsattheTimeofAward
AtthetimeofawardofContract,UNDPreservestherighttovarythequantityofservicesand/orgoods,byuptoamaximumtwentyfivepercent(25%)ofthetotaloffer,withoutanychangeintheunitpriceorothertermsandconditions.
36. ContractSignature
Withinfifteen(15)daysfromthedateofreceiptoftheContract,thesuccessfulProposershallsignanddatetheContractandreturnittoUNDP.
Failure of the successful Proposer to complywith the requirement of RFP Clause 35 and thisprovisionshallconstitutesufficientgroundsfortheannulmentoftheaward,andforfeitureoftheProposalSecurityifany,andonwhichevent,UNDPmayawardtheContracttotheProposerwiththesecondhighestratedProposal,orcallfornewProposals.
37. PerformanceSecurity
Aperformancesecurity,ifrequired,shallbeprovidedintheamountandformprovidedinSection9andbythedeadlineindicatedintheDataSheet(DSno.14),asapplicable.WhereaPerformanceSecurity will be required, the submission of the said document, and the confirmation of itsacceptancebyUNDP,shallbeaconditionfortheeffectivityoftheContractthatwillbesignedbyandbetweenthesuccessfulProposerandUNDP.
38. BankGuaranteeforAdvancedPayment
ExceptwhentheinterestsofUNDPsorequire,itistheUNDP’spreferencetomakenoadvancedpayment(s)oncontracts(i.e.,paymentswithouthavingreceivedanyoutputs).IntheeventthattheProposerrequiresanadvancedpaymentuponcontractsignature,andifsuchrequestisdulyacceptedbyUNDP,andthesaidadvancedpaymentexceeds20%ofthetotalproposalprice,orexceedtheamountofUSD30,000,UNDPshallrequiretheProposertosubmitaBankGuaranteeinthesameamountastheadvancedpayment.AbankguaranteeforadvancedpaymentshallbefurnishedintheformprovidedinSection10.
39. VendorProtest

AnnexIIITermsofReference(TOR)TravelManagementServices1.0Introduction:The United Nations wishes to solicit Proposals from Travel Agencies/Travel Management CompaniescapableofprovidingTravelManagementServices,includingairtravelreservations,ticketingandrelatedinformation reporting services to United Nations Organizations in Kigali, Rwanda. The agency (s) willsupport travel requirements for the UNDP, UNICEF, UNFPA, FAO, WFP, WHO, OHCHR, OCHA, ILO,UNCTAD,UN-HABITAT,IFAD,UNIDO,ITC,UNESCO,UNIFEM,UNHCR,ECA,ITU,UNCDF,UNEP,UNAIDS.Theseorganizationsasawholewillbehereinafterreferredtoas“theUNorganizations”,andindividuallyas “each UN organization” or their own acronyms. 1. General Description: The TMS Contractor shall provide all personnel, equipment, systems,
materials,supervision,andotheritemsandservicesnecessarytoperformcomprehensivetravel
managementservicesasdefinedhereinathisowncost.
a) TheTMSContractorwillcomplywithallaspectsoftheUN’stravelpolicyasdefinedinAnnexB
andasadvisedbyeachorganization(eachorganizationhasvariantsofthispolicy)orasrevisedperiodicallybytheUNorganizations.
b) TheTMSContractorshallbookallreservationsforOfficialTravelatthelowestfaresandratesthat
areconsistentwithintheentitlementoftheapplicabletravelpolicyincludingnegotiatedrates,withUN’spreferredsuppliers.

c) The TMS Contractor will verify all itinerary data, class service and airfare amounts prior toreleasingtraveldocuments.
2. Travel Reservations: The TMSContractor shall provide core travel reservations and ticketing
services for all official travel (and personal travel booked in conjunctionwith official travel if
authorized)ifrequired.
3. UseofLowestFare:TheTMSContractorwillfareallitinerariesinaccordancewiththeUNtravel
policy using all carrier-approved fare construction principles, including one-way ticketing. All
itinerarieswillbepricedbytheTMSContractor’sowninternationalratespecialists,inadditionto
carrier rate desks. Whenever possible, the TMSContractorwill offer the traveller lower-cost
alternativestospecificitinerariesrequestedusingalternateairlinesand/orroutingsincompliance
with the UN policy. Each alternative will be itinerary-specific and include estimated savings
available.TheUNorganizationsreservetherighttorequiretheuseofspecificairlinesoffering
negotiateddiscounts totheUN.TheTMSContractormayberequiredtoenter intoCorporate
AgreementswithAirlinesfordiscountedfaresfortheUNOrganizations.
4. TicketIssuance:TheTMSContractorwillissueticketseitherforpickupbyOrganizationtravellers’
or their authorized representatives. Tickets and other travel documents will be available in
accordancewith the standards agreed to with the TMS Contractor, but no less than two (2)
businessdaysbeforedateofdeparture.UndernocircumstanceswilltheTMSContractorrelease
atickettoatravelleronofficialtravelwithoutaproperlyapprovedtravelauthorization(TA).
a) Acopyoftheitineraryistobeincludedinthefinaldocumentation.Thisitineraryshallincludethe
name, phone number, rate, confirmation number and location of hotels booked by the TMSContractorateachlocationaswellasamountsofPersonalPortions(thatproportionofthetravelundertakenbythetravellerforwhichtheorganizationbearsnoresponsibilityandwhichwillbepaid for directly by the traveller). The TMS Contractor shall, where applicable, provide alltravellerswithlastseatavailability,advanceseatassignments,andadvanceboardingpassesonallairlinesforwhichtheTMScanoffertheseservices.
b) TheTMSContractorwillnotifytravellerswhendocumentsarereadyforpick-up.
5. VoidsandRefunds:TheTMSContractorwillvoidticketswherepossibletoavoidachargetothe
UNOrganizations.Wherecompleterefundsareobtained, theTMSContractorwillprocessthe
refund within the reporting week received. The TMS Contractor will process partial refunds
requiringfarecalculationasexpeditiouslyaspossibleandwithin30daysofreceipt.

6. UnusedNon-RefundableTickets:TheTMSContractorwillprovidetheUNwithareportshowing
allunusednon-refundabletickets.TheTMSContractorwillputinformationintravellerprofiles
regarding the value of unused non-refundable tickets and will adopt procedures to assist
travellersinusingthevalueofsuchtickets.
7. Amenities:TheTMSContractorwilladvisetravellers’ofanycarrier-providedamenities,including
butnotlimitedtolimousinetransfersorcomplimentarystop-overspaidbycarrier(STPC)hotels.
8. TravelRestrictionsandSecurityClearances:TheTMSContractorwillstoreandupdatemonthly
traveladvisoryinformation.
9. ExcessBaggage:TheTMSContractorwilladvisetravellers’ofexcessbaggagerulesandfees,which
mayvarywiththecountryoforigin.
10. Insurance:Provideinformationaboutinsuranceandbaggageinsurance,ifrequested.
11. EmergencySupport:TheTMSContractorwillconductPassengerNameRecord(PNR)searches
andtraveller’snotificationsasdirectedbytheUNincasesofhijackings,coups,bombings,natural
disasters,andothersecurity-relatedincidents.TheTMSContractorshallrenderotherspecialized
assistance as required by the UN in emergency situations. The TMS Contractor will provide
additionalassistanceasrequestedbytheUN insuchsituationsandcomplywithallapplicable
restrictionsandregulationsimposedbytheUN.
a) TheTMSContractorwillhavethecapabilitytooperatewithin24hoursfromanoffsitelocationin
caseofanemergency.
b) TheTMSContractorwillbeablere-routecallstoanalternatelocationstaffedwithcross-trainedpersonnel.
c) TheTMSContractorwillfurtherprovideafterhourscontactsforkeymanagementpersonnelas
mutuallyagreed.
12. Travellers’Profiles:TheTMSContractorwillcreateandupdatetravellers’profilesforfrequent
travellersandverifytheinformationwiththetravelleratthetimeeachnewbookingisinitiated.

13. BudgetAssistance:TheTMSContractorwillprovideeachUNorganizationwith informationto
assisttheUNindevelopingtravelexpensebudgetsbyprovidingfareestimatesandrelatedimpact
analysesasperUNorganization.
14. CustomerSatisfaction:TheTMSContractorwillprovidecustomersatisfactionsurveycontentfor
reviewbytheUNanddeveloplistsoffrequenttravellersandotherwisecooperatewithperiodic
satisfactionsurveysconductedbytheUN.
15. Complaint Tracking and Resolution: The TMS Contractor will respond to all complaints by
investigatingandexplaining,inwriting,theirunderlyingcause.Finalresponsetotravellerswill
explain the causes of the problem and detail specific steps that have been taken or will be
undertakentopreventrecurrenceoftheproblem.TheTMSContractorwillmakeagoodfaith
efforttoresolvedisputesandmisunderstandingsinfavouroftheUNtravelmanagementandUN
travellers. The copies of all complaints received and the TMSContractor’swritten responses
should be provided to the designated travelmanager of eachUNOrganization and/or at the
requestofthatmanager,heldforreviewandsummarizedduringquarterlyperformancereviews.
The Organization may also request that the TMS contractor keep a log of all other service
comments received from travellers and share that logwith theUN. Reportsmustdistinguish
betweenTMSContractorerrorsandothertypesofincidents.
16. AssistanceatMeetings:SupportofUNmeetingsheld inUnitedNationsfacilities inregardsto
flight reservations and/ or change of reservations during the course of the meeting may be
requested.
17. Personal Travel: Upon request by a staff member, the TMS Contractor may assist the UN’s
personnelandtheirdependentsinarrangingpersonaltravelatthelowestapplicablefaresand
ratesorasotherwiserequested,consistentwitheachtraveller’srequirements.TheUNisnotto
be involved in anyway in personal travel arrangements. Collection of amounts due and any
refundsforthesepersonaltravellegsaretobearrangeddirectlybetweenTMSContractorand
theUN’s personnel and collected prior to releasing the ticket. In the event personal travel is
undertakeninconjunctionwithofficialtravel,theTMSContractorwillclearlydocumentthecost
and routings of personal portions of combined trips on all itinerary/invoices, and provide

ManagementInformationSystems(MIS)reportsonsuchtripswhenrequestedbytheUN.The
TMS Contractor will ensure that arranging personal travel does not interfere with arranging
officialtravel.
18. NegotiationofFaresandRates:TheUNnegotiatesonitsownbehalfforspecialairandhotel
discountsandshallbefreetonegotiatesucharrangements,includingnetrates,withallsuppliers
under this Contract and /or request the TMS contractor to negotiate on behalf of the UN.
However,asaninitialtask,itisexpectedthattheTMSContractor,incollaborationwiththeUN
Organizations, carries direct negotiationwith some airlines based on travel volume of all UN
agenciesinRwandaleadingtotheestablishmentoflong-termairlineagreementsdetailingspecial
discountedUNrates,accesstobusinesslounges,upgrades,prioritycheck-in,etc.Uponrequest
oftheUN,theTMSContractormaybecalleduponbytheUNtoprovidedataorotherassistance
tosupportsuchnegotiationsincluding,butnotlimitedto,evaluationoftravelpatternstoidentify
opportunitiesforimproveddiscountnegotiations;toassistthevendorcontacts;andtoprovide
specialMISreports.TheTMSContractorwilladministerfaresandratesobtainedthroughsuch
directUNnegotiation.UndernocircumstanceswilltheTMSContractoractonbehalfoftheUN
in any contract negotiations without the UN’s expressed authority. In addition, the TMS
Contractor should continuously provide assistance to support these long-term agreements
throughevaluationoftravelpatterns.TheTMSContractorwouldbe lookedatasthebusiness
consultantoftheUNAccountandasconstantlyidentifyingopportunitiesforimproveddiscounts
andbenefits.

nationalityanddestinations.UndertheUNsupervision,theTMSContractorprovidedclerkwill
obtain all necessary travel documents, including visas and national passports required for
travellers,unlessapersonalappearanceisrequiredtoobtainsuchdocuments
22. Clerical support – Travel: Assist the UN Organizations in the form of the provision of one
contractorsupplied,suitablyqualifiedclerk,andanyrequiredmessengersupportfortheTravel
unitoftheUNOrganizations.

23. On-SiteOffice: TheTMSContractormaybe requested tooperateanon-siteoffice located in
KigaliatanyUNAgencyoffice,asagreedwiththeUNduringthetermofanyensuingContract.
SuchfacilitiesmustbeusedexclusivelyforperformanceofservicesundertheContract.Theoffice
willbeestablishedandmanagedbytheTMSContractorandwillbefullyaccreditedandlicensed.

notifyitsTMSContractorannually;
c) Notify theUN of names and telephone numbers of the TMS Contractor’s personnelwho areavailableduringoffbusinesshours,onweekendsandholidaystoprovideorassistwithservicesifneeded,forofficialandemergencytravel;
29. TechnologyandTelecommunications:TheTMSContractorwillprovidealltelecommunications
andreservationstechnologyasrequiredtosupportallservicesunderthisContract.
a) TheTMSContractorwillproduceandmaintaincompletetelephoneperformancereportsforeach
locationand/orfortheUNAccountasawhole.
b) TheTMSContractorwillsupporttheUNinitiativestodecreasethepercentageofbookingsmadeduring face-to-face meetings and migrate toward a greater use of the telephone and otherelectronic means for planning travel. The TMS Contractor will assist in communicating thebenefitsofothermethodsoftravelbookingtotravellers.ThesuccessfulTMSContractorshallandhavethecapabilitytoservetravellersrequestinginpersonreservationsassistanceeitherwalk-inorbyappointmentaswellasbytelephoneorbyelectronicmethodssuchase-mailorfax.ItisunderstoodthattheUNcannotwarrantthepercentageoftripsthatwillbeprocessedthroughvarious means. The TMS Contractor should have contingency plans for handling changingvolumes. The TMS Contractor will maintain records of transactions conducted in person, bytelephone,byemailandbyfaxandprovidereportsontrendsinbookingmethodstotheUNonrequest.
c) TheTMSContractorshallprovidecapabilitiestoproducecamerasandpassportphotographsat
theon-sitelocation.
30. Responsivenesstoclients’request:
a) The TMS Contractor will acknowledge walk-in travellers within one (1) minute of arrival and
estimate themaximumwaiting time based on volume at the time. The TMS Contractorwillprovideassistancewithinthemaximumtimespecified.
b) TheTMSContractorwillansweratleasteightypercentoftelephonecallswithintwentyseconds.
c) The TMS Contractor will accept reservations and requests for travel information through
electronicmail.Alltravelcounselorswillhavee-mailaccess.Alle-mailrequestswillberespondedtowithintwohoursofreceiptduringnormalbusinesshours.Whatevertheformofrequest,theoverallturnaroundtimebetweentherequestandtheproposedbookingshallbeasfollows:1)forrequestsbefore12p.m.,areplybeforecloseofbusinessofthesamedayand2)forrequestsafter12p.m.,areplyby9a.m.thefollowingday.

31. Invoices:ThecontractorshallprovideautomatedinvoicesforeachUNorganization,onamonthlybasisorasrequestedbytheUNorganizations.32. Refunds:TheTMSContractorshallprocessanyrefundsduetotheUNforunusedorlosttickets,MiscellaneousChargeOrders(MCOs),unusedPTAs(PrepaidTicketAdvice)anddowngrades. TheTMSContractorwillvoidand/orreissueticketswheneverpossibleinsteadofrefunding.Inaddition,theTMSwillcommunicatetheglobalannualrefundtobegivenbacktoindividualUNagenciesbasedon total turnover realizedwith themduring the courseofeachyear. This refundcaneitherbereceived cashor changed into flight ticket tobeusedby eachAgencyon its choice. The TMS is thenrequestedtoprovidethebaseforthecalculationofsuchGlobalRefund.PaymentforPersonalTravelPortions33. Billing to Individuals forPersonalTravelPortions:All chargesassociatedwithpersonal travelportionsofofficialtrips,includingalltransportationandfeesforpassportandvisaservices,shallbebilleddirectly to travelers and excluded from invoices presented to the UN. The UNwill not be liable forexpensesrelatedtopersonaltravelportionsandreservestherighttoauditalltravelrecordstoverifytheaccuracyofallocatedcostsbetweenofficialandpersonalcharges.34. FormsofPaymentAcceptedforPersonalTravelPortions:TheTMSContractorshallacceptallmajorcreditcardsandpersonalchecksforsuchpersonalexpenses.35. PointofSaleChargeforPersonalTravelPortions:TheTMSContractorwillprovideamechanismfor allocating costs for personal portions to individuals and charging them at the point of sale. Themechanismforallocatingcostswillprovideforautomatedtrackingandreconciliation.Personnel36.GeneralRequirementsforPersonnel:TheTMSContractorshallprovideallnecessarypersonnelinthe number stipulated in the RFP who will provide prompt, courteous and efficient service at thededicatedofficewithintheUNpremises.Orattheirofficelocations.IfstaffarerequestedatUNagencypremises theTMSwill submit thestaffing structure for theOffice located in theUNBuilding.All staffassignedtotheUNaccountwhetherattheTMSofficeorinUNPremisesshallbefluentinoralandwrittenEnglish. Fluency of the TMS contractor’s staff in other official UN languages will be viewed as anenhancement. If travel volumes change, the UNmay request a change in the number of personnelassignedtotheUNAccountwithinthirty(30)days.TheTMSContractorwillbeheldresponsiblefortheoutputsofitsstaff.Exceptionally,uponrequest,theTMSContractorwillprovideinformationregardingthelevelsofproductivityofallindividualstaffaswellasteamsassignedtospecificUNOrganizations.37. Experience Requirements for Personnel: Minimum experience requirements for TMS ContractorpersonnelassignedtotheUNaccountare:
a) 2 Travel Counselors: Travel counselors will have a minimum of five years’ experience withpredominantlycomplexinternationaltravel.

b) 1InternationalRateSpecialists:TheInternationalratesspecialistswillhaveaminimumoffiveyears of specialized experience in international rates and fare construction including complexinternationalroutings.
c) 1 OperationsManager: The operations manager will have a minimum of eight (8) years of
supervisoryexperience.38. BackgroundChecksonPersonnel:TheUNreservestherighttodobackgroundchecksonany/alltravelproviderstaffthatareassignedtotheUNAccount.TheUNtakingupsuchbackgroundchecksornot,innowaydiminishestheTMSContractor’sobligationsandliabilitiesconcerningitspersonnel.39. UNRighttoInterview:TheUNhastherighttointerviewallprospectivededicatedstaffandtorequestreplacementofanyTMSContractoremployeeforreasonablecause.40. SubcontractingofPersonnel:TheTMSContractorwillnotsubcontractanyserviceswithoutpriorexpresspermissionfromtheUN.41. Staffing Levels – Scheduling: The TMS Contractor shall use all appropriate means, includingcomputerized scheduling routines, to anticipatepeakbookingperiodsandadjust its staff accordingly.Cross-trained staffmay also be used as necessary to assist inmeeting periods of peak travel servicedemand.42. Cross-UtilizationofPersonnel:TheTMSContractorshallaugmentand/orcrossutilizepersonnelasnecessarytomeetallservicestandardsatalltimes,includingduringbothdailyandannualpeaktravelperiods.ItisexpectedthattheTMSContractorwillarrangeshiftsinamannerthatwillminimizetheneedforovertime.Hoursofoperationmentionedinthiscontractreferonlytohoursavailablefordirecttraveleraccess. TheTMSContractorwillprovideaquarterlystaffingplantotheUNandpromptnoticeofanysignificantunderstaffingduetounexpectedpeaksintravelvolumeorabsenteeism.43. The TMS Contractor shall not compensate or incite employees in any manner that wouldencourage them to increase the cost of UN travel, or thatwould otherwise be inconsistentwith UNpoliciesandobjectives.44. TrainingforPersonnel:TheTMSContractorwillprovidetrainingannually(ormorefrequentlyasagreedwiththeUN)onUNpolicies,procedures,programmes, internationalfaresandrates,GDSskillsandcustomerserviceinamulti-culturalenvironment.ProgrammeandAccountManagement45.TMSContractorshalladviseandconsultwiththeUNregardingallmattersreasonablypertainingtobusinesstravel,includingbestpractices.46. AccountManager:TheTMSContractorshallprovideanAccountManagertoactastheliaisonfortheUNtoansweranyquestions in regards toTMSContractorServicesand tocoordinate tacticalandstrategicinitiativesfortheUN.

47. IdentifyingSavingsOpportunities:TheTMSContractorshallassisttheUNinmonitoringsavingopportunities;provideadvice/recommendationsondiscountingforair,hotels,car,groupsandmeetings,restriction waivers, Internet fares, and other techniques to reduce travel expenses; and providebenchmarking of savings and practices for air, hotel and car based on other large TMS Contractorcustomerprogrammes;48. PerformanceReviews:TheTMSContractorshallofferquarterlyormorefrequentperformancereviewstoevaluateanddiscusscontractmanagement,includingserviceandsavingsobjectives,industrytrends,specificserviceissues,travelpolicyandperformancebenchmarks.
a) The TMS Contractor will provide proposed detailed agenda at least two weeks prior to themeeting.TheUNwilladdtotheagendaasappropriate.
b) After eachmeeting, the TMS Contractor will submit a follow up report detailing actions and
proposed timetables for improving service.Each subsequent reviewmeetingwillbeginwithareview of the TMS Contractor’s progress in meeting commitments from prior performancereviews.
49. Senior Management Participation: The TMS Contract shall make representatives of seniormanagement,otherwisenotdedicated to theUNaccount,available forquarterlymeetings. TheTMSContractorshouldidentifythenameandtitleoftheseniormanagerresponsiblefortheprogramme,withatleastonebackupindividual.50. Service Performance Quarterly Meetings: The TMS Contractor will attend meetings on aquarterly basis, or on another schedule set by the UN, to review the following aspects of serviceperformance:
a) ServiceLevelsandStandards,includingCustomerSatisfaction:TheTMSContractorwillpresentreports which address performance against all agreed service standards. The goal of suchdiscussionswillbetoagreeonappropriateresponsestospecificsituationsandidentifyoveralltrendsandopportunitiestoimproveservicesandtoagreeoncorrectiveactionplansasneeded.
b) Service Costs and Productivity Issues: The TMS Contractor will review costs and revenues
associatedwith theaccount;productivityof specific individualsandgroups;andallothercostdriversfortheaccount.Thepartieswilldiscussopportunitiesforreducingdirectcostsandagreeuponappropriateactionstostreamlineoperationswithoutreducingservicelevelsorsatisfaction.Uponrequest,theTMSContractorwillprovideaseparateanalysisofperformanceagainstbudgetforanyoneormoreUNOrganizationsandfortheUNaccountasawhole.
c) Withinfourbusinessdaysfollowingeachsuchmeeting,theTMSContractorwillsubmitminutes
ofthemeetingwhichspecificallyidentifyallagreed-uponactionstobeundertakenbytheTMSContractorortheUN,togetherwithspecifictimelinesforeachdeliverable.
d) Priortoeachmeeting,theTMSContractorwillprepareanagendawhichsummarizestheprimary
topicsandobjectivesofthemeetingaswellasthestatusofallpendingdeliverables.TheTMSContractor will e-mail the agenda to the Travel Managers at least 2 days in advance of themeeting.

AccountManagementTheTMSContractorshallprovideaccountmanagementsupportincluding,butnotlimitedto:51. NewProductsandServices:TheTMSContractorwilladvisetheUNofnewTMSContractortravelproductsandservicesandnewthirdpartytravelproductsandservices.52. ManagementInformation(MI)ReportProduction:ProvideanalysisofMIreportsandimpactontheUN’stravelmanagementprogramme.53. Business Plan and Resulting Key Performance Indicators (KPIs), including a timeline foraccomplishingspecificobjectives.TheintentofthesedocumentsshallbetoidentifyareasoftheUN’stravelprogrammethatcanbetargetedforsavings/improvementandtheassociatedcostandtimelinesassociatedwitheachtask.ThepartieswillrevisetheBusinessPlanperiodicallyasmutuallyagreed.TheTMSContractorwillprovidemonthlyprogressreportsonperformanceagainsttheBusinessPlan.54. PerformanceReviews:Inadditiontointernalmeasurementsofperformance,theUNretainstheright to require independent evaluationof the TMSContractor’s performance. TheUNmay contractindependentthirdpartiestoauditTMSContractorservicelevelsand/ortosupporteffortstomanagetheTMSContractor.TheTMSContractorwillcooperatefullywithanythirdpartyauditandagreesthatallinformationsharedwiththeUNmaybesharedwiththecontractedthirdpartycontractor.55. Financial Audit: The UNwill require that the TMS Contractor retain all financial documentsrelatedtothecostandrevenuesofitsaccountforaperiodofatleastfivecalendaryearsfollowingtheterminationofanyagreementwiththeTMSContractor.TheUNwillhavetherighttoauditanyofthesefinancial records or documents at any time during the TMS contract and for five years beyond itsexpiration.IntheeventthatanyfinancialauditidentifiesrevenueswhichtheTMSContractorfailedtocreditproperlyorerrorsinreportingexpenses,thentheTMSContractoragreestoreimbursetheUNforanysuchshortfalloroverage,plusthecostoftheaudit,plusinterestontheamountofsuchdiscrepancydatingtotheoriginaldiscrepancy.Interestwillbecalculatedat9%perannum.56. FareAudits:TheTMSContractoragreestocooperatewithperiodicindependentauditsofairfaresoffered.TheTMSContractorwillreimbursetheUNforanyamountsbywhichfaresofferedtotravelershaveexceededthelowestapplicablefareidentifiedbythethirdpartyauditorwithinthecontextofUNtravelpolicy.57. Errors:Ifthepercentageoferrorsdiscoveredforaparticularperiodexceedstwopercent,theUNwillmultiplytheaveragedollaramountoftheerrorsdiscoveredbytheauditbythepercentageofpassengername records (PNRs) containingerrors and the total transactions for theperiod. TheTMSContractorwillreimbursetheUNforthisamount.Toillustrate,iftheaverageerroris$50andtheerroroccurson3%ofallPNRs,theamountdueforaperiodwith1,000transactionswouldbe$1,500($50times3%times1,000).58. Termination: EitherpartymayterminateanyensuingContract, inwholeor inpart,upononehundredandtwentydaysnotice,inwriting,totheotherparty.SettlementofDisputeswillbedetailedintheContractitself.75. TransitionalService:IntheeventanyensuringContractisterminatedforanyreasonotherthanterminationbyTMSContractorfortheUN’sbreach,orexpiresbyitsowntermsandasuccessortravelmanagementcompanyisselectedbytheUN,theTMSContractorwill,ifrequestedbytheUNtodoso,continuetoprovideservicesasprovidedforunderthisContract,foraperiodoftimenottoexceedonehundredtwenty)days(the“TransitionalServices”)effectiveonthefirstdayfollowingexpirationofthisContractor the lastdayof thenoticeperioddefinedabove, (the"TransitionalServicePeriod").At theoptionoftheUN,andonitsspecificrequestandwithadvancenoticetotheTMSContractor,allorpartofTransitionalServicesmaybediscontinuedbytheUNatanytimeuponnolessthansixtydayspriorwrittennoticetoTMSContractor.

b) TheTMSContractormayatitsoptionreleasededicatedstaffwillingtostaywiththeUN’saccount
and requestedby theUN fromany restrictiveemploymentagreements, subject to local laws.ExceptasmayberequiredbylocallawsandexceptforthirdpartyimposedfeesorcostswhichhavebeenapprovedandacceptedbytheUN,theTMSContractorwillnotimposeontheUNorthesuccessorTMSCompany,anyspecialoradditionalfeesorcostsinvolvedinorrelatedtothetransfer of Services, including but not limited to, equipment de-installation, severance foremployees,leaseholdobligations,datatransferorhandoff,managementtimecooperatingwiththenewtravelcompany,orothertimerelatedtotheorderlytransferofbusinesstothenewtravelmanagementcompany.

The Contractor shall also notify theUNDPof any otherchanges inconditionsor theoccurrenceofanyevent that interferesor threatens to interferewith itsperformanceofthisContract.OnreceiptofthenoticerequiredunderthisArticle,theUNDPshalltakesuchactionas, in its solediscretion; it considers tobeappropriateornecessary in thecircumstances,including the granting to the Contractor of a reasonable extension of time in which to perform itsobligationsunderthisContract.14.2 IftheContractorisrenderedpermanentlyunable,wholly,orinpart,byreasonofforcemajeuretoperformitsobligationsandmeetitsresponsibilitiesunderthisContract,theUNDPshallhavetherighttosuspendorterminatethisContractonthesametermsandconditionsasareprovidedforinArticle15,"Termination",exceptthattheperiodofnoticeshallbeseven(7)daysinsteadofthirty(30)days.14.3 ForcemajeureasusedinthisArticlemeansactsofGod,war(whetherdeclaredornot),invasion,revolution,insurrection,orotheractsofasimilarnatureorforce.

14.4 TheContractoracknowledgesandagreesthat,withrespecttoanyobligationsundertheContractthattheContractormustperforminorforanyareasinwhichtheUNDPisengagedin,preparingtoengagein,ordisengaging fromanypeacekeeping,humanitarianorsimilaroperations,anydelaysor failuretoperformsuchobligationsarisingfromorrelatingtoharshconditionswithinsuchareasortoanyincidentsof civil unrest occurring in such areas shall not, in and of itself, constitute force majeure under theContract..15.0 TERMINATION15.1 Either partymay terminate this Contract for cause, inwhole or in part, upon thirty (30) daysnotice,inwriting,totheotherparty.TheinitiationofarbitralproceedingsinaccordancewithArticle16.2(“Arbitration”),below,shallnotbedeemedaterminationofthisContract.15.2 UNDPreservestherighttoterminatewithoutcausethisContractatanytimeupon15dayspriorwrittennoticetotheContractor,inwhichcaseUNDPshallreimbursetheContractorforallreasonablecostsincurredbytheContractorpriortoreceiptofthenoticeoftermination.15.3 IntheeventofanyterminationbyUNDPunderthisArticle,nopaymentshallbeduefromUNDPtotheContractorexceptforworkandservicessatisfactorilyperformedinconformitywiththeexpresstermsofthisContract.15.4 ShouldtheContractorbeadjudgedbankrupt,orbeliquidatedorbecomeinsolvent,orshouldtheContractormakeanassignment for thebenefitof its creditors,or shouldaReceiverbeappointedonaccount of the insolvency of the Contractor, the UNDPmay,without prejudice to any other right orremedy it may have under the terms of these conditions, terminate this Contract forthwith. TheContractorshallimmediatelyinformtheUNDPoftheoccurrenceofanyoftheaboveevents.16.0 SETTLEMENTOFDISPUTES16.1 Amicable Settlement: The Parties shall use their best efforts to settle amicably any dispute,controversyorclaimarisingoutofthisContractorthebreach,terminationorinvaliditythereof.Wherethepartieswishtoseeksuchanamicablesettlementthroughconciliation,theconciliationshalltakeplaceinaccordancewiththeUNCITRALConciliationRulesthenobtaining,oraccordingtosuchotherprocedureasmaybeagreedbetweentheparties.16.2 Arbitration:Anydispute,controversy,orclaimbetweenthePartiesarisingoutoftheContractorthebreach,termination,orinvaliditythereof,unlesssettledamicablyunderArticle16.1,above,withinsixty(60)daysafterreceiptbyonePartyoftheotherParty’swrittenrequestforsuchamicablesettlement,shallbereferredbyeitherPartytoarbitrationinaccordancewiththeUNCITRALArbitrationRulesthenobtaining. The decisions of the arbitral tribunal shall be based on general principles of internationalcommerciallaw.Forallevidentiaryquestions,thearbitraltribunalshallbeguidedbytheSupplementaryRulesGoverningthePresentationandReceptionofEvidenceinInternationalCommercialArbitrationoftheInternationalBarAssociation,28May1983edition.Thearbitraltribunalshallbeempoweredtoorderthereturnordestructionofgoodsoranyproperty,whethertangibleorintangible,orofanyconfidentialinformationprovidedundertheContract,ordertheterminationoftheContract,ororderthatanyotherprotectivemeasuresbetakenwithrespecttothegoods,servicesoranyotherproperty,whethertangibleor intangible, or of any confidential information provided under the Contract, as appropriate, all inaccordance with the authority of the arbitral tribunal pursuant to Article 26 (“Interim Measures of

Protection”)andArticle32 (“FormandEffectof theAward”)of theUNCITRALArbitrationRules. Thearbitral tribunal shall have no authority to award punitive damages. In addition, unless otherwiseexpresslyprovidedintheContract,thearbitraltribunalshallhavenoauthoritytoawardinterestinexcessoftheLondonInter-BankOfferedRate(“LIBOR”)thenprevailing,andanysuchinterestshallbesimpleinterestonly.ThePartiesshallbeboundbyanyarbitrationawardrenderedasaresultofsucharbitrationasthefinaladjudicationofanysuchdispute,controversy,orclaim.17.0 PRIVILEGESANDIMMUNITIES:NothinginorrelatingtothisContractshallbedeemedawaiver,expressorimplied,ofanyoftheprivilegesandimmunitiesoftheUnitedNations,includingitssubsidiaryorgans.18.0 TAXEXEMPTION18.1 Section7of theConventionon thePrivilegesand Immunitiesof theUnitedNationsprovides,inter-aliathattheUnitedNations,includingitssubsidiaryorgans,isexemptfromalldirecttaxes,exceptchargesforpublicutilityservices,andisexemptfromcustomsdutiesandchargesofasimilarnatureinrespect of articles importedor exported for its official use. In theevent any governmental authorityrefuses torecognizetheUnitedNationsexemption fromsuchtaxes,dutiesorcharges, theContractorshallimmediatelyconsultwiththeUNDPtodetermineamutuallyacceptableprocedure.18.2 Accordingly,theContractorauthorizesUNDPtodeductfromtheContractor'sinvoiceanyamountrepresentingsuchtaxes,dutiesorcharges,unlesstheContractorhasconsultedwiththeUNDPbeforethepaymentthereofandtheUNDPhas,ineachinstance,specificallyauthorizedtheContractortopaysuchtaxes,dutiesorchargesunderprotest.Inthatevent,theContractorshallprovidetheUNDPwithwrittenevidencethatpaymentofsuchtaxes,dutiesorchargeshasbeenmadeandappropriatelyauthorized.19.0 CHILDLABOUR19.1 TheContractorrepresentsandwarrantsthatneitherit,noranyofitssuppliersisengagedinanypracticeinconsistentwiththerightssetforthintheConventionontheRightsoftheChild,includingArticle32thereof,which, interalia,requiresthatachildshallbeprotectedfromperforminganyworkthat islikelytobehazardousortointerferewiththechild'seducation,ortobeharmfultothechild'shealthorphysicalmental,spiritual,moralorsocialdevelopment.19.2 Anybreachof this representation andwarranty shall entitleUNDP to terminate this ContractimmediatelyuponnoticetotheContractor,atnocosttoUNDP.20.0 MINES:20.1 TheContractor represents andwarrants thatneither it nor anyof its suppliers is actively anddirectlyengagedinpatentactivities,development,assembly,production,tradeormanufactureofminesorinsuchactivitiesinrespectofcomponentsprimarilyutilizedinthemanufactureofMines.Theterm"Mines"meansthosedevicesdefined inArticle2,Paragraphs1,4and5ofProtocol IIannexedtotheConventiononProhibitionsandRestrictionsontheUseofCertainConventionalWeaponsWhichMayBeDeemedtoBeExcessivelyInjuriousortoHaveIndiscriminateEffectsof1980.20.2 Anybreachof this representation andwarranty shall entitleUNDP to terminate this Contract

immediatelyuponnotice to theContractor,withoutany liability for terminationchargesoranyotherliabilityofanykindofUNDP.21.0 OBSERVANCEOFTHELAW:The Contractor shall comply with all laws, ordinances, rules, and regulations bearing upon theperformanceofitsobligationsunderthetermsofthisContract.22.0 SEXUALEXPLOITATION:22.1 TheContractor shall take all appropriatemeasures toprevent sexual exploitationor abuseofanyonebyitorbyanyofitsemployeesoranyotherpersonswhomaybeengagedbytheContractortoperformanyservicesundertheContract.Forthesepurposes,sexualactivitywithanypersonlessthaneighteenyearsofage,regardlessofanylawsrelatingtoconsent,shallconstitutethesexualexploitationandabuseofsuchperson.Inaddition,theContractorshallrefrainfrom,andshalltakeallappropriatemeasurestoprohibititsemployeesorotherpersonsengagedbyitfrom,exchanginganymoney,goods,services,offersofemploymentorotherthingsofvalue,forsexualfavorsoractivities,orfromengaginginanysexualactivitiesthatareexploitiveordegradingtoanyperson. TheContractoracknowledgesandagreesthattheprovisionshereofconstituteanessentialtermoftheContractandthatanybreachofthisrepresentationandwarrantyshallentitleUNDPtoterminatetheContractimmediatelyuponnoticetotheContractor,withoutanyliabilityforterminationchargesoranyotherliabilityofanykind.22.2 The UNDP shall not apply the foregoing standard relating to age in any case in which theContractor’s personnel or any other personwhomay be engaged by the Contractor to perform anyservicesundertheContractismarriedtothepersonlessthantheageofeighteenyearswithwhomsexualactivityhasoccurredandinwhichsuchmarriageisrecognizedasvalidunderthelawsofthecountryofcitizenshipofsuchContractor’spersonnelorsuchotherpersonwhomaybeengagedbytheContractortoperformanyservicesundertheContract.23.0 SECURITY:
23.1 TheContractorshall:(a) Put in place an appropriate security plan and maintain the security plan, taking into
accountthesecuritysituationinthecountrywheretheservicesarebeingprovided;(b) Assume all risks and liabilities related to the Contractor’s security, and the full
implementationofthesecurityplan.
23.2 UNDPreservestherighttoverifywhethersuchaplanisinplace,andtosuggestmodificationstotheplanwhennecessary.Failure tomaintainand implementanappropriatesecurityplanas requiredhereundershallbedeemedabreachofthiscontract.Notwithstandingtheforegoing,theContractorshallremainsolelyresponsibleforthesecurityofitspersonnelandforUNDP’spropertyinitscustodyassetforthinparagraph4.1above.24.0AUDITSANDINVESTIGATIONS:
24.1 EachinvoicepaidbyUNDPshallbesubjecttoapost-paymentauditbyauditors,whetherinternalorexternal,ofUNDPortheauthorizedagentsoftheUNDPatanytimeduringthetermoftheContractandforaperiodofthree(3)yearsfollowingtheexpirationorpriorterminationoftheContract.TheUNDP

shallbeentitledtoarefundfromtheContractorforanyamountsshownbysuchauditstohavebeenpaidbytheUNDPotherthaninaccordancewiththetermsandconditionsoftheContract.ShouldtheauditdeterminethatanyfundspaidbyUNDPhavenotbeenusedaspercontractclauses,thecompanyshallreimbursesuchfundsforthwith.Wherethecompanyfailstoreimbursesuchfunds,UNDPreservestherighttoseekrecoveryand/ortotakeanyotheractionasitdeemsnecessary.
24.2 The Contractor acknowledges and agrees that, at anytime, UNDPmay conduct investigationsrelatingtoanyaspectoftheContract,theobligationsperformedundertheContract,andtheoperationsoftheContractorgenerally.TherightofUNDPtoconductaninvestigationandtheContractor’sobligationtocomplywithsuchaninvestigationshallnotlapseuponexpirationorpriorterminationoftheContract.The Contractor shall provide its full and timely cooperationwith any such inspections, post-paymentaudits or investigations. Such cooperation shall include, but shall not be limited to, the Contractor’sobligationtomakeavailableitspersonnelandanydocumentationforsuchpurposesandtogranttoUNDPaccesstotheContractor’spremises.TheContractorshallrequireitsagents,including,butnotlimitedto,theContractor’sattorneys,accountantsorotheradvisers,toreasonablycooperatewithanyinspections,post-paymentauditsorinvestigationscarriedoutbyUNDPhereunder.25.0 ANTI-TERRORISM:
25.1TheContractoragreestoundertakeallreasonableeffortstoensurethatnoneoftheUNDPfundsreceived under this Contract are used to provide support to individuals or entities associated withterrorismandthattherecipientsofanyamountsprovidedbyUNDPhereunderdonotappearonthelistmaintainedbytheSecurityCouncilCommitteeestablishedpursuanttoresolution1267(1999).Thelistcanbeaccessedviahttp://www.un.org/Docs/sc/committees/1267/1267ListEng.htm.Thisprovisionmustbeincludedinallsub-contractsorsub-agreementsenteredintounderthisContract.26.0 AUTHORITYTOMODIFY:
PursuanttotheFinancialRegulationsandRulesofUNDP,onlytheUNDPAuthorizedOfficialpossessestheauthoritytoagreeonbehalfofUNDPtoanymodificationoforchangeinthisAgreement,toawaiverofany of its provisions or to any additional contractual relationship of any kind with the Contractor.Accordingly,nomodificationorchangeinthisContractshallbevalidandenforceableagainstUNDPunlessprovided by an amendment to this Agreement signed by the Contractor and jointly by the UNDPAuthorizedOfficial.
