owned by Fremont Community Church
that was formally operated as the
acclaimed Kimber Park Academy. The
property (School) is located at 39700

PROPERTY LOCATION
Fremont is a city in Alameda County,
California, United States . It was
incorporated on January 23, 1956,
from the annexing of Centerville, Niles,
Irvington, Mission San José, and Warm
Springs . Located in the southeast San
Francisco Bay Area and straddling
both the East Bay and South Bay
regions, Fremont has a rapidly-growing
population of around 230,000 . It is one
of the largest cities by land area and
the fourth most populous city in the San
Francisco Bay Area, behind San Jose,
San Francisco, and Oakland . It directly
borders and is the closest East Bay city
to Silicon Valley as formally defined, and
is thus often associated with it . The city
has an extensive and rapidly expanding
base of both tech industry and workers .
II. Background
The property is located in the Kimber
Neighborhood (see map above) and is
part of the building owned by Fremont
Community Church . The lease premises
formerly housed the acclaimed
Christian Community Schools, more
recently known as Kimber Hills
Academy . The Kimber Hills Preschool
is still in operation and is located
elsewhere on the campus .

In close proximity to the school is the 450-acre Fremont
Central Park, located on Paseo Padre Parkway between
Grimmer Road and Stevenson Boulevard, easily
accessible from I-880 and I-680 . It was developed
in 1960 and contains Lake Elizabeth an 83-acre
man-made lake . The Fremont Park Golf Course is
northeast of the park, and the Aqua Adventure water
park and group picnic areas is southwest of the park .

IV. Bid Submittal Process
INQUIRIES AND LETTERS OF INTENT (“LOI”)
Fremont Community Church has engaged 3D Strategies,
Inc. as their representative in releasing this Offering
Memorandum which seeks offers from prospective lessees
to lease the subject premises . All inquiries associated with
the property, to garner assistance in a tour of the property,
and all Lease Proposals should be directed to:

A. Minimum Lease Terms
Prospective Lessees will enter a lease containing the following minimum terms and conditions:
1 . The Lease may be subordinated with the School providing a nondisturbance agreement .
2 . The Lease will be an Absolute NNN/Bonded Lease: No landlord responsibilities . Tenant is responsible for taxes, insurance, maintenance and capital reserves including, but not limited to, roof, external parking lot and hardscape, painting (interior and exterior), etc .
3 . Lease period will be a minimum of two (2) years (“Base Term”) with potential options to renew (subject to negotiation) .
4 . The leased premises will be confirmed as part of the binding Lease Agreement .
5 . Lease of Property to be “as is” without warranties or representations, express or implied, concerning the suitability of the Property for the proposer’s intended use except as expressly stated in the Lease, and will require Lessee to be responsible for any required capital improvements .
6 . Owner to have reasonable approval rights over any alteration or improvements to the Property .
7 . Owner to have the right to terminate the Lease at any time, with 210 days’ notice, as well as at the expiration of the Base Term and each Option Term .
8 . Payment Provisions
a . Annual rent calculated based on a minimum rent of $2 .00 per square foot per month for the Leased Premises payable monthly in installments (Base Rent) .
b . The Base Rent payment shall be increased each year by 4% .
c . The Base Rent shall be adjusted to Fair Market Rent prior to the commencement of each Option Term, if any, as determined under an appraisal process .
SUBMITTAL OF LEASE PROPOSALS
All proposals must contain proposed lease terms and
documentation of financial responsibility (detailed below).

of the Property and the name of the person or entity
submitting the proposal . Fremont Community Church
reserves the right to accept proposals at any time, or to
reject all proposals, at their sole discretion .

B. Documentation of Financial Responsibility
All proposers must provide documentation showing that they have the financial ability to pay the lease payments on time, and meet the other financial obligations concerning the lease of the Premises as set forth in the lease proposal. The financial documentation is one important factor in determining whether a proposer is a “responsible proposer .”
Documentation shall take the form of:
1 . Financial statements for the past three (3) years .
2 . A minimum of one (1) letter of reference from a major bank or lending institution .
3 . A statement describing any and all litigation in which the entity and principals have been involved during the past five (5) years, as well as any litigation which is pending or threatened against the entity and principals, and known to the entity based on its reasonable investigation .
4 . A statement regarding any past or current bankruptcies involving the entity, the principals, or any sub-entity .
5 . All documentation of financial responsibility shall be submitted with the proposal at the same time as the proposed lease terms .
6 . The Owner reserves the right to perform a background or credit check on any entity or principals .

Selection Process
Proposers must demonstrate the experience and expertise
in establishing the use of the Property contemplated in the
proposer’s response to this RFP . In addition, the successful
proposer must demonstrate the financial ability to meet the
obligations in the proposed lease .
The Board reserves the right, if it deems it in their interest, to
reject any and all proposals, and to withdraw the Premises
from potential lease .
At the time a proposal is to be awarded, the Board shall adopt
a Resolution directing the Chief Operating Officer or other
designee to execute a lease with the successful proposer .
