1.0 Introduction

Marine Atlantic Inc. (“MAI”) is a federal Crown corporation that reports to the Government of Canada

through the Minister of Transport. MAI provides a constitutionally mandated passenger and commercial

marine transportation system between the Island of Newfoundland and the Province of Nova Scotia. MAI

owns and operates terminals located in the ports of Port aux Basques, NL, Argentia, NL, and North

Sydney, NS. The Corporation’s head office is located in St. John’s, NL.

2.0 Background

This RFI is issued for the purpose of industry consultation in order to solicit feedback and information from

industry or interested parties with respect to the matters described in Schedules A & B: Vessel Description.

This is not a bid solicitation.

The objectives of this RFI are to:

a) understand market capacity for the supply of two RoPax ferries (either existing or new builds) and

associated financing options;

b) gauge industry interest and ability to supply the foregoing goods or services described; and

c) understand industry best practices, trends, unique supply requirements and any issues that would

impact the ability to fulfill the Statement of Requirements.

3.0 General Information

This RFI is not and shall not be construed as a Request for Proposal (“RFP”), Request for Quotation

(“RFQ”). This RFI is not a solicitation and will not result in the award of any contract based on response to

the RFI. The procurement of any goods or services described in this RFI may not necessarily follow this

RFI. Nothing in this RFI shall be construed as a commitment from MAI, or obligation for MAI, to issue an

RFP, RFQ, or any other form of solicitation for the procurement of the goods or services described in this

RFI.

Respondents to this RFI are solely responsible for all costs and expenses associated with preparation and

submission of their response. MAI shall not be liable for, nor shall it reimburse any of the respondents, or

any third party, for any costs, fees or expenses howsoever incurred in the preparation, submission or

participation in this RFI process. Respondents/potential suppliers of any goods or services described in this

RFI should not reserve stock or facilities, nor allocate resources, as a result of any information contained in

this RFI. This RFI will not result in the creation of any source list nor operate as a pre-qualification of any

respondent in any future procurement opportunity (if any). Whether or not any potential supplier responds

to this RFI will not preclude any supplier from participating in any future procurement opportunity (if any).

MAI shall not be bound by anything contained in this RFI nor obligated in any manner to any respondent

providing a response to this RFI, except with respect to obligations stated herein related to confidential or

proprietary information.

Except as otherwise stated in this RFI, submission of a response to this RFI shall not create any obligation

upon any party.

4.0 Confidentiality

All responses to this RFI will be held and remain the property of MAI once received. Respondents should

clearly specify and unequivocally mark any portions of their responses that they consider to be proprietary

or confidential. Any proprietary or confidential information provided by a respondent in response to this

RFI, will be treated by MAI as confidential. Respondents are advised that information submitted may be

used in the development of future RFPs, RFQs, or other forms of solicitation. Nothing prohibits disclosure

of information by MAI which (i) is in the public domain (other than as a result of wrongful disclosure by

MAI) (ii) was disclosed to MAI on a non-confidential basis, (iii) is received from a third party on a non-

respondent, (iv) is developed by MAI, (v) is disclosed with the written consent of the respondent, (vi) is

disclosed to consultants or advisers retained by MAI for purposes of review process, or (vii) is required to

be disclosed by law or by any government authority having jurisdiction over MAI.

Respondents are advised TO TAKE NOTICE that MAI is subject to the federal Access to Information Act

and may be required, upon request by any person, to disclose documents within its control, subject to some

third-party rights to restrict or limit access/disclosure on grounds set forth in that legislation. Respondents

are advised to review the Access to Information Act prior to submitting their responses.

Respondents are responsible for ensuring that they comply with all privacy legislation. Respondents

supplying personal information of employees or other persons are deemed upon submission of their

response to have represented and warranted to MAI that they have obtained written consent from each of

those employees or other persons, expressly setting out their consent to provide their personal information

as contained in any response to this RFI.

The respondent acknowledges that any information concerning the business and affairs of MAI or its

agents, employees or clients of whom the respondent, its agents or employees become aware in the course

of responding to this RFI, shall be treated as confidential and not disclosed.

Submissions by electronic means using the MERX EBS will be the only submissions accepted. Instructions

for Vendors desiring to respond to this RFI are available on the MERX site.

Responses should be as concise as possible and provide detailed contact information to allow MAI to contact

the respondent for further clarification, or information, if required.

Respondents may change a previously submitted response by withdrawal, amendment or submission of a

replacement response prior to the submission deadline. Revisions must be in writing. Detailed instructions

are available on the MERX site for the information of respondents.

After the submission deadline, respondents shall only be permitted to provide information, documentation or

statements if requested by MAI’s review team.

Any such modifications to this RFI will be communicated to respondents by way of addenda.

7.0 Other

Nothing in this RFI shall be construed or shall operate to restrict MAI of its right to revise its procurement

approach for the goods and services which are the subject of this RFI as it considers appropriate in its absolute

discretion, whether based on information submitted in response to this RFI or for any other reason it deems

appropriate.

MAI has the right to modify the terms of the RFI at any time, including submission dates, at its sole discretion.

MAI has the right to cancel and/or reissue this RFI for the same or similar information, at any time and for

any reason.

MAI has the right to seek clarification and request additional information, documentation and statements in

relation to responses before or after the submission deadline, including at MAI’s exclusive discretion, to

request a post-submission meeting with any respondent. MAI, by seeking clarification or information from a

respondent, is not obligated to clarify or seek further information from any other respondents. Responses

will not be formally evaluated.

Any pricing supplied by respondents will not be evaluated but will be used for planning and budgeting

purposes.

Aside from clarifications or seeking additional information, MAI does not anticipate providing any response

or acknowledgment of receipt to any respondent to this RFI.

This RFI shall be governed by and construed in accordance with the laws of the Province of Newfoundland

and Labrador, Canada and the federal laws of Canada applicable therein. All legal actions shall be litigated

in St. John’s, NL, Canada, regardless of the inconvenience of the forum, before the Federal Court of Canada,

or at MAI’s option, or as a result of a lack of jurisdiction of the Federal Court of Canada, the Supreme Court

of Newfoundland and Labrador, located in St. John’s, NL.

SCHEDULE A

Background and Response Requirements

PART 1: Background on requirements

A.1 In 2010, Marine Atlantic Inc. (MAI) established a goal of acquiring and operating a fleet

that consists of four modern, efficient vessels. MAI’s preferred fleet would have all

major systems across the vessels as similar as possible, while allowing for different

configurations of each ship to accommodate the required passenger and vehicle capacity.

The MV Blue Puttees and the MV Highlanders now form the basis of that fleet.

A.2 MAI is gauging industry interest and ability to supply up to, two (2) new or modified

vessels (built 2010 or later), that would fit MAI’s requirements. General MAI

requirements are set out below as follows:1

Modern, efficient vessels

Alignment of all major systems across the MAI fleet (for example, engines,

navigation systems, HVAC systems, etc.)

Roll-on/roll-off passenger (RoPax) vessels that are configured to meet the traffic

demand of MAI-MAI operates a daily passenger and freight service; the fleet must be

able to provide passenger and hotel-like amenities while still allowing for sufficient

deck space for the transportation of commercial goods, including dangerous goods

and wide loads. As such, each vessel would differ with respect to the level of

passenger amenities.

Vessels capable of dealing with MAI’s operating environment – ice class vessels that

are highly maneuverable.

Efficient vessels in terms of fuel, maintenance, and crewing; and,

Vessels fitted with systems that preferably can be supported by suppliers which have

service facilities in North America

A.3 Vessel delivery objectives are: the first vessel in the fall of 2019 and the second vessel in

the fall of 2020.

PART 2: Vessel specifications – Schedule B

A.4 The vessel specifications described in Schedule B is a representative example of the type

of vessels that MAI operates. They are being provided for high-level guidance only, and

are to be used to form the basis of the respondent’s answers to the questions in Schedule

C.

PART 3: Instructions for completion of the proponent questionnaire

A.5 To respond to this Request for Information, MAI requests that the questionnaire in

Schedule C be completed.

A.6 The information disclosed in this questionnaire will be used by MAI to gauge industry

capacity, ability and interest of some of the following key attributes:

a. Capability to construct or modify vessels in accordance with MAI’s requirements;

b. Capacity to complete the vessel construction or modification in accordance with

delivery objectives; and

c. Market interest and financial capacity to fund the construction and/or modification of

existing vessels under finance/lease arrangement (such as bareboat charter

arrangement) with option to purchase after minimum five (5) year period.

A.7 You are asked to answer all questions in the questionnaire. If a question does not apply to

your organization, please write “Not Applicable”.

A.8 You may use additional pages as required, but please mark all pages with your

organizations name, and the appropriate numbers of the sections and questions to which

the response relates.

A.9 Please include, where appropriate, all supporting documents, marking clearly on each

document the name of your organization and the number of the question to which the

document relates.

A.10 The questionnaire should be returned as soon as possible, clearly marked, with any

1000 REFERENCE VESSEL ADDITIONAL

CHARACTERISTICS

The construction of the vessel complies with the applicable Rules and regulations

and optimised for the design loads.

Scantlings are according to the Rules and Regulations of the Classification Society.

The hull is subdivided by means of transverse and longitudinal bulkheads and decks

in accordance with the classification society’s rules and IMO damage stability

regulations.

Efforts are made to achieve continuous stress flow in stress concentrated areas.

Steel structures (girders, webs and stiffeners) as a minimum are designed in such a

way that resonance with the 1st and 2nd order propeller blade passing frequency is

not occurring.

Plate panels in and above the engine room as a minimum are designed in such a way

that resonance with engine firing sequence is not occurring.

Fore and Aft body shall be designed for efficient operations in ice and have ice

breaking characteristics. The hull is optimized for purpose, taking into consideration

all operational profiles, and itineraries.

Vessel has deadweight (DWT) margin to account for future growth.

Lightweight of the vessel is optimized in way of scantlings and materials.

All structural steel including forgings and castings are of the best shipbuilding and

marine quality, tested, inspected and certified when required by the Class and to be

physically and chemically in conformity with such requirements.

Lifesaving appliances (LSA) are provided in accordance with the Rules and

Regulations of the Classification Society for a fully conventioned vessel.

New LSA technology is incorporated as part of the LSA arrangement (i.e.. self-

propelled Marine Evacuation Slide (MES), Full-MES and Chute systems

installations).

Vessel has at least one (1) full service restaurant with a maximum of 165 seats.
